Prices Act 1948

Declared goods and declared services: The statutory trigger for price control is a proclamation by the Governor that declares either goods of a specified kind to be declared goods or services of a specified kind to be declared services (s 19). Declarations are capable of variation or revocation by proclamation (s 19(c)). Once goods or services are declared, the Minister may make orders fixing maximum prices or rates for their sale or supply (s 21, s 24).

Maximum prices/orders: Orders fixing maximum prices can be tailored. They may set differential maximum prices that vary according to factors the Minister specifies, may apply to sales or supplies generally or to specified classes, and may be state‑wide or confined to parts of the State (s 21(2); s 24(2)). Orders may also be made subject to conditions (s 21(3); s 24(3)). Publication and service requirements apply to all orders fixing maximum prices (s 43(2)); commencement is by Gazette publication or on a later date specified in the order (s 44).

Administration and ministerial control: The Commissioner for Prices administers the Act (s 4; s 5(1)) but is subject to ministerial direction (s 5(2)). The Minister has a central role in making price orders and in consenting to certain administrative acts (for example, delegation to non‑public servants, s 7(1)). The Minister also authorises prosecutions in the sense that proceedings can only be commenced by an authorised officer or with the Minister’s consent (s 50A(2)).

Enforcement and investigatory powers: Authorised officers (the Commissioner and persons the Minister appoints on the Commissioner’s recommendation, s 6) may require answers and production of documents (s 9), enter premises at reasonable times to inspect, test and take samples and to take books or documents (s 10), and seize documents temporarily for copying or use in legal proceedings (s 10(2)). The Act provides protection against self‑incrimination in s 9(3). There are secrecy obligations on persons employed in connection with administration (s 8) and offence provisions for obstructing officers (s 11), personation (s 11A), and destroying documents (s 49).

Contract variation and intermediary rules: The Act directly affects contractual relations. When a maximum price is lower than a contractual price, the agreement is automatically varied by substituting the maximum price for the contract price for sales or supplies while the maximum price is in force (s 26). The Act addresses circumvention via intermediaries by forbidding resale above fixed maximums by persons who are not themselves subject to the order but who purchased from a person who was subject to the order, unless the Minister consents (s 27).

Price definition and inclusions: Price is defined to include non‑pecuniary consideration (s 3: “price includes the value of any non‑pecuniary consideration (whether direct or indirect)”), and every maximum price includes the cost of wrapping (s 22). The Act clarifies that “to sell” includes an offer for sale and that a person offers goods for sale in certain specified ways (s 3(2), s 3(5)-(6) as consolidated by amendments). The Act excludes employment remuneration from its regulatory scope: it does not authorise the regulation of the price for which an employee provides a service to an employer (s 3(4)).

Regulation-making power and bread rules: The Governor may make regulations necessary or expedient for the Act’s purposes (s 51(1)). The regulations may require the marking or display of prices (s 51(2)(a)) and carry special provisions about bread: they may prohibit arrangements under which financial relief or compensation is given or received in respect of bread that, having been supplied for sale by retail, is not sold by retail, and may prohibit the return of such bread to the supplier (s 51(2)(b), (ba)). Regulations may prescribe fines of up to $750 for breaches (s 51(2)(c)).

Evidence and procedure: The Act streamlines evidence and procedure: certified copies of documents taken by authorised officers and certified by the Commissioner are proof of existence and contents (s 10(3)); a certificate by the Commissioner that a particular price was fixed and in force on a specified day is proof, absent contrary proof, of that fact (s 47). Prosecutions are limited to authorised officers or persons with Ministerial consent (s 50A(2)) and are subject to statutory time limits (s 50A(1)).

Sellers and suppliers: The primary burden of the Act falls on persons and businesses that sell declared goods or supply declared services. When the Governor declares goods or services (s 19) and the Minister fixes maximum prices or rates (s 21, s 24), any person who sells or supplies those items must observe the statutory maxima (s 25(1)). Retailers and wholesalers are both implicated, with the Act distinguishing retail and wholesale sales in its definitions (s 3) and directly regulating both wholesaling and retailing through differential maxima and antidote rules (s 21(2); s 27).

Buyers and intermediaries: Buyers who knowingly pay or offer to pay above a fixed maximum can commit an offence (s 31). Intermediaries are constrained by s 27 which prevents persons not subject to an order from re‑selling goods at prices above the maximum, if they purchased the goods from a wholesaler or seller who was subject to the order, without Ministerial consent. The Act therefore affects supply chains and resale arrangements.

Consumers and users of services: Consumers and service users are affected in two ways. First, the statutory maximums constrain what they may be charged for declared goods and services (s 25). Second, the Act creates a right to demand supply at the fixed price: a person who offers payment at the fixed price and demands goods must not be refused supply (s 29), subject to listed defences. Consumers may also be implicated if they participate in or solicit offers to pay above the maximum (s 31).

Contracting parties and counterparties: Agreements for sale or supply are automatically varied where a maximum price is lower than the contract price (s 26). This alters contractual expectations between sellers and purchasers, and between suppliers and wholesale purchasers. Contracts that fix higher prices are legally varied to the extent of the statutory maximum for the duration the maximum is in force.

Businesses required to keep records: The Commissioner may by notice require persons who in the course of business sell declared goods or supply declared services to keep specified accounts and records (s 12(2)). Notices may be directed at particular persons (s 12(3)(a)) or classes of persons via publication in the Gazette, on the Commissioner’s website or in a newspaper circulating generally throughout the State (s 12(3)(b)). Those who receive such notices must retain the accounts and records until authorised by the Commissioner to destroy them (s 12(4)).

Persons engaged in administration: Persons employed or engaged in the administration of the Act,Commissioner, authorised officers and anyone else involved in the administration, are bound by a secrecy obligation (s 8) that limits disclosure of information obtained under the Act, subject to enumerated exceptions (s 8(a)-(e)). Breach of that obligation carries a maximum penalty (s 8).

Public officials and authorised officers: The Commissioner and authorised officers (the Commissioner and persons appointed under s 6(2)) have investigatory powers (ss 6, 9, 10). The Minister may appoint public servants as authorised officers on the Commissioner’s recommendation (s 6(2)) and may delegate powers (s 7), so public service officials are both decision makers and enforcers under the Act.

Persons facing prosecution: The Act governs prosecution processes. Proceedings for summary offences must be commenced within specified time limits, with a default two‑year limit for non‑expiable offences (s 50A(1)). Proceedings can only be commenced by an authorised officer or by someone with the Minister’s consent (s 50A(2)), limiting the availability of private prosecutions.

Regulated industries and targeted classes: The Act enables orders and proclamations to be narrowly targeted geographically, by class of person, by class of goods or services, or even to specific goods or a specific service (s 43(1)(a)-(j)). That means particular industries, localities or even single suppliers can be brought within or exempted from controls. The regulations may also impose industry‑specific requirements (notably bread‑related rules in s 51(2)(b), (ba)).

Duties to observe statutory maxima: Once a maximum price or rate is fixed, the fundamental duty is not to sell declared goods or supply declared services at prices above that maximum (s 25(1)). Selling above the maximum is a criminal offence and a court may order repayment of the difference between the price actually received and the lawful maximum (s 25(2)). The Act also makes principals vicariously liable for agents or employees unless they can show reasonable diligence prevented the act (s 25(3)).

Duty to keep and produce records: Where the Commissioner issues a notice requiring accounts and records for declared goods or services, the recipient must keep the specified accounts and records until the Commissioner authorises destruction (s 12(2)-(4)). Authorised officers may require answers, verification by statutory declaration and production of books or documents (s 9(1)). Failure or refusal to comply with reasonable requirements under s 9 or to give a truthful answer is an offence (s 9(2)), subject to the privilege against self‑incrimination (s 9(3)). The secrecy duty on persons engaged in administration limits unauthorised disclosures (s 8).

Obligation to permit inspections: Authorised officers may enter and inspect premises at reasonable times (s 10(1)). A person must not hinder such officers (s 11). Where officers take books or documents, they may retain them while necessary for inspection or until legal proceedings conclude; they must permit the person entitled to inspect them reasonable access and provide certified copies on request (s 10(2)). Officers must exercise powers so as to avoid unnecessary disruption to business (s 10(4)); they must produce a certificate of authority when entering premises (s 10(5)).

Duties relating to sales conduct: A person who has declared goods for sale in respect of which a maximum price has been fixed must not refuse or fail to supply the goods on demand and tender of payment at the fixed price, except in specified circumstances (s 29). The Act lists defences including supply of a reasonable quantity on that occasion, lack of sufficient quantity after reasonable provision for private consumption and contractual obligations, being a wholesaler supplying a person not normally entitled to wholesale supply, or acting in accordance with a practice approved by the Minister (s 29(2)(a)-(d)). For determining what is reasonable, the Act requires consideration of all circumstances (s 29(3)).

Duties on packaging and labelling: Every maximum price includes the cost of wrapping (s 22). Declared goods offered for sale in a package or container must not have the container size altered prior to retail sale without the Minister’s written consent (s 30). Regulations may require marking or display of the prices of specified declared goods (s 51(2)(a)).

Restrictions on offers to pay or solicit overcharges: It is an offence to knowingly pay or offer to pay, or hold oneself out as willing to pay, or offer to act to get another to pay, for declared goods or services a greater price than the maximum (s 31). That extends liability to buyers and to those who solicit overpayment.

Rights to enforce and evidentiary protections: If a person is prosecuted for selling above a maximum, a court may order repayment of the overcharge (s 25(2)). The Act removes the need for the prosecution to prove knowledge of the fixed price (s 46). Certificates by the Commissioner that a price was fixed and in force are proof, unless rebutted (s 47). Certified copies of seized documents are proof of their contents (s 10(3)).

Delegation and authorisations: The Commissioner may delegate powers to public service employees or, with Ministerial consent, to persons not in the public service (s 7(1)); the Minister may also delegate powers (s 7(2)). Delegations must be in writing and are revocable at will (s 7(3)). An apparently genuine certificate of delegation signed by the Minister or Commissioner is, in legal proceedings, proof of the delegation particulars unless disproved (s 7(4)). Prosecutions for offences must be commenced by authorised officers or with the Minister’s consent (s 50A(2)).

Regulation‑driven duties: The Governor in Council may make regulations implementing the Act, including requiring price marking, prohibiting certain transactions regarding unsold bread and prescribing fines up to $750 for regulatory breaches (s 51(1)-(2)). Regulations may be general or limited in application (s 51(3)).

Automatic contractual variation: Where a statutory maximum is lower than a contractual price, the agreement is automatically varied so that the maximum price applies for goods sold or services supplied during the period the maximum is in force (s 26). Parties to contracts therefore must comply with statutory maxima regardless of contract terms.

Criminal offences and penalties: The Act creates a range of criminal offences. Selling declared goods or supplying declared services above a fixed maximum is an offence (s 25(1)). The Act provides that a person who contravenes or fails to comply with any provision of the Act is guilty of an offence (s 50(1)). Where no other penalty is prescribed, the maximum penalty is $2,500 or imprisonment for six months (s 50(2)). There are higher monetary maxima prescribed for specific offences: failure or refusal to comply with a requirement under s 9 or giving a materially false answer carries a maximum penalty of $10,000 (s 9(2)); divulging information acquired in administration contrary to s 8 attracts a maximum penalty of $10,000 (s 8). Regulations may prescribe fines up to $750 for contravention of or non‑compliance with a regulation (s 51(2)(c)).

Civil remedies on conviction: In addition to criminal penalties, where a court convicts a defendant of selling or supplying at a price above the maximum, it may order repayment to the purchaser or person supplied of the difference between the price actually received and the lawful maximum (s 25(2)). That provides a restitutionary remedy in the criminal proceedings.

Vicarious liability: The Act imposes vicarious liability for acts of agents and employees: a person is vicariously liable for the act of an agent or employee unless it is proved the person could not, by the exercise of reasonable diligence, have prevented that act (s 25(3)). This places a compliance burden on principals and employers to institute reasonable controls and oversight.

Enforcement gatekeeping and time limits: Prosecutions for summary offences under the Act are subject to time limits: expiable offences are subject to the Summary Procedure Act 1921 limits; other offences must be commenced within two years of the alleged offence, unless the Minister authorises proceedings later but within five years (s 50A(1)). Proceedings for offences under the Act cannot be commenced except by an authorised officer or by a person with the Minister’s consent (s 50A(2)). This effectively centralises prosecutorial initiation within the executive (authorised officers and the Minister) and limits private prosecutions.

Investigatory powers and evidentiary rules: Authorised officers have powers to compel answers, documents and statutory declarations (s 9) and to enter premises, inspect, test, take samples and remove books or documents (s 10). Books or documents taken may be retained for necessary periods and must be made available for inspection and copying by the owner; certified copies made by the Commissioner are admissible as proof (s 10(2)-(3)). The Act also provides that a certificate signed by the Commissioner that a particular price was fixed and in force on a specified day is proof of that fact in the absence of evidence to the contrary (s 47). The prosecution does not need to prove knowledge of the fixed price to secure a conviction (s 46), which reduces the evidentiary burden on the State.

Secrecy and information controls: Persons involved in the administration of the Act are prohibited from divulging information acquired in administration save for enumerated exceptions (consent of the person to whom information relates; in connection with administration of the Act; to police; to persons concerned in the administration of another law relating to price control; or for legal proceedings) (s 8). Breach is punishable by up to $10,000 (s 8). The Act also criminalises destroying, mutilating or hiding documents with intent to evade the Act (s 49), which is complementary to seizure powers.

Administrative enforcement architecture: Enforcement is routed through the Commissioner and authorised officers (s 4-6). The Minister can direct the Commissioner (s 5(2)), and delegations are permitted to public servants or, with Ministerial consent, to persons outside the public service (s 7(1)). The Act allows targeted orders and proclamations (s 43(1)), enabling the executive to tailor enforcement scope to specific persons, classes, areas or goods and services.

Evidence and procedure facilitation: The Act contains procedural devices favourable to enforcement: certified copies of seized documents are treated as proof (s 10(3)); Commissioner’s certificates about prices in force are proof absent contrary evidence (s 47); and an apparently genuine certificate of delegation is proof in the absence of contrary proof (s 7(4)). Those devices reduce administrative friction in enforcement proceedings.

Delegated authority and other legislation: The Commissioner may be directed by the Minister in the administration of this Act (s 5(2)), and the Minister may delegate powers (s 7(2)). The Act contemplates coordination with other price‑control laws by allowing disclosure of information to persons concerned in the administration of another law relating to the control of prices (s 8(d)). The regulations may be framed in ways that overlap with industry or consumer law, for example by requiring price marking (s 51(2)(a)), which would interact with consumer protection and trade measurement regimes in practice.

Interaction with contract law: Section 26 directly alters private contractual rights by substituting the statutory maximum price for a higher contract price for the period the maximum is in force. That is an instance of statutory variation of contract terms that takes effect on the statutory instrument, regardless of private agreement. Contracting parties must therefore adapt contractual performance and pricing mechanisms to accommodate the risk of statutory maxima being imposed.

Evidence and criminal procedure: The Act imposes time limits for prosecutions which interact with summary procedure law: expiable offences fall under the Summary Procedure Act 1921 time limits (s 50A(1)(a)). The Act also centralises prosecutorial initiation in authorised officers or persons with the Minister’s consent (s 50A(2)). Those procedural constraints interface with general criminal procedure and prosecutorial discretion exercised by prosecuting agencies.

Administrative law and judicial review: The Act vests broad discretion in the Governor (to make proclamations, s 19) and the Minister (to make price orders, s 21 and s 24, and to direct the Commissioner, s 5(2)). The Act itself does not prescribe substantive criteria for taking those decisions. Decisions of the executive under this Act will therefore be subject to the general principles of administrative law (for example, requirements of legality, reasonableness, procedural fairness where applicable), but the Act contains mechanisms such as publication in the Gazette (s 43(2)) and the Governor’s power of variation or revocation (s 45) which are procedural markers for challenge. The Act’s secrecy obligations (s 8) and its power to certify documents (s 47) will affect evidentiary strategies in any judicial review or litigation.

Intersection with labour law: The Act explicitly excludes regulation of employee remuneration by negatively providing that the Act does not authorise regulation or control of the price for which an employee provides a service for an employer (s 3(4)). That limits overlap with industrial relations and employment laws.

Interaction with regulatory instruments: Regulations made under s 51 can impose obligations that overlay the Act’s core provisions, for instance requiring display or marking of prices (s 51(2)(a)), prescribing fines for regulatory breaches (s 51(2)(c)), and setting specific rules around bread returns and compensation (s 51(2)(b), (ba)). The Act therefore establishes a framework that works with subordinate instruments to operationalise price control measures.

Evidence and cross‑jurisdictional law enforcement: The secrecy provisions permit disclosure to police forces of the State, Commonwealth, another State or a Territory (s 8(c)). They also permit disclosure in connection with the administration of another law relating to price control (s 8(d)). Those cross‑agency disclosure allowances permit co‑operation across jurisdictions and regulatory regimes.

Statutory adjustments and prior legislative landscape: The legislative history shows substantial amendment activity since 1948 (see the Legislative history section of the Act), including re‑substitutions and deletions. That history implies the Act has been reshaped periodically, and that its operative interactions with other legislation have changed over time. Specific amendments referenced in the Act materially affect definitions, procedural provisions and enforcement mechanisms (for example, insertion of s 6 by amendment 43/1987, and bread‑related regulation powers by the 2002 amendment referenced in the history).

The Prices Act 1948 was enacted by the Parliament of South Australia with assent on 5 August 1948 and initial commencement on 20 September 1948 (Gazette 16.9.1948 p1067). The Act’s legislative history contained in the reprint lists a sequence of amendments from 1949 through to 2019. The statutory consolidation provided in the source details the principal Act and many amending Acts by year, number and short title, noting assent and commencement dates for each amending instrument.

Key features of the amendment record in the source include:

• Extensive amendment activity across decades: Amendments are recorded in nearly every decade from 1949 through to the 2000s and beyond, indicating ongoing statutory modification. Each amending instrument is listed by year and Act number in the Legislative history section.

• Major restructuring in 1987: A Statutes Amendment (Fair Trading) Act 1987 (No 43/1987) is repeatedly referenced in the “Provisions amended since 3 February 1976” section as having substituted or deleted many provisions across the Act (for example, definitions in s 3, substitution of s 4, s 5, s 7, s 8, s 9, s 10, s 12 and others). The reprint notes many sections were substituted by the 43/1987 Act on 26 October 1987. That indicates a substantial reworking of definitions and administrative provisions at that time.

• Bread‑related amendment in 2002: The Prices (Prohibition on Return of Unsold Bread) Amendment Act 2002 (No 12/2002) is recorded, with commencement on 17 October 2002 (Gazette 17.10.2002 p3845). The main text of the Act reflects that by granting regulation‑making power to prohibit transactions or arrangements concerning the return of unsold bread and financial relief for unsold bread (s 51(2)(b), (ba)). The legislative history entry identifies 2002 as the year of that targeted amendment.

• Modern simplification and reprints: The Statutes Amendment and Repeal (Simplify) Act 2019 (No 25/2019) is recorded as an amending instrument with certain provisions commencing on 1 July 2020 (Pt 36 (s 78)). The Act’s reprints listed (Reprint No 1,12.12.1991; Reprint No 2,1.10.2000; Reprint No 3,17.10.2002; Reprint No 4,24.11.2003) indicate consolidation points.

• Section‑specific amendment notes: The “Provisions amended since 3 February 1976” list is granular. It records which sections were substituted, inserted, deleted or amended and references the amending Act and date of commencement for each change. For example, s 6 (Authorised officers) was inserted by 43/1987 (26.10.1987); s 12(1) and (2) were substituted by 6/2000 (29.9.2000); s 50A (Prosecutions) was inserted by 86/1983 (1.12.1983) and subsequently amended by other acts. The listing also records deletions (for instance s 22AA(1) deleted by 43/1987).

• Ongoing technical revisions: The notes record the revisor’s textual alterations incorporated in the reprint of 12 December 1988 and subsequent amendments. The Act’s marginal notes and footnotes historically noted other modifications, and readers are referred to the Index of South Australian Statutes or legislation.sa.gov.au for further details.

The legislative history in the source is a chronological inventory rather than an explanatory memorandum. It identifies multiple interventions by Parliament that have re‑shaped the Act’s text, including substantial substitution and deletion exercises. Those amendment records are the authoritative record within the statute book for how the Act has been reconfigured since 1948.

The text of the Prices Act 1948 as provided contains no case law, reported decisions or references to litigation outcomes. The Act sets out procedural and evidentiary provisions intended to facilitate prosecution and proof (for example, certified copies and Commissioner’s certificates are proof in circumstances: s 10(3), s 47). It also creates substantive offences and specifies prosecutorial gatekeeping (s 50A).

Because the Act itself does not list cases, the source contains no litigation history to summarise. Practitioners seeking reported judicial treatment, interpretations of key provisions (for example, the scope of “price” to include non‑pecuniary consideration under s 3, or the boundaries of the vicarious liability defence in s 25(3)), will need to consult case reporters, court databases and secondary materials. The Act’s procedural devices (certificates by the Commissioner, proof presumptions in the absence of proof to the contrary, s 47) and the absence of a knowledge requirement for proving an offence (s 46) are likely to have influenced litigation patterns; however, the statutory text as provided does not identify any judicial decisions.

For current litigation history or authoritative judicial interpretation, consult South Australian court databases, law reports and practitioner resources, and cross‑check with the Commissioner for Prices and the Attorney‑General’s Office where relevant. The Act’s evidentiary certificates and delegated enforcement architecture (ss 7, 10, 47) will be material lines of inquiry in any search for judicial consideration of the statute.

Knowledge not required for conviction: Section 46 provides that, in a charge for selling goods or supplying services at a price greater than that fixed by or under this Act, the prosecution need not prove the defendant knew the fixed price and it is not a defence to assert lack of knowledge. That shifts the evidentiary burden significantly toward compliance practices and recordkeeping to avoid strict liability exposure.

Automatic contractual variation: Section 26 operates automatically to substitute a statutory maximum for a contract price that is higher. Parties cannot contract out of that statutory effect. Businesses relying on long‑term supply agreements need active contractual management because statutory maxima can change the economics of contracts without bilateral agreement.

Vicarious liability standard: Section 25(3) places vicarious liability on the person for acts of an agent or employee unless it is proved that reasonable diligence could not have prevented the act. That creates a legal expectation of reasonable preventative measures and internal controls. The Act does not define “reasonable diligence”, so businesses must document compliance systems and supervisory procedures to invoke the defence.

Prosecution gatekeeping and time bars: Proceedings for offences other than expiable offences must be commenced within two years, except with Ministerial authorisation up to five years (s 50A(1)). Additionally, prosecutions can only be commenced by an authorised officer or by a person with the Minister’s consent (s 50A(2)). For private parties seeking to enforce statutory maxima, the absence of a private right to prosecute without Ministerial consent is an important structural limitation.

Broad executive discretion: The Act gives the Governor and Minister broad powers to declare goods/services and to fix maxima with minimal statutory constraints or published decision criteria (s 19; s 21; s 24). Orders may be tailored to specific persons, classes or areas (s 43(1)(a)-(j)). The statutory text does not mandate particular economic tests or procedures before fixing prices, so affected parties face regulatory uncertainty about if and when controls will be imposed.

Secrecy obligations and information handling: Persons involved in administration are prohibited from divulging information acquired in administration except in limited circumstances (s 8). That affects information requests and whistleblower considerations; it also limits what the Commissioner must disclose publicly. Breach carries a significant penalty (s 8).

Recordkeeping and retention: Notices under s 12 may require records to be kept and retained until the Commissioner authorises destruction (s 12(2)-(4)). That means businesses might be required to retain detailed transactional records for an indeterminate period, subject to Commissioner authorisation to destroy. Failure to comply with s 9’s requirements to produce documents or to answer questions truthfully attracts penalty (s 9(2)).

Non‑pecuniary consideration included in "price": Section 3 defines price to include non‑pecuniary consideration whether direct or indirect. That broad definition captures barter, coupon transactions, in‑kind benefits, loyalty points and other non‑cash considerations; pricing strategies that shift value from cash to non‑pecuniary forms may still fall within the Act’s scope.

Buyers and third parties exposed criminally: Section 31 criminalises knowingly paying or offering to pay over the maximum and holding oneself out as willing to do so. Buyers and third parties are not simply passive beneficiaries of statutory maxima; they can be targeted for enforcement if they solicit or agree to overpayment.

Seizure and retention of documents: Authorised officers may take books and documents and retain them as necessary, including while they are required for proceedings (s 10(2)). Although the Act requires officers to permit inspection and supply certified copies (s 10(2)(b)), businesses must be prepared for temporary transfer of records and to manage continuity of business operations during inspections.

Targeted and narrow orders: The Act allows orders and proclamations to apply to particular persons or transactions (s 43(1)(e), (f)), which can produce asymmetric compliance burdens if a subset of sellers within an industry is singled out. Those targeted instruments can be operationally disruptive and necessitate precise legal and compliance analysis for entities affected.

Regulation‑imposed bread rules: Regulations may prohibit return of unsold bread to suppliers and prohibit financial relief or compensation arrangements for unsold bread (s 51(2)(b), (ba)). Businesses dealing in bread must check subordinate legislation for such specific prohibitions, as they may alter customary supply chain practices.

Delegation to non‑public servants: The Commissioner may delegate powers to persons not employed in the public service with the Minister’s consent (s 7(1)). That enables delegation to external agents or contractors, which can have implications for confidentiality, oversight and accountability.

Evidence presumption devices: The Commissioner’s certificates and certified copies serve as proof absent contrary proof (s 47; s 10(3)), and delegation certificates are prima facie proof in proceedings (s 7(4)). Those presumptions make it materially easier for the State to establish key facts in prosecution unless rapid rebuttal evidence is marshalled.

Monitor proclamations, orders and the Gazette: Businesses that sell or supply goods or services that could be declared should monitor the Gazette and the Commissioner’s published notices for proclamations and orders (s 43(2); s 44). Orders must be published in the Gazette or served on persons bound by them (s 43(2)); they come into operation on publication unless a later date is specified (s 44). Set up a compliance watch to capture announcements affecting your goods, services, classes of sale or geographic operations.

Price setting and labelling: Ensure that posted or quoted prices for declared goods or services do not exceed the maximum fixed price (s 25(1)). Remember that “price” includes non‑pecuniary consideration (s 3), and that every maximum includes the cost of wrapping (s 22). Regulations may require price marking or display of prices (s 51(2)(a)), so ensure labels and point‑of‑sale systems reflect statutory maxima and include wrapped costs.

Contracts and commercial terms: Review supply contracts to identify exposure to statutory maxima. Section 26 automatically substitutes the statutory maximum for a higher contract price; therefore, contract administration should include procedures to adjust billing, invoicing and settlement to statutory maxima when an order is in force. Consider including contractual clauses that allocate risk where statutory maxima might be applied, and maintain controls to document when statutory maxima apply and when they cease.

Records and internal controls: If the Commissioner issues a notice requiring records under s 12, comply with the notice by keeping the specified accounts and records and retaining them until authorised to destroy (s 12(2)-(4)). Even absent a formal s 12 notice, maintain robust transactional and pricing records to demonstrate compliance. Given the vicarious liability in s 25(3), document supervisory and preventive measures as evidence of “reasonable diligence”.

Responding to authorised officers: Train staff on how to respond to authorised officers. Authorised officers may require answers, statutory declarations and production of documents (s 9) and may enter premises for inspection and take documents (s 10). Officers must produce a certificate of authority (s 10(5)). Establish procedures for verifying authority, facilitating inspections so as to avoid unnecessary disruption (s 10(4)), preserving chain of custody for documents, and requesting certified copies where originals are taken (s 10(2)(b)). Be aware of the self‑incrimination privilege in s 9(3) and seek counsel where compelled answers might expose criminal liability.

Avoid offers or solicitation of overcharges: Do not solicit, offer or accept payment or offers to pay over a statutory maximum (s 31). Sales staff and agents should be instructed not to solicit higher payments or to suggest arrangements that would circumvent maxima, including non‑pecuniary substitutes that are designed to circumvent the statutory definition of price, as s 3 includes non‑pecuniary consideration.

Manage inventory and supply obligations: If declared goods are in short supply, be prepared to demonstrate the defences in s 29(2) should an allegation of refusal to sell arise. Keep contemporaneous stock records showing private consumption reserve, contractual commitments and ordinary business requirements. Ensure wholesalers are protected against demands from parties who are not typically entitled to wholesale supplies (s 29(2)(c)).

Packaging and container size: Do not alter the size of a package or container prior to retail sale for declared goods without obtaining the Minister’s written consent (s 30). If packaging changes are contemplated, obtain written Ministerial consent well before implementation.

Seek Ministerial consent where relevant: Section 27 requires Ministerial consent for resales above a maximum by persons who are not themselves subject to an order but who purchased from someone who is. Where a commercial circumstance may require a deviation from statutory maxima (for example, to resell at a higher price due to added value or transformation), obtain the Minister’s consent to avoid breach.

Engage proactively with regulators: Where there is regulatory uncertainty or risk of orders being made, engage with the Commissioner for Prices early. Note that prosecutions can only be commenced by authorised officers or with the Minister’s consent (s 50A(2)). Document communications with the Commissioner and, if enforcement action is threatened, seek to resolve issues administratively where possible.

Compliance with bread rules: If your business deals with bread, check relevant subordinate legislation given s 51(2)(b), (ba) authorises prohibitions on return of unsold bread and on compensation arrangements. Update supply chain practices, return policies and accounting treatments accordingly.

Prepare for investigations and litigation: Keep evidence organised and prepare to rebut Commissioner certificates and certified copies where necessary. Because the prosecution does not need to prove knowledge of the fixed price (s 46), focus on demonstrable compliance systems and contemporaneous records to rebut allegations or mitigate risk.

Legal and compliance policies: Incorporate the Act’s requirements into compliance manuals, staff training (particularly front‑line sales staff and wholesale teams), contract templates, and invoice systems. Maintain an approval process for pricing changes and a compliance officer or legal counsel aware of Gazette notices and Ministerial orders.

Data and record retention policies: Note s 12(4) requires accounts and records specified in a notice to be kept until the Commissioner authorises their destruction. Do not destroy relevant records prematurely and establish a process for seeking Commissioner authorisation for destruction when appropriate.

Seek advice on ambiguous points: Where statutory text is silent on criteria for declarations or price orders (ss 19, 21, 24), or where “reasonable diligence” is at issue under s 25(3), obtain legal advice on administrative law and criminal defence strategies. For contested enforcement actions, counsel will be necessary to navigate evidentiary presumptions (s 47; s 10(3)) and procedural limits (s 50A).

Document and evidence defensive steps: To rely on statutory defences (for example s 29(2)(a)-(d)), ensure contemporaneous documentation (stock levels, orders, supply chain constraints, approved practices, Ministerial approvals) is maintained. Those records are the primary means of substantiating lawful conduct under the Act.

By operationalising these steps and documenting compliance choices, businesses can better manage the statutory risks created by declarations and maximum price orders under the Prices Act 1948.
