Prevention of Family Violence Act 2018

The Act organises around a small set of legal constructs and governance mechanisms that determine who decides, who pays (implicitly), who reports and how programmatic activity is to be carried out.

• The Agency as a corporate actor. Section 5 establishes the Family Violence Prevention Agency as a body corporate with perpetual succession, an official seal and the legal capacities of a corporation (s 5(1)-(2)). That corporate status gives the Agency legal capacity to hold property, contract, litigate and enter into arrangements required to deliver its functions.

• Guiding principles as purposive constraints. Section 4 lists six guiding principles that the Agency’s functions, duties and programs should be carried out in a way consistent with those principles, including that all persons should live in a safe and equal society free from violence and that gender inequality is connected to family violence (s 4(1)(a)-(e)). Parliament explicitly disclaimed creating enforceable private rights from these principles (s 4(2)).

• Statutory functions and the scope of activity. Section 6 enumerates the Agency’s functions (advice to Minister, monitoring framework, grants, assessment and endorsement of programs, education and support for organisations, monitoring and research, promotion and reporting) and permits prescribed functions consistent with the guiding principles (s 6(1)(a)-(l)). Subsection (2) gives the Agency the powers necessary or convenient to perform those functions (s 6(2)), which is a standard plenary statutory empowerment.

• Minister and Secretary instruments. The Act creates two types of operational guidance: Ministerial guidelines (s 11) and Secretary guidelines (s 12). The Secretary may not issue guidelines on a matter that is the same in substance as a Ministerial guideline (s 12(2)) and Ministerial guidelines prevail to the extent of inconsistency (s 13). Both types must be published in the Government Gazette (ss 11(2), 12(3)). These rules create a two‑tiered guidance regime with clear primacy for Ministerial directions.

• Grant‑making with Ministerial oversight. The Agency’s capacity to make grants is conditional on Ministerial approval (s 10(1)). The Agency may require information from applicant organisations as a condition of determining grant eligibility (s 10(2)). The Act also requires assessment and endorsement of programs (s 6(1)(d)) and monitoring of funded programs (s 6(1)(g)), implying evaluation and compliance monitoring.

• Corporate governance: Board and CEO. The Board is the Agency’s governing body with responsibility for oversight and management (s 16). Board composition is constrained to 5-8 appointed members (s 17) who must meet specified skills, expertise or experience (s 18(2)(a)-(b)), and the Governor in Council appoints members on the Minister’s recommendation (s 18(1)). The CEO is employed under the Public Administration Act, may not be a member of the Board (s 24(3)), and performs the Agency’s daily managerial functions, implements Board decisions and reports risks to the Board, Secretary and Minister (s 25).

• Staffing and inter‑agency resourcing. The Act permits the Agency to employ staff under Part 3 of the Public Administration Act 2004 (s 7(1)) and to enter into arrangements for the use of staff from departments or other public sector bodies (s 7(2)). The Secretary has a statutory obligation to ensure the Agency is provided with any assistance it reasonably requires to perform its functions (s 8), which is a specific inter‑departmental support requirement.

• Accountability and transparency. The Agency must prepare a business plan annually, provide the proposed plan to the Minister by a time the Minister sets, and obtain Ministerial approval or accept Ministerial directions to modify the plan (s 14). The Agency undertakes statutory reviews every three years and the Minister must table review reports in Parliament (s 15). The Board must report significant decisions and risks to both the Minister and Secretary and must lay an annual financial performance report before Parliament (ss 26-27).

• Regulation‑making power. Section 28 gives the Governor in Council a broad power to make regulations to prescribe functions consistent with the guiding principles and to confer discretionary authority or impose duties, potentially expanding operational detail beyond the Act (s 28(1)-(2)). The regulations may differ by time, place or circumstances (s 28(2)(b)), enabling tailored instruments.

These concepts structure incentives and constraints. The guiding principles steer program design and evaluation criteria. Ministerial control points exist at guideline issuance, business plan approval, grant approval and Board member recommendations, which shapes how the Agency allocates resources and which programs reach funding. The statutory requirement that the Secretary assist the Agency (s 8) and the corporate ability to contract for staff support (s 7(2)) determine resourcing pathways. The Act delegates monitoring and evaluation to the Agency (s 6(1)(b), (g)), but gives Parliament visibility through mandated tabling of reviews and financial reports (ss 15(4), 27(2)).

The Act affects distinct groups by design: government actors, Agency governance and staff, organisations seeking to prevent family violence and violence against women, Parliament and, by extension, communities served by programs.

• The Minister and the Executive. The Minister has direct powers that affect the Agency’s operation: issuing Ministerial guidelines (s 11), approving grants (s 10(1)), approving the Agency’s proposed business plan or directing changes to it (s 14(4)), recommending Board members and the chairperson to the Governor in Council (ss 18(1), 22(1)), and having Ministerial guidelines prevail over Secretary guidelines (s 13). The Minister’s decisions shape priority setting, funding and governance appointments.

• The Secretary and the Department. The Secretary (the Department Head within the meaning of the Public Administration Act 2004) is a statutory participant. The Secretary may issue guidelines where not duplicative of Ministerial guidelines (s 12(1)-(2)), must publish guidelines (s 12(3)), must be notified of significant Board decisions and issues of public concern or risk (s 26(1)), and must ensure the Agency is provided with any assistance it reasonably requires (s 8). The Secretary therefore channels departmental resources and operational support and acts as an internal accountability node.

• The Board and Board members. The Board is the Agency’s governing body charged with oversight and management (s 16). Board composition is limited to between five and eight appointed members (s 17). Members are Governor in Council appointees on the Minister’s recommendation and must possess skills in specified areas such as law, communications, cultural diversity, primary health, financial management, risk management and governance (s 18(1)-(2)). Board members who are not public sector employees are eligible for remuneration fixed by the Governor in Council (s 19). The chairperson is a Governor in Council appointment on the Minister’s recommendation (s 22(1)) and holds specific powers including convening meetings and casting votes (s 23(1)).

• The chief executive officer and staff. The CEO is appointed by the Board but requires Ministerial approval (s 24(1)-(2)). The CEO must be employed under the Public Administration Act 2004 (s 24(4)) and is tasked with day‑to‑day management, implementation of Board decisions, organisational structure and reporting issues of public concern or risk to the Board, Secretary and Minister (s 25). Other staff may be employed under the Public Administration Act or seconded from other public sector bodies (s 7). The Act therefore embeds the Agency within public sector employment frameworks.

• Organisations seeking funding or endorsement. The Act contemplates that private, not‑for‑profit and community organisations that carry out or intend to carry out programs in prevention may apply for grants, have programs endorsed and be monitored (s 6(1)(c)-(d), (g); s 10). Organisations are required to supply information when the Agency seeks it to determine grant eligibility (s 10(2)). These organisations will face monitoring obligations and program assessment criteria aligned to the guiding principles.

• Parliament and the public. The Minister is required to table the Agency’s triennial review reports before each House of Parliament (s 15(4)) and the Board must lay a financial performance report before each House (s 27(2)). These obligations position Parliament as the ultimate accountability forum. The Act’s stated purpose and guiding principles indicate the public as the intended beneficiaries of the Agency’s work, specifically those affected by family violence and violence against women.

• Other public sector bodies. Departments and statutory authorities that provide staff under arrangement to the Agency, and bodies that might be subject to Secretary guidelines, are affected operationally (s 7(2), s 12). The Act cross‑references the Public Administration Act 2004 and the Family Violence Protection Act 2008 for definitions and employment arrangements (s 3), so personnel policies and legal definitions will be drawn from those instruments.

Notably absent from the Act is a prescriptive funding formula. The Act speaks to grants and business plans but does not itself appropriate money or set budget lines. The practical effect is that the Agency’s ability to make grants and to resource itself depends on executive budget decisions and departmental allocations, supplemented by the Secretary’s obligation to provide assistance (s 8). Organisations applying for funding therefore face public funding processes controlled by the Minister and shaped by the Agency’s assessment and monitoring regime.

The Act assigns statutory duties to the Agency, the Board, the CEO, the Secretary and the Minister, and it confers a set of operational rights on the Agency consistent with corporate status.

Duties

• Agency duties. The Agency must perform the functions enumerated in s 6, which include providing advice on funding and programs, developing a monitoring framework, making grants with Ministerial approval, assessing and endorsing programs, providing advice and support to organisations, monitoring programs, undertaking and disseminating research, promoting awareness and reporting to the Minister (s 6(1)(a)-(k)). The Agency must also conduct a triennial review of trends and outcomes in relation to prevention (s 15(1)) and provide the review to the Minister, who must table it before Parliament (ss 15(3)-(4)). The Agency must prepare an annual business plan and provide a proposed plan to the Minister by a Minister‑determined date (s 14(1)-(3)) and must have regard to Ministerial and Secretary guidelines when performing functions (s 9).

• Board duties. The Board is responsible for oversight and management of the Agency and ensuring Agency roles and functions comply with statutory functions (s 16). The Board must report significant decisions and issues of public concern or risk to the Minister and the Secretary (s 26(1)) and prepare an annual financial performance report for Parliament (s 27(1)-(2)). The Board also has procedural duties: convening meetings, establishing quorums (majority of current members), and managing its proceedings in accordance with the Act (s 23).

• CEO duties. The CEO must establish and maintain the Agency’s organisational structure, manage day‑to‑day operations in accordance with the business plan and budget and with Board directions, prepare reports for the Board, assist the Board and its sub‑committees, implement Board decisions, and inform the Board, Secretary and Minister of issues of public concern or risk (s 25(1)(a)-(g)).

• Secretary duties. The Secretary must ensure the Agency is provided with any assistance it reasonably requires to perform its functions (s 8). The Secretary may issue guidelines about Agency performance provided they are not the same in substance as Ministerial guidelines (s 12(1)-(2)) and must publish guidelines in the Government Gazette (s 12(3)).

• Minister duties. The Minister must publish Ministerial guidelines in the Government Gazette (s 11(2)), table the Agency’s triennial review report when provided (s 15(4)), and, under the business plan provisions, receive the proposed plan and either approve it or direct changes (s 14(2)-(4)). The Minister must also ensure that Ministerial guidelines prevail in case of inconsistency (s 13).

Rights, powers and entitlements

• Agency corporate powers. As a body corporate, the Agency may acquire, hold and dispose of real and personal property, sue and be sued, and do other acts a corporation may do (s 5(2)(a)-(e)). Section 6(2) gives the Agency all powers necessary or convenient to perform its functions.

• Grant‑making powers, conditional on Ministerial approval. The Agency may make grants to organisations to carry out programs that promote the guiding principles, but only with the Minister’s approval (s 10(1)). The Agency may require information from organisations to determine grant eligibility (s 10(2)).

• Board member entitlements. Non‑public sector Board members are entitled to remuneration and allowances determined by the Governor in Council (s 19). Terms of office are specified in appointment instruments (not exceeding three years), with eligibility for reappointment up to statutory caps (three years per term and up to nine consecutive years for members; up to six consecutive years for the chair unless exceptional circumstances) (ss 20-22).

• Procedures and votes. The chairperson presides at Board meetings when present, may convene meetings, must convene a meeting on request and has a deliberative and a casting vote (s 23(1)(a)-(d)). A majority of members provides a quorum (s 23(2)).

• Employment rights under the Public Administration Act. The CEO and any Agency employees employed under Part 3 of the Public Administration Act 2004 will hold employment rights and obligations under that Act (s 7(1), s 24(4)). The Act therefore imports public sector employment frameworks into Agency staffing.

Boundaries and limits

• Parliamentary disclaimer of private rights. Although the guiding principles are intended to guide functions (s 4(1)), Parliament expressly states that s 4 does not create any legal right or civil cause of action (s 4(2)). That means third parties cannot rely on the guiding principles to found private legal claims under this Act.

• Secretary guideline limitation. The Secretary is expressly barred from issuing guidelines that are the same in substance as a Ministerial guideline (s 12(2)), which limits administrative duplication and ensures Ministerial primacy on matters of substance.

• Regulation‑based expansions. The Act allows additional functions to be prescribed by regulation consistent with the guiding principles (s 6(1)(l), s 28(1)(a)). Those functions and any duties imposed by regulation will be additional statutory duties when made.

In summary, the Act imposes a mix of operational duties (business planning, reporting, monitoring, grants oversight, reviews) and governance duties (Board oversight, CEO management), while giving the Agency corporate powers to implement programs. Ministerial and Secretary instruments, and Ministerial approvals, are key levers that shape the Agency’s practical discretion.

The Act does not set out criminal penalties, infringement offences or express civil penalties for non‑compliance with its substantive duties. Enforcement and compliance are primarily administrative and contractual. The Act relies on a combination of statutory accountabilities, executive approvals and reporting obligations rather than criminal sanctions.

Statutory accountability mechanisms

• Reporting obligations. The Board must report significant decisions and issues of public concern or risk to the Minister and the Secretary (s 26(1)) and prepare an annual financial performance report to be laid before each House of Parliament (s 27(1)-(2)). The Agency must provide triennial review reports to the Minister, who must table them in Parliament (ss 15(3)-(4)). These reporting duties create political and parliamentary accountability channels that can result in scrutiny, parliamentary questions or follow‑on executive action.

• Ministerial control points. The Act creates administrative levers through the Minister’s powers to issue guidelines (s 11), to approve grants (s 10(1)), to approve or direct changes to the Agency’s business plan (s 14(4)), and to recommend Board appointments to the Governor in Council (ss 18, 22). These levers are instruments of oversight capable of directing or constraining Agency activity. Non‑compliance with Ministerial directions about business plans or guidelines would be resolved by administrative means (removal of board members, direction, or budgetary control), not by penal sanction contained in the Act.

• Contractual and grant agreement enforcement. The Act authorises the Agency to make grants to organisations with Ministerial approval (s 10(1)), and to require information from organisations to determine grant eligibility (s 10(2)). It also empowers the Agency to monitor programs (s 6(1)(g)). While the Act does not prescribe specific sanctions for organisations, grant agreements and contractual instruments that implement a grant will ordinarily contain conditions, reporting obligations and breach remedies (suspension, repayment, termination). Enforcement of those grant conditions will generally operate through contract law and the terms of the grant instrument, rather than through statutory penalties in this Act.

• Regulatory powers. Section 28 empowers the Governor in Council to make regulations that may confer discretionary authority or impose duties on specified persons or classes of persons (s 28(2)(c)). Regulations could, if made, create specific obligations and sanctions. The Act therefore leaves open the capacity to create more prescriptive enforcement measures by subordinate legislation.

Gaps and practical enforcement considerations

• No express offences. There are no express criminal offences or civil penalties for failure to comply with the Act’s statutory duties, such as failures to prepare a business plan, conduct reviews, or have regard to guidelines. That implies enforcement will be managed administratively by the Minister and Secretary, and by public and parliamentary scrutiny.

• Reliance on public‑sector employment and contract law. The CEO and staff are employed under the Public Administration Act 2004 (ss 7(1), 24(4)), and their employment obligations and disciplinary frameworks will be governed under that Act and public service rules. Similarly, contractual remedies in grant agreements provide practical enforcement channels for program compliance.

• Parliamentary remedies. The requirement to table reports in Parliament creates reputational and political enforcement mechanisms, including the possibility of parliamentary inquiries, questions, and ministerial accountability in the House. The Act therefore embeds non‑judicial enforcement through democratic institutions.

• Regulation as potential enforcement route. Because the regulation‑making power can confer discretionary authority or impose duties and can differ by class and circumstances (s 28(2)), the Executive could, if it chose, introduce regulatory obligations with enforcement mechanisms to sit alongside the statutory framework.

In practice, compliance and enforcement under this Act will be a mixture of (1) internal public‑sector compliance tools (employment and governance processes), (2) contractual enforcement of grant conditions, (3) Ministerial and Secretary administrative directions and approvals, and (4) parliamentary scrutiny through the tabling and publication of reports. Practitioners should therefore expect enforcement pathways that are administrative and contractual rather than criminal or statutory penalty‑driven under this Act.

The Act is explicitly cross‑referential to two significant statutes and leaves regulatory detail to delegated legislation, thereby embedding the Agency within existing administrative, employment and family violence law frameworks.

• Public Administration Act 2004. The Act incorporates the Public Administration Act 2004 in multiple ways. Definitions for Department and public sector employee are drawn from that Act (s 3). Section 7(1) expressly authorises necessary employees to be employed under Part 3 of the Public Administration Act 2004, and s 24(4) requires the CEO to be employed under the same Part. Staff secondments or use of departmental staff are authorised in s 7(2). As a consequence, employment terms, disciplinary processes, superannuation, and other public‑sector employment entitlements will be governed by the Public Administration Act and associated employment instruments. Governance practices and public sector accountability frameworks will therefore apply.

• Family Violence Protection Act 2008. The Act imports the definition of "family violence" from the Family Violence Protection Act 2008 (s 3). That means the Agency’s activities, reporting and program definitions are anchored to that statutory definition. Practitioners must therefore read the Prevention of Family Violence Act 2018 alongside the Family Violence Protection Act 2008 when defining program scope or eligibility.

• Executive government and Governor in Council powers. Board appointments and chairperson appointments are made by the Governor in Council on the Minister’s recommendation (ss 18(1), 22(1)). The Act therefore sits inside the standard executive appointment framework under the Victorian Constitution and associated statutes. Regulations are to be made by the Governor in Council (s 28), which is the usual vehicle by which the Executive enacts subordinate legislation in Victoria.

• Parliamentary accountability mechanisms. The Act establishes reporting and tabling obligations (ss 15(4), 27(2)) that interlock with Parliament’s procedural rules and standing orders. The requirement to table reports places the Agency’s outputs within the parliamentary scrutiny process and may trigger parliamentary inquiries or further legislative or budgetary responses.

• Contract law and grant agreements. While the Act empowers the Agency to make grants (s 10(1)), the mechanics, conditions and enforcement of grants will typically be governed by contract law and the express terms of grant agreements. Contracts will interact with the Act where statutory powers (for example, the Agency’s powers to require information (s 10(2)) and to monitor programs (s 6(1)(g))) underpin contractual obligations.

• Regulation‑making authority and other subordinate instruments. Section 28 authorises regulations that may prescribe functions and confer authority or impose duties (s 28(1)-(2)). Those regulations will interact with the Act by expanding or clarifying functions, and may reference or alter practices that touch other statutory regimes. Because regulations may differ by time, place or circumstances (s 28(2)(b)), the Act contemplates tailored subordinate instruments that intersect with other statutes or policy frameworks.

• Publication obligations. Ministerial and Secretary guidelines must be published in the Government Gazette (ss 11(2), 12(3)). That procedural requirement links to broader administrative law principles on transparency and may affect judicial review considerations if an affected party seeks to challenge administrative decisions where the guidelines were relevant.

Notably absent are specific references to budget appropriations or the Financial Management Act 1994. The Act requires a business plan and an annual financial performance report to Parliament (ss 14, 27), but it does not itself appropriate funds. Budgeting and appropriation will therefore be managed through the usual executive and parliamentary appropriation processes, and the Agency’s operational finances will interact with public finance statutes and Treasury processes in practice.

Practitioners should therefore approach the Act as an enabling framework that operates within the broader architecture of public administration law, family violence law and government finance. When advising clients, whether departments, the Agency, grant applicants or third parties, one must read the Act together with the Public Administration Act 2004, the Family Violence Protection Act 2008 and any relevant regulations, grant program guidelines and departmental funding instruments.

The Act’s endnotes supply the principal legislative milestones and a recorded amendment. Key dates and amendment mechanics are as follows.

• Assent and commencement. The Prevention of Family Violence Act 2018 was assented to on 11 September 2018 (Endnotes, Table of Amendments). The endnotes record that s 30 commenced on 4 October 2018 via Special Gazette (No. 433) 18 September 2018 page 1. Section 2(1) allows commencement by proclamation and s 2(2) provides that if a provision does not come into operation before 18 June 2019 it will do so on that day. The endnotes also record the Act "came into operation on 4 October 2018" (Endnotes, Interpretation).

• Repeal of Part 5. The table of amendments notes that Part 5 (ss 29-30) was repealed by No. 41/2018 s 30, with the repeal effective on 18 June 2020. The specific footnote reads: "Note: S. 30 repealed Pt 5 (ss 29, 30) on 18.6.20" (Endnotes, Table of Amendments). The published Version No. 002 incorporates amendments as at 18 June 2020.

• Versioning and incorporated amendments. The text supplied is "Version incorporating amendments as at 18 June 2020". The Version No. 002 header indicates that the current text reflects operative amendments to that date. The endnotes also state that this publication incorporates amendments made to the Act by Acts and subordinate instruments, indicating the published text is not necessarily the original enacted text but an updated consolidation.

• No amendments not in operation. The document’s endnote 3 indicates that this version contains no amendments that are not yet in operation. That means the consolidated text reflects current operative provisions to the date indicated.

• Explanatory materials. The endnotes include references to the Minister’s second reading speech (Legislative Assembly 20 June 2018; Legislative Council 9 August 2018). An explanatory memorandum and table of provisions accompanied the Bill, but the "Explanatory details" section in the endnotes has "No entries at date of publication", indicating no additional explanatory annotations in the consolidated edition.

Implications for practitioners

• Consult the consolidated text and Gazette notices. Because Ministerial and Secretary guidelines must be published in the Government Gazette (ss 11(2), 12(3)), and because regulations may be made under s 28, practitioners should check recent Government Gazette notices and subordinate instruments to capture operational detail, modified functions or new duties that have been prescribed since the consolidation date.

• Monitor regulation‑making and delegated instruments. The Act leaves substantial scope to the Governor in Council to prescribe functions and to confer duties by regulation (s 28). Amendments implementing those powers may materially alter the Agency’s scope and obligations.

• Appointment and governance changes reflect executive practice. The appointment mechanics in ss 18-22 and remuneration (s 19) are implemented through Governor in Council instruments, which are part of the Executive’s administrative practice. Any changes to appointment practice or remuneration are likely to appear in statutory instruments or in departmental publications rather than in the Act itself.

To summarise, the principal textual changes recorded in the published consolidation are the repeal of Part 5 on 18 June 2020 and the incorporation of amendments up to that date. Practitioners should consult the Government Gazette, the Victorian legislation website and subordinate instruments for any changes made after 18 June 2020.

The supplied Act text and endnotes do not record any case names, judicial decisions, or specific litigation arising under the Prevention of Family Violence Act 2018. The Act itself contains no footnoted citations to case law and the endnotes make no mention of litigation or judicial consideration.

What the Act’s structure implies for litigation risk

• Limited direct private law causes of action. Section 4(2) expressly states that the guiding principles do not create legal rights or give rise to civil causes of action. Therefore, plaintiffs cannot found a civil claim solely on the guiding principles in s 4. That reduces the likelihood of successful private law suits that seek to enforce the guiding principles as standalone legal obligations.

• Administrative law challenges. Although the Act does not create clear private rights, administrative decisions made under the Act,such as grant approvals/denials by the Agency (s 10(1)), Ministerial directions, Ministerial or Secretary guidelines (ss 11-12), and appointments, may be susceptible to judicial review on standard administrative law grounds (validity, reasonableness, procedural fairness, jurisdictional error) if an affected person can establish standing and that a decision is a reviewable "decision" under general administrative law principles. The Act’s requirement that Ministerial and Secretary guidelines be published (ss 11(2), 12(3)) and the Secretary’s assistance obligation (s 8) create procedural steps that a court might examine if administrative action is challenged.

• Contractual claims. Disputes about grant agreements, contract performance, monitoring conditions and repayment obligations would be resolved by contract and commercial litigation principles rather than under the Act directly. Organisations that receive grants and that are required to provide information (s 10(2)) or that operate under monitoring obligations (s 6(1)(g)) will be subject to the terms of their grant agreements; breach of those terms could give rise to civil claims.

• Employment litigation. The CEO and Agency staff are employed under the Public Administration Act 2004 (ss 7(1), 24(4)). Employment disputes, disciplinary actions, termination issues and appeals will follow public sector employment laws and may proceed to tribunals or courts in accordance with those frameworks.

• Parliamentary remedies and inquiries. The Act’s tabling obligations (ss 15(4), 27(2)) mean that agency reports are public documents; issues identified in reports could trigger parliamentary inquiries, Auditor‑General investigations or other accountability processes. Those processes are political and administrative rather than judicial, but they may give rise to material findings that lead to reform or follow‑on litigation in other contexts.

Absence of reported cases in the consolidation

Given that the consolidation does not cite or list cases, and the endnotes do not identify litigation, the immediate conclusion from the source is that there is no litigation history contained within the Act text. Practitioners seeking case law should search Victoria’s legal databases, administrative law reports and the Victorian Gazette for decisions that engage the Agency, its grants, or related administrative actions beyond the text of the Act.

This section flags statutory features and operational mechanics that commonly cause delays, misinterpretation or practical friction. Each item refers to the relevant provision(s) so readers can verify the primary text.

• Ministerial approvals constrain Agency autonomy. The Agency may only make a grant to an organisation with the Minister’s approval (s 10(1)). The Board must not appoint a CEO without the Minister’s approval (s 24(2)). The Minister also approves or directs changes to the Agency’s business plan (s 14(4)). These approval gates can cause timing delays, concentrate decision authority in the Minister’s office, and require the Agency to factor Ministerial timelines into program delivery. Practitioners should not assume the Agency can autonomously fund programs without clearance.

• Secretary guidelines limitation can create uncertainty about administrative guidance. The Secretary may not issue guidelines that are the same in substance as a Ministerial guideline (s 12(2)). That prohibition may require careful drafting and coordination between Ministerial and Secretary instruments; a Secretary guideline that overlaps in substance may be invalid or inoperative to that extent. Agencies and departments should ensure co‑ordination to avoid legal uncertainty.

• Business plan submission timing is Minister‑determined. The Agency must submit its proposed business plan on or before the date each year determined by the Minister (s 14(2)). The Act does not set a fixed statutory deadline (for example, no specific day or month), so the Minister’s timetable controls. That can create operational unpredictability for budgeting and recruitment cycles.

• Board appointment and tenure caps. Members hold office for up to three years per instrument of appointment and may not hold office for more than nine consecutive years unless exceptional circumstances exist (s 20(b)). The chairperson is eligible for reappointment but may not hold office for more than six consecutive years unless exceptional circumstances are found (s 22(2)(b)). These caps require forward planning for succession and may disrupt continuity if not anticipated.

• Governor in Council appointment process. The Governor in Council makes appointments on the Minister’s recommendation (s 18(1)). Administrative delays in making instruments of appointment or in securing Governor in Council steps can leave the Board under‑constituted, affecting quorum and decision‑making (s 23(2)).

• CEO cannot be a Board member. Section 24(3) forbids appointing a member of the Board to be the CEO. This prevents a combined governance/management role that some smaller statutory bodies adopt; organisations that anticipated a unified role will need separate recruitment tracks.

• No statutory funding guarantee or appropriation detail. While the Act requires a business plan and authorises grants, it contains no appropriation power or funding formula. The Agency’s operational and grant budgets will depend on executive appropriations and departmental allocations. The Secretary’s obligation to provide assistance (s 8) does not equate to an explicit budget line or appropriation; resource commitments should be verified in departmental budget papers or appropriation acts.

• Monitoring, endorsement and information powers but no enforcement penalties in the Act. The Agency may monitor programs and assess/endorse them (s 6(1)(d), (g)) and may require information from organisations for grant determinations (s 10(2)). However, the Act contains no express civil or criminal penalties for organisations that fail to comply. Enforcement will be through contractual grant agreements or future regulations (s 28). Grant applicants should therefore expect to negotiate robust contractual compliance terms.

• Regulations can expand functions and duties. The Governor in Council may make regulations prescribing functions consistent with the guiding principles and conferring duties or discretionary authority (s 28(1)-(2)). This means the Agency’s remit can be broadened without Act amendment. Organisations and advisors should monitor subordinate legislation for changed obligations.

• Guiding principles are non‑justiciable. Section 4(2) expressly disclaims that the guiding principles create legal rights or civil causes of action. Program designers should therefore treat the guiding principles as policy direction rather than enforceable legal standards.

• Publication obligations may create administrative burdens. Ministerial and Secretary guidelines must be published in the Government Gazette (ss 11(2), 12(3)). The process to Gazette instruments can add to lead times for operational guidance; practitioners should allow for publication lag when relying on new guidelines.

• Quorum dependence on current membership. The quorum for Board meetings is a majority of the members "for the time being" (s 23(2)). If vacancies occur, fewer members may still constitute a quorum, but prolonged vacancies could frustrate decision‑making or create legal risk for actions taken without full representation. Appointment timelines matter operationally.

• Tension between independence and executive oversight. The Board has oversight and management responsibilities (s 16) but many significant functions require Ministerial approval or are influenced by Ministerial guidelines (ss 10, 11, 14). This creates a hybrid governance model where the Board’s management role sits within an executive oversight frame that practitioners should plan for in governance and compliance documentation.

• First triennial review timing. The first review must be conducted in the fourth year of operation and cover the first three years after commencement (s 15(2)). That specific sequencing is unusual and must be accounted for in early evaluation and monitoring planning.

These items are concrete statutory mechanics that tend to be operational pinch points. Attention to the cited provisions and early coordination with Ministerial and departmental offices will reduce the likelihood of missteps.

This section gives actionable compliance steps mapped to the Act’s principal duties and decision points. It distinguishes obligations for the Agency and Board, the CEO and staff, the Minister/Secretary nexus, and organisations seeking grants.

For the Agency and Board

• Incorporate the guiding principles into program design and evaluation. Ensure that program objectives, performance measures and evaluation criteria explicitly map to the guiding principles in s 4(1)(a)-(e), while recognising s 4(2) precludes private enforcement based solely on those principles.

• Prepare and submit the annual business plan on schedule. Determine the date set by the Minister for submission (s 14(2)). The proposed business plan must include a statement of intent showing objectives, activities and performance measures (s 14(3)(a)). Build a timeline for internal drafting, Board consideration, Ministerial engagement and any anticipated Ministerial-directed changes (s 14(4)-(5)).

• Manage grant processes to account for Ministerial approval. Design grant assessment, due-diligence and endorsement procedures with the clear step that any grant recommendation to fund an organisation requires Ministerial approval (s 10(1)). Prepare complete and auditable files for Ministerial submission, including risk assessments, program fit with guiding principles, monitoring and evaluation frameworks, budgets and contractual terms.

• Ensure robust monitoring and evaluation. The Agency must develop a framework for monitoring trends and program outcomes (s 6(1)(b)) and must monitor programs (s 6(1)(g)). Adopt evaluation methodologies, data governance and reporting templates that support triennial reviews and enable timely reporting to the Minister and Parliament.

• Maintain records for the triennial review. The Agency must conduct a review every three years and provide it to the Minister for tabling in Parliament (s 15). Ensure data collection systems capture inputs, outputs and outcomes over time so the first statutory review can cover its required period (s 15(2)).

• Maintain corporate governance practices. The Board should adopt internal governance rules consistent with s 23, ensure meetings can be convened by the chair or at the request of a member, and ensure quorum (a majority of current members) is maintained (s 23(1)-(2)). Prepare and maintain a register of board appointments, terms and reappointment limits (ss 17, 20-22).

For the CEO and staff

• Employment and secondment compliance. Employ staff under Part 3 of the Public Administration Act 2004 or enter into formal secondment agreements with departmental bodies as authorised (s 7(1)-(2)). Ensure employment contracts and secondment agreements specify duties aligned to s 25 and compliance with public sector policies.

• Implement Board decisions and maintain risk reporting. The CEO’s statutory functions include implementing Board decisions and reporting significant public concern or risk to the Board, Secretary and Minister (s 25(1)(e)-(g)). Establish processes for timely identification, escalation and reporting of risks.

• Ensure information flows for grant assessment. When organisations apply for grants, the Agency may require information (s 10(2)). Implement a standard information request template and a timeline for applicants to supply materials, and build verification steps to reduce fraud and error.

For the Minister and the Secretary

• Publish guidelines and ensure coordination. The Minister must publish Ministerial guidelines in the Government Gazette and may vary them by Gazette notice (s 11). The Secretary must publish Secretary guidelines but must avoid issuing guidelines on matters that are the same in substance as Ministerial guidelines (s 12(2)-(3)). Establish a clearance process to ensure guidelines are coordinated, compliant with the Act and published promptly.

• Set and communicate business plan deadlines. The Minister’s determination of the business plan submission date (s 14(2)) should be communicated well in advance to the Agency to allow compliance. When directing changes (s 14(4)) provide written reasons and timelines to enable implementation.

• Provide assistance as required. The Secretary must ensure the Agency is provided with any assistance it reasonably requires to perform its functions (s 8). Establish a process to assess assistance requests, allocate staff or services, and document the assistance provided to satisfy both operational needs and accountability demands.

For organisations seeking grants

• Prepare for Ministerial approval and monitoring. Recognise that grant approval is subject to Ministerial sign‑off (s 10(1)). Build grant applications around the guiding principles (s 4) and the Agency’s evaluation criteria, submit full supporting evidence and budget detail, and expect monitoring and reporting obligations in the grant agreement (s 6(1)(g)).

• Expect information requests and endorsement processes. The Agency may require information to determine grant eligibility (s 10(2)) and will assess and endorse programs (s 6(1)(d)). Prepare governance, evaluation and safeguarding documentation in advance (evidence of organisational capacity, evaluation frameworks, cultural competency and data handling).

• Contractual clarity on obligations and remedies. Ensure grant agreements clearly set out deliverables, reporting schedules, data sharing requests and remedies for breach. Because the Act itself does not provide statutory penalties for organisations, enforcement will be built into contract terms; seek legal review of grant conditions and repayment clauses.

For compliance documentation

• Keep governance documentation and published instruments accessible. Maintain copies of Ministerial and Secretary guidelines, business plans, triennial reviews, Board minutes and annual financial reports. Publication requirements (ss 11(2), 12(3), 15(4), 27(2)) mean those documents will form part of public and parliamentary record; accurate retention of originals supports audit and parliamentary briefings.

• Prepare for Parliament. The Agency’s triennial reviews and annual financial reports will be tabled in Parliament (ss 15(4), 27(2)). Prepare briefings, public summaries and redaction processes that meet parliamentary confidentiality and transparency standards.

• Monitor subordinate legislation. Because regulations under s 28 can add functions and impose duties, keep a watch on the Government Gazette and legislative updates to capture any new regulatory obligations that affect the Agency or grant recipients.

Practical checklist (starter)

• [Agency] Draft annual business plan with performance measures tied to s 4 guiding principles; coordinate early with Minister’s office; submit by Minister’s date (s 14).
• [Board] Maintain appointments and quorum records; schedule regular meetings and ensure minutes record significant decisions for reporting (ss 17, 20, 23, 26).
• [CEO] Implement monitoring framework, establish data collection protocols for triennial reviews (s 6(1)(b), s 15).
• [Agency] Draft grant program rules that incorporate Ministerial approval step; prepare standard grant agreement templates and information request forms (s 10).
• [Secretary] Set assistance allocation process and publish any Secretary guidance consistent with s 12.
• [Organisations] Prepare governance, evaluation and safeguarding documents; expect contractual monitoring and information requests.

Following the statutory citations and operational steps above will reduce the risk of non‑compliance and enable the Agency and its stakeholders to meet statutory timelines and reporting obligations.
