Presbyterian Church Trust Property Act 1971

The Act rests on a small set of interlocking concepts: statutory vesting of church trust property, a centralised corporate trustee, Assembly authority, reserved congregational rights, and evidenced formalities that minimise title friction.

• Statutory vesting: Section 8 is the fulcrum. It provides for automatic vesting, without conveyance or transfer, in the trust of land and personal property in the ACT held for or on behalf of the Church or belonging to the Church. This applies to property held for congregations, institutions, activities or services of the Church and to reversionary and expectant interests (s 8(1)-(2)). Vesting operates subject to express trusts (s 8(3)) and to encumbrances, which prevent vesting until cleared or until the encumbrancee consents to the trust assuming liabilities (s 8(4)).

• Corporate trustee composition: The trust is the Presbyterian Church (Australian Capital Territory) Property Trust, a body corporate with powers to hold and deal with property (s 4(1)-(2)(a),(c)). Its trustees are those who, for the time being, hold office as trustees of the Presbyterian Church (New South Wales) Property Trust (s 5). That links ACT property governance to the NSW property trust office-holders, creating cross-jurisdictional institutional continuity.

• Assembly oversight and variation: The Assembly (the General Assembly of the Church in NSW) may make rules regulating acquisition and management of ACT property and give directions the trust must comply with (s 11(1); s 13(2)-(4)). The Assembly can, on request of the trust, alter the purpose of a trust where performance has become impossible or inexpedient, including reallocating property among congregations or Church purposes (s 10(1)-(4)). Where property is held for the General Assembly of the Presbyterian Church of Australia, that national General Assembly may request variation and give directions (s 10(5)).

• Congregational protection: Sections 12 and 17 protect congregational interests. A congregation’s consent is required for sale, lease, mortgage, surrender or exchange of property held on its behalf; consent is deemed given if a majority of members present and voting at a properly called meeting vote in favour (s 12(1)-(2)). When sale or mortgage proceeds arise, the trust must apply net monies for the benefit of that congregation in specified ways, with the General Assembly’s consent (s 17(3)).

• Formal evidentiary and registry mechanisms: The Act prescribes physical and evidentiary formalities to give certainty. The trust’s common seal must be affixed to documents the trustees determine and attested by not less than four trustees (s 7(3)-(4)), and courts shall presume proper attachment (s 7(5)). A certificate under the trust seal and signed by the chairperson is evidence that land has vested in the trust and is prima facie presumed correct (s 27(2)-(3)). The Registrar-General is required to make land register entries necessary to give effect to statutory vesting on application by the trust (s 27(1)). Certificates from the Clerk of the General Assembly operate as evidence of trust membership and Assembly resolutions (s 28).

• Operational powers: The trust has transactional latitude: it may lease, sublease, exchange, surrender, mortgage, guarantee, sell by auction or private contract and indemnify persons administering Church property (ss 14-18). It may stand possessed of sale or mortgage proceeds and apply them as directed by the General Assembly and for congregation benefit (s 17(3)-(4)).

• Limits and primacy: The Act acknowledges limits. Rules by the Assembly are void to the extent they conflict with the Act or any other Territory law (s 11(1) last sentence). The Act itself is to be read subject to all other Territory laws (s 29).

These concepts allocate legal ownership and title certainty to a single trust, centralise certain decision-making in the Assembly and the trustees, preserve specified participatory rights for congregations, and provide streamlined evidentiary processes for land registration and proof of internal Church decisions.

The Act designates clear decision-makers, beneficiaries and parties bearing costs or duties.

• The trustees and the trust: The primary decision-making and legal-owner entity is the Presbyterian Church (Australian Capital Territory) Property Trust. The trust holds, may deal with and is responsible for church trust property in the ACT (s 4(1)-(2); s 8(1)-(3)). The trustees are the persons who hold office as trustees of the NSW property trust, so the office-holders of the NSW corporate trustee are the actors who govern ACT property (s 5).

• The General Assembly: The Assembly of the Church in New South Wales is the statutory body with rule-making powers (s 11(1)), ability to direct the trust (s 13(2)-(4)), and the power to vary trusts where performance has become impossible or inexpedient (s 10). Where property is held for the national General Assembly, that national body may also request variation (s 10(5)). The Assembly therefore has formal, statutory oversight over the trust’s exercise of property powers.

• Congregations and Deacon’s Courts/Committees of Management: Congregations have protected rights over property held on their behalf; the trust cannot dispose of or encumber congregational property without the congregation’s consent (s 12(1)-(2)). The Deacon’s Court or Committee of Management holds and applies money collected for the congregation under directions of the General Assembly (s 20(1)), and, with the trust’s approval, may exercise trust functions for congregational property management (s 20(2)). Committees may include members of other denominations when a scheme of cooperation is in force (s 25).

• Ministers: Ministers appointed to a church have statutory rights of free access, freedom to exercise spiritual functions without interruption and use and enjoyment of the minister’s residence and appurtenances while in office (s 19(1)). Those rights do not create proprietary rights after the minister ceases in office (s 19(2)). Under schemes of cooperation, the minister or person in charge may be of another denomination and enjoys the same ministerial rights for the duration of the scheme (s 24).

• Third parties (purchasers, mortgagees, encumbrancees): The Act affects purchasers and mortgagees by enabling the trust to mortgage and sell, and by providing statutory exoneration language for payers to the trust where receipts have the seal, majority signature or authorised signatory (s 21; s 22(4)). Encumbrancees have a gatekeeping role over vesting where existing charges exist; property subject to encumbrance does not vest until discharged or until the trust takes on the liabilities with the encumbrancee’s consent (s 8(4)).

• Registrar-General and courts: The Registrar-General must make land registry entries necessary to effect vesting on application (s 27(1)). Courts and judicial officers are directed to take notice of the common seal attached to documents and to presume it was duly attached (s 7(5)). Certificates by the chairperson or Clerk of the General Assembly are made admissible evidence (s 27(2); s 28).

• Donors and testators: Wills, deeds or instruments that devise or direct property to the Church in the ACT are to be construed as if the trust were named as legal owner; the trust may call for transfer of such property and receipts to the trust effect discharge (s 22(1)-(4)).

In practical terms, those who use or manage Church property in the ACT will see ownership and transactional authority consolidated in the trust and the Assembly. Congregations retain voting control over disposals of property held on their behalf, and third parties dealing with the trust are afforded statutory evidentiary and exoneration protections.

The Act sets out a mix of mandatory duties, procedural obligations, and substantive rights for actors.

Duties and procedural obligations

• Trustees’ governance duties: The trust must hold meetings at least once every six months, keep minutes and a record of resolutions, and make them available for inspection by the official auditor appointed by the General Assembly (s 6(6)-(7)). The trust has power to determine meeting procedures, locations and calling methods (s 6(8)). A quorum for meetings is four trustees (s 6(5)).

• Common seal formalities: The trustees must determine the common seal’s form and custody and decide which documents will bear the seal (s 7(1)-(3)). Attaching the seal must be attested by not less than four trustees (s 7(4)). Courts shall presume that the seal was duly attached (s 7(5)).

• Compliance with Assembly directions and rules: The trust must comply with directions or instructions given by the Assembly (s 13(4)). The General Assembly may make rules about acquisition and management of property (s 11(1)); failure to comply with such rules does not invalidate transactions (s 11(2)), but the trust remains bound to follow Assembly directions as a statutory duty.

• Registrar-general interaction: On application by the trust, the registrar-general shall make entries in the Land Titles Act 1925 register necessary to give statutory vesting effect (s 27(1)). A trust certificate under seal signed by the chairperson is evidence of vesting (s 27(2)-(3)).

• Dealing with encumbrances: The trustees must not cause vesting where encumbrances exist unless discharged or the encumbrancee consents to the trust undertaking liabilities (s 8(4)).

Rights and discretions

• Broad property powers: The trust has power to acquire, hold, dispose of and otherwise deal with real and personal property subject to the Act (s 4(2)(c)). It has explicit powers to lease, sublease, exchange, surrender, mortgage, guarantee and sell property and to indemnify persons administering Church property (ss 14-18). It may also hold property in the ACT on trust for Church purposes even if connected with activities outside Australia (s 9(1)).

• Application of proceeds: The trust may stand possessed of net money from mortgages, sales or compulsory acquisition and, with General Assembly consent, apply it for erection, improvement or purchase of buildings for the congregation to which the property belonged, or otherwise as the Assembly directs (s 17(3)-(4)). Where no applicable congregation exists, the trust applies money in accordance with Assembly directions (s 17(4)).

• Congregational consent and voting rights: Congregations have a right to consent to sale, lease, mortgage, surrender or exchange of property held on their behalf, and that consent is capable of being given by a majority of the members present and voting at a properly called meeting (s 12(1)-(2)). The General Assembly is explicitly prevented from making rules that limit these congregational rights (s 12(3)).

• Ministerial rights: Ministers have the right of free access to their church, to exercise spiritual functions without interruption, and to use and enjoy the minister’s dwelling while they remain officiating ministers. These are statutory rights but are expressly non-proprietary after cessation (s 19(1)-(2)).

• Evidentiary protections for third parties: Receipts to which the trust seal is attached, signed by a majority of trustees, or signed by an authorised person, exonerate mortgagees, purchasers or other payers from supervising application of the funds or inquiring into the propriety of dealings (s 21). Likewise, when property is given to the trust under a will or instrument, the trust may call for transfer and the person transferring is discharged by a sealed receipt (s 22(2)-(4)).

These duties and rights create a governance architecture that centralises ownership and transactional authority while preserving specific participatory rights for congregations and offering evidentiary certainty and protections to third parties.

The Act itself contains no express criminal offences or quantified penalty provisions within its operative sections. Enforcement is primarily structural, relying on statutory title, evidentiary presumptions and compulsion to comply with internal bodies.

• Penalty information in the republication front matter: The republication information included with the Act records the value of a penalty unit for offences against this republished law as at the republication date: if the person charged is an individual, a penalty unit is $100; if a corporation, $500. That statement is part of the republication front matter and identifies how penalty units would be valued for any offence provision in the law or any subordinate instrument (front matter). The operative Act text, however, contains no listed offences with specific penalty unit-based fines.

• Evidentiary and registry enforcement mechanisms: Enforcement of the Act’s arrangements depends significantly on registry and evidentiary devices. The Registrar-General is required to amend the Land Titles register on application by the trust to give effect to statutory vesting (s 27(1)), and a certificate under the trust seal signed by the chairperson is evidence that land or rights have vested (s 27(2)-(3)). Certificates by the Clerk of the General Assembly are evidence of trust membership and Assembly resolutions (s 28(1)). Courts are directed to take notice of the trust’s common seal attached to documents and presume due attachment (s 7(5)). These provisions make dealings with the trust administratively enforceable and create presumptions in judicial proceedings.

• Contractual and property remedies: Where third parties deal with the trust in good faith relying on sealed receipts and certificates, the Act supplies statutory exoneration: receipts duly sealed or signed by a majority of the trustees or by an authorised person discharge payers from liability for supervising application of money or for loss or misapplication (s 21). That provision reduces the basis for later claims against purchasers or mortgagees in many circumstances, shifting enforcement and remedy focus to internal Church actors and trustees.

• Internal accountability: The trust must keep minutes and records of resolutions and make them available to the official auditor of the Church appointed by the General Assembly (s 6(6)-(7)). The Assembly may give directions to the trust and the trust must comply (s 13(2)-(4)). These internal accountability mechanisms operate alongside external legal consequences for non-compliance, which would arise under general property, contract or equity law and broader Territory law, which the Act is explicitly subject to (s 29).

• Limits on judicial review in respect of formalities: The Act creates rebuttable presumptions (s 7(5); s 27(3); s 28(2)). While courts may overturn these on proof to the contrary, the statutory presumptions lower the threshold for third parties to rely on trust documents and reduce the immediate susceptibility of transactions to challenge.

In short, the Act relies on registry actions, statutory evidentiary presumptions and internal Assembly-directed mechanisms rather than on criminal sanctions to enforce compliance. Any breaches of obligations will typically be addressed by civil remedies under general law or by internal Assembly or trust governance processes, subject to Territory law.

The Act is drafted to operate alongside other Territory laws and existing trust law principles with specific interactions and primacy qualifications.

• Primacy qualification: The Act expressly provides that if a rule made by the Assembly conflicts with the Act or any other Territory law, the rule is void to the extent of the conflict (s 11(1)). Further, s 29 mandates that “Nothing in this Act shall be taken to limit the operation of any other Territory law and this Act shall be read subject to all other Territory laws.” These provisions place the Act within the hierarchy of Territory law and require compliance with Territory legislative requirements.

• Registry law: Section 27 interfaces directly with land registration law. The registrar-general is required, on application by the trust, to make entries in the register kept under the Land Titles Act 1925 to give effect to section 8 vesting (s 27(1)). The Act therefore requires interaction with the Land Titles Act 1925 registry system and associated administrative processes. Certificates under the trust seal and signed by the chairperson serve as evidence for registry purposes (s 27(2)-(3)).

• Trust and conveyancing law: The Act modifies ordinary trust and conveyancing mechanics by providing for automatic statutory vesting without conveyance (s 8(1)), but it expressly preserves the operation of any express trust affecting property (s 8(3)). Where encumbrances exist, normal property economics apply: vesting does not occur until encumbrances discharged or consent obtained (s 8(4)). The Act also supplies statutory exoneration for persons paying money to the trust in certain forms of receipt (s 21; s 22(4)), influencing due diligence practices in transactions involving the trust.

• External corporate and charity law: The trust is a body corporate with perpetual succession and the Act enables it to sue and be sued (s 4(2)(a),(d)). However, the Act does not displace broader Commonwealth or Territory corporate or charities regulation that could apply to trustees, property uses, tax status, or financial reporting. Section 29’s subject-to provision means regimes such as planning law, taxation law, or charity law continue to apply where relevant.

• Interaction with internal Church law and instruments: The Legislation Act 2001 does not apply to instruments made by the General Assembly or the trust (s 2). That means certain formalities governed by the Legislation Act for subordinate instruments may not apply to internal Church instruments. The Assembly’s rules are subject to voidness when conflicting with Territory law (s 11(1)); failure to comply with an Assembly rule does not invalidate transactions (s 11(2)), but directions by the Assembly are binding on the trust (s 13(4)). Certificates by the Clerk of the General Assembly and trust certificates are admissible evidence (s 28; s 27).

• Wills and gifts: The Act requires that wills and instruments that devise or direct property to the Church in the ACT be construed to name the trust as legal owner, and provides that the trust may call for transfer and that receipts discharge contributors (s 22(1)-(4)). This interacts with succession law and conveyancing processes at death or transfer.

• Landlord and tenancy law: The trust’s power to lease or sublease land (s 14) interacts with broader rental and tenancy statutory regimes, planning permissions and valuation regimes. The Act does not displace compliance obligations under those regimes.

Overall, the Act creates statutory title and evidence rules that simplify dealing with Church property, but it does not exempt the trust, the Assembly, congregations or third parties from other Territory or Commonwealth regulatory requirements. The Act must be read and acted upon within the framework of Land Titles and other applicable Territory laws.

This Act has maintained a relatively compact amendment record; the republished law includes amendments up to 12 September 2001. The Act was originally enacted as a Commonwealth ordinance and later converted into Territory enactment at self-government.

• Origin and conversion: The Presbyterian Church Trust Property Act 1971 began as the Presbyterian Church Trust Property Ordinance 1971 (Ord1971-16 (Cwlth)), notified on 12 August 1971 and commencing the same day (endnote 3). On self-government day, 11 May 1989, the Australian Capital Territory (Self-Government) Act 1988 (Cwlth), s 34(4) converted Commonwealth ordinances into ACT enactments, enabling the ACT Legislative Assembly to amend or repeal the law. The name changed from Ordinance to Act by the Self-Government (Citation of Laws) Act 1989 (A1989-21) on the same date (endnote 3).

• Subsequent consequential amendments: The endnotes record a series of consequential and registration-related amendments affecting registry provisions and machinery. Relevant amending Acts include:

  • Registrar-General (Consequential Provisions) Act 1993 (A1993-64), its schedule 1 amended s 27 and related registry provisions (endnote 3 and amendment history).
  • Real Property (Consequential Provisions) Act 1993 (A1993-90), with schedule amendments relating to land title machinery (endnote 3).
  • Land Titles (Consequential Amendments) Act 1995 (A1995-54) made consequential changes to fit the Act with modern land title law (endnote 3 and 4).
  • Legislation (Consequential Amendments) Act 2001 (A2001-44), part 295, amended s 2 (application of the Legislation Act) and other technical matters; part 295 commenced 12 September 2001 (endnote 4). The republication front matter records that s 2 was substituted by A2001-44 and notes that the Legislation Act 2001 does not apply to instruments made by the General Assembly or the trust (s 2 as amended).

• Editorial republications: The Parliamentary Counsel’s Office prepared authorised republications and made editorial changes under the Legislation Act 2001, part 11.3. Editorial amendments do not change substantive effect but are reflected in the republication (front matter). Earlier republications date from 31 July 1991 and 31 January 1998, with later electronic republications produced after 12 September 2001 (endnote 5).

• No substantive repeal or wide amendments: The Act’s core structure , statutory vesting (s 8), the trust’s constitution (s 5), trustees’ powers (ss 13-18), and congregational protections (s 12) , remains in place. The amendment history records primarily consequential and registry-focused changes rather than alterations to the fundamental allocation of property rights or to the Assembly’s oversight powers.

For practitioners, the amendment history indicates that key changes over time were administrative and registry-related. The conversion from Commonwealth ordinance to ACT enactment and the later alignment with modern Land Titles regimes are the principal structural amendments reflected in the endnotes. Where a matter is governed by recent Territory registries, the amendments to s 27 and associated registrar-general procedures are the most directly operative adjustments.

The republished Act and its endnotes do not record any judicial decisions interpreting its provisions. The text itself contains evidentiary presumptions and directions to courts but the endnotes and the principal Act do not cite judicial determinations or any litigation history, and no cases are named in the statutory text.

That absence means there is minimal statutory guidance from case law in the republished material on disputed points such as:

• The extent to which statutory vesting under s 8 displaces equitable interests or how courts will treat conflicts between express trusts and the statutory vesting mechanism. The Act expressly preserves express trusts (s 8(3)), but the practical interface between vested legal title in the trust and existing equitable interests would ordinarily be an area for potential dispute in equity and conveyancing practice.

• The boundaries of the Assembly’s power to vary trusts under s 10. The Act gives the Assembly power to declare that a trust has ceased and to declare a new trust for the property, including reallocation where performance of the original trust is impossible or inexpedient (s 10(1)-(4)). How courts would review Assembly determinations of 'impossible' or 'inexpedient' is not addressed in the text.

• The effect of statutory receipts exonerating payers (s 21) on third-party remedies and whether such exoneration protects purchasers and mortgagees in all factual scenarios. The Act states the exoneration but the application to particular fact patterns and the availability of equitable relief (such as rescission for fraud) would be settled by case law, which is not provided in the republished Act.

• The procedural sufficiency of congregational consent under s 12, particularly what constitutes a meeting "duly called" and what procedural protections exist for absent or dissenting members. The statute sets the threshold for deemed consent by a majority present and voting (s 12(2)), but litigation could arise on meeting validity or minority protections.

• Registrar-general entries under s 27 and how competing interests or earlier encumbrances are to be reconciled practically in the Land Titles register. The Act requires the registrar-general to make entries on application by the trust (s 27(1)), but disputes over priority, encumbrance consent requirements (s 8(4)), and the registrar-general’s discretion are not addressed.

Practitioners should not infer settled judicial positions from the absence of cases in the republished text. The Act’s built-in presumptions (s 7(5); s 27(3); s 28(2)) and the regimented evidentiary certificates create documentary weight, but courts may still adjudicate disputes arising from fiduciary duties, improper delegation, contested meetings and alleged breaches of trust, drawing on general principles of equity, trust law and the operation of Territory land law.

This Act creates several practical traps and friction points that can produce unintended legal or operational outcomes if overlooked.

• Automatic vesting but registry action required: Section 8 provides that property vests in the trust without conveyance or transfer. However, title certainty for third parties typically depends on registration. The registrar-general is required to make register entries on application by the trust (s 27(1)), and a certificate under seal signed by the chairperson is evidence (s 27(2)). Practically, failure to apply promptly for registry entries may leave a discrepancy between statutory vesting and registered title positions, complicating dealings with lenders, purchasers or local authorities.

• Encumbrances block vesting until discharged or consent given: Property subject to any encumbrance, charge or mortgage does not vest in the trust except with the encumbrancee’s consent or until discharge (s 8(4)). That creates a transaction cost: the trust must secure encumbrancee consent or clear debts before vesting is recorded. Lenders may require additional assurances or security adjustments, and unresolved encumbrances can stall transfers.

• Congregational consent mechanics: Congregational consent to disposals (s 12) is a strong protection for members, but it depends on meeting procedure. Consent is “deemed” if a majority present and voting at a duly called meeting vote in favour (s 12(2)). Risks include disputes over whether a meeting was properly convened, eligible membership lists, and whether a minimal quorum existed. The Act does not specify notice periods or quorum thresholds for congregational meetings, leaving operational uncertainty and the potential for procedural challenges.

• Centralised control via Assembly directions: The Assembly’s power to give directions and rules, and the trust’s duty to comply (s 13(2)-(4)), concentrates control at the Assembly level and may constrain trustees’ discretionary management. The Assembly may also vary trusts where performance is “impossible or inexpedient” (s 10(1)). These provisions can alter local congregational expectations; congregations may find property uses redirected without their agreement, subject to Assembly processes and any required Presbytery report (s 10(2)).

• Receipts exonerate payers and limit recourse: Section 21 states that certain receipts (sealed or signed by majority of trustees or authorised person) exonerate purchasers or mortgagees from liability for supervising application of money. That reduces third-party incentives to verify internal compliance and may increase the risk that members or donors cannot rely on purchasers or mortgagees for protective oversight. It also places the burden of any misapplication on internal trust accountability processes rather than on external counterparties.

• Formalities for the common seal: The common seal must be attested by at least four trustees (s 7(4)). Failure to observe that attestation could jeopardise evidentiary presumptions and create challenges to document validity, particularly where the number of trustees or their availability is constrained.

• Cross-jurisdictional trustee composition: The trustees are the office-holders of the NSW property trust (s 5), potentially complicating local management when those trustees are physically remote or primarily NZ/W-based. This cross-jurisdictional link can cause practical frictions around meeting logistics, quorum attainment and local accountability.

• Scheme of cooperation complexities: Schemes allowing joint use and administration with other denominations (ss 23-26) can create third-party charge and contribution issues. The Assembly may determine security and contribution conditions and provide for charges on assets, but existing mortgages and registered charges created in good faith retain priority to the extent they are registered at the scheme’s cessation (s 23(2)). That layering of security interests raises issues for lenders and purchasing parties regarding priority and enforceability.

• Interaction with other Territory laws and Legislation Act exclusions: The Legislation Act 2001 does not apply to instruments made by the General Assembly or the trust (s 2). While that provision is explicit, s 11(1) and s 29 preserve the primacy of Territory law. There is therefore a risk that internal instruments lacking external legislative formality could be prima facie valid internally but later found to conflict with Territory statute or regulatory requirements.

• Evidentiary presumptions are rebuttable: Although courts shall presume due attachment of seals and certify vestings as evidence (s 7(5); s 27(3); s 28(2)), these are rebuttable. Parties should not treat such certificates as bulletproof; defective attestation, fraud or procedural irregularities can still be proved.

Attention to meeting procedures, encumbrance clearances, prompt registry applications, correct attestation of sealings and careful management of Assembly directions minimises these operational pitfalls.

To comply with the Act’s statutory requirements and to reduce legal and practical risk, trustees, congregational officers, the Assembly and third parties should follow a set of concrete actions tied to the Act’s sections.

1. Governance and record-keeping

   • Convene meetings at least once every six months and ensure a quorum of four trustees where trustee numbers permit (s 6(5)-(6)). Keep accurate minutes and a record of resolutions. Ensure minutes and resolution records are available to the official auditor appointed by the General Assembly on request (s 6(6)-(7)).
   • Elect a chairperson annually from among the trustees and ensure records of election and term are retained (s 6(1)-(2)).

2. Common seal formalities

   • Determine the form of the common seal and the classes of documents that require sealing (s 7(1)-(3)).
   • When attaching the seal, ensure attestation by not less than four trustees and maintain contemporaneous attestation records, including signatures and dates (s 7(4)). Consider a seal register showing documents sealed, dates and attesting trustees to preserve presumption benefit (s 7(5)).

3. Congregational property processes

   • For any sale, lease, mortgage, surrender or exchange of property held on behalf of a congregation, obtain the congregation’s consent. Hold a duly called meeting and ensure careful documentation of notice, attendance, eligibility to vote and the majority present and voting (s 12(1)-(2)). Retain signed minutes and a certified roll of members present.
   • When in doubt, seek a Presbytery report before the trust requests variation by the Assembly where property is held for a congregation (s 10(2)).

4. Dealing with encumbrances and vesting

   • Before treating an asset as vested, identify registered encumbrances. If encumbrances exist, obtain discharge or written consent from the encumbrancee agreeing that the trust will undertake the liabilities, and retain documentation (s 8(4)).
   • Promptly apply to the registrar-general to make register entries necessary to give effect to the statutory vesting and provide a certificate under the trust seal signed by the chairperson as evidence (s 27(1)-(3)). Maintain copies of certificates for title records.

5. Receipts and third-party transactions

   • Use receipts that bear the trust seal, are signed by a majority of trustees, or are signed by a person authorised by the trust to receive money to secure statutory exoneration for payers (s 21; s 22(4)). Ensure the trust’s instrument of delegation or authorisation is documented so authorised persons are identifiable to third parties.
   • Provide purchaser or mortgagee counsel with sealed certificates and copies of relevant resolutions to facilitate due diligence and registry amendments.

6. Assembly directions and rules

   • Treat directions from the Assembly as binding. Keep written records of any directions or rules given by the Assembly and the trust’s compliance or implementation steps (s 13(2)-(4); s 11(1)).
   • If seeking a rule under s 11, check for conflicts with Territory law; if a conflict exists, the rule is void to the extent of the conflict (s 11(1)).

7. Schemes of cooperation

   • For a scheme of cooperation, ensure a properly constituted congregational resolution to enter the scheme in accordance with Assembly-prescribed consents (s 23(1)). Document the Assembly-determined conditions (including contribution and security arrangements) and register any agreed charges consistent with pre-existing registered mortgages (s 23(2)-(3)). Consider drafting clear inter-denominational agreements specifying contribution mechanics, priority arrangements and exit procedures.

8. Ministerial rights and tenancies

   • Maintain clear written protocols for ministers’ access and residence entitlements while in office, and confirm in ministerial appointment instruments that those statutory rights apply only while the minister remains officiating (s 19(1)-(2)).

9. Delegations and committees

   • If the Deacon’s Court or Committee of Management is to exercise trust functions, obtain written approval from the trust and record the scope of delegated functions (s 20(2)). Ensure committees include only authorised members and record any inclusion of non-Presbyterian members under schemes of cooperation (s 25).

10. Legal and regulatory alignment

• Before property transactions, check compliance with Territory planning, taxation, charities and corporate rules as the Act operates subject to other Territory law (s 29). Engage local counsel or conveyancers to reconcile statutory vesting with the land registry and to handle encumbrance issues, priorities and registration.

11. Evidence and dispute readiness

• Maintain copies of certificates from the Clerk of the General Assembly and of any trust-sealed documents to support evidence in external proceedings (s 27(2); s 28(1)-(2)). Where an interested party might challenge presumptions, preserve contemporaneous documentary proof of compliance with seals, resolutions, meeting notices and votes.

Following these steps will align internal practice with statutory requirements, reduce risk in third-party dealings and minimise disputes over title, consent and procedural validity.
