Prahran Mechanics' Institute Repeal Act 2024

The Act revolves around four main concepts: the repeal of the 1899 Act, the dissolution of the PMI Circulating Library, the statutory transfer of all assets and liabilities, and the transitional regulation power.

First, repeal of the 1899 Act (s 4). The 1899 Act was a private Act establishing the Prahran Mechanics’ Institution and Circulating Library as a body corporate with a governing committee and rule-making power. Its repeal removes the statutory foundation for the entity. The effect is that the entity can no longer exist under that Act; it is dissolved by operation of s 5.

Second, dissolution (s 5). This is the legal death of the PMI Circulating Library. The governing committee is abolished, its members go out of office, and any rules or regulations made under the old Act are revoked. There is no winding-up process in the ordinary sense (no liquidator, no creditors’ voluntary winding up). Instead, the Act imposes a statutory succession.

Third, statutory transfer of property, rights and liabilities (s 6). This is the core operational provision. The term “property” is defined broadly in s 3 to include any legal or equitable estate or interest (present or future, vested or contingent) in real or personal property of any description. It also includes property that the PMI Circulating Library has already transferred or purported to transfer to the PMI Victorian History Library before the repeal. This retroactive validation catches any pre-repeal transfers that might have been defective under the old Act. “Rights” means all rights, powers, privileges and immunities (actual, contingent or prospective); “liabilities” means all liabilities, duties and obligations (actual, contingent or prospective). The transfer occurs automatically on repeal: the property and rights vest in the PMI Victorian History Library, and the liabilities become its liabilities. Section 6(2) provides that the transfer is subject to any encumbrances that existed immediately before repeal. The successor is substituted as a party to contracts, leases and proceedings. Leases are treated as assigned, but the Act deems that this does not breach anti-assignment clauses or constitute default (s 6(3)). This is a significant interference with private contract rights: lessors and counterparties cannot object or terminate.

Fourth, transitional regulation power (s 10). The Governor in Council may make regulations containing provisions of a transitional nature, including savings and application provisions. These regulations can have retrospective effect to the date of Royal Assent (3 September 2024) or later, can be of limited or general application, can delegate decisions to specified persons, and can exempt persons or things. Most importantly, they override any Act (except the Charter) or subordinate instrument. This is a broad Henry VIII clause: the executive can modify primary legislation by regulation. The power is temporary: it is repealed on the second anniversary of its commencement (s 10(4)). This means the government has up to two years to fix transitional problems without returning to Parliament, but the power is limited to transitional matters, not substantive policy.

The Act directly affects several parties, each with distinct legal consequences.

PMI Circulating Library - The entity itself is dissolved on repeal (s 5). All former members of the governing committee go out of office and lose any statutory roles. The library ceases to exist as a legal person.

PMI Victorian History Library - This is the successor incorporated association. It becomes the owner of all property (real and personal) and the bearer of all liabilities previously held by the PMI Circulating Library (s 6(1)(a), (b)). It is substituted as a party to all contracts, leases, and court or tribunal proceedings (s 6(1)(c), (d)). It must accept transferred employees on existing terms (s 7). It must also deal with any encumbrances on property it receives (s 6(2)). The association may have new financial, governance and compliance obligations arising from holding assets that previously belonged to a statutory corporation. For example, if the library owns land, it now holds that land under the Transfer of Land Act 1958 and must deal with the Registrar of Titles recordings (s 9). The association’s own rules (under the Associations Incorporation Reform Act 2012) will govern its internal management, but the statutory transfer imposes external obligations it cannot refuse.

Employees of the PMI Circulating Library - They become employees of the PMI Victorian History Library automatically on the same terms and conditions, with continuous service and accrued benefits preserved (s 7(1), (2)). This is important for continuity of entitlements such as annual leave, long service leave, and superannuation. However, s 7(3) permits subsequent variation of terms by law, award or agreement. Employees cannot be required to reapply for their jobs; the transfer is mandatory.

Lessors and counterparties to contracts - Any person who leased property to the PMI Circulating Library, or who had a contract with it, now has the PMI Victorian History Library as counterparty without consent. The Act deems the lease assigned (s 6(3)(a)(i)), but this does not constitute default or trigger termination rights (s 6(3)(c)). For lessors, this is a loss of control: they cannot object to the change of tenant even if the lease expressly required consent. Guarantors remain liable (s 6(3)(c)(iii)). Lessors must accept the new tenant. Similarly, suppliers and service providers must deal with the successor.

Creditors of the PMI Circulating Library - All liabilities (including contingent and prospective) are transferred to the PMI Victorian History Library (s 6(1)(b)). Creditors can pursue the association for debts owed by the dissolved library. They do not need to novate agreements; the substitution is automatic.

Registrar of Titles - Must make recordings in the Register under the Transfer of Land Act 1958 to reflect the vesting of land titles (s 9). This is an administrative duty, but it also imposes a cost on the Titles Office.

The Crown and State Revenue Office - The Act exempts all transfers from stamp duty and other taxes (s 8). This saves the successor association from what would otherwise be significant transaction costs, but it also means the State foregoes revenue.

Governor in Council - The executive can make transitional regulations that override other Acts (except the Charter) (s 10). This affects anyone subject to those regulations, though the power is limited to transitional matters and expires after two years.

The Act imposes few duties on private parties, but it creates several important rights and obligations.

Duty of the PMI Victorian History Library to accept the transfer. The successor association has no right to refuse the property, rights or liabilities. Section 6(1) operates automatically; no acceptance is required. The association becomes the legal owner and debtor whether it wishes to or not. This is a compulsory statutory novation.

Duty to preserve employee continuity. The PMI Victorian History Library must employ transferred employees on the same terms and conditions as before (s 7(1)(b)) and must recognise continuous service (s 7(2)). It cannot unilaterally reduce salary, change core terms, or treat employees as new starters for benefits purposes. However, after the transfer, terms can be altered by law, award or agreement (s 7(3)), meaning the successor can negotiate changes or be bound by enterprise agreements.

Right to enforce contracts and leases. The PMI Victorian History Library acquires the right to enforce all contracts and leases as if it were the original party (s 6(1)(c), s 6(3)(a)). It can collect rent, enforce obligations, and sue for breach. It also inherits security deposits and guarantees (s 6(3)(b)).

Right to representation in proceedings. The PMI Victorian History Library is substituted as a party to any ongoing court or tribunal proceedings (s 6(1)(d)). It must defend claims and can pursue claims originally brought by the PMI Circulating Library.

Rights of lessors and counterparties. Lessors and contract counterparties have the right to continue dealing with the new party, but they do not have a right to object or terminate. The Act expressly prevents any claim of default or breach (s 6(3)(c)). However, they retain all other rights under the original agreement (e.g. to enforce payment, to terminate for future breaches, to require compliance with covenants). Guarantors remain liable (s 6(3)(c)(iii)).

Rights of employees. The right to continuity of employment and accrued benefits is statutory. Employees cannot be dismissed solely because of the transfer (though the Act does not contain a specific anti-dismissal provision; general unfair dismissal or general protection laws may apply). They can enforce their existing terms through industrial instruments.

Right of the Registrar of Titles to record changes. Section 9 imposes a duty, but also gives the Registrar authority to make recordings necessary because of the Act. This may include changing the registered proprietor of land from “Prahran Mechanics’ Institution and Circulating Library” to “PMI Victorian History Library Inc.” without requiring a normal transfer form.

Rights of the Governor in Council. The executive has a broad regulation-making power (s 10) that can override primary legislation. This includes the right to make retrospective regulations, to delegate decisions, and to exempt persons. This is a significant executive power, though constrained by the transitional nature requirement and the two-year sunset.

Duty to pay no stamp duty. The State Revenue Office must not assess stamp duty or other taxes on transactions effected by the Act (s 8). This duty binds the Commissioner of State Revenue.

The Act does not create any new criminal offences or civil penalties. There are no penalty units, infringement notices, or enforcement mechanisms within the Prahran Mechanics’ Institute Repeal Act 2024 itself. Compliance is largely automatic: the statutory transfer occurs by operation of law, and the affected parties have no choice but to accept the consequences.

However, enforcement may arise indirectly under other laws. For example, if the PMI Victorian History Library fails to comply with its duties under s 7 (employee transfer), an employee could bring a claim under the Fair Work Act 2009 (Cth) or the Victorian Fair Work Act for breach of the National Employment Standards or the applicable award or enterprise agreement. The transferred employment terms are protected at the moment of transfer (s 7(1)(b)), but s 7(3) permits later alteration. If the successor later changes terms unilaterally without a lawful basis, that is not a breach of this Act but of industrial law.

If the PMI Victorian History Library refuses to honour a contract inherited under s 6(1)(c), the counterparty can sue for breach of contract in the ordinary courts. The Act does not provide a specific enforcement mechanism; it relies on pre-existing private law remedies.

The transitional regulation power (s 10) does not itself impose penalties, but regulations made under it could create offences (subject to the Subordinate Legislation Act 1994 and general principles). However, that Act is not specified, and the regulation-making power here is limited to transitional, application and savings matters, not substantive policy or new offences. It is unlikely such regulations would create penalties, but the power is broad enough (subject to the Charter) to do so.

The Registrar of Titles has a duty under s 9 to make recordings. If the Registrar fails to act, a person aggrieved could seek judicial review or mandamus, but the Act does not stipulate a timeframe or consequences for delay.

The dissolution and transfer provisions are self-executing. No one is required to file documents or apply for vesting orders. The only enforcement risk is if a third party (e.g., a lessor) attempts to treat the automatic assignment as a breach. Section 6(3)(c) expressly prevents that, so any such action could be met with a defence based on the Act. The court would enforce that provision.

In summary, the Act is a passive instrument that creates no new penalties. Its effectiveness depends on the willingness of courts and tribunals to give effect to its provisions when disputes arise. The main enforcement costs are private litigation costs for parties who disagree with the transfer.

The Act interacts with several Victorian and Commonwealth statutes, either by express reference or by necessary implication.

Associations Incorporation Reform Act 2012 (Vic) . The PMI Victorian History Library is registered under that Act (s 3 definition). The Repeal Act does not amend the Associations Incorporation Reform Act, but it imposes new obligations on the association through the transfer. The association’s existing rules and governance must now accommodate assets and liabilities that were originally held by a statutory corporation. The association must continue to comply with its obligations under the Associations Incorporation Reform Act, including financial reporting, committee elections, and notifying the Registrar of changes. The transfer of property may affect the association’s constitution if the constitution restricts the purposes for which it can hold property, but the Act overrides any such restriction to the extent it is a regulatory compliance matter.

Transfer of Land Act 1958 (Vic) . Section 9 directly requires the Registrar of Titles to make recordings in the Register. This engages the Torrens system: the Registrar must reflect the change of ownership without a normal instrument of transfer. The Act overrides any requirement for a signed transfer or consent of the mortgagee (if the property is encumbered). This is a practical interaction: the Registrar will likely lodge a caveat or recording noting the vesting, and the certificate of title may be altered.

Charter of Human Rights and Responsibilities Act 2006 (Vic) . Section 10(3) of the Repeal Act provides that transitional regulations have effect despite anything to the contrary in any Act other than this Act or the Charter. This means the Charter prevails over any transitional regulation. If a regulation were to limit a human right (e.g., property rights under s 20, privacy under s 13), it could be challenged under the Charter. The Repeal Act itself is presumably compatible with Charter rights, but the exclusion in s 10(3) ensures the Charter remains a limit on executive power.

Interpretation of Legislation Act 1984 (Vic) . Standard interpretative provisions apply. The endnotes note that headings, examples, diagrams, notes and punctuation form part of the Act (s 36). The explanatory memorandum and endnotes do not form part of the Act (s 36(3)). The Table of Amendments is blank, but the ILA provisions about style changes are incorporated.

Fair Work Act 2009 (Cth) . Section 7 deals with employee transfer. It does not specifically refer to the Fair Work Act, but the concept of “transfer of business” in the Fair Work Act (Part 2-8) may be relevant. If the PMI Victorian History Library is a “new employer” and the PMI Circulating Library is the “old employer”, the Fair Work Act transfer of business provisions may apply, which could affect the transmission of enterprise agreements and the application of the National Employment Standards. Section 7 of the Repeal Act provides that service is continuous and terms are preserved, which is consistent with the Fair Work Act but not identical. A lawyer would need to check whether the Repeal Act’s provisions satisfy the Fair Work Act’s definition of a transfer of business to ensure, for example, that the successor inherits any existing enterprise agreement.

Other Acts containing references to the PMI Circulating Library. Section 6(1)(e) provides that a reference to the PMI Circulating Library in any other Act, subordinate instrument or document is to be construed as a reference to the PMI Victorian History Library, unless the context otherwise requires. This is a blanket substitution provision that avoids the need to amend dozens of potentially outdated references.

Stamp Act 1958 (Vic) and Duties Act 2000 (Vic) . Section 8 exempts any transaction effected by the Act from stamp duty or other tax. This overrides the Duties Act 2000 and any other taxing Act. The exemption is broad: it covers any act or transaction connected with or necessary to be done by reason of the Act, including instruments made for the purpose of transferring property. This saves the successor significant costs.

Superannuation legislation. While not mentioned, the transfer of employees may affect superannuation guarantee obligations. The successor must continue making contributions under the Superannuation Guarantee (Administration) Act 1992 (Cth). The Act does not modify superannuation law, so the successor must ensure it meets its obligations.

There are no amendments to the Prahran Mechanics’ Institute Repeal Act 2024 at the time of its publication as Version No. 001. The Table of Amendments in the endnotes confirms “No entries at date of publication”. The Act received Royal Assent on 3 September 2024 and commenced on 1 January 2025. There has been insufficient time for any amending legislation to have been passed. Future amendments are theoretically possible, but the Act is a one-off repeal and transitional statute. Its primary functional elements (repeal, dissolution, transfer) have already taken effect. The only provision with a future expiration is s 10 (transitional regulations), which is repealed on the second anniversary of its commencement (that is, 1 January 2027, unless commenced earlier). No amending Act is likely to alter the core transfer provisions, because the transfer has already occurred. Any future amendment would probably be limited to correcting errors or extending the transitional regulation power. The Act is not an ongoing regulatory framework; it is a housekeeping statute. The absence of amendment history is expected for a piece of legislation that is essentially a statutory will.

At the time of this analysis, there is no reported litigation concerning the Prahran Mechanics’ Institute Repeal Act 2024. The Act is only months old and its effects are self-executing. Potential litigation could arise in several areas.

First, property disputes. If the PMI Victorian History Library asserts ownership over an asset that a third party claims was not properly held by the PMI Circulating Library (e.g., because of a prior defective transfer), the third party may challenge the vesting. The Act’s broad definition of property in s 3 includes property that the PMI Circulating Library has “transferred or has purported to transfer” before repeal. This retroactively cures defects, but a party arguing that the property was never owned by the PMI Circulating Library at all (e.g., because it was held on trust for another entity) could still litigate.

Second, lease disputes. A lessor may argue that the automatic assignment under s 6(3) constitutes a breach of a covenant that is not nullified by s 6(3)(c) (e.g., if the lease contains a clause that deems change of control as a breach, and the PMI Circulating Library was a statutory corporation but the successor is a private association). Section 6(3)(c) is comprehensive but may not cover every possible default clause. A lessor could argue that the provision does not prevent a claim based on the change in the nature of the tenant (from statutory to private). The courts would interpret the phrase “any provision prohibiting, restricting or regulating the assignment of the lease” broadly, but there is a risk that some leases contain unusual clauses that fall outside this description.

Third, employee claims. If an employee’s terms are altered after transfer without proper mechanism, unfair dismissal or breach of contract claims could arise. The Act does not protect against post-transfer changes; it only preserves terms at the moment of transfer (s 7(1)(b)). Subsequent changes are governed by other laws.

Fourth, challenges to transitional regulations. If the Governor in Council makes a regulation under s 10 that overrides another Act (other than the Charter) and is retrospective, affected persons could challenge it on grounds that it exceeds the “transitional” character, or that it contravenes the Charter, or that it is procedurally invalid under the Subordinate Legislation Act 1994. The High Court’s jurisprudence on Henry VIII clauses may be relevant if a regulation significantly abrogates private rights.

Fifth, tax disputes. Despite the exemption in s 8, a revenue authority might attempt to assess duty on a transaction that is not strictly “effected by or done under this Act” but is merely connected to it. The line between “effected by” and “connected with” may be litigated.

Given the limited scope of the Act, litigation is likely to be rare and fact-specific. No cases are yet on record.

Several provisions in the Act could catch the unwary.

Automatic transfer without consent. The most significant “gotcha” is that leases, contracts and proceedings are transferred without any consent from the counterparty. A lessor who carefully vetted the PMI Circulating Library as a tenant cannot object to the substitution of a different entity, even if the new tenant has a different credit rating or legal form. Section 6(3)(c) expressly nullifies any anti-assignment clause. Guarantors remain on the hook. This is a substantial interference with freedom of contract. Parties who dealt with the library may not have anticipated that their counterparty could be replaced by statute without recourse.

Retrospective validation of pre-repeal transfers. The definition of “property” in s 3 includes property that the PMI Circulating Library has “transferred or has purported to transfer” to the PMI Victorian History Library before the repeal. This means that if the old library attempted to transfer assets but the transfer was invalid under the 1899 Act (e.g., because the committee lacked authority), the Repeal Act retroactively vests those assets in the PMI Victorian History Library. A third party who received property from the PMI Circulating Library before repeal may find that the transfer is now deemed to have been effective, or if not, the property is vested in the successor. This could upset expectations.

Broad regulation-making power. Section 10 allows the Governor in Council to make transitional regulations that override any Act (other than the Charter) and can have retrospective effect. This means that the executive can effectively amend the operation of the Act or other laws without parliamentary scrutiny. The power is limited to transitional matters, but that boundary may be vague. For example, a regulation could extend or clarify the transfer provisions, impose additional obligations on the successor, or exempt certain liabilities. Retrospectivity means that a regulation could change the legal position with effect from the Royal Assent date (3 September 2024). Anyone who relied on the law as it stood before such a regulation could be caught out.

Employee terms frozen but alterable. Section 7 preserves terms and conditions at the moment of transfer, but s 7(3) says that nothing prevents later alteration by law, award or agreement. The gotcha is that employees cannot rely on the Act to freeze their terms permanently. Moreover, the successor could argue that the transfer is a “transfer of business” under the Fair Work Act, and that any enterprise agreement that applied to the old library is transmitted to the successor. But if no such agreement exists, the successor can later negotiate individual flexibility arrangements, potentially to the employee’s detriment.

Lease assignment not a default, but is it a change of control? Section 6(3)(c) is drafted narrowly: it only prevents a breach of a provision “prohibiting, restricting or regulating the assignment of the lease”. It does not explicitly prevent a provision that allows termination on a change of control of the lessee (if the lessee is a corporation). The PMI Circulating Library was a statutory corporation; its “control” could be argued to have changed when it dissolved. The Act does not address change-of-control clauses separate from assignment. A lessor might argue that the dissolution itself (not the assignment) triggers a change-of-control clause. The courts would need to interpret s 6(3)(c) purposively, but it is a potential gap.

No compensation for loss of office. Members of the governing committee who go out of office under s 5(b) receive no compensation. They may have had statutory roles or expectations of tenure (though the 1899 Act likely did not provide for compensation). Similarly, the PMI Victorian History Library receives property and liabilities without payment. Creditors of the old library may be worse off if the successor has fewer assets (though the transfer includes all assets and liabilities, so net effect should be neutral, but the successor’s solvency may differ).

Registrar of Titles action may take time. While s 9 imposes a duty on the Registrar, there is no timeframe. The successor may need to deal with land without having the title updated. Third parties may not know that the land is now owned by the successor until the register is amended.

Compliance with the Prahran Mechanics’ Institute Repeal Act 2024 is largely passive, but the PMI Victorian History Library (the successor) must take several practical steps.

Immediately upon repeal (1 January 2025): The library should verify that all property, rights and liabilities have been transferred. It should update its financial records to reflect the new assets and debts. It should notify its bank and financial institutions of the change in legal entity. It should review all leases and contracts to identify counterparties and ensure that the library is now the correct party. It should contact lessors to inform them of the automatic substitution and clarify that no default has occurred. The library should also check any insurance policies: coverage that named the PMI Circulating Library may need to be updated or may automatically extend to the successor under s 6(1)(c). If not, new policies should be obtained.

Employee compliance: The successor must recognise all transferred employees as continuing employees on the same terms and conditions. Payroll records should be updated to reflect the new employer but with continuity of service. The library must ensure that it does not inadvertently treat the transfer as a separation (e.g., by issuing a new employment contract without preserving accrued entitlements). It should check whether any enterprise agreement or award applies. The library may choose to issue a notice to employees confirming the transfer and the preservation of terms, though the Act does not require this. It should also consider any obligations under the Fair Work Act regarding transfer of business.

Land title recordings: The successor should contact the Office of the Registrar of Titles (Land Use Victoria) to facilitate the recordings under s 9. It should provide the Registrar with a copy of the Act and any relevant certificates of title. The Registrar is required to act, but the successor may need to prod. The library should also check encumbrances (mortgages, easements) that survive under s 6(2). If there are caveats or other interests, the successor should ensure they are updated.

Contract and lease administration: The successor should file the Act with its contracts and lease files to evidence the substitution. It should consider whether any consent or notification requirements are still applicable (other than assignment). For example, a lease may require the tenant to notify the lessor of any change in management; the library should comply with such ongoing covenants. It should also assess if any security deposits or guarantees need to be formally transferred. Section 6(3)(b) says they have effect in favour of the successor, but the practical implementation may require the lessor to recognise the successor as the beneficiary.

Regulation monitoring: The PMI Victorian History Library should monitor the Victorian Government Gazette for any transitional regulations made under s 10. These regulations may impose additional requirements or alter the effect of the transfer. The library should also be aware that s 10 expires two years after commencement, so after 1 January 2027, no further transitional regulations can be made (and existing regulations may continue or be repealed).

Tax compliance: The successor should rely on s 8 to claim exemption from stamp duty. It should not pay any duty on instruments that transfer property by reason of the Act. However, it should obtain legal advice if any transaction is not clearly covered (e.g., a refinancing that is only “connected with” the transfer). It should also ensure that any land tax assessments are updated to reflect the successor as owner.

Other notice requirements: The successor should notify any relevant regulators, such as the Victorian Commission for Gambling and Liquor Regulation (if the library holds any liquor licences), the Australian Charities and Not-for-profits Commission (if the library is registered as a charity), and the Australian Business Register (to update ABN and GST registration). The dissolution of the PMI Circulating Library means its ABN should be cancelled; the successor should use its own ABN.

Governance: The committee of the PMI Victorian History Library should ensure that the transfer does not breach its own rules (e.g., if the constitution limits the purposes for which property can be held). The Act overrides private rules to the extent necessary, but the committee should consider amending the rules to reflect the expanded scope, if needed.

In summary, compliance is largely administrative: update records, notify stakeholders, and rely on the Act’s automatic provisions. The main risk is inaction, which could lead to disputes or administrative delays.
