Petroleum Titles (Browse Basin) Act 2014

The Act directly affects a small, defined set of parties. The primary beneficiaries are the holders of the specific Commonwealth petroleum titles: the holder of lease WA‑30‑R, the holder of lease TR/5, the holder of permit WA‑315‑P, and the holder of permit WA‑398‑P. These are likely to be large petroleum companies (such as Woodside or its joint venturers) with existing exploration and retention interests in the Browse Basin. For these holders, the Act ensures that their tenure over blocks that move from Commonwealth to State jurisdiction is preserved. However, the Act also imposes obligations on them: they must comply with the conditions attached to the new State permits granted under sections 6(1), 7(1), and 8(1). The conditions are at the discretion of the relevant WA Minister, which introduces uncertainty. The Act also affects the two WA Ministers: the PGERA Minister (responsible for the Petroleum and Geothermal Energy Resources Act 1967) and the PSLA Minister (responsible for the Petroleum (Submerged Lands) Act 1982). They are required to grant new permits on the renewal day and to update the respective registers under sections 9 and 10. The Act does not give them a choice to refuse the grant of the permits; only the conditions are discretionary. Third parties with interests in the blocks, such as mortgagees, licensees of infrastructure, or native title claimants, are indirectly affected because the jurisdictional basis of the titles changes. Their existing interests may need to be recorded in the new State registers. The Act’s register provisions (section 10) give the Ministers a broad power to make entries they “consider necessary” but do not create a duty to protect third party interests beyond what is recorded in the Commonwealth or PSLA registers. The Act does not require notice to be given to any person before the transfers take effect.

The Act creates specific duties on the WA Ministers and rights for title holders. The central right is that the holder of permit WA‑315‑P is entitled to receive two new exploration permits: one under the PGERA (section 7) and one under the PSLA (section 8), each covering certain blocks in the Seringapatam Reef area. Similarly, the holder of permit WA‑398‑P is entitled to have that adjacent area block added to the permit granted under section 8(1) on WA‑398‑P renewal day (section 8(4)). The holders of lease R2 and lease TR/5 have the right to have their existing State leases expanded to include additional blocks (sections 4 and 5). However, these rights are contingent: they do not vest until the relevant renewal day occurs, which depends on the actions of the Commonwealth Minister renewing the underlying Commonwealth titles. If the Commonwealth title is not renewed, the Act’s provisions may never take effect. The duties on the PGERA and PSLA Ministers are mandatory: on WA‑315‑P renewal day, they “is to grant” the permits (ss.6(1), 7(1), 8(1)). The use of “is to” indicates a duty, not a power, though the Ministers may impose conditions. The Ministers also have a duty under section 10 to make entries in the registers to record the effect of the Act and to transfer information from Commonwealth or PSLA registers. The duty is qualified by the phrase “considers necessary”, which gives a degree of discretion. The Act does not specify any time limit for completing these register updates, nor does it provide a right for title holders to compel the making of an entry. The Act also does not create any right to compensation if a Minister imposes onerous conditions on a new permit or if the register update is delayed. The transitional treatment of locations (section 9) creates a deemed status: a location declared under Commonwealth law is taken to be a location under the corresponding State Act. This gives the title holder the benefit of existing location rights without needing a fresh application.

The Petroleum Titles (Browse Basin) Act 2014 does not itself create any penal provisions. It contains no offence clauses, no civil penalty provisions, and no enforcement mechanisms. Instead, it operates by amending the scope of existing State titles and by requiring the grant of new permits under the PGERA and PSLA. Those State Acts have their own comprehensive penalty and enforcement regimes, which will apply to the expanded or new titles. For example, a title holder who fails to comply with conditions imposed on a new permit under section 6(2) or 7(2) could face penalties under the relevant State Act for breach of permit conditions. Similarly, if a holder fails to pay annual rents or royalties that become payable under the State Acts on the transferred blocks, enforcement action (including cancellation of the title) could be taken. The Act’s transitional provisions (section 9) ensure that locations are preserved, but any breaches of the location conditions under the State Acts would attract the penalties of those Acts. The Ministers’ duties to update registers (section 10) are not backed by any penalty for delay or failure. If a Minister fails to make an entry, the Act provides no remedy for an affected party; the party would need to rely on administrative law remedies (such as judicial review of a failure to exercise a statutory duty) rather than any statutory penalty. The Act also does not include any review or appeal mechanism for Ministerial decisions on conditions imposed on the new permits. Title holders who disagree with conditions would need to challenge them under the relevant State Act’s review provisions (if any). In the PSLA, there is a regime for review of Ministerial decisions; in the PGERA, there are similar provisions. But the Act itself does not alter those regimes.

The Act interacts closely with three main statutes. First, the Commonwealth Offshore Petroleum and Greenhouse Gas Storage Act 2006 (the “Commonwealth Act”) is the source of the original titles (lease WA‑30‑R, permit WA‑315‑P, permit WA‑398‑P). The Act’s operation is triggered by renewals under that Commonwealth Act. The transitional provisions also recognise locations declared under the Commonwealth Act. Second, the Western Australian Petroleum (Submerged Lands) Act 1982 (PSLA) governs lease TR/5 and the new exploration permits granted under sections 6 and 8. Those new permits are deemed to be granted under Part III of the PSLA. Third, the Petroleum and Geothermal Energy Resources Act 1967 (PGERA) governs lease R2 and the new exploration permit granted under section 7. The interaction between the two State Acts is also important: each Act applies to a different type of block. The PGERA applies to inshore blocks (within State coastal waters), while the PSLA applies to adjacent area blocks (further offshore but under State jurisdiction after the boundary changes). The Act does not address how the two regimes interact with each other, but because the blocks are now all within State waters, the line between the two Acts is drawn by geographic coordinates. The Act also interacts with the State’s general register legislation, though it is not expressed. The requirement to update the PGERA and PSLA registers (section 10) may need to be read alongside the provisions of those Acts that govern the registers, such as section 70 of the PGERA and section 75 of the PSLA. Finally, the Act is subject to potential amendment by the Petroleum Legislation Amendment Act 2024 (WA), which has uncommenced provisions that will amend this Act. The nature of those amendments is not specified in the source, but they may alter the transitional arrangements or add further title transfers.

The Act has had a very limited amendment history. It was enacted as the Petroleum Titles (Browse Basin) Act 2014 (WA), number 30 of 2014, and received Royal Assent on 3 December 2014. By section 2, it came into operation on that same day - the day of assent. There is no evidence in the source of any amendment taking effect between 2014 and the date of the compilation shown in the source (which appears to be the current version as displayed on the WA legislation website, with a note that it is a compilation). The compilation table shows only the principal Act. However, the uncommenced provisions table notes that Part 5, Division 12 and sections 433(2), 435(2), and 436(2) of the Petroleum Legislation Amendment Act 2024 (WA) (number 17 of 2024, assented 14 May 2024) will amend this Act once proclaimed. The nature of those amendments is not described in the source, but they are listed as uncommenced. This means the current version of the Act may be altered in the future by the 2024 amendment Act. Practitioners should check whether those provisions have been brought into force since the compilation was produced. The compilation note also includes a defined terms list, which is not part of the law but is helpful for interpretation. The Act has been stable for nearly a decade, which suggests the underlying boundary adjustments and title transfers did not require further legislative corrections. However, the potential 2024 amendments indicate that further technical adjustments may be needed, possibly to accommodate additional boundary changes or new title regimes.

The source text, being the Act itself and its compilation details, does not refer to any litigation concerning the Petroleum Titles (Browse Basin) Act 2014. No cases are cited, nor are there any savings provisions related to court proceedings. Given the highly specific and non-contentious nature of the Act - it is essentially a machinery provision triggered by agreed maritime boundary changes between the Commonwealth and Western Australia - it is plausible that no litigation has arisen from it. The Act does not create any new rights that could be litigated aside from the duty on the Ministers to grant permits. That duty is mandatory, so the only likely dispute would be over conditions imposed on the new permits. If a title holder challenged a condition, the litigation would be under the relevant State Act (PGERA or PSLA), not directly under this Act. The Act also does not contain any provision for appeals or judicial review, so any challenge would be based on general administrative law principles. The transitional provisions on registers and locations are similarly unlikely to generate litigation unless a Minister fails to update a register and a third party’s interest is prejudiced. The absence of litigation noted in the source should not be taken as definitive evidence that no legal proceedings have occurred, but it strongly suggests that the Act has operated without significant dispute. Practitioners should be aware that the 2024 amendments may introduce new provisions that could create litigation risk, particularly if they alter the terms of existing permits or impose new obligations.

Several features of the Act create traps for the unwary. The most significant is that the Act’s operation depends entirely on the “relevant renewal day” - the first renewal of a Commonwealth title after commencement. If the Commonwealth title is not renewed (or is surrendered or expires before renewal), the Act’s transfer and new permit provisions never take effect. A title holder who assumes that the Act automatically grants them a State title may be caught out if the Commonwealth title lapses. The Act does not provide any fallback mechanism. Second, the Ministers have broad discretion to impose conditions on the new exploration permits under sections 6(2), 7(2), and 8(2), including conditions “of the kind described in” the relevant State Act. There is no requirement that those conditions be consistent with the conditions on the original Commonwealth permit. This means a title holder could end up with a State permit that is materially different from the Commonwealth permit they held, potentially increasing compliance costs or restricting operations. The Act does not limit the Ministers’ discretion. Third, the register provisions (section 10) use the phrase “considers necessary”, giving the Ministers a wide margin. If a Minister fails to make an entry that a title holder expects, there is no statutory remedy. Fourth, the definition of “inshore block” for WA‑30‑R and WA‑315‑P uses the qualifying word “purportedly” the subject of the relevant lease. This acknowledges that there may have been legal uncertainty about whether the Commonwealth title actually covered those blocks given the boundary changes. This creates a risk that the Act itself may be based on an imperfect assumption about the pre-existing title scope. If a court later finds that the Commonwealth title never covered a particular block, the Act’s expansion provisions might be ineffective. Fifth, the Act does not address the treatment of existing security interests or third party rights (such as mortgages over the Commonwealth titles). The register entries are mandatory to transfer information from the Commonwealth register, but the Act does not expressly provide that those interests are preserved under State law. A mortgagee of a Commonwealth permit may find that its interest is not automatically reflected on the State register. Sixth, the 2024 uncommenced amendments are a potential gotcha. If and when they come into force, they could retrospectively alter the scope of the Act. Practitioners must monitor the proclamation status.

For holders of the affected Commonwealth titles, compliance is primarily a matter of timing and engagement with State regulators. The first step is to ensure that the Commonwealth title (lease WA‑30‑R, permit WA‑315‑P, permit WA‑398‑P, or lease TR/5) is renewed promptly after the Act’s commencement (3 December 2014). Since the Act was passed in 2014, renewal may already have occurred; but for any title not yet renewed, the holder must make a timely renewal application under the Commonwealth Act to trigger the Act’s operation. The holder should also maintain records of the blocks covered by the Commonwealth title as at the renewal day, because the Act uses the blocks that were “the subject” of the title immediately before renewal. If the holder subsequently amends the Commonwealth permit area (e.g., by partial surrender or variation), the State transfer may not be affected, but the holder should be cautious.

Once the relevant renewal day occurs, the holder should expect the automatic expansion of lease R2 or lease TR/5 (if applicable) or the grant of a new State exploration permit. The holder should then liaise with the PSLA Minister and PGERA Minister to obtain the grant documents. The Ministers are required to grant, but they may impose conditions. The holder should review any proposed conditions carefully and, if they are considered unreasonable, consider whether they can be challenged under the relevant State Act’s review provisions (e.g., under the PSLA or PGERA). The holder should also ensure that the register entries under section 10 are made accurately. This may require providing the relevant Ministers with certified copies of the Commonwealth register entries. The holder should check the PGERA register and PSLA register periodically after the renewal day to confirm that the expansion or new permit has been recorded. For locations (section 9), the holder should note that the location automatically transfers; no fresh declaration is needed, but the holder should ensure the State register records the location details.

Finally, the holder should monitor the 2024 uncommenced amendments. Once those provisions are proclaimed, the Act may impose additional obligations or alter the existing transfers. Legal and regulatory compliance advice should be updated accordingly.
