Perth Town Hall Agreement Act 1953

The direct parties are the Crown in right of the State of Western Australia, represented by the Governor, and the City of Perth as a body corporate constituted under the Municipal Corporations Act. These two entities bear all the obligations and receive all the benefits: the City must surrender land by 30 June 1954 and the State must vest other land once the Kensington Hotel is demolished. Beyond these parties, the owners of certificates of title listed in the schedules are affected because their land is either to be surrendered to the Crown (Third Schedule) or transferred to the City (First and Fourth Schedules). Those owners are not parties to the agreement and their property rights are altered without their consent - the Act and agreement operate as compulsory acquisition by agreement between two public bodies. The tenants or occupiers of the Kensington Hotel on Lot W85 are affected because the Hotel must be demolished or removed before the vesting can occur; the agreement sets no deadline for this, creating indefinite uncertainty for any occupant. Holders of interests in the Second Schedule land are affected too: that land was wrongly included in the 1950 Act and is now “deemed” excluded, meaning any prior vesting or surrender obligations disappear retroactively. The broader public in Perth may benefit from Wellington Street widening and corner truncation, but the agreement does not impose any duties on private citizens or businesses. No other government agencies, private developers, or individuals are named. Practitioners advising the City or the State need to trace the chain of title through the certificate references and diagrams to confirm the exact parcels. The Act does not impose compliance burdens on the general public; its effects are limited to the parties and specific landholders.

The agreement creates several precise, time-limited duties. The City of Perth must surrender to Her Majesty the land described in the Third Schedule on or before 30 June 1954 (recital 2(d)). The State must vest in the City the land described in the Fourth Schedule when the Kensington Hotel is demolished or removed (recital 2(e) and clause 4). This second duty is conditional: until demolition occurs, the State has no obligation to vest, and the City has no right to demand it. The City has the right to use the vested land only for widening Wellington Street and truncating the corner of Wellington and Lord Streets (recital 4(ii) and clause 4). That is a statutory purpose restriction; using the land for any other purpose would breach the agreement and potentially the Act. The parties also have the duty to read and construe the 1950 Act and the principal agreement as if the land in the First and Third Schedules were included and the Second Schedule land excluded (clauses 1 and 2). This deeming provision imposes an interpretive duty on courts, tribunals, and administrative bodies. The State must take steps to have the agreement approved by Parliament and published in the Government Gazette as soon as possible (clause 9) - that duty was performed when the Act passed. Under clause 7, either party may propose variations in writing, but any variation that constitutes a “material or substantial alteration” of rights or obligations may not be validly agreed without further legislation, because the Act ratified only the agreement as originally executed. The rights of the City to receive the vested land and of the State to receive the surrendered land are correlative, but the agreement does not create a transactional exchange of money; it is an adjustment of land holdings for public purposes. No penalties, interest, or damages are specified for breach, so enforcement would rely on ordinary contract remedies or public law mechanisms such as mandamus (if applicable) or political accountability.

The Act and the agreement contain no express penalty provisions, no fines, no offences, and no enforcement mechanisms. Breach of the obligations - for example, the City failing to surrender the Third Schedule land by 30 June 1954, or the State failing to vest the Fourth Schedule land after demolition - would not trigger monetary penalties. Enforcement would likely rely on the common law of contract: the State or City could sue for specific performance or damages, but such litigation between Crown and municipal corporation is rare and politically charged. The agreement does not include a dispute resolution clause, nor does it refer to arbitration or expert determination. Because the Act is statutory ratification, a court may also consider whether the obligations are enforceable as statutory duties (e.g., a failure to vest could be challenged by judicial review). However, the Act does not create a statutory cause of action for third parties; only the two parties to the agreement have standing. The absence of explicit penalties creates a weak compliance incentive: the only real sanction is loss of the benefits under the agreement. For example, if the City does not surrender the brown land, the State might refuse to vest the yellow land, but the agreement does not state that performance is conditional on the other’s performance in that way. The deeming provisions in clauses 1 and 2 are not conditional on any future event; they take effect immediately upon the Act coming into force. Therefore, the corrections to the 1950 Act and principal agreement are effective regardless of whether the surrender or vesting occurs. This design suggests the parties relied on good faith and political alignment rather than legal penalties. The City also had the implied duty under the Municipal Corporations Act to act for public purposes, so a persistent failure could attract ministerial intervention or audit scrutiny. But from a compliance perspective, the regime lacks teeth.

The Act interacts primarily with three instruments. First, the Perth Town Hall Act 1950 is the parent statute that originally authorised the parties to enter an agreement for purposes set out in its section 2. The 1953 agreement deems land added to and removed from the Fourth Schedule of that Act, effectively amending the 1950 Act without a formal amending bill. Second, the principal agreement of 26 March 1952 is varied by substituting dates and cross-references, and is deemed to have contained the corrected land descriptions from the start. Third, the Municipal Corporations Act 1906-1951 and the City of Perth Act 1925 are referenced in the building line declarations that define the boundaries of the land to be vested (Second and Fourth Schedules). Those Acts govern the City’s powers to acquire and hold land for street widening and truncation. The agreement also references specific Certificates of Title under the Transfer of Land Act (likely the Torrens system) such as Volume 812 Folio 153 and Volume 512 Folio 10, so the vesting and surrender must be recorded in the titles registry to perfect legal ownership. The Perth Town Hall Act 1950 itself would need to be read as if the Fourth Schedule were amended by the deeming provisions; any subsequent reference to that Act in other legislation must account for this implied amendment. The agreement also foreshadows that the Crown and the City may enter further variations in writing (clause 7), but those variations must not constitute a material or substantial alteration. That limitation means that only minor administrative or technical changes can be made without further legislation; any change that shifts the balance of rights or obligations would need a new Act. The Act does not interact with any federal legislation or common law doctrines beyond ordinary contract interpretation. It does not override property rights of private landowners because all affected land was already either Crown land or City land under earlier resumptions (e.g., the Kensington Hotel was resumed by the State in March 1951). No private compensation obligations are mentioned, implying that compensation was dealt with in the 1950 Act or principal agreement and is not reopened here.

The compilation table in the Act shows a single entry: the Perth Town Hall Agreement Act 1953 (No. 58 of 1953) received Royal Assent on 9 January 1954 and commenced on the same day. There are no amending Acts listed. This means the Act has not been altered in any way since its enactment over seventy years ago. The agreement itself could be varied under clause 7 by written agreement of the parties, but any such variation that is “material or substantial” would arguably require further legislative approval because the Act ratified only the specific 1953 agreement. However, no such variations are recorded in the compilation. The Act remains in force as a standalone piece of legislation; it has not been repealed or sunset. The absence of amendment history is significant: it suggests the land transfers and corrections were successfully carried out, or that the parties never found it necessary to revisit the terms. The building line declarations referenced (from 1940) remain static, and the Kensington Hotel presumably was demolished at some point (clause 4 triggers vesting upon demolition). Without amendment, the Act continues to be the source of law for the deeming corrections. Practitioners checking the current text will find it identical to the original. The compilation note indicates that this version is a “compilation” meaning it incorporates amendments (none here) and is current as of the date of the compilation. The original assent date appears as 9 Jan 1954, which is after the execution date of the agreement (20 Nov 1953), as is typical for retrospective ratification. No other Acts have been passed to expressly repeal or modify this one, so it remains good law unless impliedly repealed by a later inconsistent statute - unlikely given its narrow scope.

The source contains no references to litigation, no cases cited, and no decisions mentioned. The agreement and Act are so narrow in scope and involve only two government parties that it is improbable there has been any reported case. The deeming provisions are self-executing and require no judicial interpretation to take effect. Disputes could theoretically arise over whether a later variation is “material or substantial” under clause 7, or over the exact boundaries of the coloured land on the Fifth Schedule plan (if the plan is missing or ambiguous), or over whether the Kensington Hotel condition has been satisfied. But nothing in the Act or agreement suggests any court has ever been asked to resolve such issues. The absence of litigation history is itself informative: it suggests the parties performed their obligations or resolved disputes informally. The Act has never been challenged on constitutional grounds or for abrogation of property rights, likely because the affected land was already in public hands or was resumed with compensation earlier. A search of Western Australian case law databases would probably confirm zero citations. This is not unusual for a ratification Act of this type. From an analytical perspective, the lack of litigation means there is no judicial gloss on terms like “material or substantial alteration” or “deemed to have been included”. Practitioners must rely on ordinary contract principles and statutory interpretation canons. If a dispute ever arose, a court would need to construe the agreement as a whole, giving effect to the clear intention to correct errors, and would likely apply a purposive approach. The Act’s short title and long title indicate its purpose is to approve, ratify and confirm the agreement, so a court would be reluctant to frustrate that purpose by strict adherence to literal boundaries if ambiguities existed. But until such a case occurs, the law remains untested.

Several features of the Act and agreement could trap an unwary practitioner. First, the deeming provisions in clauses 1 and 2 operate retroactively: land is “deemed to have been included” or “excluded” from the Fourth Schedule of the 1950 Act from the outset. This means any action taken between 1950 and 1953 that assumed the wrong land schedule is retroactively validated or invalidated. For example, if the City had claimed ownership of the Second Schedule land based on the 1950 Act, that claim is now deemed never to have existed. Second, the condition precedent for vesting the Fourth Schedule land (clause 4) is the demolition or removal of the Kensington Hotel. The agreement sets no time limit for that event. The City cannot compel the State to vest the land until the building is gone; if the demolition is delayed for decades, the City’s right remains unfulfilled. Conversely, if the State demolishes the hotel, the vesting duty crystallises immediately, and the City may then acquire the land. Third, clause 7 allows variation by written agreement but prohibits “material or substantial alteration”. This is a vague standard. A change to the land boundaries, purposes, or parties would likely be material, whereas fixing a typo might not. There is no definition, and the Act gives no guidance. Fourth, the Fifth Schedule plan is referred to but not reproduced in the printed Act. If the plan is lost or illegible, the boundaries of the green, brown, pink, and yellow land become uncertain, potentially making the agreement unenforceable as to location. Fifth, the reference to the building line declared under the Municipal Corporations Act and City of Perth Act (Government Gazette, 19 July 1940) is critical to defining the Second and Fourth Schedules. That building line may have been superseded or altered by later planning laws, but the agreement fixes it as at 1940. Sixth, the City must surrender the Third Schedule land by 30 June 1954. That date has long passed, and if the surrender never occurred, the City is in continuing breach with no limitation period specified. Seventh, the Act does not repeal or supersede the 1950 Act; it amends it by deeming. The 1950 Act remains in force with its provisions read as if the schedules were corrected. Any future amendment to the 1950 Act could inadvertently affect the 1953 corrections. Finally, the Act has no sunset or review clause, so it remains on the statute book indefinitely, potentially causing confusion for modern title searches if the land has been further subdivided or transferred.

Compliance with the Act and the ratified agreement is solely the concern of the State of Western Australia and the City of Perth. For the State, the primary obligation upon enactment was to ensure the agreement was published in the Government Gazette (clause 9). That appears to have been done. The State must also vest the Fourth Schedule land in the City when the Kensington Hotel is demolished or removed. Practically, that means the relevant department (then the Premier’s Department, now likely the Department of Planning, Lands and Heritage) must monitor the demolition, execute a vesting instrument under the Land Administration Act or equivalent, and register the transfer with Landgate (formerly the Titles Office). The vesting must be for the stated purposes only - Wellington Street widening and corner truncation - so a condition or covenant should be recorded on title. For the City, compliance required surrendering the Third Schedule land to the Crown by 30 June 1954. If that was done, the City has no further surrender obligations. If not, the City remains in breach. The City must also accept the vested land once the Hotel is demolished and use it only for the specified public purposes. Any other use would breach the agreement and potentially the Act. Both parties must ensure that any future variations to the agreement are in writing (clause 7) and do not constitute a material or substantial alteration. If they wish to make a significant change - for example, using the vested land for a park instead of street widening - they would need new legislation. For ongoing compliance, the parties should maintain records of the original certificates of title and the Fifth Schedule plan, as well as any correspondence about the Kensington Hotel demolition. If the Hotel was demolished decades ago without a formal vesting, the City should seek a confirmatory vesting from the State to regularise title. Private landowners or parties with interests in the affected lots (e.g., lessees of the Kensington Hotel) should ensure their rights are respected or compensated under the 1950 Act or principal agreement, as the 1953 Act does not itself provide compensation. From a practical standpoint, compliance today is likely merely administrative, but the potential gap remains if the surrender or vesting was never formally completed. A title search for each lot in the schedules would reveal whether the transfers were registered. If not, the parties should execute the overdue steps promptly, possibly with a new agreement ratified by Parliament if the original deadline cannot be met.
