Personal Property Securities (Statute Law Revision and Implementation) Act 2010

The Act’s central concept is the winding down of three distinct state-based personal property security registers and the migration of their data to a single national register. Each repealed regime governed a different class of transaction.

Under the Chattel Securities Act 1987, secured parties could register chattel mortgages (over goods such as livestock, crops, and machinery), bills of sale, and charges over property of corporations. The Act also contained interstate recognition provisions (section 15A) for goods registered in other states. The repeal of Parts 1, 2 and 3 strips away the entire registration system, leaving only residual provisions (the Act itself remains in force in a truncated form? The source does not say the entire Chattel Securities Act is repealed; only specific Parts and sections. Some provisions not mentioned, such as section 41 (referred to in section 21), remain in force for transitional information-sharing purposes. Section 41 is not itself repealed by this Act. So the concept is not a complete repeal but a selective one, preserving certain sections necessary for the transition.

Under the Co-operatives Act 1996, Division 2 of Part 10 and Schedule 3 provided for registration of charges over property of co-operatives. A charge was akin to a security interest; the Registrar under that Act maintained a register. Schedule 3 included detailed provisions about registration (clauses 19, 21) and rectification of defective notices. The Act repeals those parts but includes a saving (section 8) that prevents the automatic invalidation of defective notices where the Registrar deems time insufficient to rectify before the PPSR start date. This was a practical concession to prevent priority losses for secured parties who had lodged almost compliant notices but lacked time to fix minor defects.

Under the Instruments Act 1958, Part VII governed bills of sale and chattel mortgages (including registration requirements, form, and effect). Part VIII appears to have dealt with something else (the source does not specify its content, but the Seventh and Eighth Schedules were also repealed). The repeal removes the entire registration framework for such interests.

The Act defines terms used in Part 5: “corresponding Authority” (an interstate counterpart under the Chattel Securities Act), “interstate registrable goods” (goods registered in another state under that Act), “Registrar” (under the Co-operatives National Law Application Act 2013, as inserted by the 2013 amendment), “Registrar of Personal Property Securities” (the Commonwealth officer), “Registrar-General” (under the Instruments Act), and “Corporation” (as defined in the Chattel Securities Act as in force before it was amended). The preservation of these definitions demonstrates the Act’s transitional character: it borrows concepts from repealed Acts solely for the purpose of authorizing data migration.

The concept of “provisional registration” in section 8 is a discrete transitional rule. It does not create a new register; it simply waives a procedural bar (clause 21(2)) for defective notices where there was no practical time to cure the defect before the state register closed. This prevented the automatic loss of priority for those notices when the Commonwealth PPSR started. The provision relies on the Registrar’s discretion (“if the Registrar considers”).

The Act directly affects three groups. First, secured parties who had registered security interests under any of the three repealed state regimes: lenders taking chattel mortgages over farm machinery or livestock under the Chattel Securities Act; financiers holding charges over co-operative shares or property under the Co-operatives Act; and parties to bills of sale registered under the Instruments Act. For these parties, the state registration is no longer effective. Their security interests must be governed by the Commonwealth Personal Property Securities Act 2009 (PPSA) and should have been migrated to the PPSR. The Act itself does not migrate the interests; it only authorizes the transfer of registry data to the Commonwealth. The actual legal effect of that data on PPSR priority is determined by the PPSA transitional provisions, not this Act. However, the success of the migration depends on the accuracy and completeness of the data transferred under sections 18-20.

Second, state officials and registries are affected. The Registrar-General under the Instruments Act, the Registrar under the Co-operatives National Law (Victoria), and the Corporation (the State Electricity Commission of Victoria) under the Chattel Securities Act are granted powers to transfer data. They also receive immunity under section 21 for acts or omissions done in good faith. These officials face no obligation to transfer; the language is permissive (“may provide”). This creates a risk that not all data was transferred, or was transferred in a form the recipient considered appropriate, which might not be immediately usable by the PPSR.

Third, legal practitioners, conveyancers, and business advisors who advised clients on secured transactions in Victoria. They needed to know the cut-off dates: the state registers closed on 30 January 2012 for most provisions (the repeals in Parts 2 and 3 and 4 became effective that day). After that date, any new security interest could only be perfected by registration on the PPSR. Existing interests should have been migrated automatically by the state registry officials, but practitioners should have verified their clients’ interests appeared on the PPSR. The transitional saving for co-operative defective notices (section 8) is a niche provision that practitioners handling co-operative charges would need to check if any of their clients’ notices benefited from it.

Parties who relied on the old registers for searches also are affected. After the repeal, those registers are closed. Historical data may only be accessible via the Commonwealth PPSR or through the state officials. However, the Act does not impose any obligations on third parties; it is purely permissive for state officials.

The Act creates no positive duties on private parties. All duties and rights are conferred on state officials and agencies. The key duties and rights are as follows.

Under sections 18, 19 and 20, the Corporation, the Registrar-General, and the Registrar under the Co-operatives National Law (Victoria) may provide information to the Commonwealth PPS Registrar. The permissive “may” suggests discretion, but in practice the state would have agreed to do so as part of the intergovernmental arrangement. The Act does not compel them to transfer all data, nor does it prescribe a deadline or format. The providers may determine the form (subsection 18(2)(b), 19(2)(b), 20(2)(b)). This discretion could lead to inconsistent data quality or omission. The only constraint is in section 18(3): particulars about interstate registrable goods held under an arrangement with a corresponding Authority may only be disclosed if that Authority requests it. This prevents Victoria from unilaterally sharing data received from another state without that state’s consent.

Section 8 creates a right for a person who lodged a defective notice under Schedule 3 of the Co-operatives Act before the commencement of section 7: if the Registrar considers there was insufficient time to rectify the defect or give notice, the automatic consequence of clause 21(2) (which would normally void the registration if not rectified) does not apply. This is a saving provision that preserves the priority of that notice despite the defect. It is a discretionary right because it depends on the Registrar’s assessment. The provision might be relevant if the PPSA transitional provisions treat the state registration as having some effect; however, the Act does not connect to the PPSA directly. Practitioners might need to argue that the state registration remains valid for priority under the PPSA.

Section 21 provides an immunity from liability: the State, the Corporation, and their officers, employees, or agents are not liable for anything done or omitted to be done in good faith in the exercise of a power or discharge of a duty under sections 18, 19, or 20, or under section 41 of the Chattel Securities Act 1987. The protection also extends to acts or omissions done in the reasonable belief that they were in exercise of such power or duty. This is a broad shield. It means that if data is incorrectly transferred (e.g., an interest is omitted or misdescribed), an affected secured party cannot sue the state for loss. The cost of any such error falls on the secured party or the party searching the register. This is a significant transfer of risk from the state to private parties. The immunity applies even if the officer was negligent, provided the act or omission was in good faith. Good faith is a subjective concept; it would be difficult for a plaintiff to prove bad faith.

No rights are created for individuals to compel the transfer of information, to access the data, or to correct errors. The Act is entirely supply-side: the state may give information, and it may do so without liability.

This Act contains no penalty provisions. It does not create any offences or civil penalty regimes. It does not include any enforcement powers for regulators. The only possible enforcement mechanism is indirect: if the state officials failed to transfer data, the Commonwealth PPSR might have gaps, but there is no penalty for that under this Act. The Commonwealth PPSA may have its own enforcement provisions for failing to register or for false registrations, but that is not dealt with here.

The repeal provisions themselves do not impose penalties for non-compliance with the repealed Acts after their repeal. If a person had a security interest that was registered under a repealed Act, they are not penalized simply because the state register closed. The legal consequences are governed by the PPSA transitional provisions. For example, if an interest was not migrated, it might lose priority or become unperfected. That loss is not a penalty under this Act; it is a result of the operation of the Commonwealth law.

The immunity provision (section 21) effectively shields state officials from any civil liability that might otherwise arise from errors in data transfer. This could be seen as a de facto limitation on enforcement against the state. There is no corresponding provision allowing a private party to seek judicial review of a decision by the Registrar under section 8 (provisional registration). The Act does not set out any appeal or review mechanism.

In summary, from an enforcement perspective, this Act is a housekeeping statute with no teeth. It relies on the Commonwealth PPSA for the substantive legal effect and enforcement of security interests.

This Act is a direct consequence of the Personal Property Securities (Commonwealth Powers) Act 2009 (Vic), which referred to the Commonwealth the legislative power to enact a national PPS regime. That Act conferred the constitutional head of power. The present Act then implements that referral by removing conflicting state laws and facilitating data transfer. It does not itself define the new PPS regime; that is done by the Commonwealth Personal Property Securities Act 2009 (PPSA) and the Personal Property Securities Regulations 2010.

The interaction works in several ways. First, the repeal of the state registration systems means that after 30 January 2012, no new security interests can be registered under those state Acts. Any existing registrations cease to have effect under state law. Their priority under the Commonwealth PPSA is governed by the transitional provisions in Part 3 of the PPSA (sections 306-326). Those provisions give temporary perfection for interests previously registered under a state law, provided they were migrated to the PPSR. This Act authorizes the state officials to send the data for migration, but it does not guarantee that the data will be correctly loaded on the PPSR. If migration fails, the secured party must rely on the PPSA’s temporary perfection or register anew.

The Act also interacts with the Co-operatives Act 1996 and the later Co-operatives National Law Application Act 2013. Section 17 defines “Registrar” under this Act by reference to the 2013 Act, as amended. This shows the ongoing interaction: the Registrar under the Co-operatives National Law (Victoria) is the officer responsible for providing information under section 20. The 2013 Act replaced the old Co-operatives Act with a national law; the reference ensures the information provision continues under the new regime.

Section 21 provides immunity for acts done under section 41 of the Chattel Securities Act 1987. That section (not fully defined in this source) appears to have dealt with the supply of information or the exercise of powers related to the register. By preserving immunity for acts under that section, the Act ensures that the broader information-sharing functions of the Corporation are protected, even after the main registration provisions are repealed.

The Act also interacts with the Instruments Act 1958. The repeal of Parts VII and VIII removes the bill of sale and chattel mortgage registration. However, other parts of the Instruments Act (such as those dealing with deeds, powers of attorney, and other instruments) are unaffected. Similarly, the Chattel Securities Act remains in force for any sections not repealed, such as section 41.

Finally, the Act is complemented by the Consumer Acts Amendment Act 2011 and the Co-operatives National Law Application Act 2013, both of which amended this Act (see Amendment history). Those amendments updated the definition of Registrar and modified commencement provisions.

The Act as originally passed (No. 74 of 2010) received Royal Assent on 19 October 2010. It was subsequently amended by two Victorian Acts.

The Consumer Acts Amendment Act 2011 (No. 36/2011) came into operation on 24 August 2011. Its section 30 made two changes to section 2: it added subsection (2) (providing for the remaining provisions to come into operation on a day or days to be proclaimed) and repealed subsection (3) (which had originally set a specific commencement date? The original subsection (3) is not in the source text, but it is noted as repealed). The effect was to adjust the commencement arrangements. The 2011 Act also indirectly affected the staggered commencement: the remaining provisions were later proclaimed for 30 January 2012, with sections 8, 12-14 proclaimed for 1 January 2012.

The Co-operatives National Law Application Act 2013 (No. 9/2013) amended the definition of “Registrar” in section 17 and the heading of section 20. Specifically, Schedule 2, item 14(1) replaced the definition of “Registrar” with a reference to the same meaning as in the Co-operatives National Law Application Act 2013. Item 14(2) amended the heading of section 20 from “Provision of information … , Co-operatives Act 1996” to “Provision of information … , Co-operatives National Law (Victoria)”. Item 14(3) substituted in section 20(1) “Co‑operatives National Law (Victoria)” for “Co‑operatives Act 1996”. These amendments were necessary because the Co-operatives Act 1996 had been replaced by the Co-operatives National Law, and the state officer now operated under the new regime. The amendment came into force on 3 March 2014.

The Act also underwent internal repeal: section 38 (not included in the source but mentioned in the endnotes) repealed Parts 6-9 (sections 22-38) and the Schedule. That repeal came into effect on 1 December 2012. The effect is that the Act now consists only of Parts 1-5, with the original Parts 6-9 removed entirely. The content of those repealed parts is not available in the source, but they likely contained transitional or consequential provisions that were spent after implementation.

No other amendments are recorded in the endnotes. The Act remains in force with those changes. Its current version is No. 006 (incorporating amendments as at 3 March 2014).

The source text does not cite any cases. This Act, being a purely mechanical statute law revision statute, has likely generated little or no reported litigation. The principal disputes that might arise from the transition to the PPSR would probably involve priority contests under the Commonwealth PPSA, not challenges to the validity or operation of this particular Act. The narrow provisions most likely to be litigated are section 21 (immunity) and section 8 (provisional registration). However, no known Victorian decisions on these provisions are recorded in the source.

Section 21 provides a broad immunity; if a party suffered loss because of an error in data transfer, they might attempt to challenge the immunity as not applying because the act was not in good faith. That would be a fact-intensive inquiry. Without case law, the boundaries of “good faith” remain untested. Similarly, the Registrar’s discretion under section 8 to treat defective notices as not void could be subject to judicial review if a party argued the Registrar acted unreasonably in considering time insufficient. Again, no such case is recorded.

Practitioners should be aware that the absence of litigation does not mean the provisions are immune from challenge. The risk of a claim is low given the immunity provision, but a secured party whose interest was lost due to a state data omission might seek remedies against the Commonwealth under the PPSA or pursue a claim under the Australian Consumer Law if a state officer acted unconscionably. But those would not be claims under this Act.

The overall quiet litigation history suggests the Act achieved its objective without controversy, and that any disputes were resolved under the Commonwealth PPSA transitional provisions rather than this state Act.

Several provisions in this Act contain traps for the unwary.

The permissive language in the data transfer provisions. Sections 18, 19 and 20 each say the state official “may provide” information. There is no obligation to transfer all relevant data. If the official decided not to transfer a particular record, or transferred it in an inaccessible format, a secured party whose interest was not migrated might not know. The Act provides no right to compel transfer or to verify that data was sent. The practical assumption that the state would transfer everything might be wrong. Anyone relying on the migration should have independently checked the PPSR after the transition date.

The breadth of the immunity provision. Section 21 shields the State, the Corporation, and officers from liability for anything done or omitted in good faith. It also covers acts or omissions done in the reasonable belief that they were in exercise of a power or duty. This means if an officer negligently omits to transfer a critical registration, and a secured party loses priority as a result, the secured party likely has no claim against the state for damages. The only recourse might be against the Commonwealth if the PPSA itself provides a remedy, but that is not within this Act. The “good faith” requirement is weak because it is subjective; it would be extremely difficult to prove bad faith. The “reasonable belief” extension is even broader: an officer could mistakenly think they have a duty to delete records and be immune. This shifts the cost of errors entirely to private parties.

The provisional registration saving (section 8) is discretionary and narrow. It only applies to a defective notice lodged before the commencement of section 7 (the repeal). The Registrar must consider that there was insufficient time to rectify or give notice. If the Registrar concludes there was sufficient time, the saving does not apply, and the defective notice becomes void under the old state law. The Act does not set out criteria for insufficient time. This creates uncertainty. A secured party who lodged a defective notice should not assume it was saved; they would need to confirm with the Registrar or, more likely, re-register on the PPSR immediately after the transition.

The Act does not provide a mechanism for correcting errors after data transfer. If the records transferred to the Commonwealth contained mistakes (wrong grantor name, incorrect description of collateral), the Act gives no right to the secured party to request correction from the state official after the repeal. The secured party would have to use the PPSR correction process under the Commonwealth Act, which may require a court order or agreement of the grantor.

The repeal of old Acts may extinguish residual rights. While the PPSA transitional provisions preserve priority based on old registrations, the repeal under this Act removes the state law framework for those registrations. If a dispute arises about the validity of a registration that was not migrated, the secured party cannot rely on the state Act to argue the registration was effective on its own terms. The state Act no longer exists for that purpose. The only avenue is the PPSA.

The definition of “Corporation” is preserved from the Chattel Securities Act. That definition likely refers to the State Electricity Commission of Victoria (SECV), a body that has long been privatised. If the Corporation is no longer an operating entity, the power under section 18 may be practically unexercisable. The immunity in section 21 still applies to the State and its officers, but the specific entity might be defunct. This could create a gap in the authorised transfer of SECV data.

Staggered commencement dates. Part 5 (information provision) came into force on 20 October 2010, but the repeals did not take effect until 30 January 2012 (except for sections 8, 12-14 which came into force on 1 January 2012). This means for over a year, both the old and new regimes could operate in parallel, but the Act allowed information to be transferred before the old registers closed. Secured parties might have been confused about which register to search.

Compliance with this Act is primarily a matter for state officials, not private parties. Private parties who held security interests under the repealed Acts should have ensured that their interests were properly captured on the PPSR. The Act itself does not impose any positive obligation on the secured party, but the consequences of inaction can be severe: loss of priority, unperfected security interests, and the risk of being defeated by later registered interests.

For secured parties who had registrations under the Chattel Securities Act or Instruments Act, the primary compliance step was to verify after 30 January 2012 that their interests appeared on the PPSR. If the state data transfer was incomplete, they would need to register anew under the PPSA within the transitional period (which ran from 30 January 2012 for up to 24 months under the PPSA transitional provisions). Failing that, they could lose perfection. The Act gives no direct mechanism to force the state to provide missing data.

For secured parties who had defective notices under the Co-operatives Act before the repeal, section 8 provides a potential saving. To benefit, they needed to have lodged a defective notice before the commencement of section 7 (which occurred on 30 January 2012). They would also need the Registrar to consider that insufficient time existed to rectify. Practically, the secured party should have contacted the Registrar before the commencement to seek a determination. After commencement, the provision is spent; the Registrar’s discretion would have been exercised at the time. If the secured party was unsure, they should have treated the defective notice as ineffective and re-registered on the PPSR.

For state officials (the Corporation, Registrar-General, and Registrar under Co-operatives National Law), compliance involves exercising the power under sections 18-20 to provide information. They must respect the condition in section 18(3) regarding interstate registrable goods. They must do so in good faith to retain immunity. They may choose any form of provision. No further compliance steps are mandated.

For legal practitioners, the compliance burden is advisory. They should have informed clients about the transition and checked the PPSR for migrated interests. They should also have documented that the state data transfer was not guaranteed.

For anyone searching the PPSR after 30 January 2012, compliance with this Act is irrelevant; they rely on the PPSR data. However, if a search reveals no registration for an interest that was previously registered under state law, the searcher may need to investigate further. The Act does not create any liability for the state if the data is missing.

In summary, the practical compliance step for private parties is to confirm migration, re-register if necessary, and avoid assuming the state data transfer was complete and accurate. The Act provides the legal authority for the state to migrate data, but it does not guarantee that every interest was migrated correctly.
