Personal Property Securities (Commonwealth Laws) Act 2011

The Act sets up a statutory architecture to integrate Western Australian personal property security law with the Commonwealth regime. Several definitions establish the conceptual map.

Referred PPS matters. Section 4(1) defines the “referred PPS matters” broadly to include security interests in personal property, recording security interests and related information in a register, and enforcement and priority rules for security interests in personal property. That definition is subject to a material carve-out in s 4(2), which preserves State statutory rights from being displaced by the reference to the Commonwealth. The carve-out excludes matters that would “exclude or limit the operation of a law of the State” to the extent the State law pertains to creation, holding, transfer, assignment, disposal or forfeiture of a State statutory right, or restrictions on what interests or persons may hold State statutory rights (s 4(2)(a)-(b)). The effect is that some State-created rights remain governed by State law and are not swept into the Commonwealth scheme by the referral.

Security interest and personal property. Section 5(1) adopts a substance-over-form definition of “security interest in personal property”: an interest created by a transaction that, in substance, secures payment or performance of an obligation. Section 5(2) also lists statutory examples treated as security interests, interests of transferees under transfers of monetary obligations or chattel paper, consignors under consignments, and lessors or bailors under leases or bailments of goods. Notably, s 5(3) provides that “a security interest in personal property does not include a licence,” which introduces a specific exclusion: licences may be personal property (s 3 defines “licence” as a transferable right, entitlement or authority), but they are not, by definition under this Act, a “security interest” for the purposes of Part 2.

Personal property and State statutory rights. Section 3 defines “personal property” to include licences, but expressly excludes land and “excluded State statutory rights.” A State statutory right itself is defined broadly (s 3), and “excluded State statutory right” is a State statutory right that is declared by the law of the State not to be personal property for the purposes of the Commonwealth PPS Act. Section 15 also gives a power to a person or body who can grant licences by subsidiary legislation to declare that the licence or State statutory right is not personal property for the purposes of the Commonwealth PPS Act. Those mechanisms enable the State to keep particular statutory regimes outside the Commonwealth PPS sweep.

Adoption, amendment references and termination. Section 6 adopts the relevant version of the Commonwealth PPS Act for a period that begins at adoption and ends on a day fixed under s 7. Section 8 makes express amendment references in relation to personal property (excluding fixtures and water rights) to the Commonwealth Parliament to the extent of making express amendments of the Commonwealth PPS Act. Sections 7 and 9 provide for termination of adoption and of amendment references by Governor’s proclamation, subject to minimum timing and prior parliamentary approval of draft proclamations (s 2(2), s 7(6), s 9(6)). Section 10 expresses the State Parliament’s intention that the Commonwealth PPS Act may be amended or otherwise affected by Commonwealth laws and instruments beyond the initial referral and adoption, emphasising that State operation of the Commonwealth PPS Act may change over time by Commonwealth action.

Consequential State adjustments and transitional provisions. Part 3 defines local administrative rules and constraints. Section 13 authorises State registrars and the Commissioner to share records and data with the Commonwealth PPS Registrar in whatever form they consider appropriate. Section 14 bars compensation claims by or on behalf of the State or its officers for acts or omissions that are PPS transitional matters done in good faith, except where personal injury or death is caused. Section 16 translates State references to charges and to fixed and floating charges into the language of the Commonwealth security interest regime in defined circumstances. Section 17 restricts enforcement or other dealings with PPS security interests where these would conflict with specified State property laws listed in s 17(1)(b)-(j), while preserving certain exceptions and concurrent operation (s 17(3)). Section 18 preserves and converts bills of sale records into records held by the Commissioner for a limited period.

These main concepts set up a hybrid model: the Commonwealth PPS Act operates in Western Australia for the adopted period and subject matters, while the State preserves specific rights and provides administrative processes to manage the interaction between State registers and the Commonwealth PPS Register. The text focuses on structural definitions, referral mechanics, transitional safeguards and specific areas where State law continues to influence enforcement or characterisation of interests.

The Act affects a range of legal and commercial actors by changing how personal property security interests are characterised, recorded and enforced in Western Australia. The principal affected categories and the statutory basis for the effect are:

• Secured creditors and grantors. Parties who grant or take security interests in personal property will be affected because the Commonwealth PPS Act’s substantive provisions (as adopted) and the national PPS Register will govern the creation, perfection and priority of many security interests (s 6; see s 4 for scope of referred matters). Section 5 defines what counts as a security interest, including consignment and leases of goods (s 5(2)), but excluding licences (s 5(3)). Secured parties must therefore review whether their instruments fall within the Commonwealth definitions.

• Registrars and record-keepers. The Registrar under the Bills of Sale Act, the Commissioner under the Chattel Securities Act 1987, and the Registrar of Co-operatives are explicitly authorised to provide records and information to the Commonwealth to assist in establishing the PPS Register (s 13(1)-(3)). These officers decide what information “they consider appropriate” to provide and may choose the form of provision (s 13(4)). Their operational responsibilities are directly affected.

• Persons holding or affected by State statutory rights and licences. The Act protects State statutory rights from being subsumed by the Commonwealth scheme to the extent described in s 4(2). Persons holding licences or water rights must consider whether their rights are “excluded State statutory rights” (s 3), whether a licence is “personal property” under State law, and whether subsidiary legislation includes declarations under s 15 that a licence is not personal property for the Commonwealth PPS Act. Those declarations are a decision point for bodies authorised to make such subsidiary legislation.

• State agencies and public authorities. Section 14 immunises the State, State authorities and their officers from compensation claims arising from PPS transitional matters done in good faith, except for personal injury and death. This shifts litigation risk away from the State in specified circumstances. Section 17(3)(c)(i) preserves the State’s ability to enforce PPS security interests, and s 17(2) restricts enforcement by others when inconsistent with specified State property laws. The list of “relevant State property law” in s 17(1)(b)-(j) identifies Act titles that frequently involve State decision-making about how particular property categories must be dealt with.

• Users of legacy bills of sale records. When the Bills of Sale Act 1899 is repealed, s 18 treats the Register Book, lodged bills of sale and affidavits under that repealed Act as records kept by the Commissioner. Interested persons are entitled to certified copies for a prescribed fee (s 18(2)-(3)). That entitlement expires seven years after the PPS registration commencement time (s 18(4)).

• Courts, tribunals and legal advisers. The Act creates areas of potential legal contest about the boundary between Commonwealth and State law,e.g., whether a State statutory right falls inside the referral, or whether an enforcement action would be “inconsistent with” a relevant State property law (s 4(2), s 17(2)). Courts will be asked to resolve those interpretive questions, affecting litigants and their advisers.

• Persons affected by registration/preservation of data. The Act authorises private and public record sharing with the Commonwealth PPS Registrar (s 13). That raises compliance work for businesses that provided or receive registered security information under previous State schemes.

• Entities that create licences by subordinate legislation. A power to declare licences not to be personal property (s 15) affects those bodies’ drafting choices and the rights of third parties who might otherwise rely on the national PPS framework to perfect security interests.

The Act identifies specific State statutes whose subject-matter regimes may prevent or limit the exercise of PPS enforcement powers. The list in s 17(1)(b)-(j) includes the Criminal Property Confiscation Act 2000, Land Administration Act 1997, Local Government Act 1995, Rail Safety National Law (WA), Residential Parks (Long‑stay Tenants) Act 2006, Residential Tenancies Act 1987, Shipping and Pilotage Act 1967, Warehousemen’s Liens Act 1952, certain sections of the Western Australian Marine Act 1982, and any Act or subsidiary legislation prescribed by regulations. That list identifies classes of persons and assets (e.g. tenants, occupiers of residential parks, shipping, rail, warehouses) for whom State constraints are likely to be relevant.

Finally, the Act contemplates further Commonwealth amendments and instruments (s 10), so affected parties must monitor changes at Commonwealth level that will, by adoption, operate in WA until adoption or amendment references are terminated under the Act’s procedures (ss 6-11).

The Act creates duties, discretions and rights distributed among State officers, the Governor, grantors and secured parties, and other actors. The text is procedural and definitional, not largely prescriptive of commercial duties, but it embeds key operational obligations and powers.

Duties and discretions of State officers and registrars

• Provision of records. The Registrar (Bills of Sale Register Book), the Commissioner (Chattel Securities register), and the Registrar of Co‑operatives are “specifically authorised” to provide to the Commonwealth, the PPS Registrar or any Commonwealth officer such information as they consider appropriate to assist in establishing the PPS Register. That authorisation sets a discretion on those officers to determine what is “appropriate” and in what form (s 13(1)-(4)). The officers may transmit information electronically or in forms approved for the Commonwealth PPS Act.

• Fees and access to historic records. Under s 18(2)-(3), persons are entitled to copies of bills of sale and affidavits that were lodged under the now-repealed Bills of Sale Act, subject to payment of prescribed fees. The Governor may prescribe the fees (s 18(3)). Section 18(1) converts those records into Commissioner-held records when the Bill is repealed; s 18(4) provides that this section expires seven years after registration commencement time.

Powers and duties of the Governor and Parliament

• Proclamations to terminate adoption and references. The Governor may fix termination dates by proclamation for the adoption and for amendment references, but the statute imposes two process constraints. A proclamation fixing a termination day must be no earlier than the first day after the end of a 12‑month period beginning with publication of the proclamation (s 7(2), s 9(2)). Further, a proclamation under s 2(1)(d), s 7(1) or s 9(1) cannot be made unless a draft has first been approved by each House of Parliament (s 2(2), s 7(6), s 9(6)). The Governor may revoke such proclamations if revocation occurs before the fixed day, but the revocation has an effect only if made in time (s 7(3)-(5), s 9(3)-(5)).

Rights and constraints for creditors, grantors and other private parties

• Definition of security interests and exclusions. Section 5(1) adopts a substance-over-form test for “security interest in personal property” and lists specific included interests (s 5(2)). Section 5(3) expressly excludes licences from the definition of security interest. That affects parties’ rights to treat licences as a security interest for perfection and priority under the Commonwealth PPS Act as adopted.

• Recharacterisation of charges. Section 16 requires that references to a charge, fixed charge or floating charge over property in State law or security agreements, where the charge has attached to personal property and title to that personal property is in the grantor, be treated as references to a security interest attached to either circulating asset or non‑circulating asset, according to whether the charge is floating or fixed (ss 16(1), 16(3)-(5)). This statutory translation affects the rights and obligations of parties under pre-existing security documentation and under State law references to charges.

• Restrictions on enforcement. Section 17 imposes a substantive constraint on enforcement and other dealings with PPS security interests from the registration commencement time, where the action or dealing would be inconsistent with “relevant State property law” or an order made under such a law. The subsection provides examples of inconsistency: laws that require property to be dealt with in a particular manner or prohibit particular dealings (s 17(2)(a)); actions that would prevent or impede an application under a relevant State property law (s 17(2)(b)); and other prescribed circumstances (s 17(2)(c)). However, subsection 17(3) clarifies that the section does not affect the meaning or operation of relevant State property law beyond applying to PPS security interests and does not prevent enforcement by the State or its agencies, or other persons prescribed by regulation (s 17(3)(c)(i)-(ii)).

• Immunity from compensation for transitional matters. Section 14 provides that compensation is not payable by or on behalf of the State or an authority, or by State officers, for acts or omissions that are PPS transitional matters, done in good faith (s 14(1)-(2)). The immunity does not extend to acts causing personal injury or death (s 14(2)(b)). PPS transitional matters are defined in s 12(1) to include providing information to the Commonwealth to establish the PPS Register, refusing to exercise registration functions under specified State Acts, administering Part 3, and exercising functions under Part 3.

Regulatory powers

• Regulations for transitional matters. Section 19 allows the Governor to make transitional regulations necessary or convenient to deal with matters arising from the adoption. Transitional regulations can be made only within 12 months from Royal Assent and can have retrospective operative days subject to protections for persons other than the State (s 19(2)-(5)). Section 20 gives the Governor standard regulation-making power to prescribe matters required or permitted by the Act.

The Act therefore reallocates and redefines certain rights and imposes statutory discretions on State officers, while constraining certain enforcement actions by private parties where State property laws apply. Parties must consider the Act’s definitions and State-preserved exceptions in structuring security, perfection and enforcement strategies.

The Act itself does not create new criminal offences or detailed penalty regimes for ordinary commercial non‑compliance. Instead, its enforcement-related provisions are framed as constraints, authorisations and transitional protections that alter who may lawfully take enforcement action and under what conditions. Key enforcement-related mechanisms in the Act and their operational implications are:

Restrictions on enforcement and dealings with PPS security interests (s 17)

• Substantive constraint. From registration commencement time, a person is prohibited from taking action to enforce a PPS security interest or otherwise dealing with the interest or property if the action would be inconsistent with a “relevant State property law” that governs how the property is to be dealt with, requires particular dealings, or prohibits certain dealings (s 17(2)(a)). It is also prohibited if the action would prevent, impede or defeat an application under a relevant State property law concerning how the property is to be handled (s 17(2)(b)). The term “relevant State property law” is defined in s 17(1) to include specified Acts and any Act or subsidiary legislation prescribed by the regulations (s 17(1)(j)).

• Exceptions. Section 17(3) limits the section’s reach. It does not affect the meaning or operation of relevant State property law when applied to interests other than PPS security interests, nor does it affect the operation of relevant State property law where that law can operate concurrently with the Commonwealth PPS Act (s 17(3)(a)-(b)). Crucially, s 17(3)(c) provides that the section does not prevent enforcement of PPS security interests by the State or an instrumentality of the State, or by any other person or class of persons prescribed by regulation.

• Regulatory discretion. The regulations may prescribe additional circumstances in which enforcement or dealings are restricted (s 17(2)(c)), and may also prescribe classes of persons who are entitled to enforce despite s 17(2) (s 17(3)(c)(ii)). The presence of regulatory prescription creates a compliance checkpoint for enforcement actors.

Administrative and transitional enforcement consequences

• Refusals under State registration regimes. Section 12(1) defines PPS transitional matter to include a refusal to exercise a registration function under the Bills of Sale Act 1899 s 6A, the Chattel Securities Act 1987 s 3D or the Co‑operatives Act 2009 Schedule 3 cl 4C (s 12(1)(b)). That gives State registrars scope to refuse to process registrations under superseded State regimes during transition, shifting enforcement dynamics toward the Commonwealth PPS Register once established.

• Data provision and evidence. Section 13 authorises State record-holders to provide records to the Commonwealth in any form they consider appropriate, including electronic formats appropriate for the Commonwealth PPS Act (s 13(4)). That capability affects evidentiary pathways and the practical ability to locate interests for enforcement.

Immunity and limits on remedies

• Compensation restrictions. Section 14 provides that compensation is not payable by or on behalf of the State, State authorities or their officers for acts or omissions that are PPS transitional matters done in good faith (s 14(1)-(2)). This insulates many administrative transitional decisions from monetary remedies, though exceptions apply for personal injury and death (s 14(2)(b)).

• Bills of sale records. Section 18 preserves historic bills of sale records and entitles persons to copies for a prescribed fee (s 18(2)-(3)). That facilitates access to historical security documentation that may be relevant in enforcement contexts.

No standalone penalty clauses. The Act does not itself specify criminal sanctions, fines or civil penalty mechanisms for contraventions of s 17 or other provisions. Enforcement consequences therefore arise primarily through the substantive bar on actions that would be inconsistent with relevant State property laws, the operation of Commonwealth PPS Act enforcement provisions (as adopted), and the interplay between State laws and the national scheme. Where conflicts arise, the Act’s terms, the Commonwealth PPS Act, and the relevant State property laws will determine remedies and enforcement rights.

Practical enforcement uncertainties

• Interpretive risk about inconsistency. Whether a proposed enforcement action is “inconsistent with” a relevant State property law (s 17(2)(a)) will often be an interpretive question arising in disputes. The Act lists specific State laws that commonly affect tangible categories of property (s 17(1)(b)-(j)), but the precise scope of “inconsistency” and whether a given enforcement step is blocked will probably be resolved in legal proceedings when contested.

• Regulatory design. The regulations may expand or contract enforcement exceptions and prescribe further relevant State property laws (ss 17(1)(j), 17(2)(c), 17(3)(c)(ii)). This makes regulatory attention important in assessing enforcement risks.

In short, enforcement under the Act is shaped by statutory prohibitions on actions that would conflict with named State laws, by administrative authorisations to share records with the Commonwealth, and by Commonwealth PPS enforcement mechanics as they operate in WA following adoption. The Act itself does not set out criminal or civil penalty provisions for private enforcement missteps; rather, it creates a statutory framework that reallocates enforcement authority and introduces interpretive boundaries between Commonwealth and State regimes.

The Act is primarily an instrument of legal integration, designed to align Western Australian personal property security arrangements with the Commonwealth PPS framework while preserving specific State law domains. The text supplies explicit cross‑references, carve-outs and transitional adjustments that govern the interface between the Commonwealth PPS Act as adopted and a range of State laws.

Constitutional and referral context

• Adoption under s 51(xxxvii). Section 6(1) states that the relevant version of the Commonwealth PPS Act is adopted within the meaning of section 51(xxxvii) of the Constitution. The Act therefore relies on the constitutional referral power to give effect to Commonwealth law within the State. Section 8 implements amendment references that further enable the Commonwealth Parliament to make express amendments to the Commonwealth PPS Act in relation to specified kinds of personal property (s 8(1)). Section 11 addresses the effect of termination of amendment references on laws made under those references, preserving laws made under the references unless the adoption itself is terminated (s 11(1)-(2)).

State law carve-outs and preserved State statutory rights

• Excluded State statutory rights. Section 4(2) enumerates limits on what “referred PPS matters” can include. It excludes making provision that alters State law with respect to State statutory rights in ways that affect creation, transfer, forfeiture or restrictions on who may hold those rights (s 4(2)(a)-(b)). This preserves State capacity to regulate statutory regimes such as licences, concessions or public entitlements, by rendering them excluded State statutory rights if so declared by State law.

• Power to declare licences not to be personal property. Section 15 gives power to persons or bodies who make subsidiary legislation granting licences to declare that the licence or right is not personal property for PPS purposes. That is an express State mechanism to avoid a Commonwealth PPS takeover of particular categories of licence.

Translation of traditional charge concepts

• Recharacterisation of charges. Section 16 converts references in State law or security agreements to charges, fixed charges or floating charges, into the statutory language of the Commonwealth PPS Act for the subset of charges that have attached to personal property where the title is in the grantor (s 16(1), (3)-(5)). This aligns traditional State drafting that uses charge terminology with the national PPS taxonomy of security interests and circulating/non‑circulating assets. However, s 16(2) excludes certain Commonwealth PPS Act provisions from this conversion.

Interaction with specific State property regimes

• Relevant State property laws. Section 17(1) lists specific State Acts that are treated as “relevant State property law” for the purposes of restricting enforcement and other dealings with PPS security interests: Criminal Property Confiscation Act 2000; Land Administration Act 1997; Local Government Act 1995; Rail Safety National Law (WA); Residential Parks (Long‑stay Tenants) Act 2006; Residential Tenancies Act 1987; Shipping and Pilotage Act 1967; Warehousemen’s Liens Act 1952; specified sections of the Western Australian Marine Act 1982; and any Act or subsidiary legislation prescribed by regulation (s 17(1)(a)-(j)). Where enforcement would be inconsistent with those State laws, it is restricted (s 17(2)). The section preserves concurrent operation in certain circumstances and allows the State and specified persons to enforce despite s 17(2) (s 17(3)).

Transitional and administrative links

• Data sharing to establish PPS Register. Section 13 authorises State record-holders to provide information from State registers to the Commonwealth PPS Registrar in any form they consider appropriate, to assist establishment of the national PPS Register. Section 13(5) says the provisions prevail to the extent of inconsistency with any other Act. This gives primacy to the data‑sharing authorisation for the transitional setup.

• Bills of sale and historic State registers. Section 18 treats bills of sale records and associated affidavits lodged under the Bills of Sale Act 1899 as Commissioner-held records when that Act is repealed, and provides for access to those records for seven years after registration commencement time (s 18(1)-(4)). That preserves information continuity between old State registers and the new Commonwealth register.

Regulations and retrospective transitional provisions

• Transitional regulations. Section 19 authorises the Governor to make transitional regulations required in relation to transitional or savings matters arising from adoption. Transitional regulations can only be made within 12 months of Royal Assent and may take effect from an operative day not earlier than commencement day, subject to protections that they do not prejudice private rights or impose liabilities retrospectively on private persons (s 19(2)-(5)). This allows State law to smooth the legal transitions between regimes.

Interaction with Commonwealth amendments and instruments

• Ongoing Commonwealth influence. Section 10 explicitly states the intention that the Commonwealth PPS Act may be amended or otherwise affected at any time by Commonwealth Acts based on powers arising from a reference or adoption under s 51(xxxvii), or by Commonwealth powers independent of the reference, and that the Commonwealth PPS Act may also have its operation affected by Commonwealth PPS instruments (s 10(a)-(c)). Section 11 provides that laws made under amendment references remain effective after termination of the amendment reference, and the Commonwealth PPS Act continues in the State as in operation immediately before termination, with certain qualifications (s 11(1)-(4)). These provisions mean that Commonwealth legislative and regulatory activity will continue to shape personal property security law as applied in WA unless and until the State terminates the adoption.

In short, the Act creates a layered legal interface. It integrates State registration and security law into the Commonwealth PPS architecture for many categories of personal property while preserving State-specific regimes through declarations, carve-outs and enforcement restrictions, and by allowing the State to make transitional regulations and to continue to prescribe relevant State property laws by regulation. Parties must therefore assess both Commonwealth PPS rules (as adopted and as amended by Commonwealth Acts and instruments) and the State’s preserved exceptions and regulations to understand rights and obligations.

The Act adopts the Commonwealth PPS Act “as amended” by several Commonwealth Acts and contemplates that the Commonwealth PPS Act will operate in the State “as in force from time to time” (s 3, definition of Commonwealth PPS Act; s 6(1)). The compilation table and marginal notes record State amendments that have affected the Act since enactment. Relevant items expressly noted in the compilation table and in marginal notes include:

• Original enactment and commencement. The Personal Property Securities (Commonwealth Laws) Act 2011 No. 41 of 2011 received assent on 4 October 2011. Part 1 commenced on that day; most of the Act commenced the following day (s 2(1)(a)-(b)). Section 16 commenced on the registration commencement time defined in the Commonwealth PPS Act s 306(2), recorded in the compilation table as 30 January 2012.

• Subsequent State amendments referenced. The marginal note to s 17 records amendments by later State Acts: Rail Safety National Law (WA) Act 2015 Pt 5 (No. 21 of 2015), Marine Safety (Domestic Commercial Vessel National Law Application) Act 2023 Pt 10 Div 3 (No. 24 of 2023), and Rail Safety National Law Application Act 2024 s 58 (No. 7 of 2024). The compilation table records the entry of those amending laws with their assent and commencement details (see compilation table rows). The amendments are shown as affecting s 17; the Act’s text itself retains cross-references and includes an editorial note that s 17 was amended (bracketed note after s 17).

• Uncommenced provisions. Section 8(2) and (3), which would expand the scope of amendment references in ways not in force, remain uncommenced and are subject to proclamation (s 2(1)(d) and the uncommenced provisions table). The uncommenced provisions table specifically identifies s 8(2) and (3) as uncommenced.

• Commonwealth amendment history built into definitions. The Act’s definition of “Commonwealth PPS Act” in s 3 explicitly includes the original Commonwealth Personal Property Securities Act 2009 and the consequential Commonwealth amendments named in the WA Act’s preamble. Section 10 makes clear the State’s intention that further Commonwealth Acts and instruments may amend or otherwise affect the operation of the Commonwealth PPS Act as applied in the State. Section 11 addresses effect of termination of amendment references on laws already made under those references.

Practical reading of amendment history

• State amendments have been used to add or clarify relevant State property laws (for example the insertion of prescribed Acts listed in s 17(1)(b)-(j)) and to adjust the interface with national transport and marine safety regimes as those State Acts were introduced or applied (see marginal notes showing 2015, 2023 and 2024 amendments). The compilation table shows the dates and instruments whereby those amendments took effect in WA.

• The Act’s architecture contemplates continuing change at two levels: Commonwealth-level amendments to the Commonwealth PPS Act and State-level amendments of what is considered a relevant State property law or of the mechanics of adoption and termination (ss 10-11; ss 7-9). The State’s regulatory power to prescribe further relevant State property laws by regulation (s 17(1)(j)) provides an administrative route to adjust the interface without primary legislation.

Because the Act imports and relies on the Commonwealth PPS Act “as in force from time to time,” the amendment history effectively comprises a matrix of (a) Commonwealth amendments to the Commonwealth PPS Act and instruments, and (b) State amendments to the WA adoption and interface provisions. The compilation table and marginal notes record the principal State amendments noted above; practitioners must also monitor Commonwealth PPS Act amendments and Commonwealth instruments that will affect how the national framework applies in Western Australia pursuant to the State’s adoption and references.

The text provided contains no judicial decisions or named cases interpreting this Act. The Act’s compilation notes and marginal annotations do not list any litigation. Consequently, there is no litigation history included in the provided source material to summarise.

The Act, however, creates a number of interpretive points that are reasonably likely to generate litigation or contested rulings if disputes arise. The source material itself enables us to identify potential litigation focal points without asserting that those disputes have occurred. Those likely topics include:

• Constitutional and referral boundaries. Section 6 adopts the Commonwealth PPS Act “within the meaning of s 51(xxxvii).” Litigation could arise over whether particular Commonwealth amendments or instruments fall within the scope of the State’s referral and whether the referral mechanism has been properly exercised. Section 8(1) refers certain matters to the Commonwealth only “to the extent of the making of laws with respect to those matters in relation to property of that kind by making express amendments of the Commonwealth PPS Act.” Challenges might address whether particular Commonwealth action has exceeded the scope of the reference or otherwise encroached on State powers.

• Whether an interest is a State statutory right and thus excluded. The Act preserves “excluded State statutory rights” (s 3), defined as State statutory rights declared by State law not to be personal property for the purposes of the Commonwealth PPS Act. Courts may be asked to decide whether a given right is a State statutory right and whether the State’s declaration is operative for PPS purposes. Section 4(2) carves out State statutory rights from the scope of referred PPS matters. Disputes over those boundaries would affect whether the Commonwealth PPS framework applies.

• Meaning of “inconsistent with” relevant State property law. Section 17(2) bars enforcement action that would be inconsistent with specified State property laws. Litigation is likely around what sorts of enforcement steps are “inconsistent with” a State law or would “operate to prevent, impede or defeat” an application under a State property law (s 17(2)(a)-(b)). The list of relevant State property laws in s 17(1)(b)-(j) may generate case-by-case adjudication about the interplay of specific State regimes (tenancy, marine, rail safety, etc.) with PPS enforcement.

• Effect of proclamations and parliamentary approval requirements. The Act requires a draft proclamation to be approved by each House of Parliament before the Governor can make certain proclamations (s 2(2), s 7(6), s 9(6)). Litigation could challenge the validity of a proclamation or of subsequent actions taken under a proclamation if procedural prerequisites were not observed.

• Conversion of classic charge concepts to PPS terminology. Section 16 recharacterises references to charges, fixed charges and floating charges in State law or security agreements into PPS terms when the charge has attached to personal property and title is in the grantor. Disputes may arise about whether a given instrument appropriately converts, and the resulting consequences for priority and perfection.

• Application of compensation immunity. Section 14 prevents compensation being payable by the State or its officers for acts that are PPS transitional matters done in good faith, except for personal injury or death. Litigation could test the meaning of “PPS transitional matter,” whether the acts were done “in good faith,” and whether an excluded category, such as personal injury, applies.

Although the Act sets out clear statutory questions for courts to address, the provided source contains no reported decisions. Practitioners should therefore rely on statutory text and on Commonwealth PPS Act jurisprudence (where relevant) until WA-specific judicial interpretation emerges, and should anticipate that contested areas identified above are likely to surface in litigation as the Commonwealth PPS regime operates in WA.

This Act contains a number of provisions that are as-implemented traps for the unwary. The points below are anchored to the statutory text and highlight particular structural complexities, timing constraints and drafting pitfalls that practitioners and compliance officers should note.

Licences and security interests: terminology trap (ss 3, 5, 15)

• Licence can be “personal property” yet not a “security interest.” Section 3 defines “licence” as a transferable right that is included in “personal property.” However s 5(3) expressly states “a security interest in personal property does not include a licence.” The upshot is that an interest in a licence will not, by default, be a security interest for the purposes of the Commonwealth PPS Act as adopted. That split creates an important practical distinction: security devices that purport to create a security interest over a licence may not be treated as a PPS security interest and so may not be perfected or given priority in the national register regime unless the State itself declares otherwise. Section 15 allows the delegated-law maker to declare that a licence is not personal property for PPS purposes, but that power works the other way: it enables exclusions rather than automatic inclusion. Practitioners must therefore check both whether a licence is treated as personal property under State law and whether security over a licence will be captured by the PPS framework.

State statutory rights carve-out: careful drafting needed (s 4(2))

• State statutory rights are shielded from the reference. Section 4(2) excludes from “referred PPS matters” those matters that would make provision in a manner that excludes or limits the operation of a law of the State with respect to creation, transfer, forfeiture or limitations on who may hold State statutory rights. That means a State-created regime that restricts transfer or requires consents can remain enforced outside the Commonwealth PPS scheme. Security practitioners must check, for each statutory right, whether it is an “excluded State statutory right” or whether State law gives a power to make such a declaration.

Recharacterisation of charges: not automatic in every case (s 16)

• Limits on conversion rules. Section 16 converts references to charges, fixed and floating charges into PPS security interest terms but only where the charge has attached to personal property and the title to that property is in the grantor (s 16(1)(a)-(b)). It excludes some Commonwealth PPS Act provisions from applying to that conversion (s 16(2)). If a security interest is actually a perfected interest provided by a transfer of an account or chattel paper the conversion does not apply (s 16(2)(b)). Care is needed when relying on old charge drafting because the statutory conversion has boundaries.

Enforcement restrictions and exceptions: mixed signals (s 17)

• Enforcement blocked in some State regimes but permitted for others. Section 17(2) bars enforcement actions that would be inconsistent with identified State property laws. However s 17(3) explicitly preserves enforcement by the State and by persons or classes of persons prescribed by regulation. Practitioners must determine both whether a pending enforcement would be “inconsistent with” a relevant State law, and whether the enforcing party falls into an excepted category under regulation. The regulations could change these contours.

Timing and proclamation prerequisites (ss 2, 7, 9)

• Parliamentary approval and minimum notice. A proclamation fixing termination dates for adoption or amendment references cannot be made unless a draft has first been approved by each House of Parliament (s 2(2), s 7(6), s 9(6)). Moreover, a proclamation fixing a day must be no earlier than the first day after a 12‑month period beginning with the day the proclamation is published (s 7(2), s 9(2)). Failure to observe these procedural preconditions could render a proclamation invalid or cause operational uncertainty for parties relying on a particular termination date.

Transitional immunity to compensation (s 14)

• State actions that cause loss during transition may not attract compensation. Section 14 removes entitlement to compensation from the State and its officers for acts that are PPS transitional matters done in good faith, except for personal injury or death. That immunity may prevent monetary recovery against State actors following re-registration or administrative refusals under transitional arrangements. Stakeholders should be aware that administrative conduct during transition will be relatively insulated.

Bills of sale record access time-limited (s 18)

• Limited window for access. Section 18 converts bills of sale records into Commissioner-held records and entitles persons to copies on payment of fees, but s 18(4) provides that this scheme expires seven years after registration commencement time. Rights to access or enforce interests evidenced by those records may therefore be time-sensitive.

Continued effect of Commonwealth amendments and instruments (s 10, s 11)

• Ongoing Commonwealth impact. Section 10 contemplates that the Commonwealth PPS Act may be amended by Commonwealth Acts or have its operation affected by Commonwealth PPS instruments at any time. Section 11 explains that laws made under amendment references will continue to operate even if an amendment reference is later terminated, unless excluded by proclamation. Practitioners should monitor Commonwealth changes because they may alter the State-level legal environment as adopted.

Uncommenced provisions create uncertainty (s 8(2), s 8(3))

• Not all references are in force. Sections 8(2) and (3) have not come into operation. The scope of the referral to the Commonwealth therefore remains incomplete while those subsections are uncommenced. Parties must check the current status of those provisions and any related proclamations to assess whether the reference regime is complete for particular categories of property.

Regulatory discretion and future prescription (s 17(1)(j), s 17(2)(c), s 17(3)(c)(ii))

• Regulations may alter who is permitted to enforce and what State laws are “relevant.” Sections 17(1)(j), 17(2)(c) and 17(3)(c)(ii) allow the regulations to prescribe additional relevant State property laws, prescribe other circumstances in which enforcement is restricted, and prescribe classes of persons who may enforce notwithstanding s 17(2). This creates a moving compliance target that depends on future regulations.

These “gotchas” arise from the Act’s hybrid design. The statutory text supplies the precise mechanisms and limits. Practitioners must therefore read the Act in parallel with the Commonwealth PPS Act, the listed State property laws, and any regulations or proclamations in force at the relevant time.

Compliance with the Act requires attention at two levels: (1) ensuring existing and future security arrangements are correctly characterised, registered and enforced in light of the national PPS framework as adopted in WA; and (2) managing administrative obligations under the State’s transitional and consequential provisions. The steps below are anchored to the Act’s sections and are practical checklist items for lawyers, compliance officers, lenders and State administrators.

1. Identify whether the asset or right is within the Commonwealth/National scheme

• Check if the property is “personal property” and whether it is an “excluded State statutory right.” The Act defines “personal property” and “State statutory right” in s 3 and excludes “excluded State statutory rights” from “personal property.” If a right is a State statutory right and State law expressly declares it not to be personal property for the Commonwealth PPS Act, it will be outside the national scheme (s 3; s 4(2)). If an interest is asserted to be a licence, note s 5(3) that a licence is not a “security interest” under the Act.

• For licences created by subsidiary legislation, ask whether the entity making the licence has exercised or intends to exercise the power under s 15 to declare the licence not to be personal property for PPS purposes. If so, security over that licence cannot rely on the national PPS framework.

2. Characterise the security correctly

• Apply the substance-over-form test in s 5(1) when assessing whether a transaction really creates a security interest that “secures payment or performance” of an obligation. Also check s 5(2) for statutory categories treated as security interests.

• If documents refer to “charges,” determine whether s 16 applies. Where the charge has attached to personal property and title is in the grantor, treat references to fixed and floating charges according to s 16(3)-(5). Be aware of the exceptions in s 16(2).

3. Register appropriately on the national PPS Register and manage perfection

• Because the Commonwealth PPS Act is adopted by the State (s 6), in-scope security interests will need attention to the national PPS perfection rules. Monitor the registration commencement time in the Commonwealth PPS Act (s 306(2)) and any State proclamations affecting timing (s 2(1)(c) and s 2(1)(d)). Use the authorised data formats when transferring records to the Commonwealth PPS Registrar; s 13(4) authorises electronic or approved forms.

4. Before enforcing security, check relevant State property laws

• Section 17(2) restricts enforcement where inconsistent with a “relevant State property law.” Before taking enforcement steps, identify whether the asset falls within the scope of any listed Acts in s 17(1)(b)-(j) or any laws prescribed by regulation. If so, confirm whether enforcement steps would be inconsistent with those laws or would impede an application under them. If the enforcing party is the State or an instrumentality, or a person prescribed by regulation, s 17(3)(c) may preserve the right to enforce.

5. Manage transitional and administrative obligations

• If you are a State record-holder (Registrar, Commissioner, Registrar of Co‑operatives), ensure a process is in place to determine what records will be provided to the Commonwealth PPS Registrar and in what form. Section 13 authorises provision of such information “as the [officer] considers appropriate,” but the officer should document the criteria used for provision and the formats chosen.

• Where the State is making transitional regulations under s 19, entities should monitor Gazettal day and transitional regulatory instruments, recognising regulations can only be made within 12 months of commencement day and may have retrospective operative days not earlier than commencement day (s 19(2)-(4)).

6. For historical bills of sale matters, secure copies and note expiry window

• If you have interests evidenced by bills of sale under the Bills of Sale Act 1899, note that when the Bills of Sale Act is repealed s 18 will treat records as Commissioner-held and entitle persons to copies for a prescribed fee (s 18(1)-(3)). The record access mechanism under s 18 expires seven years after registration commencement time (s 18(4)); preserve documents or obtain certified copies within that window.

7. Check regulatory instruments and monitor Commonwealth changes

• The Act gives regulation-making powers that might alter relevant State property law lists, enforcement exceptions, and other implementation details (ss 17(1)(j), 17(2)(c), 17(3)(c)(ii), 19, 20). Track State regulations made under the Act, and also monitor Commonwealth PPS Act amendments and PPS instruments because s 10 explicitly contemplates that Commonwealth Acts and instruments will affect operation of the Commonwealth PPS Act as it applies in the State.

8. Drafting recommendations for security documentation and State subsidiary legislation

• For security agreements involving licences or unique statutory rights, draft express clauses specifying whether the parties intend the security to be a PPS security, whether it is intended to be excluded, and the mechanism for perfection. Where the right is a State statutory right, consider obtaining confirmations from the relevant State regulator about whether the right is declared an “excluded State statutory right.”

• For drafters of subsidiary legislation that grant licences, consider whether to exercise the power in s 15 to declare that a licence is not personal property for the Commonwealth PPS Act if State policy requires maintaining exclusive State control over that right.

9. Litigation readiness and dispute avoidance

• Because s 17 can create factual disputes about inconsistency between enforcement steps and State property laws, include pre-enforcement compliance checklists documenting how the proposed steps interact with any relevant State law. Retain evidence of consultations with State authorities where enforcement might intersect with administrative discretion under State Acts listed in s 17(1).

10. Recordkeeping and governance

• Maintain governance records that evidence decisions about whether to register, whether to provide records under s 13, and the criteria applied when determining whether an interest is a licence, a State statutory right or a PPS security interest. These records support assertions that State officers acted “in good faith” for the purposes of s 14 where immunity from compensation might be relevant.

Following these steps, and continually monitoring Commonwealth PPS Act developments and State regulations, will materially reduce legal and operational risk when dealing with personal property security matters in Western Australia under the adopted national framework.
