Partnership (Fees) Regulations 2025

The Regulations use a small number of drafting devices and cross-references to other statutes to produce their practical effect.

Fee units and calculation

• Fees are expressed in fee units rather than fixed dollar amounts. The Explanatory Details instruct that the amount of a fee is calculated by multiplying the number of fee units by the value of a fee unit under the Monetary Units Act 2004 (Explanatory details). This separates the quantity of the fee (the number of fee units) from the annual monetary value of a unit, which the Treasurer fixes for each financial year and publicly announces before 1 June preceding that year (Explanatory details; Monetary Units Act references in the Explanatory Details).

Scope of fees prescribed

• The core Regulations prescribe fees for particular actions under the Partnership Act 1958:

  • Lodgement of an application for registration as a limited partnership under s 54 of the Act, 28 fee units (reg 6).
  • Lodgement of a statement of changed particulars for a limited partnership under s 56 of the Act, 4 fee units (reg 7).
  • Inspection of information recorded in the Register of Limited Partnerships under s 57 of the Act, 2 fee units (reg 8).
  • Application for a certificate under s 58(2) of the Act, 4.5 fee units (reg 9).

• Schedule 1 maps fees to provisions relating to incorporated limited partnerships and one other lodging provision (Schedule 1 Items 1-6). The Schedule follows the main Regulations in expressing amounts as fee units and aligns many amounts with those in regs 6-9 (for example, Item 1 prescribes 28 fee units for registration of an incorporated limited partnership, Item 2 prescribes 2 fee units for inspection, and Items 3-6 set fees of 4.5 fee units or 4 fee units as applicable).

Revocation and commencement

• The Regulations expressly revoke the 2023 fees Regulations (reg 4), and by their Endnotes record the date of making (11 June 2025) and operation (23 June 2025). The instrument is subject to the standard sunset rule for subordinate legislation noted in the Endnotes (10-year sunset under the Subordinate Legislation Act 1994).

Interpretation and formality

• The Endnotes incorporate interpretative statements drawn from the Interpretation of Legislation Act 1984, emphasising that headings, examples, punctuation, and provision numbers are part of the statutory rule where applicable (Endnotes: Interpretation of Legislation Act 1984). The Explanatory Details reiterate that fee unit values are published and subject to rounding to the nearest 10 cents.

Authorising provisions

• The Regulations state that they are made under sections 80 and 128 of the Partnership Act 1958 (reg 2). The text of those sections is not reproduced in the Regulations, so the Regulations should be read in tandem with the Act to confirm procedural and payment points that the Act may require (for example, who must pay and when).

Notation variants

• The instrument uses slightly different notational forms for 4.5 fee units in different places: reg 9 uses the middle dot 4∙5; Schedule 1 displays entries as "4×5" for some items while the text of reg 9 supplies the clearer notation. Practitioners should read these as the same quantity for calculation purposes, as the Schedule is explicitly prescribed by reg 10 for the corresponding Act provisions.

The Regulations allocate immediate monetary obligations to particular actors by reference to statutory actions under the Partnership Act 1958 and related incorporated limited partnership provisions listed in Schedule 1. The primary affected parties are:

• Prospective limited partners and persons lodging applications for registration as a limited partnership under s 54 of the Act, who must pay the 28 fee unit registration fee at lodgement (reg 6). This group includes any entity or individuals wanting to form a limited partnership structure that must be registered under the Act.

• Existing limited partnerships and their directors or authorised signatories who are required to lodge a statement setting out changed particulars under s 56 of the Act, who must pay the 4 fee unit lodgement fee (reg 7).

• Persons seeking access to information recorded in the Register of Limited Partnerships under s 57, who must pay an inspection fee of 2 fee units (reg 8). That affects journalists, legal advisers, counterparties and others who routinely inspect registers.

• Applicants for certificates under s 58(2) of the Act, who must pay 4.5 fee units for the certificate application (reg 9). This typically affects entities or persons requiring formal evidence of registration, particulars or status from the Registrar.

• Persons dealing with incorporated limited partnerships, where Schedule 1 maps fees parallel to those for limited partnerships: registration of an incorporated limited partnership (Item 1, 28 fee units), inspection of the ILP register (Item 2, 2 fee units), lodgement of statements of changed particulars (Item 3, 4 fee units), certificates recording changes or formation particulars (Items 4 and 5, 4.5 fee units), and lodgement under s 120 of the Act (Item 6, 4.5 fee units).

• The Registrar or registry agency that receives applications, processes inspections and issues certificates. While not charged fees by the Regulations, the registry will collect these fees, apply the Treasurer’s published fee unit value and manage rounding at the time of transaction.

• Cost bearers in transactions: clients instructing lawyers, accountants, company secretaries and compliance officers will see these fees as transactional costs. The Explanatory Details make explicit that fee unit values vary by financial year and are published by the Treasurer, introducing an ongoing administrative check for affected parties prior to lodging instruments or issuing payments.

Not affected, or not addressed by the Regulations

• The Regulations do not change substantive partnership law rights and obligations contained in the Partnership Act 1958. They only set the monetary amounts for specified procedural steps. The Regulations do not set methods of payment, exemptions, waivers or concessions; they do not provide penalties, nor do they specify the administrative procedures for collection or consequences of non-payment. Those matters will be governed by the Partnership Act or registry practice, and practitioners should consult the Act and the registry for operational detail.

Geographic and temporal scope

• The Regulations apply in Victoria (implied by source and legislative context). They come into operation on 23 June 2025 (reg 3) and are set to sunset on 11 June 2035 unless earlier amended or revoked (Endnotes: General information; Subordinate Legislation Act 1994 reference).

The Regulations create obligations in the narrow sense of specifying monetary requirements attached to certain statutory actions under the Partnership Act 1958; they do not in themselves create compliance duties beyond those monetary obligations, nor do they confer substantive rights beyond specifying where a fee is payable.

Duties imposed by the Regulations

• Pay the prescribed fee (expressed in fee units) when undertaking the listed actions under the Partnership Act 1958: registration of limited partnerships (reg 6), lodging a statement of changed particulars (reg 7), inspecting the Register (reg 8), and applying for a certificate under s 58(2) (reg 9). For incorporated limited partnerships and the specified s 120 lodgements, Schedule 1 prescribes corresponding fees (reg 10; Schedule 1 Items 1-6).

• Practically, this duty to pay is triggered at the point of lodgement or application for the specified documents or services, as the Regulations tie amounts to the lodgement or application processes for the particular Act provisions. The Regulations themselves do not specify the precise moment or method of payment; that will be governed by the Partnership Act and registry procedures.

Rights and entitlements shaped by the Regulations

• The Regulations entitle persons to obtain the particular service from the registry (for example, issue of a certificate or inspection of the Register) subject to payment of the prescribed fee. That is, payment secures access to the registry action described in the Act provision referenced.

• The right to be charged only the prescribed amount is implicit: the registry must apply the statutory fees prescribed here (in fee units multiplied by the Treasurer’s fee unit value for the relevant financial year), rounded as specified in the Explanatory Details. There is no provision in these Regulations for alternative fees, discounts or waivers.

Administrative discretion and limits

• The Regulations do not set discretion for the Registrar or Minister to vary fees. The only adjustable element in practice is the dollar equivalent of a fee unit, which the Treasurer fixes under the Monetary Units Act 2004 and publishes annually (Explanatory details). The Regulations fix the fee expressed in fee units, whereas the Treasurer’s annual determination fixes the monetary value of each unit.

• The Regulations do not specify exemptions, deferred payment arrangements, or refund rules for overpayment or incorrect lodgement. Any such procedures must come from the Act itself or registry policies.

Interaction with the Act for procedural duties

• Because each fee is linked to a particular provision of the Act (for example, reg 6 links to s 54; Schedule 1 links to s 88(3), s 90(3) etc), the substantive and procedural duties in the Act (who must lodge, signatory requirements, time limits, notices) remain operative. The Regulations only add the pricing overlay. Practitioners must therefore satisfy both the substantive Act requirements and the monetary requirements prescribed in these Regulations.

Record-keeping and evidence

• The Regulations do not specify records or receipts, but payment of the prescribed fee is a precondition to the relevant registry function. Usual administrative practice is therefore to obtain evidence of payment to support compliance with the corresponding Act transaction. The absence of a receipts clause in the Regulations means practitioners should confirm registry practice for proof of payment and retention obligations.

The Regulations themselves do not create criminal offences, pecuniary penalties or enforcement mechanisms. Their legal effect is to prescribe amounts payable for particular actions under the Partnership Act 1958. The instrument does not:

• Specify sanctions for non-payment or late payment;
• Prescribe enforcement procedures for recovery of unpaid fees;
• Create any administrative penalty regime.

Consequently, enforcement of the monetary obligations created in practice will depend on the Partnership Act 1958 and registry practice, not on the Regulations per se. The Regulations were made under sections 80 and 128 of the Partnership Act 1958 (reg 2); those sections in the Act may set out consequences for failing to observe procedural requirements (including possibly that an application will not be accepted if accompanied by insufficient fee), but the text of the Act is not reproduced in the Regulations. Practitioners must therefore consult the Partnership Act 1958 to identify:

• Whether the Registrar may refuse to accept or process a document that is lodged without payment of the prescribed fee;
• Any express civil recovery mechanisms for unpaid fees contained in the Act or in the general law;
• Any administrative sanctions, such as refusing access to registration or certificate services, or obligations to correct defects in lodgement.

The Regulations do contain formal features relevant to challenge and review:

• The instrument states its authorising provisions (s 80 and s 128 of the Act) and records its making by the Governor in Council on 11 June 2025 and operation on 23 June 2025 (Endnotes). That information is relevant to any administrative law challenge about the validity of the Regulations or whether the making process complied with enabling provisions. The Endnotes also record the instrument’s revocation of the 2023 fees Regulations (reg 4), which may be relevant in transitional disputes about fees charged around the commencement date.

Practical enforcement implications

• Registry practice commonly enforces fee payment by refusing to process or to issue certificates until the correct fee is paid. The Regulations set the payable amounts but not the processing rules. Where there is a dispute over whether a fee was correctly calculated (for example due to the fee unit value applied or rounding), resolution will be by reference to the Monetary Units Act 2004 (as cited in the Explanatory Details) and any administrative procedures the Registrar publishes.

• The Regulations do not prescribe review rights, appeal mechanisms or internal review steps for fee disputes. Any remedies will therefore be those provided in the Act or under general administrative law or civil recovery procedures.

In short, the Regulations are price-setting instruments. Compliance and enforcement in the event of non-payment rely on the Partnership Act 1958 and on registry operational practice, rather than on penalties or enforcement measures contained within the Regulations themselves.

These Regulations function in a network with three categories of other legislative instruments explicitly cited in the text and Endnotes: the Partnership Act 1958, the Monetary Units Act 2004, and the Interpretation of Legislation Act 1984 and Subordinate Legislation Act 1994 for interpretive and lifecycle rules.

Partnership Act 1958

• The Regulations operate exclusively by reference to specified provisions of the Partnership Act 1958. Each fee item is tied to a particular Act provision: for example, reg 6 references s 54 (limited partnership registration); reg 7 references s 56 (statement of changes); reg 8 references s 57 (inspection); reg 9 references s 58(2) (certificate); Schedule 1 maps several incorporated limited partnership provisions (s 88(3), s 90(3), s 91(3)(c), s 92(2), s 92(3), and s 120(5)) to fee amounts (reg 10; Schedule 1). The Regulations therefore supplement the Act by setting the monetary costs associated with statutory steps imposed or permitted by the Act. To understand procedural effects, time limits, the identity of the payer or filing mechanics, practitioners must read the referenced Act provisions alongside the Regulations.

Monetary Units Act 2004

• The Regulations express fees as fee units. The Explanatory Details require multiplication by the fee unit value fixed under the Monetary Units Act 2004 and reference section 7 of that Act for calculation. The Explanatory Details also record the fee unit values for the 2024 and 2025 financial years ($16.33 and $16.81 respectively) and the Treasurer’s obligation to fix and publish the fee unit value for future years, including publication in the Government Gazette and a Victorian newspaper before 1 June preceding the financial year. The interaction therefore is operational: the Regulations set the fee in units and the Monetary Units Act determines the dollar amount per year and the rounding process.

Interpretation of Legislation Act 1984

• The Endnotes include guidance from the Interpretation of Legislation Act 1984, stating that headings, examples, notes, punctuation and provision numbers form part of statutory rules made on or after 1 January 2001, and clarifying the location of legislative items such as penalties. These interpretive rules affect how the Regulations are read and how their components, such as Schedule headings and notes, should be treated as part of the legal text. Practitioners must therefore treat the headings and notes in the Regulations and Schedule as part of the instrument.

Subordinate Legislation Act 1994

• The Endnotes state that these Regulations will sunset 10 years after the day of making on 11 June 2035 (citing s 5 of the Subordinate Legislation Act 1994). That Act’s sunset mechanism therefore interacts with lifecycle planning for the Regulations: unless re-made or otherwise extended, the fee prescriptions will cease to have effect on the sunset date.

Registry and administrative law

• While not named directly, registry practices, payment methods, and administrative arrangements (fees collection, receipting and refunding) will determine operational compliance. The Regulations do not specify these administrative procedures, so registry rules and the Act’s procedural provisions will govern the detail of interaction. Any disputes about the legality of the Regulations, or whether they were made within the enabling provisions, will engage general administrative law principles and statutory interpretation tools, and the Endnotes’ record of making and revocation may be pertinent.

Revocation of prior instrument

• Regulation 4 revokes the Partnership (Fees) Regulations 2023. This is a primary interaction with prior subordinate legislation and may change the applicable fee amounts or processes for transactions around the time of commencement. The instrument does not include transitional provisions; practitioners should therefore check the precise timing and practical effect vis-a-vis lodgements around 23 June 2025.

Overall, the Regulations are a price-linking instrument tying the administrative procedures in the Partnership Act 1958 to the dollar values determined annually under the Monetary Units Act 2004, interpreted in the context of standard interpretive rules under the Interpretation of Legislation Act 1984 and subject to the Subordinate Legislation Act 1994 sunset regime.

The Regulations include a short, explicit amendment history in the Endnotes and Table of Amendments. The material points are:

• The text records its own making and commencement: the Regulations were made on 11 June 2025 by the Governor in Council under sections 80 and 128 of the Partnership Act 1958 and came into operation on 23 June 2025 (Endnotes: General information; reg 3; reg 2). The instrument version is “Version No. 001” and dated 23 June 2025.

• The instrument expressly revokes the Partnership (Fees) Regulations 2023 (reg 4); the Explanatory Details label the earlier instrument as S.R. No. 55/2023. No transitional provisions or savings clauses are included in the text supplied.

• The Table of Amendments in the Endnotes records that “There are no amendments made to the Partnership (Fees) Regulations 2025 by statutory rules, subordinate instruments and Acts.” That indicates that as of the version supplied there have been no subsequent statutory changes to these Regulations.

• The Endnotes also flag the sunset arrangement: the Partnership (Fees) Regulations 2025 will sunset 10 years after the day of making on 11 June 2035 (see Subordinate Legislation Act 1994 reference in Endnotes: General information). That sunset is an automatic legislative lifecycle event unless the Regulations are remade or the sunset provisions altered.

• The Explanatory Details note the role of the Monetary Units Act 2004 and the annual fixing by the Treasurer of the fee unit value, which will in practice change the monetary amounts year to year even though the Regulations’ fee quantities in fee units remain fixed until varied by amendment (Explanatory details). The Explanatory Details state the fee unit values for two financial years: $16.33 for the financial year commencing 1 July 2024 and $16.81 for the financial year commencing 1 July 2025; they also record the rounding rule to the nearest 10 cents.

• The instrument itself (Version No. 001) and the Table of Amendments show there have been no post-making amendments recorded in this version. Any future amendments will appear in subsequent versions and in the Table of Amendments of the legislation database.

Practitioners should therefore treat this instrument as the current fee-prescribing regulation from 23 June 2025 until either: (a) it is amended or revoked, (b) the Treasurer’s published fee unit value changes the dollar equivalent, or (c) the instrument sunsets on 11 June 2035.

The Regulations include no references to any case law, judicial determinations, or disputes. The instrument’s Endnotes include a Table of Amendments that records no amendments and no litigation references. The Regulations themselves are short, prescriptive and technical: they set fee quantities in fee units for specified actions under the Partnership Act 1958 and Schedule 1.

Given the lack of litigation history recorded in the instrument, two practical observations follow:

• There are no cases cited within the Regulations; the instrument does not name or rely on judicial authority for its construction or operation.

• Any disputes that may arise in practice in relation to the application or validity of the Regulations, such as challenges to the Treasurer’s fee unit value, the legal effect of the revocation of the 2023 instrument, or disputes about whether a particular lodgement attracts the prescribed fee, would need to be brought by reference to the enabling Act (the Partnership Act 1958), the Monetary Units Act 2004, or general administrative law remedies. Those potential disputes are not evidenced in the instrument text; no precedent is recorded.

In short, as of the version provided, there is no recorded litigation history. Practitioners should therefore rely on statutory interpretation, the text of the Act, registry practice, and established administrative law principles should a dispute arise.

Several practical pitfalls and textual quirks in this instrument can create uncertainty or operational error if overlooked. The following items are grounded in the text provided and pertinent to practitioners handling partnership registrations, statements, inspections and certificates.

Fee-unit arithmetic and rounding

• Fees are expressed in fee units, not in dollar amounts. The Explanatory Details provide the monetary value for two financial years ($16.33 for FY 2024, $16.81 for FY 2025), but the Treasurer will fix the value for future years and must publish that value in the Government Gazette and a Victorian newspaper before 1 June in the preceding financial year (Explanatory details). Failure to check the Treasurer’s published fee unit value for the financial year in which a lodgement falls will result in incorrect payment.

• Calculated fees must be rounded to the nearest 10 cents (Explanatory details). For example, a 4.5 fee unit charge for the FY commencing 1 July 2024 calculates to $73.485 which must be rounded to the nearest 10 cents (the Explanatory Details permit rounding; the exact approach to tie-breaking is not stated beyond the nearest 10 cents rule). Practitioners should not assume integer dollar amounts.

Notation inconsistencies

• The instrument uses multiple notations for 4.5 fee units: reg 9 uses “4∙5 fee units” (middle dot), while Schedule 1 displays some entries as “4×5 fee units” and others as “4×5” depending on the cell. The substantive meaning is clearly 4.5 fee units because reg 9 uses that quantity and Schedule 1 is referenced by reg 10 for corresponding Act provisions. Nonetheless, the typographical variance is a potential source of clerical error when converting to dollars and when entering amounts into payment portals.

Revocation without transitional provisions

• Reg 4 revokes the 2023 Fees Regulations, and there are no transitional or savings provisions in the text supplied. Transactions lodged around the commencement date (23 June 2025) may raise questions about which instrument’s fee applies and how registries will handle fees received before making but after commencement. Practitioners should confirm the registrar’s published guidance on which regulation applies to lodgements around commencement dates.

No procedural detail for payment or receipt

• The Regulations set the fee amounts but do not specify how fees must be paid, nor do they set rules for refunds, waivers, deferred payments, or receipts. Registry procedures will supply these practicalities. Failure to obtain or retain proof of payment could complicate disputes about processing or the timing of effective lodgement.

No penalties or enforcement mechanism in the Regulations

• Because the Regulations do not specify enforcement steps or penalties, practitioners must consult the Partnership Act 1958 and registry practice to confirm the consequences of failing to pay the prescribed fee. Assuming that non-payment leads automatically to civil penalties would be inaccurate without checking the Act.

Multiple similarly worded fees across instruments

• The Schedule applies fees to incorporated limited partnership provisions that mirror the limited partnership fees in the main Regulations. Practitioners who work with both limited partnerships and incorporated limited partnerships must ensure they apply the correct Schedule item to the relevant Act section (for example, s 88(3) for incorporated limited partnership registration is charged at 28 fee units in Schedule 1 Item 1, mirroring reg 6).

Fee per transaction ambiguity

• The Regulations do not say whether fees are per document, per entry in the register, or per partner or per inspection session. The reasonable reading is that the fee applies per lodgement, application or inspection as identified by the Act provision, but practitioners should confirm with the Registrar if a single lodgement covering multiple changes attracts one fee or multiple fees (Schedule 1 and regs 6-9 do not resolve that operational question).

Publication timing risk

• Because the Treasurer must publish the fee unit value before 1 June in the preceding financial year, lodgements after 1 June but before 1 July may be sensitive to the Treasurer’s public announcement. Practitioners lodging around those dates must check the Gazette or the Treasurer’s announcement to determine the correct dollar rate.

Sunset timing

• The instrument will sunset on 11 June 2035 according to the Endnotes. Practitioners advising clients on longer term fee planning or legislative forecasting should be aware that the fee quantities in fee units may remain fixed until amended but the dollar cost will change annually with the Treasurer’s fee unit setting.

No statement on who bears the fee in transactions between private parties

• While the Regulations charge the person lodging or applying for a document or service, commercial agreements (partnership agreements, subscription agreements and transaction documents) sometimes allocate statutory fees between parties. The Regulations do not address this allocation; parties must rely on contract terms to determine who ultimately bears the cost in private arrangements.

In sum, the key gotchas are arithmetic/rounding issues, notational quirks for 4.5 fee units, the absence of procedural payment detail and transitional rules, and the need to consult both the Treasurer’s annual fee unit proclamation and the relevant Partnership Act provisions to apply the fees correctly.

To comply with the requirements created by these Regulations, practitioners and clients should follow a short prescribed operational checklist tied to the instrument’s mechanics.

1. Identify the triggering Act provision.

   • Determine which provision of the Partnership Act 1958 or the incorporated limited partnership provisions (Schedule 1) the transaction engages: registration (s 54 or s 88(3)), lodgement of changed particulars (s 56 or s 91(3)(c)), inspection (s 57 or s 90(3)), certificate applications (s 58(2) or s 92(2)/(3)), or lodgement under s 120(5). The Regulations map these provisions to fee units (regs 6-9; reg 10; Schedule 1 Items 1-6). Ensure the factual circumstances match the referenced Act provision before applying the fee.

2. Obtain the current fee unit value for the relevant financial year.

   • The Regulations express fees in fee units. The Explanatory Details require multiplication by the fee unit value fixed by the Treasurer under the Monetary Units Act 2004 and published in the Government Gazette and a Victorian newspaper before 1 June preceding the financial year. For example, the Explanatory Details supply $16.33 for the FY starting 1 July 2024 and $16.81 for FY starting 1 July 2025. Check the Treasurer’s published determination for the correct dollar-per-fee-unit for the financial year of lodgement.

3. Calculate the dollar amount.

   • Multiply the number of fee units prescribed by the Regulations by the Treasurer’s fee unit value for the financial year in which the transaction occurs. Apply the rounding rule in the Explanatory Details: round the calculated amount to the nearest 10 cents. Example calculations using the provided fee unit values:
     • 28 fee units: FY 2024 value = 28 × $16.33 = $457.24; FY 2025 value = 28 × $16.81 = $470.68 (rounding not required in these examples to the nearest 10 cents).
     • 4 fee units: FY 2024 = 4 × $16.33 = $65.32; FY 2025 = $67.24.
     • 2 fee units: FY 2024 = $32.66; FY 2025 = $33.62.
     • 4.5 fee units: FY 2024 = $73.485, round to nearest 10 cents = $73.50; FY 2025 = $75.645, round to $75.65.

4. Confirm the payment method and timing with the Registrar.

   • The Regulations do not specify payment methods or the point at which fee payment must be made. Before lodgement, check the registry’s published payment instructions and whether payment is required at the moment of lodgement or before processing. Obtain and retain proof of payment or a receipt.

5. Prepare the document in accordance with the Act.

   • The Regulations only address the fee. Ensure the lodgement or application conforms to the procedural, form and signing requirements in the Partnership Act 1958 (for example, who may sign, required supporting documents, and time limits).

6. Apply for the document, attaching payment evidence as required.

   • Lodge the application, statement or inspection request with the prescribed fee paid. Where the registry’s online portal or the Act permits payment at lodgement, include the calculated, rounded dollar amount.

7. Retain records.

   • Keep a copy of the lodgement, a copy of the fee calculation (fee units × fee unit value and rounding), and the receipt or proof of payment. Given that the Regulations set monetary obligations without specifying receipts, retaining evidence is prudent in the event of administrative queries.

8. Check for updates and sunset dates.

   • Remember that the dollar equivalent will change with each financial year when the Treasurer fixes the fee unit value. Also note the instrument’s sunset date of 11 June 2035 as recorded in the Endnotes. Check for any amendments to the Regulations, new versions or reissued fee regimes.

9. Be alert to notational or typographical issues.

   • Where Schedule 1 shows “4×5” and reg 9 shows “4∙5”, record and apply the fee as 4.5 fee units consistent with reg 9 and Schedule 1 read in context. If in doubt, verify with the Registrar.

10. Confirm ancillary procedural effects with the Act.

• For example, if the Act conditions the effectiveness of a lodgement on payment of the prescribed fee or on an accompanying certificate, ensure all Act conditions are met. The Regulations do not create or alter these Act requirements.

Following these steps aligns practice with the Regulations’ mechanics: choose the correct fee unit amount from regs 6-9 and Schedule 1; check the Treasurer’s yearly fee unit value; multiply and round to the nearest 10 cents; confirm payment protocols with the Registrar; and retain documentary evidence of payment. Where questions remain about application of the fee to composite lodgements or multi-document filings, seek guidance from the Registrar or the Partnership Act 1958, since the Regulations do not resolve those situational details.
