Partnership Act 1895

The Act is structured around a small set of legal concepts that govern partnership formation, internal governance, external relations, and termination. Each concept carries specific statutory consequences.

Meaning of partnership and scope. Partnership is defined as the relation between persons carrying on business in common with a view of profit (s 7(1)). Determination of whether a partnership exists is factual and depends on the true contract and intention of the parties as shown by the whole facts (s 7(2)). The Act excludes incorporated limited partnerships and their relations from the ordinary partnership definition (s 7(3)) and limits application to companies and certain incorporated bodies (s 4(1)), although limited partnerships and incorporated limited partnerships are brought in by reference to the Limited Partnerships Act 2016 (s 4(2)-(3)).

Rules and evidentiary presumptions. The Act lists particular rules to assist courts in deciding if a partnership exists (s 8). Key presumptions include that sharing of gross returns does not of itself create a partnership (s 8(2)), while sharing of profits is prima facie evidence of partnership (s 8(3)). Several statutory exclusions exist: payments by way of a profit‑contingent remuneration to an agent, annuities to family members, lenders receiving profit‑related return who have a written signed agreement, and sales of goodwill paid by profit shares are, by themselves, not partnerships (s 8(3)-(8)). The Act also contains a statutory subordination for lenders or sellers of goodwill who get profit shares: if the borrower or buyer becomes insolvent, claims under those profit‑contingent arrangements are deferred to other creditors (s 9).

Firm identity and membership. Persons who have entered into partnership are collectively a firm and the business name is the firm‑name (s 10). The statutory cap on number of partners is 20, unless regulations under Corporations Act s 115(2) apply (s 11). Partners may choose any firm name subject to trademark and goodwill protections (s 12).

Authority and apparent authority. Acts done in the firm name by persons authorised to bind the firm are binding on the firm and all partners (s 13). Partners who do acts necessary or usual in the kind of business bind the firm as if they were appointed agents, unless the third party knows the partner lacked authority or does not know the person is a partner (s 26). The Act specifically allows members of certain kinds of firms to undertake financial acts (draw, endorse, borrow, pledge firm goods, make equitable mortgages) as usual business activities (s 27). The Act also contains a “holding out” regime: anyone who represents himself, or suffers himself to be represented, as a partner is liable to those who give credit on that representation (s 21). Notice to a partner who habitually acts in the business operates as notice to the firm (s 23) except where that partner commits a fraud on the firm.

Liability allocation. Every partner is jointly and severally liable for all firm debts and obligations incurred while he is a partner (s 16). For wrongs committed in the ordinary course of the firm’s business or with authority, the firm is liable as if the partner had acted (s 17). The partner who misapplies third‑party money or property within real or apparent authority renders the firm liable to compensate the loss (s 18). Section 19 clarifies that liability under ss 17-18 is joint and several.

Fiduciary and statutory duties. Partners must render true accounts and full information to each other (s 39), account for benefits derived from partnership business (s 40), and not compete without consent (s 41). Partners are entitled to share profits equally and must contribute equally to losses unless otherwise agreed (s 34(1)-(1A)). Partners are entitled to indemnity for payments or liabilities incurred in the ordinary and proper conduct of business (s 34(2)). Management rights default to all partners with decisions on ordinary matters resolvable by majority, provided majority decisions are made in good faith for the firm’s interests and every partner has opportunity to be heard (s 34(5), (7), (7A)-(7B)).

Dissolution and aftermath. The Act provides multiple dissolution triggers: by expiration or notice (s 43), death or bankruptcy (s 44), illegality (s 45), court order for specific faults or just and equitable grounds (s 46). After dissolution, authority to bind continues only to wind up businesses and complete unfinished transactions (s 49). On winding up, partnership property must be applied first to pay firm debts, then advances, then capital, with residual distributions according to profit shares (s 57). The Act also sets out remedies and adjustments for special cases: sale of goodwill for common benefit (s 51); restriction on continued use of firm name during winding up (s 52); lien where contract rescinded for fraud (s 54); and entitlement of outgoing partners or estates to profits attributable to their share post‑dissolution or interest at 6% (s 55).

Default monetary rules and evidentiary rates. The Act supplies a statutory interest rate of 6% for partner advances (s 34(3)) and for the outgoing partner’s remedies after dissolution where profits are attributable to their capital (s 55(1)). These numerical defaults operate unless the partners agree otherwise.

Interoperation with other statutes. The Act expressly cross‑references the Corporations Act 2001 and the Limited Partnerships Act 2016 to limit or modify its application and to import definitions (s 3; s 4). Enforcement of judgments is subject to the Civil Judgments Enforcement Act 2004 (s 28). The Act also preserves common law and equitable rules except where inconsistent (s 6), which means pre‑existing fiduciary duty jurisprudence remains relevant to interpretation.

Together these concepts create a modular default system: partners can contract around many defaults, but the Act provides the default legal consequences that will govern third‑party relations, authority disputes, fiduciary obligations, and the sequence for winding up and distribution.

Primary actors. The Act primarily affects persons who are partners in a general (unincorporated) partnership, and those dealing with such partnerships. “Person” is broadly defined (s 3), so partners can be natural persons or corporate/unincorporated bodies unless the other statute captures them out of scope (s 4). The Act treats partners collectively as a “firm” and addresses both internal (partner to partner) and external (partner to third party) relations.

Prospective partners and owners. Individuals negotiating entry into a partnership are affected by the defaults the Act supplies: equal sharing of capital and profits, equal liability for losses (s 34(1)); shared management rights and the absence of remuneration for acting in the business (s 34(5)); and restrictions on introducing new partners without unanimous consent (s 34(6)). Parties who pay a premium on entry should note the court’s power to order repayment of a premium where a fixed term partnership is dissolved prematurely (s 53).

Third‑party creditors, customers and suppliers. Creditors who extend credit to a firm rely on the Act’s rules on authority and holding out. Acts in the firm name by authorised persons bind the firm (s 13); someone who represents themself as a partner may be liable by holding out (s 21). Creditors must also be alert to the Act’s rule that a person dealing with a firm after a change of constitution may treat apparent members of the old firm as still members until notice of change (s 47(1)). The Gazette and local newspaper advertisement is prescribed as notice to those who had no prior dealings (s 47(2)).

Lenders, buyers of goodwill and persons providing profit‑contingent finance. The Act treats lenders who take part of their return as a profit share and sellers of goodwill paid via profit shares as having subordinated claims in certain insolvency events (s 8(7); s 8(8); s 9). Where money is advanced on a profit‑linked contract, the Act permits an exception from partnership status only if the contract was in writing and signed by all parties (s 8(7)); yet s 9 places such lenders and sellers behind other creditors in insolvency contexts.

Executors, administrators and personal representatives. Executors and administrators of deceased partners are caught in several provisions. The estate of a deceased partner remains severally liable in administration for partnership debts incurred while that partner was alive, subject to payment of separate debts (s 16). The estate is not liable for debts contracted after the partner’s death where the deceased partner’s name is continued in the firm name (s 21(2) and s 47(3)). On dissolution by death, the estate can claim the share due under s 56, which the Act treats as a debt accruing at the date of death.

Trustees and beneficiaries. If a partner who is a trustee improperly uses trust property in the partnership business, other partners are not liable unless they knew of the breach; trust money may be followed and recovered from the firm where it is still in possession (s 20). That interplay affects trustees who are partners and third‑party beneficiaries of trusts.

Persons contracting with or dealing through corporate entities. The Act excludes companies registered under the Corporations Act 2001 from its application (s 4(1)(a)), so directors or shareholders of companies generally are not affected by this Act for corporate transactions. But where corporate or incorporated limited partnership structures interact with unincorporated firms, or where an individual partner acts simultaneously as a company director, s 17(2) circumscribes when acts as a director are to be treated as in the ordinary course of the firm’s business for purposes of firm liability.

Regulatory and enforcement bodies. Courts and enforcement authorities are affected: the court has express powers to dissolve partnerships on various grounds (s 46), to wind up on application (s 50), and to enforce distribution rules (s 57). Execution against partners and partnerships must proceed under the Civil Judgments Enforcement Act 2004 (s 28), which impacts sheriffs, registrars and creditors seeking remedies.

Persons affected by firm names and goodwill. Owners of trademarks and trade names and those who hold goodwill rights are affected by s 12 and ss 51-52. Partners may carry on business under any firm‑name subject to trade mark and goodwill protections (s 12); on dissolution, partners have rights to sell goodwill for the common benefit (s 51) and to restrain use of the firm‑name until winding up is complete (s 52).

In summary, the Act governs relationships among partners, between partners and third parties, and between estates and partners, while displacing or deferring to other statutory regimes for companies and limited partnerships. Those who enter, finance, lend to, or contract with unincorporated partnerships should understand the Act’s default liabilities, the evidentiary presumptions that create partnership status, the risks of “holding out”, the estate and post‑dissolution rules, and the mechanisms for notice and protection against unexpected liabilities.

The Act sets out a body of default rights and duties that structure internal governance, financial sharing, management authority, fiduciary obligations and the conduct of winding up.

Mutual rights and duties as defaults. Subject to agreement, the statutory defaults in s 34(1A) govern interests in partnership property and rights and duties in the partnership. Partners share equally in capital and profits and contribute equally to losses unless they agree otherwise (s 34(1)). Partners may participate in management and must attend diligently to the partnership business, for which they are not entitled to remuneration absent agreement (s 34(5)). No person may be introduced as a partner without consent of all existing partners (s 34(6)).

Decision‑making and majority rule with good faith constraint. Ordinary course matters can be decided by a majority of the partners (s 34(7)). The Act modulates majority rule with a statutory good faith requirement: a decision must be arrived at in good faith for the interest of the firm as a whole and every partner must have an opportunity of being heard (s 34(7A)). Subsection (7B) indicates that these good faith constraints apply to powers conferred by majority under express agreement as well.

Accounting and disclosure duties. Partners are bound to render true accounts and full information to any partner or their legal representatives regarding partnership affairs (s 39). Partners must account for and deliver to the firm any benefit derived without consent from transactions concerning the partnership, including post‑dissolution transactions until winding up is complete (s 40).

Indemnity and reimbursement. The firm must indemnify partners for payments made and personal liabilities incurred in the ordinary and proper conduct of business or for preserving partnership property (s 34(2)). A partner who makes advances beyond capital subscribed is entitled to interest at 6% p.a. from the date of payment (s 34(3)). Partners are not entitled to interest on capital before profits are ascertained (s 34(4)).

Authority and agency. Partners who do acts necessary for or usual in the type of business bind the firm as if appointed agents, subject to the protections for third parties who know a partner lacks authority (s 26). The Act lists powers usually exercised in commercial firms , making and dealing in negotiable instruments, borrowing on the firm’s credit, pledging goods, and creating equitable mortgages of firm real estate or chattels , as actions that every member of such a partnership may perform (s 27).

Liability for firm debts and torts. Every partner is jointly liable with others for all debts and obligations of the firm incurred while he is a partner (s 16). On wrongful acts or omissions by a partner acting in the ordinary course of business or with authority, the firm is liable to the same extent as the partner (s 17(1)). Liability for misapplication of third‑party money or property received within the scope of real or apparent authority is on the firm to make good the loss (s 18). These liabilities are joint and several (s 19).

Fiduciary‑type prohibitions. Partners must not appropriate partnership opportunities for themselves without consent. Every partner must account for benefits obtained from transactions concerning the partnership, the partnership name or business connections (s 40). If a partner, without consent, carries on business competing with the firm, they must account for and pay over all profits made in that competitive business (s 41).

Admission, representation and holding out. An admission by a partner concerning partnership affairs, in the ordinary course of business, is evidence against the firm (s 22(1)). A person who represents themselves or knowingly allows themselves to be represented as a partner is liable as a partner to anyone who gives credit on the faith of that representation (s 21(1)). Notably, continued use of a deceased partner’s name in the firm name after death does not by itself make the estate liable for debts contracted after death (s 21(2)).

Incoming and outgoing partners. A new partner is not liable for debts or omissions before their admission (s 24(1)). A retiring partner remains liable for debts incurred prior to retirement (s 24(2)), subject to possible discharge by agreement with the firm and creditors (s 24(3)). The Act recognises that continuing guaranties may be revoked by change in the constitution of the firm unless an agreement provides otherwise (s 25).

Expulsion and retirement rights. Expulsion by majority is not permitted unless the power to expel is conferred in a written agreement, and where given it must be exercised in good faith for the benefit of the firm and allow the expelled partner a hearing (s 35). Where a partnership is for a fixed term, retirement during the term requires consent of all partners, or exercise of an option previously conferred in writing (s 36); where no fixed term exists, any partner may terminate the partnership by written notice (s 37).

Property classification and conversion. Partnership property is defined and must be held and applied exclusively for partnership purposes (s 30(1)). Property purchased with firm money is presumed to be firm property unless contrary intention appears (s 31). Where land becomes partnership property, it is treated as personal property between partners for accounting purposes unless contrary intention appears (s 32).

Winding up and distribution priorities. On dissolution, the partners or their representatives may apply to the court to wind up the firm (s 50). The Act sets a default order for asset application in winding up: firm debts to outsiders first, then partner advances, then capital, with residual divided according to profit shares (s 57(3)). Partners are entitled to have goodwill sold for common benefit unless otherwise agreed (s 51). The Act also supplies equitable remedies on rescission for fraud, including lien and indemnity (s 54).

Remedies related to dissolution. An outgoing partner or estate has a statutory remedy where continuing partners carry on the business with partnership capital without settlement: a choice of share of profits attributable to their capital as found by the court or interest at 6% p.a. (s 55(1)). The court may allow remuneration to continuing partners for carrying on business where appropriate (s 55(3)).

Procedural and evidentiary duties. Partners must keep partnership books at the principal place of business and each partner may inspect and copy them (s 34(8)). Notice to a partner habitually acting in the firm is notice to the firm (s 23).

These statutory duties and rights form a default legal matrix: many are subject to variation by agreement, but they establish the legal baseline for disputes over authority, fiduciary duty, profit sharing, priority on winding up and creditor rights.

The Act primarily creates civil liabilities and remedies rather than criminal offences. Its enforcement mechanisms and penalty‑type consequences take the form of joint and several liabilities, rights to indemnities, equitable remedies, and court powers to dissolve partnerships and order distributions.

Civil liabilities and joint and several exposure. The Act imposes joint and several liability on partners for firm debts and obligations incurred during their partnership (s 16). Liability for wrongful acts and misapplication of funds is also joint and several (ss 17-19). These statutory allocations expose each partner’s personal assets to satisfy firm claims in the absence of alternative structures or agreements insulating partners. The estate of a deceased partner remains severally liable during administration for debts incurred while the partner was active (s 16), subject to separate debts being satisfied first.

Remedies and enforcement routes. Enforcement of judgments against partners or partnerships is subject to the Civil Judgments Enforcement Act 2004 (s 28). That channeling means creditors must use the procedural tools in that Act to enforce civil judgments, which could include seizure of assets, writs, and other means governed by that enforcement statute. For claims arising from misapplication or tortious conduct, aggrieved parties can seek damages against the firm and, separately, against individual partners under ss 17-19, relying on common law tort remedies as preserved by s 6.

Court dissolution and equitable powers. The court may order dissolution on numerous grounds, including incapacity, misconduct prejudicial to the business, persistent breach of partnership agreement, encumbrance of interest, business only being able to be carried on at a loss, or whenever circumstances make it just and equitable to dissolve (s 46). On dissolution or application for winding up, the court can order distribution of partnership property, repayment of premiums (s 53), and other equitable relief such as restraining use of firm names (s 52) and enforcing liens and indemnities where fraud or misrepresentation occurred (s 54).

Interim authority and continuing obligations. After dissolution, partners retain authority to bind the firm only insofar as is necessary to wind up or complete unfinished transactions (s 49(1)). However, the firm is not bound by acts of a partner who has become bankrupt (s 49(2)), though third parties who represent themselves as partners post‑bankruptcy remain liable if they knowingly permit representation (s 49(3)). These provisions limit enforcement routes for some third‑party claims while preserving remedies against misrepresenting individuals.

Statutory interest and accounting consequences. The Act prescribes a statutory 6% interest for partner advances exceeding subscribed capital (s 34(3)) and provides the outgoing or deceased partner with a default option to seek that rate on their share where profits post‑dissolution are attributable to their capital (s 55(1)). These are monetary consequences that operate without court discretion except as to the amount of attributable profits under s 55(3).

Restraints and injunctive relief. The Act allows a partner to restrain other partners or their representatives from using the firm name after dissolution until affairs have been wound up (s 52). That creates an equitable remedy capable of immediate injunctive relief to prevent misleading use of brand or name. The sale of goodwill for the common benefit (s 51) can also be enforced by court order.

Limitations and gaps. The Act does not create express criminal penalties, nor does it provide an administrative fines regime. Enforcement relies on civil litigation, equitable remedies and statutory prioritisation in winding up. The Act preserves common law and equitable rules except where inconsistent (s 6), so confidential remedies, constructive trusts, fiduciary accountings and similar equitable mechanisms remain available but must be sought through court processes. Procedural enforcement (execution of judgments) is controlled by the Civil Judgments Enforcement Act 2004 (s 28), so creditors need to follow that separate statutory enforcement pathway.

Notice mechanisms that affect enforcement. The Act permits public notification of dissolution and prescribes that Gazette and local newspaper advertisements serve as notice to persons who had no prior dealings (s 47(2)). That mechanism can blunt a creditor’s argument of ignorance and shifts enforcement prospects once notice has been given.

In sum, the Act imposes civil liabilities that enforce duties by exposure of partners’ personal assets, provides equitable remedies overseen by courts, prescribes monetary defaults and accounting consequences, and channels execution of judgments to separate enforcement legislation. Enforcement therefore rests on civil litigation and the court’s equitable power rather than statutory sanctions or administrative enforcement.

The Partnership Act 1895 is deliberately designed to coexist with and defer to several other statutory regimes. The Act contains express cross‑references, exclusions and incorporations that determine its scope and operation alongside corporate, limited partnership and enforcement laws.

Corporations Act 2001 and corporate entities. Section 4(1)(a) excludes companies and associations registered under the Corporations Act 2001 or other Acts relating to joint‑stock company registration from the application of the Partnership Act. That means incorporated companies and most forms of corporate undertaking operate outside the default partnership regime and under the Corporations Act and company law. The Partnership Act therefore primarily governs unincorporated partnerships rather than incorporated businesses.

Limited Partnerships Act 2016. The Act expressly brings limited partnerships and incorporated limited partnerships within its orbit only to the extent and with the modifications specified in the Limited Partnerships Act 2016 (s 4(2)-(3)). The defined terms section imports the Limited Partnerships Act definitions into the Partnership Act context (s 3). Practically, this means that when partners operate under a limited partnership or incorporated limited partnership structure, the Limited Partnerships Act modifies how the Partnership Act’s defaults apply, potentially altering issues such as liability, registration and investor protections.

Civil Judgments Enforcement Act 2004. The enforcement of judgements against partners and partnerships is subject to the Civil Judgments Enforcement Act 2004 (s 28). That cross‑reference determines procedural enforcement routes (bankruptcy petitions, writs, seizure, sheriffs) and timing, so creditors must follow the enforcement procedures and remedies in that Act. It constrains practical execution tactics for costs and asset recovery, rather than leaving them solely to common law procedures in the Partnership Act.

Corporations Act definition imports. Section 17(2) refers to the definition of “corporation” in the Corporations Act 2001 section 9 and clarifies that a partner’s conduct as a director of a corporation should not be taken to be in the ordinary course of the firm or with firm authority merely because of a set of connections to the firm (s 17(2)(a)-(d)). This interaction limits the scope of firm liability for a partner’s corporate directorship acts and prevents automatic attribution of corporate conduct to the partnership without additional facts showing nexus or authorisation.

Bankruptcy and insolvency law. The Act makes specific reference to bankruptcy and insolvency contexts. Section 9 subordinates the claims of lenders or sellers paid by profit share to the claims of other creditors where the borrower or buyer becomes bankrupt or enters a personal insolvency agreement. Section 44 treats dissolution by bankruptcy of a partner; s 49(2) disallows firm binding by acts of a bankrupt partner after bankruptcy. The compilation table also shows legislative amendments that interacted with bankruptcy law (Acts Amendment (Bankruptcy) Act 2009 s 63), indicating historical alignment with federal bankruptcy frameworks.

Property law and real estate. Section 30(2) limits how the legal estate in land that is partnership property devolves, stating it devolves according to tenure but in trust insofar as necessary for persons beneficially interested. Section 32 then directs that land that becomes partnership property should be treated as personal property between partners for accounting purposes unless contrary intention appears. These provisions interact with property law and land title regimes, meaning that while partnership accounts treat land as personalty, legal title and tenure constraints persist under land law.

Equity and common law. Section 6 preserves the rules of equity and common law applicable to partnerships except where inconsistent with the Act. That leaves constructive trusts, fiduciary obligations, tracing, equitable lien, and other equitable remedies available to complement statutory provisions. Where the Act is silent or where equitable rules supplement statutory defaults, courts will apply equitable principles consistent with s 6.

Statutory repeals and reprints. The compilation table shows multiple amendment Acts and reprints. Amendments such as the Partnerships Amendment Act 2005, Acts Amendment (Bankruptcy) Act 2009, and the Limited Partnerships Act 2016 indicate ongoing legislative interaction and updates that align the Act with broader statutory regimes and modernised drafting formats.

Publication and notice rules. Section 47(2) prescribes that an advertisement in the Government Gazette and a Perth or local newspaper is notice to persons who had not dealt with the firm before dissolution or change. That interacts with administrative law and publication practices for statutory notice, tying legal effect to prescribed public communications rather than purely to private notice.

Overall, the Partnership Act neither operates in isolation nor fully supplants other regimes. It expressly defers to corporate law for companies, is modified by the Limited Partnerships Act for limited partnership vehicles, depends on the Civil Judgments Enforcement Act for enforcement, interacts with insolvency law where bankruptcy affects partners, and preserves equity and common law traditions. Practitioners must consider this statutory matrix when advising on partnership formation, dissolution, creditor claims and disputes involving corporate or limited partnership structures.

The Act has been in force since 1 October 1895 and carries a long amendment and reprint record reflected in the compilation table included with the legislative text. The compilation table lists primary amendments and reprints which materially affected the Act’s content and drafting.

Key legislative milestones from the compilation table:

• Original enactment: The Partnership Act 1895 (59 Vict. No. 23) assented 2 October 1895 and commenced 1 October 1895 (compilation table). That created the original statutory framework for partnerships in Western Australia.

• Reprints: Several authorised reprints occurred in 1956, 1981, 1985 and again in 2003 and 2007 (compilation table). Reprints consolidate amendments and provide updated authoritative texts.

• Companies and Securities Legislation (Miscellaneous Amendments) Act 1988 (No. 48 of 1988): Amended the Act and was proclaimed in December 1988 (compilation table). This reflects interactions with company and securities law.

• Corporations (Consequential Amendments) Act 2001 (No. 10 of 2001): Amended the Act to ensure consistency with changes in the federal Corporations Act; commenced 15 July 2001 as per the compilation table. Section 4’s exclusion of companies reflects that legislative alignment.

• Acts Amendment (Equality of Status) Act 2003 (No. 28 of 2003): Enacted amendments including to s 8 and possibly other provisions; commenced 1 July 2003 (compilation table). The 2003 amendments are noted in the marginal notes to ss 8 and elsewhere.

• Statutes (Repeals and Minor Amendments) Act 2003 (No. 74 of 2003): Made minor amendments and is reflected in the reprint history; s 1 amended the short title formatting and s 144(1) is noted in the marginal notes.

• Courts Legislation Amendment and Repeal Act 2004 (No. 59 of 2004): Inserted s 28 which makes enforcement of judgments against partners subject to the Civil Judgments Enforcement Act 2004; the amendment was enacted in 2004 and commenced in 2005 (compilation table; s 28 insertion noted).

• Partnership Amendment Act 2005 (No. 3 of 2005): Made changes commencing 29 June 2005, including the amendment to s 17 referenced in the text (compilation table and marginal notes).

• Acts Amendment (Bankruptcy) Act 2009 (No. 18 of 2009): Amended the Act with changes such as s 9 to adjust priorities in bankruptcy contexts where profit‑contingent repayments or goodwill sale arrangements are involved (compilation table; s 9 amended per marginal notes).

• Standardisation of Formatting Act 2010 (No. 19 of 2010): Introduced formatting standardisation and consequential textual amendments across multiple statutes; the Act’s table notes s 44(2) and s 51 as insertions or formatting changes, and other in‑text marginal notes show amendments from 2010.

• Limited Partnerships Act 2016 (No. 54 of 2016): Inserted definitions and specified that the Partnership Act applies to limited partnerships and incorporated limited partnerships with modifications (ss 3 and 4 amended; compilation table shows commencement 1 February 2017). The addition brings limited partnership vehicles within a modified scope of the Act.

Textual amendment annotations. The in‑text marginal notes show more granular amendments: s 3 had defined terms added and amended by No. 54 of 2016 s 122(2); s 4 was amended by No. 10 of 2001 s 192 and No. 54 of 2016 s 122(3)-(4). Section 7 was amended in 2016 to exclude incorporated limited partnerships from the ordinary partnership definition (s 7 amended: No. 54 of 2016 s 122(5) and (6)). Section 8 includes amendments in 2003 and 2010 (No. 28 of 2003 s 154; No. 19 of 2010 s 51). Several other sections show amendment annotations to reflect modern drafting and policy changes, such as the addition of s 28 in 2004.

Practical import of amendments. The amendments chart a pathway of modernisation, alignment and clarification: exclusion of companies (2001) aligns Western Australian partnership law with federal corporate structures; incorporation of limited partnership treatment (2016) recognises new statutory partnership vehicles; and insertion of enforcement cross‑references (2004) aligns enforcement practice with contemporary civil judgment processes. The 2005 and 2009 amendments respond to policy concerns concerning firm liability attribution and bankruptcy priorities.

No further amendment history beyond the compilation table is provided in the text. The compilation table is the authoritative in‑text history for use in legal practice until superseded by newer amending statutes. Practitioners should cross‑check the reprint date in force and consult legal databases for subsequent amendments not included in this compilation if advising on current law.

The legislative text supplied contains no reported judicial decisions or lists of cases under the Act. The Act itself does not catalogue litigation history. Therefore there are no cases named in the statutory text to cite.

Notwithstanding the absence of cases in the text, the Act contains numerous provisions that historically produce litigation and judicial interpretation in practice. The statutory contours highlight common factual and legal questions that typically end up before courts:

• Existence of a partnership. Section 7(1) and s 8 prescribe factual inquiries and presumptions about partnership status, such as the prima facie effect of sharing profits (s 8(3)) and exceptions (s 8(2), (5)-(8)). Litigation often focuses on whether sharing of profits is accompanied by mutual agency, joint ownership, or other indicia of partnership. Courts assess the “true contract and intention” of parties using whole facts (s 7(2)).

• Attribution of authority and apparent authority. Disputes under s 13, s 26 and s 27 over whether a partner had authority to bind the firm, or whether third parties had constructive notice that a partner lacked authority, frequently arise. Questions include the scope of usual business acts that bind the firm and whether the third party had knowledge that undermines apparent authority.

• Holding out and estoppel. Claims under s 21 concerning “holding out” turn on whether someone represented themselves or knowingly allowed themselves to be represented as a partner, and on the creditor’s reliance. Litigation often examines representations by conduct, use of firm‑name, letterheads and communications, and whether reliance was reasonable.

• Fiduciary and accountings. Sections 39-41 and s 40’s duty to account for benefits are standard bases for partnership accountings, constructive trust claims and equitable relief. Disputes over secret profits, unauthorised use of partnership property, and competition by ex‑partners are typical.

• Priority on insolvency and bankruptcy. Section 9’s subordination of profit‑based advances and goodwill purchase claims in insolvency raises litigation over creditor priorities, contract interpretation about whether an instrument is a loan or a profit share, and issues of proof in bankruptcy distributions.

• Dissolution and relief on winding up. Sections 46-57 generate litigation over whether dissolution should be ordered under the just and equitable ground (s 46(g)), valuation of goodwill, apportionment of continuing profits to outgoing partners (s 55), and distribution order under s 57. Court discretion under s 53 to order repayment of a premium on early dissolution is a typical contested issue.

• Expulsion and majority powers. Section 35 and s 34(7A) introduce legal questions about whether an expulsion power exists in writing and if exercised in good faith for firm benefit; litigation may involve whether majority decisions breached the good faith constraint or whether procedural fairness (opportunity to be heard) was given.

• Interaction with corporate duties. Section 17(2) states that certain connections between a partner and a corporation do not alone mean a partner is acting in the ordinary course of the partnership business. Courts typically examine the factual nexus between corporate roles and partnership business to decide attribution.

Because the text provides no judicial decisions, practitioners must consult case law databases and local reported judgments for authoritative interpretations of these provisions, including how courts apply s 7’s “true contract and intention” concept, the scope of apparent authority, and the good faith constraints on majority decisions under s 34(7A). Absent specific cases in the provided text, this section identifies categories of disputes likely to be litigated under the Act rather than reporting decided cases. For precise litigation precedent, counsel should refer to Western Australian and High Court authorities applying equivalent or derived statutory provisions and relevant equitable principles.

The Act contains several statutory defaults and procedural rules that can produce unexpected legal consequences if practitioners, partners or third parties do not plan for them. Below are concrete traps to watch for, with statutory cross‑references.

Unwritten expectations versus statutory defaults. Many partnership defaults are easily displaced by agreement, but if the partners fail to record their arrangements they will be subject to the Act’s defaults. Examples: equal profit sharing and loss bearing (s 34(1)); no remuneration to partners for managing unless agreed (s 34(5)); inability to introduce new partners without unanimous consent (s 34(6)). Failing to document departures from these defaults permits later disputes and court reversion to the statutory baseline.

Authority and third‑party knowledge. Acts done in the firm name bind the firm where the person is authorised, and partners doing usual business acts will bind the firm absent knowledge of lack of authority (ss 13, 26). A partner who lends the firm’s name or fails to restrict conduct in writing risks exposing all partners to obligations. Third parties who deal with individuals who are not actually partners must be cautious about being led into reliance by “holding out” (s 21).

Holding out and continued use of deceased partner’s name. Continued use of a deceased partner’s name does not make the estate liable for debts contracted after death by itself (s 21(2)), but it can still create exposure where executors or administrators permit representations that induce third parties to give credit. Conversely, omission to advertise dissolution widely risks retention of apparent partnership status by outsiders (s 47(1)-(2)).

Incoming partner liabilities and outgoing partner liabilities. A new partner is not liable for pre‑admission debts (s 24(1)). However, a retiring partner remains liable for debts incurred prior to retirement (s 24(2)). Without a formal creditor‑approved discharge agreement, outgoing partners can remain exposed and must pursue creditor consent or contractually obtain discharge (s 24(3)).

Continuing guaranties and change in constitution. Continuing guaranties are, absent contrary agreement, revoked as to future transactions by any change in the firm’s constitution (s 25). A creditor who relies on a continuing guaranty must therefore ensure its terms survive composition changes or obtain fresh security after changes in membership.

Subordination of profit‑linked lenders and sellers of goodwill. Parties who accept repayment as a share of profits or for payment of goodwill by profit share should note s 9: in bankruptcy or personal insolvency outcomes the lender or seller of goodwill may have no recovery until other creditors with value in money or money’s worth are satisfied. This subordination is not always intuitive and should be expressly addressed in contracts.

Number of partners limit. A firm may consist of up to 20 persons (s 11), a limit that can catch groups who intend to operate as a “partnership” but exceed the statutory cap, potentially causing regulatory or legal issues and necessitating a corporate vehicle.

Effect of assignment of a partner’s share. An assignee of a partner’s share does not, during the partnership, obtain rights to participate in management, inspect books, or interfere with firm administration; they only get the assignor’s share of profits and must accept partner accounts agreed to by partners (s 42(1)). Parties thinking an assignment confers managerial control are mistaken.

Land treated as personal property for internal accounts. Land that becomes partnership property is treated as personal property among partners for accounting and succession purposes unless a contrary intention appears (s 32). That statutory conversion can have unexpected tax and succession consequences and interacts with legal title and land tenure unaffected by the accounting treatment (s 30(2)).

Expulsion power limitations. A majority cannot expel a partner unless there is a written power to do so (s 35(1)), and even where a written power exists it must be exercised in good faith and the partner must have an opportunity to be heard (s 35(2)). Expulsion clauses must therefore be carefully drafted to avoid invalid exercise and litigation.

Good faith requirement on majority decisions. Majority decision making is subject to a statutory good faith constraint (s 34(7A)). Majority partners must ensure they can evidence decisions were taken in good faith for the firm as a whole and that minority partners had opportunity to be heard, particularly where the majority exercises power to change the nature or conduct of business.

Misapplication of trust property and partner trustees. If a partner acting as trustee improperly uses trust property in the business, other partners are not liable unless they had knowledge of the breach, but trust money can be followed into partnership assets and recovered from the firm if still in its possession (s 20). Trustees who are partners must ensure trust property is kept separate.

Sale of goodwill and competing use of firm‑name. On dissolution, partners are entitled to have goodwill sold for the common benefit (s 51) and to restrain others from using the firm name until winding up is complete (s 52). Continuing to trade under the old firm‑name post‑dissolution exposes the continuing party to injunction and damages claims.

Default interest rates. The statutory 6% interest on partner advances (s 34(3)) and on an outgoing partner’s share where profits are attributable to their capital (s 55(1)) may differ from commercial market rates and tax treatment of interest; parties should intentionally contract different rates if desired.

Notice and publication requirements to limit exposure. A person dealing with a firm after a change in constitution is entitled to treat apparent members of the old firm as still members until they have notice of the change (s 47(1)). Use of Government Gazette and local newspaper notices are statutorily prescribed notice methods (s 47(2)), which can limit exposure to post‑change claims. Failure to place such notices leaves partners exposed to claims by third parties relying on the continuity of the firm.

In short, many “gotchas” arise from the gap between the Act’s defaults and commercial practice. Drafters and advisors should ensure partnership agreements explicitly cover management, authority, admission and expulsion processes, notice protocols, treatment of goodwill and premium, guaranty survival, and interactions with insolvency law to avoid unintended liabilities under the statute.

Compliance under the Partnership Act is largely a matter of sound private ordering backed by targeted procedural steps to manage third‑party exposure. The following practical measures, grounded in specific statutory provisions, reduce statutory default risks and align partner behaviour with the Act’s requirements.

Draft a comprehensive partnership agreement. Because many of the Act’s defaults are subject to variation by agreement (s 29; s 34(1A)), the primary compliance step is a clear, written partnership agreement that addresses: profit and loss sharing; capital contributions; remuneration; management rights and decision making (including defining ordinary business matters vs. major departures); procedures for admission and expulsion of partners (including written expulsion power if intended, s 35); buy‑out terms and options on death or retirement (s 36, s 55); restrictions on competition (s 41); assignment and treatment of partner shares (s 42); and the survival of continuing guaranties (s 25). Record agreement execution to avoid disputes about writing requirements when relevant.

Define and limit authority. To manage third‑party exposure under s 13, s 26 and s 27, define the scope of each partner’s authority in the agreement and in external communications. Where a partner should not have authority to borrow or pledge assets, document the restriction and communicate it to key counterparties. For firms that commonly issue negotiable instruments or borrow, consider formal delegation protocols and written limits to avoid liability for unauthorised acts appearing as usual business acts (s 27).

Register and publish changes in constitution. To reduce exposure from s 47, publish dissolution or retirement notices in the Government Gazette and an appropriate Perth or local newspaper as provided by s 47(2). Timely publication is the statutory route to giving notice to persons who had not previously dealt with the firm, and avoids third parties treating apparent members of the old firm as still members (s 47(1)).

Provide for incoming and outgoing partner mechanics. Contractually address liabilities for pre‑admission debts and retirement liabilities. Although s 24(1) protects incoming partners from prior debts, and s 24(2) preserves outgoing partner liability for pre‑retirement debts, practical compliance requires creditor consents or novations, escrow of retiring partner proceeds, or express indemnities to ensure departing partners obtain discharge from creditors.

Protect guarantors and creditors. Given s 25’s automatic revocation of continuing guaranties on change of constitution absent agreement to the contrary, include express clauses preserving guaranty effectiveness or obtaining new guarantees after membership changes. Creditors should insist on reaffirmations or security updates on partner changes.

Keep detailed books at principal place of business and ensure partner access. Section 34(8) requires partnership books to be kept at the principal place of business and gives partners the right to inspect and copy them. Maintain proper accounts, ledger entries, and documentary records to fulfil disclosure obligations under s 39 and to support good faith majority decision making under s 34(7A).

Avoid mixing trust property with partnership assets. If a partner is a trustee, ensure trust property is not used in the partnership absent proper authority and accounting. Section 20 shields co‑partners from liability for trust property misuse unless they knew of the breach, but trust money may still be followed into firm assets. Keep trust funds ring‑fenced and document any authorised use.

Address goodwill and premium clauses. Draft express clauses governing goodwill sale or transfer on dissolution (s 51), including valuation methodology and buy‑out procedures. Where a premium is paid on entering a fixed term partnership, set out explicit terms about refund on early dissolution to avoid s 53 disputes and to prevent court‑ordered repayments.

Create dispute resolution mechanisms. Include dispute resolution clauses that require mediation or expert determination for accounting disputes, valuation of goodwill and determination of attributable profits under s 55. That reduces court engagement on s 46(s) just and equitable grounds.

Insure and limit exposure for tort and misapplication risks. Because ss 17-19 expose the firm to partner wrongful acts and misapplication liabilities, consider professional indemnity insurance where services involve professional conduct, fidelity insurance for employee and partner dishonesty, and contractual risk allocation with clients where permissible.

Address the number of partners cap. If intending to exceed 20 partners, evaluate corporate incorporation or limited partnership options because s 11 caps partners at 20 absent Corporations Act regulations. Where a large investor pool is intended, select an entity structure compatible with the desired capital and governance model.

Set contractual interest and payment terms. If parties want to depart from the statutory 6% default for partner advances (s 34(3)) or s 55(1) post‑dissolution remedies, include explicit interest rates and payment regimes in the partnership agreement. Clearly agreed financial terms reduce litigation over s 34(3) defaults.

Record authority and public‑facing materials to avoid “holding out”. To mitigate s 21 risk, ensure letterhead, electronic communications, website, signage and public materials accurately reflect who is a partner, who has signing authority and any limitations. Remove deceased partners’ names from external materials promptly once their estate has been settled or include express disclaimers when their name continues with consent and a clear indemnity framework.

Plan for winding up. Establish pre‑agreed winding up processes: who conducts final accounts, who approves sale of goodwill, escrow arrangements for settling third‑party claims, and procedures for restraining use of the firm name (s 52). Ensure documentation supports application of s 57 priorities if winding up occurs.

Coordinate with external statutory regimes. For partnerships that may cross over into corporate or limited partnership territory, advise on filing and registration requirements under the Corporations Act 2001 or Limited Partnerships Act 2016. Ensure enforcement and execution strategies align with the Civil Judgments Enforcement Act 2004 (s 28).

Use written agreements to avoid evidentiary traps under s 8. To avoid being deemed a partner because of profit‑linked arrangements, ensure appropriate lending and purchase contracts are in writing and signed by all parties where the exception in s 8(7) is desired, and be cautious that s 9 subordinates profit‑linked claims in insolvency.

In all cases, legal advice should be taken to ensure partnership agreements are tailored to the intended commercial structure and interact correctly with other statutory regimes. The Act supplies many defaults designed to protect outsiders and to provide common law style protections, but those defaults can be adjusted through careful contracting and administrative steps that are straightforward to implement and low cost relative to the litigation risks they avoid.
