Parliamentary Workplace Support Service Rules 2025

This instrument centres on three discrete governance concepts: procedural rules for advisory meetings, a defined representational architecture for the Consultative Committee, and a ministerialised appointment and remuneration model for independent members.

Procedural rules. The Advisory Board must meet as needed for efficient performance of its functions, subject to minimum frequency and convening constraints. The Chair may convene meetings at any time (s 6(2)(a)) but must call at least one meeting in each half-year (s 6(2)(b)) and cannot convene more than four Chair-initiated meetings in a calendar year unless exceptional circumstances exist (s 6(3)). The Chair presides (s 7). Quorum is two members (s 8) and minutes are required (s 9). The Board may regulate its proceedings and operate as it determines (s 11).

Representational architecture. The Consultative Committee’s membership is formulaic: two independent members (including a Chair), four parliamentarians drawn to represent Government, Opposition, the largest non-government/non-opposition party and an unaligned parliamentarian, and four MOPS employees matched to the employing parliamentarian’s party status (s 13). This constructs a structured cross-section of institutional and workplace perspectives intended by the Act (the Part is made for s 59(2) of the Act, s 12). The instrument also requires the Minister, when appointing members generally, to have regard to representation by persons who represent Government views, those who represent the views of parties with at least five members, and those who do not represent either (s 14(7)(a)(i)-(iii)). It also requires the Minister to have regard to gender diversity (s 14(7)(b)).

Appointment constraints and ministerial discretion. The Minister appoints all Committee members by written instrument (s 14(1)). For independent members the Minister must be satisfied that the selection process was merit-based and publicly advertised, and that the appointee has relevant skills (s 14(3)). The Minister must have regard to the appointee’s independence from parliamentarians, MOPS employees, registered political parties, the PWSS and the Advisory Board (s 14(4)). Independent members are remunerated and allowed at the Minister’s determination (s 15(1)-(2)), but their office is excluded from the Remuneration Tribunal Act 1973 (s 15(3)), shifting pay-setting away from the Tribunal. Parliamentarian and MOPS employee appointees have statutory ineligibilities (s 14(5)-(6)). Terms are limited to two years for all classes (s 17(1)-(3)), with specific early-termination triggers for parliamentarians and MOPS employees where employment or elections intervene (s 17(2)-(3)).

Conflict of interest controls. Members must notify the Minister of any direct or indirect pecuniary interest that conflicts or could conflict with duties (s 16(1)). They must disclose interests at meetings, record them in minutes, and, unless the Committee decides otherwise,be absent from deliberations and not participate in decisions on that matter (s 16(2)-(6)). Determinations about exclusion must themselves be made without the interested member’s participation and recorded (s 16(6)-(7)).

Administrative flexibility. Both the Board and the Committee are repeatedly authorised to “operate in the way they determine” and to regulate proceedings as they see fit, subject to the Act and the instrument (s 11, s 21(1)). Chairs retain convening powers but are bounded by the convening cap (s 6(2), s 21(2)-(3)).

Cross‑referenced statutory material. The instrument explicitly interacts with provisions of other statutes: Acts Interpretation Act 1901 is referenced regarding meeting participation (s 6 note), the Commonwealth Electoral Act 1918 is referenced for registered political parties in the independence assessment (s 14(4)(c)), the Fair Work Act 2009 is referenced when defining employee consultative bodies relevant to MOPS employees (s 14(6)(b)), and the Remuneration Tribunal Act 1973 is excluded from applying to independent members’ offices (s 15(3)). These references embed the instrument within existing administrative and employment law frameworks.

Collectively, the instrument operationalises governance while leaving substantial delegate discretion to the Minister and internal committees, constrained by representational formulas, disclosure duties and meeting-frequency caps.

The instrument affects four primary categories of actors: members of the PWSS Advisory Board, members of the PWSS Consultative Committee, the CEO of the PWSS (in the sense of how advice and meeting requests operate), and MOPS employees and parliamentarians who may be potential appointees or who employ MOPS staff. It also affects the Minister who appoints and determines remuneration for independent members.

PWSS Advisory Board members. The Advisory Board must meet as necessary and follow the Chair’s convening rules. Members are bound by the quorum requirement of two (s 8) and by the obligation to keep minutes (s 9). Advice requested by the CEO must be given in the form and manner the CEO requires (s 10). Members thus operate within a framework that requires responsiveness to the CEO’s needs and places procedural controls in the Chair.

PWSS Consultative Committee members. The Consultative Committee’s composition is tightly specified (s 13). The instrument affects four types of individuals within that Committee:

• Independent members: must satisfy eligibility conditions (no current/previous parliamentarian, no current/previous MOPS employee, no Commonwealth parliamentary workplace participant) and the Minister must be satisfied that the selection process was merit-based and publicly advertised and that the appointee has specified skills (s 14(2)-(3)). Independent members are remunerated and receive allowances determined by the Minister (s 15). Their office is explicitly not a public office for the Remuneration Tribunal Act (s 15(3)). Independent members hold office for a period not exceeding two years (s 17(1)) and may be terminated for specific grounds, subject to required consultation with the CEO before termination (s 19(2)).

• Parliamentarian members: four parliamentary places are allocated to specific categories of parliamentarians (Government, Opposition, largest non-government/non-opposition party, and an unaligned parliamentarian) (s 13(b)). The Minister may not appoint certain high officeholders (Ministers and parliamentary presiding officers) (s 14(5)). Parliamentarian appointees’ terms end earlier in specified circumstances including ceasing to be a parliamentarian and the declaration of the poll for the electorate in which the appointed person stands for election (s 17(2)(b)-(c)). The Minister must consult the Chair before terminating such an appointee (s 19(3)).

• MOPS employee members: four MOPS employees are to be appointed from staff employed by parliamentarians reflecting party alignments or non-party status (s 13(c)). A MOPS employee may not be appointed if employed by a parliamentarian who is an appointed member, nor if they occupy certain internal representative positions such as membership of an Employee Consultative Group under the applicable enterprise agreement, or a Work Health and Safety Committee or equivalent (s 14(6)). A MOPS employee appointee’s tenure ends if they cease to be a MOPS employee or if the employing parliamentarian’s poll is declared (s 17(3)). A MOPS employee who becomes employed by a parliamentarian on the Committee is taken to have resigned (s 18(5)-(6)).

CEO of the PWSS. The CEO can request advice from the PWSS Advisory Board; the instrument requires advice requested under paragraph 43(3)(b) of the Act to be provided in the form and manner required by the CEO (s 10). The Chair must convene a meeting within 30 days of receiving a written request from the CEO (s 6(2)(c)).

The Minister. The instrument places appointment and remuneration power with the Minister (s 14(1), s 15(1)-(2)), and requires the Minister to have regard to specified matters (independence considerations, representational balance and gender diversity, s 14(4), s 14(7)). The Minister also holds power to terminate appointments for specified reasons (s 19(1)), with required consultation obligations before terminating independent members (consult with CEO) and before terminating parliamentarian or MOPS employee members (consult with Chair) (s 19(2)-(3)), though failure to consult does not affect validity (s 19(4)).

Indirectly affected parties. MOPS employees generally are affected through restrictions on who can be on the Committee and the resignation trigger if they become employed by a parliamentarian who is a Committee member (s 14(6), s 18(5)). Registered political parties are indirectly implicated because the Minister must have regard to independence from registered political parties in appointing independent members (s 14(4)(c)). Employee representative bodies established under enterprise agreements and Work Health and Safety Committees are referenced in the appointment restrictions for MOPS employees (s 14(6)(b)-(c)).

Administrators and secretariat staff. The obligation to keep minutes, record disclosures and manage convening thresholds will affect secretariat functions for both the Board and the Committee (ss 6, 9, 16). The Chair’s duties in exercising convening powers and managing vacancies require administrative support.

Who pays. The instrument obliges payment of remuneration and allowances to independent members as determined by the Minister (s 15(1)-(2)). The instrument itself does not appropriate funds or specify accounting arrangements, but it creates an ongoing fiscal obligation to pay independent members at levels the Minister determines.

Overall, the instrument maps clear roles and constraints onto a defined set of institutional actors: Board members, Committee members (sub-classified into independent members, parliamentarians and MOPS employees), the CEO, and the Minister. It imposes administrative duties (minutes, disclosure) and behavioural constraints (eligibility, resignation triggers, attendance requirements) that will alter appointment behaviour and internal operations.

The instrument establishes specific duties and limited rights for members, the Chair, the CEO and the Minister. Duties are primarily procedural, focused on meetings, disclosure, and compliance with appointment and termination conditions. Rights are mostly in the form of remuneration for independent members and procedural powers to operate meetings.

Duties of Chairs and members of the PWSS Advisory Board. The Chair must convene meetings as permitted and preside where present (s 6(2)(a)-(c), s 7(1)). The Chair must convene at least one meeting in each half-year (s 6(2)(b)) and must convene a meeting within 30 days of a written request by the CEO (s 6(2)(c)). After the Chair has convened four or more meetings in a calendar year that were not convened at the CEO’s request, the Chair may only convene further meetings if the Chair considers exceptional circumstances apply (s 6(3)). Board members must maintain minutes (s 9) and the Board must give advice requested by the CEO in the form and manner required by the CEO when the advice is requested under the Act (s 10). The Board may regulate its proceedings and operate in ways it determines (s 11), subject to the Act and Part 2 (s 5).

Duties of Consultative Committee members. Members must disclose direct or indirect pecuniary interests that conflict or could conflict with the proper performance of duties to the Minister in writing (s 16(1)). Members with a pecuniary interest in a matter being considered must disclose the interest to a meeting as soon as practicable, and the disclosure must be recorded in the minutes (s 16(2)-(4)). Absent a contrary determination by the Committee, an interested member must not be present during deliberation nor take part in decision-making on the matter (s 16(5)), and determinations to allow participation must be made without the interested member’s presence and recorded (s 16(6)-(7)).

Duties regarding appointment and eligibility. The Minister must not appoint a person as an independent member if they are or have been a parliamentarian, MOPS employee or Commonwealth parliamentary workplace participant, unless the Minister is satisfied that the selection process met the merit-based and advertising requirements and that the person has relevant skills (s 14(2)-(3)). The Minister must have regard to the independence of appointees from parliamentarians, MOPS employees, registered political parties and the PWSS and Advisory Board (s 14(4)). The Minister must not appoint certain office-holders as parliamentarian members (s 14(5)) and must not appoint certain MOPS employees in particular circumstances (s 14(6)). When appointing members, the Minister must have regard to representational balance and gender diversity (s 14(7)).

Duties on resignation and termination. Independent members resign to the Minister in writing; their resignation takes effect on receipt or a later specified date (s 18(1)-(2)). Parliamentarians and MOPS employees resign to the Chair (s 18(3)-(4)). A MOPS employee is taken to have resigned if they are employed by a parliamentarian who is a Committee member, effective the day they are so employed (s 18(5)-(6)). The Minister may terminate appointments for misbehaviour, incapacity, failure to disclose interests without reasonable excuse, or failure to attend three consecutive meetings without leave or reasonable excuse (s 19(1)). The Minister must consult the CEO before terminating an independent member, and consult the Chair before terminating an MP or MOPS employee member; failure to consult does not invalidate termination (s 19(2)-(4)).

Rights of independent members. Independent members are to be paid remuneration and allowances determined by the Minister (s 15(1)-(2)). The instrument further specifies that the office of an independent member is not a public office for the purposes of the Remuneration Tribunal Act 1973 (s 15(3)), which affects the route for setting remuneration and implies the Minister determines pay without automatic Remuneration Tribunal involvement.

Rights and duties of the CEO. The CEO has a right to request the Advisory Board to meet; the Chair must convene a meeting within 30 days of a written request from the CEO (s 6(2)(c)). The CEO may also request advice from the Advisory Board under the Act; the Board must provide advice in the form and manner required by the CEO when requested under paragraph 43(3)(b) of the Act (s 10).

Procedural rights of Committees. Both the Advisory Board and the Consultative Committee have express latitude to operate in the way they determine and to regulate proceedings at their meetings (s 11, s 21(1)). Chairs have powers to convene meetings subject to the convening caps (s 6(2), s 21(2)-(3)).

Operational constraints that function as duties. The cap on Chair convened meetings after four in a calendar year unless exceptional circumstances exist (s 6(3), s 21(3)) imposes a limiting duty on Chairs to justify further convening. Quorum rules impose duties to ensure at least two members are present to constitute a meeting (s 8). Minutes and disclosure obligations are statutory duties that will require record-keeping and administrative processes (ss 9, 16).

In summary, duties are procedural and compliance-oriented: disclosure, attendance, minutes, eligibility maintenance and adherence to convening thresholds. Rights are modest and functional: independent members receive pay and allowances set by the Minister, Chairs control meeting calls within constraints, the CEO can compel a meeting within 30 days, and committees have procedural autonomy within the Act and instrument.

The Rules prescribe no criminal penalties, pecuniary penalties or explicit enforcement mechanisms such as infringement notices. Instead, enforcement is largely internal to the appointment and governance framework through termination powers, exclusion from deliberations, resignation triggers and meeting provisions. The instrument therefore relies on administrative controls rather than external sanctions.

Termination as enforcement. The primary enforcement mechanism is the Minister’s power to terminate appointments under specified grounds. The Minister may terminate a member’s appointment for misbehaviour, physical or mental incapacity preventing duty performance, failure without reasonable excuse to comply with the disclosure requirements in s 16, or failure to attend three consecutive Committee meetings without prior agreement or reasonable excuse (s 19(1)(a)-(d)). This is an administrative sanction that removes the member’s position and hence their role and any remuneration associated with it.

Consultation requirements before termination. Before terminating an independent member, the Minister must consult with the CEO (s 19(2)). Before terminating a parliamentarian or MOPS employee member, the Minister must consult with the Chair (s 19(3)). These consultation requirements are pre-termination processes that frame how the Minister exercises removal power. The instrument expressly states that failure to comply with these consultation requirements does not affect the validity of the termination (s 19(4)), thereby limiting legal remedies that might be based on procedural non-compliance with the consultation requirement.

Exclusion from deliberation for conflicts. Section 16 establishes a mechanism for dealing with conflicts of interest through disclosure and exclusion from deliberations and decisions. The Committee can determine otherwise, but a default rule requires the member to be absent from deliberations and not take part in decisions where a direct or indirect pecuniary interest conflicts with duties (s 16(5)). The rules also require recording these disclosures and any determinations (s 16(4), s 16(7)). The operational effect is preventative: it seeks to manage conflicts through exclusion rather than imposing penalties for non‑disclosure beyond termination for failing to comply without reasonable excuse (s 19(1)(c)).

Resignation and automatic resignation triggers. The instrument provides resignation rights and automatic resignation events which operate as structural enforcement: a MOPS employee is taken to have resigned if they are employed by a parliamentarian who is also a member (s 18(5)-(6)); parliamentarian and MOPS employee appointments end automatically on ceasing to be a parliamentarian or MOPS employee or when the poll for the relevant electorate is declared (s 17(2)-(3)). These provisions remove members automatically when eligibility changes and enforce integrity of the representational composition.

Attendance rule as sanction trigger. A member can be removed for non-attendance at three consecutive meetings without prior agreement or reasonable excuse (s 19(1)(d)). This acts as a behavioural enforcement lever to ensure participation.

No court enforcement or statutory fines in the instrument. The instrument does not create offences, fines, or an external enforcement body to police non-compliance with procedural duties. Where an external remedy is possible (for example, judicial review of administrative action), the instrument does not address that; it contains its own internal procedural protections (consultation before termination) and declares the effect of failing to comply with those protections (s 19(4)).

Record-keeping as implicit compliance enforcement. The requirement to keep minutes (s 9) and to record disclosures and determinations (s 16(4), s 16(7)) supports internal accountability and provides documentary evidence to support termination decisions or to be used in administrative review. This places an administrative compliance burden on the Council secretariat.

In short, enforcement is administrative and internal: removal, exclusion, automatic resignation triggers and documentable procedures. The instrument does not create criminal or civil penalties; instead, it relies on the Minister’s appointment and termination powers and internal governance processes to enforce compliance.

The Rules are expressly made under the Parliamentary Workplace Support Service Act 2023 (s 3) and were drafted to operate within existing statutory frameworks. The instrument references and interacts with several other statutes and statutory concepts, producing points of legal interface and potential compliance overlaps.

Acts Interpretation Act 1901. The Rules reference s 33B of the Acts Interpretation Act 1901 in relation to the ways in which members may participate in meetings (s 6 note). That cross-reference signals that the statutory rules governing participation by teleconferencing or similar means (as set out in the Acts Interpretation Act) are available for the Advisory Board’s meeting procedures. The note is not prescriptive but embeds a default interpretive rule.

Commonwealth Electoral Act 1918. The Minister is required to have regard to the independence of an appointee from “registered political parties (within the meaning of the Commonwealth Electoral Act 1918)” (s 14(4)(c)). This imports the Electoral Act’s definition of registered political parties into the independence assessment, linking the appointment test to existing electoral law classifications.

Fair Work Act 2009. Section 14(6)(b) refers to an “Employee Consultative Group (or equivalent) established under the enterprise agreement (within the meaning of the Fair Work Act 2009) applicable to MOPS employees.” That cross-reference imports the Fair Work Act’s enterprise agreement framework into the Rules when excluding certain MOPS employees from appointment to the Consultative Committee. It thus localises the definition of workplace representative bodies to the industrial relations regime.

Remuneration Tribunal Act 1973. The Rules state the office of an independent member is not a public office for the purposes of the Remuneration Tribunal Act 1973 (s 15(3)). This exclusion removes the automatic application of the Remuneration Tribunal’s standard processes for setting pay for public offices. As a consequence, independent members’ remuneration and allowances are left to Ministerial determination (s 15(1)-(2)), rather than being handled through the Tribunal’s usual determinations.

Parliamentary Workplace Support Service Act 2023. The instrument repeatedly states its Parts are made for specified subsections of that Act (s 5 for subsection 55(1); s 12 for subsection 59(2)). The Rules are therefore intended to operationalise Act provisions about the Advisory Board and Consultative Committee, filling in required procedural or membership details. Where the Act itself creates duties and powers, this instrument provides the specific implementation detail authorised by those Act sections.

Administrative law and judicial review. Although not referenced in the Rules, administrative actions under the Rules (appointments, terminations, determinations about conflicts) will be subject to general administrative law principles and judicial review insofar as Commonwealth administrative decisions are concerned. The instrument creates statutory duties to consult prior to certain terminations (s 19(2)-(3)) but expressly limits the remedy by stating failure to consult does not affect validity (s 19(4)). That clause may affect the remedies available in review proceedings, although the Rules do not address remedies directly.

Employment and industrial frameworks. By referencing enterprise agreements and excluding certain MOPS employees who sit on internal representative bodies (s 14(6)(b)-(c)), the Rules intersect with workplace representation arrangements governed by industrial instruments and the Fair Work Act. MOPS employees’ eligibility and resignation triggers (s 17(3), s 18(5)-(6)) will interact with employment law (contractual termination, secondment rules, etc.) and could trigger employer-side obligations or entitlements under applicable enterprise agreements.

Records and whistleblower frameworks. The Rules require minute-keeping and recording of disclosures (ss 9, 16(4), 16(7)). Those records will be subject to other Commonwealth records and information laws (not cited in the instrument), including privacy, FOI and recordkeeping obligations, which could affect how minutes and disclosures are handled and disclosed externally.

Remuneration and appropriation. The instrument provides for payment of remuneration and allowances by Ministerial determination (s 15), but it does not appropriate funds. Payments will therefore need to be drawn from PWSS or relevant Commonwealth appropriations and will be subject to public sector financial management rules (not cited in the instrument). The exclusion from the Remuneration Tribunal Act means Ministerial determinations could operate outside the Tribunal’s standard processes.

In short, the Rules are designed to operate within and alongside existing Commonwealth statutory frameworks: Acts Interpretation Act, Commonwealth Electoral Act, Fair Work Act and Remuneration Tribunal Act. They anchor Committee eligibility and procedural rules in those statutes and create administrative decisions (appointments, terminations, determinations) that will interact with broader administrative and employment law regimes.

This instrument contains a single commencement entry and a note about subsequent amendments. It records its making date and the commencement date and contains an explicit statement that the commencement table relates only to the provisions of the instrument as originally made.

Key documented history in the instrument:

• Made and dated: the instrument is dated 15 December 2025 and signed by Don Farrell, Special Minister of State (header).

• Commencement: the whole instrument commences the day after registration, 7 January 2026, as shown in the Commencement table and accompanying note in s 2.

• Note about the commencement table: the instrument includes the standard note that the commencement table relates only to provisions as originally made and will not be amended to deal with later amendments of the instrument (s 2(1) note). There is an additional note that any information in column 3 of the table is not part of the instrument (s 2(2)).

No amendments are recorded within the instrument itself; there is no schedule of prior amendments. The instrument, as provided, is the original made instrument with the single commencement entry. There is no in‑instrument record of prior versions, amendment dates, or legislative history beyond its date of making and commencement.

Practical implications for users. Because the instrument itself contains no amendment log, users seeking amendment history must consult the register of legislative instruments and subsequent Commonwealth Gazette notifications, and the consolidated text in the Federal Register of Legislation. The instrument’s note that the Commencement table relates only to the instrument as originally made is a reminder that any later amendments would be recorded separately and that the table should not be taken to reflect subsequent changes.

Relation to the parent Act. The instrument is made under the PWSS Act 2023 (s 3). Any subsequent amendments to the Act or to the Rules would be separately documented. The instrument’s Parts 2 and 3 were expressly made for subsections of the Act (s 5 for subsection 55(1) and s 12 for subsection 59(2)). If the Act is amended in ways that affect those subsections, corresponding amendments to these Rules could be necessary to maintain consistency.

Where to find amendments. Absent amendment information in the instrument, those seeking the amendment history should consult the Federal Register of Legislation for consolidated versions and amendment records, the Commonwealth Gazette for notices of instrument amendments or revocations, and parliamentary records for any statutory instruments that modify these Rules. The instrument itself instructs that its original commencement table will not be amended to record future changes (s 2(1) note), so external registers are the appropriate source for amendment history.

In short, the instrument’s internal amendment history is minimal: made 15 December 2025, commencing 7 January 2026, with the standard note about the non-amendment of the commencement table. Any amendment history post-dating this original instrument must be located in external consolidation or registry sources.

The instrument contains no litigation record or references to judicial decisions. It is an administrative rules instrument and does not itself include case citations, precedent summaries, or recorded litigation outcomes. The text does not name or rely on any judicial decisions.

What the Rules record. The Rules are administrative in character: they specify meeting and appointment procedures. They do not create offences or private rights that expressly give rise to a statutory cause of action within the instrument itself. They set out internal administration and Ministerial powers of appointment and termination, disclosure requirements and record‑keeping obligations. Because they confer executive discretions and administrative processes, disputes arising from their application would typically be resolved through administrative mechanisms: Ministerial exercise of appointment and termination powers, internal reviews, and potentially judicial review.

Potential avenues for legal challenge. Although the instrument does not record litigation, disputes that may arise in practice include:

• Challenges to Ministerial appointment or termination decisions: Judicial review could be pursued on grounds such as Wednesbury unreasonableness, procedural unfairness, jurisdictional error, or failure to comply with statutory requirements. The instrument imposes consultation requirements before termination (ss 19(2)-(3)), but also states that failure to comply "does not affect the validity of a termination" (s 19(4)). That clause could be a focal point in any challenge asserting procedural non-compliance; its presence may limit remedies available in judicial review and could influence courts’ approach to relief.

• Alleged breaches of disclosure duties: A member who is terminated for breach of disclosure duties (s 19(1)(c)) may seek review of the Minister’s factual findings or reasonableness of the termination. Because the instrument provides a statutory pathway for removal, terminations grounded in disclosure breaches invite administrative law review over evidence and process.

• Employment law disputes involving MOPS employees: Where MOPS employees’ membership, resignation or termination interacts with their employment, disputes may involve employment contract or industrial law issues under the Fair Work Act 2009, especially because s 14(6) references enterprise agreement consultative groups. Litigation arising from employment consequences would follow the usual employment and industrial dispute mechanisms rather than the Rules’ internal processes.

No cases named in the instrument. The instrument does not name any cases or bind itself to judicial interpretations. Any litigation history will therefore have to be sourced from external records (Federal Court, Federal Circuit, administrative tribunals) subsequent to the instrument’s operation.

What to do to find litigation. To establish whether litigation has occurred in relation to these Rules since their commencement, a search of Commonwealth court databases, tribunal records and legal reporting services would be required. Because the instrument is dated and commenced in early 2026, any litigation arising from its operation would appear in court filings or decisions after that date; none are recorded in the instrument itself.

In summary, the instrument contains no internal litigation history; potential legal disputes will be governed by general administrative and employment law principles and will be litigated or reviewed in external fora. The instrument’s clause that consultation failures do not affect validity (s 19(4)) is an important procedural feature that may shape legal challenges to terminations.

The Rules contain several specific features that can create traps if overlooked. Practitioners should watch the instrument’s interactional clauses, the limits on who may be appointed, the meeting-convening caps, the independence and advertising requirements for independent members, and the effects of automatic resignation triggers.

1. Ministerial discretion with limited external constraints on pay. Independent members are to be paid the remuneration and allowances determined by the Minister (s 15(1)-(2)), and their office is not a public office for Remuneration Tribunal Act purposes (s 15(3)). The practical gotcha is that remuneration is not subject to the Remuneration Tribunal’s usual processes, so decisions about rates are left to Ministerial determination. Requests for transparency, benchmarking or tribunal review are therefore constrained; practitioners should expect pay-setting to be a Ministerial administrative decision, not a Tribunal determination.

2. Strict eligibility and advertising requirement for independent members. The Minister must not appoint someone as an independent member if they are or have been a parliamentarian, a MOPS employee, or a Commonwealth parliamentary workplace participant unless the Minister is satisfied the selection resulted from a process that was merit-based and included public advertising and that the person has relevant skills (s 14(2)-(3)). The combination of categorical exclusions with the Minister’s satisfaction test means that appointing a former parliamentarian or employee is possible only if the Minister is satisfied about the selection process; failure to document a public advertising and merit-based process may provide grounds for challenge. Practitioners should ensure the recruitment process is documented and satisfies the statutory checklist.

3. Limits on who may be a parliamentarian appointee. The Minister must not appoint certain high offices as parliamentarian members: Ministers, presiding officers and their deputies are excluded (s 14(5)). Appointments of those persons would be invalid under the Rules. This restriction must be observed when drafting instruments of appointment.

4. MOPS employee exclusions tied to workplace representative roles. A MOPS employee cannot be appointed if they are employed by an appointed parliamentarian (s 14(6)(a)(i)) or if they are a member of the Employee Consultative Group or Work Health and Safety Committee or equivalent under the applicable enterprise agreement (s 14(6)(a)(ii)-(iii)). That means many employee representatives will be ineligible. Where workplace arrangements are complex (e.g., employees who rotate membership or whose enterprise agreement bodies are configured differently), confusion may arise; careful checking against current enterprise agreement structures and employment status is required.

5. Automatic resignation trigger for MOPS employees. A MOPS employee member is taken to have resigned if they become employed by a parliamentarian who is a Committee member; the resignation takes effect on the day the employment begins (s 18(5)-(6)). This is automatic and could be overlooked where staff move employer or are seconded. Employers and secretariats must track changes in employing parliamentarian status to avoid inadvertent continued participation by ineligible members.

6. Parliamentarian and MOPS employee terms end on the day the poll for the electorate is declared. The Rules terminate their terms when the poll at an election is declared in the electorate in which the parliamentarian or the parliamentarian by whom the MOPS employee is employed is standing for office (s 17(2)(c), s 17(3)(c)). This can end membership earlier than might be expected even if the person is later re-elected. That early termination can create unexpected vacancies shortly before or during election periods.

7. Convening cap that can limit meetings. Both the Advisory Board and the Consultative Committee include provisions restricting Chairs from convening more than four meetings in a calendar year unless exceptional circumstances apply (s 6(3), s 21(3)). Chairs must manage meeting scheduling and may need to justify exceptional circumstances if more meetings are convened. Failure to observe this could be a procedural irregularity. The instrument does not define exceptional circumstances, leaving scope for internal judgment.

8. Low quorum and potential for very small deliberative bodies. The quorum for the Advisory Board is two members (s 8). That low threshold means decisions may be taken by small groups, increasing the importance of disclosure and conflict rules. For any item where a member must leave due to conflict and the removal of that member leaves no quorum, the remaining members still constitute a quorum for that matter (s 8(2)). This exception allows business to proceed but concentrates decision-making power in remaining members.

9. Consultation before termination does not invalidate termination if omitted. While the Minister must consult the CEO before terminating an independent member and must consult the Chair before terminating parliamentarian or MOPS employee members (s 19(2)-(3)), the instrument expressly states that failure to consult does not affect the validity of a termination (s 19(4)). The gotcha is that procedural consultation obligations are not jurisdictional preconditions conferring invalidity; they are matters the Minister must satisfy but their omission will not, on the face of the Rules, render a termination void.

10. Disclosure obligations anchored to pecuniary interests. Section 16 requires disclosure of any direct or indirect pecuniary interest that conflicts or could conflict with duties. This is a narrower scope than some broader conflict frameworks that also capture non-pecuniary interests. The gotcha is that non-pecuniary conflicts may not trigger identical obligations under these Rules, and members should be cautious about interpreting the duty expansively; however, a failure to disclose a pecuniary interest without reasonable excuse can be a ground for termination (s 19(1)(c)).

11. Record keeping is essential. Minutes must be kept and disclosures and determinations recorded (ss 9, 16(4), 16(7)). Poor minute-keeping will handicap the body’s ability to justify exclusions or terminations and could raise risk in any administrative review. Secretariat procedures must ensure timely and accurate recording.

12. Representation and gender diversity are matters to be considered. The Minister must “have regard to” representational balance and gender diversity when appointing members (s 14(7)). That is a non-directive obligation but may be an evidentiary consideration if appointment decisions are challenged.

Overall, the Rules’ combination of strict eligibility criteria, automatic resignation triggers, Ministerial discretion over pay and termination and the cap on meetings produce a set of operational and legal pitfalls that should be managed by careful administrative processes, particularly around recruitment, minute‑keeping and employment-status monitoring.

Complying with the Rules requires operational processes across recruitment, appointment documentation, meeting administration, conflict management, record-keeping and liaison between the Minister’s office, the CEO, Chairs and secretariats. The following steps reflect the instrument’s specific prescriptions and recordable best practices to evidence compliance.

1. Recruitment and appointment processes for independent members (s 14(2)-(4))

• Publish an open, merit-based advertisement for independent member roles and keep records of the advertising medium, dates, applicant lists and selection criteria to demonstrate the statutory requirement that the selection process was public and merit-based.
• Pre-screen applicants to ensure they are not current/previous parliamentarians, MOPS employees or Commonwealth parliamentary workplace participants (s 14(2)(a)(i)-(iii)), or if they are, ensure the Minister records satisfaction that the statutory prerequisites are met.
• Document the Minister’s written determination and reasons that the successful candidate has skills in the enumerated fields (parliamentary workplaces; HR, WHS, industrial relations; public administration or corporate governance) (s 14(3)(b)).
• Record the Minister’s consideration of independence from parliamentarians, MOPS employees, registered political parties, the PWSS and the PWSS Advisory Board (s 14(4)).

2. Appointments for parliamentarians and MOPS employees (s 14(1), (5)-(6))

• Verify statutory disqualifications: do not appoint Ministers, the President of the Senate, the Speaker, Deputy President and Chair of Committees of the Senate, or the Deputy Speaker (s 14(5)).
• For MOPS employees, check employing parliamentarian and whether the employee is a member of an Employee Consultative Group or the Work Health and Safety Committee under the enterprise agreement, and exclude ineligible employees (s 14(6)(a)-(c)).
• Prepare written instruments of appointment specifying the period of appointment not exceeding two years (s 17(1)-(3)), with clear commencement and end dates and articulation of early termination events.

3. Terms, resignations and automatic cessation (ss 17-18)

• Ensure appointment instruments specify term lengths up to two years and list the statutory early-termination triggers.
• Maintain a live register of members’ employment status and electorate contestation to identify automatic cessation events: ceasing to be a parliamentarian, poll declaration in the relevant electorate, or ceasing to be a MOPS employee (s 17(2)-(3)).
• Implement processes to capture written resignations: independent members to the Minister, parliamentarians and MOPS employees to the Chair, with effective dates noted (s 18(1)-(4)).
• For MOPS employees, track employer changes to detect the automatic resignation event if they become employed by a parliamentarian on the Committee (s 18(5)-(6)).

4. Convening meetings and attendance rules (ss 6, 7, 8, 21)

• Set an annual meeting schedule that meets the statutory minimum: at least one meeting in each half of a calendar year for the Advisory Board and ensure the Chair convenes at least that minimum (s 6(2)(b)).
• Monitor the number of Chair‑initiated meetings; after four such meetings in a calendar year, further convocation must be justified as “exceptional circumstances” and recorded (s 6(3), s 21(3)).
• Ensure at least two members are present for quorum (s 8(1)), and have procedures to address conflicts where a member’s exclusion would remove quorum; note the Rule that remaining members still constitute a quorum for that matter (s 8(2)).

5. Disclosure and conflicts (s 16)

• Require incoming members to give written notice to the Minister of any direct or indirect pecuniary interests that conflict or could conflict with duties (s 16(1)). Maintain an interests register.
• At each meeting, include an agenda item for disclosures and ensure disclosures are recorded in the minutes (s 16(2)-(4)).
• Implement a standard operating procedure to exclude the interested member from deliberation and decision-making unless the Committee determines otherwise and make sure any determination is made without the interested member present and recorded (s 16(5)-(7)).

6. Minutes and record keeping (ss 9, 16(4), 16(7))

• Maintain comprehensive minutes for all meetings that capture attendance, disclosures, determinations, decisions and advice provided to the CEO (s 9, s 10). Ensure minutes are signed off promptly and stored in accordance with Commonwealth records rules.
• Where disclosure determinations are made, ensure they are recorded verbatim or with sufficient detail to evidence the decision-making process (s 16(7)).

7. Remuneration and allowances for independent members (s 15)

• Ensure the Minister issues a written determination on remuneration and allowances for independent members and that payroll and finance arrangements are in place to pay amounts as determined.
• Because independent members’ offices are not public offices for Remuneration Tribunal Act purposes (s 15(3)), document any benchmarking or rationale used by the Minister in determining pay to mitigate perception of arbitrariness.

8. Termination procedures (s 19)

• Before terminating an independent member, consult the CEO and record the consultation (s 19(2)). Before terminating a parliamentarian or MOPS employee member, consult the Chair and record the consultation (s 19(3)). Although failure to consult does not affect validity (s 19(4)), documenting consultation assists defensibility and transparency.
• Ensure evidence and reasons for termination on grounds such as misbehaviour, incapacity, failure to disclose or non-attendance are documented and retained.

9. Operational autonomy and procedural rules (ss 11, 21(1))

• While committees may “operate in the way they determine” (s 11, s 21(1)), ensure any internal procedures do not conflict with statutory requirements. Adopt standing orders that incorporate the statutory limits (quorum, convening caps, disclosure procedures) and circulate them to members.

10. Liaison and coordination

• Establish a protocol between the Minister’s office, the CEO, the Chairs and secretariats for appointment processes, consultation before termination, remuneration decisions and responses to CEO requests for advice requiring particular forms and manners (s 10).
• Create a compliance checklist covering eligibility, advertising records, the independence assessment, minutes, disclosures and termination processes to be used at each appointment and at periodic compliance reviews.

11. FOI, privacy and records access

• Because minutes and disclosures are recorded, ensure compliance with applicable FOI and privacy obligations in storing and handling records. Advice given to the CEO in the “form and manner required by the CEO” (s 10) should be prepared with those downstream disclosure risks in mind.

By adopting these practical measures, administrative actors can translate the instrument’s prescriptions into defensible processes that demonstrate statutory compliance and reduce risk of adverse administrative or legal outcomes.
