PARKS AND RESERVES (FRAMEWORK FOR THE FUTURE) REGULATIONS 2005

This instrument defines a small set of recurring legal concepts and allocates decision-making and transactional authority between a Park Land Trust and a Land Council. The principal concepts and their legal content are:

• Park Land Trust membership (regulation 4). A Trust must have a Chairperson and at least three other members (reg 4(1)). Members must be appointed in writing by the Land Council for the Trust and must come from the traditional Aboriginal owners of the Trust’s park freehold land (reg 4(2)). Members hold office for five years and are eligible for reappointment (reg 4(3)). A Trust’s capacity to exercise powers is preserved despite vacancies (reg 4(4)).

• Land Council (defined in regulation 3). For a Park Land Trust, the "Land Council" is the Land Council for the part of the Territory where the Trust’s park freehold land is located (reg 3). That Land Council appoints members and gives written directions in relation to land dealings (reg 4(2); reg 7(2)).

• Park freehold land (regulation 3). The term is defined as "the park freehold land over which the Trust holds, or is established to hold, park freehold title" (reg 3). That defined parcel is the subject of the Trust’s restricted dealing powers (reg 7).

• Common seal use (regulation 5). The common seal may only be affixed to a document with written authority of at least three of the Trust’s members (reg 5). This operates as an internal control on formal acts requiring the seal.

• Money-handling restriction (regulation 6). The Trust is expressly not empowered to accept, nor to give a valid discharge for, moneys due and owing to the Trust (reg 6(1)). Those moneys may instead be paid to the Land Council for the Trust (reg 6(2)).

• Land dealing limits and Land Council direction (regulation 7). The Trust may not deal with or dispose of, or agree to deal with or dispose of, an estate or interest in the whole or any part of the Trust’s park freehold land, except as allowed in regulation 7 (reg 7(1)). The Trust may grant, transfer or surrender an estate or interest only at the written direction of the Land Council (reg 7(2)-(3)). Before the Land Council issues such a direction, it must be satisfied that specified procedural and substantive preconditions have been met: traditional owners understand and as a group consent; any Aboriginal community that may be affected has had a consultation opportunity; and, where a grant is proposed, the terms and conditions are reasonable (reg 7(4)(a)-(c)). Failure by the Land Council to comply with those preconditions does not by itself invalidate the direction unless the direction was procured by fraud (reg 7(5)). If invalidated because of fraud, the rights of a person who accepted the grant for value and without notice of the fraud are preserved (reg 7(6)).

• Fraud and protection of bona fide purchasers (regulation 7(5)-(6)). The Regulations adopt the protective rule that invalidation for failure to follow the preconditions requires fraud, and where invalidation occurs for fraud the rights of subsequent bona fide purchasers for value without notice are unaffected (reg 7(6)).

These concepts allocate control: appointment and confirmation of membership and the corollary internal authorisations (seal) are Land Council actions (reg 4; reg 5); receipt of money is diverted from Trust to Land Council (reg 6); and lawful land dealing requires written direction from the Land Council and compliance with the preconditions (reg 7). The text does not define "reasonable" terms in reg 7(4)(c), nor does it set out procedural detail beyond the satisfaction thresholds in reg 7(4). Where a requirement sits with the Land Council, the Regulations make the Land Council the primary decision-maker for those items listed.

The Regulations explicitly affect the following actors by name or operation:

• Park Land Trusts. The instrument prescribes the internal membership structure (regulation 4), the seal-use mechanism (regulation 5), limitations on receipt of money (regulation 6), and limits on land dealing subject to Land Council directions (regulation 7). In short, Park Land Trusts are the organisational subject of the Regulations.

• Land Councils. Defined for a Park Land Trust as the Land Council for the part of the Territory in which the Trust’s park freehold land is located (regulation 3), Land Councils appoint Trust members in writing (regulation 4(2)), may receive moneys otherwise payable to the Trust (regulation 6(2)), and have the authority to give written directions that authorise the Trust to grant, transfer or surrender estates or interests in park freehold land (regulation 7(2)-(3)). The Land Council also bears the decision burden: it must be satisfied of the preconditions before giving direction (regulation 7(4)(a)-(c)).

• Traditional Aboriginal owners of the Trust’s park freehold land. The Regulations require that Trust members be selected from the traditional Aboriginal owners (regulation 4(2)). For land dealings, the Land Council must be satisfied that the traditional owners (if any) understand and, as a group, consent to the proposed grant, transfer or surrender (regulation 7(4)(a)).

• Aboriginal communities that may be affected by a proposed grant, transfer or surrender. Before the Land Council gives direction for a land dealing, it must be satisfied that any Aboriginal community that may be affected has been consulted and had an adequate opportunity to express its view to the Land Council (regulation 7(4)(b)).

• Persons who would receive grants, transfers or surrenders of estates or interests in park freehold land. Those persons are the intended recipients of the Trust’s exercises of power, but such exercises can occur only at the Land Council’s written direction (regulation 7(2)-(3)). The Regulations also protect persons who accept grants for value and without notice from the effects of an invalidation grounded in the Land Council’s failure to meet preconditions where fraud was involved (regulation 7(6)).

• Chairperson and members of a Park Land Trust. The Regulations outline appointment (written appointment by Land Council; reg 4(2)), tenure (5 years; reg 4(3)), eligibility for reappointment (reg 4(3)), and the minimum numbers required to authorise the common seal (regulation 5).

• Parties paying moneys due and owing to a Trust. Regulation 6(1) restricts the Trust’s authority to accept or give a valid discharge for moneys due and owing to the Trust. Regulation 6(2) directs that such moneys may be paid to the Land Council for the Trust.

Entities not named in the Regulations (for example, Territory agencies beyond the Land Council, private companies, or non-Aboriginal community groups) are affected only to the extent they interact in practice with the parties listed above. The Regulations do not create obligations for third parties generally, other than the payment route for moneys (regulation 6(2)) and the protection for bona fide third-party recipients in regulation 7(6). The Territorial commencement linkage is procedural: the Regulations commence upon the commencement of s 5 of the Territory Parks and Wildlife Conservation Amendment Act 2005 (regulation 2; endnotes).

The Regulations allocate specific duties and rights between the Trust and the Land Council and set internal controls for the Trust. Below are the key duties and rights, cited to the specific provisions.

Membership duties and rights (regulation 4)

• Duty: the Land Council must appoint members of the Park Land Trust in writing and must select members from the traditional Aboriginal owners of the Trust’s park freehold land (reg 4(2)). The appointment duty sits with the Land Council; the Trust does not self-appoint.
• Right: appointed members hold office for five years and are eligible for re-appointment (reg 4(3)). This grants continuity and a recognisable tenure right to members.
• Operational effect: vacancies do not affect the Trust’s capacity to exercise a power or perform a function (reg 4(4)). That is, the Trust’s legal capacity to act continues despite vacancies.

Common seal control (regulation 5)

• Duty: the Trust must not affix the common seal to documents unless there is written authority from at least three of its members (reg 5). This is an internal control requirement and limits unilateral sealing of documents.

Money-handling obligations (regulation 6)

• Duty: a Park Land Trust is not empowered to accept, or to give a valid discharge for, moneys due and owing to the Trust (reg 6(1)). Practically, this is a restriction on the Trust’s transactional capacity with respect to money.
• Right/direction: those moneys may be paid to the Land Council for the Trust (reg 6(2)). The Land Council is therefore the legally permissible recipient of funds otherwise owing to the Trust.

Land-dealing constraints and Land Council duties (regulation 7)

• Prohibition: the Trust cannot deal with or dispose of, or agree to deal with or dispose of, an estate or interest in the whole or any part of the Trust’s park freehold land except as provided in regulation 7 (reg 7(1)). This creates a prescriptive limitation on the Trust.
• Duty on the Land Council: the Trust may grant, transfer or surrender an estate or interest only at the Land Council’s written direction (reg 7(2)). If a written direction is given, the Trust must grant, transfer or surrender in accordance with the direction (reg 7(3)). The Land Council therefore has a decisive authorising role; the Trust has a ministerial duty to implement.
• Precondition duties for the Land Council: before giving such a direction the Land Council must be satisfied that: (a) the traditional Aboriginal owners understand and, as a group, consent (reg 7(4)(a)), (b) any Aboriginal community that may be affected has been consulted and had an adequate opportunity to express its view (reg 7(4)(b)), and (c) where a grant is proposed, the terms and conditions are reasonable (reg 7(4)(c)). These are fact-based satisfactions that the Land Council must record and consider.
• Invalidity and fraud: if the Land Council fails to comply with the preconditions, that failure does not invalidate the grant, transfer or surrender unless the direction was procured by fraud (reg 7(5)). Where invalidation occurs because of fraud, the invalidity does not affect the rights of a person who has, for value and without notice of the fraud, accepted the grant, transfer or surrender, or been granted an interest dependent on that estate or interest (reg 7(6)).

Rights of third parties and certainty (regulation 7(6))

• Right: persons who accept a grant for value and without notice are protected even where the Land Council’s direction is later invalidated due to fraud (reg 7(6)). This is the classic protection for bona fide purchasers for value without notice expressed in the Regulations.

Commencement and citation rights (regulations 1-2)

• Citation: the Regulations may be cited as the Parks and Reserves (Framework for the Future) Regulations 2005 (reg 1).
• Operational commencement: the Regulations come into operation on commencement of s 5 of the Territory Parks and Wildlife Conservation Amendment Act 2005 (reg 2). This fixes the operative date relative to the Amendment Act.

These duties and rights distribute operational control: the Land Council holds appointment, receipt-of-money and land-dealing authorising powers; the Trust has a duty to act only within those authorisations and has internal obligations such as the three-member written authority for the common seal. The Regulations limit the Trust’s independent financial and alienation capacities and place procedural safeguards on disposals of park freehold land.

The Regulations themselves do not create express criminal penalties, administrative fines or a named enforcement mechanism within their text. Instead the instrument provides legal effect through limits on capacity, invalidity rules and third-party protections:

• Limit on capacity as enforcement mechanism. The text denies the Trust power to accept or give a valid discharge for moneys due and owing to the Trust (regulation 6(1)). This is a legal incapacity rather than an expressed penalty; actions taken contrary to that provision would have no valid effect to the extent the Trust lacks power to accept or discharge money. The instrument does not state an explicit sanction such as a fine or prosecution for contravening that rule.

• Invalidity for non-compliance, conditioned on fraud (regulation 7(5)). The primary remedial mechanism for failure by the Land Council to comply with the preconditions in regulation 7(4) is that the failure does not, by itself, invalidate the grant, transfer or surrender unless the direction was procured by fraud (regulation 7(5)). That is, invalidation is possible only where fraud procured the direction. The Regulations therefore set a high threshold for invalidation tied to fraud.

• Protection of bona fide third parties (regulation 7(6)). Where invalidation occurs because of fraud, the rights of a person who has, for value and without notice of the fraud, accepted the grant, transfer or surrender or been granted an interest dependent on that estate remain unaffected (regulation 7(6)). This assigns priority to bona fide recipients and reduces enforcement exposure for third-party recipients who met the test of value and lack of notice.

• No express administrative or criminal enforcement provisions. The Regulations do not provide for inspection, audit powers, administrative sanctions, criminal offences, or civil remedies such as damages for breach of the Regulations. They operate by allocating capacity and setting conditions for validity. Any enforcement action beyond invalidation would need to rely on other statutory schemes or common law remedies, none of which are referenced in the text of the Regulations.

• Procedural accountability sits with the Land Council. The preconditions for direction (regulation 7(4)(a)-(c)) impose satisfaction duties on the Land Council. The instrument does not prescribe how the Land Council must record or prove that it was so satisfied, nor does it make explicit the evidentiary standard; enforcement or contesting of that satisfaction would therefore turn on external legal processes and standards, not on statutory penalty provisions within these Regulations.

In summary, enforcement within the text is implemented by making certain acts of the Trust ineffective unless the Land Council has supplied the required written direction and satisfied the listed preconditions. The only explicit invalidation mechanism is conditioned on fraud (regulation 7(5)-(6)). The Regulations do not create express penal sanctions or administrative enforcement procedures within the subordinate instrument itself.

The Regulations are subordinate to and operate within the scope of the Parks and Reserves (Framework for the Future) Act 2003, under which they are made (opening lines of the instrument). The Regulations also expressly tie their commencement to another statute, the Territory Parks and Wildlife Conservation Amendment Act 2005; regulation 2 provides that the Regulations "come into operation on the commencement of section 5 of the Territory Parks and Wildlife Conservation Amendment Act 2005." The endnotes record notification and commencement dates (Notified 30 March 2005; Commenced 31 May 2005) and indicate that general formal amendments were made by the Interpretation Legislation Amendment Act 2018 to regulation 1 (endnote 3).

Within the instrument itself, interaction occurs by allocation of functions and capacities to the Land Council and to the Park Land Trust. The Regulations do not specify or displace other statutory regimes governing property transfer, stamp duties, land title registration, fiduciary duties, or financial management obligations that may apply under other Territory laws. However, several points of likely intersection follow directly from the text and should be noted for practitioners because they create operational touchpoints with other legal regimes:

• Property transfer and title registration. Regulation 7 governs grants, transfers and surrenders of estates or interests in park freehold land and places preconditions for Land Council direction. Actual transfer of title and registration will be governed by the Territory’s land titling and registration law in force for that land. The Regulations do not substitute for any formalities required by title registration statutes; they only authorise the Trust to act (at the Land Council’s direction) to effect grants, transfers or surrenders in accordance with those laws.

• Financial administration and trust accounting. Regulation 6 directs that moneys due and owing to the Trust may be paid to the Land Council. That routing will interact with the Land Council’s statutory financial management obligations and with any obligations on payers under other applicable finance law, but those laws are not referenced in the instrument. Practitioners should treat regulation 6 as creating a statutory direction about lawful recipients of money from dealings involving the Trust.

• Native title and Aboriginal law considerations. The Regulations require that members be chosen from the traditional Aboriginal owners of the Trust’s park freehold land (regulation 4(2)) and require consent of traditional Aboriginal owners and consultation with affected Aboriginal communities before land dealings (regulation 7(4)(a)-(b)). How those statutory satisfactions interface with native title procedures, consent mechanisms under native title or other Aboriginal land regimes will depend on the content of those other statutes and on factual contexts; the Regulations themselves do not define "traditional Aboriginal owners" beyond the appointment requirement.

• Fraud and equity. Regulation 7(5)-(6) provides that invalidation for failure to satisfy the preconditions is conditional on fraud and preserves the rights of bona fide purchasers for value without notice. Those rules will interact with equitable doctrines regarding notice, estoppel and title, but equitable doctrines are not modified by the Regulations save to the extent these provisions affect the remedies available in a dispute.

• Administrative law review. The Regulations place decision-making duties on Land Councils (for example, satisfaction that owners understand and consent). Those satisfactions are administrative acts and could in principle be subject to judicial review under administrative law principles applicable in the Territory; the Regulations do not themselves create or oust judicial review, and they do not prescribe review procedures.

The Regulations are narrowly focused and therefore leave much interaction with other laws to the usual overlap of property, administrative, financial and Aboriginal land law. The only explicit cross-reference in the text is the commencement link to the Territory Parks and Wildlife Conservation Amendment Act 2005, and the endnotes’ record of notification and subsequent formal amendment activity. Practitioners must therefore read these Regulations alongside the primary Act and any Territory statutes governing land registration, finance and Aboriginal land.

The Regulations as provided include an endnotes section that documents the instrument’s initial subordinate legislation number, notification and commencement details, and a record of a later formal amendment. The factual history in the text is:

• Original instrument: Parks and Reserves (Framework for the Future) Regulations (SL No. 8, 2005). The Regulations were notified on 30 March 2005 and commenced on 31 May 2005 (endnote 2). Regulation 2 ties commencement to the commencement of section 5 of the Territory Parks and Wildlife Conservation Amendment Act 2005.

• Subsequent formal amendments: the endnotes record that general amendments of a formal nature (not itemised in the provided table of amendments) were made by the Interpretation Legislation Amendment Act 2018 (Act No. 22, 2018) to regulation 1 (endnote 3). The endnote describes those as formal amendments; the text of regulation 1 in the reprint reflects those formal amendments.

No other amendments, schedules of substantive change, or later reprints are recorded in the provided text. The Regulations do not include an express sunset, expiry clause or staged amendment schedule within the instrument. The short statutory text and the endnotes’ references to formal amendment activity should lead practitioners to confirm currentness against the Territory’s legislative reprint or electronic legislation database because the instrument’s endnotes indicate that formal amendments have been applied after initial gazettal.

For practitioners preparing compliance or historical tracking, the endnotes give the substantive milestone dates required to establish when the Regulations became operative (commencement 31 May 2005) and note that formal drafting changes were effected in 2018. The Regulations as reproduced here are the text "as in force at 31 May 2005" with endnotes stating the amendments; checking the Territory’s authorised reprint will establish whether any further substantive amendments have been made since that date.

The Regulations do not include any cases, judicial interpretations or litigation references in the instrument. The provided text names no judicial decisions and the endnotes do not list litigation. Therefore, within the source material supplied, there is no recorded litigation history arising from these specific Regulations.

What the text does supply that could give rise to future disputes is set out in its provisions:

• Land Council satisfaction duties under regulation 7(4). Disputes could arise over whether the Land Council was in fact "satisfied" that traditional owners understood and consented, and whether consultation with affected Aboriginal communities was adequate. The Regulations do not specify procedural steps to demonstrate satisfaction, which could lead to factual disputes and possible legal challenges about whether the Land Council complied with regulation 7(4). The instrument limits invalidation to cases of fraud (reg 7(5)), meaning challenges that seek to set aside a direction on non-fraud grounds would face that statutory threshold.

• Fraud and invalidation (regulation 7(5)-(6)). The Regulations make invalidity conditional on fraud. Litigation could therefore focus on whether fraud procured the Land Council’s direction in order to obtain invalidity. Conversely, the protection for persons who took for value and without notice (reg 7(6)) would be an important defence in claims to set aside titles or interests granted under a direction later challenged.

• Money-handling (regulation 6). If a Trust were to accept moneys despite regulation 6(1), questions could arise about the validity of receipts and the correct recipient of funds. Because the instrument declares the Trust is not empowered to accept or give a valid discharge, disputes could arise about the legal effect of any such receipt by the Trust and about obligations of payers.

• Internal governance and seal use (regulation 5). Disagreements within a Trust or between members and third parties could revolve around whether a sealing act had the written authority of at least three members. The Regulation’s requirement is clear; litigation would centre on proof and consequences of non-compliance.

Although the instrument furnishes several factual nodes that could generate litigation, no judicial decisions are cited in the Regulations. Practitioners should search the Territory’s court databases for cases that apply regulation 7’s fraud and bona fide purchaser protections or that interpret the Land Council’s satisfaction duties, because any such adjudications would exist outside the text supplied and are not recorded here.

The Regulations are compact but contain several features that can produce practical pitfalls if not observed. The following are concrete operational "gotchas" grounded in the text, with citation to the relevant regulations.

1. Trust cannot accept money or give valid discharge (regulation 6(1)). This is a structural limitation. If a payer pays money to a Trust or takes a receipt from a Trust, that payment or receipt may lack legal effect under the Regulations. The Regulations permit those moneys to be paid to the Land Council (regulation 6(2)). Practically, practitioners and third-party payers must not assume that a payment to a Trust will discharge their obligation. Documentation should direct payments to the Land Council for the Trust.

2. Land Council control over land dealings (regulation 7(1)-(3)). A Trust’s apparent authority to grant, transfer or surrender an estate or interest is subordinate to a written direction from the Land Council. A third party dealing only with the Trust must check for a written direction from the Land Council before relying on the Trust’s apparent capacity to transfer land. The Trust's requirement to act only in accordance with the written direction is mandatory (regulation 7(3)).

3. High threshold for invalidation of a direction (regulation 7(5)). The Regulations state that a Land Council’s failure to comply with the preconditions in regulation 7(4) does not invalidate a grant, transfer or surrender unless the direction was procured by fraud. Practitioners should note that mere procedural failure by the Land Council will not automatically void a transaction; the fraud threshold is deliberate and significant.

4. Protection of bona fide purchasers (regulation 7(6)). Where invalidation is achieved because of fraud, the rights of persons who accepted the grant for value and without notice are preserved. This protects purchasers who are unaware of underlying irregularities. It also means that potential claimants who seek to challenge a grant must consider the purchaser’s status and whether the purchaser had notice.

5. Members must be traditional Aboriginal owners and appointed in writing (regulation 4(2)). A Trust’s membership must be drawn from the traditional Aboriginal owners of the Trust’s park freehold land and be appointed in writing by the Land Council. Where membership is not properly constituted, there are potential governance and validity consequences for Trust acts, but the Regulations also provide that vacancies do not impair the Trust’s ability to exercise powers (regulation 4(4)).

6. Common seal requires written authority of at least three members (regulation 5). The minimum membership is a Chairperson and at least three other members (regulation 4(1)), which means the authorising number for the common seal is a majority of the minimum membership, but if memberships vary this can create confusion. For example, a Trust with only the minimum number of members must obtain written authority from three members to affix the seal; if vacancies reduce the number of active members the written-authority requirement may be difficult to meet, although regulation 4(4) preserves the Trust’s capacity despite vacancies.

7. Undefined standards (regulation 7(4)(c)). The Land Council must be satisfied that "the terms and conditions on which the grant is to be made are reasonable" when a grant is proposed. The Regulations do not define "reasonable" or set an objective test or procedural steps to determine reasonableness; that leaves scope for factual dispute and administrative discretion.

8. Recording and proof of satisfaction (regulation 7(4)). The Regulations require the Land Council to be satisfied of certain matters before giving a direction, but do not prescribe how the Land Council must record or demonstrate that satisfaction. In a transaction, parties should secure documented evidence that the Land Council made the requisite satisfaction and provided a written direction to avoid post-transaction disputes.

9. Commencement linkage (regulation 2). The Regulations only commence on the commencement of s 5 of the Territory Parks and Wildlife Conservation Amendment Act 2005. Failure to check commencement timing could lead to reliance on the Regulations before they are operative. The endnotes confirm the operative commencement date in 2005.

10. Narrow enforcement mechanisms. The Regulations do not create express penalties or administrative sanction mechanisms. Where there is non-compliance, remedies will depend on available common law, other statutes, or equitable relief; parties cannot rely on an express regulatory penalty provision in these Regulations.

These "gotchas" point to practical steps required of practitioners and parties dealing with Park Land Trusts: verify written Land Council directions, route payments to the Land Council rather than the Trust, secure evidence of consent and consultation, obtain documentary proof of the Land Council’s satisfaction, and confirm that seal authority is properly recorded.

This section sets out concrete, source-grounded steps that Park Land Trusts, Land Councils, traditional owners and third parties should take to comply with the Regulations. Each step ties back to the relevant regulation.

1. Membership appointments and records (regulation 4(1)-(3))

• Ensure the Trust has at least a Chairperson and three other members. The minimum membership is four persons in total (regulation 4(1)).
• Require written appointments: the Land Council must appoint members in writing and must select them from the traditional Aboriginal owners of the Trust’s park freehold land (regulation 4(2)). Keep executed appointment instruments on file.
• Record tenure: maintain records showing each member’s commencement and expiry dates to reflect the five-year term and eligibility for reappointment (regulation 4(3)).
• Note vacancies: although vacancies do not affect the Trust’s power to act (regulation 4(4)), keep an accurate membership list to show meeting quorums and authority for seal use.

2. Common seal authorisation (regulation 5)

• Implement a written-authority protocol requiring at least three members to sign written authorisations before the common seal is affixed to any document (regulation 5). Maintain a counterfoil or seal register recording the authorising members’ signatures, the date, the document’s nature, and the Land Council direction if relevant.
• Train officers and contractors that the common seal cannot be used without the three-member written authority. Where third parties require a sealed document, provide a copy of the written authorisation.

3. Money-handling and payee directions (regulation 6)

• Do not accept payments to the Trust, and do not issue receipts purporting to discharge obligations on behalf of the Trust. The Trust is not empowered to accept or to give a valid discharge for moneys due and owing to the Trust (regulation 6(1)).
• Direct all payers to make payments to the Land Council for the Trust. Use standardised remittance advice and bank account details under the Land Council’s control to ensure correct routing (regulation 6(2)).
• Maintain written confirmation from the Land Council that funds paid to it are held or applied for the Trust’s purposes in accordance with applicable law and any contractual obligations.

4. Land dealing authorisation and documentation (regulation 7)

• Before any grant, transfer or surrender of an estate or interest in park freehold land, obtain a written direction from the Land Council authorising the Trust to act. The Trust should not purport to grant, transfer or surrender without that written direction (regulation 7(2)-(3)).
• Require the Land Council to provide a written statement that it is satisfied of the preconditions in regulation 7(4): (a) that traditional owners understand and as a group consent, (b) that any affected Aboriginal community has been consulted and had an adequate opportunity to express its view, and (c) that where a grant is proposed the terms are reasonable. Attach that statement to the Land Council’s written direction.
• Document the consultation processes. For the Land Council to be able to establish that it was satisfied, keep records of meetings, notices, consultations, minutes, correspondence, and evidence of consent from traditional owners.
• Define "reasonable" in practice. While the Regulations leave "reasonable" undefined, the Land Council should set and document objective criteria it applies to test reasonableness (for example, market comparators, valuation advice, or reasoned internal criteria) so that decisions can be evidenced.
• Record chain-of-title steps. Ensure any grant, transfer or surrender is executed in accordance with Territory property law formalities and registered where required. Retain the Land Council’s written direction as part of the title documentation.

5. Fraud risk mitigation (regulation 7(5)-(6))

• For Land Councils: maintain transparent procedures, written records and documented decision-making to reduce the risk that directions could be characterised as procured by fraud. Clear internal controls reduce fraud risk and make a subsequent challenge more difficult.
• For purchasers and transferees: perform due diligence to establish whether a Land Council direction exists and to check the Trust’s capacity to transfer the interest. In addition to title searches and registration checks, seek the Land Council’s written direction and documentary evidence of consultation and consent.
• For Trusts: do not implement a direction that lacks documentary proof of the Land Council’s satisfaction with the preconditions. If in doubt, require the Land Council to confirm in writing the satisfaction reasons.

6. Internal governance and procedures

• Draft standard operating procedures that incorporate the Regulations’ requirements: written appointment and tenure records for members, a seal register, a payment remittance procedure directing payers to the Land Council, and a land-dealing checklist that requires a Land Council written direction and supporting documentation before any instrument is executed.
• Train Trust officers and members about the limits in regulation 6 and regulation 7: who may accept payments, how to authorise the common seal, and when the Trust may act in land matters.

7. Interaction with external legal formalities

• Coordinate with solicitors and conveyancers early. Because the Regulations do not substitute for any statutory requirements on registration or transfer, ensure that conveyancing steps comply with the Territory’s property law formalities as well as the internal requirements of the Regulations.
• Consider obtaining legal advice on whether a proposed transaction requires additional approvals under the primary Act or other Territory statutes, and ensure documentation demonstrates compliance with all applicable regimes.

8. Record retention and evidentiary practice

• Retain all written directions from the Land Council and all documents evidencing the Land Council’s satisfaction with the preconditions. Maintain minutes and notices evidencing consultations with affected Aboriginal communities and evidence of consent from traditional owners.
• Keep copies of all payment instructions, remittance advices and receipts showing money was paid to the Land Council rather than to the Trust (regulation 6(2)).

Following these steps will align the Trust’s procedures with the Regulations’ textual requirements. Because the Regulations allocates key authority to the Land Council and places evidentiary burdens on the Land Council in relation to consultation and consent, robust documentation is the most reliable compliance measure.
