Papua New Guinea (Transfer of Banking Business) Act 1973

The Act builds on a small set of legal concepts and operates largely by statutory substitution and evidentiary facilitation. The core concepts are:

• Papua New Guinea assets and liabilities. For each transferring bank the Act defines “Papua New Guinea assets and liabilities” as those assets and liabilities subsisting immediately before the relevant commencing date and “relating to the business … carried on immediately before that date” by the bank at its Port Moresby branch (Reserve Bank: section 5; Commonwealth Banks: section 10). This restricts the transfer to branch business actively conducted in PNG up to the commencing date; post-commencement activities are outside the transfers.
• Commencing date. The transfers occur automatically on a specific legal trigger: the date on which the relevant Australian banking statutes cease to extend to Papua New Guinea (Reserve Bank: section 5; Commonwealth Banks: section 10). The Act therefore ties effect to changes in the legislative coverage of the Reserve Bank Act 1959-1973 and the Commonwealth Banks Act 1959-1973.
• Transfer by force of statute. Sections 6(1) and 11(1) operate “by force of this section,” making the transfer automatic and not dependent on the parties’ consent, assignment formalities or novation. That is a legal succession mechanism that moves property and obligations without individual transactional steps.
• Instruments and contractual continuity. Sections 8 and 13 preserve the continuing full force of instruments that satisfy the definition in each Part, but read references to the transferring bank as references to the transferee bank for acts, transactions or matters occurring on or after the commencing date. The Act thus avoids re-execution or novation of every instrument, instead applying a statutory redirection of references.
• Bills of exchange treatment. Sections 7 and 12 provide that payments by the transferee bank on bills of exchange drawn on, or payable at, the transferring bank have the same legal effect as if the bill had been drawn on, or made payable at, the transferee bank. This aligns negotiable instrument treatment with the statutory succession of banking business.
• Certificates and evidentiary regime. Sections 9 and 14 permit an authorised officer (definitions differ by Part) to certify assets, liabilities and instruments. Those certificates are “prima facie evidence” in all courts of the matters stated (ss 9, 14), and section 16 requires judicial notice of the signature and of the fact that the signer is or was an authorised officer. The Act therefore shifts evidential burdens and simplifies proof of transfers in judicial and transactional contexts.
• Settlement mechanism for imbalances. Where the aggregate assets transferred differ from the aggregate liabilities transferred, sections 6(2) and 11(2) prescribe settlement of the difference “between the Reserve Bank and the Bank of Papua New Guinea” or “between that Bank and the Papua New Guinea commercial bank” respectively, on terms agreed between the Australian Treasurer and the appropriate PNG Minister. The mechanism is political/ministerial in form, but expressed as authorising or obliging a settlement between the relevant banking institutions.
• Tax exemption for certified documents. Section 15 exempts from stamp duty or other tax under an Australian law or a State/Territory law (other than PNG) any instrument or document that an authorised officer certifies was made, executed or given because of, or for a purpose connected with, the operation of this Act.

Secondary concepts include the Governor-General’s regulation-making power (section 17) and the Act’s geographic/temporal application limit: it “extends to Papua New Guinea until the date on which it becomes an independent sovereign state” (section 4).

These concepts together create a package that effects wholesale legal succession of bank branch assets, liabilities and contractual relationships by statute, removes certain Australian taxation frictions for certified transfer documentation, and creates a minister-supervised settlement process for net imbalances.

The Act changes legal relationships and incentives for a small set of defined actors. The text identifies the following classes of affected parties and decision-makers:

• Reserve Bank of Australia. Part II transfers the Reserve Bank’s Papua New Guinea assets and liabilities to the Bank of Papua New Guinea on the commencing date (section 6(1)). The Reserve Bank is therefore the transferor of assets and obligations in relation to its Port Moresby branch business carried on immediately before the commencing date (see section 5, definition of “Papua New Guinea assets and liabilities”).
• Bank of Papua New Guinea. The Bank of Papua New Guinea is the transferee for the Reserve Bank’s PNG branch business (section 6(1)). It receives assets and becomes liable for liabilities that were previously the Reserve Bank’s in PNG.
• Commonwealth Trading Bank and Commonwealth Savings Bank. Part III provides for the transfer of the Papua New Guinea assets and liabilities of each Commonwealth Bank (subject to excluded business) to “the Papua New Guinea commercial bank” (section 11(1)). Each Commonwealth Bank is therefore a transferor in relation to its PNG branch business carried on immediately before the relevant commencing date (section 10, definitions).
• Papua New Guinea commercial bank. The transferee of the Commonwealth Banks’ PNG branch business is the prescribed Papua New Guinea commercial bank (section 11(1)). The Act refers to that entity as “such bank as is prescribed” (see the earlier definitions of “Papua New Guinea commercial bank” in Part I), implying an identification by regulation or other prescribed instrument.
• Customers and counterparties of the transferring banks. Depositors, creditors, borrowers, holders of negotiable instruments and counterparties to contracts with the Port Moresby branches in relation to business carried on immediately before the commencing date will find their rights and obligations redirected to the transferee bank by operation of sections 8 and 13 and the transfer provisions (sections 6 and 11). The Act preserves instruments but reads references to the transferring bank as references to the transferee for post‑commencing-date operations.
• Australian Treasurer and appropriate Minister of the House of Assembly for Papua New Guinea. Sections 6(2) and 11(2) require the terms on which any difference between transferred assets and liabilities is settled to be “agreed between the Treasurer and the appropriate Minister of the House of Assembly for Papua New Guinea.” The ministers therefore decide the settlement terms that may lead to transfers of funds or other terms between institutions.
• Authorized officers. Sections 5, 9, 10 and 14 define and empower “authorized officers” who can certify matters under the Act. Part II authorises the Governor or Deputy Governor of the Reserve Bank or Bank of Papua New Guinea, or an officer of those services (section 5 definition). Part III’s definition of “authorized officer” includes a “prescribed officer of the Papua New Guinea commercial bank” (section 10 definition). Those authorised persons can certify assets, liabilities and instruments and thereby trigger the evidentiary protections in sections 9, 14 and 16.
• Courts and registries. Section 9 and section 14 make certificates prima facie evidence “in all courts and for all purposes” and section 16 requires judicial notice of the signature and status of authorised officers. Courts therefore are directed to treat such certificates as presumptive proof.
• Australian States, Territories and other taxing authorities. Section 15 exempts certified instruments/documents from stamp duty or other tax under laws of Australia or of a State or Territory other than Papua New Guinea. Tax authorities in Australia and the States/Territories will be affected because they are barred, by this Act, from applying certain taxes to certified documents arising from this transfer.

Notably, the Act limits the scope of transferred business in two ways that affect parties: (1) instruments must be subsisting immediately before the commencing date and relate to business carried on immediately before that date (see sections 5 and 10 definitions of “instrument to which this Part applies” and “Papua New Guinea assets and liabilities”); and (2) the Trading Bank may have “excluded business” at a Port Moresby branch designated by the Treasurer, which is not transferred (section 10 definition of “excluded business”). Those limitations mean some contracts, customers or obligations may remain with the transferring bank rather than moving to the PNG transferee.

Finally, the Act’s extrinsic claim that it transfers “certain Business” (Part III heading) signals an intended effect on cross‑jurisdictional bank operations between Australia and Papua New Guinea up to PNG independence, but the textual mechanics identify the concrete list of affected entities and actors described above.

The Act does not impose ongoing operational duties in the manner of banking regulation; rather it prescribes immediate legal effects and procedural rights that create duties and rights for particular actors at and after the commencing date. Key duties and rights emerging from the text are:

• Automatic succession duty on transferee banks. By operation of section 6(1) and section 11(1), the transferee banks (Bank of Papua New Guinea for the Reserve Bank; Papua New Guinea commercial bank for each Commonwealth Bank) acquire assets and become liable for liabilities relating to the PNG branch business. This creates a de facto duty on the transferee banks to assume obligations that existed immediately before the commencing date, including paying depositor claims and satisfying creditor claims that fall within the transferred assets and liabilities (see sections 6(1) and 11(1)).
• Right to preserve instruments and contractual continuity. Sections 8 and 13 give instruments that fall within the Part definitions continued validity, but provide that for acts or transactions on or after the commencing date, references to the transferring bank are to be read as references to the transferee bank. This grants counterparties the right to rely on their existing instruments without renegotiation, but imposes on transferee banks the obligation to perform under those instruments where obligations fall on the transferee after the commencing date.
• Authority to certify and prima facie evidentiary consequence. Sections 9 and 14 empower authorised officers to issue written certificates identifying assets, liabilities and instruments as falling within the statutory definitions. Such certificates are “prima facie evidence” in all courts and for all purposes of the matters stated, giving those certificates cogent legal effect and creating a procedural duty on parties to treat certified facts as presumptively true unless and until rebutted (see sections 9 and 14). Section 16 goes further by requiring judicial notice of the signature and of the fact the signer is or was an authorised officer, thereby simplifying evidentiary proofs in legal processes.
• Bill-of-exchange legal effect. Sections 7 and 12 provide that payment by the transferee bank of a bill drawn on, or payable at, the transferring bank shall have, by force of the section, the same effect as if the bill were drawn on, or payable at, the transferee bank. This creates a legal right for holders of bills to have payments treated as if the instrument had been drawn on the transferee bank, and a corresponding duty on the transferee bank to treat such payments accordingly.
• Settlement duty where asset-liability imbalance exists. Sections 6(2) and 11(2) create a duty to settle any difference between total assets transferred and total liabilities transferred. The duty is placed on the transferring bank and the transferee bank to settle the difference “on such terms and conditions as are agreed between the Treasurer and the appropriate Minister of the House of Assembly for Papua New Guinea.” That framework creates three layers of obligation: (a) an obligation to reach a settlement if a difference exists; (b) a duty on ministers to agree terms in order to authorise settlement terms; and (c) a contractual/financial duty between banks to implement the agreed settlement terms.
• Tax exemption right for certified documents. Section 15 gives an express right to an exemption from stamp duty or other tax under Australian or State/Territory law (other than PNG) for any instrument or document that an authorised officer certifies as made or executed by reason of, or for a purpose connected with, the operation of the Act. The right reduces the tax burden on transfer documents created under the Act.
• Right of ministerial direction in settlement terms. While the Act does not specify the content of settlement terms, it gives the Treasurer and the appropriate PNG Minister the right and duty to agree those terms. That political executive role is central to quantifying and effecting any cross‑border financial adjustments arising from the transfers (sections 6(2) and 11(2)).
• Regulatory power for the Governor-General. Section 17 empowers the Governor‑General to make regulations “prescribing all matters which by this Act are required or permitted to be prescribed.” That creates a delegated power to the executive to set rules necessary to implement the Act, a right to fill gaps, and a duty on the Governor‑General to ensure regulations are consistent with the Act.

The Act does not, however, provide express statutory compensation schemes for persons who may be prejudiced by the transfers outside of the ministerial settlement mechanism. Nor does it create novel criminal offences or supervisory duties over ongoing bank conduct; its primary function is to reallocate legal ownership and obligations and to create evidentiary and tax-treatment mechanisms that facilitate that reallocation.

The Act contains no separate offences or pecuniary penalty provisions. Its enforcement architecture is procedural and civil rather than penal. The statutory features that affect enforcement and dispute resolution are:

• Statutory allocation of legal title and obligations. Sections 6(1) and 11(1) operate by statute to transfer assets and liabilities. The legal effect is that, after the commencing date, parties must look to the transferee banks for performance or to assert claims in relation to the transferred assets and liabilities. Enforcement of obligations therefore continues through ordinary civil remedies (contract, debt recovery, set‑off, equitable remedies) against the transferee banks where the matters fall within the transferred class.
• Prima facie certificates and judicial notice. Sections 9, 14 and 16 alter evidentiary practice in litigation. A certificate by an authorised officer is “prima facie evidence” in all courts of the matters stated (ss 9, 14), and courts must take judicial notice of the signature and of the signatory’s status as an authorised officer (s 16). These provisions lower the evidentiary threshold for proving that a particular asset, liability or instrument falls within the transfers. They reduce friction in enforcement proceedings that require proof of legal succession. However, “prima facie” is not conclusive: the certificate can be rebutted by contrary evidence. The Act provides no penalty for false certification but a false certificate could be subject to general civil remedies and, depending on whether other laws apply, criminal sanctions; the Act itself does not create those penalties.
• Settlement mechanism for imbalances. Sections 6(2) and 11(2) require settlement of net differences between assets and liabilities “on such terms and conditions as are agreed between the Treasurer and the appropriate Minister.” The effective enforcement of such settlements depends on inter-governmental agreement and the parties’ willingness to implement the ministers’ agreement. The Act does not prescribe default enforcement procedures if ministers fail to agree; enforcement would depend on the terms of any settlement or on customary international or administrative arrangements between the governments and institutions.
• No express federal or state taxation enforcement over certified instruments. Section 15 removes liability to stamp duty or other tax under an Australian law or a State/Territory law for certified instruments connected with the Act. Taxing authorities within Australia are therefore disabled from imposing such duties; enforcement actions by those authorities would be barred with respect to covered instruments. The scope of “other tax” is not expressly defined beyond the saving “other than Papua New Guinea,” so enforcement by Australian taxing authorities is curtailed per the section’s text.
• Regulation-making power. Section 17 gives the Governor‑General power to make regulations “not inconsistent with this Act.” Enforcement mechanisms could be created by regulation within the statutory scope, but as drafted the Act itself supplies no regulatory offences or administrative enforcement tools.

In short, the Act relies on statutory succession and evidentiary facilitation rather than penal enforcement. Disputes about whether a particular item is a “Papua New Guinea asset or liability” or whether an instrument is “an instrument to which this Part applies” (see sections 5 and 10 definitions) will be resolved through civil litigation or administrative negotiation, with section 9/14 certificates and section 16 judicial notice meaning the statutory certification is presumptive proof in court. The Act provides ministerial channels for resolving aggregate imbalances, but does not specify enforcement for ministerial non‑agreement or for bad‑faith certification; those gaps would be addressed under general law or by regulations made under section 17.

The Act explicitly cross‑references and depends on several other statutory instruments and tax regimes. The key points of interaction in the text are:

• Reserve Bank Act 1959-1973 and Commonwealth Banks Act 1959-1973. The commencing dates that trigger the transfers are defined by reference to when those Acts “cease to extend to Papua New Guinea,” with a textual exclusion of one subsection in each case (Reserve Bank: section 5; Commonwealth Banks: section 10). The operation of this Act therefore depends on extrinsic events in relation to those Acts, making its effect contingent on changes in the territorial application of the existing Australian banking statutes.
• Central Banking Ordinance 1973 (Papua New Guinea). The Act defines “Bank of Papua New Guinea” as “the bank of that name established by the Central Banking Ordinance 1973 of Papua New Guinea” (Part I definitions). The identity of the transferee Bank of PNG therefore rests on PNG domestic legislation. The interaction is that the Australian statute transfers assets and liabilities to an entity whose legal existence and powers are defined under PNG law.
• Australian federal, State and Territory tax law. Section 15 exempts certified instruments or documents from stamp duty or “other tax under a law of Australia or of a State or of a Territory other than Papua New Guinea.” That interacts directly with existing stamp duty and tax laws by rendering them inapplicable to certain certified documents. It effectively displaces those tax laws in relation to documents certified under sections 9 or 14; taxing authorities must give effect to that exemption per the Act’s terms.
• Instruments and contract law. Sections 8 and 13 preserve the operation of instruments but read references to the transferring bank as references to the transferee bank for acts and transactions on or after the commencing date. That interacts with the doctrine of assignment, novation and privity under contract law: rather than requiring formal assignment or novation of every contract, the Act effects statutory substitution of parties. Traditional principles of notice and consent in assignments remain relevant insofar as the Act does not purport to alter third‑party rights except by statutory substitution of identity.
• Negotiable instruments law. Sections 7 and 12 interact with the law governing bills of exchange and negotiable instruments. By providing that payment by the transferee bank has the same effect as if the bill had been drawn on the transferee bank, the Act changes the legal character of payments made after transfer and interacts with rules about holder in due course, endorsement, and discharge by payment.
• Judicial practice and evidence law. Sections 9, 14 and 16 interact with rules of evidence and court procedure by creating statutory prima facie evidence and mandatory judicial notice for signature and status of authorised officers. Courts will treat such certificates as presumptive proof without requiring the usual witness proof of signature or status.
• Regulatory and delegated legislation. Section 17 empowers the Governor‑General to make regulations “not inconsistent with this Act,” enabling supplemental rules that must comply with the Act and with general law on delegated legislative power. Interactions will arise between any regulations made under section 17 and existing administrative law principles and statutes.
• Territorial application. Section 4 states that the Act “extends to Papua New Guinea until the date on which it becomes an independent sovereign state.” The Act’s application therefore interacts with constitutional or international law events associated with PNG independence. The Act’s operation is temporary and contingent on PNG’s constitutional status as described in the text.

Because the Act is drafted to operate by relation to other statutes and to produce substantive legal transfers by statute, practical interaction points will include coordination with PNG law (to ensure the transferee entities have legal capacity and authority), settlement agreements negotiated by the Treasurer and the PNG Minister, and possible regulation-making under section 17 to fill detailed procedural gaps. The statutory tax exemption creates a narrow carve-out from domestic tax laws in Australia, which must be observed by federal, State and Territory authorities for certified documents.

The printed text provided contains no amendment schedule, no marginal notes indicating subsequent amending Acts, and no inserted or repealed provisions beyond the content reproduced. The Act itself is dated 1973 (title and internal headings indicate Papua New Guinea (Transfer of Banking Business) Act 1973), and the definitions and commencement text specify that the Act “shall come into operation on the day on which it receives the Royal Assent” (section 2). The Act ties its operative events to the cessation of the territorial application of earlier Commonwealth statutes (Reserve Bank Act 1959-1973 and Commonwealth Banks Act 1959-1973), but the text does not record any later amendments or modifications.

The Act’s internal repetition (Parts I-IV headings and repeated provisions) appears in the provided text but is not presented as amendments; rather, it shows duplicated clauses consistent with the Act’s structure as printed. There is no schedule identifying dates of amendment or text labelled as “amended by” or similar. Therefore, based solely on the legislative text provided:

• There are no listed amending Acts in the source text.
• There are no repeal provisions in the source text.
• The Act as provided should be read as the primary operative text, with the commencement provision indicating operation from Royal Assent (section 2).

For a practitioner aware of broader legislative history, the Act’s operation is explicitly temporary with respect to Papua New Guinea’s independence (section 4), meaning the Act’s application is designed to be linked to a specific political/constitutional transition. The Act contains regulation-making power (section 17) which could be used to prescribe matters referred to in the Act; such regulations, if made, would be subordinate legislation and would constitute changes in implementation though not amendments to the Act’s text itself. The Act also references other statutes (Reserve Bank Act 1959-1973; Commonwealth Banks Act 1959-1973; Central Banking Ordinance 1973 of PNG) whose subsequent amendment or repeal could affect the circumstances under which the Act’s commencing dates are triggered, but the source text does not enumerate those changes.

Because the provided Act text contains no explicit amendment history entries, readers are reminded that any information about subsequent amendments, repeals, or related legislative modifications is outside the source text and therefore not recited here.

The source text supplied contains no reported cases, judicial decisions or annotations that indicate litigation arising under the Act. The Act itself does not list judicial interpretations or court‑approved applications. Therefore, the document provides no direct litigation history to cite.

Nonetheless, the Act’s provisions create a number of points where litigation might reasonably be expected to arise in practice; these potential dispute areas are implicit in the statutory mechanics and are listed here as textually-grounded possibilities rather than as reported litigation:

• Disputes over definitional scope. The Act transfers assets and liabilities that are “subsisting immediately before the commencing date and relating to the business that was carried on immediately before that date … at its branch at Port Moresby” (see section 5 for Reserve Bank; section 10 for Commonwealth Banks). Litigation could arise about whether a given asset, liability or instrument qualifies as “relating to the business” of the Port Moresby branch or whether it had subsisted immediately before the commencing date. The Act’s categorical language creates a jurisdictional fact that courts would have to determine.
• Challenges to certificates. Sections 9 and 14 make certificates by authorised officers “prima facie evidence” in all courts. Litigation might involve attempts to rebut a statutory certificate (for example, proving that an item did not in fact relate to the transferred business), and courts would be required to treat the certificate as presumptive proof unless and until contradicted by evidence (sections 9, 14, 16).
• Disputes about commencing date. The commencing dates are defined by reference to when the Reserve Bank Act 1959-1973 or Commonwealth Banks Act 1959-1973 cease to extend to PNG (sections 5 and 10). Litigation could occur over the precise legal date upon which those Acts ceased to extend to PNG, particularly if there is ambiguity or multiple legislative instruments affecting territorial application.
• Interpretation of “excluded business.” For the Trading Bank, section 10 defines “excluded business” as business carried on at a branch designated by the Treasurer. Litigation could arise over the proper scope of a Treasurer’s designation and whether particular business activities fell within excluded business.
• Settlement obligations and ministerial agreement. Sections 6(2) and 11(2) require that the amount of any difference between transferred assets and liabilities “shall be settled … on such terms and conditions as are agreed between the Treasurer and the appropriate Minister of the House of Assembly for Papua New Guinea.” If ministers fail to agree, or if a party contends that the announced settlement contravenes statutory obligations, litigation could focus on whether there is a statutory duty to reach agreement or on enforcement of the agreed terms.
• Bills of exchange and discharge questions. Sections 7 and 12 give statutory effect to payments by the transferee bank on bills drawn on or payable at the transferring bank. Disputes could arise over whether a particular payment satisfied the instrument or whether prior endorsements or transfers were affected, particularly where parties contend conflicting readings of who was the drawer/payee at the time of payment.
• Taxation disputes. Section 15 exempts certain certified instruments from stamp duty and other Australian taxes. Litigation could ensue if an Australian State or Territory seeks to impose tax notwithstanding a certificate, or if the scope of “other tax” is contested by an authority. The Act’s text, however, is relatively clear that such certified documents are not liable to those taxes.
• Questions about the effect of regulations. If regulations are promulgated under section 17, disputes could arise about whether regulations are “not inconsistent with this Act,” bringing judicial review or statutory interpretation issues.

Because the supplied text contains no reported judicial decisions, the above points are prospective issues grounded in the Act’s text that a lawyer or compliance officer should watch for. Any actual litigation history would need to be sourced from case law databases or official law reports; that material is not present in the Act as supplied.

The Act’s brevity and reliance on cross‑references create several practical pitfalls and interpretation risks that are visible from the text itself. Below are concrete “gotchas” directly grounded in the statutory wording:

• Commencing date is not a calendar date in the Act; it is a legal event. The “commencing date” is defined by reference to when specified Commonwealth Acts “cease to extend to Papua New Guinea” (sections 5 and 10). That means implementation hinges on the legal character and timing of territorial application of those Acts. Parties expecting a simple announced date should instead confirm the legal status of the referenced Acts because the statute ties effect to that legal condition.
• Two different commencing dates. The Act defines a commencing date for the Reserve Bank transfers (Part II, section 5) and a separate commencing date for the Commonwealth Banks (Part III, section 10). Those dates may not coincide. Practitioners must check which commencing date applies to which transfer and coordinate any cross‑bank exposures or overlapping obligations accordingly.
• “Subsisting immediately before the commencing date” and “relating to the business … carried on immediately before that date” are factual predicates that may generate litigation. Contracts or claims arising shortly before the commencing date could be contested as to whether they fall within the transferred class (sections 5 and 10 definitions).
• Excluded business carve‑out. For the Trading Bank, “excluded business” is business carried on at a Port Moresby branch designated by the Treasurer (section 10). If the Treasurer designates a branch after the Act or ambiguously, businesses might unintentionally remain with the Commonwealth Bank rather than transferring. Parties should confirm any such designation in the administrative record to understand which engagements transfer and which do not.
• Differences between authorised officer definitions. The Part II authorised officer definition includes the Governor or Deputy Governor of the Reserve Bank or Bank of Papua New Guinea, or officers of their services (section 5). Part III’s authorised officer definition in the text is more limited and refers to “a prescribed officer of the Papua New Guinea commercial bank” (section 10). That difference can affect who is empowered to certify documents under sections 9 and 14. Practitioners should identify the precise authorised officers and any prescriptions to avoid reliance on a person lacking statutory authorisation.
• Certificates are prima facie, not conclusive. Sections 9 and 14 describe certificates as “prima facie evidence” in all courts. While powerful, these certificates can still be rebutted. A party facing a certificate should consider how to adduce contrary evidence; a party relying on a certificate should ensure accuracy and documentary support because the Act does not itself create criminal penalties for inaccurate certification.
• Judicial notice is limited to signature and status. Section 16 requires judicial notice “of the signature of that person and of the fact that that person is or was such an authorized officer.” This does not make the substantive contents of the certificate beyond prima facie status; courts will still consider merits and opposing evidence.
• Tax exemption does not apply in Papua New Guinea. Section 15 exempts specified instruments from stamp duty and other tax “under a law of Australia or of a State or of a Territory other than Papua New Guinea.” The exception “other than Papua New Guinea” means PNG taxing authority is not bound by the Australian exemption; PNG could still impose taxes or fees.
• The Act does not create express indemnities or state guarantees. Sections 6(2) and 11(2) require settlement of differences on terms agreed by ministers, but the Act does not itself specify who pays or whether settlements are to be funded by the Australian Government, the transferee bank, or other means. Expect negotiation and seek ministerial determinations or written settlements that clarify who bears residual financial obligations.
• Delegated regulation power is broad but limited by “not inconsistent with this Act.” Section 17 permits the Governor‑General to make regulations “prescribing all matters which by this Act are required or permitted to be prescribed.” In practice, regulators must ensure any regulations implement the Act and do not attempt to expand transfers beyond the Act’s text.
• Temporal limitation tied to independence. Section 4 explicitly limits the Act’s extension to PNG “until the date on which it becomes an independent sovereign state.” The timing and legal consequences of that constitutional change affect the Act’s application. Practitioners should not assume permanence.

These gotchas are textual and procedural; they identify points of operational uncertainty and places where administrative action (ministerial agreement, Treasury designation, authorised officer prescriptions, certificate accuracy) will be pivotal. The Act provides mechanisms (certificates, ministerial agreements, regulations) but leaves significant implementation detail to executive actors and administrative processes.

Compliance with the Act’s mechanics involves administrative, evidentiary and coordination tasks for transferring banks, transferee banks, government actors and associated professionals. The following steps are grounded in the Act’s provisions and highlight concrete actions to implement or rely on the statutory transfers:

1. Identify the relevant commencing date(s). Confirm the legal date on which the Reserve Bank Act 1959-1973 or the Commonwealth Banks Act 1959-1973 “cease to extend to Papua New Guinea” (see sections 5 and 10 definitions of “commencing date”). Legal advisers should obtain formal determinations or correspondence from relevant authorities to fix the triggering event for each Part. Record the date in transaction files because many provisions (e.g. “subsisting immediately before the commencing date”) rely on this temporal fact.

2. Compile an inventory of Papua New Guinea assets, liabilities and instruments. For each transferring bank, prepare a contemporaneous schedule listing assets and liabilities that “subsisted immediately before the commencing date and relating to the business … carried on immediately before that date … at its branch at Port Moresby” (sections 5 and 10). The inventory should include contracts, loans, deposit accounts, negotiable instruments, securities, accrued interest, and contingent claims. Maintain documentary evidence that these items were subsisting and related to the branch business at the specified time.

3. Identify excluded business and any Treasurer designations. For the Trading Bank, confirm whether any branch at Port Moresby has been designated by the Treasurer as carrying excluded business (section 10 definition). If so, exclude those accounts and contracts from transfer schedules and document the Treasurer’s designation.

4. Determine and confirm authorised officers. Establish who qualifies as an authorised officer under Part II and Part III (see section 5 and section 10 definitions). For Part II, authorised officers include the Governor or Deputy Governor of the Reserve Bank or the Bank of Papua New Guinea or officers of their services; for Part III the authorised officer includes a prescribed officer of the Papua New Guinea commercial bank. Record the statutory authority and any prescribing instrument that identifies the relevant officers.

5. Prepare certificate templates and evidence. The authorised officer(s) should prepare certificates under sections 9 and 14 to identify assets, liabilities and instruments to be transferred. Because the certificates are “prima facie evidence” (sections 9, 14) and attract judicial notice of signature and status (section 16), ensure the certificates are accurate, signed, dated and supported by underlying schedules and documentary proof. Keep supporting documents readily available to rebut any challenge to a certificate.

6. Coordinate with the Treasurer and PNG Minister on imbalance settlement. Anticipate and model the aggregate difference between assets transferred and liabilities transferred. Sections 6(2) and 11(2) require settlement “on such terms and conditions as are agreed between the Treasurer and the appropriate Minister of the House of Assembly for Papua New Guinea.” Initiate intergovernmental negotiations early and secure written terms of settlement that specify payment mechanics, currency, timing, responsibilities, and any guarantees. Ensure that implementing contracts or memoranda of understanding are signed by authorised signatories.

7. Address negotiable instruments and bills of exchange. For bills of exchange drawn on or payable at the transferring banks, use the statutory treatment in sections 7 and 12 to process payments through the transferee bank. Update internal payment systems and reconciliation procedures to reflect that payments by the transferee have the same legal effect as if drawn on the transferee bank.

8. Take steps to secure tax exemptions. For documents made, executed or given by reason of the Act’s operation, obtain the requisite certificates from authorised officers so that section 15’s exemption from stamp duty and other Australian/State/Territory taxes (other than PNG) can be relied upon. Keep copies of certificates available for tax audits or registry processing to evidence exemption.

9. Coordinate with registries and counterparties on instrument continuity. Notify counterparties, registries and other stakeholders that instruments continue in full force but will be read as references to the transferee banks for acts after the commencing date (sections 8 and 13). Where registry filings or registrations are necessary, rely on statutory substitution but also check if registries require additional evidence or filings to update their records.

10. Plan for litigation contingencies. Because certificates are prima facie evidence and commencing date facts may be contested, preserve contemporaneous records and maintain traceable audit trails for each transferred asset and liability. Anticipate possible disputes over qualification of assets or liabilities and prepare forensic and documentary evidence to rebut challenges. Consider insurance, indemnities or contractual protections where counterparties might resist the transfer.

11. Draft and retain regulatory instruments if needed. If matters require prescription under the Act, work with counsel and the responsible executive to prepare any regulatory instruments permitted under section 17. Ensure regulations are “not inconsistent with this Act” and that they are tabled and registered per applicable administrative law procedures.

12. Confirm PNG tax and legal consequences. Section 15 exempts only Australian and Australian State/Territory taxes; it excludes PNG. Obtain PNG tax and legal advice to understand whether PNG will impose stamp duties, taxes or other levies on transferred instruments, and structure settlements and documentation accordingly.

13. Update internal and external communications. Banks should update customer notices, internal policies, account terms and public statements to reflect that the transferee bank will assume obligations post‑commencing date. Ensure customer communications clarify where liability now rests and supply contact details for the transferee bank.

14. Archive and governance. Keep full records of inventories, certificates, ministerial agreements, regulatory instruments and communications. Given the ministerial role in settlement and the evidentiary reliance on certificates, robust record‑keeping is essential for both operational continuity and potential legal disputes.

Compliance under this Act is primarily administrative and documentary. The statute makes transfers by operation of law, but effective implementation depends on accurate identification of transferred items, authoritative certification, negotiated ministerial settlement for imbalances, and coordination with Australian tax authorities and PNG legal structures.
