Paper Mill Agreement Act 1960

The Act rests on three main legal and economic concepts: statutory ratification of a bespoke contract, conditional public financing secured by a first mortgage, and mutual service and land‑use commitments that allocate infrastructure and environmental responsibilities.

Statutory ratification and precedence: Section 3 ratifies and approves the agreement and directs that, notwithstanding any other Act or law, the agreement shall be carried out as though its provisions had been enacted in the Act (s 3(1) and (2)). Section 4 limits the effect of other persons’ actions under other Acts so far as necessary to allow the State to fulfil specified obligations (s 4). The Schedule contains its own ratification contingency: the agreement would not come into operation until the ratifying Act came into operation (clause 2(c)(i)), and the agreement would lapse if the Act were not passed within two years (clause 2(c)(ii)). The practical effect is that the private bargain has statutory backing and the State has committed to a degree of legal priority for the agreement’s obligations.

Public financial assistance secured by mortgage: Clause 3 sets out a progressive loan facility. The State will advance two‑thirds of the cost of the mill as incurred and paid by the Company up to 31 December 1967, capped at the lesser of two‑thirds of cost to that date or £2,500,000, and with an annual per‑financial‑year advance cap of £300,000 unless the State elects to exceed it (clause 3(a), (b)). Advances are made on Engineer’s certificates verified by the Company’s auditors and accepted by the State (clause 3(c)). Interest payable by the Company is specified at 5 percent per annum on each advance (clause 3(d)). Where expenditure in a financial year exceeds £450,000, the State will pay interest to the Company on two‑thirds of the excess equal to the difference between the Company’s bank overdraft rate and 5 percent if the bank rate exceeds 5 percent (clause 3(e)). The loan is secured by a registerable first mortgage over the mill site and additional land as acquired (clause 3(h)); repayment of principal is set as equal annual payments over 15 years commencing from 31 December 1980 (clause 3(f)).

Service and land‑use allocations: The Schedule allocates provision and pricing of inputs, output logistics and environmental arrangements. Major items are: water supply rights and price formulae, and a right for the Company to sink bores (clause 4); a staged mechanism for treatment and disposal of effluent with initial on‑site treatment obligations and a process under which the State may assume responsibility for excess effluent after notice and within set periods, with charges limited by formula (clause 5); commitments on power supply quantities and tariff arrangements with the State Electricity Commission (clause 7); road and rail access and freight rate negotiation commitments (clauses 9, 10 and 12); protections against compulsory acquisition and easements during the term, subject to narrow exceptions (clause 15); and a 50 year term measured from the date of the agreement (clause 28).

Governance and dispute resolution: The Minister for Industrial Development is appointed the State’s administrator for the agreement and is directed to have regard to the Company’s competitive status when exercising discretions (clause 2(b)(i) and (ii)). Disputes are to be referred to arbitration under the Arbitration Act 1895 (clause 26), which specifies the procedural route for unresolved differences.

Conditionality and judicial versus extra‑statutory obligations: Many State commitments are expressed as promises to “use all reasonable endeavours”, “endeavour”, or are conditional on the Company giving specified prior notice (see clauses 4(b), 6, 7(b), and 5(b) and (d)). Others are absolute or secured by mortgage (clause 3(h), clause 15 does promise non‑resumption subject to specified exceptions). The agreement therefore mixes enforceable monetary obligations secured by land charge with promises framed as discretionary or anticipatory and subject to procedural preconditions.

Primary parties: The immediate contracting parties are the State of Western Australia and Australian Paper Manufacturers Limited, defined respectively in section 2 and in the Schedule header. The Company’s successors and permitted assigns are included in the definition of “Company” (s 2; Schedule ¶1(a)). The Minister for Industrial Development (or successor minister) is the State’s designated administrator (Schedule clause 2(b)(i)) and therefore is the government official accountable for coordination and exercise of discretions under the agreement.

State instrumentalities and statutory bodies: Operational commitments involve multiple State instrumentalities. The State Electricity Commission of Western Australia is specifically referenced for electricity pricing and supply obligations (Schedule clause 7(b) and (c)). The Metropolitan Water Supply Sewerage and Drainage Department is referenced for water pricing and for the rate to be used where water is supplied by the State (Schedule clause 4(d)). Local authorities and other State instrumentalities are affected by the non‑resumption and zoning commitments, since the State agrees not to permit resumptions, easements or certain new railways without the Company’s consent during the currency of the agreement (Schedule clause 15).

Landowners and adjacent property interests: The agreement protects the mill site and contemplates acquisition of adjoining land by the Company, requiring the Company to grant mortgages over acquired land on demand (Schedule clause 3(h)). Local landholders and holders of easements could be affected by clause 15 which restricts the State and its instrumentalities from creating or granting easements or resuming land for the term of the agreement, subject to enumerated exceptions. That restriction is backed by the Act’s s 4 which prevents actions by others from operating so as to prevent the State from meeting certain obligations.

Contractors, suppliers and labour: Construction and operation plans implicate contractors supplying major items and local suppliers of equipment and materials, with an express Company undertaking to investigate and use local materials and equipment (other than major paper‑making machinery) where practicable (Schedule clause 3(j)). The Company is also to advise the State of labour requirements and the State has undertaken to make available State‑provided housing where erected under the State Housing Act 1946‑1959 (Schedule clause 17).

Environment and third‑party users of water and effluent routes: The Company is initially responsible for treating and disposing of effluent on the mill site and must take reasonable steps to prevent or minimise nuisance to others (Schedule clause 5(a)). The State undertakes to accept responsibility for excess effluent following prescribed notice procedures (Schedule clause 5(d)), and charges for treatment and discharge are set by a formula which limits charges relative to water pricing (Schedule clause 5(g)). Third parties drawing from the same water supply, or subject to effluent routing, could see changed risk allocation and infrastructure use.

Future entrants and competitors: The agreement’s protections such as zoning (Schedule clause 8(a)), freedom of transport within radii (Schedule clause 12(2)), and protections against resumption and easements over the mill site during the term (Schedule clause 15) affect market entry conditions for competing paper and pulp producers, and may affect local planning decisions and third‑party investments in adjacent land.

Public finances and taxpayers: The State’s loan commitment, interest subsidies and obligations to provide infrastructure (roads, water, power) create contingent fiscal exposures for the State subject to the caps and conditions in clause 3 and the notice and timing triggers in the Schedule. Citizens as taxpayers are therefore indirectly affected by the public financing and infrastructure allocation choices embodied in the agreement.

This section lists the principal duties and rights, with clause references to the Schedule and the Act where useful.

Company’s principal duties and rights

• Construction and production obligation: The Company covenanted to construct, establish and put into commercial production on the mill site a paper and paper board mill by the end of 1966, at a capital cost not less than £2,500,000 (including site acquisition), capable of producing initially about 15,000 tons per year when operating 8,000 hours per annum, and constructed to permit expansion (Schedule clause 2(a)). The Company must notify the State of the date of commencement within one month of starting commercial production (Schedule clause 2(c)).
• Maintenance duty: While any monies are owing under the agreement or the mortgage, the Company must maintain the mill and plant in good and serviceable condition (Schedule clause 2(b)).
• Loan and mortgage obligations: The Company must accept a registerable first mortgage in favour of the State over the mill site and additional land when acquired, in a form approved by the parties and must facilitate registration (Schedule clause 3(h)). The Company must pay interest at 5 percent per annum on each advance (Schedule clause 3(d)), and repay principal by equal annual instalments over 15 years starting 31 December 1980 (Schedule clause 3(f)). Prepayment rights are given on three months’ notice (Schedule clause 3(g)).
• Effluent management: The Company must treat and dispose of on‑site the whole of its effluent until the State assumes responsibility under the notice regime, and thereafter treat and dispose of as much as reasonably practicable on site, taking reasonable steps to prevent nuisance (Schedule clause 5(a)). The Company may give specified notices to discharge excess effluent, must disclose nature, quantity and quality in those notices, and must ensure excess effluent discharged accords with details in its notice (Schedule clause 5(b)). For a pulp mill, quantitative caps are imposed on total daily discharge solids and biochemical oxygen demand (Schedule clause 5(c)). The Company must provide and maintain pumping plant and facilities to pump excess effluent to the boundary for State disposal (Schedule clause 5(e)).
• Water and bores: The Company may sink wells and bores to a specified depth on the mill site and water obtained from those bores is not to be the subject of a State charge (Schedule clause 4(c)). The Company must, on State request, provide particulars of bores, quantities and quality (Schedule clause 4(c)).
• Use of local suppliers: The Company undertakes to investigate availability of suitable local materials and equipment and to use them wherever it considers it can and should (Schedule clause 3(j)).
• Assignment and delegation: The Company may assign rights with State consent not to be arbitrarily or unreasonably withheld (Schedule clause 18). Either party may entrust performance to third parties without affecting primary liability (Schedule clause 19).

State’s principal duties and rights

• Loan advances: The State will advance two‑thirds of the cost of the mill as incurred and paid up to 31 December 1967, subject to the cap of either two‑thirds of cost to that date or £2,500,000 whichever is less, and subject to annual advance limits unless the State elects otherwise (Schedule clause 3(a) and (b)). Advances are to be made progressively on engineer’s certificates verified by the Company’s auditors (Schedule clause 3(c)).
• Interest subsidy where applicable: If expenditure in a financial year exceeds £450,000, the State will pay interest to the Company on two‑thirds of the amount of excess at a rate equal to the difference between the Company’s bank overdraft rate (if greater than 5 percent) and 5 percent, until the State’s total advanced amount equals £2,500,000 or two‑thirds of cost to the 1967 date (Schedule clause 3(e)).
• Infrastructure and services: The State will make potable water available to an agreed point at the boundary subject to specified notice periods and maximum initial and staged quantities, and will apply the industrial excess supply price rules of the Metropolitan Water Supply Sewerage and Drainage Department (Schedule clause 4(b) and (d)). The State agrees to provide electric power for construction within six months of the ratifying Act and to supply, on notice and subject to maxima, power up to a 4,500 kilowatt initial cap with further supplies subject to reasonable endeavours (Schedule clause 7(a) and (b)); electricity costs are to be in accordance with State Electricity Commission industrial schedule rates or negotiated special rates (Schedule clause 7(b)). The State will construct specified portions of local roads to an adequate standard (Schedule clause 9). The State will assist with fuel pipeline supply arrangements and may supply, lay and maintain the pipe line within specified railway boundaries at the Company’s request and cost (Schedule clause 6). The State will endeavour to assist procurement of a wharf or jetty if future plans require it (Schedule clause 14).
• Effluent assumption and charges: Subject to the Company giving the notices required, the State shall accept full responsibility for disposal of excess effluent within two years after receipt of the first notice and after reasonable periods for later notices, may treat at a sewage works and may dispose as it thinks fit, while keeping the Company advised and considering its suggestions (Schedule clause 5(d)). The Company will pay a reasonable annual charge for treatment and discharge limited in specified ways relative to the water price (Schedule clause 5(g)).
• Zoning and protection: The State will ensure that the mill site is zoned or otherwise protected so that initial and projected operations may be carried on without interference on zoning grounds during the agreement period (Schedule clause 8(a)). The State agrees not to resume the mill site or grant easements or construct new state railways over the site without Company consent during the currency of the agreement, with narrow exceptions, and to remove water mains at State cost if later required (Schedule clause 15). Section 4 of the Act further protects the State’s ability to carry out specified obligations by preventing actions under other laws or by other persons from preventing the State fulfilling clauses 5, 8, 12 and 15 of the agreement.

Mutual remedies and protections

• Termination: The agreement contains termination rights for both sides for specified breaches and insolvency events (Schedule clauses 20, 22 and 23), and notices of termination are formalised with six months’ effectiveness after deemed receipt to allow remedy (Schedule clause 24). Termination does not affect the mortgage provisions or rights accrued prior to termination (Schedule clauses 22 and 23).
• Arbitration: Any dispute is to be settled by arbitration under the Arbitration Act 1895 if not agreed between the parties (Schedule clause 26).
• Delays and force majeure: The agreement excuses non‑performance other than clause 3 for delays caused by force majeure items, strikes, shortages, power failures and similar circumstances (Schedule clause 25).

The Act itself contains no criminal penalties or civil fines. Enforcement and penalties for breach are those provided in the agreement and by the statutoryisation in s 3(2). Remedies and enforcement mechanisms are primarily contractual, secured‑asset and dispute resolution tools.

Statutory effect and remedies: Section 3(2) directs that the agreement shall take effect as though its provisions had been expressly enacted in the Act. That places the agreement in a hybrid legal position: its terms are statutorily authorised, which may affect the remedies available and the interpretative posture of courts and tribunals, while the Schedule itself preserves contractual remedies such as termination, mortgage enforcement and arbitration. The Act also provides that nothing done by any person whether by or under any Act or otherwise shall, subject to the agreement, operate so as to prevent the State from fulfilling specified obligations (s 4). That provision can be relied on to resist claims by third parties based on other statutes or lawful acts that would otherwise impede the State’s performance of clauses 5, 8, 12 and 15.

Security and mortgage enforcement: Clause 3 requires the Company to execute a registerable first mortgage in favour of the State over the mill site and additional land as acquired (clause 3(h)). The mortgage is a primary enforcement mechanism for the State’s financial exposure, and the agreement makes clear that mortgage provisions survive termination of the agreement and that termination shall not affect enforcement of mortgage obligations arising prior to determination (clauses 22, 23). The source specifies that upon full payment of the debt the State shall deliver a registerable discharge (clause 3(g)).

Termination and cure periods: The State may terminate if the Company becomes insolvent, fails to comply with its obligations subject to clause 25, fails to pay amounts under the mortgage, or abandons the agreement (clause 22). The Company may terminate if the State fails to perform or substantially alters terms without Company consent (clause 23). Notices of termination are to be given under seal or by the Minister for the State and are deemed received on the day after postage and take effect six months after that date unless remedied in the interim (clause 24). That six month cure window is a procedural protection against immediate termination.

Dispute resolution: Clause 26 provides for arbitration under the Arbitration Act 1895 for disputes that cannot be agreed. The agreement thus prioritises arbitration rather than initial litigation, which will shape enforcement approaches and timelines. The Schedule does not set out how arbitration awards will be enforced; enforcement will depend on statutory enforcement mechanisms in force for arbitration awards under the relevant arbitration law.

Quantified financial penalties: There are no express contractual liquidated damages or penalty clauses recorded in the Schedule. Financial exposure is instead governed by interest, repayment schedules and the mortgage security. The Company’s obligations to pay interest at 5 percent and to repay principal by instalments set a cashflow enforcement framework (clause 3(d) and (f)). The State’s obligation to pay interest to the Company on excess annual expenditure operates as an effective subsidy rather than a penalty (clause 3(e)).

Limits, ambiguities and discretionary language: Several State promises are framed as duties to “use all reasonable endeavours”, to “endeavour” or as anticipatory statements that the State “anticipates” being able to meet certain requirements (see clauses 4(b), 5(d), 6, 7(b), 13 and 14). Where obligations are framed by such language, their enforceability will depend on factual proofs of reasonableness and efforts undertaken; the agreement’s arbitration clause is the forum prescribed for such disputes.

Interaction with other statutory powers: Section 3(2) is drafted “Notwithstanding any other Act or law” which imports a declaration of statutory priority. The practical enforceability of that priority against other statutory powers is a legal question beyond the text, but the Act’s language gives the agreement a robust legal footing for enforcement of the specific obligations enumerated, subject to constitutional limits not addressed in the source.

The Act and the Schedule explicitly reference and interact with a small number of existing statutes and statutory bodies, while s 3(2) creates an express statement of the agreement’s effect notwithstanding other Acts or laws.

Statutory precedence and s 3(2): Section 3(2) states that, notwithstanding any other Act or law, the agreement shall be carried out and take effect as though its provisions had been expressly enacted in this Act. The clause therefore intends to give the agreement statutory weight and to reduce the risk that other state laws could be relied upon to defeat the agreement’s obligations. Section 4 complements that by providing that nothing done by any person whether by or under any Act or otherwise shall, subject to the agreement, operate so as to prevent the State from fulfilling any of its obligations under clauses 5, 8, 12 and 15 of the agreement. Those clauses concern effluent disposal, zoning and protection of the mill site, transport and tax treatment; s 4 is designed to limit other legal actions from hindering the State’s performance of those specific commitments.

Cross‑references to other Acts and bodies: The Schedule directly references existing statutory frameworks and agencies:

• Metropolitan Water Supply Sewerage and Drainage Act 1909‑1956: The price to be paid for water supplied by the State is to be at the rate ruling for excess water supplied for industrial purposes by the Metropolitan Water Supply Sewerage and Drainage Department pursuant to that Act and its amendments (Schedule clause 4(d)). That ties water pricing to an existing statutory tariff regime.
• State Electricity Commission: The power supply arrangement contemplates that electricity costs supplied by the State shall be in accordance with the industrial schedule rates of the State Electricity Commission of Western Australia in the metropolitan area, or at special rates negotiated with the Commission (Schedule clause 7(b)). The Commission’s statutory powers, tariff frameworks and licensing interaction will therefore influence implementation.
• Arbitration Act 1895: Disputes are to be referred to and settled by arbitration under the Arbitration Act 1895 (Schedule clause 26), linking dispute resolution to the arbitration statute that governs procedure and enforceability of awards.
• State Housing Act 1946‑1959: The State’s housing assistance to provide dwellings for the Company’s workers contemplates use of housing erected under this Act (Schedule clause 17).
• Registerable mortgage regime and land law: Clause 3(h) requires execution of a registerable first mortgage over the mill site. That mortgage will be implemented via the State’s land registration system and must comply with the statutory regime for registering and discharging mortgages.

Limits on other statutory powers: The Schedule contains commitments which, when read with s 3(2) and s 4, constrain the exercise of certain statutory actions by other authorities to the extent those actions would prevent the State fulfilling named obligations. For example, clause 15 restricts resumptions or grants of easements over the mill site by State instrumentalities or local authorities during the currency of the agreement without the Company’s consent, subject to narrow exceptions. Section 4 protects the State’s performance of clause 15 from being defeated by actions by other persons under other laws, subject to the agreement. That creates an internal statutory hierarchy for the agenda items covered.

Conditional and non‑absolute commitments: Despite these precedence clauses, many commitments remain expressed as obligations to “use all reasonable endeavours” or to “endeavour”, or they are dependent on specified notices from the Company or mutual agreement about boundary points and timing (see Schedule clauses 4(b), 5(d), 6, 7(b) and 14). Those formulations imply that the State retains some discretion and that interactions with other statutory regimes will be shaped by good faith performance, negotiation and potentially arbitration if parties disagree about whether reasonable steps were taken.

Mortgage enforcement vs. statutory overrides: The mortgage required by the agreement will operate within the land title and mortgage regime. The Act does not attempt to displace fundamental property law rules but does require the Company to grant a registerable first mortgage and for the State to effect registration (Schedule clause 3(h)). The agreement states that mortgage rights survive termination and remain enforceable regardless of the agreement being terminated (Schedule clauses 22 and 23), so property enforcement mechanisms such as foreclosure sale procedures would apply under the relevant land and mortgage laws.

Interplay with local planning and zoning: Clause 8(a) obliges the State to ensure the mill site is zoned or otherwise protected during the period of the agreement so that operations may proceed “without interference by public authorities or private persons on the ground of operations contrary to zoning”. That interacts directly with local government planning schemes and powers to impose development controls, but the Act’s s 3(2) and s 4 signal that the agreement’s zoning protection is intended to be given effect notwithstanding other laws, subject to the terms of the agreement. The practical effect will be determined by the way the State implements zoning protections through its planning instruments.

In sum, the Act federalises a bespoke contract into statutory standing and ties its implementation to existing regulatory regimes for water, electricity, housing and arbitration, while also attempting to immunise certain key obligations from interference by other statutory or administrative acts. Many obligations remain conditional on notices and “reasonable endeavours”, so interactions with other laws will still require operational exercise of statutory powers and administrative co‑ordination.

The source lists a very limited amendment history for the Paper Mill Agreement Act 1960 and related reprints. The compilation notes and annotations in the text identify the following changes:

• Original enactment: Paper Mill Agreement Act 1960, No. 43 of 1960, received assent 15 November 1960 and commenced on 15 November 1960. The Schedule reproduces the agreement signed on 27 July 1960. This established the statutory ratification and reproduction of the agreement (Compilation table).
• Reprint: A reprint of the Paper Mill Agreement Act 1960 is recorded as at 14 December 2001 in the compilation table. The reprint incorporates the statute as at that date but, from the available source, records no substantive amendments up to that reprint.
• Standardisation of Formatting Act 2010: The only substantive annotation recorded in the provided source is in relation to formatting and marginal notes. The Compilation table records “Standardisation of Formatting Act 2010 s. 25”, No. 19 of 2010, assent 28 June 2010, commencement 11 September 2010 (see s 2(b) and Gazette 10 Sep 2010 p. 4341). The annotations in the text of the Act refer to Section 2 being amended: No. 19 of 2010 s. 25(2); and a heading inserted: No. 19 of 2010 s. 25(3). The compilation notes further state that marginal notes in the agreement have been represented as bold headnotes in the reprint but that this representation does not change their legal status as marginal notes. Those changes appear to be formatting and marginal note adjustments rather than substantive policy or contractual modifications.

No other amendments, deletions or substitutions are recorded in the provided source. The agreement in the Schedule continues to be printed in full in the Act as ratified in 1960. The Schedule contains its own temporal condition for operation: clause 2(c)(i) states the Agreement’s provisions will not come into operation unless and until the agreement is ratified by an Act passed by the Parliament, and clause 2(c)(ii) provides that if the Act is not passed within two years of the agreement date, the agreement shall not operate and neither party will have any claim against the other. In practice the Act was passed and commenced on 15 November 1960, so the contingency in clause 2(c) was satisfied and the Schedule is in force.

Because the compilation table shows only the formatting amendment in 2010 and a 2001 reprint, there is no record in this source of substantive substantive legislative amendments altering the commercial or financial terms of the agreement after 1960.

The source document itself does not record any litigation or judicial decisions arising under the Paper Mill Agreement Act 1960 or the Schedule agreement. The Schedule prescribes arbitration under the Arbitration Act 1895 as the method to settle disputes arising out of or in connection with the agreement (Schedule clause 26), indicating a pre‑specified procedure for dispute resolution rather than immediate litigation. The Act contains no case citations in the text or in its annotations.

Because the provided material contains no references to subsequent court proceedings, reported decisions or arbitral awards, this note cannot credibly assert any litigation history beyond what the text records. Practitioners seeking to determine whether the Act or the Schedule have been the subject of litigation, arbitration or judicial interpretation should run targeted searches in government legislation registers, court databases, tribunal and arbitration records, and commercial archival sources for disputes involving Australian Paper Manufacturers Limited and the State of Western Australia under the agreement. Any such searches would need to cover relevant time periods, because the agreement’s term is 50 years from the date of the 1960 agreement (Schedule clause 28) and any enforcement or interpretation issues could have arisen across decades.

What the Schedule does record about dispute handling is explicit: unresolved disputes or differences about construction, duties, liabilities or matters to be agreed are to be referred to arbitration under the Arbitration Act 1895 (Schedule clause 26). The Act and Schedule also structure procedural steps such as formal notices of termination and cure periods (Schedule clause 24) which would shape any pre‑dispute and dispute behaviour by the parties.

The Schedule and the Act contain multiple time, notice, cap and procedural constraints that create practical risks and compliance traps for both parties. The following are material points to watch for when advising clients, based strictly on the text.

Timing and conditional triggers

• Construction deadline: The Company covenanted to have the mill in commercial production prior to the end of 1966 with a specified minimum capital cost (Schedule clause 2(a)). Failure to meet this construction and commencement timing is a potential trigger for State termination under clause 22(b) for failure to comply with obligations. The agreement also requires the Company to give notice of the date of commencement within one month (Schedule clause 2(c)).
• Advance cut‑offs: State advances are limited to expenditure incurred and paid by the Company up to 31 December 1967 (Schedule clause 3(a) and (b)). Costs incurred after that date are not covered by the State under the specified formula. Project planners must therefore align expenditure schedules to capture available State assistance.
• Annual advance cap: The State is not required to advance more than £300,000 in any one financial year unless it chooses to do so (Schedule clause 3(b)). If the Company’s planned annual cash needs exceed that cap, it must have alternative funding or obtain the Company’s consent path envisioned in clause 3(b).

Interest subsidy timing and ceiling

• Interest subsidy condition: The State’s obligation to pay interest to the Company on two‑thirds of excess yearly expenditure applies only when annual expenditure in a financial year exceeds £450,000 and until total State advances equal £2,500,000 or two‑thirds of the cost to 31 December 1967 (Schedule clause 3(e)). That creates an uneven subsidy that depends on annual spend patterns and on the quantum of State advances already made. Misaligning spend profiles may reduce or eliminate the State’s interest support.

Notice thresholds for utilities and effluent

• Water and power lead times: The Company must give two months’ prior notice for construction‑period water supply and twelve months’ minimum prior notice for operational water supply, with the electricity supply also dependent on 12 months’ notice and not earlier than 24 months before estimated commencement (Schedule clauses 4(b) and 7(b)). These lead times impose planning constraints.
• Effluent notice regime and State assumption: The Company must give two years’ notice to the State of its intention to discharge excess effluent and thereafter reasonable notices of increases and variations; the State shall accept responsibility for disposal “as soon as it reasonably can but not later than two years after its receipt of the notice first referred to” (Schedule clause 5(b) and (d)). That double notice and acceptance window can produce a multi‑year exposure to on‑site treatment costs before State takeover.

Ambiguous formulations and “reasonable endeavours”

• Discretionary language: Numerous State commitments are framed as obligations to “use all reasonable endeavours” or to “endeavour” (see clauses 4(b), 5(d), 6, 7(b), 13 and 14). Those formulations are enforceable standards but require proof of reasonableness and the steps taken, leaving scope for arbitration disputes about sufficiency of effort and prioritisation. The Minister is directed to have regard to the Company being in a competitive business (clause 2(b)(ii)), which may influence exercises of discretion but is a general interpretive instruction rather than a tightly specified duty.

Long deferral to mortgage and survival of security

• Mortgage survives termination: Mortgage provisions survive termination and any termination clause expressly preserves mortgage enforcement and accrued rights (Schedule clauses 22 and 23). The Company cannot treat termination as a means to free land from the mortgage without full discharge of the debt, and the State retains remedies through property enforcement law. The mortgage must be registerable and registered, so any failure to perfect it will be material.

Non‑resumption promise with carve‑outs

• Exceptions to non‑resumption: Clause 15 promises not to resume the mill site or grant easements without Company consent, but it contains exceptions such as standardisation of railway gauges and the laying of water mains subject to removal at State cost later. Those carve outs narrow the absolute scope of the promise. Legal advisors should scrutinise the practical scope of the exceptions and the Company’s right to withhold consent, which is limited by the requirement that consent shall not be arbitrarily or unreasonably withheld in some contexts (see clause 15 and also clause 18 for assignment consent).

Repayment deferral and long interest exposure

• Deferred principal repayment start date: Principal repayments commence 31 December 1980, some 20 years after the 1960 agreement date, leaving a lengthy period before principal amortisation begins (Schedule clause 3(f)). The Company will have a long interest exposure and planning risk should financial conditions change before principal repayments commence. The State’s security remains during that period.
• Prepayment requirement and notice: The Company can prepay subject to giving three months’ notice but prepayments must be whole or in multiples of £10,000 (Schedule clause 3(g)), potentially generating friction for smaller or partial rescheduling.

Administrative and compliance demands

• Engineer’s certificates and audits: Advances are to be paid on Engineer’s certificates verified by the Company’s auditors and accepted by the State, and the State may enter and inspect the site before accepting certificates (Schedule clause 3(c)). That imposes documentation, audit and inspection obligations that must be managed to avoid delays in funding.
• Reporting on bores and effluent: The Company must provide particulars on bores and on the nature and quantity of effluent when requested or in notices, creating recordkeeping and monitoring requirements (Schedule clauses 4(c) and 5(b)).

Transport and freight negotiation

• Freight rates negotiation: Freight rates for railway carriage in not less than ten ton lots are to be negotiated and “no greater than” those for similar goods (Schedule clause 12(b)). That creates potential commercial negotiation disputes and operational matters about what counts as “similar goods” and whether negotiated rates are comparable.

Termination procedural traps

• Six month deemed notice cure period: Notices of termination take effect six months after deemed receipt, unless remedied in the interim (Schedule clause 24). Parties may be exposed to continued obligations during that period and must act quickly to cure breaches or finalise exit arrangements.

Taken together these “gotchas” show the agreement’s dependence on careful timing, notice mechanics, auditable compliance processes, and the capacity to satisfy long‑dated mortgage and funding conditions. Advisers should map obligations onto project timelines, cashflow forecasts, and regulatory applications to avoid missing conditional triggers and entitling the counterparty to contractual remedies.

This checklist sets out practical compliance steps and controls for each principal actor based on the text of the Act and the Schedule. All references are to the Schedule clauses unless otherwise noted.

For the Company (Australian Paper Manufacturers Limited and successors)

1. Project plan and deadlines

   • Ensure construction and commissioning schedules target commercial production prior to the end of 1966 and track the specified minimum capital cost threshold of £2,500,000 inclusive of site acquisition (clause 2(a)).
   • Prepare to provide written notice of the date of commencement within one month of starting commercial production (clause 2(c)).

2. Documentation, certification and funding draws

   • Engage an engineer to produce the periodic certificates of expenditure required for State advances (clause 3(c)).
   • Maintain auditors to verify the engineer’s certificates so the State can accept them and make progressive quarter‑interval advances (clause 3(c)).
   • Coordinate with the Minister’s office for inspections; ensure site access and records are available for State inspections prior to each acceptance (clause 3(c)).

3. Mortgage and land title formalities

   • Execute and present for registration a first registerable mortgage over the mill site and any subsequently acquired adjoining land in a form the parties have approved, and cooperate with the State to effect registration (clause 3(h)).
   • Maintain records of any subdivisional plans and compliance with registration requirements to facilitate partial releases of land where permitted and subject to Company arrangement and cost (clause 3(i)).

4. Financial administration and interest management

   • Account for interest at 5 percent per annum payable to the State on each advance, and plan cashflows accordingly (clause 3(d)).
   • Track annual capital expenditure levels relative to the £450,000 threshold which triggers the State interest payment to the Company on two‑thirds of the excess and the cap at £2,500,000 total State advance (clause 3(e)).
   • If prepaying principal, give three months’ notice and comply with the £10,000 multiple requirement for partial prepayments (clause 3(g)).
   • Prepare for equal annual principal repayments over 15 years beginning 31 December 1980 (clause 3(f)).

5. Environmental and operational compliance

   • Establish on‑site effluent treatment systems adequate to treat and dispose of effluent as required until the State accepts responsibility for “excess effluent” under the notice process (clause 5(a)).
   • If the Company intends to discharge excess effluent, provide two years’ notice specifying nature, quantity, quality and maximum discharge rate, and thereafter supply further reasonable notices for increases or variations (clause 5(b)).
   • For any pulp mill, ensure the total daily discharge limits on total solids and biochemical oxygen demand are met (clause 5(c)).
   • Install and maintain pumping plant and pipeline facilities on site to pump excess effluent to the agreed boundary discharge point for up to six miles, as required by the State (clause 5(e)).
   • Keep records of bores and wells and provide particulars of quantity and quality when requested by the State (clause 4(c)).
   • Implement water recirculation to the extent practicable for cooling (clause 4(e)).

6. Utilities and infrastructure coordination

   • Deliver required advance notices for water and power: two months for construction water, 12 months for operational water (not earlier than 24 months before expected commencement), and 12 months’ prior notice for electricity supply (clause 4(b) and 7(b)).
   • Negotiate electricity tariff arrangements with the State Electricity Commission where special rates are sought, and provide maximum load notices as required (clause 7(b) and (c)).
   • Coordinate pipeline or siding construction with State agencies for fuel and rail access as set out in clauses 6 and 10.

7. Regulatory and negotiation practices

   • Keep the Minister informed and work cooperatively with the Minister for Industrial Development as the State administrator who must have regard to the Company’s competitive position when exercising discretion (clause 2(b)(i) and (ii)).
   • When seeking zoning protections, liaise with State planning authorities so the State can give effect to clause 8(a).

8. Recordkeeping and dispute readiness

   • Maintain comprehensive records required for audits, certificates, notices, pump and effluent monitoring, bore logs and water quality testing to be able to demonstrate compliance in potential arbitration or dispute processes (clauses 3(c), 4(c), 5(b)).
   • Prepare dispute resolution protocols and preserve documents for arbitration under the Arbitration Act 1895 (clause 26).

For the State (Minister, State agencies and instrumentalities)

1. Administration and coordination

   • Minister for Industrial Development to act as the State’s administrator and coordinate correspondence and dealings with the Company (clause 2(b)(i)). Ensure the Minister’s office records decisions and reasons, particularly where discretions are exercised and have regard to the Company’s competitive business (clause 2(b)(ii)).
   • Prepare templates and operational processes for accepting Engineer’s certificates and conducting site inspections in accordance with clause 3(c).

2. Finance and mortgage mechanics

   • Implement controls to ensure advances do not exceed two‑thirds of certified cost as paid up to 31 December 1967, nor exceed £2,500,000 in aggregate or £300,000 in any one financial year without due ministerial decision (clause 3(a) and (b)).
   • Ensure the State’s legal and land title offices have models of the registerable first mortgage approved by the parties and execute registration processes promptly following delivery by the Company (clause 3(h)).
   • Set up accounting for the 5 percent interest receipts and for the potential interest payments to the Company on two‑thirds of annual excess expenditure where the bank overdraft rate exceeds 5 percent, to the agreed ceiling conditions (clause 3(d) and (e)).

3. Utilities and environmental obligations

   • Establish protocols for responding to Company notices for water and electricity supply, including assessment of capacity and lead times and negotiation of special tariff rates with the State Electricity Commission or the Metropolitan Water Supply Sewerage and Drainage Department as applicable (clauses 4(b), 4(d), 7(b)).
   • Prepare infrastructure plans and budgets for road construction works specified in clause 9, and for any pipeline or siding assistance under clauses 6 and 10, ensuring coordination with rail authorities and local councils.
   • For excess effluent, develop an operational plan to accept responsibility within the two year window after receipt of notice, including capacity to treat, routes of disposal, and cost accounting for charging the Company reasonably subject to the caps (clause 5(d) and (g)). Maintain channels to keep the Company advised of intentions and costs, and to consider suggestions from the Company as required by clause 5(d).

4. Planning and land protections

   • Give effect to the zoning protection promise in clause 8(a) by preparing or amending zoning instruments or otherwise ensuring planning authorities do not prohibit the Company’s initial and projected operations on zoning grounds during the agreement term. Document actions taken to give effect to the zoning promise so evidence is available in disputes.
   • Respect clause 15 obligations not to resume land or create easements over the mill site without Company consent while recording exceptions and any consents given. If laying water mains through the site, ensure that mains are laid as required and that the State accepts the obligation to remove and relocate at State cost if the Company later requires it, documenting position and cost estimates.

Cross‑party compliance practices

• Document retention: Both parties should retain all engineer certificates, audit evidence, inspection reports, notices, correspondence about water and effluent, and any consents or refusals to consent.
• Chain of command and governance: Document who within the Minister’s office and the Company has authority to give and accept notices, to agree positions and to sign consents or assignment approvals to prevent disputes about effective authority.
• Financial modelling: Both parties should model the timing of advances, interest subsidy triggers, and repayment schedules to understand the macro fiscal effects and to plan contingency liquidity.
• Arbitration strategy: Because the agreement prescribes arbitration under the Arbitration Act 1895, preserve privileged communications and prepare expert evidence and technical records likely to be required in arbitration proceedings.

Adherence to these steps and controls will reduce implementation risk, help preserve the value of the mortgage security, and limit grounds for disputes over timing, adequacy of “reasonable endeavours” and the sufficiency of notice and certification procedures mandated in the Schedule.
