Owner-Drivers (Contracts and Disputes) (Code of Conduct) Regulations 2010

The instrument turns on a short set of legal concepts that organise rights, obligations and administrative mechanics. Those concepts are defined or elucidated in the instrument itself and the Appendix.

Owner‑driver and owner‑driver contract: The Appendix defines an owner‑driver in three alternative ways (natural person carrying on a transport business in heavy vehicles, certain small body corporates, and partnerships where at least one member meets the natural person test) and defines an owner‑driver contract as a contract entered into in the course of business for transport of goods in a heavy vehicle (Appendix 1). The Appendix also clarifies that contracts can be written, oral or mixed.

Hirer: The other contracting party is the hirer; the instrument’s rights and duties are allocated between hirers and owner‑drivers. The Code and Appendix repeatedly distinguish duties owed by the hirer (for example delivery of information, payments) from those owed by owner‑drivers (for example performance and defaults).

Negotiating agent and joint negotiations: Sch 1 cl 3 defines “negotiating agent” broadly, including groups appointed under Part 5 of the Act. Clauses 4 and 5 set out who may conduct single and joint negotiations (for single contracts, negotiations may be with a hirer, an owner‑driver, or negotiating agents on either side; Sch 1 cl 4; for joint negotiation of several contracts, Sch 1 cl 5 permits a hirer or negotiating agent to negotiate with a group of owner‑drivers or their agent).

Good faith and unconscionable conduct: Sch 1 cl 6 imposes a duty to negotiate fairly and in good faith, expressly not intended to prevent parties acting in their commercial interests. The Appendix further states that the Act prohibits unconscionable conduct and lists factors the Tribunal may consider (Appendix 1). The instrument therefore places negotiation conduct within a mix of a prescriptive good faith standard and a non‑exhaustive set of unconscionability indicators.

Guideline rates and the Council: Sch 1 cl 8 gives the Council power, by Gazette notice, to determine, amend or revoke guideline rates intended to provide guidance to parties when negotiating and to assist the Tribunal in assessing whether payments are at a “safe and sustainable rate”.

Penalty doctrine and deductions: Sch 1 cl 9 adopts a statutory protection mirroring common law principles: a hirer cannot require an owner‑driver to pay an amount that is a penalty (defined in cl 9(4) as payment that exceeds actual compensation). Sch 1 cl 10 restricts when hirers may deduct amounts from monies payable to owner‑drivers, authorising deductions only if the contract allows or where the Code permits (and requires advance written notice 14 days before deduction).

Interest and statutory floors: Sch 1 cl 11 provides that where a contract specifies an interest rate below the rate prescribed under the Civil Judgments Enforcement Act 2004 s 8(1)(a), the higher statutory rate applies. This is a statutory floor for post‑due interest.

Records, privacy partitioning and retention: Sch 1 cll 12-13 and 12A require hirers to record detailed transactional information, retention for six years, formatting options (bound book or electronic storage capable of reproduction), and to ensure records produced under s 34(2) of the Act do not expose other owner‑drivers’ information (Sch 1 cl 13(2)).

Right of entry authorities and administrative format: Part 3 (regs 4-10) gives administrative content to the Act’s Part 8 Division 3 right of entry powers. It prescribes approved forms, photographic certification, the laminated card format and public register maintenance.

Regulatory interlocks and definitions: The instrument cross‑references other legislation for definitions and rates: Chief Commissioner and Commission meanings are taken from the IR Act (reg 4); interest rates are linked to the Civil Judgments Enforcement Act 2004 (Sch 1 cl 11); interpretation rules for Gazette notices are applied from the Interpretation Act 1984 (Sch 1 cl 8(2)).

Together these concepts create a framework where negotiated commercial terms interact with statutory minimums and administrative compliance obligations. The Code is both a set of behavioural prescriptions for negotiations and an evidentiary/recordkeeping regime for disputes.

The regulations and the Code affect a relatively narrow set of actors but with materially different responsibilities.

Owner‑drivers: The primary regulated group are owner‑drivers as defined in Appendix 1. That includes (a) natural persons whose principal occupation is operating heavy vehicles they supply, (b) certain small body corporates (excluded are listed public companies), and (c) partnerships where at least one partner meets the natural person test (Appendix 1). Owner‑drivers receive direct protections and entitlements: disclosure before contracting (Sch 1 cl 7), protection from penalty clauses (cl 9), limits on deductions (cl 10), implied payment and notice terms (Appendix), entitlement to a fair share of contingency payments (cl 14), and record access protections (cl 13(2)).

Hirers: Parties engaging owner‑drivers (hirers) face the bulk of administrative duties. Hirers must provide current guideline rates and the Appendix 1 form to prospective owner‑drivers before a contract is entered into (Sch 1 cl 7), record specified transaction details and retain them for six years (Sch 1 cl 12 and 12A), comply with the rules governing deductions (cl 10), ensure interest payable meets the statutory floor (cl 11), and pass on fair contingency payments to the performing owner‑driver (cl 14). Hirers also bear exposure to Tribunal jurisdiction and inspectorate inquiries as described in the Appendix.

Negotiating agents and groups: The instrument recognises negotiating agents (Sch 1 cl 3) and permits group or joint negotiations (Sch 1 cl 5), so entities that act as bargaining representatives for either side are directly affected. The rules apply equally to negotiating agents, good faith duties (cl 6) and prohibitions against unconscionable conduct extend to agents.

Transport association(s): Regulation 2A expressly prescribes Western Roads Federation Pty Ltd as the transport association for the definition in s 3 of the Act. That prescription makes the Federation a named stakeholder in the statutory architecture and potentially a recognised central body for consultation or representation under the Act’s processes.

Regulatory authorities and officials: The Registrar (responsible for issuing and revoking authorities under s 34B and s 34D of the Act) is operationalised by regs 5-10 (application form, evidence, format of laminated authority card in reg 6, obligation to maintain a register reg 10). The Commission and its Chief Commissioner are referenced (reg 4) and the Commission’s website is the publication mechanism for the register (reg 6(g), reg 10(2)). The Labour Relations Division of the Department of Mines, Industry Regulation and Safety (Industrial Inspectors) is named in the Appendix as the inspectorate that may investigate breaches.

The Tribunal: The Western Australian Industrial Relations Commission sits as the Road Freight Transport Industry Tribunal to hear and determine disputes under the Act; the Appendix describes the Tribunal’s role and its low‑cost dispute resolution function. While the Tribunal is not named in the Regulations themselves, the Appendix describes its adjudicative function and the kinds of disputes it addresses.

Who pays and who decides: Financially, hirers are the principal payers to owner‑drivers and therefore bear the cost of compliance (payment, interest, deductions, contingency payments). Decision‑makers for administrative matters include the Registrar (authority issuance and register), the Council (determines guideline rates by Gazette notice, Sch 1 cl 8), the Tribunal (dispute resolution), and Industrial Inspectors (investigation and enforcement referral). The Commission is responsible for publishing the register.

Interplay with interstate contracts: The Appendix flags that contracts dealing with East‑West freight may be affected by NSW or Victorian legislation, alerting parties that the WA framework might not be exclusive where interstate elements exist.

In short, owner‑drivers and hirers are the principal affected parties; negotiating agents, a prescribed transport association, the Registrar, the Council and the Tribunal are institutional actors who decide or operationalise duties and entitlements.

This instrument imposes specific duties on hirers and distributes rights to owner‑drivers, both by express rule and by implied contractual terms explained in the Appendix.

Duty to provide contract information: Before an owner‑driver contract is entered into, the prospective hirer must give the owner‑driver current guideline rates and a copy of the Appendix 1 information form, unless the owner‑driver already has the document (Sch 1 cl 7(2)-(3)). If it is not reasonably practicable to give the documents before contract formation, the prospective hirer need only inform the owner‑driver where an electronic copy is available (cl 7(4)). The form may be printed as a booklet (cl 7(5)).

Good faith in negotiations: Parties, including negotiating agents, have a duty to negotiate fairly and in good faith in negotiating, varying or terminating owner‑driver contracts, while still being able to act in their own commercial interests (Sch 1 cl 6(1)). The clause applies to each member of a negotiating group individually (cl 6(3)).

Who may negotiate: Single contract negotiations may be between hirer and owner‑driver or either side may be represented by a negotiating agent (Sch 1 cl 4). Joint negotiations for several contracts are expressly permitted (Sch 1 cl 5).

Guideline rates: The Council may publish guideline rates by Gazette notice and may amend or revoke them (Sch 1 cl 8(1)(a)-(b)). The instrument links Gazette notices to the Interpretation Act 1984 procedures (cl 8(2)) and notes the clause is subject to s 27(2)‑(4) of the Act (cl 8(3)).

Prohibition on penalties: A hirer must not require an owner‑driver to pay an amount that is a penalty, defined as an amount exceeding compensation for actual loss or damage caused by breach or default (Sch 1 cl 9(3)-(6)). The clause clarifies that forfeiture of property is captured (cl 9(6)) and that it does not limit common law or equitable rules relating to penalty clauses (cl 9(7)).

Limits on deductions: A hirer must not deduct any amount from money payable to an owner‑driver unless authorised by the contract or by Sch 1 cl 10. Clause 10 authorises deductions where the amount represents (a) payment an owner‑driver is liable to make for loss or damage (consistent with cl 9) or (b) the reasonable value of any service or thing the hirer provided; in either case the hirer must give written notice at least 14 days before the deduction describing the liability, amount, timing and calculation basis (Sch 1 cl 10(1)-(2)).

Interest on overdue payments: Where a contract provides for interest on overdue amounts but the contract rate is less than the rate prescribed under the Civil Judgments Enforcement Act 2004 s 8(1)(a), the statutory rate prevails (Sch 1 cl 11). The Appendix summarises implied terms where the contract is silent: interest is payable from the day after the amount was due through to payment, at the Civil Judgments Enforcement Act rate.

Record‑keeping and access: Hirers must record extensive details for each owner‑driver contract and each service episode (name of owner‑driver; description of services; operator name; dates; amount due; deductions and basis; amount paid) as soon as reasonably practicable and retain records for not less than six years (Sch 1 cl 12(1)-(2); cl 12A for termination details). The instrument allows either paper or electronic storage provided reproduction in English is possible (Sch 1 cl 13(1)). When records are produced under s 34(2) of the Act, hirers must ensure no other owner‑driver’s information is exposed (Sch 1 cl 13(2)).

Minimum notice for termination: The Appendix records implied minimum notice provisions: the default minimum notice period is 90 days unless the aggregate term of the original and successive contracts with substantially similar terms is less than 90 days (in which case the minimum is 7 days). Exceptions exist: immediate termination for material breach, serious and wilful misconduct, or unforeseen exceptional circumstances; or a hirer can terminate immediately by paying the owner‑driver the total amount payable under the contract for the minimum notice less 25%; or give shorter notice with compensatory payments (Appendix).

Prohibition of “if paid/when paid” clauses: The Appendix states such conditions are banned; they will have no effect if included in an owner‑driver contract.

Entitlement to contingency payments: If a hirer receives additional payments (for fuel fluctuations or other contingencies), the hirer must pay the owner‑driver who actually provided the services a fair and reasonable amount to cover those contingencies (Sch 1 cl 14(1)-(2)). The clause specifically lists excess loading/unloading/waiting time as included contingencies (cl 14(2)).

Administrative duties on representatives and organisations: Applications for an authority for an authorised representative must be in an approved form and include a current passport‑style photograph certified by the applying organisation’s secretary (reg 5). The authorised representative receives a laminated card with prescribed content (reg 6). The secretary must notify the Registrar of address or status changes (regs 7 and 9). Applications to revoke or suspend authorities must be in an approved form and, for certain types, served on the secretary of the organisation that applied (reg 8). The Registrar keeps a register and the Commission publishes it on its website (reg 10).

Rights of access to dispute resolution and enforcement pathways: The Appendix informs parties that the WA IRC sitting as the Road Freight Transport Industry Tribunal has jurisdiction to hear disputes under the Act, and that Industrial Inspectors may investigate alleged breaches. The Tribunal and inspectors are therefore rights and enforcement‑facing institutions.

These duties and rights reallocate bargaining power by placing statutory minimums and administrative constraints around express contract terms and by giving the Tribunal and inspectorate procedural levers to resolve and enforce disputes.

The regulations and Schedule provide procedural and evidentiary mechanics for enforcement, but the text supplied contains limited express penalty schedules. Enforcement in practice is effected by a combination of administrative controls (authorities, registers and inspectorate investigations) and access to adjudication via the Tribunal.

Administrative enforcement tools and processes:

• Authority issuance and revocation: The Registrar issues authorities under s 34B(2) of the Act in a prescribed laminated card format (reg 6). Applications to the Registrar must be in an approved form with a certified passport photograph (reg 5). Applications to revoke an authority under s 34D must also be in an approved form and, where required, served on the secretary that made the original application (reg 8). The secretary of the nominating organisation must notify the Registrar within 28 days of an authorised representative ceasing to be eligible for a new authority (reg 9). The Registrar must keep a register of authorities and the Commission must publish an up‑to‑date copy on its website (reg 10(1)-(2)). These mechanics give regulators administrative levers to control who can exercise right of entry and inspection powers, and procedural channels to suspend or revoke those powers.
• Inspectorate investigations: The Appendix states that Industrial Inspectors from the Labour Relations Division of the Department of Mines, Industry Regulation and Safety can investigate alleged breaches of the Act, the Code, or an owner‑driver contract. The Appendix points readers to the Department’s contact details. That identifies the Department as the investigative arm that can refer matters for determination (Appendix).
• Tribunal jurisdiction: The Appendix explains that the Western Australian Industrial Relations Commission sits as the Road Freight Transport Industry Tribunal to hear and determine disputes under the Act, including payment disputes, and to enquire into contract negotiation matters referred to it. The Tribunal provides a low‑cost dispute resolution process. The Code’s guidance (for example, guideline rates published by Gazette) is explicitly available to the Tribunal when determining whether payments were made at safe and sustainable rates (Sch 1 cl 8(1)(a)(ii)). The Tribunal is therefore the principal adjudicative body for contested matters.

On‑paper penalty provisions: The Code itself contains no tables of statutory fines or criminal penalties for non‑compliance. Clause 9 prohibits the imposition of penal amounts on owner‑drivers but does not itself prescribe a monetary penalty for contravention; it declares the unenforceability of penal clauses to the extent described (Sch 1 cl 9(5)-(7)). Where the instrument requires documents or publication by Gazette, standard statutory mechanisms for compliance and consequences for non‑compliance (including injunctive relief or orders by the Tribunal) are available in the Act, although the specific sanctioning provisions of the Act do not appear in the text provided. The Appendix notes that the Tribunal and inspectors can investigate and deal with breaches, implying remedial and enforcement outcomes come via the Tribunal or inspectorate action rather than by express fines in the Regulations.

Procedural risks and evidential mechanics:

• Recordkeeping and production: Sch 1 cll 12-13 require hirers to keep detailed records for six years and to be able to reproduce them in English. Clause 13(2) requires that when records are produced to a “relevant person” under s 34(2) of the Act, the person must not have access to other owner‑drivers’ information. Non‑compliance with these record production and privacy partitioning duties may be a breach the Tribunal can consider; the text supplied does not specify a fine but identifies inspection, production and Tribunal processes for remedy.
• Public register and transparency: Reg 10 obliges the Registrar to keep and the Commission to publish an up‑to‑date register of authorised representatives on the Commission’s website. Failure by a secretary to notify address changes or status changes within specified periods (regs 7 and 9) sets up a compliance exposure: the authority may continue to appear valid on the published register unless updated, and applications to revoke may follow (reg 8).

Limitations in the source on penalties: The regulations supplied do not list specific monetary penalties, enforcement fines or criminal offences. They supply the administrative process for enforcement and constraints on contractual terms (unenforceability rules), and they signpost inspection and Tribunal adjudication, but they do not set out a schedule of statutory fines or criminal sanctions in the text provided. For the precise sanctioning regime, practitioners must consult the Owner‑Drivers (Contracts and Disputes) Act 2007 itself and any other instruments that specify penalties or enforcement mechanisms outside these Regulations and the Code.

In short, enforcement relies on administrative control of entry authorities, inspectorate investigations, Tribunal adjudication and the statutory rule that certain contractual provisions (penalty clauses, “if paid/when paid” provisions, shorter notice periods) are void to the extent they conflict with the Act or Code. The regulations provide form, process and evidence requirements that support those enforcement avenues.

The Regulations and the Code explicitly reference, rely on and are constrained by other legislative instruments and statutory definitions. The text sets multiple cross‑references which create legal interlocks and define the boundary of the instrument’s operation.

Interpretation and administrative law:

• Interpretation Act 1984: Clause 8(2) of Schedule 1 makes Gazette notices under cl 8(1) (Council determination of guideline rates) subject to the Interpretation Act 1984 s 43(7)-(9). That means the statutory procedures and publication effects for subsidiary legislation apply to guideline rate notices (Sch 1 cl 8(2)). The Appendix also invokes the Interpretation Act s 44 to confirm references to “the Act” and to import defined terms (Sch 1 cl 2; Appendix note).

Industrial relations definitions and bodies:

• IR Act definitions: Regulation 4 imports meanings for Chief Commissioner and Commission from the IR Act s 7(1). That ties administrative oversight and the publication mechanics for the register to the institutional structures of the Industrial Relations Commission and its Chief Commissioner (reg 4).

Civil judgments and interest rates:

• Civil Judgments Enforcement Act 2004: Sch 1 cl 11 sets a statutory floor for interest payable on overdue amounts by reference to that Act’s s 8(1)(a). If a contract specifies a lower interest rate, the higher statutory rate applies. Practically, this means the instrument borrows from the civil judgments regime to set interest norms for commercial transactions covered by owner‑driver contracts.

Corporations and tax statutes (definitions):

• Corporations Act 2001 / Income Tax Assessment Act 1997: The Appendix borrows defined terms; “officer” for a body corporate is given the meaning in the Corporations Act, and “listed public company” is defined with reference to the Income Tax Assessment Act 1997. This imports corporate status tests and officer definitions for determining which corporate entities qualify as owner‑drivers under the Act.

Tribunal/IR jurisdiction:

• The Road Freight Transport Industry Tribunal is the WAIRC sitting under the Act. The Appendix describes its jurisdiction to hear disputes under the Act and to determine matters referred to it. Tribunal procedure and remedies will be governed by the Act and by the WAIRC’s enabling legislation and rules, not by the Regulations alone.

State versus interstate law:

• The Appendix cautions that owner‑driver contracts dealing with East‑West freight may be affected by NSW or Victorian legislation, and that WA legislation might not apply in those circumstances. This flags potential forum/choice of law and legislative overlap issues, particularly where interstate carriage triggers other states’ owner‑driver regimes.

Privacy and data production:

• Record production obligations (Sch 1 cl 13) require records to be produced in English and in a form that prevents access to other owner‑drivers’ data when produced under s 34(2) of the Act. This sits alongside general privacy obligations under separate privacy legislation or common law duties; the Code adds a specific statutory partitioning duty when producing records for inspection.

Administrative procedures for registration and right of entry:

• The Regulations operationalise statutory rights under the Act (s 34B and s 34D references appear in regs 5 and 8). They therefore must be read alongside those Act provisions and any procedural rules the Act imposes.

Remedial and enforcement interlocks:

• Investigations by Industrial Inspectors from the Department of Mines, Industry Regulation and Safety are identified in the Appendix. Any enforcement action arising from those investigations (referral to Tribunal, orders) will be governed by the Act and the Department’s enforcement powers under its enabling statutes.

In sum, the Regulations and Code are not a stand‑alone regulatory text; they integrate with:

• the Owner‑Drivers (Contracts and Disputes) Act 2007 (the parent Act),
• the Industrial Relations Act (for definitions and institutional mechanics),
• the Civil Judgments Enforcement Act 2004 (for interest rates),
• the Interpretation Act 1984 (for Gazette notice mechanics),
• corporate and tax legislation (for definitions used to identify qualifying entities), and
• state administrative and inspectorate mechanisms for investigation and Tribunal referral.

Practitioners must therefore read the Regulations and Schedule alongside the parent Act and the referenced statutes to establish the full compliance and enforcement picture.

The compilation table and marginal notes in the document identify a compact amendment history that documents the instrument’s lifecycle from initial publication in 2010 through later amendment instruments. The entries in the compilation table and the marginal notes should be relied on for legislative history.

Key milestones in the instrument’s amendment history as shown in the text provided:

• Original instrument: Owner‑Drivers (Contracts and Disputes) (Code of Conduct) Regulations 2010, published 30 June 2010; commencement: regs 1 and 2 from 30 June 2010, the remainder from 1 July 2010 (compilation table).
• Reprint 1: The Code as at 1 October 2010 appears in the compilation table as a reprint entry.
• Amendment Regulations 2018: Owner‑Drivers (Contracts and Disputes) (Code of Conduct) Amendment Regulations 2018 were published 2 October 2018 with the rest commencing 3 October 2018. The marginal notes in Schedule 1 indicate an amendment of clause 7 and the Appendix on that date (cl 7 amended: Gazette 2 Oct 2018 p. 3803; Appendix 1 amended Gazette 2 Oct 2018 p. 3803-4).
• 2023 amendments (SL 2023/29): The instrument was amended by Owner‑Drivers (Contracts and Disputes) (Code of Conduct) Amendment Regulations 2023 (SL 2023/29), published 6 April 2023 with regs 1 and 2 commencing 6 April 2023 and the rest commencing 1 June 2023 (compilation table). The marginal notes show a substantive insertion of a new Part 3 heading (SL 2023/29 r. 8), the insertion of regs 4-10 (including definitions for approved form, Chief Commissioner and Commission’s website) (SL 2023/29 r. 8), insertion of reg 2A prescribing Western Roads Federation (SL 2023/29 r. 7), and multiple amendments to Schedule 1 clauses (noted as amended by SL 2023/29 r. 15 and 16 and specific reg references for insertion and amendment).
• Specific insertions and amendments: The marginal notes identify precise insertions and amendments, for example:
  • [Regulation 2A inserted: SL 2023/29 r. 7] (prescribing Western Roads Federation);
  • [Regulation 4 inserted: SL 2023/29 r. 8] (definitions for Part 3);
  • [Regulations 5-10 inserted: SL 2023/29 r. 8] (application, form of authority, notifications, revocation, register);
  • [Clause 7 amended: Gazette 2 Oct 2018 p. 3803; SL 2023/29 r. 15 and 16] (amendments to disclosure requirements);
  • [Clause 9 amended: SL 2023/29 r. 15] (penalty clause protection);
  • [Clauses 11, 12, 13, 14 amended: SL 2023/29 r. 10-13 and r. 16] (various technical changes to interest, records, and contingency payment rules);
  • [Appendix 1 amended: Gazette 2 Oct 2018 p. 3803-4; SL 2023/29 r. 14(2)-(6)] (updates to the information form).

Practical consequence of the 2023 amendments: The 2023 instrument materially filled out administrative procedures relating to authorised representatives and made an express prescription of a specific transport association. That signalling expands the administrative overlay, requiring approved forms, photographic certification and public registers (regs 5-10),and explicitly names a transport association in reg 2A.

Notes and caveats: The compilation table’s “Other notes” confirm the instrument’s current citation is the Owner‑Drivers (Contracts and Disputes) Regulations 2010 and that the instrument has been reprinted with amendments. The marginal amendment notes attached to individual clauses in Schedule 1 indicate where particular substantive or drafting changes occurred; practitioners should consult the reprint and the parent Act for the authoritative consolidated text and for any subsequent amendments after SL 2023/29.

For any litigation or compliance work, always check the consolidated reprint and the Gazette notices cited in cl 8(1) and the compilation table entries for the precise text in force at the relevant date, and review the parent Act for consequential amendments that may not appear in the Regulations alone.

The text provided does not contain case law or a list of judicial decisions. The Schedule and Appendix identify the Road Freight Transport Industry Tribunal as the adjudicative forum for disputes under the Act and state that the Tribunal sits as the Western Australian Industrial Relations Commission for this purpose. The Appendix therefore establishes a statutory dispute resolution path but does not supply any reported decisions or litigation history.

What the instrument does record relevant to litigation and dispute resolution:

• Tribunal jurisdiction: Appendix 1 explains the WA IRC will sit as the Tribunal to hear and determine disputes under the Act, including payment disputes and enquiries into negotiation practices; it describes the Tribunal as providing a low‑cost dispute resolution process (Appendix).
• Evidence and records: The Code imposes recordkeeping and retention obligations on hirers (Sch 1 cll 12, 12A and 13) and imposes rules limiting the exposure of other owner‑drivers’ data when records are produced under s 34(2) of the Act (Sch 1 cl 13(2)). Those obligations shape the evidential record that a Tribunal would receive.
• Guidance material: Sch 1 cl 8 gives the Council the power to determine guideline rates by Gazette notice and expressly allows the Tribunal to have regard to those guideline rates when determining whether payments are at a “safe and sustainable rate” (Sch 1 cl 8(1)(a)(ii)). Published guideline rates thus become admissible and relevant material in Tribunal proceedings.

Limitations and practical implications:

• Because the instrument is a regulation and schedule to the Act and the Appendix summarises implied contractual terms, actual contested litigation outcomes will hinge on the Tribunal’s interpretation of the Act, the Code and the specific facts. The Regulations do not themselves set precedent; the Tribunal’s published decisions would.
• The absence of cases in the text means practitioners must search Tribunal decision databases, WA IRC publications and relevant legal databases for authority on how the Tribunal has applied the Act and Code in disputed matters.

Advice for practitioners:

• Do not rely on the Regulations for a record of litigation. Instead, seek Tribunal decisions and administrative rulings relevant to owner‑driver disputes to understand how the Tribunal treats good faith duties, penalty clause enforceability, deductions, record production, and the use of guideline rates.
• When preparing for Tribunal proceedings, compile the mandated records (Sch 1 cll 12-13) and check whether any guideline rates published under cl 8 are relevant to the period in dispute.

In summary, while the instrument establishes the dispute forum and evidentiary regime, it contains no litigation history itself. For precedent and judicial application, practitioners must consult Tribunal decisions and other published rulings outside the Regulations.

Several practical pitfalls flow directly from how the Code and Regulations interact with commercial contracts and administrative processes. These are concrete compliance risks that commonly catch practitioners and contracting parties.

Implied terms override contractual drafting: The Appendix states that where a contract purports to require payment later than 30 days after a payment claim, the contract is to be read as requiring payment within 30 days; where the contract is silent, an implied 14‑day term applies (Appendix). Similarly, minimum notice periods are implied (default 90 days, with a 7‑day exception if aggregate term of contracts is under 90 days) and “if paid/when paid” clauses will have no effect (Appendix). Practical consequence: express contractual clauses that attempt to shorten notice, lengthen payment terms, or make payment conditional will be ineffective to the extent they conflict with the Act and Code. Practitioners must not assume an express term controls if it conflicts with the statutory implied term.

Deductions require prior 14‑day notice or contractual authorisation: Sch 1 cl 10 prohibits a hirer from deducting amounts unless authorised by contract or the Code. Where permitted by the Code (for example, to recover loss from an owner‑driver), the hirer must give written notice not less than 14 days before making the deduction, stating the amount, timing and calculation basis (Sch 1 cl 10(2)). Failure to comply renders the deduction unauthorised and exposes the hirer to dispute.

Penalty clause risk: Sch 1 cl 9 renders unenforceable any clause that requires payments which exceed compensation for actual loss. The definition is outcome‑based (amount that would penalise the owner‑driver to the extent it exceeds compensation). Contracts that use liquidated damages, forfeiture or contractual set‑offs as a punishment are at risk of being void to that extent; the clause also explicitly captures forfeiture of money or property (cl 9(6)). However, cl 9(7) clarifies that the clause does not limit common law or equitable rules, so the common law analysis of penalty will still be relevant.

Recordkeeping and data partitioning obligations are strict: Hirers must keep detailed transactional records and retain them for six years (Sch 1 cl 12(2), cl 12A(2)). Records must be stored in a way that they remain in original form and can be reproduced in English, either in bound books or electronically (Sch 1 cl 13(1)). Critically, when producing records under s 34(2), the hirer must ensure the requesting person has no access to other owner‑drivers’ records (cl 13(2)). Failure to partition records or to retain them for the required period can weaken a hirer’s defence and invite inspectorate or Tribunal scrutiny.

Interest floor: If a contract specifies a lower interest rate than that in the Civil Judgments Enforcement Act 2004 s 8(1)(a), the statutory higher rate applies (Sch 1 cl 11). Parties stipulating low contractual interest on overdue sums may find the higher statutory rate supplants their clause; assume the statutory floor prevails.

Obligations to pass on contingency payments: Sch 1 cl 14(1) requires that where a hirer receives additional payment or a higher rate for fuel fluctuations or any other contingency, the hirer must pay the owner‑driver who provided the services a fair and reasonable amount to cover those contingencies. The clause uses a standards‑based test (“fair and reasonable”) rather than a formula, so disputes about what is fair may arise and be referred to the Tribunal.

Administrative formality for authorised representatives: Applications for authority must be in an approved form and include a passport photo certified by the applying organisation’s secretary (reg 5). The laminated card format is prescribed (reg 6). Secretaries must notify address changes and status changes within specified time frames (regs 7 and 9). Failure to comply may leave a representative acting without a valid authority or expose an organisation to revocation applications (reg 8).

Guideline rates are advisory but influential: The Council may publish guideline rates by Gazette (Sch 1 cl 8). While the guidelines are framed as guidance, cl 8(1)(a)(ii) makes them relevant to Tribunal determinations of whether payments are safe and sustainable. Parties who ignore guideline rates risk adverse comparison at the Tribunal even if guideline rates are not binding.

Interstate overlap: The Appendix warns that East‑West freight contracts may be affected by NSW or Victorian law. Practitioners must not assume WA rules apply exclusively in interstate carriage; overlapping or competing owner‑driver regimes can create forum and choice‑of‑law complexity.

Prescriptive format requirements: Reg 6 prescribes the exact content and form of authority cards, including heading text, photograph and signatures, and the Registrar’s signature and date. Non‑conforming identification may be challenged by inspectors or at points of access.

No penalty schedule in the Regulations: There is no explicit list of fines or criminal penalties in the Regulations or Schedule as reproduced. Remedies and consequences are achieved through Tribunal processes, inspectorate action and the statutory invalidation of conflicting contractual terms. Practitioners should not assume a simple monetary fine table exists in this instrument.

Taken together, these “gotchas” show that contractual drafting, bookkeeping, administrative process and operational practice must be aligned with the prescriptive rules in the Code and the administrative regs. The instrument emphasises process and documentary compliance as much as substantive entitlements.

The Regulations and Code impose a mix of affirmative duties, documentary obligations and behavioural standards. The following checklist maps the main compliance steps for hirers, owner‑drivers and representative organisations, keyed to the controlling provisions in the Regulations and Schedule.

For hirers (operational/commercial compliance)

• Provide pre‑contract disclosure: Before entering an owner‑driver contract, deliver to the owner‑driver current guideline rates and the Appendix 1 information form, unless the owner‑driver already has them. If immediate provision is impracticable, tell the owner‑driver where an electronic copy can be sourced (Sch 1 cl 7(2)-(4)).
• Avoid invalid contract terms: Do not include “if paid/when paid” clauses, do not purport to shorten notice below the statutory minimums (Appendix), and do not set payment terms that exceed the 30‑day implied maximum for payment after claim where the contract would otherwise require longer (Appendix).
• Deductions: Only deduct authorised amounts. Ensure any permitted deduction is either in the contract or authorised by Sch 1 cl 10, and give written notice at least 14 days before the deduction describing the liability, amount, timing and calculation basis (Sch 1 cl 10(1)-(2)).
• Interest: If your contract provides for interest on overdue amounts, ensure the rate is not below the Civil Judgments Enforcement Act 2004 s 8(1)(a) rate in force at the relevant time; if it is, the statutory rate applies (Sch 1 cl 11).
• Contingency/fuel payments: If you receive additional payment or higher rate for fuel fluctuations or other contingencies for work an owner‑driver performed, pay a fair and reasonable amount to the owner‑driver who actually provided the services (Sch 1 cl 14(1)-(2)). Establish internal accounting to track such receipts and apportionments.
• Records: Keep the required records for each owner‑driver contract and each service (Sch 1 cl 12(1)): name, service description, operator, dates, amount due and how calculated, deductions and their bases, and amount paid. Record termination notices and payments in lieu as required by cl 12A. Record as soon as reasonably practicable and retain for at least six years (Sch 1 cl 12(2); cl 12A(2)). Use either bound books, loose‑leaf books, or electronic storage that preserves original form and allows reproduction in English (Sch 1 cl 13(1)).
• Data partitioning: Ensure electronic or physical record systems permit lawful production under s 34(2) while preventing access to other owner‑drivers’ records (Sch 1 cl 13(2)). Implement role‑based access controls and export procedures to redact unrelated records before production.
• Contract termination mechanics: Where expecting to terminate contracts, check aggregate term tests to see whether the 90‑day default minimum applies or the 7‑day rule applies. If you intend to terminate with less than the minimum notice, be prepared to make compensatory payments as described in the Appendix.
• Negotiation conduct: In negotiations, adhere to the duty to negotiate fairly and in good faith (Sch 1 cl 6). Document offers and counteroffers and keep records of negotiation conduct in case of Tribunal scrutiny.

For owner‑drivers

• Seek disclosure before contracting: Request the guideline rates and Appendix 1 form from prospective hirers before signing contracts (Sch 1 cl 7(2)).
• Protect rights under implied terms: If a contract shortens notice, lengthens payment time, or includes “if paid when paid”, remember the statutory implied terms and protections apply regardless (Appendix).
• Keep personal records: Retain copies of invoices, payment claims and communications to support any Tribunal application or inspectorate complaint.
• Use negotiating agents prudently: If appointing a negotiating agent, ensure the appointment is in writing as required by the Act and retain evidence of the mandate.

For organisations that nominate authorised representatives (secretaries, unions, transport associations)

• Application format and evidence: Apply in the approved form for an authority under s 34B(1) and include a current passport‑style photograph certified on the back by the secretary as depicting the nominated person (reg 5).
• Maintain and update details: Notify the Registrar of any change to an authorised representative’s address (reg 7) and notify the Registrar within 28 days if the authorised representative ceases to be a person to whom a new authority could be issued (reg 9).
• Manage revocations: If applying to revoke or suspend an authority under s 34D(3), serve the approved form on the secretary of the organisation that made the original application (reg 8(2)(b)).
• Authority card format: Expect the Registrar to issue laminated card authorities in the format specified (reg 6). Keep copies and ensure representatives present the card as required.

For compliance and legal teams

• Cross‑check interest and rates: Maintain legal watch on the Civil Judgments Enforcement Act rate and any Gazette notices setting guideline rates (Sch 1 cl 8; cl 11) so contract templates and accounting systems reflect current floors.
• Monitor Gazette and Commission website: Track Gazette notices for guideline rates (Sch 1 cl 8) and the Commission website register of authorised representatives (reg 10(2)).
• Update contract templates: Remove or revise clauses inconsistent with the Act and Code: “if paid/when paid” clauses; clauses imposing penal forfeitures; payment terms longer than 30 days where payment claims are involved; short notice termination clauses.
• Train staff: Ensure operations staff understand the 14‑day notice for deductions, the need to record specified information contemporaneously, and the partitioning requirement when producing records for inspection.
• Prepare for Tribunal evidence: Build file systems that can produce the contract, payment claims, records of services and negotiation records ordered by the Tribunal or requested by inspectors. Maintain clear audit trails for any contingency payments received and passed on to owner‑drivers.
• Seek specialist advice where interstate elements arise: For East‑West freight or contracts with interstate performance elements, obtain legal advice on whether other states’ owner‑driver regimes apply (Appendix warning).

Operational checklists and timelines

• Record retention: Keep transactional records and termination records for at least six years from the service date or termination effective date (Sch 1 cl 12(2); cl 12A(2)).
• Notification timing: Secretary must notify Registrar of address changes and status cessations promptly, reg 7 gives a general duty to advise, reg 9 sets 28 days for status changes.
• Deduction notice: Provide at least 14 days’ written notice before making a deduction (Sch 1 cl 10(2)(b)).
• Authority application: Submit the approved form with certified photo when applying for an authorised representative card (reg 5). Revocation applications must comply with reg 8’s procedural service requirements.

Final practical note: The Appendix itself recommends parties obtain independent legal and financial advice and makes clear that the Code complements provisions in the Act. Given the number of cross‑references to other statutes (Civil Judgments Enforcement Act, IR Act, Interpretation Act, Corporations Act, Income Tax Assessment Act), compliance audits should include cross‑checks against those instruments to ensure that contractual terms, accounting practices and administrative procedures are fully aligned with the statutory framework.
