Occupational Licensing National Law Repeal Act 2016

Dissolution date. The Act does not fix a specific calendar date for the dissolution. Section 2 provides that the Act comes into operation on a day to be proclaimed. The endnote records that the Act was assented to on 10 May 2016 and came into operation on 11 May 2016 by Special Gazette. That date is therefore the dissolution date for the purpose of the definitions in section 3 and the operative provisions that refer to that date.

Occupational Licensing National Law (Victoria). Defined in section 3 as “the provisions applying in this jurisdiction, before the dissolution date, because of section 4 of the Occupational Licensing National Law Act 2010”. This is the substantive law that the Repeal Act kills. It was a schedule‑based cooperative law that applied in Victoria by adoption. The Repeal Act does not reproduce that law; it simply removes the adopting Act, so the adopted provisions cease to have effect.

The dissolved bodies. Three entities are identified. The Licensing Authority (established under section 97 of the National Law) was the central administrative agency for the national licensing scheme. The Licensing Board (section 103) was the governing board of that Authority. The Licensing Advisory Committees (section 132) were occupation‑specific advisory bodies. Section 5(1) dissolves each of them “in so far as it is constituted by the Occupational Licensing National Law (Victoria)”. That qualifying language is important: the Act does not purport to dissolve entities that may have been constituted under the laws of other participating States; it dissolves only the Victorian manifestation of those bodies. In practice, the national scheme was a cooperative arrangement, and the bodies were likely single legal entities established under the law of a lead State (probably NSW). The Victorian repeal cuts Victoria’s connection, but the asset‑transfer provisions treat the entities as having assets and liabilities that become Crown property.

Assets, rights and liabilities. Section 5(3) provides that on dissolution, any assets, rights or liabilities of the Licensing Authority, Board or Advisory Committee become assets, rights and liabilities of the Crown in right of Victoria, New South Wales, Queensland, South Australia, Tasmania and the Northern Territory. The definitions in section 5(5) are extremely broad: “assets” includes any legal or equitable estate or interest (present or future, vested or contingent, personal or assignable) in real or personal property, including securities, choses in action and documents; “rights” includes rights, powers, privileges or immunities; “liabilities” includes liabilities, debts or obligations (present or future, vested or contingent, personal or assignable). This means that any contractual rights, intellectual property, pending litigation claims, debts owed to or by the bodies, and even contingent obligations pass to the Crown in the named States. The recipient is not a single entity but a group of Crowns, which may create joint ownership or co‑liability.

Fund abolition. The National Occupational Licensing Authority Fund established under section 142 of the National Law is abolished on the dissolution date (section 6(1)). Any money or property in the Fund immediately before abolition becomes assets of the Licensing Authority and is then swept into the general asset transfer. The Fund ceases to exist as a separate statutory account.

Secretary of the NSW Treasury as responsible officer. That officer is made the central point of responsibility for final financial statements (section 7) and receives custody of the records (section 8). The Act does not vest any ongoing regulatory functions in the Secretary; the role is purely administrative wind‑up.

No compensation for lost office. Perhaps the most striking concept is section 5(2): former members of the Board and Advisory Committees “are not entitled to any remuneration or compensation because of the loss of that office”. This is an absolute bar. It precludes any claim for notice, severance, redundancy, or damages for loss of office, regardless of the terms of any appointment or contract. The provision is drafted to exclude even common law or statutory entitlements that might otherwise arise. It is a deliberate legislative choice to make the dissolution cost‑neutral to the State.

The Act directly affects only a small number of identifiable persons and entities: the members of the Licensing Board and Advisory Committees, the staff (if any) of the Licensing Authority, persons who had business with the Fund, and the State Crowns. It does not, on its face, impose any obligations on private sector individuals or businesses. The indirect effects, however, may be significant for anyone who held an occupational licence issued under the National Law or who was in the process of applying for one, as well as for State regulatory bodies that now must fill the gap.

Members of the dissolved bodies. These individuals lose their positions immediately on the dissolution date, with no entitlement to compensation. If they had any contractual rights (e.g., to a term of office or to notice), those rights are extinguished by the express statutory bar. The Act does not address whether they might have claims in other jurisdictions if the bodies were also constituted under other States’ laws; it only deals with the Victorian constitution.

Licensing Authority staff. The Act does not mention employees of the Licensing Authority. Section 5 dissolves the Authority as a body corporate constituted by Victorian law. It does not transfer employees to the NSW Treasury or to any other entity. The effect is that those employees are likely made redundant, with the ordinary consequences under employment law potentially limited by the fact that the Authority ceases to exist. The Act does not provide for compensation or transfer, leaving those employees to rely on whatever protections the Fair Work Act or analogous State laws provide - but since the employing entity disappears, recovery may be difficult.

Holders of occupational licences issued under the National Law. The National Law applied to occupations such as electricians, plumbers, gasfitters, property agents, and others that were subject to the Council of Australian Governments (COAG) national licensing reform agenda. The Repeal Act does not automatically preserve those licences. It contains no savings provision for licences, registrations, approvals, or applications that were in force under the National Law. The only vehicle for preserving anything is the regulation-making power in section 9, which allows the Governor in Council to make regulations of a savings or transitional nature. Whether such regulations were made, and what they provided, is a matter of fact outside the Act. In the absence of savings regulations, all rights and obligations under the National Law would cease on repeal, potentially leaving licence holders without lawful authority to practise until they obtain a licence under the relevant State Act. That outcome is a significant compliance risk for individuals and a potential disruption to trade.

State Crowns. The Crown in right of Victoria, New South Wales, Queensland, South Australia, Tasmania and the Northern Territory become the owners of the assets and the obligors on the liabilities of the dissolved bodies. The Act does not allocate the assets or liabilities among the States; they become jointly held. This creates complexity for any creditor, lessor, or claimant who must now deal with six Crowns. The NSW Treasury Secretary is the person authorised to do things in relation to those assets, rights and liabilities (section 5(4)), but that does not make NSW solely liable.

NSW Treasury as custodian. The NSW Treasury assumes responsibility for finalising financial statements and taking custody of records. This imposes administrative duties on a State agency that may not have been party to the original scheme. The Treasury must also ensure compliance with NSW records laws for records that may contain personal or commercial information from multiple States.

The general public and taxpayers. Taxpayers bear the costs of the wind‑up, but if the national scheme was inefficient or duplicative, the repeal may ultimately reduce regulatory costs. However, the Act creates no direct mechanism for savings to be passed on to consumers. The abolition of the Fund means that any money paid into it by licensees or others is absorbed into State consolidated revenue, with no right of refund.

The Act creates very few duties and almost no private rights. It is a statute of dissolution and transfer, not a regulatory code.

Duties imposed on the Secretary of the NSW Treasury. The Secretary must “make arrangements for the preparation, auditing and publication of financial statements of the Licensing Authority” for the pre‑dissolution period (section 7(1)). This is a mandatory duty, though it is qualified: the Secretary need only act to the extent that statements have not already been prepared, audited and published. The Secretary may also require former Licensing Board members to exercise functions with respect to the statements (section 7(2)), but that is a power, not a duty. The custody of records is transferred by operation of law, not by a duty on the Secretary to take custody; however, the practical effect is that the Secretary must receive and manage those records subject to NSW records law.

No duty to compensate. Section 5(2) expressly negates any right to compensation for loss of office. It does not merely remove a right; it positively provides that members are not entitled to any remuneration or compensation. This extinguishes any claim that might otherwise arise under contract, statute, or common law.

No duty to preserve licences or applications. The Act imposes no duty on any person to ensure continuity of occupational licensing for individuals who held licences under the National Law. The regulation‑making power in section 9 could be used to create such a duty, but the Act itself is silent.

Rights of the Crowns. The Crown in right of each named State acquires all assets, rights and liabilities of the dissolved bodies. This is a vesting, not an option. The Crowns cannot decline the assets or liabilities. The Act does not specify how the Crowns are to manage those assets or meet those liabilities; it appoints the NSW Secretary as the person to do acts that were previously required to be done by the dissolved bodies (section 5(4)), but that is limited to actions in relation to the assets, rights and liabilities. It does not make the Crowns liable for new obligations.

Rights of creditors and claimants. Persons who had claims against the Licensing Authority, Board, or Advisory Committees (e.g., as creditors, lessors, or parties to litigation) now have those claims against the Crown in right of six States. The Act does not provide a mechanism for enforcing those claims. The NSW Treasury Secretary is not made a defendant or trustee. Claimants may need to take action against the Crown in each State, which is procedurally cumbersome. The broad definition of “liabilities” includes contingent and future obligations, so even unliquidated claims pass to the Crowns.

No right to Fund monies. The abolition of the Fund (section 6) means that any person who had a right to money in the Fund (e.g., a licensee who paid a fee that was held in the Fund) loses that right unless the regulations provide otherwise. The property in the Fund becomes assets of the Authority and then of the Crowns.

Regulatory rights. The Governor in Council has a power to make regulations, including savings and transitional provisions. Those regulations may create or preserve rights, but they are subject to the constraint that they cannot operate prejudicially to any person (other than the State) by affecting existing rights or imposing liabilities (section 9(4)). This is a standard Henry VIII clause with a protective limitation. The power is broad enough to preserve licences, continue applications, or even recreate the National Law in a modified form for transitional purposes.

The Occupational Licensing National Law Repeal Act 2016 creates no offences and provides for no penalties directly. It is not a penal statute. The only enforcement‑type provisions relate to the regulation‑making power and the ability to require former Board members to assist with financial statements.

No criminal penalties. Section 9 empowers the Governor in Council to make regulations “not inconsistent with this Act”, but the Act does not specify that the regulations may create offences or penalties. The general enabling power under the Interpretation of Legislation Act 1984 (Vic) may allow subordinate legislation to impose penalties, but the Act itself does not. Any regulatory penalties would be a matter for the regulations, not the Act.

Enforcement of duties on the NSW Secretary. The Secretary’s duty to arrange for financial statements is not backed by any penalty in the Act. Section 7(2) allows the Secretary to require former Board members to exercise functions, and if they fail to comply, the Act does not specify consequences. The obligation is likely enforceable by public law remedies (e.g., mandamus) or through the Secretary’s accountability to the NSW Parliament, but the Act is silent on enforcement mechanisms.

No enforcement of the repeal. The repeal itself is self‑executing. No person is required to enforce it. The dissolution of the bodies is a matter of law; no court order is needed. The transfer of assets and liabilities occurs by force of the Act and does not require registration or execution. There is no penalty for a former body continuing to act after dissolution, because the body ceases to exist in law - any purported act would be void.

Enforcement of records obligations. Section 8 transfers records to the custody of the NSW Treasury and applies the State Records Act 1998 (NSW). That Act contains its own penalties for unauthorised destruction, alteration, or disclosure of records. So indirectly, the Repeal Act triggers a penalties regime under NSW law. However, the Repeal Act itself does not create those penalties.

Claims by affected persons. Any person aggrieved by the loss of office without compensation, or by the vesting of assets, would need to challenge the Act itself or seek compensation under a head of constitutional law (e.g., acquisition of property on just terms under the Commonwealth Constitution). The Act does not provide a statutory right of review or compensation. Enforcement against the State Crowns would require proceedings in the Supreme Court, with the usual immunities and limitations.

Repeal of the Occupational Licensing National Law Act 2010. The primary interaction is the removal of that Act from the statute book. Section 4 simply says it is repealed. The repeal is not subject to any savings or transitional provisions in the Act itself; those are left to regulations. The effect is that the Occupational Licensing National Law (Victoria) ceases to be a law of Victoria. Any reference in other Victorian legislation to the National Law Act 2010 or to the National Law would need to be read in light of the repeal, unless the other legislation is separately amended.

Cooperative scheme with other States. The National Law was a product of a COAG intergovernmental agreement. Victoria’s repeal does not automatically repeal the National Law in other participating States, because each State had its own applying Act. However, the cooperative scheme likely depended on all States maintaining consistent laws. Victoria’s withdrawal would have made the scheme unworkable. The asset‑transfer provisions in section 5(3) recognise the multi‑State nature by vesting assets in the Crown of each named State. This interaction means that property that was held by a single legal entity under the National Law becomes jointly owned by six Crowns, each with its own property legislation.

State Records Act 1998 (NSW). Section 8(2) applies the NSW State Records Act and other NSW laws to the transferred records “as if they were records of NSW Treasury”. This is a choice‑of‑law rule for the records. It means that a Victorian or Queensland public record becomes subject to New South Wales record‑keeping obligations, access regimes, and disposal procedures. This could create conflicts with the records laws of the originating States, particularly if those States have different privacy or open‑government provisions.

Australian Accounting Standards. Section 7(1) requires the financial statements to be prepared in accordance with Australian Accounting Standards. This is a standard private sector accounting framework, not a statutory prescription. The interaction ensures that the financial wind‑up is done to a recognised professional standard, but it imposes a level of technical rigour that may be costly for a small set of final accounts.

Crown proceedings laws. The vesting of liabilities in the Crown in right of six States means that any claim against the former bodies is now a claim against the Crown in each State. The applicable law for bringing such a claim will be the Crown proceedings legislation of each State (e.g., Crown Proceedings Act 1958 (Vic)). The Act does not create a single forum or consolidate liability; a claimant may need to sue in multiple jurisdictions.

Occupational licensing legislation of each State. The repeal removes the national scheme, which was intended to replace or overlay State‑based licensing. In the absence of savings regulations, the State Acts that governed the occupations before the National Law came into effect (or that were enacted in parallel) will be the operative law again. For example, the Electricity Safety Act 1998 (Vic) and the Plumbing Regulations 2018 (Vic) would pick up electricians and plumbers. But there may be a gap if the State Acts were amended by the National Law to remove certain provisions, or if transitional licences were only issued under the National Law. The interaction here depends on the content of State legislation at the time of repeal.

Interpretation of Legislation Act 1984 (Vic). The endnotes to the Act refer to the ILA in relation to style changes, headings, examples, and provision numbers. Those provisions are standard for all Victorian Acts and confirm that the heading and note structure of the Repeal Act forms part of the Act. They have no substantive interaction with the content.

No interaction with federal laws. The Act is a State law. It does not purport to affect Commonwealth laws, such as the Competition and Consumer Act 2010, the Fair Work Act 2009, or the Australian Consumer Law. The national licensing scheme was a State‑based cooperative scheme, so its repeal does not directly engage federal law.

The Table of Amendments in the endnotes (item 2) records that there are no amendments made to the Occupational Licensing National Law Repeal Act 2016 by Acts and subordinate instruments. The Act has therefore stood unamended since its enactment. The version in force is Version No. 001, as at 11 May 2016. There are also no amendments not in operation (item 3). This is consistent with the Act being a short, self‑contained piece of machinery legislation that was drafted to have a one‑time effect: repeal, dissolve, transfer, wind up. Once the dissolution date passed and the administrative steps were taken, there was no need for ongoing amendment. The Act remains on the statute book as a historical marker that the Occupational Licensing National Law Act 2010 is repealed and that the bodies were dissolved. Because no amendments have been made, there is no accumulation of transitional or amending provisions that expand the Act’s scope.

The Act itself contains no references to litigation, and no reported cases are cited in the endnotes. As a legislative analyst, I cannot invent cases. However, the subject matter suggests several potential areas of litigation that could have arisen, though the Act does not mention them.

Constitutional challenge to the no‑compensation provision. Section 5(2) denies any compensation for loss of office. Former Board or Committee members might have challenged this as an acquisition of property without just terms under section 51(xxxi) of the Commonwealth Constitution, if their office is characterised as property. Such a challenge would require establishing that the position was a proprietary right and that the Commonwealth was involved (which is unlikely, given it is a State law). The High Court has held that statutory offices are not generally property for just terms purposes (see, e.g., Attorney‑General (NSW) v Brewery Employees Union). In any event, no such litigation is recorded in the Act.

Claims by creditors. Persons who had contracted with the Licensing Authority or had claims against it might have sued the Crown in one or more States, arguing that the vesting of liabilities under section 5(3) makes the Crown liable. The broad definition of liabilities includes debts and obligations. The NSW Treasury Secretary is the authorised person to manage those assets, but the Act does not make the Secretary a party to any proceedings. Litigation would likely be complex, requiring the plaintiff to join multiple Crowns. There is no indication in the Act that any such litigation eventuated, but the potential remains.

Challenges to the validity of the repeal. The Act was passed as an ordinary State statute. It could have been challenged on the ground that it contravened the intergovernmental agreement that established the national scheme, but such an agreement would not be binding in the absence of legislation. No such challenge appears in the reported case law.

Administrative law challenges to regulations. If the Governor in Council made regulations under section 9 that prejudiced a person, section 9(4) provides a partial safeguard: the regulation cannot operate to affect rights prejudicially or impose liabilities. A person affected could seek judicial review on the ground that the regulation had a prejudicial retrospective effect. Again, no such litigation is recorded.

In summary, the Act has generated no publicly known litigation. Its short and clear provisions, the bar on compensation, and the absence of ongoing regulatory duties all reduce the likelihood of dispute. The most contentious provision - the no‑compensation clause - is expressed in terms that leave little room for argument, and the asset transfers are automatic, not discretionary.

The Act is short, but it contains several provisions that could catch out the unwary practitioner, former officeholder, or person with an interest in the national licensing scheme.

No compensation for loss of office (section 5(2)). This is the most obvious trap. Anyone who was a member of the Licensing Board or an Advisory Committee loses their position immediately without any entitlement to remuneration or compensation. This includes any claim that might arise under a contract, a deed of appointment, or even a common law expectation. The provision is absolute and does not even preserve entitlements accrued for work performed before the dissolution date (though salary for work already done might be a debt, not compensation for loss of office). Former members cannot argue that they relied on the office for income or that they had a reasonable expectation of a term. The Act does not provide for notice or severance.

No savings for licences or applications. The Act does not contain any provision that preserves occupational licences issued under the National Law. Without regulations made under section 9, a licence held under the National Law becomes a nullity on the repeal date. The holder may be practising unlawfully if they continue to perform licensed work without a valid State licence. This is a ticking bomb for any person who was relying on a national licence. Compliance professionals need to check whether transitional regulations were made and, if not, advise clients to immediately apply for a State licence.

Joint vesting in six Crowns. Section 5(3) vests assets, rights and liabilities in the Crown in right of six separate jurisdictions. This is not a joint tenancy or a tenancy in common with defined shares. It creates an ambiguous form of co‑ownership. If a creditor wants to enforce a debt, they must decide whether to sue all six Crowns, and in which State. The NSW Treasury Secretary is the authorised person for doing things in relation to the assets (section 5(4)), but that does not make NSW solely liable. A creditor who sues only Victoria might be met with a defence that the liability is shared. The Act does not provide a mechanism for apportionment.

Fund abolition without refund. Section 6 abolishes the National Occupational Licensing Authority Fund. Any money in the Fund becomes Crown property. Persons who paid fees into the Fund (e.g., licence application fees, annual renewal fees) have no right to a refund, even if the fee was for a service that was never provided or for a period that extended beyond the dissolution date. The Act does not provide for prorated refunds.

Application of NSW records law. Section 8(2) applies the State Records Act 1998 (NSW) to records that were created and held in Victoria (and possibly other States). This means that a Victorian public record becomes subject to a NSW retention and disposal schedule. A person seeking access to those records will need to use NSW freedom‑of‑information or government information legislation, not Victoria’s. The records may contain personal information of individuals who applied for licences, and that information will be governed by NSW privacy law, not Victoria’s Privacy and Data Protection Act 2014.

Vacuum in regulatory authority. The dissolution of the Licensing Authority, Board and Advisory Committees means there is no body that can deal with any outstanding matters after the dissolution date, except to the limited extent that the NSW Treasury Secretary can act in relation to assets and liabilities. If a person had a pending application for a licence, or a complaint about a licence holder, there is no entity to process it. The Act does not transfer those functions to any Victorian agency. Only regulations can fill that gap.

The Act itself imposes no compliance obligations on private persons. It is a statute for government machinery. However, compliance in a practical sense means managing the consequences of the repeal.

For former members of the Board or Advisory Committees. There is nothing to do. The Act has already taken away their offices without compensation. They should not continue to act as if they are members; any act done after the dissolution date would be void. They should ensure that they do not incur any personal liability by purporting to bind the Authority or Board. If they hold any property or documents belonging to the Authority, those must be returned to the NSW Treasury Secretary or as directed by regulations.

For persons who held a licence under the National Law. The first step is to determine whether regulations were made under section 9 that preserve the licence. If transitional regulations were made, those regulations will specify the terms on which the licence continues (e.g., deemed to be a licence under the relevant State Act, or a grace period to apply for a State licence). If no regulations were made, the licence is no longer valid. The holder must cease practising under that licence and immediately apply for a licence under the applicable Victorian occupational licensing legislation (e.g., the Electricity Safety Act 1998 for electricians, the Plumbing Regulations 2018 for plumbers). Failure to do so could result in prosecution for unlicensed work.

For creditors or claimants. Any person who has a claim against the former Licensing Authority, Board, or Advisory Committees should identify the claim in writing and send it to the Secretary of the NSW Treasury (as the authorised person under section 5(4)). However, the Act does not require the Secretary to pay the claim or to acknowledge it. The creditor may need to issue proceedings against the Crown in right of Victoria and the other named States. Given the complexity, legal advice should be sought promptly, as time limits for claims against the Crown may apply.

For the NSW Treasury Secretary. The Secretary must arrange for the preparation, auditing and publication of final financial statements in accordance with Australian Accounting Standards (section 7). This is a mandatory obligation. The Secretary may need to retain accountants and auditors. The Secretary must also take custody of the records transferred under section 8 and manage them in accordance with the State Records Act 1998 (NSW). This includes ensuring that the records are preserved and accessible in accordance with NSW law.

For the Governor in Council. If transitional provisions are needed, the Governor should make regulations under section 9. Those regulations can save licences, continue applications, transfer functions to Victorian agencies, and deal with any other transitional matters. The regulations can take effect from the date of Royal Assent (10 May 2016) or later, but they cannot operate prejudicially to any person other than the State (section 9(4)). This means the regulations cannot retrospectively remove rights that existed before the repeal.

For Victorian government agencies. Any agency that has regulatory responsibility for the occupations formerly covered by the National Law (e.g., Energy Safe Victoria for electrical licensing, the Victorian Building Authority for plumbing) should prepare to accept applications from persons whose national licences have expired. They should issue public guidance on the transition. They may also need to check whether any provisions of the National Law were incorporated into their own Acts by reference, and whether those references need amendment.

For legal practitioners advising clients. The key areas to cover are: (a) the status of any national licence held by the client; (b) the need to apply for a State licence; (c) any potential claims against the Crown for refunds or debts; and (d) any liability that may arise from practising without a valid licence during the transition period. Practitioners should also review the regulations (if any) made under section 9 to ensure they are up to date. Because the Act is a repeal Act, its direct compliance burden is minimal, but the indirect consequences can be severe for those who fail to act.
