Network of Aquaculture Centres in Asia and the Pacific (Privileges and Immunities) Regulations 1998

The Regulations rest on a small set of legal concepts drawn from the Act and related tax and customs law definitions. The Organisation is defined by reference to the agreement establishing the Network of Aquaculture Centres in Asia and the Pacific (reg 3). The Act referenced throughout is the International Organisations (Privileges and Immunities) Act 1963 (reg 3). Key cross-references embed external statutory meanings: taxable supply and tax invoice adopt the meanings in the GST Act (reg 3), and residence for some tax exemptions is governed by the Income Tax Assessment Act 1936 (reg 9(2)). Warehoused goods invoke the Customs Act 1901 (reg 9A(1)(c)).

Privileges and immunities are supplied by reference to the First Schedule to the Act for the Organisation (reg 6(1)). The Regulations select particular Schedule paragraphs (1, 2, 3, 4, 5, 6, 7, 9, 10, 11 and 12). For persons, immunity entitlements are supplied by reference to Parts I and II of the Second, Third and Fourth Schedules to the Act for the Coordinator, conference representatives and officers respectively (regs 7-9). The Regulations, therefore, operate by importing the Act’s standard Schedule privileges but tailoring their scope by regulation (for instance, by limiting indirect tax privileges) and by carving out residence-based exceptions (regs 7(4), 8(3), 9(2)).

A major concept introduced by the 2000 amendments is the indirect tax concession scheme under section 11C of the Act, fleshed out in regs 9A-9D. These rules define what acquisitions are "covered" (reg 9A), set conditions creating contractual repayment obligations and security for concessions (reg 9B), prescribe claim formalities and submission routing (reg 9C), and require nomination of a single recipient/account for payment (reg 9D). The scheme interacts with domestic indirect tax rules through the definitions of taxable supply and tax invoice (reg 3), and imposes acquisition thresholds (single tax invoice for a taxable supply of at least $200 including indirect tax, reg 9A(1)(a)).

Other operational concepts include waiver (reg 10), limitations of immunity in relation to motor vehicle accidents and motor traffic offences (reg 11), and the preservation of quarantine and import/export laws notwithstanding immunities from process (reg 12). Delegation of ministerial powers concerning conditions of the concession scheme is permitted in writing (reg 13). The Regulations therefore combine statutory incorporation of international-immunity Schedules with administratively detailed tax and procedural conditions.

Primary legal subjects are identified precisely. The Organisation is the central actor and beneficiary: the Regulations declare it an international organisation under the Act (reg 4) and grant it corporate personality and associated capacities (reg 5). Those capacities enable the Organisation to enter contracts, hold and dispose of property, and litigate in its corporate name (reg 5(a)-(b)(i)-(iii)). The Organisation is the named entity responsible for official acquisitions and for claiming indirect tax concessions where eligible under the rules in regs 9A-9D.

The office of Coordinator is singled out as a "high office" within the Organisation (reg 7(1)). Persons holding, or performing duties of, that office receive privileges and immunities listed in Part I of the Second Schedule to the Act while in office, and immunities in Part II after leaving office (reg 7(2)-(3)). However, a geographic/residency carve-out applies: Australian citizens and persons permanently resident in Australia do not receive those privileges except in relation to actions undertaken in performing the duties of the office (reg 7(4)). This residency limitation is repeated for representatives attending Organisation‑convened conferences (reg 8(3)) and for officers in taxation contexts (reg 9(2)).

Representatives attending conferences in Australia who are accredited and are representatives of countries other than Australia are within the class covered by reg 8(1)-(2). They receive immunities in Part I (during attendance) and Part II (after attendance) of the Third Schedule, again subject to exclusion for Australian citizens or permanent residents (reg 8(3)). Officers holding offices other than the Coordinator are covered under reg 9(1) for Part I immunities, and reg 9(3) for Part II immunities after leaving office, with an income‑tax residency caveat affecting exemption of salary and allowances (reg 9(2)).

Family members are defined for limited concessional purposes and to set eligibility for indirect tax concessions for personal acquisitions of the Coordinator and other officers. "Member of the family" is defined tightly to mean household members who are spouse, unmarried children under 21, unmarried full‑time students under 25, or unmarried children incapable of self‑support due to disability (reg 3). The residency and citizenship status of the person holding office matters for the scope of immunities and tax exemptions (regs 7(4), 8(3), 9(2)).

Other affected parties include Australian government agencies tasked with implementation. The Australian Taxation Office (ATO) is the main payment recipient and processor for most concession claims; for motor vehicles claims are routed to the Protocol Branch of the Department of Foreign Affairs and Trade (reg 9C(c)(i)-(ii)). The Minister retains decision-making discretion and can require written agreements and security from persons claiming concessions (reg 9B(1)(a)-(b)), and may delegate those powers in writing (reg 13). The Commonwealth is therefore a party that may receive repayments under contractual arrangements (reg 9B(1)(a)). Suppliers and sellers of goods and services are indirectly affected because the regulations determine whether indirect tax on supplies to the Organisation or eligible persons will be reimbursed by the Commissioner of Taxation under section 11C of the Act (reg 9A, note to reg 9A).

Rights: The Organisation acquires the rights listed in specific paragraphs of the Act’s First Schedule as imported by reg 6(1). The Coordinator, conference representatives and officers acquire the immunities set out in the relevant Parts of the Act’s Schedules (regs 7-9). These immunities include the Act’s standard protections, subject to the limitations imposed by these Regulations. The Organisation also acquires statutory corporate powers and capacities (reg 5), enabling it to contract, hold property and sue or be sued in its corporate name.

Tax and concession rights are qualified and made operational. Under reg 6(3) the Organisation’s privileges regarding indirect tax are limited to the exemption in section 11B of the Act and to concessions under section 11C in relation to acquisitions specified in reg 9A(1). Thus a right to indirect tax concession exists only for acquisitions covered by the categories and conditions set out in reg 9A and is payable only in the manner and subject to conditions in regs 9B-9D.

Duties and conditions attach to those rights. Persons receiving concessions must enter a written agreement with the Commonwealth to repay part or all of the concession if disposal or assignment rules are triggered within specified time periods (reg 9B(1)(a)). The repayment amount is calculated as prescribed (reg 9B(3)), with special rules for leases and for sale and lease-back arrangements (reg 9B(4)-(2)(a)). Where the Minister considers a claimant has previously breached an agreement, the claimant must comply with any written requirements, including providing security (reg 9B(1)(b)). Claims for payment must be signed by or for the Coordinator, accompanied by the tax invoice and sent to the ATO or the DFAT Protocol Branch as directed (reg 9C(a)-(c)). Payment is to be made to a single recipient or account nominated by or for the Coordinator (reg 9D).

Waiver is permitted but formal. The Organisation may waive privileges or immunities conferred by the Act or these Regulations on itself or on the Coordinator (reg 10(1)). The Coordinator may waive privileges conferred under reg 9 on persons (reg 10(2)). A foreign government may waive privileges for representatives or related staff (reg 10(3)). These are discretionary rights to renounce immunities, which change the legal risk profile of the recipient.

Limitations and exclusions are explicit duties or constraints. The Organisation is not exempt from dues or taxes that are payments for specific services in respect of premises it owns, leases or occupies (reg 6(2)). Immunities do not extend to civil or criminal process for recovery of damages from motor vehicle accidents involving Organisation vehicles or persons to whom these Regulations apply, nor to motor traffic offences laws (reg 11). The Regulations do not affect quarantine or import/export laws (reg 12(1)), though immunity from process remains intact (reg 12(2)). The Coordinator and officers who are Australian citizens or permanent residents have immunities limited to acts performed in the course of duties (regs 7(4), 8(3), 9(2)).

Who decides and who pays: The Minister can require contractual repayment arrangements and impose conditions and security (reg 9B(1)(b)), can delegate those powers in writing (reg 13), and the Commonwealth (effectively via the ATO and DFAT) is the payor or recipient under the concession scheme and repayment arrangements (regs 9C-9D, 9B(1)(a)). Persons accepting concessions have a duty to comply with the written agreements and with disposal/assignment constraints to avoid repayment liabilities (reg 9B).

The Regulations do not create new criminal offences beyond those existing in other Commonwealth, State or Territory laws; rather they define immunity limits and contractual repayment obligations under the indirect tax concession scheme. Enforcement mechanisms are predominantly contractual, administrative and civil.

For the indirect tax concession scheme, the Regulations require claimants to enter a written agreement with the Commonwealth to repay amounts paid under section 11C of the Act if triggering events occur , disposal of motor vehicles within three years, disposal of goods within two years, or assignment of services in permitted circumstances (reg 9B(1)(a)). The amount repayable is specified: for disposals the repayable portion is proportional to the remaining portion of the relevant time period (reg 9B(3)(a)); for assignable services the whole amount may be repayable (reg 9B(3)(b)). The Minister can require further written conditions, including provision of security, where a claimant has breached a previous agreement (reg 9B(1)(b)). These contractual arrangements create civil enforcement remedies for the Commonwealth to recover repayments; the Regulations contemplate repayment but do not prescribe criminal sanctions for non-payment.

Administrative enforcement is exercised by the Minister and specified agencies. The Minister has power to require compliance and to delegate that power in writing (reg 13). Claims for payment must be signed, accompanied by a tax invoice and sent to the ATO or DFAT Protocol Branch as specified (reg 9C). The ATO or DFAT will therefore be the administrative gatekeepers for processing reimbursement and may reject claims that do not meet the formal requirements.

Immunities are limited by express exclusions which also shape enforcement in ordinary courts. The Regulations remove immunities from civil and criminal process for recovery of damages and offences connected to motor vehicle accidents and motor traffic laws (reg 11). That carve-out means that ordinary civil liability claims and criminal prosecutions under motor traffic laws can proceed against the Organisation or relevant individuals despite otherwise applicable immunities. Immunity from process remains in place for matters not excluded.

Quarantine and import/export laws remain applicable (reg 12(1)); these laws are enforced by the relevant Commonwealth, State or Territory authorities and are not overridden by the Regulations. The Regulations expressly preserve immunity from civil or criminal process notwithstanding those laws (reg 12(2)), which means processes that would otherwise be attached to enforcement may still be restricted by immunity unless the immunity is lawfully waived or qualified.

There is no express schedule of fines or debarments in the Regulations themselves. Instead, enforcement is effected by payment refusal, demand for repayment under written agreements, and litigation in ordinary courts where immunities have been waived or do not apply. Practically, the Commonwealth’s tools are contractual recovery, administrative processing by the ATO and DFAT, and use of the Minister’s delegation and conditions powers (regs 9B, 9C, 9D, 13).

The Regulations operate as an implementation instrument under the Act and deliberately cross‑reference and intersect with a number of other Australian statutes and administrative processes. The Act is the primary enabling statute; the Organisation is declared to be an international organisation to which the Act applies (reg 4), and multiple Schedule privileges and immunities in the Act are imported by reference (reg 6(1), regs 7-9).

Tax law interaction is central. The terms "taxable supply" and "tax invoice" are given the meanings in the GST Act (reg 3). The Regulations limit the Organisation’s indirect tax privileges to the exemption in section 11B of the Act and concessions under section 11C of the Act in relation to specified acquisitions (reg 6(3)). The note to reg 9A makes explicit that section 11C establishes a reimbursement scheme by the Commissioner of Taxation for indirect tax payable for acquisitions covered by these Regulations. The Income Tax Assessment Act 1936 is invoked to define residency for taxation purposes, which affects whether salary and allowances paid to officers are exempt from income tax (reg 9(2)). The Customs Act 1901 is engaged where warehoused goods and importation immunities are concerned (reg 9A(1)(c)).

Administrative law and departmental procedures intersect with claim processing. Claims for motor vehicles must be sent to the Protocol Branch of the Department of Foreign Affairs and Trade, while other claims go to the Australian Taxation Office (reg 9C(c)). The Regulations thus require coordination across DFAT and ATO administrative systems and the Minister’s office for delegation decisions (reg 13).

State and Territory laws retain application in specific domains. Regulation 6(2) identifies that the Organisation is not exempt from dues or taxes that constitute payment for specific services in respect of premises it uses. Regulation 11 removes immunities for motor vehicle-related civil and criminal process, enabling Commonwealth, State and Territory motor traffic and civil claims to proceed. Regulation 12 states that the Regulations do not affect the application of quarantine and import/export laws of the Commonwealth, States or Territories, while preserving immunity from civil or criminal process. This produces a layered interaction: statutory immunities do not displace regulatory public-health or customs compliance obligations, but they do shelter from process unless otherwise qualified.

The Regulations also interact with international obligations. They implement Australia’s recognition of international organisation privileges under bilateral or multilateral arrangements by giving domestic legal effect to immunities imported from the Act. They permit foreign governments to waive privileges conferred on their representatives (reg 10(3)), which will interact with diplomatic practice and any bilateral agreements.

Finally, the amendments history shows the Regulations were updated in 2000 primarily to add the indirect tax concession mechanics (Table of Amendments; Table A). That amendment explicitly created the detailed cross‑statutory mechanics necessary to reconcile the Act’s concession scheme with domestic GST, customs and income tax frameworks (regs 9A-9D).

The compilation states the Regulations were made in 1998 as Statutory Rules 1998 No. 66 and were amended by Statutory Rules 2000 No. 201, with consequential changes effective on commencement dates noted (Notes and Table of Statutory Rules). The relevant timeline in the instrument shows the Regulations were prepared and compiled to take into account amendments up to SR 2000 No. 201.

The Table of Amendments records that Regulation 3 (definitions) was amended by 2000 No. 201, and Regulation 6 was amended by the same instrument. Importantly, Regulations 9A-9D were added by SR 2000 No. 201. Regulation 13 was also added or amended by SR 2000 No. 201. The Table A "Purpose of Regulations" entry for SR 2000 No. 201 expressly states the 2000 instrument amended the Regulations "to apply the indirect tax concession scheme under section 11C of the Act to the organisations covered by those Regulations and officers and high officers of those organisations." That confirms the main substantive policy addition in 2000 was the indirect tax concession mechanics.

Commencement dates are documented in Table of Statutory Rules: SR 1998 No. 66 is noted with a Gazette date of 24 Apr 1998 but the commencement date listed is 1 July 2001 (see reg 2 and Gazette 2001, No. GN26). The amendment SR 2000 No. 201 has Gazette notification 31 July 2000 and a commencement date 1 July 2000 (see reg 2), and Table A records that reg 3 applied as a transitional provision. The compiled instrument notes that the compilation was prepared on 1 July 2001 taking into account amendments up to SR 2000 No. 201.

Mechanically, the addition of regs 9A-9D in 2000 is significant because they implement and restrict the Act’s indirect tax reimbursement scheme (section 11C of the Act) in three ways: definition of covered acquisitions (9A), conditions and repayment rules (9B), claims procedures and timing (9C), and manner of payment (9D). The Table of Amendments therefore documents the policy move from a more general statutory concession to a regulated, administratively operable concession scheme for this Organisation.

Other amendments to regulation 6 and the definitions in regulation 3 indicate tweaks to scope and cross-references, including embedding GST Act and Customs Act definitions and clarifying the Organisation’s indirect tax privileges are limited (reg 6(3)). The compilation’s notes are the sole historical record provided in the source; there are no other amendment instruments or legislative histories referenced in the text beyond SR 2000 No. 201.

The Regulations themselves do not record any litigation. The instrument contains no references to court decisions, no judicial interpretation, and lists no cases. The source material supplied is a Government compilation of the Regulations and accompanying notes and amendment tables; it does not include any reported judicial consideration.

Accordingly, based on this source alone there is no litigation history to report. Any enquiries about judicial interpretation of the Act’s Schedules as applied to this Organisation, disputes about waiver, claims processing or repayment obligations under reg 9B, or contested applications of exclusions such as the motor vehicle liability carve-out (reg 11) would need to be researched in external case law databases. The Regulations provide the statutory rules and administrative routing for claims and repayments but do not themselves summarise or cite any case law that addresses their application.

Practitioners needing case law should therefore treat the Regulations as the starting point and undertake searches for litigation about: the Act’s Schedule immunities in practice; challenges to ATO or DFAT decisions under reg 9C and reg 9D; disputes over the operation or enforceability of written repayment agreements contemplated by reg 9B; judicial treatment of residency-based limits (regs 7(4), 8(3), 9(2)); and controversies over whether particular acquisitions fall within reg 9A(1) categories (for example, services "directly relating to aquaculture or aquaculture technologies"). None of those outcomes or any reported decisions are provided in the Regulations’ text.

Several operational and legal pitfalls flow directly from the text and must be managed. First, immunities are not universal. The Organisation is not exempt from payments that are "payment for specific services" in respect of premises it occupies (reg 6(2)). This means local rates, utilities or service charges that are framed as payment for services may remain payable even where other tax immunities apply. Practitioners should not assume blanket exemption from all local dues.

Second, indirect tax concessions are tightly circumscribed. The Organisation’s indirect tax privileges are explicitly limited to the exemption in section 11B and to concessions under section 11C relating only to acquisitions specified in reg 9A(1) (reg 6(3)). Reg 9A contains precise categories and a per-invoice threshold for many covered acquisitions (taxable supply of at least $200 including indirect tax) (reg 9A(1)(a)). If an acquisition falls outside those categories or under the threshold, a reimbursement under section 11C may not be available. The test is transaction-specific at the time of acquisition (reg 9A(2), 3(4) regarding intention for official or personal use).

Third, residency and citizenship carve-outs narrow immunities for many persons. Australian citizens and permanent residents do not receive Coordinator or representative immunities beyond acts performed in the course of duties (regs 7(4), 8(3)). Officers who are residents under the Income Tax Assessment Act 1936 face limitations on exemption of salary and allowances (reg 9(2)). That affects payroll planning, tax withholding and entitlement to concessions.

Fourth, motor vehicle rules are complex and create repayment risk. Coordinator and officer motor vehicle acquisitions are covered only in narrowly defined circumstances, including timing of acquisition relative to installation, exceptional circumstances for replacement (defined to include theft or damage beyond repair), and limits on frequency (reg 9A(4)-(6)). A breach of the disposal rules triggers contractual repayment obligations (reg 9B(1)(a)-(3)), and the Minister may require security if there is history of non-compliance (reg 9B(1)(b)).

Fifth, disposal rules include anti-circumvention language. The Regulations treat chains of disposals as a disposal within the relevant period where goods first pass to someone entitled to the concession and are later transferred to a person not entitled (reg 9B(2)(b)). Sale‑and‑leaseback to a finance company is expressly not a disposal (reg 9B(2)(a)). Practitioners should note that restructuring of ownership to evade repayment can be captured.

Sixth, timing and batching of claims is constrained to avoid overburdening processing. Except for motor vehicles and real property by lease, claims generally must be sent only with another claim or at least three months after another claim by the Organisation (reg 9C(e)-(f)). The note clarifies the intent to limit claims to one each quarter. This creates cashflow timing considerations for suppliers and the Organisation, and potential administrative delay.

Seventh, procedural strictness in claims is a technical risk. Claims must be signed by or for the Coordinator and accompanied by the tax invoice (reg 9C(a)-(b)). Motor vehicle claims go to DFAT Protocol Branch, other claims to the ATO (reg 9C(c)). Payment is to a single recipient or account nominated by or for the Coordinator (reg 9D). Failure to meet these formalities can result in rejection or delay.

Eighth, immunities do not cover motor-vehicle-related civil and criminal process (reg 11). Insurance and risk allocation must therefore be managed as for any other motor vehicle owner or driver in Australia. Finally, quarantine and customs laws remain applicable despite immunities from process (reg 12(1)-(2)), which is particularly relevant for imports of research materials, live organisms, or goods subject to biosecurity controls.

Compliance requires active administrative and legal steps aligned with the Regulations’ formalities and substantive limits. The following practical checklist follows directly from the text.

1. Establish formal recognition and corporate details. Ensure the Organisation’s corporate identity and registration are reflected in contracts and property titles to take advantage of the capacities in reg 5 (body corporate, capability to enter contracts, hold property and sue or be sued).

2. Identify eligible acquisitions under reg 9A. Before procurement, classify acquisitions against reg 9A(1) categories (goods on a single tax invoice for a taxable supply of at least $200 including indirect tax, specified services, certain imports, and items subject to a reimbursement arrangement with the Commonwealth). Document the intended official or personal use at the time of acquisition as required by reg 9A(2) and 9A(4)(a).

3. Maintain tax invoice and GST documentation. Claims require tax invoices defined by the GST Act (reg 3). Collect and retain tax invoices for eligible acquisitions and ensure they meet the $200 threshold where required (reg 9A(1)(a)). For warehoused goods or imported items, retain customs documentation that demonstrates immunity coverage (reg 9A(1)(c)).

4. Execute the required written agreement with the Commonwealth. For any concession claim, ensure that the claimant is subject to a written agreement to repay amounts if disposal or assignment events occur within the stated timeframes (reg 9B(1)(a)). Where the Minister requires, provide security or comply with additional written conditions (reg 9B(1)(b)).

5. Track disposal and assignment triggers. Implement an asset register noting acquisition dates, persons entitled to concession, and the relevant 2‑ or 3‑year limitation periods set out in reg 9B(1)(a)(i)-(ii). For leases, maintain records of lease periods; reg 9B(4) excludes lease payments relating to periods before disposal from repayment calculations.

6. Follow claims procedure and timing. Submit claims signed by or for the Coordinator, accompanied by the tax invoice, to the correct recipient: DFAT Protocol Branch for motor vehicle acquisitions, ATO for others (reg 9C(a)-(c)). Observe the limit on claim frequency by batching claims or waiting three months between claims where required (reg 9C(d)-(f)).

7. Nominate a single account recipient. Provide a single nominated recipient or account for payment of the amounts payable under section 11C as required by reg 9D. Keep banking authority documentation current to avoid payment delays.

8. Address residency and tax status. Determine whether officers or the Coordinator are Australian citizens or permanent residents and apply the residency exceptions: Australian citizens/permanent residents have immunities only for acts done in the course of their duties, and tax-exemption for salary and allowances for resident officers is limited (regs 7(4), 8(3), 9(2)). Coordinate with payroll and tax advisers to apply income tax withholding and reporting correctly.

9. Insure and manage motor vehicle risk. Treat motor vehicle use as subject to ordinary civil and criminal process for motor accidents and traffic offences (reg 11). Ensure appropriate motor vehicle insurance and compliance with motor traffic laws.

10. Observe quarantine and customs requirements. Comply with quarantine, importation and exportation laws despite immunities, and retain clearance and permit records (reg 12(1)). For imported warehoused goods, retain customs documentation demonstrating both importation and the immunity basis (reg 9A(1)(c)).

11. Use waivers and delegations properly. If privileges or immunities must be waived, ensure waivers are documented in writing and executed by the Organisation, the Coordinator or the relevant government, as authorised (reg 10). The Minister’s powers under reg 9B may be delegated in writing (reg 13); ensure any delegation is documented and that the delegate’s actions are recorded as Ministerial actions.

12. Prepare for audits and repayment demands. Keep clear records to respond to any ATO or Commonwealth enquiries and to support any repayment demand under the written agreement (reg 9B(3)). Be ready to provide security where the Minister demands it following a prior breach (reg 9B(1)(b)).

13. Coordinate inter-agency communication. Establish liaison with DFAT Protocol Branch and ATO for claim processing and with Customs and quarantine authorities for imports. The routing distinctions in reg 9C mean different agencies will handle different claim types.

Following these steps will align organisational practice with the formal requirements of regs 5-13 and the definitions in reg 3. Where uncertainty exists about classification of acquisitions or the interaction with GST, customs or income tax rules, obtain contemporaneous written advice and retain it as part of the claim file; the Regulations make claim processing and repayment contingent on documentary evidence and written agreements.
