Net Zero Economy Authority (Transitional Provisions) Act 2024

The Act’s operative concepts are transitional continuity, statutory preservation, and limited ministerial rule‑making for transition. These concepts are implemented through defined technical instruments in Schedule 1.

Definitions and cross‑reference continuity: Schedule 1, Part 1 defines “commencement day” (item 1(1)) and imports the Department of the Prime Minister and Cabinet Enterprise Agreement 2024-2027 as it stood immediately before commencement (item 1(1)). It also adopts existing statutory vocabulary from the Public Service Act 1999 by treating “non‑SES employee” as having the same meaning as in that Act (item 1(1)). Item 1(2) provides that expressions defined in the Net Zero Economy Authority Act 2024 have the same meaning in the Schedule. Those two measures ensure that the Schedule’s transitional rules operate with the same technical vocabulary used in primary public service instruments and in the principal Act.

Temporal application and saving of antecedent actions: Item 2 expressly applies subsections 9(1) and (2) of the principal Act in relation to notices given before, on or after commencement. Item 2 also provides that, for notices given before commencement, paragraph 56(2)(b) of the principal Act applies to any application made under section 56 of the principal Act. Those measures preserve the legal effect of antecedent administrative acts and provide a specified bridge for pre‑commencement notices and ensuing applications.

Ministerial discretion for startup appointments and governance calendar: Item 3 removes the operation of paragraph 42(1)(b) of the principal Act for the first CEO appointment, which, by the Schedule’s express note, permits the Minister to appoint the first CEO without a board recommendation. Item 4 suspends paragraph 31(2)(b) of the principal Act in the first calendar year, so the Board is not required to convene six meetings in that first calendar year. Both items temporarily reallocate decision rights away from the normal board process to facilitate initial establishment activity.

Personnel and industrial relations continuity: Items 6 and 7 deal with the Department of the Prime Minister and Cabinet Enterprise Agreement. Item 6(1) continues the enterprise agreement’s coverage of APS employees who it covered immediately before commencement and extends coverage to APS employees in the Authority at the relevant classification levels whose employment commences on or after commencement. Item 6(2) makes clear the CEO is covered as the Agency Head. Item 6(3)-(5) preserve lawful variation or termination processes and explicitly do not affect the operation of s 58 of the Fair Work Act 2009. Item 7 rewrites, for application after commencement, references in that enterprise agreement so that references to Secretary and Department are read as references to the CEO and the Authority respectively. Those items are designed to avoid employment and bargaining gaps on transition while allowing the agreement to be varied under law.

Document continuity and recordkeeping: Item 5 requires transfer to the Authority of documents that were in the possession of the Net Zero Economy Agency immediately before commencement. The Schedule’s note explicitly states transferred documents are Commonwealth records under the Archives Act 1983, which imposes archival status though the Schedule does not itself prescribe recordkeeping procedures.

Transitional rule‑making constraints: Item 8 gives the Minister power to make legislative instrument rules for matters required by the Act or convenient to give effect to it, and expressly allows transitional and saving provisions about the enterprise agreement and the principal Act’s enactment. Item 8(3) sets hard limits on the rules: they cannot create offences or civil penalties; they cannot confer powers of arrest, detention, entry, search or seizure; they cannot impose taxes; they cannot set appropriation amounts; and they cannot directly amend the texts of either Act. Thus the rule‑making power is broad for administrative transition but excludes coercive, fiscal and text‑amendment instruments.

Legal architecture: Section 3 of the Act confirms that legislation specified in a Schedule is amended or repealed as set out in that Schedule, and that other items in a Schedule have effect according to their terms (s 3). The Schedule here is entirely transitional and saving provisions. The Act therefore functions as a narrowly scoped enabling and preservational instrument to facilitate the principal Act coming into operation.

Employees and agency governance: The immediate and explicitly affected group is APS employees who are, or become on commencement, employed in the Net Zero Economy Authority. Schedule 1, Part 2, item 6(1) states that the Department of the Prime Minister and Cabinet Enterprise Agreement continues to cover APS employees who it covered immediately before commencement and those who become APS employees in the Authority on or after commencement at the covered classification levels. Item 6(2) extends coverage under that enterprise agreement to the CEO as Agency Head. Item 7 alters operative references in that enterprise agreement so that references to the Department and Secretary will be read as references to the Authority and the CEO. Those items mean that the enterprise bargaining instrument that applied in the Department of the Prime Minister and Cabinet continues to regulate terms and conditions for particular employees who transfer to the Authority on or after commencement.

The Board and Minister: Item 3 removes paragraph 42(1)(b) of the principal Act in relation to the first CEO appointment, and item 4 removes the requirement for the Board to convene six meetings in the calendar year in which the principal Act commences. Those changes directly affect the Board’s early governance responsibilities and transfer certain appointment discretions to the Minister for the first CEO appointment.

The Net Zero Economy Agency: One body specifically identified is the entity formerly known as the Net Zero Economy Agency. Item 5 applies to documents that were in the possession of that entity immediately before commencement and requires those documents to be transferred to the new Net Zero Economy Authority on or after the commencement day. The note to that item specifies that any documents transferred will be Commonwealth records for the purposes of the Archives Act 1983, which affects archival stewardship.

The Minister: Schedule 1, Part 3, item 8 grants the Minister power to make transitional rules by legislative instrument, subject to the enumerated limits. The Minister therefore has primary rule‑making discretion for transitional matters, though constrained as to scope by item 8(3).

Other stakeholders with an interest but not named: While the Act does not set out broader regulated persons, employers and unions are affected through the enterprise agreement continuity (items 6 and 7) because the agreement’s coverage and references are extended to the Authority. The Act also interacts with administrative recordkeepers, because transferred documents are expressly Commonwealth records (item 5 and its note). The Act does not address appropriation, taxation or criminal enforcement, so Treasury, the Attorney‑General’s portfolio, or criminal law agencies are not assigned new functions by this Act.

Those not affected (by explicit prohibition): The Act’s transitional rules power cannot be used to create offences or civil penalties or to impose taxes or appropriations (item 8(3)(a), (c), (d)). It also cannot confer arrest, detention or search powers (item 8(3)(b)), and cannot directly amend the primary texts (item 8(3)(e)). Therefore groups impacted only through criminalisation, civil‑penalty regimes or new fiscal burdens will not be affected by the Minister’s rules under this Act.

Geographical and temporal scope: The Schedule’s definition of “commencement day” (item 1(1)) fixes temporal reach to the day the Act commences, which per s 2 is tied to the principal Act’s commencement (table entry). The Act does not introduce separate geographical limits; it applies as Commonwealth legislation.

This Act confers and preserves administrative duties and rights rather than creating new compliance offences or penal regimes. The principal duties and rights created or preserved by the Schedule are administrative, employment and document management in character.

Duties on transfer and record custody: Schedule 1, Part 2, item 5 imposes a duty to transfer documents that were in the possession of the Net Zero Economy Agency immediately before commencement to the Net Zero Economy Authority on or after the commencement day. The accompanying note identifies those transferred documents as Commonwealth records for Archives Act 1983 purposes. That characterisation imposes archival status and related legal obligations under the Archives Act for custody and recordkeeping, although the Schedule itself does not set the Archives Act obligations in full; it does, however, change the custodial holder to the Authority for those specified documents.

Employment coverage rights and employer duties: Item 6(1) creates a right for specified APS employees to remain covered by the Department of the Prime Minister and Cabinet Enterprise Agreement after transfer to the Authority, namely those employees whom the enterprise agreement covered immediately before commencement and those who become APS employees in the Authority at covered classification levels whose employment commences on or after commencement. Item 6(2) makes the CEO covered by that enterprise agreement as the Agency Head. Item 7 requires that references in that enterprise agreement to Secretary and Department be read as references to the Authority and the CEO, so rights and duties expressed in the enterprise agreement remain operative but apply to the Authority as employer and to the CEO as Agency Head. Item 6(3) and (4) qualify that position by expressly permitting lawful variation or termination of the enterprise agreement in accordance with law and allow variation of employees’ terms and conditions as provided by those terms or by law. Item 6(5) explicitly preserves the operation of s 58 of the Fair Work Act 2009 (which concerns interactions between multiple enterprise agreements), indicating a legislative attention to avoiding conflicts in bargaining instruments.

Ministerial appointment and board duties: Item 3 removes paragraph 42(1)(b) of the principal Act for the first CEO appointment. Practically, this confers to the Minister the immediate duty and right to appoint the first CEO without a board recommendation that the principal Act would otherwise require. Item 4 relaxes the board’s duty to meet at least six times in the first calendar year, removing that deliberative frequency obligation for the initial year. Those two items adjust governance duties at the outset of the Authority.

Rule‑making and procedural authority: Item 8(1) grants the Minister power to make rules by legislative instrument specifying matters required or permitted to be prescribed or necessary to implement this Act; item 8(2) explicitly allows the rules to be of a transitional nature including savings and application provisions relating to the enterprise agreement or the principal Act’s enactment. Those provisions create a procedural right for the Minister to prescribe the fine‑grained mechanics of transition, and a corresponding duty for relevant agencies and persons to comply with any such rules, subject to the explicit prohibitions in item 8(3).

Prohibitions on certain powers and duties: Item 8(3) sets out express limits on the Minister’s rule power: rules may not create offences or civil penalties; may not confer arrest, detention, entry, search or seizure powers; may not impose a tax; may not set an appropriation amount from Consolidated Revenue Fund; and may not directly amend the texts of this Act or the principal Act. Those prohibitions function as express constraints on the duties and rights that rules may create or alter.

Absence of penal duties: The Act itself contains no penal offences or civil penalty provisions and prevents the Minister from creating such in rules (item 8(3)(a)). Consequently, the Act imposes administrative duties rather than criminal or civil‑penalty obligations.

Who decides and who must act: The Minister decides transitional rules and the first CEO appointment (items 3 and 8(1)). The Authority and its CEO are the practical recipients of duties such as document custody and enterprise agreement employer duties (item 5; items 6-7). APS employees are beneficiaries of continuing enterprise agreement coverage per the specified conditions. The Board experiences a temporary reduction in mandated meeting frequency (item 4). These decision and duty allocations are direct statements in the Schedule.

The Act does not create new criminal offences or civil penalties, and it explicitly limits the Minister’s rule‑making power to prevent the creation of such regimes by transitional rules.

No new penal provisions in the Schedule: Schedule 1 contains no provisions that create offences or civil penalties. Item 8(3)(a) explicitly prohibits any rule made under the item from creating an offence or civil penalty. Consequently, there is no express enforcement apparatus in this Act that relies on criminal sanction or civil penalty enforcement mechanisms.

Prohibitions on coercive powers: Item 8(3)(b) instructs that the rules may not provide powers of arrest, detention, or entry, search or seizure. That restriction prevents the Minister, by means of transitional rules, from creating coercive enforcement powers that go beyond administrative directions. The Schedule therefore confines enforcement to administrative and contractual mechanisms rather than coercive legal powers.

Appropriations and fiscal enforcement: Item 8(3)(d) prevents rules from setting an amount to be appropriated from the Consolidated Revenue Fund. That prohibition stops the transitional rules from creating funding obligations enforceable by appropriation. The Act itself does not appropriate funds. Therefore any enforcement or implementation activities that require funding will have to be met from existing appropriations or separate appropriation processes under other laws; the Schedule offers no appropriation or funding mechanism.

Enforcement by existing instruments: Where the Schedule preserves rights and duties under an enterprise agreement (items 6 and 7) or records law (item 5), enforcement would flow from those existing instruments and statutes (for example, the Fair Work Act 2009 and the Archives Act 1983) rather than from this Schedule. The Schedule explicitly preserves the operation of s 58 of the Fair Work Act (item 6(5)), but it does not itself duplicate or create enforcement processes under that Act. Thus, compliance enforcement will be by the established mechanisms in the relevant industrial or recordkeeping law.

Administrative compliance mechanisms: The Minister’s rule‑making power in item 8(1) allows the Minister to make rules that are necessary or convenient for giving effect to the Act, and item 8(2) notes the rules may prescribe transitional matters. Such rules, being legislative instruments, generally give rise to administrative compliance obligations that can be enforced through administrative decision‑making, employment processes, or contract remedies, but the Schedule forbids rules that create civil penalties. The Schedule does not itself define the procedural form of enforcement for rules, nor does it specify mechanisms such as administrative review, so any enforcement or compliance procedures for such rules would be found in the rules themselves or in other applicable legislation.

Limits on rule‑making,no text amendment: Item 8(3)(e) prevents the rules from directly amending the text of this Act or the Net Zero Economy Authority Act 2024. That constraint means the Minister cannot, by rule, alter the underlying legal obligations or introduce new penal or enforcement provisions by text amendment.

Practical implication: Entities affected by the Schedule should expect compliance obligations to be enforced through existing industrial law mechanisms where enterprise agreement rights are engaged, by administrative direction under lawful instruments where the Minister makes lawful rules within the permitted scope, and by recordkeeping duties under the Archives Act for transferred documents. The Schedule itself does not add a distinct penalty regime.

The Schedule is drafted to operate alongside and to preserve effects under a set of existing statutory instruments and industrial instruments. It therefore interacts with the Net Zero Economy Authority Act 2024, the Public Service Act 1999, the Department of the Prime Minister and Cabinet Enterprise Agreement 2024-2027, the Fair Work Act 2009, and the Archives Act 1983.

Interaction with the principal Act: The Schedule repeatedly references provisions of the Net Zero Economy Authority Act 2024 and is expressly subordinate to, and dependent on, its commencement. Section 2 provides that the entire Act commences at the same time as the Net Zero Economy Authority Act 2024, and will not commence at all if that principal Act does not commence (s 2(1) table). Item 1(2) in Schedule 1 imports definitions from the principal Act so that expressions carry the same meaning for transitional purposes. Items 2, 3 and 4 directly modify how certain provisions of the principal Act operate at and around commencement by specifying application of subsections 9(1) and (2) and paragraph 56(2)(b) (item 2), excluding paragraph 42(1)(b) for the first CEO appointment (item 3), and exempting paragraph 31(2)(b) for the first calendar year (item 4). Those are express saving or exclusionary modifications to the principal Act’s operation.

Public Service Act 1999: Item 1(1) treats “non‑SES employee” as having the same meaning as in the Public Service Act 1999. This imports established public service classification concepts into the transitional rules, aligning the Schedule with the public service employment framework.

Enterprise agreement and Fair Work Act 2009: Items 6 and 7 interact directly with industrial relations law. Item 6(1) continues the Department of the Prime Minister and Cabinet Enterprise Agreement’s coverage for certain APS employees post‑transfer, and item 6(2) extends coverage to the CEO as Agency Head. Item 6(3) preserves lawful variation or termination of that enterprise agreement, and item 6(5) expressly notes that this Schedule does not affect the operation of s 58 of the Fair Work Act 2009. That preserves the interaction between multiple enterprise agreements and ensures the transition aligns with the established statutory regime for enterprise agreements under the Fair Work Act.

Archives Act 1983: Item 5 provides for the transfer of documents from the outgoing Net Zero Economy Agency to the Authority and explicitly records that any documents transferred are Commonwealth records for the purposes of the Archives Act 1983. This interaction changes custodian status and brings the transferred documents within the Archives Act’s recordkeeping and custody framework, even though the Schedule itself does not restate the Archives Act’s operative obligations.

Legislative instrument framework: Item 8(1) provides the Minister with a power to make rules as legislative instruments for matters required or convenient for carrying out the Act. That places transitional rules within the legislative instrument family. Item 8(3) imposes limits on those rules, preventing them from creating offences, civil penalties, coercive powers, taxes, appropriations, or textual amendments of the relevant Acts. The Schedule does not specify the parliamentary oversight mechanism for legislative instruments; it simply labels the rules as legislative instruments.

Limits on fiscal and penal interaction: By prohibiting rules from imposing tax or setting appropriation amounts from the Consolidated Revenue Fund (item 8(3)(c)-(d)), the Schedule prevents transitional rules from creating new taxation or appropriation obligations. By disallowing creation of offences and civil penalties in the rules, the Schedule limits penal expansion via transitional rule‑making (item 8(3)(a)).

No direct amendments of text by rules: Item 8(3)(e) prevents rules from directly amending the text of either this Act or the Net Zero Economy Authority Act 2024. Changes to the principal Act therefore require formal amendment processes rather than being achievable by transitional rule.

Operational implication: The Schedule functions as an overlay to the principal Act and to applicable employment and records laws. It preserves existing industrial coverage and record custody, adjusts governance arrangements for initial implementation, and gives the Minister limited instrumentality to prescribe transition details while expressly deferring to the established operation of the Fair Work Act and the Archives Act for enforcement and obligations that involve employment rights and records management.

This Act as presented is an original enactment with a single Schedule of transitional provisions. The formal enactment data in the text show it was assented to on 5 September 2024 (Act header), and section 2 sets out commencement mechanics tied to the Net Zero Economy Authority Act 2024 and records an intended commencement date of 11 December 2024 for the whole Act to commence at the same time as the principal Act (s 2(1) table entry). Section 2(2) contains the standard note that any information in column 3 of the table is not part of the Act and that the table relates only to the provisions of the Act as originally enacted.

Schedule 1 establishes the transitional amendments and savings the Act effects. Section 3 confirms the usual legislative mechanism that legislation specified in a Schedule is amended or repealed as set out in the applicable items in the Schedule, and that any other item in a Schedule has effect according to its terms (s 3). In this instrument, Schedule 1 contains application, saving and transitional provisions; no other Schedules are attached.

There are internal notes in the Schedule that explain effect. For example, the note following item 3 explains that the effect is that the Minister may appoint the first CEO without a recommendation of the Board. The note after item 4 explains the effect for Board meetings. These are explanatory notes contained in the Act text as published.

The Act contains no later amendment or consequential amendment entries beyond Schedule 1. The Act includes the standard legislative framing indicating that the schedule items have force as originally enacted and that the s 2 table is not to be taken as an ongoing amendment record (s 2(2)). The Act itself contains no express retrospective amendments to other Acts beyond the Schedule’s transitional treatment of documents and enterprise agreement coverage; for example, the Schedule does not purport to amend the text of the Fair Work Act 2009 or the Archives Act 1983.

No subsequent amendments of this Act are recorded in the source provided. The Act’s own s 2(2) warns that the table relates only to the provisions as originally enacted and will not be further amended in the published version; that is a standard drafting note and does not itself represent a substantive amendment. If amendments occur later to this Act, they would need to be reflected in future legislative instruments or amending Acts; no such instruments or Acts are included in the text supplied.

In short, the Act is an original, single‑purpose transitional statute, assented to 5 September 2024, with commencement tied to the principal Act and no amendment history recorded in the supplied text beyond the Schedule itself.

The supplied text contains no judicial or tribunal decisions, no references to litigation, and no list of cases interpreting any of its provisions. The only procedural legislative history included in the text is a note that the Minister made second reading speeches in the House of Representatives on 27 March 2024 and in the Senate on 24 June 2024; that is a parliamentary speech record, not a judicial decision. There is therefore no litigation history recorded in this instrument as provided.

Because the Schedule expressly relies on and references provisions of the Net Zero Economy Authority Act 2024 (for example subsections 9(1) and (2), paragraph 56(2)(b), paragraph 42(1)(b), and paragraph 31(2)(b)), any litigation concerning interpretation or operation of the transitional measures will likely involve questions about how those cross‑references operate in practice against the substantive provisions of the principal Act. However, the supplied text contains no reported cases, interlocutory rulings, judgments, or tribunal determinations involving this Act or the Schedule.

Where readers require case law on particular interactions (for example, disputes about enterprise agreement coverage or record custody under the Archives Act), they should consult decisions under those statutory regimes; nothing in the supplied Act text cites or summarises any such decisions. The Act’s provisions that may lead to litigation in future, appointment disputes for the first CEO, enterprise agreement coverage questions, or archival custody issues, are set out in the Schedule, but no judicial pronouncements appear in the source material.

To be clear and source‑grounded: the Act text itself contains no litigation history, and the only non‑statutory historical entries are the dates and places of the Minister’s second reading speech as set out at the end of the Schedule.

This is a transitional instrument and a short one, but a few concrete operational and legal points can catch implementers if not spotted. Each of the following points references the Schedule text directly.

1. Commencement dependency: The whole Act is set to commence at the same time as the Net Zero Economy Authority Act 2024 and will not commence if that Act does not commence (s 2(1) table). If the principal Act’s commencement is delayed or does not occur, none of these transitional measures will take effect. Implementation plans that assume the Schedule is operative irrespective of the principal Act will be wrong.

2. Minister can appoint the first CEO without board recommendation: Item 3 removes paragraph 42(1)(b) of the principal Act for the first appointment. The Schedule’s note plainly states the effect. This reallocation of appointment power is narrow (first appointment only) but it is immediate and definitive in the text, so any internal governance procedures expecting a board recommendation for the first CEO will be displaced.

3. Reduced board meeting frequency for the first year: Item 4 removes the six‑meeting requirement in paragraph 31(2)(b) for the calendar year of commencement. That suspension is time‑limited to the relevant calendar year in which the principal Act commences; it does not abolish any long‑term governance obligations. Organisations should not treat this as a permanent relaxation.

4. Enterprise agreement continuity can produce overlap: Item 6(1) keeps the Department of the Prime Minister and Cabinet Enterprise Agreement applying to employees who it covered immediately before commencement and to new APS employees in the Authority at covered classification levels whose employment commences on or after commencement. Item 7 then makes references in that enterprise agreement read as if they refer to the Authority and the CEO. The potential gotcha is textual mismatch: the enterprise agreement may contain terms that assume Departmental structures or processes that do not map perfectly to the Authority. Item 6(3) and (4) preserve lawful variation processes, but until any amendments are made those mismatches remain live.

5. CEO covered by enterprise agreement as Agency Head: Item 6(2) puts the CEO within the enterprise agreement’s coverage as Agency Head. That coverage is unusual for very senior agency heads in some contexts and may have implications for dispute resolution rights or bargaining flows. Practitioners should check the precise terms of the enterprise agreement as it applied immediately before commencement; the Schedule does not reproduce those terms.

6. Rules are legislative instruments but limited: Item 8(1) gives the Minister power to make rules by legislative instrument; item 8(2) allows transitional and saving provisions. However, item 8(3) lists hard exclusions, including prohibition on creating offences or civil penalties, conferring coercive powers, imposing tax, setting appropriation amounts, or directly amending the text of this Act or the principal Act. Implementers expecting the Minister’s rules to resolve every anomaly should note these constraints.

7. Funding silence: The Schedule prohibits rules from setting appropriations (item 8(3)(d)) and contains no appropriation itself. The Act does not specify funding for implementation. If implementation requires new resources, those will need to be supplied via existing appropriations or separate appropriation processes. The Schedule is silent; it does not create a funding stream.

8. Documents transferred become Commonwealth records: Item 5 requires transfer of documents and the note states they are Commonwealth records under the Archives Act 1983. That transfer changes custodian responsibilities immediately. Practically, implementing agencies must ensure transferred material is managed in line with Archives Act obligations.

9. Interaction with s 58 Fair Work Act: Item 6(5) explicitly states the Schedule does not affect the operation of s 58 of the Fair Work Act 2009. Practitioners should not assume this Schedule displaces the statutory rules governing multiple enterprise agreements.

10. No delegated power to change core texts: Item 8(3)(e) prevents the rules from directly amending the text of this Act or the Net Zero Economy Authority Act 2024. Any substantive textual amendments require primary legislation.

Those are concrete implementation and legal mechanics derived directly from the Schedule text. Because the Schedule is short and precise, the main operational risks arise from failure to account for its temporal and scope limitations, and from the margins where enterprise agreement language and archived departmental documents require active mapping into the new Authority’s arrangements.

This section sets out practical compliance steps for the principal actors the Act affects, grounded in the Schedule’s items.

For the Minister and central decision‑makers

• Prepare the first CEO appointment package and decision record: Item 3 permits the Minister to appoint the first CEO without a Board recommendation. Document the statutory basis for any appointment decision and ensure required instruments of appointment under the principal Act are in order.
• Draft any transitional rules that the Minister intends to make as legislative instruments under item 8. Ensure those rules do not attempt actions prohibited by item 8(3), namely creation of offences or civil penalties, conferral of arrest/detention/entry/search/seizure powers, imposition of taxes, setting appropriation amounts, or directly amending the texts of the Acts.
• Plan for Board governance in the first calendar year, noting item 4 removes the six‑meeting requirement; nonetheless consider voluntary meeting frequency consistent with good governance.

For the incoming Net Zero Economy Authority (senior management and legal)

• Execute transfer of documents: Item 5 requires transfer of documents that were in the possession of the Net Zero Economy Agency immediately before commencement. Implement a records transfer plan that identifies custodial chains, inventories documents to be transferred, and records transfer dates. Treat transferred documents as Commonwealth records under the Archives Act 1983 per the Schedule’s note and ensure compliance with recordkeeping obligations under that Act.
• Review the Department of the Prime Minister and Cabinet Enterprise Agreement: Item 6(1) and item 7 change the operative employer reference to the Authority and the CEO. Conduct a mapping exercise to identify where the enterprise agreement’s terms assume Department structures and processes that need adaptation. Identify employees covered both pre‑ and post‑commencement and ensure payroll, classification, and HR systems are aligned.
• Confirm CEO employment status under the enterprise agreement: Item 6(2) provides the CEO is covered as Agency Head. Check any clauses in the enterprise agreement that apply specifically to Agency Heads and ensure entitlements and dispute resolution pathways are operational.
• Plan for lawful variations: Items 6(3) and (4) preserve lawful variation or termination of the enterprise agreement and of employees’ terms and conditions by law or under those terms. If changes to bargaining coverage or terms are intended, plan those changes via the lawful Fair Work Act mechanisms and document consultation and legal bases.

For APS employees transferring to or employed in the Authority

• Verify classification and coverage: Under item 6(1) employees who were covered before commencement or who commence in the Authority at covered classification levels remain covered by the Department enterprise agreement as it stood immediately before commencement. Employees should obtain confirmation of their classification and the enterprise agreement coverage and review entitlements and dispute processes.
• Understand variation processes: Item 6(4) preserves the ability to vary terms in accordance with those terms or by law. Employees should monitor any bargaining activity or lawful variations under the Fair Work framework.

For recordkeeping officers and archivists

• Treat transferred documents as Commonwealth records: Item 5 and its note designate the transferred material as Commonwealth records under the Archives Act 1983. Ensure the Authority has policies and procedures for archival custody, retention schedules, access frameworks and the transfer of permanent records to the National Archives where required.

For legal and compliance teams

• Track legislative instruments: The Minister may make transitional rules as legislative instruments under item 8(1). Monitor the Federal Register of Legislation for any such instruments and review them promptly to identify administrative obligations, savings or application provisions. Verify that any rules remain within the item 8(3) prohibitions and that they do not purport to create penal obligations.
• Reconcile enterprise agreement references: Item 7 requires that on and from commencement the enterprise agreement be read as if references to the Secretary and Department were references to the CEO and the Authority. Legal teams should carefully check every clause in the existing enterprise agreement where organisational references carry operative consequence and should issue guidance about how specific provisions will be applied to the Authority.
• Document funding arrangements: The Schedule contains no appropriation and forbids rules from setting appropriation amounts (item 8(3)(d)). If new activities require funding, ensure appropriation is sought or identify existing appropriation sources. Do not rely on transitional rules to create funding.

Checklist for immediate actions (mapped to Schedule items)

• Confirm commencement timing and dependency on the principal Act (s 2(1) table).
• Inventory and transfer documents from the Net Zero Economy Agency to the Authority (item 5).
• Identify all APS employees covered by the Department enterprise agreement who are in scope by classification and employment date (item 6(1)).
• Update internal HR and payroll references so that where the enterprise agreement is operative references to Department/Secretary are read as Authority/CEO (item 7).
• Prepare and document the first CEO appointment decision (item 3).
• Adjust Board meeting schedules for the first calendar year in which the principal Act commences (item 4).
• Monitor and review any Ministerial legislative instruments under item 8 for administrative obligations and savings provisions, ensuring those instruments stay within the item 8(3) prohibitions.

By following these steps and referencing the specific Schedule items cited above, implementers can align operational practice with the Act’s transitional architecture. Keep contemporaneous records of transfers, appointments and any rule‑making to show statutory compliance with the Schedule’s provisions.
