National Trust of South Australia Act 1955

The central concept in the Act is the constitution of The National Trust of South Australia as a body corporate under section 3. This body has perpetual succession and a common seal. It possesses the capacity to acquire, hold and dispose of real and personal property for the purposes of the Act. The corporate nature allows it to enter contracts, hold title to land and chattels, and engage in legal proceedings in its own name. All such powers remain subject to the rules of the National Trust for the time being in force.

Membership of the National Trust is defined in section 4. The National Trust consists of persons and bodies corporate who are for the time being members in accordance with the rules. It also includes persons holding office as nominated councillors. This structure separates ordinary membership from the nominated councillors who form part of the governing body.

The objects of the Trust are set out in section 5. These objects focus on preservation and maintenance of lands and buildings of specified interests. They extend to protection of amenities and surroundings. Preservation of chattels such as furniture and pictures is included. Public access and enjoyment form a distinct object. The specific inclusion of Ayers House under subsection 5(1)(e) introduces a targeted heritage conservation requirement linked to the Ayers House Act 2024. Section 5(2) cross-references the definition in that later Act.

The Council is the primary governance concept under section 6. It administers, manages and conducts the affairs, business and management of the National Trust. Its constitution and powers are prescribed in the rules made under the Act. This creates a delegated governance model where detailed operational rules sit outside the primary legislation but bind the Council.

Exemptions from rates, taxes and duties constitute another core concept in section 7. Real estate and leasehold property of the National Trust is exempt from State taxes and rates other than water rates. Succession duty does not apply to property derived by or accruing to the Trust. Stamp duty exemptions apply to instruments assuring or vesting property in the Trust for the purposes of the Act. These provisions reduce the fiscal burden on property transactions involving the Trust.

Regulation-making power under section 8 is a key operational concept. The Council may address safety, preservation, traffic, public access hours, entrance fees, trespass, protection of flora and fauna, and other administrative matters. Breaches may be prescribed as offences with a maximum fine of forty dollars. Regulations require Governor confirmation before they have effect. Section 38 of the Acts Interpretation Act 1915 governs their publication and parliamentary scrutiny.

Rules and by-laws under section 9 provide the internal regulatory framework. The Council may make them for purposes existing before the 1975 amendment and for additional purposes proclaimed from time to time. New sets of rules and by-laws were required after the 1975 amendment. Existing rules and by-laws continued until replaced. Approval requires two-thirds concurrence of Council members and approval by a general meeting of the National Trust. Section 38 of the Acts Interpretation Act 1915 applies, subject to these additional requirements.

The Act directly affects the National Trust itself as the body corporate established under section 3. It must operate within the objects of section 5, administer its affairs through the Council under section 6, and comply with the regulation, rule and by-law making processes in sections 8 and 9. The Trust benefits from the exemptions in section 7 when holding or receiving property.

Members of the National Trust are affected under section 4. This includes persons and bodies corporate admitted as members according to the rules. Nominated councillors also form part of the membership. These individuals and entities participate in the governance of the Trust, including approval of rules and by-laws at general meetings.

The Council and its councillors are affected by section 6. The Council bears responsibility for administration and management. Councillors must ensure compliance with the rules when exercising powers. They participate in the making of regulations under section 8 and rules and by-laws under section 9, including the two-thirds concurrence requirement.

Property owners and potential donors are affected through the stamp duty exemption in section 7(3). An instrument or agreement assuring real or personal property to the National Trust for the purposes of the Act is exempt from stamp duty. This facilitates transfers of land, buildings and chattels without the usual duty cost, provided the transfer aligns with the objects in section 5.

The public is affected through the objects in section 5, particularly public access to and enjoyment of lands, buildings and chattels. Regulations made under section 8 may fix opening hours, entrance payments and conditions of entry. They may also address conduct on Trust property, including exclusion of disorderly persons and prevention of damage to animals, birds, trees and plants.

State government entities responsible for rates, taxes, succession duty and stamp duty are affected by the exemptions in section 7. These entities must apply the exemptions to qualifying property of the National Trust. The Governor is affected by the requirement to confirm regulations under section 8(2) before they take effect.

The Minister is affected by the power under section 9(2) to allow further time for the Council to make new rules and by-laws after the 1975 amendment. The Parliament is affected by the requirement that regulations be laid before it after Governor confirmation.

Persons visiting or using Trust property are affected by any regulations made under section 8 concerning traffic, conduct, entrance fees and protection of property. Breaches may result in summary fines up to forty dollars.

The National Trust holds the right under section 3 to sue and be sued in its corporate name. It possesses the right to purchase, hold and dispose of land and any estate or interest in land. It may hold and dispose of all other real and personal property for the purposes of the Act. It may exercise all powers and functions of an incorporated body, subject to the rules.

The National Trust has the duty to pursue the objects listed in section 5. These include promoting preservation and maintenance of lands and buildings of beauty or historic, scientific, artistic or architectural interest. It must promote preservation of natural aspects, features and animal and plant life on lands. It must protect and augment amenities of lands and buildings and their surroundings. It must preserve furniture, pictures and chattels of national, historic, artistic or scientific interest. It must facilitate public access and enjoyment. It must protect and conserve Ayers House in accordance with the Ayers House Act 2024.

The Council has the duty under section 6 to administer, manage and conduct the affairs, business and management of the National Trust. It must do so in the manner prescribed in the rules. It holds the right to exercise the powers and duties set forth in the rules.

The Council holds the right under section 8 to make regulations for the listed purposes. These rights are subject to the duty to submit regulations to the Governor for confirmation. Regulations do not take effect until confirmed. The Council must ensure regulations address safety, preservation, traffic, public access, entrance fees, trespass, protection of flora and fauna, and other administrative matters. It may declare breaches to be offences with fines up to forty dollars.

The Council has the right under section 9 to make rules and by-laws for permitted purposes. This right is subject to the duty to obtain two-thirds concurrence of the whole number of Council members. Rules and by-laws must also receive approval by resolution of a general meeting of the National Trust before taking effect. The Council had a duty after the 1975 amendment to make new sets of rules and by-laws within the specified timeframe or extended period allowed by the Minister.

Members of the National Trust have the right to participate in general meetings for the approval of rules and by-laws. Nominated councillors hold office as part of the membership structure under section 4.

Persons assuring property to the National Trust hold the right to the stamp duty exemption under section 7(3), provided the assurance is for purposes of the Act. The National Trust holds the right to receive such property without succession duty under section 7(2) and without rates or taxes other than water rates under section 7(1).

Section 8(1)(h) authorises the Council to declare that any breach or non-observance of a regulation shall be an offence. It may prescribe fines recoverable summarily, but not exceeding forty dollars for any such offence. This creates a summary offence regime for matters such as damage to property, disorderly conduct, non-payment of entrance fees, trespass, and interference with animals, birds, trees or plants on Trust property.

Enforcement of regulations occurs through the summary jurisdiction of the courts. Fines are recoverable summarily, meaning proceedings would be brought in the Magistrates Court or equivalent. The maximum penalty remains fixed at forty dollars regardless of the nature of the breach.

Regulations themselves require Governor confirmation under section 8(2) before publication in the Gazette or being laid before Parliament. Without confirmation, regulations have no effect. This provides an executive check on the content of regulations before they can be enforced.

Section 38 of the Acts Interpretation Act 1915 applies to regulations made under section 8. This section governs the making, publication and parliamentary scrutiny of regulations. It ensures that regulations follow standard subordinate legislation procedures in South Australia.

Rules and by-laws under section 9 do not carry direct penalty provisions in the Act. Their enforcement would depend on the content of the rules themselves and any contractual or membership obligations they impose on members. No fines or offences are prescribed in the primary Act for breaches of rules or by-laws.

The Act does not establish any specific enforcement body or inspector regime. Enforcement of regulations would rely on the general powers of police or authorised officers under the regulations themselves, or through civil proceedings by the National Trust to protect its property.

The Trust may use its corporate powers under section 3 to bring civil proceedings for trespass, damage or other interference with its property, independent of any regulatory offences. Such proceedings would be available in addition to any summary fines under regulations.

The Act interacts with the Ayers House Act 2024 through the amendment to section 5. Subsection 5(1)(e) requires the National Trust to promote the protection and heritage conservation of Ayers House in accordance with any requirements under the Ayers House Act 2024. Section 5(2) adopts the definition of Ayers House from that Act. This creates a direct statutory link between the objects of the National Trust and the specific heritage regime for Ayers House.

The Act interacts with the Acts Interpretation Act 1915. Section 8(3) provides that section 38 of the Acts Interpretation Act 1915 applies to regulations made under section 8. Section 9(3) provides that section 38 applies to rules and by-laws, subject to the additional approval requirements in that subsection. Section 39 of the Acts Interpretation Act 1915 is also referenced in section 9(3) without limiting its application.

The Act interacts with State revenue laws through the exemptions in section 7. Subsection 7(1) exempts real estate and leasehold property of the National Trust from taxes, rates except water rates, and other imposts under any law of the State. Subsection 7(2) exempts property derived by or accruing to the National Trust from succession duty. Subsection 7(3) exempts instruments or agreements assuring or vesting property in the National Trust from stamp duty. These provisions override the normal application of the relevant revenue statutes for qualifying transactions.

The Act interacts with the general law of corporations and property through the body corporate status in section 3. The National Trust may purchase, hold and dispose of land and other property. It may sue and be sued. These rights operate subject to the rules of the National Trust.

The Act interacts with local government rating laws through the partial exemption in section 7(1). Water rates remain payable, while other rates are exempt. This requires local councils to distinguish between water rates and other rates when assessing Trust property.

The Act interacts with the law governing subordinate legislation through the confirmation and publication requirements in section 8(2). Regulations must be confirmed by the Governor and then published in the Gazette before having effect. They must also be laid before Parliament.

The Act interacts with the internal governance requirements for incorporated bodies through the rule and by-law approval process in section 9(3). The two-thirds Council concurrence and general meeting approval add layers beyond standard corporate decision-making.

The legislative history records two principal amendments since the original enactment. The National Trust of South Australia Act Amendment Act 1975 commenced on 20 November 1975. This amendment affected section 9. It expanded the purposes for which the Council could make rules and by-laws to include purposes declared by proclamation. It imposed a duty on the Council to make a new set of rules and a new set of by-laws within six months after commencement or such further time as the Minister allowed in writing. It provided for the continuation of existing rules and by-laws until the new sets took effect. It repealed the schedule to the Act. These changes addressed the internal regulatory framework following a period of operation under the original rules.

The Ayers House Act 2024 amended section 5. Schedule 1 clause 1(1) amended subsection 5(1) by adding paragraph (e) concerning the protection and heritage conservation of Ayers House. Schedule 1 clause 1(2) inserted subsection 5(2), which provides that Ayers House has the same meaning as in the Ayers House Act 2024. These amendments commenced on 1 July 2024. They integrate the specific heritage obligations for Ayers House into the objects of the National Trust. The change ensures that the Trust's statutory purposes expressly encompass the conservation requirements applicable to that property under the later Act.

No other amendments are recorded in the provisions amended since 3 February 1976. The principal Act and the 1975 amending Act remain the foundational instruments, with the 2024 change adding a targeted object.

The source text of the Act does not reference any specific court challenges or controversies. Section 3 confers on the National Trust the capacity to sue and be sued in its corporate name. This provides a general mechanism for the Trust to initiate or defend proceedings concerning its property, contracts or other rights. Any such proceedings would be determined according to the general law of South Australia, subject to the rules of the National Trust.

The Act contains no provisions establishing special jurisdiction, limitation periods or procedural rules for disputes involving the Trust. Disputes concerning property held by the Trust, membership rights, or the validity of regulations, rules or by-laws would be resolved through ordinary court processes.

The requirement in section 9(3) that rules and by-laws receive two-thirds Council concurrence and general meeting approval creates potential for internal disputes over governance. Such disputes could lead to proceedings challenging the validity of a rule or by-law if the approval process was not followed. The Act does not prescribe any internal dispute resolution mechanism.

The stamp duty exemption in section 7(3) could give rise to questions about whether a particular instrument qualifies as being for the purposes of the Act. Revenue authorities or parties to a transaction might seek judicial clarification on the scope of the exemption in a specific case. The Act provides no interpretive guidance beyond the reference to purposes of the Act.

The regulation-making power in section 8 could lead to challenges to the validity of particular regulations on grounds such as failure to obtain Governor confirmation or inconsistency with the objects in section 5. Section 38 of the Acts Interpretation Act 1915 would apply to such challenges through its standard provisions for subordinate legislation.

The source text does not record any historical or ongoing controversies concerning the operation of the Act. The legislative history notes only the dates of assent, commencement and amendment without reference to any litigation or public debate.

One practical consideration arises from the interaction between section 7 exemptions and the requirement that property be held for the purposes of the Act. The stamp duty exemption in subsection 7(3) applies only to instruments assuring or vesting property for purposes of the Act. A transfer that does not clearly align with the objects in section 5 may not qualify. Legal practitioners advising on donations or bequests should ensure documentation expressly references the relevant objects.

The maximum fine of forty dollars prescribed in section 8(1)(h) for regulation breaches remains unchanged since 1955. This amount is low by contemporary standards. Compliance professionals should note that the deterrent effect may be limited, and the National Trust may need to rely more on civil remedies or exclusion powers under regulations rather than fines.

The requirement in section 8(2) that regulations be confirmed by the Governor before publication creates a delay between Council approval and enforceability. Organisations managing Trust property should allow time for this process when planning regulatory controls such as entrance fees or opening hours.

Section 9(3) imposes a dual approval process for rules and by-laws: two-thirds concurrence of the whole Council plus approval by a general meeting. This is stricter than standard corporate majority requirements. Failure to document both steps could render a rule or by-law ineffective. The Council must maintain records demonstrating compliance with both thresholds.

The continuation provision in section 9(2) for pre-1975 rules and by-laws applied only until new sets were made. Practitioners reviewing historical governance documents should confirm whether the current rules and by-laws were properly made under the post-1975 process.

The exemption from rates in section 7(1) excludes water rates. Property managers must ensure that water rate accounts are paid separately and that any rate notices distinguish water rates from other rates to avoid disputes with local councils.

The definition of membership in section 4 includes both rule-based members and nominated councillors. Governance documents must clearly distinguish the rights and obligations of each category, particularly regarding voting at general meetings for rule approvals.

The objects in section 5 now include the Ayers House requirement under subsection 5(1)(e). Any property management or conservation activity concerning Ayers House must also satisfy requirements under the Ayers House Act 2024. Cross-referencing both statutes is necessary when dealing with that property.

Organisations or individuals seeking to transfer property to the National Trust should prepare instruments that expressly state the transfer is for the purposes of the National Trust of South Australia Act 1955. This supports the stamp duty exemption under section 7(3). Legal practitioners should review the objects in section 5 to confirm alignment, particularly the new Ayers House provision if relevant.

The Council of the National Trust must ensure that any proposed regulations are drafted to address only the matters listed in section 8(1). After Council approval, the regulations must be submitted to the Governor for confirmation. Only after confirmation may they be published in the Gazette and laid before Parliament. The Council should maintain records of the confirmation date to establish when regulations become enforceable.

When making or amending rules or by-laws, the Council must first achieve concurrence of two-thirds of the whole number of its members. The proposed rule or by-law must then be submitted to a general meeting of the National Trust for approval by resolution. Only after both steps may the rule or by-law take effect. The Council should document the voting at each stage and retain minutes as evidence of compliance.

Members of the National Trust should review the current rules to understand admission criteria, rights and obligations. Nominated councillors should confirm their status under section 4 and participate in Council decisions, including the two-thirds concurrence for rules and by-laws.

Property managers responsible for Trust lands or buildings should implement controls consistent with any regulations made under section 8. This includes managing public access hours, entrance payments, traffic, conduct and protection of flora, fauna and structures. Staff should be trained on exclusion powers for non-payment or disorderly behaviour.

Donors or their advisers should obtain confirmation from the National Trust that a proposed gift aligns with the objects in section 5 before completing the transfer. This supports both the stamp duty exemption and the succession duty exemption under section 7.

The National Trust should periodically review its rules and by-laws to ensure they remain current and have been made in accordance with section 9. Any proclamation declaring additional purposes for rules or by-laws should be monitored through official channels.

When dealing with Ayers House, the National Trust must ensure its activities satisfy both the objects in section 5(1)(e) and any requirements under the Ayers House Act 2024. Compliance documentation should reference both statutes.

Legal practitioners advising clients on potential disputes with the National Trust should note the Trust's capacity to sue and be sued under section 3. Proceedings would follow ordinary court processes, with any internal governance challenges focusing on compliance with the approval requirements in section 9(3).
