National Trust of Australia (W.A.) Act 1964

The Act organises several recurring conceptual frameworks that determine power, accountability and operational scope.

Objects and purposes. The Trust’s objects, expressed in the Schedule, define a public educational and preservation remit: public education about places and things of local or national importance, compiling and preserving records, maintaining libraries, organising lectures and exhibitions, acquiring and managing land and buildings of historic or natural interest and charging admission fees (Schedule paras (a)-(u), (w)-(aa)). These objects are statutory limits on exercise of power: the Act repeatedly ties powers back to carrying out or ancillary to the objects (s 7(2), Schedule (u), (af)).

Corporate conversion and continuity. The statutory body inherits the Association’s membership, assets and obligations on commencement (s 4(1), s 6(1)-(6)). Contracts, rights and proceedings of the (now dissolved) Association operate as if made by The Trust (s 6(6)-(7)). Property vests in The Trust subject to existing trusts and conditions (s 6(4)(b)). This creates legal continuity while moving the entity into a statutory governance regime.

Mixed governance model. The Council is the central governing organ (s 7). Composition is hybrid: 16 elected councillors chosen by members in accordance with rules and nine appointed councillors selected from specific government and civil society bodies (s 10). Elected councillors include the elected office‑holders (President, Vice Presidents, Secretary, Treasurer); appointed councillors include nominees of the Premier, the University Senate, historical and scientific societies, CWA, Tree Society, Western Australian Local Government Association and the Tourist Development Authority (s 10(b)(i)-(ix)). This structure embeds external institutional stakeholders into governance while preserving member elections for a majority of councillors.

Delegation, committees and executive functions. The Council may create an Executive Committee and delegate powers except the power of delegation itself (s 15(1)-(5)). Delegations are revocable at will (s 15(5)). Committees may co‑opt non‑members with Council approval (s 15(4)). The Chairman of the Council is ex officio a member of all committees (s 15(3)). These arrangements define the internal division of labour and the scope for operational delegation.

Property, land use and control instruments. The Trust has explicit powers to hold, lease, mortgage, charge, license and sell property (s 4(2)(b), s 21, s 20, Schedule paras (j), (x)). Two points require attention: disposals of property adjudged unrequired require the Governor’s consent and free purchasers from prior trusts or conditions (s 20(1)-(2), (3)); the Trust cannot borrow, mortgage or charge Trust property without the Minister’s prior written consent (s 21). The Trust may accept covenants restricting land use and these covenants are registrable and treated under the Transfer of Land Act 1893 provisions or applied analogously to non‑TLA land (s 21A(1)-(3)).

Financial controls and statutory audit. The Trust’s funds are defined and include Parliamentary appropriation (s 25). Investments are governed by the Trustees Act 1962 (s 19(1)), and the Financial Management Act 2006 and Auditor General Act 2006 apply to The Trust (s 23). By‑laws may impose penalties (limit $100) and fines under by‑laws are payable to The Trust and form part of Trust funds (s 26(2), s 25(f)). These provisions locate The Trust within the State’s financial oversight and audit architecture.

Legal protection and limits on liability. The Act includes a non‑justiciability protection for good faith acts: no action lies against the Council or councillors in respect of acts done in good faith under the Act (s 14(3)). Acts and proceedings are validated notwithstanding defects in appointment or disqualification discovered later (s 14(1)-(2)). Use of the common seal is formalised and courts must judicially notice it (s 16(1)-(4)).

Rulemaking and regulatory instruments. The Trust’s governance instruments are rules (made by general meeting) and by‑laws (made by the Council). By‑laws govern land and property management and require the common seal and Governor confirmation before publication and operation (s 26(1)-(3)). Rules regulate internal affairs, elections, membership categories, subscriptions and meeting conduct (s 27). The Act therefore separates internal governance (rules) from land and visitor regulation (by‑laws), with a stricter process and executive oversight for by‑laws.

Interactions with other statutes. The Act repeatedly qualifies powers by reference to other statutes: trustees’ investment rules (Trustees Act 1962 Part III) (s 19), Transfer of Land Act 1893 for registration of covenants (s 21A), Financial Management Act 2006 and Auditor General Act 2006 (s 23), Administration Act 1903 Part V and Duties Act 2008 exemptions (s 17), and Public Sector Management Act consistency for Senior Executive Service employees (s 22(2)). These references make the Act an integrative node in the statutory web.

Taken together these concepts shape internal decision flows, external stakeholder influence, statutory oversight, property and fiscal constraints and the legal protections available to the Council and councillors.

The Act creates legal and practical obligations and rights that affect identifiable groups. Members and the Association’s successors. The Association’s members become members of The Trust upon commencement (s 4(1)(a)). The Trust’s members are those who are members under The Trust’s rules (s 4(1)(b); s 3 definitions). Members elect the majority cohort of councillors (16 elected councillors) and thus the Act directly affects their voting rights, subscriptions and membership categories as regulated under s 27(e).

Councillors and office‑holders. Elected and appointed councillors are the primary decision‑makers. They are subject to terms, conditions, vacation rules and removal mechanisms set out in ss 11-13. Appointed councillors may be removed by the Minister for specified reasons including disability, bankruptcy, neglect of duty or misconduct (s 11(1)(c)). Councillors who hold office also face conflict provisions; for example, s 12(g) deems a councillor to have vacated office if they become interested in a contract without The Trust’s approval or share in its profit without approval.

Appointing and nominating bodies. Nine appointed councillors come from nominated external bodies (s 10(b)(i)-(ix)). Those bodies are the Premier and Treasurer (nomination), the Senate of the University of Western Australia, The Royal Western Australian Historical Society, Royal Australian Institute of Architects (WA Chapter), The Royal Society of Western Australia, The Country Women’s Association of WA (Inc.), The Tree Society (Inc.), the Western Australian Local Government Association and the Western Australian Tourist Development Authority (s 10). The Act therefore creates institutional entitlements for those bodies to place nominees on the Council, affecting their capacity to influence Trust governance.

Donors, grantors and testators. The Trust may accept gifts inter vivos and by will (s 18). The Act exempts certain instruments vesting property in The Trust from duty under the Duties Act 2008 and Part V of the Administration Act 1903 (s 17(2)-(3)). Donors and their legal advisers are affected by those duty and stamp exemptions, which change the cost and procedure of transferring property to The Trust.

Parliament and the State executive. The Act contemplates Parliamentary appropriation as a fund source (s 25(a)). The Governor must consent to amendment of the Schedule objects on The Trust’s request (s 5(2)), and to the disposal of property adjudged unrequired (s 20(1)). The Minister exercises removal power over appointed councillors (s 11(1)(c)) and must give prior written consent to borrowing, mortgaging and charging Trust property (s 21). The Financial Management Act 2006 and Auditor General Act 2006 apply to The Trust (s 23), embedding the Trust within State financial oversight and audit processes. These provisions mean executive and parliamentary actors can shape strategic capacity, financial access and constitutional status.

Property purchasers and third parties. Purchasers of Trust property are affected by s 20(2)-(3). When The Trust sells property pursuant to s 20(1)(a), the property vests in the purchaser freed from prior trusts or conditions. Purchasers are not required to inquire into whether the power to sell was properly exercised; the Act protects purchasers' title (s 20(3)). Conversely, persons who agree to covenants with The Trust over their land are bound by registration and the Transfer of Land Act equivalents (s 21A).

Users of Trust lands and buildings. The Trust may make by‑laws regulating use, conduct and charging admission fees for lands and buildings vested in or under control of The Trust (s 26(1)(a)-(k), (i)). The by‑laws can regulate parking, camping, animals, intoxicating liquor, fires and fee collection. People who enter Trust lands will be subject to those by‑laws once they are sealed, confirmed by the Governor and published (s 26(2)-(3)).

Employees and professional service providers. The Trust may appoint employees and engage professional persons and agents (s 22(1)(a)-(b)). However, where an appointee is a member of the Senior Executive Service, inconsistencies with the Public Sector Management Act are to be resolved by preferring that Act (s 22(2)). Contractors and service providers engaged by The Trust for conservation, exhibition, research and management functions will operate under the Trust’s procurement and delegation processes as established by Council and rules.

Local governments and other public bodies. The Trust is enabled to enter into agreements with local governments, corporations and individuals for management and preservation of places and to entrust property for safekeeping to local governments or public galleries (Schedule paras (p), (q), (r)). Local governments may therefore become partners, custodians or managers by contract.

Creditors and financiers. The Trust can borrow and secure repayment against its property but only with the Minister’s prior written consent (s 21; Schedule paras (ab), (ac)). Creditors seeking to lend to The Trust must consider that Ministerial consent is required and that purchasers of Trust property receive title freed from prior conditions on sale (s 20(3)). The Act therefore affects both the security available to lenders and the approval friction to borrowing.

Regulatory auditors and the public accounts system. Because the Financial Management Act 2006 and the Auditor General Act 2006 apply to The Trust (s 23), auditors and public sector finance managers will audit The Trust’s accounts and enforce public financial management rules.

Finally, the Act affects anyone involved in land title processes where The Trust accepts covenants. The Transfer of Land Act 1893 provisions (Division 3A Part IV) apply to registration, discharge, modification and dealing with such covenants (s 21A(2)), and where land is not under the Transfer of Land Act those provisions are applied so far as practicable through other instruments (s 21A(3)). This links The Trust to land title registries and to owners whose land may be bound by covenants.

The Act creates a network of duties, discretions and rights for The Trust, its Council and other interested parties. The Trust’s duty to pursue objects. The Council is required to administer, manage and conduct The Trust’s affairs subject to the Act and the rules, and to exercise powers necessary or convenient for giving effect to the objects of The Trust (s 7(1)-(2)). This makes delivery of the Schedule objects the central statutory duty.

Duty to comply with rules and by‑laws. Councillors and members must operate subject to this Act and to The Trust’s rules. The Council’s decisions and powers are subject to the rules and by‑laws; rules (s 27) regulate elections, member admission and subscriptions and govern meeting procedures. The Council’s by‑laws regulate lands and buildings and must be sealed and submitted to the Governor for confirmation before publication and having effect (s 26(3)). The Council therefore has a duty to follow internal instruments and to obtain executive confirmation for by‑laws affecting property and public conduct.

Fiduciary and conflict duties implicit in vacancy rules. The Act delineates circumstances that create a vacancy in office where a councillor becomes concerned in a contract without The Trust’s approval or participates in the profit of such contract (s 12(g)(i)-(ii)). These are statutory conflict rules that impose a duty on councillors to avoid unauthorised personal interest in Trust contracts. The Act also prohibits councillors from holding offices of profit under The Trust (s 12(f)), which limits dual interest.

Financial duties and audit obligations. The Trust’s funds are defined (s 25) and its financial administration and reporting are subject to the Financial Management Act 2006 and Auditor General Act 2006 (s 23). This places statutory duties on The Trust for budgeting, accounting, reporting and audit in line with public sector norms. The Trust must invest surplus funds consistent with trustees’ powers under the Trustees Act 1962 Part III (s 19(1)).

Property‑related duties. When The Trust adjudges property unfit or not required for its objects, it may, with the Governor’s consent, sell, exchange, dispose of or destroy property (s 20(1)). The Trust therefore has a duty to obtain Governor consent before disposal in those circumstances. Similarly, The Trust cannot borrow, mortgage or charge property except with prior written consent of the Minister (s 21). These provisions impose pre‑conditions on particular transactions.

Rights to accept gifts and receive exemptions. The Trust may accept gifts inter vivos and by will, and may disclaim them (s 18). The Act grants The Trust exemptions from rates and certain duties: no rates or State taxes on real property or chattel real belonging to The Trust (s 17(1)); no duty under Part V of the Administration Act 1903 in respect of property received by The Trust post‑commencement (s 17(2)); and instruments executed after commencement that assure property to The Trust are exempt from duty under the Duties Act 2008 (s 17(3)). These are statutory fiscal rights that lower the nominal cost of acquiring property.

Procedural rights. The Council may appoint an Executive Committee and delegate powers except the power of delegation itself (s 15(1)-(2), (5)). Committees can co‑opt persons with Council approval (s 15(4)). The Chairman is ex officio a member of all committees (s 15(3)). Delegation is revocable; that is a procedural right the Council retains.

Protections against challenge and liability limits. Acts and proceedings of the Council are not invalidated solely because of vacancies at the time (s 14(1)). Later-discovered defects in appointments do not vitiate Council acts (s 14(2)). Further, no action, claim or demand lies against the Council or councillors in respect of acts done in good faith under the Act (s 14(3)). These provisions limit exposure to litigation for those acting under the Act.

Membership and election rights. Members have rights under rules to elect councillors and office‑holders, including modes of postal and proxy voting dealt with by rules (s 27(b)-(c)). The first Council members and initial office‑holders continue until successors are elected in accordance with the Act and rules (ss 8-9). Members therefore retain control over governance via rule‑based elections.

Enforcement and sanction powers. The Minister can remove an appointed councillor for specified reasons (s 11(1)(c)). The Council’s by‑laws may impose a penalty not exceeding $100 for breaches (s 26(2)). The Trust is entitled to collect fees for entrance and charges for use of its property (Schedule paras (i), (t)). Fines payable under the Act are funds of The Trust (s 25(f)).

Land covenant rights. The Trust may accept covenants restricting planning, development or use of land where the covenanter is willing (s 21A(1)). Those covenants are registrable under Division 3A Part IV of the Transfer of Land Act 1893 or, for non‑Transfer of Land Act land, sections 129B and 129C are applied so far as practicable (s 21A(2)-(3)). The Trust therefore acquires property rights in the form of restrictive covenants which may bind successors in title unless extinguished or modified under the statutory procedures.

In combination, the Act imposes duties to administer The Trust in pursuit of stated objects, to observe governance processes, to obtain required executive consents, and to comply with financial and audit rules. Rights include acquisition and immunity benefits, the capacity to make and collect fees and fines, and protections for acts taken in good faith.

The Act’s enforcement architecture is limited in criminal or pecuniary punitive terms and focuses on administrative controls, consent‑based restrictions and internal governance penalties.

By‑law penalties. The primary express penalty mechanism in the Act is the Council’s power to make by‑laws for management of lands, buildings and chattels and to impose penalties not exceeding $100 for breaches of those by‑laws (s 26(1), (2)). By‑laws relate to trespass, conduct on Trust lands, animal control, liquor, fires, parking, camping, and charging admission fees (s 26(1)(a)-(k)). The Council must seal by‑laws and submit them to the Governor for confirmation before publication and effect (s 26(3)). The $100 cap constrains direct deterrence via by‑laws; enforcement will therefore depend on practical removal (power to remove trespassers) and possibly civil remedies.

Ministerial removal powers. The Minister can remove an appointed councillor at any time for disability, bankruptcy, neglect of duty or misconduct (s 11(1)(c)). This is an administrative sanction against individual appointed councillors and provides a lever for the executive to enforce standards of conduct among Ministerially‑connected appointees.

Vacancy and disqualification provisions. The Act sets circumstances that cause a councillor to vacate office (s 12). These include non‑attendance at six consecutive ordinary meetings without leave after notice (s 12(d)), resignation (s 12(c)), becoming disqualified due to holding office of profit under The Trust (s 12(f)) or having undeclared private interest in contracts or sharing profits from them without The Trust’s approval (s 12(g)(i)-(ii)). Those rules provide an internal enforcement path for conflicts of interest and dereliction of duty and allow the Council to enforce governance norms by declaring vacancies or otherwise acting under the rules and by‑laws.

Civil consequences for contract and title. The Trust’s capacity to free purchasers from prior trusts and conditions upon sale, with Governor consent, creates a strong title assurance for purchasers and a protective rule that reduces risk of litigation against purchasers (s 20(1)-(3)). Section 20(3) expressly states that a purchaser is not required to inquire whether a case has arisen authorising sale or whether the power was properly exercised, which removes a cause of action or indemnity claim against a purchaser. This shifts enforcement risk back to The Trust and the executive consents involved.

Limits on legal actions against councillors and Council. Section 14(3) bars actions or claims against the Council or councillors in respect of any act done in good faith in exercise or purported exercise of powers under the Act or for purposes of giving effect to the Act. This is a statutory immunity for good faith acts. It limits exposure to civil litigation for decisions taken under the Act, though it does not remove consequences for bad‑faith conduct, which remains subject to ministerial removal (s 11(1)(c)) and possibly other laws.

Financial audit and public accountability enforcement. The Financial Management Act 2006 and Auditor General Act 2006 apply to The Trust’s financial administration, audit and reporting (s 23). Compliance with those Acts is enforceable through public sector financial management processes, audit findings, and Parliament’s oversight. Material breaches of financial management obligations would be addressed under those Acts’ remedies and reporting requirements.

Statutory duties and registration consequences for covenants. For covenants accepted by The Trust over land, registration, discharge, modification and dealing follow Division 3A of Part IV of the Transfer of Land Act 1893 (s 21A(2)) or analogues under ss 129B and 129C where land is not under the Transfer of Land Act (s 21A(3)). Those statutes provide processes and court or registrar mechanisms for enforcement and modification, creating an enforcement route for restrictive covenants accepted by The Trust.

No express criminal sanctions beyond by‑law penalties. The Act contains no express criminal offences beyond the by‑law penalty cap. Enforcement therefore depends mainly on administrative controls, contractual remedies, covenant enforcement under land law, public sector audit oversight, and ministerial power to remove appointed councillors.

Operational enforcement tools. The Council may remove trespassers and persons causing nuisance under by‑laws (s 26(1)(d)). It may collect and receive charges and fees (s 26(1)(g), Schedule para (t)). The Trust’s ability to require Governor confirmation for disposals (s 20(1)) and to require Ministerial consent for borrowing and mortgages (s 21) provide preventive enforcement upstream of transactions.

In summary, enforcement is primarily administrative and civil. The Act provides limited direct penal sanctions, a statutory immunity for good faith Council acts, Ministerial removal powers for appointed councillors, land law mechanisms for covenant enforcement, and public sector audit and reporting controls under the Financial Management Act 2006 and Auditor General Act 2006.

The Act is explicitly structured to operate alongside a network of State statutes and title registration instruments. The text itself provides the cross‑references and prescribed points of interaction.

Transfer of Land Act 1893 and Registration of Deeds. The Act authorises The Trust to accept covenants restricting the planning, development or use of land and makes Division 3A of Part IV of the Transfer of Land Act 1893 applicable to registration, discharge, modification and dealing with such covenants where the land is under that Act (s 21A(2)). For land not under the Transfer of Land Act, the Act applies sections 129B and 129C of that Act so far as practicable (s 21A(3)(a)) and requires the Registrar of Deeds and Transfers to give effect to memorials and orders under the applied provisions (s 21A(3)(b)). Thus, the Act embeds The Trust’s covenants firmly in the State’s land title system.

Trustees Act 1962. The Act prescribes that money not immediately required may be invested as trust funds may be invested under Part III of the Trustees Act 1962 (s 19(1)). This means The Trust must adhere to trustee investment principles and limitations. Transfers of investments received other than by purchase may be retained notwithstanding they do not conform precisely to authorised investments (s 19(2)). The Trustees Act therefore governs fiduciary investment duties.

Financial Management Act 2006 and Auditor General Act 2006. The Financial Management Act 2006 and the Auditor General Act 2006 apply to The Trust’s financial administration, audit and reporting (s 23). Financial discipline, appropriation handling, budgeting, reporting and audit obligations are therefore subject to public sector norms under those Acts.

Administration Act 1903 and Duties Act 2008. The Act provides fiscal exemptions: no duty under Part V of the Administration Act 1903 in respect of property received or derived by The Trust after commencement (s 17(2)). Instruments executed after commencement by which property is assured or vested in The Trust are exempt from duties under the Duties Act 2008 (s 17(3)). Further, no rate or tax may be levied under State law on real property or chattel real belonging to The Trust (s 17(1)). These points interact with State taxation and stamp duty law, reducing acquisition costs for The Trust.

Public Sector Management Act / Public Sector senior executive regime. When The Trust appoints an employee who is a member of the Senior Executive Service, any inconsistency between this Act and the Public Sector Management Act prevails in favour of that Act (s 22(2)). The implementation note in the compilation table indicates that references to older Public Service Acts should be read as references to the Public Sector Management Act where appropriate. This establishes a primacy for public sector employment governance for SES appointees.

Associations Incorporation statute. The Act dissolves the Association incorporated under the Associations Incorporation Act 1895 and transfers its assets and rights to The Trust (s 6(1)-(6)). The compilation notes that the Associations Incorporation Act 1895 was repealed and replaced by later legislation (note 2), but the Act itself preserves continuity of references (s 6(3)).

Transfer of property, sales and purchaser protections. When The Trust sells property under s 20, proceeds are to be held for the objects of The Trust after sale costs (s 20(1)(b)), and purchasers take the property free from prior trusts or conditions (s 20(2)). Section 20(3) removes the purchaser’s obligation to inquire whether The Trust had proper authority to sell, which interacts with property law doctrines on bona fide purchasers and the operation of trust restrictions in statutory sales.

Land covenants and court orders. The Act provides that covenants accepted by The Trust will be subject to the Transfer of Land Act’s procedures for modification and discharge and to orders of a judge under those provisions (s 21A(2)). For non‑TLA land, sections 129B and 129C apply so far as practicable and the Registrar of Deeds must give effect to memorials and orders under those applied provisions (s 21A(3)). This embeds the Trust’s covenants into judicial and registrar processes.

Statutory schedules and amendments. The Schedule of objects has been amended by subsequent Acts (compilation table notes amendments via No. 14 of 1996 s 4; No. 8 of 2009 s 96). The Governor may also, on The Trust’s request and resolution, amend the Schedule by order in council (s 5(2)), which interacts with executive lawmaking processes.

In operational terms, these cross‑references impose compliance and due diligence obligations: acquisitions, investments, covenants and financial reporting must be structured to meet Trustee Act investment rules, Transfer of Land Act registration requirements, and the Financial Management and Auditor General Acts' public sector controls. Moreover, exemptions from stamp duty and rates interact with other agencies responsible for collecting those imposts.

The Act has been amended periodically since its original enactment in 1964. The compilation table in the text lists key amendments, reprints and commencement details. The original Act (No. 85 of 1964) received assent on 14 December 1964 and commenced on 1 February 1965. Subsequent legislative changes noted in the compilation table include:

• National Trust of Australia (W.A.) Amendment Act 1970 (No. 70 of 1970), assented 17 November 1970, commenced 17 November 1970; this Act inserted s 21A (Agreements with The Trust restricting use of land) per its insertion note at s 21A.

• Acts Amendment (Financial Administration and Audit) Amendment Act 1985 (No. 98 of 1985) inserted s 23, applying the Financial Management Act 2006 and the Auditor General Act 2006 contemporarily via subsequent amendment references; the 1985 changes commenced 1 July 1986.

• Acts Amendment (Public Service) Act 1987 (No. 113 of 1987), which added or amended employment‑related provisions to align The Trust with public service frameworks; commenced 16 March 1988.

• Local Government (Consequential Amendments) Act 1996 (No. 14 of 1996), which amended the Schedule (see compilation table and Schedule amending note: No. 14 of 1996 s 4).

• Trustees Amendment Act 1997 (No. 1 of 1997), which amended s 19 to incorporate the Trustees Act investment references and related changes; commenced 16 June 1997.

• Local Government Amendment Act 2004 (No. 49 of 2004) modified s 10 regarding the appointment of certain councillors and came into force 1 April 2005.

• Criminal Procedure and Appeals (Consequential and Other Provisions) Act 2004 (No. 84 of 2004) made consequential amendments including to s 26; commenced 2 May 2005.

• Financial Legislation Amendment and Repeal Act 2006 (No. 77 of 2006) had amendments including s 23 application to the Financial Management and Auditor General Acts; commenced 1 February 2007.

• Duties Legislation Amendment Act 2008 (No. 12 of 2008) amended s 17 to update duty exemptions, commencing 1 July 2008.

• Statutes (Repeals and Miscellaneous Amendments) Act 2009 (No. 8 of 2009) and the Standardisation of Formatting Act 2010 (No. 19 of 2010) effected editorial and minor structural amendments and commenced in 2009-2010, including updating headings and standardising formatting (compilation table entries).

The Schedule itself has been amended: the Schedule’s heading was amended by No. 19 of 2010 s 4, and the Schedule content was amended in 1996 and 2009 (No. 14 of 1996 s 4; No. 8 of 2009 s 96). Section notes indicate s 8, s 11, s 13 and s 26 have been amended by No. 19 of 2010 s 51, which is a standardisation and formatting amendment.

The compilation table lists the dates of assent and commencement for these amending Acts and reprints. The Act was reprinted on at least three occasions (approved reprint 30 April 1982; reprint as at 16 Aug 2002; reprint 3 as at 11 Jul 2008) incorporating the amendments up to those dates.

Mechanically, the amendment history shows incremental adjustments to governance composition (s 10), financial and audit alignment with public sector statutes (s 23), land covenant powers (s 21A), investment alignment with trustee law (s 19), tax and duty exemptions (s 17), and standardisation edits, rather than wholesale rewrites. The compilation notes also reflect that the original Associations Incorporation Act 1895 was repealed and replaced, which affects historical references in the Act (compilation note 2).

For legal research or compliance planning, consulting current consolidated reprints and checking commencement dates in the compilation table is essential since amendments have been introduced at different times and some transitional arrangements (especially in relation to public sector financial laws and duties exemptions) may affect particular transactions.

The Act’s text and compilation notes do not cite judicial decisions, and no specific litigation history is recorded in the legislation as provided. The Act contains provisions designed to limit litigation risk and protect Council acts from invalidation. Notably, s 14(1) and s 14(2) validate acts and proceedings of the Council and persons acting under Council direction despite vacancies or defects in appointment. Section 14(3) bars actions, claims or demands against the Council or councillors in respect of acts done in good faith under the Act.

Because the Act itself does not record cases, the text offers structural protections that would affect any potential litigation: purchaser protection on sales of property (s 20(3)) which reduces purchaser exposure by removing the obligation to inquire into the power to sell; immunity for good faith acts by councillors (s 14(3)); and statutory processes for registration, discharge and modification of covenants pursuant to the Transfer of Land Act (s 21A). These provisions change the litigation exposure of The Trust, its councillors and third parties.

In practical terms, if litigation were to occur concerning The Trust, key statutory provisions likely to be relevant include:

• s 14(1)-(3), on validation and immunity for acts and proceedings and limitations on suits against The Trust and its councillors for good faith actions;

• s 20(2)-(3) and s 20(1), on sale, disposition and purchaser protection where the Governor’s consent is obtained for disposal of unrequired property;

• s 21, on borrowing, mortgaging and charging requiring Ministerial consent, which could be relevant in disputes with lenders about validity of security absent consent;

• s 21A, on covenants, their registration and the application of Transfer of Land Act procedures, relevant to disputes about enforceability of land restrictions imposed by The Trust; and

• s 23, locating The Trust within the Financial Management Act and Auditor General Act regimes, relevant to disputes about financial reporting, misuse of public funds or audit findings.

Because the Act makes express provision for purchaser protection, validation of Council acts and statutory immunities, any litigation records , which are not in the Act text , would need to be searched separately in case law databases to determine how courts have applied these provisions in practice. The Act itself does not supply such case history.

Practical pitfalls and surprise interactions are embedded in a few provisions; these are concrete mechanics to watch.

Governor and Minister approvals: sale and borrowing pre‑conditions. The Trust may sell property adjudged unfit or not required only with the Governor’s consent (s 20(1)). If The Trust wishes to borrow or mortgage property it must obtain the Minister’s prior written consent (s 21). These are not discretionary internal approvals; they require executive sign‑off and will delay or condition transactions. Purchasers take title free of prior trusts once sale under s 20 is made, but the sale requires Governor consent. Similarly, lenders cannot take effective securities without Ministerial consent. Transactions carried out without the required consents risk being challenged, and the Trust may be in breach of the Act.

Small by‑law penalties. By‑laws can impose a penalty not exceeding $100 for breach (s 26(2)). This limit is modest and may be insufficient to deter commercial or serious nuisance conduct. The Council’s enforcement therefore will often rely on removal, exclusion, contractual measures or criminal law external to the Act rather than by‑law penalties alone.

Division of rulemaking authority and Governor confirmation. The Council may make by‑laws concerning land use, but those by‑laws must be sealed and submitted to the Governor for confirmation before being published or taking effect (s 26(3)). Rules regulating internal affairs are made by general meeting (s 27). Confusion about whether a regulation is a rule or a by‑law may cause a failure to obtain Governor confirmation, rendering a by‑law invalid until confirmed.

Statutory immunity for good faith acts. Section 14(3) precludes actions against the Council or councillors for acts done in good faith. That protection does not cover bad faith, and the Act does not define good faith; the limit reduces civil exposure in practice but does not remove obligations under other laws or professional standards.

Appointed councillor removal and Ministerial influence. The Minister can remove appointed councillors for specified reasons (s 11(1)(c)). Appointed councillors are nominated by specified bodies (s 10). The combination allows executive removal power over a subset of councillors, which may affect continuity and governance dynamics in practice.

Covenant registration and land title differences. Section 21A applies Transfer of Land Act procedures to covenants. Where land is not under the Transfer of Land Act, the Act directs the application of sections 129B and 129C of that Act so far as practicable and requires the Registrar of Deeds and Transfers to give effect to memorials and orders (s 21A(3)). Practitioners must ensure the correct registries and procedures are used; different regimes apply depending on whether land is Torrens title.

Investment limitations and transferred investments. Investments must conform to how trust funds may be invested under the Trustees Act 1962 Part III (s 19(1)). However, The Trust may retain investments transferred to it that are not of the nature authorised (s 19(2)). This creates a potential mismatch between current trustee investment rules and legacy assets The Trust may hold, and trustees must document the reasons and processes for retaining non‑conforming investments.

Employee appointment conflicts with public sector law. Where The Trust appoints employees who are SES members, the Public Sector Management Act prevails in case of inconsistency (s 22(2)). Employers must check whether public sector employment obligations apply to particular employees and ensure policies, entitlements and disciplinary processes align accordingly.

Exemptions tied to timing. Duty and rates exemptions under s 17 apply to property received or instruments executed after the Act’s commencement. Practitioners and donors should check whether the date of execution or vesting triggers exemptions.

No express criminal enforcement regime beyond by‑laws. Outside by‑law breaches and public laws that apply generally, the Act does not create a suite of statutory offences to police misuse of Trust lands. Enforcement may need to draw on general statutory offences, contract law or injunctive relief.

Sealing formalities. The common seal cannot be affixed except on Council order and sealing requires signatures of the President or a Vice President and the Secretary (s 16(2)-(3)). Failure to comply with sealing formalities may impact the validity of executed instruments and dealings with third parties.

Purchaser protection that shifts inquiry risk. Section 20(3) relieves purchasers from inquiring whether the power to sell was properly exercised. While this protects purchasers, it potentially increases the risk that The Trust’s internal breach of trust will be litigated without third party liability, shifting the cost towards the Trust and any relevant approving authority.

Practical implication: checks and records. Given validation, immunity and purchaser protection provisions, the Trust should maintain rigorous records of Governor and Minister consents, sealed by‑laws and minutes of Council resolutions to demonstrate procedural compliance and to protect against internal and external disputes.

This section sets out concrete steps and institutional processes to align practice with statutory requirements.

Governance and Council operations

• Follow the Act’s composition and term rules. Ensure 16 elected councillors and nine appointed councillors are properly elected or nominated in accordance with s 10 and The Trust’s rules (s 27). Track term lengths of three years and stagger initial retirements as prescribed (s 11(1), (2)).
• Maintain election and membership procedures through rules made at general meeting (s 27(b)-(d)). Record proxy and postal voting options and keep detailed minute books to evidence compliance with election rules.
• Implement conflict of interest and contract approval processes to prevent s 12(g) disqualification scenarios. Require councillors to declare interests, obtain The Trust’s approval before contracting and have a register of declared interests.
• Adhere to meeting notice and quorum rules: special meetings require seven days’ notice and quorum of eight councillors for business (s 13(7B), (8)-(9)(a)). Keep documented notices and attendance records to support validity of meetings.

Sealing and execution of instruments

• Use the common seal only on Council order and have it affixed in the presence of the President or a Vice President and the Secretary, who sign the instrument (s 16(2)-(3)). Record the Council resolution authorising sealing in the minutes and retain signed sealing worksheet templates.
• For all contracts, conveyances, mortgages and leases, verify whether the instrument requires sealing and attestation and ensure the signatories are present.

Property transactions, disposals, borrowing and mortgages

• For any disposal of property claimed to be unfit or not required under s 20, obtain Governor consent before sale, exchange, disposal or destruction. Keep written consent documents and parliamentary or gubernatorial correspondence on file.
• For borrowing or granting security over Trust property, obtain prior written consent from the Minister as required by s 21. Obtain and retain the Minister’s consent letter and ensure the security documents reference the consent.
• When accepting gifts of property, document the donor’s intention and whether the gift is inter vivos or under will, and consider the timing relative to s 17 duty exemptions. Retain legal advice confirming duty exemption applicability.

Covenants and land use agreements

• When accepting a covenant under s 21A, ensure the covenant is properly drafted to operate under Transfer of Land Act Division 3A if the land is Torrens title. Where the land is not under that Act, prepare documentation to apply sections 129B and 129C analogously and liaise with the Registrar of Deeds and Transfers as required by s 21A(3).
• Follow registrars’ memorial and order procedures and obtain certified copies of registration to retain with property files.

By‑laws and rules

• Distinguish by‑laws from rules. By‑laws govern land, building and public conduct and require sealing and Governor confirmation before publication and effect (s 26(1)-(3)). Submit by‑laws to the Governor in a timely manner and delay enforcement until confirmation occurs and Gazette publication is completed.
• For rules governing internal management, convene a general meeting and follow the procedures specified in s 27 and the existing rules. Ensure rules are not inconsistent with the Act or by‑laws.

Financial management and audit

• Treat The Trust as subject to the Financial Management Act 2006 and Auditor General Act 2006 (s 23). Prepare budgets, financial statements and reports in accordance with those Acts and the Treasurer’s directions. Maintain robust financial controls, procurement policies and audit trails.
• Invest surplus funds in accordance with trustees’ investment powers under the Trustees Act 1962 Part III (s 19(1)). Document investment policies, delegated authorities and rationale for investments, particularly where legacy or donated investments are non‑standard (s 19(2)).

Employee appointments and public sector interface

• For employees who are members of the Senior Executive Service, ensure appointment terms comply with the Public Sector Management Act and that any inconsistencies are resolved in favour of that Act (s 22(2)). Align HR, discipline and remuneration frameworks for SES employees with public sector requirements.
• Ensure employment contracts and person specifications are consistent with the Act’s delegation rules and public sector standards.

Recordkeeping and approvals

• Maintain a consents and authorities register to record Governor and Minister consents, Council resolutions, sealed by‑laws, covenants registered, and minutes authorising major transactions. This register supports statutory immunity provisions and protects The Trust in disputes.
• Keep property files that show vesting history if assets were transferred from the Association at commencement of the Act; ensure any existing trusts and conditions are recorded (s 6(4)(b)).

Revenue, fees and exemptions

• Document and publish admission fees and other charges set under Schedule paras (i), (t). Record revenue and ensure fees are collected and receipted consistent with Financial Management Act obligations.
• For acquisitions, document the timing of receipt or execution to confirm s 17 duty exemptions apply and obtain legal advice on stamp duty implications.

Covenant enforcement and land dealings

• For any enforcement or modification of covenants accepted by The Trust, follow the Transfer of Land Act Division 3A statutory processes or the applied provisions (s 21A). Use the registrar’s and court’s processes as necessary to enforce or vary covenants.

Insurance and liability

• Given the statutory immunity for good faith acts (s 14(3)), obtain directors’ and officers’ insurance for councillors to cover liabilities outside statutory immunity, and ensure indemnities and insurance are consistent with public sector audit requirements.

Compliance audit and continuous improvement

• Schedule periodic internal compliance reviews to ensure adherence to trustee investment rules, Ministerial/Governor consents, sealed by‑laws, and Financial Management Act reporting obligations. Produce an annual compliance checklist mapped to statutory sections.

Engage legal and public sector advisors

• Obtain legal advice before entering complex transactions, particularly disposals under s 20, security arrangements under s 21, and acceptance or registration of covenants under s 21A. Consult the Auditor General or Treasurer’s office as required by the Financial Management Act for financial treatment questions.

By attending to these operationalised steps and keeping statutory consents and records centralised, The Trust can align practice with the Act’s requirements and mitigate the principal legal and administrative risks the statute creates.
