National Trust (Northern Territory) Act 1976

The Act defines several key concepts. Trust (or National Trust) means The National Trust of Australia (Northern Territory) established and incorporated under s 3(1). It is a body corporate, not a charitable trust in the equitable sense; the term “Trust” in the name is historical and does not impose trustee duties beyond those stated in the objects. Council means the Council of the National Trust (s 2). It is the governing body responsible for administering, managing and conducting the affairs of the Trust (s 10(1)). The Council must consist of not more than 18 members, specified in the rules (s 10(2)), and those members are elected by members of the Trust in accordance with the rules (s 10(3)). Critically, the rules must secure that one councillor is elected by each branch (s 10(4)), giving branches direct representation. The Council elects annually one of its own members as President, who also chairs the Council, and the chair has a casting vote in addition to a deliberative vote (s 10(5) and (6)). Branch and branch committee mean respectively a branch of the Trust constituted by the Council under s 7(1) and a committee established for a branch under s 7(3). The Council may, by resolution, declare that members resident in or connected with a specified area constitute a branch, naming the branch and specifying the matters for which it is responsible (s 7(1) and (2)). The number of branches is capped at 18 at any one time (s 7(4)). The affairs of a branch are conducted by a branch committee, and rules must provide for its composition, powers, finances and management (s 7(3)). Rules are the rules of the Trust made by the Council under s 14. They are the primary governance instrument, covering membership, affairs, business and management (s 14(1)(b)), as well as any matter for which rules are required or permitted by the Act (s 14(1)(a)). Rules must be made with the agreement of at least two-thirds of the members of a full Council (s 14(2)). By-laws are a different instrument, made under s 13 by the Council, not inconsistent with the Act, for the purpose of administration and enforcement of the Act or, more specifically, for regulating property vested in or controlled or managed by the Trust. They can cover safety, preservation of property, traffic and conduct of visitors, hours of opening, admission fees, exclusion or removal of persons who do not pay or behave disorderly, preventing trespass, and preventing injury to animals, birds, trees and plants (s 13(2)). The Act also refers to members of the Trust: they consist of the persons and bodies corporate who are for the time being members in accordance with the rules (s 5). Membership is entirely rule-based, so the Council controls admission and classes of membership. The concept of financial year for branch committees is fixed as the 12 months ending 30 June (s 9(1)), and each branch committee must maintain accounts and prepare a balance sheet for presentation to the Council (s 9(2)). The Act does not define “assets and liabilities” in s 4, but they are the assets and liabilities of the now-dissolved Northern Territory National Trust Incorporated. Section 4(3) imposes a de facto novation: the Trust must carry out, complete or give effect to all dealings, transactions or matters that the incorporated association would have been legally or equitably bound to do, as if the Trust were that association. This is a key concept for anyone dealing with the old association’s contracts or obligations.

The Act affects several distinct groups. First and most directly, the Trust itself as a newly created statutory entity: it acquires property, assumes liabilities, and is governed by the Act’s provisions and its own rules and by-laws. Members of the Trust - individuals and bodies corporate who are admitted under the rules - have the right to elect the Council (s 10(3)) and to be part of a branch if the Council creates one. They also have obligations under the rules, which the Council can change with a two-thirds majority. Council members bear the duty to administer, manage and conduct the Trust’s affairs (s 10(1)). They are elected by members and subject to the rules regarding tenure and procedure. Branch committees are responsible for conducting the affairs of each branch (s 7(3)). Their composition, powers and finances are governed by rules made by the Council, and they must submit financial accounts to the Council (s 9(2)). Visitors to Trust property are affected by by-laws made under s 13(2). They may be required to pay admission fees, may be excluded or removed for non-payment or disorderly behaviour, and may be subject to penalties (up to $50 for individuals, 40 penalty units for corporations) for contravening by-laws concerning safety, preservation, traffic, trespass, or interfering with animals, birds, trees and plants. The public generally is a beneficiary of the Trust’s objects - public access and enjoyment of preserved property - but also is subject to the Trust’s by-laws when on its land. The Northern Territory Legislative Assembly receives the annual report and audited financial statements, ensuring some transparency but no operational control. Persons who dealt with the Northern Territory National Trust Incorporated before its dissolution are affected: their contracts and dealings are now binding on the Trust as if the Trust were that incorporated association (s 4(3)). This could include vendors, lessors, donors, creditors and employees of the old body. The Northern Territory government is affected through the exemption from rates, taxes and imposts on Trust property (s 12): the government foregoes revenue that would otherwise be payable on those properties. Other bodies with similar objects, either within or outside the Territory, may be cooperated with by the Trust (s 6(e)), so the Act potentially affects the relationship between the Trust and other heritage or conservation organisations. Corporations (which can be members under s 5) and auditors who certify the Trust’s accounts are also directly affected: auditors must provide a certificate for the statement of income and expenditure and balance sheet (s 11). Finally, any person who contravenes a by-law is subject to the prescribed penalties, making visitors, contractors and anyone else on Trust property subject to a code of conduct with enforceable sanctions.

Duties are imposed primarily on the Council and branch committees. The Council has the core duty to administer, manage and conduct the affairs of the Trust (s 10(1)). It must cause an annual report of the Trust’s activities in the Territory to be prepared, along with a statement of income and expenditure and a balance sheet, and must table these in the Legislative Assembly at its next sitting after preparation (s 11). This is a mandatory transparency obligation; failure to table could be a breach of statutory duty, though the Act provides no specific consequence. The Council also has the duty to make rules (s 14) and by-laws (s 13) as needed, and to ensure by-laws are not inconsistent with the Act (s 13(1)). In relation to the dissolution of the old association, the Trust (through the Council) is under a duty to carry out, complete or give effect to all dealings, transactions or matters that the incorporated association would have been bound to do (s 4(3)). This effectively forces the Trust to honour contracts, executory gifts or other obligations of the predecessor, even if the Trust would rather not. Branch committees have a duty to maintain accounts in respect of their activities and to prepare a balance sheet to the end of each financial year (30 June) for presentation to the Council (s 9(2)). The Act does not prescribe an audit requirement for branch accounts, only for the Trust’s own accounts as required by the rules and s 11.

Rights conferred by the Act are extensive. The Trust has the right to acquire, hold and dispose of, and manage, control and deal with, real and personal property (s 3(2)(b)). It can sue and be sued (s 3(2)(c)). It can make by-laws for a broad range of purposes regarding its property, including charging admission fees and excluding persons who do not pay or who behave disorderly (s 13(2)(d)). It can also impose penalties for by-law contravention (s 13(2)(g)). The Council has the right to make rules regulating membership, affairs, business and management of the Trust, with only a two-thirds majority requirement (s 14). The Trust has the right to an exemption from Territory taxes, rates (except water rates), succession duty and stamp duty on transfers to it (s 12). This is a significant financial right, reducing the cost of holding and acquiring property. The Council has the right to elect a President annually (s 10(5)), and the chair has a casting vote at meetings (s 10(6)). Members of the Trust have the right to elect the Council (s 10(3)), and each branch has the right to secure that one councillor is elected by the branch (s 10(4)). Visitors to Trust property have the right of access and enjoyment as stated in the objects (s 6(d)), but that right is qualified by the Council’s power to fix hours, charge fees and exclude disorderly persons. The public has no enforceable right to access; the objects are aspirational and not drafted as legal duties owed to individuals.

The Act itself creates no criminal offences. The only source of penalties is the by-law making power in s 13(2)(g). The Council may make by-laws imposing maximum penalties for contravention: for an individual, $50; for a corporation, 40 penalty units. As at the date of the reprinted Act (28 August 2013), 40 penalty units under NT law equated to a specific dollar amount (likely around $6,200 based on standard NT penalty unit rates, but the Act does not provide the dollar value). The by-law penalties are surprisingly low for individuals but potentially significant for corporations. The Act does not specify who enforces the by-laws or what enforcement mechanisms apply. Presumably enforcement could be by the Trust itself, or by police if a by-law contravention also amounts to an offence under general law (e.g., trespass, property damage). There is no provision for infringement notices, court proceedings, or civil penalties in the Act. The by-laws must be made by the Council, and they must not be inconsistent with the Act (s 13(1)). They are delegated legislation, but the Act does not require them to be tabled in the Legislative Assembly or published in the Gazette, although general principles of law would require some form of notice to be enforceable. The low maximum penalty for individuals ($50 - unchanged from 1976 except for the corporate penalty increase in 2013) suggests that the by-laws are not intended as a primary enforcement tool for serious misconduct but rather as a deterrent for minor infractions like damaging plants, littering, or failing to pay an admission fee. For more serious matters, the Trust would likely rely on general criminal law (trespass, criminal damage) or civil remedies (trespass to land, nuisance). The Act does not provide for any enforcement body or inspector; the Trust itself would need to initiate proceedings. There are no penalties for breach of the Act itself (e.g., failure to table a report, failure to hold elections). The only enforcement mechanism for those duties would be public law remedies such as mandamus or a declaration. The Act also contains a mandatory obligation under s 4(3) to carry out the dealings of the dissolved association; a party to such a dealing could enforce it in contract or equity against the Trust, as if the Trust were the old association. The Act does not create a statutory cause of action for failing to comply with s 4(3); rather, it ensures the Trust is bound so that existing rights can be enforced.

The Act explicitly creates exemptions from several Northern Territory laws. Section 12(1) provides that no taxes, rates (except water rates) or other imposts are payable under any law of the Territory on or in respect of any real property belonging to the Trust. This overrides local government rating laws and any Territory tax legislation (e.g., land tax). The exemption does not extend to Commonwealth taxes (e.g., GST, income tax) or to water rates, which remain payable. Section 12(2) exempts the Trust from succession duty under any Territory law, relevant for bequests to the Trust. Section 12(3) exempts from stamp duty under the Stamp Duty Act 1978 any instrument transferring property to or vested in the Trust, or agreed to be so transferred or vested. This only covers transfers to the Trust, not transfers from the Trust, so a sale by the Trust would trigger stamp duty. The Act’s by-law and rule-making powers are subject to the condition that they be “not inconsistent with this Act” (ss 13(1), 14(1)). By-laws made under s 13 would also need to be consistent with other Territory laws - for example, they could not purport to create an offence that conflicts with the Criminal Code or other statutes. The Act does not contain any provision excluding the operation of other laws, so the Trust remains subject to general laws such as the Planning Act (for development on its land), the Heritage Act (if its own property is listed), the Care and Protection of Children Act (if it operates properties open to children), and the Work Health and Safety (National Uniform Legislation) Act. The Trust’s corporate status as a body corporate means it is subject to the Corporations Act 2001 (Cth) only if it is a “trading corporation” or otherwise falls within Commonwealth constitutional power; but as a statutory corporation created by a Territory Act, it is likely an “other body corporate” that is not a company under the Corporations Act. The amendment history shows that several amendments were made consequential to changes in corporations legislation, but these likely only updated cross-references. The Act does not purport to exclude the application of the Associations Incorporation Act (the predecessor association was dissolved under s 4(2)). The Trust’s property might also be subject to native title claims or land rights legislation, but the Act is silent on that. The interaction with the common law of charities is relevant: although the Trust is created by statute, its objects are charitable in the traditional sense (preservation of heritage for public benefit), so it may qualify for Commonwealth charitable tax concessions. The Act does not confer charitable status; that is a matter for the ATO.

The National Trust (Northern Territory) Act 1976 was originally enacted as the National Trust (Northern Territory) Ordinance 1976 (No. 59, 1976) and commenced on 16 November 1976. It was later renamed an Act after self-government. The endnotes list eight amending Acts. The first amendment was the Statute Law Revision Act (No. 3) 1981 (No. 91, 1981), which made formal amendments to the short title, definitions, and sections 3, 4, 7, 10, 12, 13, 14 and the schedule. The Companies and Securities (Consequential Amendments) Act 1986 (No. 18, 1986) amended s 13, likely updating references to corporate penalties. The most significant amendment was the National Trust (Northern Territory) Amendment Act 1986 (No. 66, 1986), which, among other things, substituted a new s 7 (branches and branch committees), repealed s 8 (which originally dealt with something - possibly property vesting or a different governance matter - now omitted), amended ss 9 and 10, replaced s 14 (rules) entirely, and repealed the schedule. This 1986 amendment increased the maximum number of branches from a previous limit (now 18) and imposed the requirement that rules be made with two-thirds of a full Council (rather than a simple majority). The Corporations (Consequential Amendments) Act 1990 (No. 59, 1990) amended s 13 again. The Corporations Reform (Consequential Amendments NT) Act 2001 (No. 17, 2001) further amended s 13, likely updating penalty unit references to align with the Corporations Act regime. The Penalties Amendment (Miscellaneous) Act 2013 (No. 23, 2013) amended s 13 to increase the maximum penalty for a corporation from 20 penalty units to 40 penalty units (the individual penalty remained at $50). The endnotes also indicate that the Interpretation Legislation Amendment Act 2018 (No. 22, 2018) made general amendments of a formal nature to ss 1, 4 and 12, but those are not reflected in the text of the reprinted Act which is current to 28 August 2013. The Act as reproduced shows no further amendments. Notably, s 8 was repealed in 1986 and has no surviving content. The schedule (which originally listed something - perhaps the rules of the old association) was also repealed in 1986. The Act has remained structurally unchanged since the 1986 amendments, save for the penalty update in 2013 and formal textual amendments in 2018.

The Act itself makes no reference to any litigation, and the source provided does not include any case notes or judicial consideration. As a relatively obscure statutory incorporation for a heritage body, it has generated no notable reported litigation in the Northern Territory or elsewhere that is evident from the text. The Act’s brevity and the absence of contested provisions likely explain the lack of case law. Potentially, disputes could arise over the interpretation of s 4(3) - what constitutes a dealing that the old association was “legally or equitably bound” to do - but no such case is cited. Similarly, the validity of by-laws made under s 13 could be challenged for inconsistency with the Act or for unreasonableness, but there is no reported instance. The rules made under s 14 could be challenged for procedural invalidity if not made with the required two-thirds majority. Internal disputes over elections or branch composition could also lead to litigation, but none is reported. The exemption provisions in s 12 could give rise to disputes with local councils or the Commissioner of Territory Revenue over what constitutes “real property belonging to the Trust” (e.g., whether property held on trust for the Trust’s purposes but not vested in it qualifies). The Act’s objects clause (s 6) is aspirational and unlikely to be justiciable except perhaps in a suit to enforce a charitable trust if the Trust were to act contrary to its objects. The absence of litigation history does not mean the Act is unimportant; it simply reflects its stable, non-contentious operation. Users should be aware that any new or ambitious use of the Trust’s powers - particularly its by-law and rule-making powers - could invite legal challenge, and there is no judicial guidance to rely on.

Several provisions in the Act contain traps for the unwary. First, the membership of the Trust is entirely rule-based (s 5). The Act does not define who is a member; the Council can effectively control who is admitted and who is excluded by making or amending rules. This creates a risk of entrenchment: the Council can design rules that make it difficult for new members to join or for dissident members to nominate candidates. The only constraint is that rules must be made by a two-thirds majority of a full Council (s 14(2)), but the Council itself is elected by current members, so the system is self-perpetuating. Second, the by-law power in s 13 is very broad. It allows the Council to make by-laws “for the purpose of the administration and enforcement of this Act” (s 13(1)), which is a spacious grant. The specific purposes in s 13(2) are illustrative, not exhaustive. The Council could potentially make by-laws that restrict speech, assembly, or photography on Trust property, provided they relate to safety, preservation or orderly conduct. The only express constraint is that by-laws must not be inconsistent with the Act, and they must be “necessary or convenient” for administration and enforcement - a low threshold. Third, the penalty for individuals under by-laws is capped at a mere $50 (s 13(2)(g)(i)). This has not been increased in nominal terms since 1976, meaning it is now derisory. A $50 fine is unlikely to deter serious misconduct such as vandalism, and may even encourage contempt. By contrast, the corporate penalty of 40 penalty units (now several thousand dollars) is more meaningful, but only applies to corporations. An individual could cause thousands of dollars of damage and face only a $50 fine if the by-law is the only enforcement tool. The Trust would have to rely on other laws (e.g., criminal damage) to seek adequate sanctions. Fourth, the annual reporting requirement (s 11) does not specify a penalty for non-compliance. If the Council fails to table the report, there is no direct consequence in the Act. Members or the Minister could seek a court order for performance, but that is cumbersome. Fifth, the branch structure is rigid: there can be no more than 18 branches at any one time (s 7(4)), and each branch must have one councillor elected by the branch (s 10(4)). This could limit the Trust’s ability to expand into new areas or restructure. If the Trust wants a 19th branch, it must first dissolve an existing branch. Sixth, the rules-making requirement of a two-thirds majority of a full Council (s 14(2)) is a high bar. If the Council has unfilled positions, “full Council” may be ambiguous: does it mean the number specified in the rules, or the number actually elected? A faction could block rule changes by simply not filling vacancies. Seventh, the exemption from rates and taxes (s 12) applies only to real property “belonging to the Trust”. If the Trust holds property on trust for a third party or as bare trustee, the exemption may not apply. Similarly, the stamp duty exemption covers only transfers to the Trust, not from it, so a sale by the Trust could incur stamp duty. Eighth, the Act has no provision for winding up or dissolution. If the Trust becomes insolvent or defunct, there is no mechanism for its formal dissolution, which could leave property and liabilities in limbo. Finally, the objects in s 6 are expressed as purposes “for which the Trust is established”, not as duties. The Trust could depart from those objects if it chose, and members would have limited standing to enforce them, unless the Trust is considered a charitable trust under the general law.

For the Trust and its Council, compliance begins with ensuring that the rules and by-laws are properly made and kept up to date. Rules must be made by a two-thirds majority of the full Council (s 14(2)) and must cover, at a minimum, the matters required by the Act: membership, election of Councillors, composition and powers of branch committees, finances of branches, and any other matter regulating the affairs, business or management of the Trust. The rules should be reviewed regularly to ensure they are not inconsistent with the Act and that they operate effectively. By-laws must be made under s 13, must be consistent with the Act, and must be within the scope of the purposes for which they are made. The Council should maintain a register of by-laws and ensure they are accessible to the public, especially to visitors to Trust properties. The Council must cause an annual report to be prepared (s 11). That report must cover the Trust’s activities in the Territory. It must be tabled in the Legislative Assembly at the next sitting after preparation, together with an income and expenditure statement, a balance sheet, and an auditor’s certificate. The Trust must engage an auditor to certify those statements. There is no prescribed audit firm, but the auditor must be qualified under generally accepted standards. Branch committees must keep accounts and produce a balance sheet for each financial year ending 30 June, and present it to the Council (s 9(2)). The Council should have a system for receiving and reviewing these branch reports. The Council must also ensure that the Trust holds proper meetings, elects a President annually, and maintains corporate records including minutes and the common seal. For any property held by the Trust, the Council should keep a register of title and ensure that the exemption from rates and taxes is claimed appropriately. The Trust should apply to the relevant government agencies (e.g., the Commissioner of Stamp Duties, the Valuer-General) to confirm the exemptions apply to each property. For any property transferred to the Trust, the stamp duty exemption should be claimed on the instrument of transfer. For liabilities inherited from the dissolved incorporated association (s 4(3)), the Council should conduct a due diligence review to identify all contracts, leases, bequests and other obligations that are binding on the Trust, and ensure they are performed or completed. If the Trust wishes to admit members, it must do so in accordance with the rules. For persons dealing with the Trust, compliance involves ensuring that any transfer of property to the Trust clearly identifies the Trust as the transferee and claims the relevant exemptions. For the public and visitors, compliance means obeying any by-laws posted at Trust properties, paying admission fees where required, and not damaging or interfering with property, animals, plants or trees. For any person wishing to challenge the Trust’s actions, the absence of a complaints mechanism in the Act means resort to general law remedies, including judicial review if the Trust is exercising public functions.
