National Portrait Gallery of Australia (Consequential and Transitional Provisions) Act 2012

Several distinct statutory concepts underpin the operation of this transitional legislation. Understanding these terms is essential for interpreting the scope of the assets and liabilities transferred.

The concept of the "transition time" is the temporal pivot of the Act. Defined in Schedule 2, Part 1 as the commencement of the Schedule, which occurred on 1 July 2013, it marks the exact moment the legal identity of the National Portrait Gallery split from the Commonwealth.

The "National Portrait Gallery program" is defined as the program administered by the Commonwealth immediately before the transition time that was generally known as the National Portrait Gallery. This functional definition is critical because the automatic transfer of assets and liabilities under items 2 and 3 of Schedule 2 is restricted to those held or owed "for the purposes of" this specific program.

An "asset" is defined in exceptionally broad terms under Part 1 of Schedule 2. It encompasses any legal or equitable estate or interest in real or personal property, whether actual, contingent, or prospective. It also explicitly includes any right, power, privilege, or immunity, whether actual, contingent, or prospective. This wide definition ensures that intellectual property rights, licenses, donor agreements, and contingent future rights (such as promised bequests or options to purchase artwork) are captured and transferred to the Gallery.

Conversely, a "liability" is defined as any liability, duty, or obligation, whether actual, contingent, or prospective. This captures not only immediate debts and accounts payable but also contingent future obligations, such as restoration duties under exhibition loan agreements, indemnities granted to international lenders, and prospective litigation exposures.

An "assets official" refers to the person or authority responsible for keeping a register in relation to assets of the kind concerned under a law of the Commonwealth, a State, or a Territory, or under a trust instrument. Examples include State land title registrars, registrars of motor vehicles, and intellectual property registries.

The term "exempt material" under Schedule 1 is a crucial concept imported into the Archives Act 1983. By inserting paragraph (ca) into the definition of exempt material in subsection 3(1) of that Act, the legislature categorised material in the national collection maintained by the Gallery as exempt. This exempt status means that the public right of access to historical records under the Archives Act does not apply to the actual art and historical objects in the collection, protecting the integrity of the gallery's curatorial and ownership records from standard freedom of information and archival access requests.

Finally, the Act distinguishes between "transferring employees" and "new employees" under item 8 of Schedule 2. A transferring employee is an APS employee in the Department who is transferred to the Gallery via a determination under section 72 of the Public Service Act 1999 (Cth) at the transition time. A new employee is an APS employee of the Gallery who was not subject to that initial transfer. This distinction governs the application of historical enterprise agreements and determines how terms and conditions of employment are maintained or modified.

The Act directly affects several distinct public and private entities, altering their legal rights, obligations, and administrative duties.

The Commonwealth of Australia, specifically the Department of Regional Australia, Regional Development and Local Government (which was the Department administering the program at the time of enactment), is the primary transferor. The Commonwealth lost direct ownership of the personal property, intellectual property, and contractual rights associated with the National Portrait Gallery program, though it retained title to the underlying land and buildings.

The National Portrait Gallery of Australia, as a newly established body corporate, is the primary transferee. The Act instantly endowed the Gallery with a balance sheet, transferring all program-related assets and liabilities to its name. It also imposed immediate corporate governance obligations on the Gallery, placing its Board and Director in a position of direct responsibility for these assets and liabilities.

Employees of the Gallery are profoundly affected. Transferring employees had their employment shifted from a standard government department to a statutory corporate entity. The Act directly impacts their terms and conditions of employment by preserving the application of "The Department of Regional Australia, Regional Development and Local Government enterprise agreement 2011" (the designated agreement), whilst splitting that agreement under the Fair Work Act 2009 to create a distinct legal instrument governing their employment within the Gallery.

State and Territory Revenue Offices are affected by the statutory tax exemptions. Item 11 of Schedule 2 explicitly strip States and Territories of their power to levy stamp duty or other taxes on the vesting of assets or liabilities under the Schedule, or on any connected transactions. This represents a direct federal override of State and Territory tax jurisdictions.

Assets officials and registrars across various levels of government are affected. Under item 5, they are legally authorised, and practically required, to give effect to certificates signed by the federal Minister. They must alter their registers (such as land titles, register of patents, or motor vehicle registries) to reflect the Gallery as the new owner, bypassing standard transfer forms, filing fees, or typical verification procedures.

Third-party contractors, suppliers, artists, donors, and lenders who had active agreements with the Commonwealth regarding the National Portrait Gallery program are also affected. By virtue of item 7 of Schedule 2, their contracts are modified by statutory fiction. Any reference to the Commonwealth in those contracts is read as a reference to the Gallery. These private parties found their contractual counterparty substituted from the Commonwealth of Australia (with its virtually limitless financial backing) to a statutory corporate entity with its own independent, and limited, balance sheet.

The Act establishes a complex web of statutory powers, administrative duties, and legal rights designed to manage the transition smoothly while maintaining executive control.

The Minister holds significant discretionary powers. Under items 2(5) and 3(3) of Schedule 2, the Minister has the right to determine, in writing, that the automatic transfer of a specified asset or liability does not apply. This allows the Minister to claw back specific assets or liabilities and keep them within the Commonwealth's direct possession. Under item 4, the Minister has the power to declare that a specified asset or liability, which was not automatically transferred under the primary items, vests in the Gallery at a specified post-transition time.

Additionally, the Minister has the power and duty to issue certificates under item 5 to identify transferred assets for assets officials, and to certify under item 11 that a matter is an "exempt matter" for stamp duty purposes. The Minister also has the right to delegate these powers under item 16 to the Secretary of the Department or an SES employee, subject to complying with any ministerial directions.

The Director of the National Portrait Gallery of Australia is granted specific administrative rights and duties under Part 4 of Schedule 2. The Director has the right under item 8(5)(d) to determine, by written notice, that the historical "designated agreement" (the 2011 Departmental enterprise agreement) applies to a newly hired employee. This notice must be given either before or within 14 days after the person becomes a new employee. The Director also holds the power to delegate this notification power to an SES employee, an acting SES employee, or an Executive Level 2 employee within the Gallery.

Third parties and former owners of property are granted a fundamental constitutional right under item 13 of Schedule 2. If the operation of the transition schedule results in an "acquisition of property" from any person otherwise than on "just terms" within the meaning of paragraph 51(xxxi) of the Constitution, the Commonwealth is under a statutory liability to pay a reasonable amount of compensation. If agreement cannot be reached, the affected person has the right to institute proceedings in a court of competent jurisdiction to recover such compensation.

In terms of governance duties, item 15 creates a transitional duty-substitution mechanism. If, at the transition time, the Minister has not appointed a Director, and has not appointed at least three members of the Gallery’s Board, any reference in subsection 33(1) of the principal Act to "the Board" is taken to be a reference to the Minister. This effectively imposes the duties of the corporate Board onto the Minister until the minimum threshold of three members is appointed, ensuring that the organisation is not left in a governance vacuum.

Unlike regulatory or criminal statutes, the National Portrait Gallery of Australia (Consequential and Transitional Provisions) Act 2012 does not contain a penal framework. There are no civil penalty provisions, criminal offenses, or administrative fines detailed in either schedule. This absence of penalties reflects the Act’s character as an internal administrative and reorganisational tool.

Instead, enforcement under this Act operates through statutory legal succession, self-executing declarations, and evidentiary presumptions:

• Successor in Law Status: Items 2, 3, and 4 of Schedule 2 declare that the Gallery becomes the "successor in law" in relation to transferred assets and liabilities. This status is self-executing. If a third party refuses to recognise the Gallery’s right to an asset, or if the Gallery needs to enforce a debt inherited from the Commonwealth, the Gallery does not rely on a contract of assignment. It enforces its rights in court by pleading its status as the statutory successor under this Act.
• Substitution in Legal Proceedings: Under item 6 of Schedule 2, the substitution of the Gallery for the Commonwealth in pending court or tribunal proceedings is automatic. If a party is engaged in litigation with the Commonwealth regarding the portrait gallery program, they cannot claim the action has abated or must be restarted. The court or tribunal is legally obliged to substitute the Gallery as the party, and any subsequent judgment is enforceable directly against or in favour of the Gallery.
• The Evidentiary Presumption of Authenticity: Item 14 of Schedule 2 creates an important enforcement and administrative tool. Any document that appears to be a certificate made or issued under a provision of the Schedule (such as a Minister's certificate identifying an asset under item 5, or a tax exemption certificate under item 11) is taken to be such a certificate and is taken to have been properly given, unless the contrary is established. This shifts the burden of proof. In any dispute with an assets official, a state tax authority, or a third party, the certificate is presumed legally valid, forcing the challenging party to adduce evidence to prove otherwise.
• Enforcement of Constitutional Compensation: If an individual’s property rights are infringed by the transition without just terms, item 13 provides the mechanism for enforcement. The individual does not sue for trespass or conversion; instead, they sue the Commonwealth directly in a court of competent jurisdiction for the recovery of a "reasonable amount of compensation." This statutory debt claim acts as an enforcement safety valve, protecting the Act from constitutional invalidity under paragraph 51(xxxi) of the Constitution.

The Act sits at the intersection of several key Commonwealth, State, and Territory laws, modifying their application to facilitate the corporate carve-out.

The relationship with the National Portrait Gallery of Australia Act 2012 (the principal Act) is foundational. The consequential Act provides the operational ramp for the principal Act, ensuring that when the corporate entity established by the principal Act comes into existence, it is instantly populated with the assets, liabilities, and staff necessary to function.

Its interaction with the Archives Act 1983 is permanent and substantive. Schedule 1 amends the Archives Act to insert "material included in the national collection maintained by the National Portrait Gallery of Australia" into the definition of "exempt material". This interaction ensures that curatorial records, donor agreements, and the artworks themselves are protected from the standard public access and transfer requirements that apply to ordinary Commonwealth records under the Archives Act.

The Act interacts closely with federal employment and industrial relations laws:

• The Public Service Act 1999: Staff are transferred under section 72 of this Act. Item 8 of Schedule 2 preserves determinations made under subsection 24(1) of the Public Service Act, ensuring that individual determinations regarding terms and conditions made by the Departmental Secretary continue to apply as if they had been made by the Gallery's Director.
• The Fair Work Act 2009: The Act alters the standard operation of the Fair Work Act. Normally, when employees are transferred between entities, complex transfer-of-business rules apply. Item 10 of Schedule 2 overrides or modifies these rules by stating that the Fair Work Act 2009 and the Fair Work (Transitional Provisions and Consequential Amendments) Act 2009 have effect as if "The Department of Regional Australia, Regional Development and Local Government enterprise agreement 2011" were split into two separate agreements: one covering the Gallery and its employees, and the other covering the remainder of the Department. This statutory split prevents the Gallery from being bound by future changes to the Department’s agreement, while maintaining transitional stability for staff.

The Act interacts with federal financial management frameworks. Item 12 of Schedule 2 interacts with the Financial Management and Accountability Act 1997 (Cth) (which was the financial framework in place in 2012, prior to the introduction of the Public Governance, Performance and Accountability Act 2013). It abolishes the National Portrait Gallery Special Account established under section 20(1) of that Act. It then appropriates the Consolidated Revenue Fund to pay an equivalent sum directly to the Gallery, converting departmental "special account" funds into independent corporate cash reserves.

Regarding statutory interpretation, the Act relies heavily on the Acts Interpretation Act 1901 (Cth). It references subsection 33(3AB) of that Act to allow the Minister to specify assets, liabilities, or references by "class" rather than identifying each item individually. It also imports the definitions of "SES employee" and "acting SES employee" from section 2B of the Acts Interpretation Act.

Finally, the Act interacts with State and Territory laws by actively overriding them. Item 11 overrides State and Territory stamp duty and tax legislation, ensuring that the transfer of multimillion-dollar art collections and associated contracts does not trigger local transaction taxes. Item 5 also interacts with State and Territory property registration laws by forcing local registrars to accept federal ministerial certificates as proper instruments of transfer.

The National Portrait Gallery of Australia (Consequential and Transitional Provisions) Act 2012 was enacted as Act No. 149 of 2012. It received the Royal Assent on 6 November 2012.

The commencement structure of the Act was split:

• Sections 1 to 3, and any other provisions not covered by the table in section 2(1), commenced on the day the Act received Royal Assent, being 6 November 2012. This allowed for immediate administrative preparations, such as drafting delegations or planning the transfer of assets.
• Schedules 1 and 2 commenced at the same time as the principal National Portrait Gallery of Australia Act 2012 commenced, which was 1 July 2013. This date marked the formal "transition time" when the assets, liabilities, and staff legally moved to the new corporate entity.

As is common with transitional and consequential legislation, the Act has not been heavily amended since its enactment. Its operational provisions were designed to execute a specific, one-off historical transition. Once the assets were transferred, the Special Account abolished, the staff transitioned, and the enterprise agreement split on 1 July 2013, the primary work of Schedule 2 was completed.

The note to the commencement table in section 2(1) explicitly states that the table relates only to the provisions of the Act as originally enacted and will not be amended to deal with any later amendments. This is standard legislative practice in Australia for transitional Acts, preserving the historical record of commencement within the text of the Act.

The consequential amendment to the Archives Act 1983 contained in Schedule 1 remains a permanent part of the consolidated Archives Act, though the amending machinery itself within this Act remains static. Because the transitional provisions continue to serve as the root of title for the Gallery's ownership of its historical assets and its status as a successor in law, the Act remains on the statute book as an active piece of historical title-clearing legislation.

There is an absence of reported judicial decisions or tribunal arbitrations interpreting the provisions of the National Portrait Gallery of Australia (Consequential and Transitional Provisions) Act 2012.

This lack of litigation is typical for transitional statutes of this nature. Several structural factors explain this absence:

• Intra-Governmental Realignment: The primary transfers occurred between the Commonwealth of Australia and a corporate entity wholly owned and controlled by the Commonwealth. Because both the transferor and the transferee ultimately answer to the same executive government, any disputes regarding whether a specific asset or liability fell within the "National Portrait Gallery program" would be resolved internally through ministerial determinations under items 2(5) or 3(3), rather than through public litigation.
• The Constitutional Safety Net: Item 13 of Schedule 2 provides a statutory right to compensation on just terms if the transition results in an acquisition of property. This provision effectively pre-empts constitutional litigation. Because the Commonwealth committed to paying market-value compensation in the event of an unintended expropriation, private parties had no commercial incentive to challenge the validity of the Act in the High Court; instead, they could resolve any valuation discrepancies through negotiation or standard compensation claims.
• Clear Successor-in-Law Provisions: By designating the Gallery as the successor in law and automatically substituting it in pending proceedings (item 6), the Act left no room for third parties to argue that contracts had been frustrated or that ongoing lawsuits had abated. Litigants simply continued their cases with a substituted defendant, removing the procedural grounds that typically spark transitional litigation.
• Preserved Employment Conditions: By preserving the existing departmental enterprise agreement and splitting it under item 10, the Act minimised industrial friction. Employees did not suffer a sudden drop in pay or a loss of accrued leave entitlements, which averted collective disputes or Fair Work Commission arbitrations.

Any legal disputation that did arise during the transition was likely handled through private administrative adjustments, such as the Minister issuing clarifying certificates to assets officials under item 5, or executing subsequent asset declarations under item 4.

Practitioners, corporate officers, and researchers should be aware of several legal risks and operational complexities hidden within the text of the Act.

The Land and Building Exclusion

Item 2(2) of Schedule 2 explicitly states that the automatic transfer of Commonwealth assets "does not apply to land or buildings, but does apply to structures or other improvements on land." This creates an immediate split-property trap.

└──────────────────────────────┴──────────────────────────────┘

The corporate Gallery became the owner of the physical gallery building, its internal fixtures, and the structural improvements, but the underlying land remained the property of the Commonwealth. This division requires ongoing, complex intra-governmental leasing or licensing arrangements. Any commercial practitioner reviewing the Gallery's asset portfolio must not assume that the Gallery owns the freehold of its site; it owns the "structures" while remaining a tenant or licensee of the Commonwealth for the land.

The 14-Day Cliff-Edge for New Employees

Under item 8(5), if the Gallery hires a "new employee" (someone who was not transferred from the Department at the transition time), the Director has the power to apply the historical 2011 departmental enterprise agreement to that employee. However, under paragraph 8(5)(d), this determination must be made "by written notice given to the new employee before or within 14 days after the person becomes a new employee."

If the HR department fails to issue this written notice within the strict 14-day window, the determination is invalid. The new employee cannot be brought under the designated agreement via this mechanism, potentially leaving them on a different, default industrial instrument (such as a modern award), creating a dual-class workforce with unequal pay and conditions for the same work.

Governance Power Concentrated in the Minister

Item 15 of Schedule 2 contains a transition gap provision. If the Minister has not appointed a Director and has not appointed at least three Board members at the transition time, the reference to the Board in the principal Act is taken to be a reference to the Minister. This means the Minister temporarily absorbs the entire corporate governance authority of the Board.

While this prevents operational paralysis, it presents a significant governance risk for private parties dealing with the Gallery during this window. Contracts, acquisitions, or structural decisions made during this period must be verified against the Minister's personal exercise of power, rather than a resolution of a corporate board. It also exposes the Gallery to direct political control during its formative phase, contrary to the stated legislative policy of creating an independent statutory authority.

Non-Legislative Instruments and Lack of Parliamentary Oversight

The Act relies heavily on ministerial and administrative determinations to adjust the boundaries of what was transferred. Under Schedule 2, the following instruments are explicitly declared not to be legislative instruments:

• Ministerial determinations excluding assets from transfer (item 2(5));
• Ministerial determinations excluding liabilities from transfer (item 3(3));
• Ministerial declarations vesting other assets or liabilities (item 4(2));
• Ministerial certificates regarding the vesting of assets (item 5(1)(b));
• Ministerial determinations excluding contract references from transferring (item 7(3));
• Director determinations applying the enterprise agreement to new employees (item 8(5)(d)); and
• Ministerial tax exemption certificates (item 11(3)).

By designating these instruments as non-legislative, the draftsperson exempted them from the tabling, disallowance, and sunsetting provisions of the Legislative Instruments Act 2003 (now the Legislation Act 2003). This means the executive can make significant adjustments to the Gallery's balance sheet, tax-exempt status, and employment arrangements in complete privacy, without parliamentary scrutiny or the possibility of a Senate disallowance. Private commercial partners must insist on seeing copies of these private, non-legislative instruments to verify that the assets they are dealing with were not quietly excluded from the transfer.

Compliance with this Act is primarily administrative, financial, and transactional. Because the Act is transitional, compliance involves executing, verifying, and recording the legal transfers it mandates.

For Legal Counsel and Commercial Partners

When drafting contracts, executing transactions, or conducting due diligence involving the National Portrait Gallery of Australia, legal practitioners must:

1. Verify Root of Title: For any asset acquired from the Gallery that was originally owned by the Commonwealth prior to 1 July 2013, do not look for a deed of assignment. Instead, cite Schedule 2, Item 2 of the National Portrait Gallery of Australia (Consequential and Transitional Provisions) Act 2012 as the statutory root of title.
2. Inspect Ministerial Certificates: If purchasing, leasing, or licensing an asset from the Gallery, request a copy of the Minister's certificate issued under item 5. Ensure the certificate has been signed by the Minister (or an authorised SES delegate under item 16) and identifies the specific asset. This certificate is your absolute defense against any claim by the Commonwealth or a third party that the asset did not transfer.
3. Audit Contractual References: If you are a party to a pre-2013 contract with the Commonwealth regarding the Gallery, ensure your internal systems have updated the counterparty name to "National Portrait Gallery of Australia" pursuant to item 7. Verify that the Minister has not issued a private determination under item 7(3) excluding your contract from this automatic transfer.

For HR Managers and Industrial Relations Professionals

The HR department of the Gallery must maintain strict compliance protocols regarding the transitional workforce:

1. Track Transferring Employees: Maintain a distinct register of "transferring employees" who transitioned under the section 72 determination. Ensure they are paid and managed under the split version of the "Department of Regional Australia, Regional Development and Local Government enterprise agreement 2011", as modified by item 10.
2. Administer the 14-Day Notice for New Staff: Implement a mandatory checklist for all new hires. If a new employee is to be placed under the 2011 enterprise agreement, the Director (or an EL2/SES delegate under item 8(6)) must sign and deliver the written notice under item 8(5)(d) within 14 calendar days of the employee's start date. Keep a copy of this signed notice and proof of delivery on the employee's personnel file to prove compliance with the Fair Work Act split.
3. Manage Delegations: Ensure that any EL2 or SES employee exercising the power to issue these notices holds a valid, current written delegation from the Director under item 8(6).

For Financial Controllers and Accountants

Compliance with the financial transition requires precise balance sheet adjustments:

1. Reconcile Special Account Funds: Confirm that the pre-existing National Portrait Gallery Special Account has been closed. Verify that the cash balance standing to the credit of that account immediately before 1 July 2013 was paid in full to the Gallery under item 12. Document this payment as a direct appropriation from the Consolidated Revenue Fund.
2. Claim State Tax Exemptions: When registering transferred vehicles, intellectual property, or structures with State or Territory authorities, do not pay stamp duty or transfer fees. Present the State registry with a copy of item 11 of Schedule 2, accompanied by a written certificate from the federal Minister certifying that the transfer is an "exempt matter".
3. Account for Trust Assets: Under item 2(4) and item 4(5), if any transferred asset was held by the Commonwealth on trust (such as private donor trust funds or restricted artwork bequests), the Gallery's accounts must record that the asset is held on trust and remains subject to the original terms of the trust. These assets must be segregated from the Gallery’s general operating funds.
