#### 77 Administrative matters 77 Administrative matters > > (1) The chairperson must circulate to each trustee an agenda and associated business papers at least 10 days before any meeting of the trustees. > > > (2) Subclause (1) does not apply to a special meeting if the chairperson believes that the meeting should be held as soon as possible and it is impracticable to circulate an agenda and associated business papers before the start of the meeting, in which case the chairperson may give notice of the meeting and of the agenda for the meeting in the manner that the chairperson considers appropriate. > > > (3) The secretary must keep minutes of each meeting and is responsible to the trustees for the keeping of proper financial records in collaboration with the treasurer. > > > (4) If no chairperson has been appointed or there is a vacancy in the office of chairperson, the Secretary may perform the functions of the chairperson under this Part.
