National Film and Sound Archive of Australia Regulations 2018

The Regulations are structured around a few compact legal concepts which are explicit in the text and endnotes. First, the Regulations are a statutory instrument made under the Act (reg 3). Second, the Regulations use a defined-term approach: the term Act is defined to mean the National Film and Sound Archive of Australia Act 2008 (reg 5). Third, the Regulations prescribe an amount that operates as a threshold for the Act’s paragraphs 39(1)(a) to (e) (reg 6). Fourth, the compilation and endnotes record how and when changes to that single operative provision have been made (Endnotes 1-4).

The operative legal mechanism is the prescription of a dollar amount for the purposes of specified paragraphs of the Act. The wording “For the purposes of paragraphs 39(1)(a) to (e) of the Act, the prescribed amount is $2,000,000” (reg 6) establishes a deterministic rule: the Act’s referenced paragraphs are to be read as if they include that monetary benchmark. The Regulations do not qualify the term “prescribed amount” with indexation, timing rules, exemptions, or sub-categories; the value is flat and absolute in the text.

The endnotes set out the compilation framework and legislative history. Endnote 3 lists the instruments and commencement dates, showing the Regulations were originally made in 2018 and that reg 6 was amended by an instrument in 2021. Endnote 4 records the amendment history at the provision level, indicating that reg 6 is the provision amended by F2021L00516. The endnotes also include editorial and presentational remarks required by the Legislation Act 2003, and an abbreviation key (Endnote 2) for reading the compilation.

Taken together, the main concepts are narrow: definition of the parent Act, a single monetary threshold that operates as the trigger under particular paragraphs of the Act, and the compilation metadata recording amendments and commencement.

The Regulations do not, on their face, name classes of persons or organisations that are directly regulated. Instead they alter the application of provisions of the National Film and Sound Archive of Australia Act 2008 by setting a monetary threshold. Because the Regulations expressly state the purpose,“for the purposes of paragraphs 39(1)(a) to (e) of the Act” (reg 6),the immediately affected parties are those whose transactions, arrangements, or decisions fall within the scope of those paragraphs once measured against the prescribed amount. The Regulations therefore operate indirectly: they change the numerical point at which the Act’s paragraphs apply, and anyone subject to those paragraphs will be affected to the extent the $2,000,000 threshold matters to their conduct.

The compilation does not reproduce paragraphs 39(1)(a)-(e) of the Act and so the Regulations themselves do not identify which activities are captured. The Regulations do, however, make clear that the relevant control is financial in nature by using the heading “Restrictions on financial transactions” for reg 6. From that phrasing it follows that entities engaging in financial transactions with or by the National Film and Sound Archive of Australia, or which are otherwise subject to the Act’s financial transaction rules, will need to pay attention to the threshold specified.

Because the instrument is a delegated regulation under the Act (reg 3), it affects the legal relationship between the Archive and third parties only insofar as the Act’s paragraphs operate. The Regulations themselves do not impose licensing, reporting, or procedural requirements on external parties beyond the impact of the Act’s paragraphs once the $2,000,000 trigger has been set. The endnotes show that the prescribed amount was amended by a subsequent instrument in 2021 (Endnote 3 and Endnote 4), so entities that transact with the Archive must be aware of the compiled instrument and its amendment history to know which monetary test currently applies.

Finally, the Regulations affect administrators and legal advisers to the Archive and to counterparties because the fixed threshold requires operational checks: before entering into certain transactions, the decision-maker must determine whether the value meets or exceeds $2,000,000 to ascertain whether the Act’s paragraphs apply. That creates an internal compliance step for the Archive’s governance processes even though the Regulations themselves are very short.

The Regulations themselves create only one substantive duty: to treat the prescribed amount as $2,000,000 “for the purposes of paragraphs 39(1)(a) to (e) of the Act” (reg 6). The duty is framed as a rule of statutory interpretation and application: whenever those paragraphs are invoked, they are to be applied with the prescribed amount fixed at $2,000,000. There are no express duties in the Regulations directed to private parties, nor are there rights or remedies stated in the instrument; those are supplied by the Act and any other laws it references.

Because the Regulations are an exercise of delegated power under the Act (reg 3), the legal effect is to alter the operating parameter of the Act’s paragraphs. Any duties or restrictions that paragraphs 39(1)(a)-(e) impose under the Act therefore become engaged or disengaged according to whether a transaction meets the $2,000,000 threshold. The Regulations do not specify whether the prescribed amount is inclusive or exclusive of ancillary costs, VAT/GST, or whether it is measured at a single point in time; absence of these qualifiers means the Act’s paragraphs, or ordinary statutory construction principles, will govern such interpretive issues.

The Regulations do not grant new rights, statutory exemptions, or discretions beyond prescribing the monetary figure. They also do not create compliance procedure, approval pathways, notice requirements, or administrative steps. As a result, the rights and duties that matter in practice are those contained in the Act and any operational policies of the Archive, with the Regulations performing the narrow role of supplying the monetary parameter for triggering those duties.

Because the Regulations include an express definition linking the instrument to the Act (reg 5) and record their authority (reg 3), their legal status is that of a delegated instrument adjusting the numerical scope of the Act. That status permits affected parties to frame compliance or challenge in reference to the Act’s substantive provisions, with the Regulations supplying a definitive figure for that reference.

The Regulations do not themselves create offences, penalties, or enforcement regimes. There is no provision within the Regulations that prescribes sanctioning mechanisms, administrable penalties, monitoring obligations, or enforcement agencies. The instrument’s sole operative content is the numeric prescription in reg 6; enforcement consequences would flow only if and to the extent the Act’s paragraphs 39(1)(a) to (e) carry penalties, civil consequences, or restrictions that are engaged when a transaction meets or exceeds the prescribed $2,000,000 threshold.

Because the Regulations are silent on enforcement, any practical compliance consequences, sanctions, invalidity of transactions, ministerial approvals, or internal disciplinary measures, must be sought in the Act itself or in other legislation referenced by the Act. The Regulations therefore function as an enabling piece of delegated legislation: they set a threshold that determines whether the Act’s pre-existing enforcement machinery can attach to a particular transaction. For enforcement practitioners, the Regulations matter because they define the set of transactions subject to the Act’s enforcement provisions, but the instrument does not expand, limit, or otherwise modify the enforcement powers found in primary legislation.

The compilation’s endnotes record amendment and commencement history (Endnote 3; Endnote 4). Those endnotes may be relevant to enforcement timing: the prescribed amount indicated by the Regulations applies from the date of commencement of the amending regulation that set or altered the figure. The compilation shows the 2018 instrument commenced on 17 March 2018 and that the amending instrument containing the change to reg 6 commenced on 1 May 2021 (Endnote 3). For any enforcement question tied to temporal application, practitioners will have to align the timing of a transaction with the applicable version of the prescribed amount.

The Regulations are explicitly linked to the National Film and Sound Archive of Australia Act 2008 by their authority clause (reg 3) and by their definition of Act (reg 5). The sole cross-reference in substance is to paragraphs 39(1)(a)-(e) of the Act (reg 6). The Regulations do not reference any other statute, regulation or external instrument in their operative text. The endnotes mention the Legislation Act 2003 in the context of editorial changes and compilation practice, but that reference is procedural and concerns how the compilation is prepared and presented rather than operational interaction (Endnote 1).

Operational interaction therefore runs in one direction: the Regulations modify the operation of the Act by supplying a monetary figure against which the Act’s paragraphs are to be measured. The Regulations do not purport to vary or override other Commonwealth statutes. Nor do they contain savings or transitional provisions that might mediate interaction with other laws for transactions entered into before or after the commencement dates; the compilation notes that if any application, saving or transitional provision affecting the operation of a provision or amendment is not included in the compilation, details are included in the endnotes (Endnote 1). The endnotes provided for this instrument set out the legislative history and commencement dates (Endnote 3), but they do not add cross-references to other substantive statutes in relation to reg 6.

Because the Regulations do not index or adjust the prescribed amount automatically, any interaction with broader legal regimes that use thresholds (for example, procurement thresholds, taxation thresholds, or financial reporting thresholds in other statutes) will depend on whether those regimes reference the same dollar figure. The Regulations set a fixed $2,000,000 figure for the Act’s paragraphs; whether that aligns with, diverges from, or creates inconsistent incentives compared to thresholds in other Commonwealth laws is not addressed in the text.

Finally, the compilation records a later amending regulation, the National Collecting Institutions Legislation Amendment (Limits on Financial Transactions) Regulations 2021, which altered reg 6 (Endnote 3; Endnote 4). That amending instrument demonstrates statutory coordination among instruments dealing with “limits on financial transactions” for collecting institutions. The Regulations therefore form part of a small cluster of subordinate instruments that allocate numerical limits under their respective parent Acts.

The compilation includes an explicit amendment history in Endnote 3 and Endnote 4. The Regulations were originally registered as the National Film and Sound Archive of Australia Regulations 2018 on 16 March 2018 and commenced on 17 March 2018 (Endnote 3). The specific provision that is substantively operative in the compilation, reg 6, was amended by the National Collecting Institutions Legislation Amendment (Limits on Financial Transactions) Regulations 2021. The 2021 instrument was registered on 30 April 2021 and, for the schedule item that affects this instrument, commenced on 1 May 2021 (Endnote 3). Endnote 4 records at the provision level that reg 6 was amended by F2021L00516.

The endnote table in the compilation also flags that some provisions formerly present in the instrument were repealed (for example s 2 and s 4 are listed as repealed in Endnote 4). Those repeals are recorded as “rep LA s 48D” and “rep LA s 48C” respectively, indicating that provisions were removed in line with requirements under the Legislation Act 2003 or related changes in legislative form, but the compiled text contains only regs 1, 3, 5 and 6. The compilation’s endnotes further explain that uncommenced amendments are not shown in the text and that the endnotes underline any uncommenced material (Endnote 1). The endnotes also set out the editorial-change authority under the Legislation Act 2003 and state that editorial changes are recorded in the endnotes where made (Endnote 1).

Taken together, the amendment history is short but specific: the only substantive amendment recorded at the provision level in Endnote 4 affects reg 6 and occurred via the 2021 amending regulations. The compilation therefore presents a static picture of the current text as at 1 May 2021, with the endnotes supplying the provenance of the single, operative monetary prescription.

The compiled instrument does not include any case law, judicial decisions, or references to litigation in its text or its endnotes. The endnotes provide legislative-history and amendment details (Endnote 3; Endnote 4) but do not record any adjudication or judicial interpretation of the Regulations themselves. There is no litigation history recorded in the compilation.

Because the Regulations operate by reference to paragraphs of the Act, any litigation about the practical effect of the prescribed amount would most likely involve disputes about the application or interpretation of the Act’s paragraphs 39(1)(a)-(e) together with reg 6. The Regulations do not supply interpretive glosses beyond the flat prescription of $2,000,000, so contested issues in hypothetical litigation would likely be about how to measure a transaction against that figure, or about whether the Act’s paragraphs apply to a transaction once so measured. However, the compilation does not record any judicial resolution of those issues.

The endnotes discuss the mechanics of compilation, editorial changes, and how misdescribed amendments are treated (Endnote 1 and Endnote 2). These procedural notes are aimed at the legislative process rather than judicial review. Because no cases are cited and no decisions referenced, practitioners seeking litigation history should treat the compilation as reflecting that no litigation concerning the Regulations has been recorded in this instrument as compiled to 1 May 2021.

Several practical risks and potential pitfalls follow from the Regulations’ brevity and the way they operate by reference to the Act.

1. Single-number prescription without qualifiers. The Regulations set a flat prescribed amount of $2,000,000 (reg 6) and do not say whether that figure is indexed, whether it includes GST, or whether it is measured gross or net. The absence of such qualifiers means parties need to determine, in each case, how to measure a transaction against $2,000,000 using the Act’s definitions and ordinary statutory construction. The Regulations do not resolve those measurement questions.

2. Operational decision point for the Archive. Because the Regs change the numerical trigger for paragraphs 39(1)(a)-(e) of the Act, they create a single binary decision: is the transaction at or above $2,000,000? That simple binary can incentivise structuring behaviour where parties split transactions or time payments to fall below the threshold. The Regulations do not address aggregation rules, anti-avoidance, or timing for valuation.

3. Temporal application tied to commencement. The endnotes show different commencement dates: the base Regulations commenced 17 March 2018 and the amending Regs affecting reg 6 commenced 1 May 2021 (Endnote 3). Parties must check which version of the prescribed amount applies to a transaction by reference to relevant dates. The compiled instrument reflects the position as at 1 May 2021.

4. No procedural guidance. The Regulations do not say what must happen when a transaction meets the threshold,no approval process, notice, or public-record requirement is included. Those procedural requirements, if any, will be in the Act. Users relying solely on the Regulations risk missing procedural obligations that are triggered by the Act once the prescribed amount is met.

5. Repealed provisions and compilation caveat. The endnotes indicate that earlier sections (s 2, s 4 and Schedule 1) were repealed (Endnote 4). The compilation warns that uncommenced amendments are not shown and that modifications by other laws may alter operation even when not reflected in the compiled text (Endnote 1). Practitioners must verify that the compiled instrument is the operative instrument for their date of interest and check the Legislation Register for any uncompiled modifications.

6. Narrowness may create false security. Because the Regulations are short, parties might assume there is no regulatory control when in fact the Act’s paragraphs operate once the threshold is reached. The Regulations should be read together with the Act to understand the full set of obligations.

7. No express enforcement or penalty information. The Regulations do not specify penalties; any consequences flow from the Act. Parties assessing risk must therefore consult the Act’s enforcement provisions rather than the Regulations.

Compliance with the Regulations is straightforward in principle but requires attention to the interaction with the Act. The Regulations impose no reporting or administrative regime themselves; they simply declare that the monetary figure relevant to paragraphs 39(1)(a)-(e) of the Act is $2,000,000 (reg 6). Practically, compliance steps are:

1. Read the Act’s paragraphs 39(1)(a)-(e). The Regulations presuppose that the reader will consult the Act to determine what substantive restrictions, approvals or obligations are triggered by the prescribed amount. The Regulations do not reproduce that text.

2. Implement a value-assessment check. Before entering into financial transactions that might fall within the Act’s scope, decision-makers at the Archive and counterparties should determine whether the relevant transaction value meets or exceeds $2,000,000. Because the Regulations do not define the method of valuation, the responsible officer should document the chosen valuation method (gross vs net, inclusion of fees, treatment of GST, time-point for valuation) and justify it in light of the Act and ordinary statutory construction.

3. Maintain contemporaneous records. Given the absence of procedural prescription in the Regulations, internal compliance should produce an auditable trail showing how the $2,000,000 test was applied: records of valuation, approvals by authorised persons, and legal advice where appropriate. This is important because the Regulations are tied to enforcement provisions in the Act, and any dispute will require clear evidence of the decision process.

4. Monitor timing and versioning. The compilation shows an amendment to reg 6 commenced on 1 May 2021 (Endnote 3). Entities should confirm the applicable version of the prescribed amount at the relevant time and check the Legislation Register for any uncommenced or subsequent amendments not shown in this compilation.

5. Avoid naive structuring. If transactions might be close to $2,000,000, consider whether split transactions, staged payments, or related-party arrangements could aggregate to reach the threshold. Because the Regulations do not address aggregation or anti-avoidance, governance should include legal advice on whether such structuring could be recharacterised under the Act or relevant common law principles.

6. Seek legal advice where measurement is uncertain. Because the Regulations do not specify whether the figure includes tax, fees, or ancillary charges, parties should obtain legal advice when the inclusion or exclusion of cost items would alter whether the threshold is met.

7. Align procurement and governance controls. The Archive’s procurement, delegation and financial policies should be updated to include the $2,000,000 trigger as a decision point that prompts review under the Act. That ensures the Prescribed Amount in the Regulations is operationalised within internal controls.

8. Check for related instruments. The amendment history indicates the 2021 instrument is part of a set of collecting-institutions regulations addressing financial transaction limits (Endnote 3). For comprehensive compliance, review any parallel instruments that set limits for other collecting institutions to ensure consistent practice and to spot sectoral policy changes.

Following these steps will ensure that the prescribed amount in the Regulations is treated as a live compliance hinge: the Regulations do not create step-by-step obligations, but they do fix the numerical boundary that determines whether the Act’s paragraphs apply.
