National Electricity (Victoria) (Regulated Stand-alone Power Systems) Regulations 2024

The Regulations are short and conceptually narrow. They operate by naming certain corporate entities and by importing a definition from the primary statute. The key concepts to extract from the text are these.

• "Regulated stand-alone power system" status is a legal characterisation, not a technical specification. Regulation 4 says that a qualifying stand-alone power system "forms part of the national electricity system and is a regulated stand-alone power system for the purposes of the National Electricity (Victoria) Law." The Regulations therefore locate certain distribution-system stand-alone power systems inside the regulatory perimeter of the National Electricity (Victoria) Law.

• "Stand-alone power system" is not defined in the Regulations themselves; Regulation 3 gives the meaning by reference to section 6B(6) of the National Electricity (Victoria) Law. That means interpretive work and operational obligations will hinge on the content of that section in the Law. The Regulations explicitly direct readers to the Law for the operative definition.

• Ownership, control, operation and proposed ownership are all trigger words. Regulation 4 captures systems that are owned, controlled or operated by the listed entities, and also systems "proposed to be owned, controlled or operated" by them. The draftsman therefore intends to cover both existing systems and systems that are the subject of prospective transactions, proposals or plans involving the named entities.

• The instrument is an exercise of subordinate legislative power. Regulation 2 cites the authorising provision, section 12A of the National Electricity (Victoria) Act 2005. The Endnotes confirm the instrument was made by the Governor in Council and came into operation on the date of making.

• Temporal durability is limited. The Endnotes record the automatic sunset rule: these Regulations will expire ten years after the day of making under section 5 of the Subordinate Legislation Act 1994. There is no provision in the Regulations themselves for a longer term or indefinite duration.

• The Regulations do not contain definitions of regulatory duties, penalties, enforcement processes, technical standards, reporting obligations or exemptions. Their purpose is to place the specified stand-alone distribution systems within the scope of the National Electricity (Victoria) Law, and any consequent duties and powers flow from that Law, not from the Regulations.

• The Endnotes also include interpretive material drawn from the Interpretation of Legislation Act 1984, stating that headings, notes and examples are part of the Statutory Rule for instruments made after 1 January 2001, and that other rules about punctuation, provision numbers and legislative items apply. These interpretive notes bear on how the Regulations should be read within the Victorian statutory framework.

Those are the structural concepts on which any compliance, transactional or regulatory assessment must be built. To convert the conceptual change effected by the Regulations into concrete compliance steps requires consulting the National Electricity (Victoria) Law for the range of obligations, permissions and enforcement mechanisms that apply once a system is designated as a regulated stand-alone power system.

The Regulations directly name five corporate entities whose distribution-system stand-alone power systems are brought within the National Electricity (Victoria) Law. Those entities are:

• Citipower Pty Ltd, ACN 064 651 056 (Regulation 4(a));
• Ausnet Electricity Services Pty Ltd, ACN 064 651 118 (Regulation 4(b));
• Jemena Electricity Networks (Vic) Ltd, ACN 064 651 083 (Regulation 4(c));
• Powercor Australia Ltd, ACN 064 651 109 (Regulation 4(d));
• United Energy Distribution Pty Ltd, ACN 064 651 029 (Regulation 4(e)).

The instrument describes the affected asset class in two linked ways. First, it refers to a "stand-alone power system" as defined in section 6B(6) of the National Electricity (Victoria) Law (Regulation 3). Second, it requires that the stand-alone power system "consists of a distribution system" that is owned, controlled, operated, or proposed to be owned, controlled or operated by any of the named entities (Regulation 4).

Immediate stakeholders therefore include:

• The named entities themselves, to the extent they own, control, operate or propose to own, control or operate distribution-system stand-alone power systems. Those entities will incur the obligations and compliance burdens that the National Electricity (Victoria) Law imposes on regulated stand-alone power systems.

• Customers and end users served by those distribution-system stand-alone power systems, because the systems are now within the statutory regulatory perimeter. The Regulations do not specify customer-facing measures, but by importing the regulated status these consumers will be served by systems subject to the Law's regulatory architecture.

• Project developers, prospective buyers, sellers and financiers of distribution systems that involve or will involve the named entities. The inclusion of systems "proposed to be owned, controlled or operated" by the listed companies means transactions and project proposals can change the regulatory character of assets, and that possibility must be considered in project design, sale agreements, due diligence and financing documents.

• Advisers, compliance units and internal legal teams for the listed companies and for counterparties, since the company names and ACNs are used as the triggering mechanism. Corporations, their boards and officers will need to evaluate whether a particular asset fits the statutory definition of a "stand-alone power system" and thereby becomes a regulated asset.

• Regulators and agencies that administer the National Electricity (Victoria) Law, because the instrument alters the scope of the national electricity system within Victoria by including particular stand-alone distribution systems. The Endnotes indicate the instrument is an exercise under the National Electricity (Victoria) Act 2005, so agencies operating under that legislative framework will receive the legal boundary change effected by the Regulations.

Indirectly affected parties include market participants whose operations interface with the listed distribution systems, such as contractors, installers, service providers and possibly local government planning authorities, because those third parties will be contractually or operationally linked to systems that are now captured by the Law.

The Regulations do not identify any other entities, industries or classes as exempt or otherwise impacted. They do not themselves create new categories of persons with enforcement powers; instead, they refer back to the National Electricity (Victoria) Law as the instrument where duties, powers and enforcement mechanisms reside.

The Regulations do not enumerate specific duties or rights. Their legal effect is to import definitional scope into the National Electricity (Victoria) Law by designating particular stand-alone distribution systems as regulated for the purposes of that Law. Thus the key duties and rights that become relevant for affected systems are those contained in the National Electricity (Victoria) Law.

What the Regulations do supply concretely is the legal predicate that causes the Law to operate. Regulation 4 states that specified stand-alone power systems "form part of the national electricity system and is a regulated stand-alone power system for the purposes of the National Electricity (Victoria) Law". As a matter of legal mechanics, any duty, right, or power that the Law attaches to regulated stand-alone power systems will apply to the systems captured by Regulation 4. The Regulations therefore act as a gate: they determine which assets fall within the Law's set of regulated entities.

Because the Regulations rely on statutory cross-reference for the operative definition of "stand-alone power system" (Regulation 3, referencing section 6B(6) of the National Electricity (Victoria) Law), the scope of duties and rights is contingent on how that section defines the asset class. Parties seeking to establish the precise compliance obligations must consult that section and the rest of the Law to identify:

• technical, reliability and safety obligations that the Law may impose on regulated distribution systems;
• economic and pricing obligations, including tariff, cost recovery or pricing approval regimes that may apply to regulated assets;
• reporting, registration and information-provision duties, if any, that the Law requires for regulated stand-alone power systems;
• rights, including access rights, dispute-resolution mechanisms, and any entitlements to compensation or cost recovery that the Law may grant to operators of regulated stand-alone power systems; and
• enforcement powers and appeals processes available to the regulator, to consumers and to the regulated entities under the Law.

The Regulations themselves do not create exemptions, carve-outs, transitional arrangements or grandfathering clauses. They do include the phrase "proposed to be owned, controlled or operated" which extends the capture mechanism to future arrangements; that phrase operates to ensure that duties and rights in the National Electricity (Victoria) Law will apply not only to present physical assets but to systems that are subject to proposed control changes.

In practice, therefore, the key legal step for affected entities is to map the designation in Regulation 4 onto the corpus of duties and rights embedded in the National Electricity (Victoria) Law. The Regulations direct attention of affected persons to the primary statute; they do not themselves state the duties, rights, regulatory standards or administrative procedures that will apply.

Finally, the Endnotes and the Interpretation of Legislation Act 1984 guidance included in the instrument indicate how the Regulations should be read. Headings, notes and examples form part of the Statutory Rule, and other interpretive rules about punctuation and provision numbers apply. Those matters affect statutory construction of any duties or rights that flow from the instrument in litigation or regulatory proceedings.

The Regulations contain no penalty provisions, no enforcement provisions and no procedural mechanisms for compliance or sanction. There is no provision in Regulations 1 through 4 that creates offences, specifies civil penalties, or identifies the agency responsible for enforcement. The instrument's operative effect is to place identified stand-alone distribution systems inside the regulatory perimeter of the National Electricity (Victoria) Law; any penalties and enforcement mechanisms therefore derive from that Law and not from the Regulations.

Because the Regulations adopt the characterisation "forms part of the national electricity system and is a regulated stand-alone power system for the purposes of the National Electricity (Victoria) Law" (Regulation 4), enforcement and penalty regimes will be those the Law itself provides for regulated entities. To identify specific sanctions, enforcement tools and dispute-resolution pathways you must consult the National Electricity (Victoria) Law and any subordinate instruments made under it that regulate stand-alone power systems.

The administrative provenance is explicit. Regulation 2 records that the Regulations are made under section 12A of the National Electricity (Victoria) Act 2005, and the Endnotes state they were made by the Governor in Council on 16 July 2024. That provenance is relevant to questions of legal validity, challenges to the instrument and the locus of statutory authority to alter the regulatory perimeter.

For practical purposes the absence of penalties or enforcement provisions in the Regulations has these immediate implications:

• Parties cannot rely on the Regulations themselves to establish an offence or to argue for direct penalties; any sanction must be traced to the National Electricity (Victoria) Law or other relevant instruments administered under that Law.

• Litigants challenging regulatory action taken in reliance on the designation effected by these Regulations will need to engage the Law, and possibly the enablement provision in the National Electricity (Victoria) Act 2005, to test the legality of enforcement steps.

• Entities designated by Regulation 4 should assess exposure to enforcement tools that will now be available under the Law, and should assume that compliance obligations and potential sanctions attaching to regulated stand-alone power systems may apply.

The Endnotes contain no further detail about enforcement. They do, however, set out interpretive rules under the Interpretation of Legislation Act 1984 which are relevant to reading any enforcement provision that appears in the Law or other instruments. Those interpretive rules (for example, that headings and notes form part of the Statutory Rule) may bear on construction in litigation about enforcement matters.

The Regulations operate exclusively by cross-reference to the National Electricity (Victoria) Law and by using the National Electricity (Victoria) Act 2005 as the authorising statute. Regulation 3 expressly imports the definition of "stand-alone power system" from section 6B(6) of the National Electricity (Victoria) Law, and Regulation 4 declares that certain systems form part of the national electricity system "for the purposes of the National Electricity (Victoria) Law". Regulation 2 identifies the source of subordinate power as section 12A of the National Electricity (Victoria) Act 2005.

Consequently the Regulations are an implementing instrument that alters the coverage of the National Electricity (Victoria) Law within Victoria. Any interaction effects, conflicts, overlaps or gaps therefore depend on provisions in that Law and any other laws that interface with it. The Regulations themselves do not attempt to reconcile or modify other statutes.

Specific interaction points deriving from the instrument and the Endnotes are:

• Primary-regime interaction: the Regulations extend the National Electricity (Victoria) Law's reach to particular stand-alone distribution systems. Any duties, rights, powers, exemptions or enforcement mechanisms in that Law will therefore interact with existing state or federal laws that apply to the named entities, for example corporate law, competition law, environmental regulation, planning and land-use statutes, and safety regulation. The Regulations do not specify how those other regimes are to be read together; that task remains to the courts, regulators and practitioners when actual conflicts or overlaps arise.

• Transactional interaction: because Regulation 4 covers systems "proposed to be owned, controlled or operated" by the listed companies, the Regulations will affect transactional documentation, due diligence and contractual risk allocation for sale, purchase and financing transactions involving distribution-system stand-alone power systems. Parties will need to consider the regulatory consequences under the National Electricity (Victoria) Law as part of transactional risk assessment.

• Interpretation of the instrument itself is to be governed by the Interpretation of Legislation Act 1984 rules noted in the Endnotes. Those rules instruct that headings, notes and examples are part of the Statutory Rule and that certain punctuation and numbering conventions have legal effect. These interpretive rules may be material in construing the relationship between these Regulations and other statutory instruments.

• No express savings or transitional provision: the Regulations do not contain express savings clauses, transitional arrangements, or specific references to how existing licences, approvals or orders under other laws are to be treated. Therefore, absent such express provision in either the Regulations or in the primary National Electricity (Victoria) Law, parties must determine interaction on a case-by-case basis by reference to the text of the relevant statutes and instruments.

• Subordinate and Commonwealth law: the instrument does not address any Commonwealth statutory regime. It is framed entirely within the Victorian National Electricity (Victoria) legislative architecture. How Commonwealth law interacts with the National Electricity (Victoria) Law and with these Regulations is therefore a matter outside the instrument, requiring reference to constitutional and intergovernmental frameworks which are not stated in the Regulations.

In sum, the Regulations change the regulatory perimeter for the National Electricity (Victoria) Law; they do not themselves create cross-jurisdictional rules or carve-outs. Practical effect on interaction with other laws will materialise when duties and powers under the National Electricity (Victoria) Law are applied to the systems designated by Regulation 4.

The Endnotes contain a concise amendment history statement. There are no amendments to the National Electricity (Victoria) (Regulated Stand-alone Power Systems) Regulations 2024 by statutory rules, subordinate instruments or Acts at the date of publication. The instrument is Version No. 001 and the Endnotes record that it was made and commenced on 16 July 2024. The Explanatory details section contains no entries at the date of publication.

Key recorded facts about the instrument's legislative history in the published text are:

• Date of making and commencement: made by the Governor in Council on 16 July 2024 and came into operation on the same date; this is recorded in Endnote 1.

• Authorising power: made under section 12A of the National Electricity (Victoria) Act 2005, cited in Regulation 2; any challenge to the instrument's validity would engage that enabling provision.

• Version information: Version No. 001; no subsequent versions or amendments are recorded.

• Sunset provision: the Regulations will sunset automatically ten years after making on 16 July 2034 pursuant to section 5 of the Subordinate Legislation Act 1994. There is no indication in the published instrument of any intention to extend or to replace the Regulations before that date.

• Interpretation Act changes: the Endnotes set out how the Interpretation of Legislation Act 1984 affects reading and construction of the Statutory Rule, including that headings, notes and examples form part of the instrument. Those interpretive provisions are recorded as background legislative structure affecting the instrument.

Because no amendments are recorded, there are no textual variations to track. Any future amendment, repeal or replacement would need to be documented in subsequent statutory rules or Acts and would be reflected in the Table of Amendments which, as the Endnotes state, currently contains no entries.

For practitioners, the practical takeaway from this amendment history is that, as at publication, the instrument is newly made, not amended, and has a finite lifespan unless remade. Parties should monitor the register of statutory rules for any future amendments or for replacement instruments before the sunset date.

The published Regulations contain no litigation history. There are no cases, decisions or administrative determinations mentioned in the instrument, and the Endnotes do not record any judicial or tribunal proceedings arising from these Regulations. The Explanatory details section is empty at the date of publication.

Because the instrument is new and procedural in character, any litigation that might arise in future would likely concern:

• the legal effect of the designation in Regulation 4, for example whether particular assets or projects meet the statutory definition of "stand-alone power system" in section 6B(6) of the National Electricity (Victoria) Law as incorporated by Regulation 3;

• challenges to the exercise of the power in section 12A of the National Electricity (Victoria) Act 2005, under which these Regulations were made, including any judicial review claims about jurisdictional error, procedural fairness or compliance with enabling conditions; and

• disputes about the application of duties, rights and enforcement measures in the National Electricity (Victoria) Law to systems designated under these Regulations.

None of those hypothetical dispute types is recorded in the instrument, and the instrument names no cases or judicial interpretations. Practitioners should therefore treat the litigation history as nil at the date of publication, and anticipate that any legal contestation will be driven by subsequent regulatory action by the regulator under the National Electricity (Victoria) Law or by particular factual disputes about whether a given system falls within the regulation’s scope.

Where litigation occurs in future, the Interpretation of Legislation Act 1984 rules recorded in the Endnotes will be relevant to construing the instrument in court, because the Endnotes remind readers that headings, notes and examples form part of the Statutory Rule and that other formal rules on punctuation and provision numbers apply.

The instrument’s brevity contains several points that commonly create operational or legal pitfalls. These are matters drawn from the text and Endnotes, not from external sources.

• Capture by "proposed to be owned, controlled or operated" language. Regulation 4 captures not only existing ownership, control or operation, but also systems "proposed to be owned, controlled or operated" by the named entities. That phrase can extend regulatory capture to assets that are the subject of negotiations, conditional sale agreements, memoranda of understanding, or even proposals by the listed companies. In transactional contexts, parties should be alert to how provisional or contingent arrangements could trigger regulated status once the underlying proposal matures.

• Definition by cross-reference. The Regulations do not define "stand-alone power system" themselves. Regulation 3 imports the meaning from section 6B(6) of the National Electricity (Victoria) Law. Any dispute about whether a particular asset is a "stand-alone power system" will require court or regulator-led interpretation of that section of the primary statute. Parties should not assume the meaning is technical or intuitive without consulting the Law.

• Narrow triggering mechanism, but potentially wide effect. Regulation 4 only names five corporate entities. That makes the instrument narrow in object, but the phrase "consists of a distribution system" may be broad in practice depending on the Law’s definition. Entities other than the five named companies are not captured by this instrument as drafted, but assets that fall under the listed companies (including through acquisition or control) are brought in.

• No transitional or saving provisions. The instrument contains no transitional relief, grandfathering or staged compliance timetable. When a system becomes regulated by virtue of this instrument, any immediate obligations under the National Electricity (Victoria) Law may apply, subject to whatever transitional provisions that Law or regulator may provide. Practitioners should check the Law and any associated guidelines for transitional arrangements.

• No operative regulatory detail in the instrument. Because the Regulations merely alter the scope of the National Electricity (Victoria) Law, they convey no immediate technical, reporting, pricing or operational standards. Entities therefore need to identify and map the obligations from the Law through to their operations; this requires active legal and regulatory analysis rather than assuming the Regulations themselves provide procedural guidance.

• Sunset date. The Regulations will sunset on 16 July 2034 unless remade. If an entity is planning long-term investments or contractual arrangements that anticipate regulated status beyond that date, the sunset provision is a material factor and parties should factor the finite statutory lifespan into planning, contract length and regulatory risk allocation.

• Reliance on Interpretation of Legislation Act rules. The Endnotes remind readers that headings, notes and punctuation are part of the Statutory Rule and influence construction. If a litigant seeks to read raised ambiguities in the instrument narrowly or broadly, those interpretive rules may be invoked for or against particular readings. Do not disregard the Endnotes when forming statutory arguments.

• Corporate identity precision. The instrument lists the five companies by full name and ACN. That precision matters in legal drafting: ownership transfers, reconstitutions, mergers or name changes could affect whether an instrument as written captures an entity in future. Parties should verify corporate status against ASIC records and consider whether contractual protections are needed in transactions to handle regulatory capture risks.

Those points are the concrete "gotchas" emerging from the text. Each requires translation into operational steps for compliance, transaction drafting, due diligence and regulatory engagement.

Because the Regulations operate by bringing certain distribution-system stand-alone power systems within the scope of the National Electricity (Victoria) Law, compliance requires identifying whether a given asset or activity falls within the Regulation 4 description and then satisfying the requirements in the primary Law. The Regulations themselves provide a compact checklist of initial steps; compliance must then proceed into the Law’s substantive requirements.

Practical compliance steps, grounded in the Regulations and Endnotes, are:

1. Confirm corporate linkage to the listed entities:

   • Check whether the distribution system is owned, controlled or operated by any of the named entities: Citipower Pty Ltd (ACN 064 651 056), Ausnet Electricity Services Pty Ltd (ACN 064 651 118), Jemena Electricity Networks (Vic) Ltd (ACN 064 651 083), Powercor Australia Ltd (ACN 064 651 109) or United Energy Distribution Pty Ltd (ACN 064 651 029) (Regulation 4).
   • If there is a transaction in progress or a proposal under negotiation that would give one of the listed companies ownership, control or operational responsibility, treat that stand-alone power system as captured because the Regulations expressly include systems "proposed to be owned, controlled or operated" (Regulation 4). Reflect this potential in deal documentation, conditions precedent and disclosure.

2. Determine whether the asset is a "stand-alone power system" under the Law:

   • Regulation 3 imports the meaning from section 6B(6) of the National Electricity (Victoria) Law. Obtain and analyse that section and any relevant definitions and notes in the Law to determine whether the physical and contractual characteristics of the system meet that statutory definition.

3. Map the applicable statutory obligations:

   • Once confirmed that an asset is captured, map all duties, rights and enforcement mechanisms from the National Electricity (Victoria) Law that apply to "regulated stand-alone power systems". This includes technical standards, compliance reporting, licensing obligations, pricing/regulatory economic requirements and any registration or notification duties, to the extent those appear in the Law.

4. Review licences, contracts and approvals:

   • Identify existing licences, contractual commitments and regulatory approvals that intersect with the newly captured status. Because the Regulations contain no transitional rules, ensure that contracts allocate risks and responsibilities for compliance with obligations arising under the National Electricity (Victoria) Law. If existing contracts do not contemplate regulated status, consider amendment or novation strategies.

5. Engage with the regulator and seek guidance:

   • The Regulations themselves do not name an administering regulator; they operate by reference to the National Electricity (Victoria) Law. Contact the body charged with administering that Law for guidance, registration requirements and compliance pathways applicable to regulated stand-alone power systems. Document interactions to create an audit trail.

6. Incorporate capture risk into transactional documents:

   • For sellers, buyers and financiers: require representations, warranties, indemnities and conditions precedent addressing whether an asset is, or will become, a regulated stand-alone power system under these Regulations. Where an asset is "proposed to be" within a listed company's control, include termination rights or price adjustments to reflect regulatory cost exposure.

7. Implement internal compliance mechanisms:

   • For the listed entities and affected operators, establish compliance teams to monitor continuing obligations under the National Electricity (Victoria) Law. Maintain records demonstrating how the asset meets or complies with statutory requirements, given the absence of transitional relief in the Regulations.

8. Monitor statutory and instrument development:

   • The Regulations will sunset on 16 July 2034 (Endnote 1). Monitor for amendment instruments, remaking of the Regulations, and any subordinate instruments or guidelines under the National Electricity (Victoria) Law that specify regulated-stand-alone-power-system obligations.

9. Legal clearance and documentation:

   • For any material doubt about capture or obligations, obtain formal legal advice and consider formal regulatory clearance or rulings where available under the Law. Ensure board papers and director sign-offs reflect the regulatory consequences identified under Regulation 4.

10. Recordkeeping and audit readiness:

    • Because enforcement tools will be those in the National Electricity (Victoria) Law, maintain records necessary to demonstrate compliance with whatever reporting or operational standards the Law requires. Even where no immediate enforcement action is taken, preparedness mitigates regulatory and commercial risk.

These steps are drawn from the instrument’s legal effect rather than from external practice guidance. The central compliance task is to translate the designation in Regulation 4 into the substantive obligations in the National Electricity (Victoria) Law and to manage the contract, transactional and operational consequences of that translation.

Where legal uncertainty remains about whether a specific system is captured, or about the content of obligations stemming from the Law, obtain a legal opinion that quotes and analyses section 6B(6) of the National Electricity (Victoria) Law and any relevant subordinate instruments, because the Regulations themselves do not resolve those substantive questions.
