Motor Vehicle Dealers (Sales) Regulations 1974

The Regulations organise dealer obligations around a few discrete administrative and consumer‑protection concepts. Each main concept is implemented by prescriptive detail rather than broad standards.

• Registers of transactions and vehicle particulars. Regulation 3 prescribes Form 1 as the register format required under section 25 of the Act. Regulation 4 sets minimum physical book standards where registers are kept in writing (bound books, page size 297 mm by 210 mm, consecutive Register No., legibility and amended entries must remain decipherable). Regulation 4A permits electronic registers but requires software functionality: display/printability in Form 1 format at each licensed place of business, inclusion of the date and author of each entry, weekly backup to electronic storage at separate premises, and audit trail retention of pre‑amendment content and who amended or deleted entries (r 4A(1)(a)-(b); r 4A(2)).

• Mandatory disclosure to purchasers and exclusion notices. Regulation 5 prescribes Form 4 as the notice of required particulars for section 33 (including VIN, engine number, whether vehicle is a registered repairable write‑off, cash price, licence expiry if applicable, and dealer stock number). Regulation 6 prescribes Form 5 as the notice that lists defects excluded from the statutory warranty in section 35 and sets printing size and format requirements. Regulation 7 requires that before selling a vehicle that attracts statutory warranty obligations under section 34, a dealer must give the purchaser the Form 5A information statement; if statutory warranty does not apply, Form 6 must be given (r 7(1)-(2)).

• Statutory warranty thresholds and content. The Forms themselves spell out the statutory warranty rules. Form 5A sets financial and age/mileage thresholds for a statutory warranty: for motor vehicles other than motorcycles the cash price threshold is $4 000 (inc. GST), vehicle age not more than 12 years and travelled not more than 180 000 km; warranty durations depend on age and kilometres (3 months/5 000 km or 1 month/1 500 km as specified). For motorcycles different thresholds apply ($3 500, 8 years, 80 000 km) and warranty duration (3 months/5 000 km) (Form 5A). Form 6 lists circumstances and vehicle classes excluded from the statutory warranty and reiterates rights under the Fair Trading Act 2010 and the Competition and Consumer Act 2010 (Cwlth) (Form 6).

• Trust account architecture and oversight. Part 3 (regs 10A-10O) defines the trust account architecture. Regulation 10B prescribes banks, building societies and credit societies as authorised financial institutions for trust accounts. Regulation 10C requires account names to include the dealer’s full name, dealer licence number, trading name (if any) and the words “consignment trust account” and requires dealers to inform the Commissioner in writing when opening or closing a trust account (r 10C(1)-(2)). Regulation 10D requires written trust account records kept for at least six years, readily accessible, and containing the information of every receipt. Regulation 10E sets receipt contents and allows electronic receipts for electronic transfers. Regulation 10F prescribes the 3‑month period after year end for giving statutory declarations under section 32I(2)(c).

• Audit regime. Regulation 10H requires the dealer to appoint an auditor approved by the Commissioner at the time of opening a trust account; the appointment continues unless the Commissioner approves a change. Regulation 10J binds auditors to accepted auditing practice and any Commissioner requirements. Regulation 10K lists mandatory subjects the auditor must state in the report. Regulation 10L requires auditors to disclose de facto or close personal relationships or business dealings with the dealer; the Commissioner may disqualify an auditor for conflicts. Regulation 10M places the cost of the audit on the dealer. Regulation 10N requires delivery to the Commissioner and the dealer of the auditor’s report within 3 months after the end of each year (r 10N(2)(a)-(b)). Regulation 10O limits auditor disclosure but permits Commissioner disclosure to an interested person or a succeeding auditor.

• Advertising and contract standardisation. Regulation 11 demands that advertisements for a specified second‑hand vehicle specify registration number, year of manufacture, cash price and the dealer’s registered premises address. Regulations 13A and 13B import, respectively, Schedule 4 (vehicle consignment contract) and Schedule 5 (vehicle sale contract) as the prescribed particulars, terms and conditions for consignment and sale agreements required by the Act (r 13A; r 13B). Schedules 4 and 5 include explicit clauses on formation, settlement, ownership, repair responsibility, termination notices, PPSR certificate timing and delivery/finance terms.

• Enforcement and penalty. Regulation 14 establishes an offence for contravention of the Regulations with a penalty of $2 000. The Regulations themselves also provide multiple reporting duties and audit flows to the Commissioner, creating administrative enforcement avenues (r 10G reporting by financial institutions; r 10N auditor reporting).

Each concept is implemented to a prescriptive level: specific forms, field content, print size, page dimensions, back‑up frequency, and audit timing. That specificity fixes behaviour in granular ways and creates discrete compliance tasks and costs that dealers must perform continuously.

The Regulations allocate duties and costs across several identifiable groups. The distribution is explicit in the text.

• Licensed motor vehicle dealers. The primary regulated parties are dealers carrying on business under licences described in the Motor Vehicle Dealers Act 1973. Dealers must maintain registers (r 3-4A), display and provide prescribed notices and information statements to purchasers (r 5-8), ensure advertisements contain specified particulars (r 11), manage trust accounts if holding consigned funds (Part 3, r 10A-10F), appoint auditors approved by the Commissioner (r 10H), and use the prescribed consignment and sale contract content when those statutory agreements arise (r 13A-13B; Schedules 4 and 5). Dealers also bear direct financial obligations: audit fees are payable by the dealer (r 10M), and contravention of any regulation carries a penalty of $2 000 (r 14).

• Purchasers of second‑hand vehicles. The Regulations create information entitlements for purchasers. Before a sale, purchasers must be given the appropriate information statement (Form 5A or Form 6) depending on whether statutory warranty rights under section 34 apply (r 7). Purchasers are entitled to receive signed copies of notices excluding defects (Form 5) where relevant (r 6; Form 5 text). The prescribed forms set out statutory warranty thresholds and explain rights under Australian Consumer Law and the Fair Trading Act 2010 (Forms 5A and 6), thereby structuring purchaser expectations and remedies.

• Owners who consign vehicles through dealers. Schedule 4 sets mandatory content for vehicle consignment contracts. Owners who consign vehicles are placed in contractual positions that the template addresses: exclusivity, minimum sale price, commission, timing for settlement (Dealer must pay total net proceeds within two business days of receiving payment, Schedule 4 cl 3.1), responsibility for repairs identified prior to sale (Schedule 4 cl 5.1), removal and costs when the vehicle is declared unfit by authorities (cl 6.1-6.2), obligations about PPSR certificates and discharge of registered security interests prior to sale (cl 10.1-10.2), and termination mechanics (cl 11). Owners therefore bear risks of repair costs and of providing PPSR material within timeframes set out.

• Financial institutions. Banks, building societies and credit societies are prescribed as the only acceptable financial institutions for trust accounts (r 10B). Those institutions must report overdrawn trust accounts to the Commissioner as soon as is practicable and must provide the name and number of the trust account and the overdrawn amount (r 10G). Financial institutions also must produce records to auditors on request (r 10I), thereby participating in audit flows.

• Auditors and professional advisers. Auditors approved by the Commissioner are central to the trust account oversight regime. They must conduct audits in accordance with accepted practice and any Commissioner requirements (r 10J), disclose conflicts (r 10L), and submit reports within specified timeframes (r 10N). Auditors’ fees are paid by dealers (r 10M). The Commissioner has approval and disqualification powers regarding auditors (r 10H; r 10L).

• The Commissioner and enforcement staff. The Commissioner receives notifications about trust accounts opening/closure (r 10C(2)), receives reports from auditors (r 10N(2)(a)), can receive confidential audit information (r 10O) and may disqualify auditors or otherwise act on reports from financial institutions (r 10G). The Commissioner thus acts as the focal regulator under these Regulations and exercises approval and oversight functions repeatedly specified in the text.

• Secondary actors: purchasers’ financiers, auctioneers and other platform operators. The contracts in Schedule 5 include finance conditionality (cl 2) and cheque clearance provisions (cl 3.4; cl 3.2 in Schedule 4), which affect lenders and payment processing timelines. Advertising rules (r 11) and Form 5/5A/6 disclosures impact intermediaries who place advertisements or listing platforms on behalf of dealers.

Distribution of costs and decisions: Dealers incur recordkeeping, IT, printing and auditing costs; owners consigning vehicles may bear pre‑sale repair costs and obligations to supply PPSR certificates; auditors bear conflict disclosure obligations and must meet Commissioner requirements; financial institutions bear a reporting duty for overdrawn accounts, which imposes administrative costs and an interface with regulation. Purchasers primarily receive information and documentation; their rights under the Fair Trading Act and Competition and Consumer Act are restated in Forms 5A/6 but the direct regulatory compliance duties fall on dealers.

The Regulations also draw lines around what is excluded from statutory warranty and specify that certain vehicle classes (caravans, certain motorcycles, vehicles primarily to carry goods with one row of seats, passenger vehicles seating more than nine adults) are excluded (Form 6), which affects eligibility of transactions and who can claim statutory warranty protections.

This section lists the principal legal duties placed on regulated parties and the related rights that the Regulations create or protect, with citations to the specific provisions.

Dealers’ duties (selected and concrete)

• Maintain a register of prescribed transactions in the form of Form 1, and keep it either in bound written books meeting format standards or in an electronic system that can display/print Form 1, shows date and author of each entry, retains pre‑amendment information and is backed up weekly to off‑site storage (regulations 3, 4, 4A). Specifics: each page in a bound book must be at least 297 mm x 210 mm (r 4(2)); each record must be consecutively numbered (r 4(3); r 4A(2)); amendments must leave the previous particulars decipherable (r 4(6)).

• Provide notices and information statements to purchasers. If the vehicle to be sold attracts obligations under section 34 (statutory warranty) the dealer must give the purchaser Form 5A before sale; if not, the dealer must give Form 6 (regulation 7(1)-(2)). Regulation 5(1A) prescribes Form 4 as the required notice of particulars under section 33(1). Regulation 8 requires each copy of the post‑sale notice to include the date of sale and, if equipped, the odometer reading at time of sale.

• Ensure notices of excluded defects are in Form 5 format, printed on paper not less than 170 mm by 210 mm and conform to the type and manner of Form 5 (r 6(1)-(2)). Form 5 also requires the dealer to give the purchaser a signed copy of the notice before or at the time of sale for the defects to be excluded (Form 5 text).

• If holding money on consignment, open and maintain a consignment trust account at a prescribed financial institution with a name including dealer full name, licence number, trading name (if any) and “consignment trust account”; notify the Commissioner in writing as soon as practicable when opening or closing an account and provide account name/number and financial institution details (r 10C(1)-(2)).

• Keep written trust account records for at least six years, readily accessible, and ensure every receipt’s details are recorded (r 10D). Issue written receipts for money received (electronic receipts allowed for electronic transfer) with prescribed content: dealer name and licence number, unique identifier, date received, payer name, amount, brief purpose, and signature if hand‑written (r 10E).

• Appoint, at trust account opening, an auditor approved by the Commissioner (r 10H). Facilitate auditors by producing books, accounts and documents reasonably necessary for audits on request (r 10I). Pay reasonable fees and expenses of the auditor for audits under section 32I (r 10M).

• Comply with auditor requirements and ensure audits are ready for examination in periods appointed by the auditor; respond to matters the auditor identifies in reports (r 10K; r 10J).

• Ensure advertisements for specified second‑hand vehicles include registration number, year of manufacture, cash price and dealer’s registered premises address (r 11(1)-(2)).

Owners’ duties when consigning under Schedule 4

• Provide the dealer with a PPSR certificate within two business days after signing the consignment contract (Schedule 4 cl 10.1) and ensure any registered security interest is discharged prior to sale (cl 10.2). Owners may bear costs of repairs identified prior to sale unless otherwise agreed (cl 5.1). Owners must remove the vehicle within seven days after termination or pay monies owed (cl 11.2-11.3).

Auditor duties and rights

• Conduct audits in accordance with accepted auditing practice and any Commissioner requirements (r 10J). Prepare reports containing specific matters: whether trust accounts are kept regularly and properly written up, whether ready for examination, compliance with auditor’s requirements, whether account has been overdrawn, and any other matter the auditor thinks should be communicated to the Commissioner (r 10K). Disclose de facto or close relationships or business dealings with the dealer (r 10L). Auditors must not disclose audit information except for performing functions under the Act or as required by law, but the Commissioner may divulge the information to an interested person or a succeeding auditor (r 10O).

Financial institutions’ duties

• For trust accounts, prescribed financial institutions must, as soon as practicable, inform the Commissioner in writing if a trust account is overdrawn and include the name/number of the account and the overdrawn amount (r 10G). They must also produce records to auditors on audit request (r 10I).

Purchasers’ rights (as expressed or reinforced by the Regulations)

• Before sale, receive a Form 5A (if statutory warranty applies) or Form 6 (if not) explaining warranty thresholds, durations and rights under Australian Consumer Law and the Fair Trading Act (r 7; Forms 5A, 6). Receive a signed copy of Form 5 listing excluded defects before or at sale for those exclusions to be effective (Form 5 text). Receive accurate vehicle particulars under Form 4 and copies of notices after sale that include the date of sale and odometer reading (r 5; r 8).

Enforcement rights/information flows

• The Commissioner receives auditor reports and may act on them (r 10N(2)(a); r 10O). Financial institutions’ duty to report overdrawn trust accounts creates a direct data flow to the Commissioner (r 10G). These reporting duties create administrative enforcement triggers for the Commissioner to investigate compliance.

Penalties and sanctions

• Contravention of the Regulations is an offence punishable by a penalty of $2 000 (regulation 14). The Regulations do not, within the text provided here, list further civil penalties or administrative sanctions beyond the Commissioner’s approval/disqualification powers over auditors and the administrative reporting obligations.

These duties and rights are concrete, granular and allocative: they specify who must do what, in what form, with what timing, and who bears the costs. The design places bulk compliance and enforcement costs on dealers and shifts oversight costs (audit approval, receiving reports) to the Commissioner.

The Regulations set out a compact enforcement architecture consisting largely of an administrative reporting and audit regime plus a monetary penalty for non‑compliance. They do not introduce a new broad enforcement body; instead the Commissioner under the Act is the default recipient of reports and has approval/disqualification powers in relation to auditors.

Statutory penalty

• Regulation 14 specifies the penal consequence: any person who contravenes or fails to comply with any provision of these Regulations commits an offence and is liable to a penalty of $2 000. The Regulation does not set out aggregation, per day pricing, or tiered fines: the text sets a flat penalty amount (r 14). The Regulations do not, in the text provided, specify which enforcement mechanisms (summary, court) apply to that offence under the Act; the monetary amount and the fact of an offence are explicit in the Regulations.

Administrative reporting and triggers

• Multiple provisions create streams of information from private parties to the Commissioner that function as enforcement triggers and intelligence for regulatory action.

  • Trust account opening/closure notification (r 10C(2)). Dealers must inform the Commissioner in writing “as soon as is practicable” of opening or closing trust accounts and provide the account name and number and the financial institution’s name and address. That creates an entry point for regulatory oversight.

  • Financial institution reporting of overdrawn trust accounts (r 10G). The institution must inform the Commissioner in writing, as soon as is practicable, of the account name and number and the amount overdrawn. That creates a direct financial health trigger for regulator attention.

  • Auditor reports and statutory declarations (r 10N). Auditors must deliver a report of the result of the audit to the Commissioner within three months after the end of each year, verified by statutory declaration in an approved form. That creates a scheduled compliance checkpoint and a sworn document to support action.

• Commissioner powers tied to auditors. The Commissioner approves auditors (r 10H) and has a disqualification power where auditors disclose relationships or business dealings with dealers (r 10L). Those controls are aimed at auditors’ independence. The Commissioner can also request production of records and receive auditor reports and confidential audit information (r 10I; r 10O).

Enforcement scope and practical consequences

• The Regulations place the investigative burden on the Commissioner via information flows; there is no express private right of action created by the regulations themselves, although the forms prominently remind consumers of their rights under Australian Consumer Law and Fair Trading Act 2010 (Forms 5A & 6). Enforcement, therefore, appears to be principally regulatory and administrative rather than private litigation initiated under the Regulations themselves based on the text provided.

• The auditing and reporting architecture is the principal compliance enforcement mechanism. Auditors are required to state whether trust accounts have been kept “regularly and properly written up,” whether they have been overdrawn and to communicate matters they consider should be told to the Commissioner (r 10K). Auditors’ sworn reports create evidence that the Commissioner can act on.

• The $2 000 penalty is uniform across all contraventions of the Regulations, whether a recordkeeping breach or an advertising breach. The Regulations do not provide a graduated scale in the text provided.

Operational enforcement risks and frictions

• Timing constraints and discrete deadlines create enforcement pressure points: auditors must deliver reports within three months after year end (r 10N(2)(a)); statutory declarations in respect of a year are due within three months after the end of the year (r 10F). Financial institutions must report overdrawn trust accounts “as soon as is practicable” (r 10G). The language “as soon as is practicable” requires interpretive exercise in practice and may generate disputes about timeliness.

• Confidentiality and disclosure balancing. Regulation 10O protects audit information from general disclosure, but allows the Commissioner to divulge it to an interested person or a succeeding auditor. That provision circumscribes confidentiality for enforcement purposes while limiting further public dissemination.

• Enforcement dependence on Commissioner capacity. Much of the operational enforcement depends on the Commissioner’s receiving and acting on reports and auditor findings. The Regulations impose duties on regulated parties and third parties (financial institutions and auditors) that generate information, but the Regulations do not, within the text provided, specify further resources, inspection powers or escalation procedures for the Commissioner beyond receipt and disposal of reports and approval/disqualification of auditors.

In sum, the Regulations pair a structured administrative surveillance system , naming, notification, audit reports, financial institution reporting , with a single monetary penalty for contraventions. That design concentrates enforcement on detection through audits and reporting rather than on tiered fines, injunctive remedies, or private enforcement pathways incorporated into the Regulations themselves.

The Regulations are tightly cross‑referenced with external road traffic, consumer, competition and personal property statutes and with auditing practice norms. The text explicitly imports definitions, concepts and rights from other instruments and relies on those bodies of law to shape substantive effects.

Key cross‑references and interactions

• Road Traffic (Vehicles) Regulations 2014 and Road Traffic (Administration) Act 2008. Regulation 2 defines certain terms by reference to the Road Traffic instruments. The definition of VIN references regulation 274(4) of the Road Traffic (Vehicles) Regulations 2014; “repairable write‑off” is defined by regulation 151 of that instrument; and the Written‑Off Vehicle Register (WA) is established under regulation 156(1) of the Road Traffic (Vehicles) Regulations 2014. “Corresponding” and “jurisdiction” have meanings provided in the Road Traffic (Administration) Act 2008 section 4 (regulation 2). These cross‑references mean that vehicle status questions (for example, whether a vehicle is a registered repairable write‑off) are determined under road traffic law rather than by these Regulations (r 2; r 5(1)(c)).

• Motor Vehicle Dealers Act 1973. The Regulations operate under and to implement sections of the Act. For example, the register form requirement implements section 25 of the Act (regulation 3); the notice of required particulars implements section 33 (regulation 5); the notice of defects excluded from warranty implements section 35 (regulation 6); the trust account provisions implement section 32C and section 32I and related trust account rules (Part 3, r 10A-10O). The Regulations therefore flesh out statutory duties in the parent Act by prescribing formats, processes and timings.

• Fair Trading Act 2010 and Competition and Consumer Act 2010 (Cwlth), including Australian Consumer Law. The information statements (Forms 5A and 6) explicitly refer to consumer rights under the Fair Trading Act 2010 and the federal Competition and Consumer Act 2010 (including the Australian Consumer Law), for example stating guarantees that cannot be excluded under the Australian Consumer Law (Forms 5A and 6). Those references demonstrate that statutory warranty obligations under the Motor Vehicle Dealers Act sit alongside, and are not the sole source of, consumer protection obligations under broader consumer law.

• Personal Property Securities Act 2009 (Cwlth) and the PPS Register. Schedule 4 (vehicle consignment contract) requires the owner to provide the dealer with a certificate from the Personal Property Securities Register within two business days after signing the contract (Schedule 4 cl 10.1) and requires discharge of any registered security interest prior to sale (cl 10.2). That clause creates a procedural intersection with the federal PPSR regime: consignment sales must account for registered security interests and provide documentary evidence in a prescribed timeframe.

• Banking and payments law. While the Regulations prescribe banks, building societies and credit societies as the only “prescribed financial institutions” for trust accounts (r 10B), they also include provisions about cheque clearance (Schedules 4 cl 3.2 and 5 cl 3.2; cl 3.4 in Schedule 5) and allow electronic receipts for electronic transfers (r 10E(2)). Those rules interact with banking practice and payment clearing times: a dealer does not “receive” payment by cheque until it is honoured (Schedules 4 & 5), which affects issues of the passing of property and release of vehicles.

• Auditing standards and practice. Regulation 10J requires auditors to conduct audits “in accordance with accepted auditing practice,” and that will implicate prevailing auditing standards for assurance engagements in Australia. The Commissioner can specify additional requirements (r 10J(b)). Auditors must deliver audited reports verified by statutory declaration (r 10N(2)(a)). The Regulations therefore interact with professional obligations and standards governing auditors’ conduct, independence, and reporting.

• Privacy and disclosure laws. Regulation 10O restricts auditors from recording, disclosing or using audit information except for performing functions under the Act or as required by the Act or other law. The Commissioner may divulge audit information to an interested person or to a successor auditor. That sits alongside statutory privacy obligations (not reproduced in these Regulations) and creates a limited permitted disclosure channel to facilitate regulatory action.

Points of operational interaction and possible friction

• Narrow definition of acceptable financial institutions may exclude newer non‑bank providers or fintech trust accounts; the Regulations prescribe banks, building societies and credit societies (r 10B). Where dealers seek to use alternative custodial arrangements or payment platforms, that may create a tension with the Regulations’ prescribed list.

• Reliance on external road traffic definitions for write‑offs and VIN means that any change in the Road Traffic (Vehicles) Regulations will affect dealer obligations here. For example, how “repairable write‑off” is categorised interstate is handled via the “corresponding” concept (r 2) and interstate written‑off vehicle registers (r 2).

• The PPSR requirement in Schedule 4 creates a timing interaction: owners must provide a PPSR certificate within two business days after signing. That short window may create operational pressure where owners or lenders are slow to discharge or produce PPSR documentation.

• The interplay of statutory warranty under the Motor Vehicle Dealers Act with consumer remedies under the Australian Consumer Law and Fair Trading Act 2010 is made explicit in forms. That makes it likely that warranty disputes will implicate federal consumer law remedies in addition to the state statutory warranty regime.

In summary, the Regulations are a tightly integrated regulatory instrument that relies on and references multiple other laws for definitions, substantive entitlements and practical mechanics. Compliance therefore requires attention not only to the Regulations’ text but also to the applicable vehicle and consumer law frameworks, the PPSR, banking clearance rules and professional auditing standards.

The compilation table and in‑text annotations show a long history of staged amendments adjusting forms, electronic record rules, auditing requirements and contract content. The Regulations have been periodically revised since their first publication in 1974; the text provided includes amendments up to 2024. Key amendment milestones evident in the compilation table and regulation notes include:

• Initial publication and early amendments (1974-1989). The Regulations were first published in 1974 and then amended several times through the 1970s and 1980s (compilation table lists instruments from 1974, 1975, 1976, 1979, 1981, 1982 and 1984 and 1988-89). Those early amendments are captured in reprints noted in the compilation table.

• Late 1990s updates on particulars and notices (1998). Amendments dated 26 June 1998 and 18 September 1998 inserted or updated the notice of required particulars (regulation 5) and likely updated forms, as evident from the insertion references in the schedule and form annotations (regulation 5 noted as inserted 26 Jun 1998 then amended 18 Sep 1998).

• 2002 consolidation and structural changes. The Gazette note of 13 Aug 2002 shows heading insertions and the insertion of Part 3 headings; regulation 2 was amended in 2002 to add new defined terms and references to road traffic instruments (r 2 amendment noted). The compilation table records Motor Vehicle Dealers (Sales) Amendment Regulations 2002 with commencement 1 Sep 2002.

• 2006 comprehensive update introducing electronic register options and forms. The Motor Vehicle Dealers (Sales) Amendment Regulations 2006 (Gazette 17 Nov 2006) inserted regulation 3 and regulation 4A, enabling electronic registers and prescribing functionality, and added Form 1 and Form 4 (as indicated by the insertion annotations). These changes are captured by r 3 insertion (Gazette 17 Nov 2006 p. 4750) and r 4A insertion (Gazette 17 Nov 2006 p. 4751‑2).

• 2011 trust account and auditing detail. The Licensing Provisions Regulations Amendment Regulations 2017 are later, but the 2011 amendment (SL 2011 detailed in the compilation table) amended auditing and trust account provisions (Gazette 30 Jun 2011 p. 2659‑60) with commencement 1 July 2011 for most items. The notes in Part 3 show insertion and amendment of provisions in 2011, including r 10H, 10I and 10K edits.

• 2015 and 2017 timing clarifications. Amendments appear in 2015 (SL 2015), including minor Form 4 alterations (Form 4 amended 8 Jan 2015) and a 2017 instrument (Licensing Provisions Regulations Amendment Regulations 2017) that inserted transitional audit arrangements (r 10NA) and specified the 3‑month statutory declaration period for auditors under regulation 10F (27 Jun 2017 p. 3415).

• 2021 modernisation and consolidation. The Commerce Regulations Amendment (Motor Vehicle Dealers and Repairers) Regulations 2021 (SL 2021/164) made multiple changes including to register requirements (r 4 amended), Form 1 inserted as an updated register form, deletion of Schedules 2 and 3 and updates to the auditing regime (r 10J inserted or amended, r 10O amended). The compilation table notes Pt. 4 coming into effect 25 Sep 2021 and some regulation(s) commencing 1 Jan 2022.

• 2024 updates to warranty forms and other tweaks. The Motor Vehicle Dealers (Sales) Amendment Regulations 2024 (SL 2024/33) (Gazette 7 Mar 2024; most provisions commenced 7 Jun 2024) updated regulation 2 definitions (adding interstate written‑off vehicle register and registered repairable write‑off definitions), inserted regulation 7 (information statement to be given before sale), amended Forms 4, 5, 5A and 6, and updated Schedules. The in‑text annotations show regulation 7 and Forms 5A and 6 were inserted or amended by SL 2024/33 (r 6-11 in the annotations).

What the amendment history shows, as reflected in the Regulations themselves

• Progressive formalisation and digital adaptation. The 2006 and later amendments introduced explicit electronic register requirements (r 4A) with specific functionality (audit trail, weekly off‑site backup), reflecting a shift from paper‑only processes to a hybrid that still preserves auditability.

• Increasing audit and trustee oversight. The introduction and refinement of the trust account auditing and reporting regime (r 10H-10N, r 10NA, r 10O) across successive amendments indicates a regulatory priority on financial controls for consignment funds.

• Standardisation of consumer information. The repeated insertion and amendment of Forms 4, 5, 5A and 6 and Schedules 4 and 5 shows a steady move to standardise pre‑sale disclosures, exclusion notices and contract terms.

• Alignment with other statutes. Amendments added explicit references to road traffic instruments and imported federal law references (Fair Trading Act 2010; Competition and Consumer Act 2010; PPSA) into the templates and forms, reflecting a statutory cross‑referencing approach in later amendments.

The compilation table provides precise publication and commencement dates for each amendment instrument and for reprints of the Regulations. Those entries allow users to track which provisions entered force when. The Regulations’ annotations explicitly record which parts were inserted or amended by each instrument, enabling a line‑by‑line sense of regulatory evolution.

The text of the Regulations and its compilation notes do not record or cite any judicial decisions or formal litigation arising under these Regulations. The schedules, forms and regulation text do not mention cases, and the compilation table lists amending instruments and reprints but not litigation. Therefore, within the source material provided:

• There are no cases cited or discussed in the Regulations themselves. The Regulations do not refer to precedents, judicial interpretations or enforcement decisions.

• The enforcement architecture in the Regulations relies principally on administrative reporting, auditing and the Commissioner’s oversight, together with the single monetary penalty in regulation 14. The absence of cited litigation in the instrument does not mean that disputes will not occur in practice; it only reflects that the statutory text, forms and compilation notes provided here do not include any recorded litigation history.

What that absence implies for practitioners, drawn from the instrument’s structure

• Lawyers and compliance advisers will need to rely on the text, the parent Motor Vehicle Dealers Act 1973, and external consumer and road traffic laws for legal analysis rather than on a body of cases interpreting the Regulations themselves, at least as far as this source shows. In practice, disputes arising from advertising, excluded defects notices, statutory warranty scope, consignment account handling and trust account audits are likely to engage both state regulator processes and federal consumer law remedies under the Competition and Consumer Act and Australian Consumer Law, but those outcomes are not documented within the Regulations’ text provided here.

• The lack of litigation references in the Regulations suggests that statutory interpretation queries will be resolved against the plain wording of the Regulations and connected statutes. Where ambiguity exists (for example, “as soon as is practicable” in reporting overdrawn accounts , r 10G), practitioners should expect the Commissioner’s guidance, industry practice or subsequent case law (outside this source) to fill interpretive gaps.

• For risk assessment and compliance planning, regulated parties should treat the Commissioner’s administrative powers (auditor approval/disqualification, acceptance of statutory declarations and reports) as the likely source of enforcement, and plan for audit robustness and documentation to reduce regulatory exposure. The Regulations’ design implies enforcement will be triggered by administrative reports and audits rather than by a pre‑existing body of litigation built into the instrument.

In short, the Regulations themselves contain no litigation history or statutory interpretation guidance in the text supplied; practitioners must therefore work from the provisions, cross‑referenced statutes and the Commissioner’s administrative processes when advising clients.

The Regulations are detailed and prescriptive. Practical compliance traps and friction points are embedded in that detail. The following “gotchas” are concrete operational and legal risks that the text creates, or where strict compliance may be overlooked in practice.

1. Form and format rigidity

• Mandatory page sizes and printing standards. Form 5 must be printed on paper not less than 170 mm by 210 mm and “in the type, size and manner to conform to Form 5” (r 6(2)). The register book pages must be at least 297 mm x 210 mm (r 4(2)). Small changes to paper size, font, or omitted fields can technically create non‑compliance, which may trigger the $2 000 penalty (r 14).

2. Electronic register technical requirements

• Software must enable display and print of Form 1 at each place of business, include date and who made each entry, retain pre‑amendment information and be backed up weekly to storage at separate premises (r 4A(1)(a)-(b)). Failure to implement weekly off‑site backup, or inability to display/print in Form 1 format at a particular premises, can be a compliance breach. The requirement that the software be able to display and print “at each place of business to which the dealer’s licence relates” creates operational complexities for multi‑site dealers.

3. Amendment traceability

• When changing register entries, the previous particulars must remain decipherable (r 4(6)), and electronic systems must retain pre‑amendment content and record who amended it (r 4A(1)(b)). Simple destructive edits, overwrites or separate unlinked logs may be insufficient.

4. Trust account naming and notification

• Mandatory account name elements include the dealer’s full name, licence number and the words “consignment trust account” (r 10C(1)). Banks often approve account names subject to internal rules; if the bank refuses the full required description, the dealer’s statutory obligation to name the account accordingly may become practically difficult. The dealer must additionally inform the Commissioner in writing “as soon as is practicable” upon account opening or closure and provide account details (r 10C(2)).

5. Prescribed financial institutions list and fintech exclusion

• Only banks, building societies and credit societies are prescribed under regulation 10B. Dealers using newer custodial arrangements, e‑wallets or non‑bank trust custodians may not meet the “prescribed financial institution” criterion and therefore may be non‑compliant when holding consignment funds.

6. Overdrawn accounts disclosure

• Financial institutions must report overdrawn trust accounts to the Commissioner as soon as is practicable and give the overdrawn amount (r 10G). An overdrawn account can therefore become immediately visible to the regulator through the bank, not only the dealer. Dealers must manage cashflow to avoid triggering this reporting flow.

7. Auditor approval and costs

• Dealers must appoint an auditor approved by the Commissioner at the time of opening a trust account and cannot change that auditor without Commissioner approval (r 10H). The dealer pays auditor fees (r 10M). That creates two practical risks: (a) limited choice of auditor if the Commissioner is slow to approve alternatives; and (b) direct cost exposure to auditing fees, including potential fees for auditors’ additional testing under Commissioner requirements (r 10J(b)).

8. Auditing timeframe and reporting

• Auditors must deliver their report within three months after the end of each year (r 10N(2)(a)). The report must be verified by statutory declaration of the auditor and provided to the dealer as well. Delays by auditors in providing the statutory declaration can leave both auditors and dealers exposed to technical non‑compliance.

9. PPSR certificate timing in consignment contracts

• Schedule 4 requires the owner to provide a PPSR certificate within two business days after signing the consignment contract (Schedule 4 cl 10.1). If owners cannot promptly obtain evidence of discharge or of the PPSR status, the consignment sale process may be delayed or inconsistent with the contract templates.

10. Cheque clearance and “receipt” timing

• Multiple clauses state that payment by cheque is not “received” until the cheque is honoured (Schedules 4 cl 3.2, 5 cl 3.2). Dealers who release vehicles or apply proceeds before cheque clearance face risk that the cheque bounces, potentially exposing buyers and dealers to loss and claims.

11. Odometer and post‑sale notice accuracy

• Regulation 8 mandates that each copy of the notice required under section 33(7) after sale must include the date of sale and, if the vehicle has an odometer, the odometer reading at the time of sale. Failing to record and include the odometer reading in each copy could undermine the dealer’s ability to rely on exclusions or to demonstrate compliance.

12. Advertising specificity

• Regulation 11 requires a second‑hand vehicle advertisement to specify the registration number, year of manufacture, cash price and dealer address. Omission of even one of these items in an ad could be a breach, potentially attracting the regulation 14 penalty.

13. Exclusion notices effectiveness depends on pre‑sale display and signed copy

• Form 5’s front matter and reverse specify that defects stated on Form 5 are excluded from statutory warranty provided that (i) the form “was filled out and displayed on the vehicle before you negotiated to purchase it,” (ii) accurate and detailed description and repair cost estimate are stated and (iii) the buyer is given a signed copy before or at the time of sale (Form 5). Mistiming or failing to display Form 5 at the required time will render the exclusion ineffective. The form itself warns purchasers about underestimation and sets out examples of sufficient description, imposing a higher level of specificity than a generic entry like “engine” and a single estimate might provide.

14. Single flat penalty

• The penalty is a flat $2 000 per contravention (r 14). For systemic non‑compliance (for example, repeated register omissions across many transactions), the monetary penalty may be modest relative to the operational scale, but the Regulations do not provide an explicit multiplier or per‑day escalation within the text provided.

These “gotchas” highlight the Regulations’ prescriptive nature. Operational compliance requires careful administrative systems, robust electronic register software that meets the letter of r 4A, prompt communications with the Commissioner, conscientious audit selection and budget, conservative cheque handling practices, and clear procurement of PPSR certificates when dealing with consignments.

This section sets out concrete compliance steps and internal controls that a dealer, owner consigning a vehicle, auditor, or financial institution should implement to align with the Regulations. Each step cites the relevant regulation or Schedule so that a practitioner can map tasks to legal requirements.

Registers, records and IT

• Choose and configure register format. If using bound books, ensure each book is permanently bound, front cover bears a consecutive book number, pages are at least 297 mm x 210 mm and are used only for the register (r 4(1)(a)-(c); r 4(2)). If using electronic registers, implement software that: allows display and printing in Form 1 format at each licensed place of business (r 4A(1)(a)(i)-(ii)); records the date and identity of each entry (r 4A(1)(a)(iii)); retains pre‑amendment history and who amended or deleted entries (r 4A(1)(b)); and performs weekly off‑site backups to separate premises (r 4A(1)(a)(iv)).

• Sequential numbering and amendment traceability. Ensure each vehicle record is consecutively numbered (Register No.), each entry is dated and the entrant’s name is recorded (r 4(3)-(4)), and any amendment leaves the previous particulars decipherable (r 4(6)). Configure electronic systems to prevent destructive edits (maintain audit trail).

• Retain records for statutory periods. For trust account records, keep them in written form for not less than six years from the date the money was received and ensure they are readily accessible (r 10D(1)-(2)). Also retain copies of auditor reports and produce them to succeeding auditors on demand (r 10N(3)).

Pre‑sale disclosures and forms

• Provide the correct information statement(s) before sale. Determine if the vehicle attracts the statutory warranty under section 34 (see Forms 5A and 6 for thresholds). If the statutory warranty applies, give the purchaser Form 5A before sale; otherwise give Form 6 (r 7(1)-(2)). Ensure the appropriate illustration (Used Car Warranty or Used Bike Warranty) is included when required by r 7(1)(b)(i)-(ii).

• Display and provide Form 5 correctly for excluded defects. If listing excluded defects, complete Form 5 with sufficiently particular descriptions and estimates. Ensure Form 5 is printed at least 170 mm x 210 mm and conforms to the type/format (r 6(2)). Display it on the vehicle before negotiations and give the purchaser a signed copy before or at sale as required by Form 5 text.

• Ensure post‑sale notices include required details. For copies of notices after sale under section 33(7), include the date of sale and the odometer reading at the time of sale (r 8).

Trust accounts and financial controls

• Use an approved financial institution. Open trust accounts only with banks, building societies or credit societies (r 10B). Name the trust account including the dealer’s full name, dealer licence number, trading name (if any) and the words “consignment trust account” (r 10C(1)). Confirm with the financial institution that the account name can include those elements and, where necessary, keep correspondence about any bank‑level naming restrictions.

• Notify the Commissioner promptly when opening or closing trust accounts. As soon as is practicable, inform the Commissioner in writing of the opening or closing of the account and provide the account name/number and the financial institution’s details (r 10C(2)).

• Receipt and accounting practices. Issue written receipts for all monies received (receipts may be electronic if funds are received by electronic transfer). Ensure each receipt contains dealer name and licence number, a unique identifier in consecutive order, date received, payer’s name, amount, brief purpose of payment and signature if hand‑written (r 10E). Maintain the corresponding receipt records for at least six years (r 10D).

• Manage cheque and payment timing conservatively. Treat cheques as received only when honoured. Do not release vehicles or funds based on un‑honoured cheques (Schedules 4 cl 3.2; Schedule 5 cl 3.2).

Auditor selection and audit readiness

• Appoint an auditor approved by the Commissioner at the time of opening any trust account. Seek Commissioner approval for auditor appointments and avoid changing auditors without Commissioner consent (r 10H(1)-(2)). Keep a written engagement letter and document the scope of work in line with accepted auditing practice.

• Prepare for audits. Maintain books, papers, accounts, documents and securities so they can be produced to the auditor on request (r 10I). Keep trust accounts ready for examination at periods appointed by the auditor (r 10K(b)). Ensure staff are briefed on what auditors can request.

• Budget for audits. Anticipate that audit fees and expenses are payable by the dealer (r 10M). Include annual audit costs in operating budgets and ensure the audit timetable allows auditors to deliver reports within three months after year end (r 10N(2)(a)).

• Manage auditor independence. Require auditors to disclose any de facto, close family relationships, or business dealings with the dealer (r 10L). Where conflicts are disclosed, cooperate with the Commissioner in replacement or disqualification processes.

Compliance with advertising and contract templates

• Ensure advertisements for specified second‑hand vehicles include the registration number, year of manufacture, cash price and address of the dealer’s registered premises (r 11(1)-(2)). Create ad templates with mandatory fields and a compliance checklist for any ads placed online or in print.

• Use and keep copies of the prescribed consignment and sale contract Schedules. For consignment arrangements, use Schedule 4’s contract terms, including clauses on settlement (schedule 4 cl 3.1), PPSR certificate timing (cl 10.1), and owner repair responsibilities (cl 5.1). For sales, use Schedule 5 and ensure finance conditions, delivery timings and trade‑in handling comply with the template (Schedule 5 cl 2, cl 4, cl 6). Keep a copy of the signed contract and provide copies to the counterparty at signing as required by the schedules (Schedules 4 cl 1.2; Schedule 5 cl 1.1).

Reporting and notification workflows

• Create internal workflows for reporting to the Commissioner. When opening or closing trust accounts, notify the Commissioner promptly and retain evidence of the notification (r 10C(2)). If a trust account becomes overdrawn, expect the financial institution to notify the Commissioner; maintain internal controls to avoid such occurrences (r 10G).

• Maintain audit report handling processes. When the auditor delivers the report verified by statutory declaration, file and retain copies as required and make them available to the next auditor on demand (r 10N(2)(a); r 10N(3)).

Training and operational controls

• Train front‑line staff about Form 5 exclusion rules. Ensure staff know that exclusions require the form to be displayed before negotiation, to contain reasonably particular descriptions and accurate cost estimates, and to be signed and provided to the buyer before or at sale (Form 5). Create checklists and sales scripts to ensure compliance.

• Implement IT backup and disaster recovery. For electronic registers, ensure weekly backups are taken to separate premises and that restoration tests are run regularly to verify compliance with r 4A(1)(a)(iv).

• Document policies and create a compliance manual. Create an easily searchable compliance manual mapping each regulatory obligation (by regulation number and Schedule clause) to a responsible officer, timeline and record trail. Include templates for notifications to the Commissioner, standardised advertisements, contract templates (Schedules 4 and 5), and form files (Forms 4, 5, 5A, 6).

Dispute and consumer complaint handling

• Maintain a warranty and complaints process aligned with Forms 5A/6 content and federal consumer law. Because the Forms reiterate rights under the Australian Consumer Law, dealers should align their internal complaints response process with the statutory warranty durations and substantive consumer guarantees.

Record retention and audit evidence

• Keep all transactional, advertisement and contract records for at least six years where money is involved and ensure ready accessibility (r 10D(2)). Retain copies of Form 5 notices, Form 5A/6 information statements given to purchasers, odometer readings recorded at sale, and all receipts identifiers required under r 10E.

By operationalising these steps, a dealer will address the principal prescriptive obligations in the Regulations: register content and format, pre‑sale disclosures, trust account naming and notification, auditing and auditor independence, advertising particulars, contract template usage, and document retention. Periodic internal audits and legal reviews are prudent to ensure continuing compliance as forms or Commissioner practice evolve.
