Mercantile Law Amendment Act 1856 (Imp)

The Act is short and focused. Its principal legal concepts, as expressed in the text, are:

• Consideration and formalism in suretyship/promissory obligations (s 3). The section targets the evidentiary/formal requirement that a special promise to answer for another be in writing and signed by the party to be charged. It preserves the enforceability of such promises where the consideration is not set out in writing or inferable from a written document. The concept is not an abolition of the writing requirement per se; the writing/signature requirement for promises to answer for another is referenced only to the extent that absence of written evidence of consideration will not of itself invalidate an otherwise signed writing.

• Subrogation and assignment in suretyship (s 5). The concept is statutory subrogation by assignment: where a surety pays or performs for another, the surety is entitled to assignment of every judgment, specialty or other security held by the creditor in respect of the obligation. The surety “stands in the place of the creditor” and may use the creditor’s remedies at law or in equity. The section contemplates a procedural mechanism , assignment , through which the surety acquires enforceable proprietary or procedural rights (including using the creditor’s name with an indemnity). The proviso introduces an internal limitation among co‑sureties: no co‑surety may recover from a co‑party more than that party’s just proportionate share.

• Formal signature requirement for acceptance of bills (s 6). The concept is documentary acceptance: to bind an acceptor after a specified date (31 December 1856), acceptance must be written on the bill itself (or one part of a multi‑part bill) and signed by the acceptor or an authorised agent. The section places a formal constraint on negotiable instruments by requiring the acceptance to be recorded on the instrument.

• Territorial and classificatory rules for negotiable instruments and maritime claims (ss 7-8). Section 7 prescribes what counts as an “inland bill” for instruments drawn or made in the enumerated dominions and payable in or drawn upon residents in those dominions. Section 7 also preserves applicable stamp duties. Section 8 treats every port in the enumerated dominions as a “home port” for repair‑and‑supply claim purposes, thereby altering the geographic characterisation relevant to rights and remedies in relation to ship repairs and supplies.

• Non‑extension to Scotland and bibliographic short title (ss 16-17). The Act provides its short title for citation purposes (s 16) and states it does not extend to Scotland (s 17).

Each concept is framed as altering civil rights and remedies rather than imposing administrative duties or criminal penalties. The compilation notes must be read together with the text: several original sections have been deleted for Western Australia by later Acts (see notes under sections 1-2, 4 and 9-15), and s 6 is noted as being affected by the Commonwealth Bills of Exchange Act 1909 (see compilation notes). The effect of those later Acts must be considered when applying the 1856 wording in contemporary disputes.

The Act affects a narrow set of commercial actors and decision points. The parties and actors whose legal position is changed in identifiable ways by the text are:

• Sureties and co‑sureties (s 5). A surety who pays a debt or performs a duty on behalf of another is the primary beneficiary of s 5: that person acquires (by statutory entitlement) the right to assignment of every judgment, specialty or other security held by the creditor relating to that obligation. Co‑sureties are affected by the proviso limiting recovery among them to their just proportions.

• Creditors holding securities (s 5). Creditors lose the exclusive ability to enforce securities once a surety discharges the obligation: they are obliged, in effect, to permit assignment of their securities to the paying surety so the surety can seek indemnity from the principal debtor or co‑debtors. Practically, creditors must be prepared to assign securities to a surety who has made payment or performance.

• Principal debtors and co‑debtors (s 5). These parties face further action from the surety, who may stand in the creditor’s place to sue for indemnification and recovery. Their exposure is therefore not extinguished by the creditor’s acceptance of payment; the payor (surety) may pursue them for restitution.

• Acceptors and agents in negotiable instruments (s 6). Holders or makers of bills of exchange and promissory notes, and those who accept them, must comply with the written and signed acceptance requirement post‑31 December 1856. Agents who sign acceptance on behalf of principals are also affected because an authorised agent’s signature binds the acceptor under the section’s terms.

• Parties engaged in ship repairs or supply (s 8). Providers who claim for repairs or supplies to ships may be able to treat every enumerated port as a “home port” for the purposes of their rights and remedies, potentially affecting forum and procedural routes for recovery.

• Stamp duty collectors and taxpayers dealing with negotiable instruments (s 7). Section 7 expressly preserves stamp duties that would otherwise apply, so stamp duty obligations are unaffected by the inland bill classification set out in that section.

• Practitioners and courts determining enforceability, assignment and remedies. The Act alters the legal framework that courts and practitioners must apply when dealing with the described situations; practitioners advising on guarantees, suretyship, negotiable instruments, and maritime supply/repair claims must account for the statutory rules as adopted for Western Australia and for any modifications recorded in the compilation notes.

Who decides: factual and legal decisions are left to the parties and ultimately the courts. The Act does not create administrative decision‑making by an agency; it gives a statutory right (assignment to the surety) and formal requirements (signed acceptance on the bill), leaving remedy enforcement to civil proceedings in law or equity (s 5).

Who pays: under s 5 the surety initially pays the debt or performs the duty, and thereafter the surety can pursue the principal debtor and co‑debtors for indemnity. The creditor, having had its security assigned, effectively transfers the means of recovery to the surety. There is also a potential cost shift from the creditor (no longer the sole enforcer) to the surety (who must front payment) and then to the principal debtor if indemnity succeeds.

The compilation notes show legislative evolution that affects which provisions are operative in Western Australia; section‑level deletions and references to later Commonwealth statutes (for example, the Bills of Exchange Act 1909) mean that practical effect must be checked against those subsequent acts when advising on current legal positions.

The Act establishes concrete duties and rights, primarily within the civil law of obligations and negotiable instruments. The operative duties and rights as stated in the text are these:

Rights

• Right of surety to assignment of securities (s 5). A person who, as surety or jointly liable, pays the debt or performs the duty shall be entitled to have assigned to him (or to a trustee for him) every judgment, specialty or other security held by the creditor in respect of that obligation. The right is broad in language: it covers securities whether or not they would be deemed at law to have been satisfied by the payment or performance. The surety is entitled to stand in the creditor’s place and to use all remedies at law or in equity to recover from the principal debtor or co‑obligors.

• Right to use the creditor’s name upon indemnity (s 5). The surety may, upon providing a “proper indemnity,” use the creditor’s name in any action or proceeding to obtain indemnification. That creates a procedural right to continue litigation under the creditor’s title when necessary.

• Right to bring actions in law or equity (s 5). The surety may use both legal and equitable remedies to pursue indemnification from the principal debtor or co‑sureties.

• Enforceability of special promises despite absence of written consideration (s 3). A special promise to answer for another will not be invalid merely because the consideration does not appear in writing; the statutory rule preserves the promise from being defeated solely for lack of documentary proof of consideration.

• Requirement for formal acceptance on bills (s 6). Although framed as a duty, the rule gives holders of bills certainty: an acceptance stamped on the bill and signed binds the acceptor; absent that formal mark, acceptance will be insufficient to bind under the section.

Duties

• Duty to assign securities to paying surety (implied by s 5). The text entitles the surety to have securities assigned; that implies a duty on the creditor to effect the assignment where a surety has paid. The Act contemplates transfer of the creditor’s enforcement devices to the surety.

• Duty of parties accepting bills to have the acceptance in writing on the instrument and signed (s 6). An acceptor who wishes to be bound must ensure the acceptance is written on the bill and signed by the acceptor or his authorised agent; this is a formal duty imposed on acceptors.

• Duty of co‑sureties to limit recovery to just proportions (s 5 proviso). While not phrased as a duty, the proviso imposes a legal ceiling on how much a co‑surety may recover from other co‑sureties, limiting such recovery to the just proportion of liability attributable to each.

• Preservation of stamp duty obligations (s 7). Parties dealing in bills and notes cannot rely on classification as inland bills to avoid stamp duty; any stamp duty which would have been payable apart from this enactment remains payable. Practitioners and commercial parties must therefore account for continuing fiscal obligations.

Procedural prerequisites and conditions

• Use of creditor’s name requires a “proper indemnity” (s 5). The requirement to provide indemnity is an explicit condition before the surety may proceed in the creditor’s name; the nature and sufficiency of the indemnity, while not defined in the statute, is a prerequisite for the procedural step.

• Territorial limitation on the Act (s 17). The Act explicitly does not extend to Scotland, which is a legal boundary for the Act’s operation.

The text contains no express penalties for non‑compliance. Enforcement of these duties and vindication of rights is left to actions “at law or in equity” (s 5) or to the ordinary legal consequences of failure to satisfy the formal requisites for acceptance (s 6). Parties and advisers should therefore treat the Act as creating and clarifying civil entitlements and formal requirements rather than imposing administrative sanctions.

The Act does not impose statutory fines, criminal penalties, or specific regulatory enforcement mechanisms. Enforcement arises through private civil litigation and the statutory conferral of rights and remedies. The relevant mechanics are:

• Civil remedies via substitution and assignment (s 5). The paying surety is entitled to be assigned every judgment, specialty or other security held by the creditor and to “stand in the place of the creditor” and “use all the remedies, and, if need be, and upon a proper indemnity, to use the name of the creditor, in any action or other proceeding, at law or in equity.” Enforcement therefore proceeds in the ordinary courts as an ordinary civil action for indemnity or recovery rather than through criminal or administrative channels.

• No explicit statutory enforcement body. The Act provides no administrative agency, registrar or officer to enforce assignments or to police acceptance formalities. The obligations to effect assignments and to ensure acceptances are signed lie with private parties; enforcement is through court‑ordered remedies and standard civil procedures.

• Limitation on defences (s 5). The text expressly states that payment or performance by the surety “shall not be pleadable in bar of any such action or other proceeding by him.” That is a substantive rule preventing the debtor from asserting that payment by the creditor precludes the surety’s action. It is an enforcement facilitation for sureties.

• Formal invalidity as consequence (s 6). For bills of exchange, a failure to have acceptance in writing on the bill and signed by the acceptor or authorised agent means the acceptance will be “insufficient to bind or charge any person” under the Act for acceptances made after 31 December 1856. The sanction for non‑compliance is therefore the invalidity of the acceptance as a binding act, a civil evidentiary and substantive consequence enforceable in court.

• Stamp duty unaffected (s 7). Enforcement of stamp duty obligations remains the usual fiscal enforcement; the Act does not abrogate stamp duties and therefore tax authorities retain their ordinary powers to assess and collect duties that would have been payable but for the enactment.

• Jurisdictional/territorial limits (s 17). The Act will not be applied in Scotland; enforcement is limited to covered jurisdictions (historically the United Kingdom excluding Scotland; in the WA context the Act was adopted by Ordinance and is subject to later local statutory reform as per the compilation notes).

The compilation notes indicate significant subsequent legislative change in Western Australia: various sections were later deleted by the Sale of Goods Act 1895, the Partnership Act 1895, and the Limitation Act 1935, and s 6 is affected by the Commonwealth Bills of Exchange Act 1909. Those later statutes bear on enforcement in WA: where a later Act has repealed or superseded a provision, enforcement must proceed under the governing later statute. The Act’s text, read literally, leaves enforcement to courts and to private party actions; the compilation notes indicate the practical enforcement landscape may now be shaped by the later, specifically local or Commonwealth legislation.

The Act must be read in the statutory context recorded in the compilation notes accompanying the printed text. The source itself identifies several later Acts that alter, repeal or affect parts of the 1856 text as adopted in Western Australia. The key interactions and cross‑references in the source are:

• The Limitation Act 1935 (35 of 1935). The source notes that sections 9-15 were deleted insofar as they were part of WA law by s 5 of the Limitation Act 1935. The compilation table records these changes and the dates of the Limitation Act’s commencement.

• Bills of Exchange Act 1909 (Commonwealth). The source states that s 6 (formal acceptance requirement) “is affected by the Bills of Exchange Act 1909 (Cwlth).” The 1909 Commonwealth legislation was a national codification of negotiable instruments law; its interaction with s 6 means that practitioners must account for Commonwealth law where it applies. The printed text does not specify the precise nature of the effect; the note flags that later Commonwealth legislation bears upon the acceptance formalities.

• Stamp duty law. Section 7 preserves stamp duties that would otherwise have been payable; stamp duty statutes therefore interact directly with the classification provision in s 7 and remain in force as to obligations to pay. The printed text states “nothing herein contained shall alter or affect the stamp duty, if any, which, but for this enactment, would be payable in respect of any such bill or note.”

• Territorial limit with respect to Scotland (s 17). The Act expressly excludes Scotland from its extent; thus Scottish law and any Scottish legislative reforms or common law principles remain outside the Act’s operation.

Practical implications of these interactions, as noted in the source, are that some original provisions have been excised from Western Australian law by later local statutes and that other provisions (notably those touching negotiable instruments) are affected by Commonwealth law. Where a later statute has repealed or modified the 1856 text for Western Australia, the later statute will govern substantive questions; the printed compilation notes supply the statutory references necessary to locate the current governing provisions.

The Act itself is not presented as a standalone comprehensive code; it amends or clarifies aspects of existing mercantile law. Lawyers must therefore read the relevant contemporary statutes (Sale of Goods Act, Partnership Act, Limitation Act, Commonwealth Bills of Exchange Act and current stamp duty legislation) alongside the surviving 1856 sections to determine the operative rules. The source expressly records these interactions and deletions; it does not supply the text of the subsequent statutes.

The compilation table and accompanying notes in the printed text set out the Act’s adoption into Western Australia and the principal later legislative changes affecting its provisions. The source records the following chronological points:

• Enactment and Imperial original. The Mercantile Law Amendment Act 1856 is recorded as 19 and 20 Vict. c. 97, with assent 29 July 1856. The printed compilation note records that the Act’s adoption into Western Australian law took effect upon adoption by the Imperial Acts Adopting Ordinance 1867.

• Adoption into Western Australia (1867). The Act was adopted in Western Australia by the Imperial Acts Adopting Ordinance 1867 (31 Vict. No. 8), with assent 15 July 1867. The compilation table records the Ordinance’s effect and adoption date for WA.

• Sale of Goods Act 1895 (WA) alterations. The compilation notes indicate that ss 1-2 of the Imperial Act were deleted insofar as they formed part of WA law by s 58 of the Sale of Goods Act 1895 (59 Vict. No. 41). The Sale of Goods Act received assent on 12 October 1895 and commenced on 1 January 1896, as per the compilation table.

• Partnership Act 1895 (WA) alteration. Section 4 of the 1856 Act was deleted within WA by s 5 of the Partnership Act 1895 (59 Vict. No. 23). The Partnership Act records its assent and commencement dates in the compilation table (assent 2 October 1895; commencement 1 October 1895 for certain provisions).

• Limitation Act 1935 (WA) deletion. Sections 9-15 of the 1856 Act were deleted, insofar as they applied to WA, by s 5 of the Limitation Act 1935 (35 of 1935). The Limitation Act was assented to 7 January 1936 and commenced on 14 April 1936 per the compilation note.

• Bills of Exchange Act 1909 (Commonwealth) effect on s 6. The printed text records that s 6 is “affected by the Bills of Exchange Act 1909 (Cwlth).” The Bill of Exchange Act 1909 is a Commonwealth statute that codified negotiable instruments law; the source does not specify whether the Commonwealth Act repealed, superseded, or simply altered the application of the acceptance formalities, but it flags an intersection.

• Subsequent reprinting. The compilation notes include a reprint as at 26 October 1999, indicating the statute’s text as incorporated into the WA statute compilation up to that date.

The print notes in the source do not list any other amendments or partial repeals. The deletions noted (ss 1-2, 4, 9-15) show that parts of the original Imperial Act have been excised in WA by later local legislation. The source does not list any subsequent amendments to the remaining sections beyond the references quoted. Practitioners must consult the later statutes named in the compilation notes and any more recent consolidations to confirm the present state of law.

The printed source provides no case law citations and does not record decisions interpreting the 1856 Act in Western Australia or elsewhere. The only bibliographic pointer is a reference to Halsbury’s Statutes of England (Second Edition, Vol 4 p 660) for information about the original Imperial enactment (compilation note 3). Beyond that, the source contains no records of litigation, reported decisions, or judicial construction.

Implications for research and advice

• Absence of recorded cases in the source means that the statutory text must be the primary authority for the questions raised by these provisions. Where judicial interpretation is required, practitioners should search case law databases and subsequent legislation to find reported decisions dealing with s 3 (enforceability of promises where consideration is not in writing), s 5 (assignment and subrogation for sureties), s 6 (acceptance formalities for bills), s 7 (inland bills), and s 8 (home port definition).

• The compilation notes identify later statutes that may have supplanted or affected parts of the 1856 Act in WA. Courts are likely to apply the later local or Commonwealth statutes in areas where the later Acts have repealed or materially altered the 1856 provisions. Therefore, litigation history relevant to the practical application of these mercantile principles is likely to be found under those later Acts as well as under any cases that applied the surviving sections.

• For modern disputes in Western Australia, counsel should review decisions interpreting the Sale of Goods Act 1895, the Partnership Act 1895, the Limitation Act 1935, and the Commonwealth Bills of Exchange Act 1909, as those texts are flagged in the compilation notes as impacting the 1856 text.

The printed statute itself does not supply litigation history; users must consult contemporary case law and the legal reporting services to locate judicial construction and precedent.

The Act’s surviving sections create useful rights and formal rules but contain a number of practical pitfalls and interaction risks that advisers and commercial actors should note. These are drawn directly from the text and the compilation notes:

• Assignment entitlement vs practical assignment steps (s 5). The statute entitles the paying surety to have securities assigned and to stand in the creditor’s place, but it does not spell out the mechanics of assignment, registration, or priority vis‑à‑vis third parties. A surety who pays must therefore ensure the creditor delivers effective assignment documents and takes any necessary steps to perfect priority in relevant registries. The statute’s entitlement does not remove the need for formal transfer steps to defeat competing claims; the text does not define the form of the assignment or perfection process.

• Requirement to provide a “proper indemnity” to use the creditor’s name (s 5). The phrase “proper indemnity” is not defined in the Act. A surety expecting to proceed in the creditor’s name should secure a documented indemnity acceptable to the creditor and to the court. Failure to provide adequate indemnity may prevent use of the creditor’s procedural posture and could complicate the conduct of litigation.

• Co‑surety internal limitation (s 5 proviso). The proviso limits recovery among co‑sureties “to the just proportion.” That requires apportionment analysis among co‑sureties and may generate factual disputes. Advisers must prepare to litigate proportion issues and to provide evidence of each party’s share of liability where recovery between co‑sureties is sought.

• Formality trap for negotiable instruments (s 6). Acceptances of bills must be in writing on the bill and signed by the acceptor or authorised agent for acceptances after 31 December 1856. An acceptance documented elsewhere (for example, in separate correspondence) may be “insufficient to bind or charge any person” under the section. Parties should ensure written acceptance appears on the instrument itself, or that the relevant Commonwealth statute (see note on the Bills of Exchange Act 1909) supersedes that requirement. The printed text flags that s 6 is affected by later Commonwealth law; if advising in a modern context, confirm whether the Commonwealth Bills of Exchange Act or subsequence rules have displaced the on‑bill signature requirement.

• Stamp duty preserved (s 7). Section 7’s explicit preservation of stamp duty means parties cannot rely on the “inland bill” classification to negate fiscal obligations. A failure to account for stamp duty can create separate tax liabilities; the Act does not alter those duties.

• Home port consequences (s 8). Deeming every port within the enumerated dominions to be a “home port” for repair and supply claims may affect arrest, lien and enforcement strategies for ship repairers and suppliers. That said, the Act sets out the deeming provision but not the full set of procedural consequences in local court rules; practitioners must map the deeming into existing maritime rules to understand how it affects forum, arrest remedies and priority.

• Partial deletions and later statutes (compilation notes). Several sections of the original Imperial Act were deleted or are affected by later Acts. The presence of deletion notes in the source means that the 1856 text does not stand alone for Western Australia. Advisers must cross‑check the specific surviving provisions against the later statutes (Sale of Goods Act 1895, Partnership Act 1895, Limitation Act 1935, Bills of Exchange Act 1909) to avoid relying on provisions that have been repealed or modified.

• Territorial limitation (s 17). The Act expressly does not extend to Scotland. Where cross‑jurisdiction matters exist, ensure Scottish law is not inadvertently treated as operating under this statute.

• No guidance on sufficiency of written evidence for consideration (s 3). Section 3 protects a signed promise from invalidity solely because the consideration is not in writing, but it does not provide guidance on what evidence will satisfy courts regarding the existence of consideration. Parties relying on an oral or implied consideration must prepare evidentiary support to prove consideration in proceedings.

• Ambiguity about whether securities are deemed satisfied (s 5). The text states the assignment covers securities “whether such judgment, specialty, or other security shall or shall not be deemed at law to have been satisfied by the payment of the debt or performance of the duty.” That language preserves the surety’s access to securities even where payment might technically satisfy them at law; however, the practical effect against third parties, registries, or priorities may be contested.

These “gotchas” are risks created by the statutory text and the way it leaves certain implementation details to parties and courts. The compilation notes signal that some of the risk has been altered by later legislation; before acting, advisers must check whether the relevant sections have been repealed or modified by the later Acts named in the notes.

Compliance under this Act involves private party actions, documentation and, in practice, coordinating with later applicable statutes. The Act itself does not create regulatory filings; it requires observance of formalities and the careful management of assignments and procedural steps. Practical compliance steps, grounded in the statute’s language, are:

• If you are a surety who pays a debt or performs a duty:

  • Secure a formal assignment from the creditor of every judgment, specialty or other security connected to the obligation, documenting the assignment to you or to a trustee for you (s 5). The Act entitles you to that assignment.
  • Obtain and provide a “proper indemnity” if you intend to proceed in the creditor’s name. Agree the document in writing and, where possible, include express authority to use the creditor’s title in litigation (s 5).
  • Collate and preserve evidence of payment or performance (receipts, bank records, correspondence) to support subsequent actions for indemnity.
  • Prepare factual evidence to establish the contribution shares where co‑sureties are involved, because recovery from co‑sureties is limited to the “just proportion” (s 5 proviso).

• If you are a creditor receiving payment from a surety:

  • Be ready to effect assignment of securities in favour of the paying surety or trustee for the surety as required by s 5.
  • Accept and verify any indemnity requested before allowing the surety to proceed under your name; retain appropriate documentation.
  • Where securities are registered (for example, under any relevant registration scheme), follow registration procedures to ensure the assignment is effective against third parties.

• If you are accepting or negotiating bills of exchange or promissory notes:

  • Ensure any acceptance given after 31 December 1856 is made in writing on the bill itself (or on one of its parts) and signed by the acceptor or an authorised agent (s 6). If an agent signs, retain proof of the agent’s authority.
  • Check whether the Commonwealth Bills of Exchange Act 1909 or later Commonwealth legislation affects the application of s 6 in your jurisdiction; obtain current statutory guidance if advising on modern instruments (compilation note regarding s 6).

• If you are a party dealing with bills or notes described in s 7:

  • Do not assume classification as an “inland bill” removes stamp duty obligations; s 7 expressly preserves any stamp duty that would otherwise be payable.
  • Ensure stamping or payment of stamp duty is addressed in transactional documentation.

• If you are a supplier or repairer to ships:

  • Note that, for rights and remedies related to repairs or supplies, every enumerated port is deemed a “home port” (s 8). Map this deeming into local maritime rules and arrest/lien procedures to determine practical enforcement options.
  • Preserve invoices, delivery records and proof of supplies or repairs to support any claim for remedies in law or equity.

• For advisers and litigators:

  • Check the compilation notes and legislative history before advising on any particular provision: the Sale of Goods Act 1895, the Partnership Act 1895, the Limitation Act 1935, and the Bills of Exchange Act 1909 are all flagged in the source as affecting the 1856 text in Western Australia.
  • Where the Act’s text uses undefined terms (for example, “proper indemnity” or “just proportion”), identify and document the client’s expectations and the factual matrix that will be used to prove those terms in court.
  • Where assignments or securities are to be transferred, ensure all ancillary steps (registration, stamping, or third‑party notice) required by relevant local statutes and registries are completed to achieve the intended effect.

• For tax and stamp duty compliance:

  • Treat stamp duty liabilities as preserved by s 7. Obtain stamp duty advice and, where necessary, pay or account for duty in respect of bills, notes or assignments.

Practical risk management

• Where the securing or assignment of securities involves registrable property, act promptly to perfect priority against subsequent creditors. The statute’s entitlement to assignment does not on its own guarantee priority over intervening security holders.

• Where litigation is contemplated, ensure that pleadings and evidence establish entitlement under s 5 to assignment and subrogation or, failing assignment, to equitable remedies.

• Where the law has been changed by later Acts (see compilation notes), work from the operative statute in WA and the Commonwealth provisions for negotiable instruments rather than relying solely on the 1856 text.

Following these steps aligns parties with the rights and duties the Act confers, while recognising that the statute leaves implementation mechanics, proof requirements and priority/perfection steps to private action and to applicable modern statutes.
