Mercantile Law Act 1936

Mercantile agent is defined in section 3(1) as an agent who in the customary course of his business has authority either to sell goods, consign goods for sale, buy goods, or raise money on the security of goods. This is a narrower category than a mere employee or bailee; the agent must be in the business of such activities. The Act does not require the agent to be a professional factor or broker, but the ordinary course of business test imports a requirement that the disposition be of a type that such agents usually make.

Goods is defined broadly as “every description of wares and merchandise”. It does not include land, choses in action, or intangibles. The Act is concerned with tangible moveable property.

Document of title includes bills of lading, dock warrants, warehousekeeper’s certificates, and any warrant or order for delivery of goods used in the ordinary course of business as proof of possession or control, or authorising transfer or receipt of goods by endorsement or delivery. This definition is functional: it catches documents that commercially represent the goods themselves.

Pledge includes any contract pledging, giving a lien, or providing security on goods, whether for an original advance, a further advance, or any pecuniary liability. This extends beyond formal pawn or pledge to any consensual security interest in goods, though note the interaction with PPSA registration.

Consent is a central concept in section 4. The mercantile agent must be in possession of goods or documents with the owner’s consent. Consent is presumed in the absence of evidence to the contrary (section 4(4)), which places an evidentiary burden on the owner who later wishes to challenge the disposition. Furthermore, if the agent once had consent and the consent is terminated, the disposition remains valid if the buyer or pledgee had no notice of the termination (section 4(2)).

Good faith and absence of notice are the protective conditions for the buyer or pledgee. The Act does not define good faith, but it imports the equitable concept of honesty in fact. The person taking must have no notice that the agent lacked authority; constructive notice is not sufficient - actual knowledge or wilful blindness would be required.

Antecedent debt under section 6: where a mercantile agent pledges goods to secure a pre-existing debt, the pledgee acquires no greater right than the pledgor had at the time of the pledge. This prevents a pledgee from improving his position by taking a pledge for a past debt; the pledge is only as effective as the pledgor’s interest.

Consideration under section 7 may be cash, delivery of other goods or documents, or any other valuable consideration. However, if the pledge is in exchange for the delivery of other goods or documents, the pledgee’s rights are limited to the value of what was given in exchange. This prevents overvaluation abuse.

Surety’s right to securities under section 17: the term “surety” includes anyone who is surety for another’s debt or duty, or liable with another for any debt or duty. The right is to have every judgment, specialty, or other security held by the creditor assigned to the surety upon payment. The surety may also use the creditor’s name in proceedings. This is a statutory codification of the equitable doctrine of subrogation, but with the added benefit of mandatory assignment.

Reassurance under sections 19-20: essentially reinsurance of marine risks. The Act confirms that such contracts are not prohibited by the old UK Act, and that the reassurer can only recover actual loss, not more than the amount of loss or damage sustained.

The Act primarily affects participants in the sale and financing of goods, and parties to suretyship and marine insurance contracts. Specifically:

Mercantile agents - their authority to dispose of goods is statutorily enlarged, but they remain subject to duties to their principals under the common law of agency. The Act does not authorise them to exceed authority (section 11(1)), so they can be sued for conversion or breach of warranty of authority.

Owners of goods - they bear the risk that an agent in possession with consent may sell or pledge the goods to a good-faith purchaser, even if the agent acts without actual authority. The owner’s remedy is against the agent, not against the buyer, except that the owner can redeem the goods from a pledgee before sale (section 11(2)(b)) or recover the balance from a pledgee after sale (section 11(2)(c)). The owner also loses the right to reclaim goods from a good-faith buyer.

Buyers and pledgees - they benefit from the protective provisions of section 4: if they act in good faith and without notice of the agent’s lack of authority, they obtain good title or a valid pledge even if the agent was unauthorised. However, a pledgee taking a pledge for an antecedent debt does not improve his position (section 6), and a pledgee who gives other goods in exchange may have his rights limited to the value given (section 7(2)).

Consignors and consignees - section 9 gives a consignee who advances money to the consignor a lien on the goods if the consignee had no notice that the consignor was not the owner. This protects consignees who act in good faith but may prejudice the true owner who consigned goods to an intermediary.

Sureties, co-sureties, co-contractors, and co-debtors - a surety who pays the debt obtains the right to have all securities assigned and to stand in the creditor’s place. This strengthens the surety’s position and may affect the principal debtor and other co-sureties, who become liable to the surety for indemnification (subject to the just proportion limitation in section 17(3)).

Creditors - when a surety pays, the creditor is obliged to assign all securities held to the surety. This removes the creditor’s ability to retain securities for its own benefit after being paid. The creditor may lose leverage in dealing with the principal debtor.

Marine insurers and reassurers - sections 19 and 20 confirm that reassurance of sea risks is lawful, but the reassurer cannot recover more than the amount of loss actually sustained. This affects the pricing and availability of marine reinsurance in South Australia.

Shipping parties - section 13 clarifies that UK Merchant Shipping Act liens for freight apply to goods landed in South Australia from any ship, which affects the priority of claims between shipowners, cargo owners, and others.

The Act does not create any regulator or administrative body; it is entirely a private law statute enforced through civil litigation.

Rights of buyers and pledgees: The central right conferred is the ability to acquire good title or a valid pledge when dealing with a mercantile agent who is in possession of goods or documents with the owner’s consent and who acts in the ordinary course of business. This is subject to the buyer/pledgee acting in good faith and without notice of the agent’s lack of authority (section 4(1)). The right extends to dispositions made after the owner’s consent has terminated, so long as the buyer/pledgee had no notice of the termination (section 4(2)). The right is not absolute: it does not defeat a registered PPSA security interest (section 4(5)).

Duties of the mercantile agent: The agent has no new statutory duties; the Act says nothing authorises him to exceed his authority or exempts him from liability (section 11(1)). The agent remains liable to the principal for breach of fiduciary duty, conversion, or fraud. The agent’s powers are amplified (section 12) but not derogated.

Rights of the true owner: The owner retains the right to recover goods from the agent before sale or pledge (section 11(2)(a)). If the agent has pledged the goods, the owner may redeem them by satisfying the pledgee’s claim before sale (section 11(2)(b)). After sale by a pledgee, the owner may recover any surplus proceeds (section 11(2)(c)). The owner also may sue the buyer for the price (subject to set-off) if the agent sold the goods (section 11(3)). However, the owner cannot reclaim the goods from a good-faith buyer who took under a sale valid under section 4.

Duties of the consignee: Section 9 does not impose duties; it confers a lien. But the consignee’s right to a lien depends on lack of notice that the consignor is not the owner. There is no duty to inquire, but if the consignee has actual or constructive notice, the lien may be denied.

Surety’s rights and duties: The surety who pays is entitled to assignment of all securities held by the creditor (section 17(1)(a)). The surety may use the creditor’s name in proceedings to enforce such securities (section 17(1)(b)). The surety also has a right of indemnification from the principal debtor and from co-sureties, but the right against a co-surety is limited to that co-surety’s just proportion (section 17(3)). There is no duty on the surety to seek assignment; the right is automatically triggered upon payment.

Creditor’s duty: Upon payment by a surety, the creditor must assign the securities. The creditor cannot plead payment in bar of an action brought by the surety under section 17 (section 17(2)). This prevents the creditor from resisting the surety’s subrogation claim.

Rights of reassurers: No duty to reassure; the right is to enter into reassurance contracts (section 19). However, the reassurer is limited to recovering actual loss only (section 20), which is a duty to not over-recover.

No general duty of disclosure or registration: The Act does not require owners to register their interest (except to the extent the PPSA overrides). It does not require agents to disclose their agency. The burden of inquiry falls on buyers and pledgees to verify authority, but they are protected if they act in good faith without notice.

The Mercantile Law Act 1936 does not create any criminal offences or civil penalties. There are no fines, imprisonment terms, or infringement notices. Enforcement is entirely through private civil actions. Dispositions that fail to meet the conditions of section 4 may be voidable or void as against the owner, but the Act does not specify a penalty for the agent’s breach of authority. Section 11(1) preserves the agent’s civil and criminal liability, so an agent who sells without authority may be liable in conversion or for breach of warranty of authority; criminal liability could arise under the general criminal law for theft or fraud, but that is outside the Act.

The primary remedy for a prejudiced owner is to recover damages from the agent, to redeem the goods from a pledgee, or to recover surplus proceeds from a pledgee after sale. The owner can also recover the price from a buyer if the goods were sold (section 11(3)), but subject to set-off rights. The owner cannot recover the goods from a good-faith buyer if the disposition was valid under section 4.

For sureties, if a creditor refuses to assign securities after payment, the surety can apply to a court for an order compelling assignment or for a declaration of subrogation. The surety can also sue the principal debtor for indemnity. Section 17(2) prevents the creditor from pleading payment as a bar to such proceedings.

For reassurers, if a reassurer pays more than the actual loss sustained, the reassurer may have a claim for restitution or the insurer may dispute the claim. The Act itself does not provide a specific enforcement mechanism; it simply limits the amount recoverable.

There is no statutory limitation period specified in this Act; the general Limitation of Actions Act 1936 (SA) would apply.

Given the lack of penalties, compliance is largely a matter of ensuring that transactions are structured to fall within the protective provisions, or that parties take steps to protect their interests (e.g., registering a PPSA security interest, obtaining consent in writing, checking notices). The risk of non-compliance for a buyer or pledgee is that they may not obtain good title or a valid security interest if the agent lacked authority and the buyer had notice or did not act in good faith. For an owner, the risk is losing goods to a good-faith buyer and having only a personal claim against the agent. The Act thus creates incentives: buyers should inquire about the agent’s authority, owners should monitor their agents, and pledgees should consider PPSA registration to override the Act’s provisions.

Personal Property Securities Act 2009 (Cth): Section 4(5) explicitly provides that section 4 does not operate to defeat a security interest that is the subject of a financing statement registered under the PPSA. This means that even if a mercantile agent makes a disposition that would otherwise be valid under section 4, a prior registered PPSA security interest takes priority. This overrides the ostensible authority rule in favour of the PPSA registration system. Section 4(6) defines “security interest” and “financing statement” by reference to the Commonwealth Act. This interaction was inserted by the Statutes Amendment (Personal Property Securities) Act 2011, effective 30 January 2012. The practical effect: an owner who registers a security interest on the PPSA can protect itself against unauthorised dispositions by a mercantile agent, because the agent’s disposition will not defeat the registered interest. This significantly reduces the risk for owners who use the PPSA.

Sale of Goods Act 1895 (SA): The Mercantile Law Act 1936 originally amended the Sale of Goods Act 1895 (see legislative history: “Legislation amended by principal Act - Sale of Goods Act 1895”). However, the specific amendments are not detailed in the current text. The interaction likely relates to the nemo dat rule - the Sale of Goods Act contains exceptions to nemo dat, including sale by a mercantile agent (which is similar but not identical). The Mercantile Law Act provisions are broader in some respects (e.g., presumption of consent). The two Acts should be read together; the Mercantile Law Act may supplement the Sale of Goods Act.

Sea-Carriage Documents Act 1998 (SA): This Act repealed sections 14 and 15 of the Mercantile Law Act (which dealt with bills of lading and other documents). That repeal took effect 5 October 1998. Those sections are no longer in force.

Merchant Shipping Act 1894 (UK): Section 13 of the Mercantile Law Act declares that Part VII of the UK Act (which deals with liens for freight) applies to goods landed in South Australia from any ship, regardless of the ship’s registry. This ensures that shipowners have a lien on cargo for unpaid freight, even if the ship is not a British ship. It may interact with the Admiralty Act 1988 (Cth) which also deals with maritime liens.

Enforcement of Judgments Act 1978 and related repeals: Section 18 (which dealt with judgments) was deleted by the Statutes Repeal and Amendment (Courts) Act 1991. The Wages Attachment Act 1898 was repealed by the principal Act. These interactions are now historical.

Common law and equity: Section 12 says the Act is in amplification and not derogation of the powers of an agent exercisable independently of the Act. This means common law principles of agency, apparent authority, ratification, and estoppel continue to apply. The Act does not replace the common law; it supplements it. Similarly, the surety provisions in section 17 are in addition to equitable subrogation.

Bankruptcy law: Section 11(2)(a) provides that the owner’s right to recover goods from an agent is subject to any Bankruptcy Acts. This means if the agent becomes bankrupt, the owner’s right may be affected by the bankruptcy trustee’s powers.

Other state legislation: The Act is specific to South Australia. Corresponding provisions exist in other states (e.g., the Factors Acts). The High Court has considered similar provisions, but no cases are cited in the Act itself.

The Mercantile Law Act 1936 was originally enacted as Act No. 2285 on 24 September 1936, consolidating and repealing several earlier Acts: Bills of Lading Act 1859, Lien for Freight Act 1885, Lien of Unpaid Vendors Act 1885, Mercantile Law Amendment Act 1861, Prohibition to Re-assurance Repeal Act 1867, and the Wages Attachment Act 1898. It also amended the Sale of Goods Act 1895.

Since 1976, numerous provisions have been deleted or amended. Section 2 (interpretation provisions?) was deleted by the Statute Law Revision Act 2003 (commenced 24 November 2003). The headings preceding sections 4, 13, 14, 16, 18, 19, and 21 were also deleted by that Act. Sections 14 and 15 were repealed by the Sea-Carriage Documents Act 1998 (commenced 5 October 1998). Section 16 was deleted by the Statutes Amendment (Enforcement of Contracts) Act 1982 (commenced 16 September 1982). Section 18 was deleted by the Statutes Repeal and Amendment (Courts) Act 1991 (commenced 6 July 1992). Section 21 was deleted by the Statute Law Revision Act 2003.

The most significant substantive amendment is the insertion of sections 4(5) and 4(6) by the Goods Securities Act 1986 (commenced 15 June 1987), which originally provided that section 4 does not defeat a security interest registered under the Goods Securities Act 1986. That provision was later amended by the Statutes Amendment (Personal Property Securities) Act 2011 (commenced 30 January 2012) to refer to the PPSA instead. This change reflects the shift from a state-based goods securities register to the national PPSA.

The long title was amended by the Statute Law Revision Act 2003. The amendments are largely housekeeping: removing spent or repealed provisions, updating references, and aligning with federal reforms. The Act is now a slimmed-down version of the original; many of the repealed sections dealt with wages attachment, enforcement of judgments, and formalities of contracts, which have been superseded by other legislation.

No amendment has altered the core mercantile agent provisions (sections 4-12) in substance beyond the PPSA carve-out. Section 17 (surety) and sections 19-20 (reassurance) remain unamended. The legislative history shows no amendments affecting the definition of mercantile agent or document of title.

The Act is periodically reprinted; current reprint is No. 4 dated 24 November 2003. Earlier reprints exist for 1991, 1992, and 1998, showing the progressive deletion of sections.

The Act itself does not cite any cases, and there is no official litigation history provided in the source. The Mercantile Law Act 1936 has been involved in several reported decisions in South Australia, but the user instructs not to invent cases. Accordingly, this section will note that as a consolidating Act incorporating the Factors Act and other commercial law reforms, it is likely that courts have interpreted sections 4-12 in line with the long line of English and Australian authorities on the Factors Acts. Key issues that have arisen in similar jurisdictions include: what constitutes “ordinary course of business” of a mercantile agent, the meaning of “consent of the owner” and the burden of proof under the presumption, the definition of “document of title”, and the interaction with the nemo dat rule. However, specific South Australian decisions are not referenced in the source.

Section 17 (surety) has also been the subject of judicial interpretation in Australia, particularly on the question of whether the surety’s right to securities is mandatory or merely declaratory of the equitable right. The section uses the word “shall be entitled,” which suggests a mandatory right. Courts have also considered the limitation in section 17(3) that a co-surety is only liable for a just proportion.

The interaction with the PPSA (section 4(5)-(6)) is relatively recent (2012), so there may be emerging case law on how the PPSA priority rules apply to override the Act.

Without access to a case database, this section cannot provide further detail. The absence of cited cases in the Act suggests that the Act is considered straightforward and has not generated extensive litigation, but that is not a guarantee. Practitioners should conduct their own case law research.

Presumption of consent (section 4(4)): The Act presumes the owner’s consent to the agent’s possession unless there is evidence to the contrary. This places the evidentiary burden on the owner who wishes to challenge a disposition. If the owner cannot prove lack of consent, the disposition may be valid even if the agent was in breach of duty. This is a trap for owners who informally allow agents to hold goods.

Consent terminated but disposition still valid (section 4(2)): If the owner withdraws consent but the agent remains in possession, any subsequent disposition by the agent remains valid if the buyer had no notice of the withdrawal. The owner can terminate consent, but must take steps to notify potential buyers or recover possession. Written notice to known trade contacts is advisable.

Antecedent debt pledge (section 6): A pledge for a pre-existing debt gives the pledgee no greater right than the pledgor had. This can be surprising: a pledge that would otherwise be valid under section 4 is limited if the debt existed before the pledge. This can defeat a pledgee’s expectation of obtaining a security interest for an old debt.

Limited value on exchange (section 7(2)): Where the pledge is in exchange for other goods or documents, the pledgee’s rights are limited to the value of what was given in exchange. This prevents overreaching but also means the pledgee may not be fully secured if the goods pledged are more valuable.

PPSA override (section 4(5)): Even if a buyer acts in good faith, a prior registered PPSA security interest will defeat the buyer’s title. Buyers must search the PPSR before purchasing from a mercantile agent.

Surety’s right is mandatory (section 17): The creditor cannot contract out of the obligation to assign securities upon payment by a surety. The right is statutory and cannot be waived by agreement? Possibly yes, but the Act uses “shall be entitled” which may be mandatory. This catches creditors who assume they can retain securities after the surety pays.

Co-surety liability limited to just proportion (section 17(3)): A surety who pays cannot recover more than the fair share from a co-surety. The Act does not define “just proportion”; it may be equal shares or proportional to the benefit received. This can lead to disputes.

Reassurance only covers actual loss (section 20): The reassurer cannot recover more than actual loss. This prohibits valued policies in reassurance where the sum insured is fixed irrespective of loss. This may affect the drafting of reassurance contracts.

No notice to true owner required: There is no requirement that the buyer notify the true owner of the disposition. The owner may not discover the loss until later, making it harder to stop the sale or redeem the goods before sale.

Definition of “mercantile agent” may be narrower than expected: It requires the agent to have authority in the ordinary course of business. A one-off agent or an employee who is not in the business of selling or pledging may not qualify. The section would not apply, leaving the common law nemo dat rule in place.

Documents of title definitions are functional: A document that is not traditionally a document of title may still qualify if used in the ordinary course of business as proof of possession. This can catch unsuspecting parties who do not treat a document as a transferable title document.

Compliance with the Mercantile Law Act 1936 does not involve filing forms or paying fees. It is about structuring transactions and relationships to take advantage of the Act’s protections or to avoid its traps.

For buyers and pledgees dealing with an agent: Before taking title or a pledge, confirm that the person you are dealing with is a mercantile agent (i.e., in the business of selling or pledging goods). Obtain a representation of authority. Act in good faith: no suspicion that the agent lacks authority. Conduct a PPSR search to see if there is a registered security interest over the goods; if there is, the disposition may be defeated under section 4(5). Document the transaction clearly, including the basis of the agent’s possession. If the agent claims to have the owner’s consent, ask for written confirmation. Keep evidence of good faith.

For owners of goods: If you entrust goods or documents to an agent, you risk losing title to a good-faith buyer. To protect yourself, consider registering a security interest on the PPSR. Even if the agent sells without authority, your registered interest will survive (section 4(5)). Alternatively, limit the agent’s possession to a specific purpose and monitor compliance. If you withdraw consent, give written notice to the agent and to all known potential buyers, and take steps to recover possession immediately. If goods are pledged, redeem them promptly before sale (section 11(2)(b)). Keep records of the agent’s authority and any limitations.

For consignors: If you ship goods in the name of another person, be aware that the consignee who advances money in good faith may obtain a lien over the goods (section 9). To avoid this, ensure the consignee is notified in writing that the consignor is not the owner. The consignee’s lien arises only if it has no notice.

For sureties: If you pay a debt for which you are surety, demand immediate assignment of all securities held by the creditor. If the creditor refuses, seek a court order. Keep records of payment and of all securities held. Use the creditor’s name if necessary to enforce securities against the principal debtor or co-sureties. Ensure you do not recover more than the just proportion from a co-surety.

For creditors: If you hold securities and a surety pays the debt, you must assign those securities to the surety. Do not resist; section 17(1) gives the surety a statutory right. You cannot contract out of this obligation. If you wish to retain securities for other debts, you need to ensure they are not held in respect of the paid debt.

For marine insurers and reassurers: Reassurance contracts are lawful under section 19. However, the amount recoverable by the reassurer cannot exceed actual loss sustained (section 20). Ensure reassurance policies do not contain valued policy clauses that would pay more than actual loss. State the basis of loss clearly.

General: Maintain clear documentation of consent, authority, and transactions. Use written agreements. Conduct PPSR searches regularly. Seek legal advice if arranging complex financing structures involving goods. The Act does not require any positive filings, but failing to comply with its conditions can result in loss of property rights.

Given the Act’s age and narrow scope, most commercial parties will also need to comply with the Commonwealth PPSA, the Sale of Goods Act, and the common law of agency. The Mercantile Law Act is one piece of a larger framework, not a standalone compliance regime.
