Members of Parliament (Register of Interests) Regulations 2023

The Regulations are structured around two statutory return types and a set of defined concepts that determine the scope of disclosure.

Return types and timing

• Primary return: mandatory within 30 days after taking the oath or affirmation as a Member (Schedule 1 Instructions). Its scope is forward-looking in one respect: clause 1 of Schedule 1 requires disclosure of income sources “existing and expected in the next 12 months” (Schedule 1 cl 1).
• Ordinary return: periodic; submitted within 60 days after 30 June for the return period (Schedule 2 Instructions). The return period is either from the primary return to the following 30 June, or a financial year (Schedule 2 Instructions). Ordinary returns are retrospective in nature, requiring disclosure of benefits received or entitled to during the return period (Schedule 2 cl 1).

Core disclosure items Both Schedules map to specific paragraphs of section 4 of the Act (the Regulations cite those Act references). The Schedules set out discrete clauses requiring particulars of:

• income sources or financial benefits (Schedule 1 cl 1; Schedule 2 cl 1);
• directorships and offices held (Schedule 1 cl 2; Schedule 2 cl 2);
• investments (Schedule 1 cl 3; Schedule 2 cl 7);
• political, trade and professional memberships (Schedule 1 cl 4; Schedule 2 cl 8);
• trusts (Schedule 1 cl 5; Schedule 2 cl 9);
• beneficial interests in land (Schedule 1 cl 6; Schedule 2 cl 10);
• contributions to funds for the Member’s benefit (Schedule 1 cl 7; Schedule 2 cl 11);
• creditors and debtors subject to monetary thresholds (Schedule 1 cl 8 and cl 9; Schedule 2 cl 12 and cl 13);
• gifts and travel contributions (Schedule 2 cl 3-4) and use of property (Schedule 2 cl 5);
• contracts with the Crown (Schedule 2 cl 6);
• “other substantial interests” that could appear to raise material conflicts (Schedule 1 cl 10; Schedule 2 cl 14).

Monetary thresholds and aggregation rules The Regulations define monetary thresholds that determine what must be disclosed:

• Financial benefits in ordinary returns: a pecuniary benefit exceeding $1,000 triggers disclosure (Schedule 2 cl 1).
• Gifts and travel contributions: $750 or more triggers disclosure; multiple contributions or gifts from the same person in the return period are treated as a single contribution/gift for threshold aggregation (Schedule 2 cl 3-4).
• Investments: a person is an investor if an unpaid deposit/loan equals or exceeds $10,000 or if they hold shares/debentures or a life insurance policy (Schedule 1 cl 3; Schedule 2 cl 7).
• Creditors: disclosure for amounts owed of $7,500 or more (Schedule 1 cl 8; Schedule 2 cl 12).
• Debtors: natural persons owing $10,000 or more disclosed (Schedule 1 cl 9; Schedule 2 cl 13).
• Use of property: market price threshold $750 and not acquired for adequate consideration or ordinary commercial transaction (Schedule 2 cl 5).

Definitions that limit and scope disclosure The Regulations set precise definitions relevant to scope:

• “Person related to a Member” comprises a member of the Member's family; a family company; or a trustee of a family trust (Schedules 1 & 2 Defined terms).
• “Member’s family” comprises spouse or domestic partner and children under 18 normally residing with the Member; notable definitional detail: the concept “domestic partner” is defined by cohabitation durations or parenthood and explicitly excludes a legally married couple and remunerated carer relationships (Schedules 1 & 2).
• Family company: proprietary company in which Member or family is shareholder and where they are in a position to cast or control more than one-half of votes (Schedules 1 & 2).
• Family trust: a non-testamentary trust with the Member or family as beneficiary and established/administered substantially in their interests (Schedules 1 & 2). Objects of discretionary trusts are treated as beneficiaries.

Operational instructions and limits on disclosure

• Standard of disclosure: the Member must disclose “all information known to the Member or ascertainable ... by the exercise of reasonable diligence” (Schedules 1 & 2 Instructions).
• No requirement to disclose the actual amount or extent of contributions or interests (Schedules 1 & 2 Instructions).
• Members may aggregate information for themselves and related persons, and may include additional information at their discretion; they may notify the Registrar of changes at any time (Schedules 1 & 2 Instructions).
• Specific exclusions: gifts, travel contributions and use of property from persons related by blood or marriage are excluded from disclosure obligations (Schedule 2 cl 3-5).

Execution formalities

• Every return and each annexure must be signed by the Member in the presence of a witness who subscribes their signature for the return and each annexure (r 4(3); Schedules 1 & 2 signature blocks).

Repeal and commencement

• The 2008 Regulations are repealed (Schedule 3). The Regulations commence on the day they are made (r 2).

Primary legal subjects

• Members of the South Australian Parliament are the primary persons affected. The instrument prescribes the forms and content they must complete and file with the Registrar (r 4(1)-(2); Schedule 1 & 2 Instructions).

Persons related to Members

• The Regulations extend the disclosure reach beyond the Member personally to a defined class of “persons related to the Member.” That class comprises:
  • a member of the Member’s family (spouse or domestic partner; child under 18 normally residing with Member) (Schedules 1 & 2 Defined terms);
  • a family company (a proprietary company in which the Member or family is a shareholder and the Member or family can control more than half the votes) (Schedules 1 & 2);
  • a trustee of a family trust (Schedules 1 & 2).
• Disclosure may be provided “in a way that no distinction is made between information relating to the Member personally and information relating to a person related to the Member” (Schedules 1 & 2 Instructions). This expands the practical reporting universe: interests, benefits and liabilities of related persons fall within the reporting frame where they meet the clauses’ criteria.

Third parties whose transactions trigger disclosure

• Donors and sponsors of travel, gifts and use of property of the Member or related persons where the value meets thresholds (Schedule 2 cl 3-5).
• Creditors and debtors whose amounts meet the $7,500 or $10,000 thresholds (Schedule 1 cl 8 & 9; Schedule 2 cl 12 & 13).
• Corporations, partnerships or other bodies in which the Member or related person is an investor or director (Schedule 1 cl 2 & 3; Schedule 2 cl 2 & 7).
• Counterparties to contracts with the Crown where monetary consideration equals or exceeds $7,500 (Schedule 2 cl 6).

Registrars and parliamentary administration

• The Registrar is the recipient of returns and any variation notices (Schedules 1 & 2 Instructions). The Regulations assume an existing statutory office or function of Registrar under the Act; the Regulations themselves do not define the Registrar beyond referencing the Act (r 4 and Schedules). Thus parliamentary administrative staff and record-keepers are secondarily affected because the Schedules set the form and content they must receive, process and maintain.

Excluded persons and relationships

• The Regulations exclude certain relationships from disclosure in specified contexts. For example, disclosure is not necessary for creditors or debtors who are “related by blood or marriage” to the Member (Schedule 1 cl 8; Schedule 2 cl 12 & 13), and travel contributions and gifts from persons related by blood or marriage are excluded from the threshold-based disclosure provisions (Schedule 2 cl 3-4). The definition of “domestic partner” also explicitly excludes legally married couples from that category (Schedules 1 & 2 Defined terms), a drafting detail that affects who counts as family for the Regulations’ purposes.

Commercial actors and the Crown

• Businesses that have ordinary commercial or arm’s-length contracts with the Crown may only need to be disclosed as a class rather than individually if each contract of a class is ordinary commercial or arm’s length (Schedule 2 cl 6). That creates a specific interaction for suppliers to the State who are linked to a Member or related person.

Wider public

• The Regulations operate to populate the public Register of Interests (the Act provides for a register; these Regulations prescribe the forms). The public, media, compliance officers and researchers are affected indirectly because the content and format of disclosures will determine what information is available and how to interpret it.

Who does not get new powers or penalties in these Regulations

• The Regulations do not, by their text, create enforcement or sanctioning powers, or new legal liabilities. Any enforcement consequences would need to come from the Act or other law; the Regulations are focused on form, content and process (r 4; Schedule 3).

Duties imposed on Members

• Submit a primary return within 30 days after taking and subscribing the oath or affirmation as a Member (Schedule 1 Instructions). This is a fixed post‑swearing deadline.
• Submit an ordinary return within 60 days after 30 June for the applicable return period (Schedule 2 Instructions). The return period is either from the date of a primary return to the following 30 June or a financial year as specified (Schedule 2 Instructions).
• Disclose information that the Member “knows” or that is “ascertainable by the Member by the exercise of reasonable diligence” (Schedules 1 & 2 Instructions). The Regulations therefore impose a positive inquiry standard rather than a strict knowledge-only standard.
• Complete the prescribed primary or ordinary return forms in accordance with the Schedule clauses (r 4(1)-(2); Schedule 1 & 2 clauses 1-10 and 1-14 respectively). Each clause requires specific particulars (for example, the identity of creditors or donors, descriptions of land or trusts, names of companies in which the Member or related persons hold offices).
• Sign the return and each annexure in the presence of a witness, with the witness subscribing to the signature (r 4(3); Schedules 1 & 2 signature blocks).

Aggregation and treatment rules

• Treat two or more separate contributions/gifts from the same person during the return period as a single contribution/gift for threshold application (Schedule 2 cl 3-4). Similarly, treat two or more use-of-property transactions with the same person during the return period as one transaction for threshold purposes (Schedule 2 cl 5).

Monetary thresholds that trigger duties

• Financial benefits: disclose where remuneration, fees or other pecuniary sums exceed $1,000 in the return period (Schedule 2 cl 1).
• Gifts and travel contributions: disclose where amount or value equals or exceeds $750, excluding State, employer, State public statutory corporation and related-by-blood-or-marriage contributors (Schedule 2 cl 3-4).
• Use of property: disclose where market price for acquiring a right to use the property would be $750 or more, and the use was not acquired for adequate consideration or through an ordinary commercial transaction, and grantor is not related by blood or marriage (Schedule 2 cl 5).
• Creditors: disclose names and addresses where Member or related person owes $7,500 or more (Schedule 1 cl 8; Schedule 2 cl 12).
• Debtors: disclose natural persons owing $10,000 or more (Schedule 1 cl 9; Schedule 2 cl 13).
• Investments: treated as investment where unpaid loan/deposit equals or exceeds $10,000, or shares/debentures or life policy held (Schedule 1 cl 3; Schedule 2 cl 7).
• Contracts with the Crown: disclose particulars where monetary consideration payable by a party equals or exceeds $7,500 (Schedule 2 cl 6).

Rights and allowances granted to Members in the Regulations

• Right to aggregate reporting for Member and related persons: Members “may disclose the information in a way that no distinction is made” between themselves and related persons (Schedules 1 & 2 Instructions).
• Right not to disclose amounts: Members “are not required to disclose the actual amount or extent of any contribution or interest” (Schedule 1 Instructions) and “are not required to disclose the actual amount or extent of any financial benefit, gift, contribution or interest” (Schedule 2 Instructions). This limits the granularity of financial disclosure.
• Right to include additional information at the Member’s discretion: Members “may include in a return such additional information as the Member thinks fit” (Schedules 1 & 2 Instructions).
• Right to notify the Registrar of changes at any time: Members “may at any time notify the Registrar of any change or variation in the information appearing on the Register” (Schedules 1 & 2 Instructions).

Scope-limiting exceptions in the Regulations

• Trustee exception: “A Member is not required to disclose information relating to a person as trustee of a trust unless the information relates to the person in the person's capacity as trustee of a trust by reason of which the person is related to the Member” (Schedules 1 & 2 Instructions). That is, trustee status alone does not necessarily import disclosure unless it creates a related-person relationship as defined.
• Family relationship restrictions: creditors and debtors “related by blood or marriage” to the Member or family member are not required to be disclosed (Schedule 1 cl 8; Schedule 2 cl 12 & 13).
• Exclusions for State or employer contributions: travel contributions by the State, a State public statutory corporation, an employer, or a person related by blood or marriage are not within the travel contribution disclosure requirement (Schedule 2 cl 3).

Formalities as duties

• Signing witnessed: the requirement that each return and each annexure be signed by the Member in the presence of a witness who subscribes their signature is a formal duty for validation of the return (r 4(3); Schedules 1 & 2 signature lines).
• Content must correspond to the specific Schedule clauses that map to the Act’s s 4 requirements (r 4(1)-(2)).

Matters the Regulations do not address

• The Regulations do not, by their text, specify enforcement mechanisms, sanctions, or timelines for Registrar action upon receipt of returns. They do not provide detailed procedural rules for the Registrar’s handling, publication, or verification activities. Those matters fall to the Act (as referenced) or other administrative arrangements.

What the Regulations themselves provide

• The Regulations are silent on penalties and enforcement. They prescribe forms, information items and procedural formalities (r 4(1)-(3); Schedules 1 & 2), and repeal the 2008 Regulations (Schedule 3), but do not create offences, civil penalties, or specify enforcement processes.

Where enforcement would originate

• Since these are subordinate regulations under the Members of Parliament (Register of Interests) Act 1983 (r 4 heading and defined “Act”), any sanctioning, enforcement, or remedial provisions would stem from the Act itself or other laws and parliamentary procedures, not from these Regulations. The Schedules repeatedly cross‑reference the Act (for example, Schedule 1 items reference “section 4(1)(a) of Act” and other Act provisions); this indicates the regulatory instrument operates to give effect to the Act’s disclosure requirement rather than to add new enforcement mechanics.

Administrative compliance and verification consequences implied by the text

• Signature and witness requirements (r 4(3); Schedules 1 & 2 signature lines) create an evidentiary and administrative mechanism that supports verification and creates formal record of sworn completion, but the Regulations do not state what legal consequence flows from an unsigned or improperly witnessed return.
• The “reasonable diligence” disclosure standard (Schedules 1 & 2 Instructions) sets an evidentiary benchmark for assessing whether a Member has fulfilled their disclosure duty. The Regulations do not set out how “reasonable diligence” is to be measured, nor who will make that assessment in the event of dispute.

Practical enforcement pathways not included in the instrument

• The Regulations do not prescribe auditing, penalties, inspection rights, or mandatory Registrar enquiries. They do not prescribe obligations on third parties to verify or certify submissions. Any administrative inquiries, requests for further information, rectification notices, or penalty notices would need a source in the Act or separate administrative rules.

Implications for sanctioning and remedial actors

• Parliamentary authorities, the Registrar, or other bodies with statutory powers under the Act would be the likely actors to undertake enforcement or to recommend sanctioning. The Regulations place procedural burdens on Members (timing, signatures, content) which enable such actors to identify non-compliance; they do not themselves authorise sanctioning.

Risk of contested enforcement

• Because the Regulations do not define enforcement processes, compliance failures (late returns, incomplete returns, incorrect classification of a person as “related,” threshold calculation disputes) will require reference to the Act or other legislative or parliamentary instruments to determine legal consequences and remedial options. The Regulations’ content and formalities, including defined monetary thresholds and aggregation rules, will be central factual inputs to any enforcement action, but the Regulations alone do not determine legal penalties.

Record-keeping and evidentiary consequences

• The requirement for a signed, witnessed return and annexures (r 4(3); Schedules 1 & 2) creates a documentary record that could be used in any administrative or disciplinary process. The Regulations therefore have practical value for enforcement even if they do not themselves create sanctions.

Principal statutory relationship

• The Regulations operate as subordinate legislation under the Members of Parliament (Register of Interests) Act 1983. Each Schedule explicitly references sections of the Act (for example, Schedule 1 items reference section 4(1) of the Act, Schedule 2 items reference section 4(2) and section 4(3) of the Act). The Regulations thus perform the Act’s delegated function of prescribing the form and content of returns (r 4(1)-(2)). The Act remains the primary legal source for the overall framework (the Regulations supply the detailed form and content).

Repeal and replacement

• The Regulations repeal the Members of Parliament (Register of Interests) Regulations 2008 (Schedule 3). That repeal replaces the prior prescription of form and ancillary rules with the 2023 Schedules and their definitions. The Regulations therefore directly interact with prior subordinate legislation by replacing it.

Interplay with Crown contracting and procurement

• The Regulations require disclosure of contracts made with the Crown in right of the State by the Member or a related person where monetary consideration equals or exceeds $7,500 (Schedule 2 cl 6). For ordinary commercial or arm’s-length contracts of a class, the Regulations permit disclosure of particulars of the class rather than individual contracts (Schedule 2 cl 6). This creates a point of interaction between disclosure obligations and State procurement: where a Member or related person holds contracts with the Crown those relationships must be disclosed, subject to the class‑disclosure carve‑out.

Privacy and public registers

• The instrument prescribes public‑facing content for a register under the Act (Schedules require specific names, addresses, descriptions). The Regulations do not address privacy legislation or exemptions; any tension between statutory disclosure obligations under the Act and privacy laws would be resolved by reference to the Act’s provisions and privacy law regimes. The Regulations themselves do not purport to override other statutes.

Company and securities law overlaps

• The definition of “family company” (Schedules 1 & 2) relies on corporate voting control thresholds (casting or controlling more than one-half of voting power). For Members with shareholdings in proprietary companies, these Regulations require disclosure of companies where that control criterion is met. The Regulations intersect operationally with corporate law concepts of shareholding and control but do not re‑state corporate law - they adopt a control-based threshold for family companies relevant to disclosure.

Trust law interactions

• Family trusts are defined as non-testamentary trusts with the Member or family as beneficiaries and established/administered substantially in their interests. The Regulations treat objects of discretionary trusts as beneficiaries. The Trustee exception (a Member is not required to disclose information relating to a person as trustee unless it relates to the person in their capacity as trustee by reason of which the person is related to the Member) creates a specific, trust-law informed scope for disclosure.

Tax and financial regulation overlap

• Monetary thresholds for disclosure (for example, investments where deposited money or loans equal or exceed $10,000; creditors $7,500; debtors $10,000; gifts/travel/use of property $750) mean that accounting and tax records will be primary evidentiary sources for compliance. The Regulations do not amend tax or financial reporting obligations but require that certain transactions and balances that meet thresholds be disclosed under the parliamentary register regime.

Parliamentary procedure and administrative law

• The Regulations speak to administrative processes (submission to the Registrar, signature and witnessing) and will be integrated into parliamentary administrative operations. They do not create adjudicative processes; any contested compliance issue would be handled under the Act or parliamentary procedure.

No express conflict‑resolution clause

• The Regulations do not contain a clause dealing with conflict between these Regulations and other statutes; the established legal order (Act first, regulations subordinate) and general statutory interpretation principles will apply where conflicts arise.

Textual changes effected by these Regulations

• The 2023 Regulations themselves are an amending instrument for subordinate legislation: Schedule 3 expressly repeals the Members of Parliament (Register of Interests) Regulations 2008. That repeal is the central historical change recorded in the instrument.

Commencement

• The Regulations “come into operation on the day on which they are made” (r 2). The Legislative history records the principal regulations as Year 2023 No 75, Gazette 3.8.2023 p2485 and commencement 3.8.2023 (Legislative history).

What the Regulations replace

• The repeal of the 2008 Regulations (Schedule 3) indicates that the 2023 instrument is intended to supersede the prior prescribed forms and possibly some procedural details. The instrument itself does not contain a comparative table or explanatory schedule describing the precise textual differences between the 2008 and 2023 regimes; it effects repeal and replacement by providing the new Schedules.

No internal amendment clauses

• The Regulations do not amend the Act; they operate pursuant to it. There are no clauses that modify Act provisions: instead, the Regulations specify the “prescribed form” for returns under section 4(1) and 4(2) of the Act (r 4(1)-(2)).

No staged commencement or transitional arrangement in the text

• The Regulations commence immediately on the day made (r 2). They do not contain transitional provisions specifying how outstanding 2008 Regulations’ returns or processes are to be treated. Repeal of the 2008 Regulations is effected by Schedule 3; the text does not state transitional obligations, for example, how a Member’s existing ongoing reporting obligations should migrate between instruments.

Recorded legislative metadata

• The Legislative history included at the end of the instrument records the principal regulations reference (No 75) and the Gazette citation (Gazette 3.8.2023 p2485). The Regulations are cited as Members of Parliament (Register of Interests) Regulations 2023 (r 1).

Limitations on amendment record in the instrument

• The Regulations contain only the immediate amendments (replacement of the 2008 subordinate instrument) and do not catalogue prior amendments to the Act itself nor other historical iterations of subordinate legislation. Any history of amending the 1983 Act is outside the text of these Regulations.

Implications for users tracking change

• Practitioners and compliance officers must treat the 2023 Schedules as the operative forms and requirements from the date of commencement (3 August 2023). Any previous reporting formats under the 2008 Regulations ceased to be operative on repeal. The Regulations do not provide an audit trail of what clauses changed relative to the 2008 instrument.

No cases, decisions or litigation cited

• The text of the Regulations contains no references to litigation, judicial interpretation, determinations or disputes. The instrument’s Legislative history provides only the statutory citation and commencement information (Legislative history; r 2).

Practical implications of absence of litigation

• The absence of litigation referenced in the instrument itself does not preclude litigation arising in future over the Regulations’ interpretation (for example, what constitutes “reasonable diligence,” the meaning of “related by blood or marriage,” or disputes about threshold aggregation rules). However, as of the text before you, no judgments or authorities are cited in the Regulations.

What to look for in future litigation

• Likely factual/legal issues that could attract litigation or review include:
  • interpretation of “reasonable diligence” and the evidentiary standard required to show compliance (Schedules 1 & 2 Instructions);
  • the scope of “person related to a Member” and the application of family company and family trust definitions to complex corporate or trust structures (Schedules 1 & 2 Defined terms);
  • the aggregation rules for gifts, travel contributions and use-of-property transactions where multiple small transfers may be consolidated to meet thresholds (Schedule 2 cl 3-5);
  • the trustee exception where trustee status intersects with related person status (Schedules 1 & 2 Instructions);
  • whether the class-disclosure approach for ordinary commercial Crown contracts (Schedule 2 cl 6) is available in particular procurement arrangements.

Absence of administrative guidance in the Regulations

• The Regulations do not include interpretive or administrative guidance from the Registrar. In practice, absent published Registrar guidance or parliamentary practice notes, disputes about interpretation would likely be resolved under the Act or by administrative review or judicial processes, none of which are addressed in the text.

No recorded challenges to repeal of 2008 Regulations

• The repeal of the 2008 Regulations (Schedule 3) is not accompanied by any recorded transitional litigation or challenge within this instrument.

Witnessing requirement per annexure

• The Regulations require that “a primary return or an ordinary return and each annexure to the return must be signed by the Member to whom it relates in the presence of a witness who must subscribe their signature to the return and each annexure” (r 4(3)). Practically, this requires a witness signature for every annexure, not merely the main form. Failure to ensure the witness subscribes each annexure may render the return non-compliant with the Regulations’ formalities.

Domestic partner definition excludes legally married couples

• The definition of “domestic partner” for the purposes of “member of the Member's family” explicitly does not include “the relationship between a legally married couple” (Schedules 1 & 2 Defined terms). That is a drafting nuance: legally married spouses count as “a member of the Member's family” separately (Schedules list “spouse or domestic partner”), but the specific exclusion inside the domestic partner definition can create confusion in applying the definition. Practitioners should not conflate “domestic partner” with “spouse”; both are separately listed, but the domestic-partner test excludes legally married couples from the domestic-partner subdefinition.

Family definition is narrow

• “Member's family” is limited to spouse or domestic partner and children under 18 normally residing with the Member (Schedules 1 & 2). Parents, adult children, siblings and extended family are not included by the direct definition. This narrows the circle of related natural persons but family companies and family trusts extend the reach in other ways.

Trustee disclosure exception is conditional

• The instrument states a Member is not required to disclose information relating to a person as trustee of a trust unless it relates to the person in their capacity as trustee by reason of which the person is related to the Member (Schedules 1 & 2 Instructions). This is a two-step analysis: trustee status alone does not trigger disclosure; the trustee must be related to the Member in the senses defined. Complex trust arrangements may therefore create ambiguity about when trustee-related facts must be disclosed.

Aggregation rules can alter thresholds materially

• Multiple small gifts or travel contributions from the same person in the return period are aggregated and treated as one for threshold purposes (Schedule 2 cl 3-4). This means that repeated sub-threshold benefits from the same source can aggregate to exceed disclosure thresholds. Conversely, separate small transactions from different persons remain distinct.

Different monetary thresholds across items

• Note the differing numerical thresholds: $750 for gifts/travel/use of property; $1,000 for financial benefits in ordinary returns; $7,500 for creditors and Crown contracts; $10,000 for investments and debtors (Schedules 1 & 2). Misclassification of an item (e.g. treating a financial benefit as a gift) could lead to a different disclosure trigger. Practitioners must carefully map transactions to the appropriate Schedule clause.

No requirement to disclose actual amounts

• The Regulations explicitly say Members “are not required to disclose the actual amount or extent” of contributions, financial benefits or interests (Schedules 1 & 2 Instructions). That limits transparency about scale. Where the Register shows a donor or creditor name but no amounts, third parties will need to rely on other information to assess materiality.

Class disclosure for ordinary commercial Crown contracts

• If each contract of a class with the Crown is an ordinary commercial or arm’s‑length contract, the Member needs to “disclose only particulars of the class of contracts” rather than individual contracts (Schedule 2 cl 6). This can compress reporting for recurrent supplier arrangements but may obscure details of particular contracts.

Use-of-property condition includes market-price element

• Use of property disclosure requires three conditions: not acquired for adequate consideration or through ordinary commercial transaction; market price for acquiring a right to such use would be $750 or more; and the provider is not related by blood or marriage (Schedule 2 cl 5). Determining market price may be evidentially burdensome and subjective, particularly for unusual or noncommercial property uses.

No procedural rules for Registrar or publication

• The Regulations do not set timelines or processes for Registrar review, publication or queries. Members cannot rely on the Regulations for mechanisms to correct or dispute Registrar decisions, nor do they get procedural protections in the text itself.

Limits on who is a “debtor” versus a “creditor”

• The instrument distinguishes creditors (amounts the Member owes) with a $7,500 threshold and debtors (amounts owed to the Member) where natural persons owing $10,000 or more are disclosed (Schedules 1 & 2 cl 8-9; cl 12-13). For debtors the obligation only extends to natural persons, not companies, under the clause wording. That drafting distinction matters for Members with business receivables.

No penalties set out

• Because the Regulations do not state enforcement or penalties, the consequences of non-compliance must be sought in the Act or other rules. Practitioners should not assume the Regulations provide sanctioning pathways.

Checklist approach grounded in the Regulations

• Identify which return is required:

  • Primary return: submit to the Registrar within 30 days after taking and subscribing the oath or affirmation as a Member (Schedule 1 Instructions).
  • Ordinary return: submit to the Registrar within 60 days after 30 June for the return period; return period runs from the date of the primary return to the following 30 June, or is a financial year if the Member’s previous return was not a primary return (Schedule 2 Instructions).

• Use the prescribed form:

  • Use Schedule 1 format for a primary return (r 4(1); Schedule 1).
  • Use Schedule 2 format for an ordinary return (r 4(2); Schedule 2).
  • Complete each clause in the relevant Schedule that maps to the Act’s s 4 items (for primary: Schedule 1 cl 1-10; for ordinary: Schedule 2 cl 1-14).

• Apply the defined terms:

  • Determine who counts as “a person related to the Member” (Schedules 1 & 2 Defined terms). Identify spouse, domestic partner (apply the cohabitation or parenting test carefully), resident minor children, family companies and family trusts.
  • For family companies, confirm whether control exceeds one-half of voting power; for family trusts, confirm non-testamentary status and beneficiary criteria (Schedules 1 & 2).

• Apply monetary thresholds and aggregation rules:

  • Gifts/travel/use of property: treat two or more separate contributions/gifts from same person as one; disclose where aggregated value >= $750 (Schedule 2 cl 3-5).
  • Financial benefits (ordinary return): disclose income sources where remuneration or total fees exceed $1,000 (Schedule 2 cl 1).
  • Creditors: disclose persons to whom Member owes >= $7,500 (Schedule 1 cl 8; Schedule 2 cl 12).
  • Debtors: disclose natural persons owing >= $10,000 (Schedule 1 cl 9; Schedule 2 cl 13).
  • Investments: classify as investor where unpaid loan/deposit >= $10,000 or shares/debentures held (Schedule 1 cl 3; Schedule 2 cl 7).
  • Contracts with Crown: disclose particulars where monetary consideration >= $7,500; where contracts of a class are ordinary commercial or arm’s length, disclose class particulars instead of each contract (Schedule 2 cl 6).

• Document the “reasonable diligence” exercise:

  • The Regulations require disclosure of information “known to the Member or ascertainable by the Member by the exercise of reasonable diligence” (Schedules 1 & 2 Instructions). Maintain contemporaneous records showing searches performed (bank statements, company registers, trust documents, payroll and contract records) to demonstrate reasonable diligence in identifying relevant items.

• Prepare annexures and witness signatures:

  • Attach any annexures needed for additional detail.
  • Ensure the Member signs the main form and each annexure in the presence of a witness who subscribes their signature to each annexure and the main form (r 4(3); Schedules 1 & 2 signature blocks). Plan witness logistics for each annexure if multiple annexures are used.

• Respect trustee and related-person exceptions:

  • Apply the trustee exception: do not disclose information relating to a person as trustee unless the information relates to the person in the capacity that makes them a related person (Schedules 1 & 2 Instructions).
  • Exclude creditors/debtors/gifts/travel from disclosure when the other party is related by blood or marriage where the Schedules exempt those categories (Schedule 1 cl 8; Schedule 2 cl 3-5; cl 12-13).

• Use class disclosure for ordinary commercial Crown contracts where available:

  • If a Member’s contracts with the Crown are a class of ordinary commercial or arm’s-length contracts, consider disclosing particulars of the class rather than individual contracts (Schedule 2 cl 6). Document the ordinary commercial/arm’s-length character and rationale for class disclosure.

• Leverage permitted discretion and update rights:

  • Members may include any additional information they consider appropriate and may notify the Registrar of any change or variation at any time (Schedules 1 & 2 Instructions). Use these options to correct or amplify disclosures where necessary.

• Record format and retention:

  • Keep copies of submitted returns and annexures with witness signatures. Retain supporting documents used to determine thresholds (loan agreements, share certificates, trust deeds, invoices, travel invoices) to evidence reasonable diligence and to respond to queries.

• Practical timings and calendar control:

  • Calendar the 30‑day window from oath for new Members and the 60‑day window after 30 June each year for ordinary returns. For primary returns submitted mid-year, note that the ordinary return period runs from the date of the primary return to the following 30 June unless otherwise specified (Schedule 2 Instructions).

• Internal checklist to avoid common errors:

  • Verify that amounts triggering disclosure are aggregated correctly across the return period (e.g. multiple gifts from same donor).
  • Confirm whether gifts or travel are from excluded persons (State, State public statutory corporation, employer, or related by blood or marriage) before treating as non-disclosable.
  • Confirm that the person’s status is correctly classified as “natural person” for debtor disclosure versus company or other body.
  • When in doubt about whether a person is “related” under company-control or trust rules, document the analysis and err towards disclosure if materiality suggests public interest.

• Liaise with parliamentary Registrar for administrative clarifications:

  • The Regulations do not set Registrar process rules; for publication, correction, or procedural queries, contact the Registrar’s office. Use the Registrar’s procedures to lodge variations, corrections or to seek procedural guidance, and document any advice received.

• Compliance review and legal advice:

  • For complex holdings (layered trust structures, cross‑jurisdictional company holdings, nominees, and discretionary trusts), obtain legal or compliance advice to determine whether control or beneficiary tests are met, and to document the reasoning behind disclosure choices.

By following the Regulations’ clauses closely, documenting threshold calculations and reasonable-diligence steps, ensuring annexures are witnessed, and maintaining contemporaneous supporting records, Members and advisers can position returns to comply with the formal requirements set out in the Schedules and r 4(1)-(3).
