Melbourne (Yarra Park) Land Act 1980

Key statutory concepts are defined in s 2 and implemented across the Act. Yarra Park Reserve is a defined parcel and any land taken to be part of it by operation of the Act is included in that definition (s 2). The Trust means the Melbourne Cricket Ground Trust established by the Melbourne Cricket Ground Act 2009; specified Minister means either the Minister or the Minister administering the Sport and Recreation Act 1972 (s 2). The Act distinguishes major event parking from other parking and ties certain duties to that distinction; major event is defined to mean events involving the Melbourne Cricket Ground or facilities at Melbourne Park or Olympic Park (s 2). The Act also preserves older terms in the Schedule identifying the precise parcel which may be leased (Schedule; s 3).

Leasing framework. Section 3 allows the Trust, as committee of management, to grant leases of the Schedule land for sport, recreation or social activities connected with those purposes, and to permit erection of buildings (s 3(1)). Leases are constrained: covenants, conditions, exceptions and reservations are to be imposed; terms must not exceed 21 years; leases are subject to Governor in Council approval; and leases must include a clause providing that if the Order in Council of 9 June 1873 and Crown Grant volume 600 folio 119902 are revoked for widening Punt Road then no compensation is payable to the lessee (s 3(2)(a)-(d), s 3(2)(b)).

Financial ring-fencing. Rent and other money received in relation to Yarra Park Reserve must be applied only to maintenance, improvement, operation and management of the reserve, and accounted for separately in Trust financial statements (s 3(3), s 10(1)-(2)). Section 3(3) permits application of rent towards maintenance and improvement of the whole or part of the reserved land or other purposes as the Minister approves; s 10 narrows the rule by prescribing that money received in relation to the reserve must not be spent for any purpose other than operation, management, maintenance and improvement of Yarra Park Reserve, and requires separate accounting.

Management planning and ministerial oversight. The Trust must prepare an annual management and improvement plan and submit it to each specified Minister for approval by the date determined under s 25(3) of the MCG Act 2009 (s 8(1)-(2)). The plan must include specified content related to objectives, strategies for supporting major events, community access, long term health and sustainability of trees, amenity and other matters the specified Minister directs (s 8(4)). The Trust must consider and, where required, make reasonable changes following ministerial comment, consult in good faith, and deliver a settled plan for approval; plans are not to be published or made available without each specified Minister's approval (s 8(5)-(8)).

Car parking controls. Section 9 confines the Trust to providing car parking only for enumerated purposes, primarily for major events, MCG use when not running major events, Punt Road Oval management, and other purposes consistent with the reservation (s 9(1)). The Trust must have regard to an extensive list of environmental, safety and asset-protection factors when deciding to provide car parking for major events (s 9(2)). For non-major event use of MCG-related parking, parking must be restricted to paved areas adjacent to the MCG (s 9(3)). For Punt Road Oval uses, the Trust must restrict parking to the Oval and its immediate vicinity (s 9(4)). Section 9(5) prohibits the Trust from providing any car parking in the reserve other than the listed purposes.

Regulation and enforcement. The responsible Minister may make regulations prohibiting or regulating traffic or car parking, advertising, soliciting, and commercial activities in Yarra Park Reserve, and prescribe penalties not exceeding 20 penalty units (s 18(1)-(2)). Section 18(5), as amended in 2016, makes clear that contraventions of relevant Crown Land (Reserves) Act regulations that apply to Yarra Park Reserve attract either the penalty stated in those regulations or, if no penalty is stated, a penalty not exceeding 20 penalty units. The endnote links enforcement by infringement notices to the Conservation, Forests and Lands Act 1987, s 91.

Land addition and excision mechanisms. The Minister administering the Crown Land (Reserves) Act 1978 may recommend adding unused road to the reserve (s 14) or may recommend excising land to create Brunton Avenue as a road and arterial road (s 15) or to grant land to VicTrack under the Rail Corporations Act 1996 (s 16). Those mechanisms require Surveyor-General-signed plans and Governor in Council Orders, and on publication effect changes of status of land and discharge of certain trusts and encumbrances (ss 14(1)-(5), 15(1)-(6), 16(1)-(5)).

Advisory structure. The Yarra Park Advisory Committee is an advisory body of up to seven members appointed by the Minister administering the Sport and Recreation Act 1972, including a Trust member, a Melbourne Cricket Club representative and Council nominees with specified qualifications; its function is to advise the Trust on operation, management and improvement (ss 11-13).

Transitional continuity. The Act preserves vendor licences, the Punt Road Oval lease and specified management contracts in force immediately before the 2009 amendments by treating them as existing between the Trust and the counterparty from commencement, while stating that nothing in the preservation sections transfers pre-existing rights, liabilities or obligations to the Trust for events occurring before commencement (Pt 4, ss 19-21). It also declares that the Punt Road Oval Agreement does not make the Trust a party or give rise to any duty or liability on the Trust arising from that agreement (s 22).

Those are the main statutory constructs. The Act combines delegated executive discretion, ministerial oversight and spectrum of operational limits designed to protect the reserve’s environmental and public values while enabling revenue-generating uses for sport and events.

The Act creates statutory relationships and reassigns management responsibilities that affect identifiable parties: the Trust, specified Ministers, the Melbourne City Council, the Melbourne Cricket Club and other stakeholders who hold or expect licences, leases, contracts or to conduct activities within Yarra Park Reserve. The legal parties and economic actors affected, and how they are affected, follow from the text.

The Trust. The Melbourne Cricket Ground Trust is the central decision-maker for the reserve once the Act operates because it is "taken to be appointed" as committee of management under the Crown Land (Reserves) Act 1978 (s 7). The Trust acquires the power to grant leases over the scheduled land for sport, recreation and ancillary activities (s 3(1)). The Trust is required to prepare an annual plan (s 8), consult with the Melbourne and Olympic Parks Trust about car parking for major events (s 8(3)), consider specified Ministers' comments and change the plan where reasonable or agreed (s 8(5)-(6)), and to account separately and spend revenues only on operation, management, maintenance and improvement of Yarra Park Reserve (s 10). The Trust also chairs the Yarra Park Advisory Committee through its appointed member (s 11(3)).

Specified Ministers. The Act requires the Trust to submit the annual management and improvement plan to each specified Minister for approval (s 8(1)-(2), (6)-(7)). The specified Ministers have the power to comment on and require reasonable changes to the plan, to direct additional matters that must be included, and to control publication of plans (s 8(4)-(8)). The specified Minister also appoints the Yarra Park Advisory Committee members in practice because the appointment power is vested in "the Minister administering the Sport and Recreation Act 1972" (s 11(2)). Regulations for the reserve are made by "the Minister" under s 18, with powers to prescribe penalties of up to 20 penalty units.

Melbourne City Council. The Act revokes the Council’s appointment as committee of management for the reserve (s 6) and removes its prior control over the specified land. The Council does retain a consultative and representational role: the Yarra Park Advisory Committee must include a representative nominated by the Council (s 11(2)(c)) and up to two further persons nominated by the Council (s 11(2)(d)). The Council’s pre-existing vendor licences, leases or management contracts that were in force immediately prior to the 2009 amendments are preserved and continue to operate as if assigned to the Trust, subject to the non-transfer of pre-existing liabilities for events before commencement (ss 19-21).

Lessee, licensee and contractor parties. Persons holding vendor licences, the Punt Road Oval lessee (Richmond Cricket Club per s 20), and parties to management contracts listed in s 21 are explicitly protected as to continuity and remain parties to their instruments, but the Trust becomes the counterparty for future obligations (ss 19-21). The Act explicitly preserves vendor licences and the Punt Road Oval lease and provides that those instruments operate on and from commencement as if between the Trust and the current licensee/lessee, but it contains a non-assignment clause for pre-commencement rights and liabilities (s 19(3), s 20(3), s 21(3)).

Users, event operators and parking customers. Event organisers, patrons and other users who park at Yarra Park will be affected by the car parking regime, because the Trust is empowered to provide parking for major events and certain other permitted uses only (s 9(1)). The Trust’s decisions must balance demand against the condition of the surface, soil, tree health, rotation needs and other enumerated factors (s 9(2)). Those constraints will influence availability, location and pricing of parking during major events and non-major event periods. Private parking operators would be affected if they hold vendor licences or contracts that are continued under the transitional rules; otherwise, the Trust controls parking provision and any commercialisation of space subject to regulations (s 18).

VicTrack and road authorities. The Act permits excision of certain railway land to be granted to VicTrack (s 16) and permits parts of the reserve to be excised to create Brunton Avenue and declared an arterial road (s 15). These provisions materially affect the state agencies that manage road and rail infrastructure because Governor in Council orders effect the transfers and changed status of land; those transfers also free the land from prior trusts and encumbrances (ss 15(3)-(5), 16(3)-(5)).

Community groups and park users. The Act requires the Trust to include community access strategies and to consider community needs for informal recreation and events in the management plan (s 8(4)(c)). The composition of the advisory committee requires Council nominations of persons who have "regular use of public parks" and knowledge of management issues (s 11(2)(d)). Those provisions create statutory channels for community input but they do not create statutory entitlements that the Trust must follow beyond the advisory function.

Third party claimants and lessees. The lease model reallocates risk. Leases must include a clause that no compensation is payable to the lessee if the Crown grant or Order in Council is revoked for widening Punt Road (s 3(2)(b)). Section 4 also states no compensation is payable by the Crown in respect of any act done under or arising out of Part 2. That allocates the acquisition and revocation risk away from the Crown and onto lessees and licensees whose instruments contain the specified clauses.

Regulated persons under regulations. The Minister can make regulations that prohibit or regulate parking, traffic, advertising, soliciting, and commercial activities in the reserve, with penalties of up to 20 penalty units (s 18(1)-(2)). Persons carrying out activities within the reserve are exposed to both the Act and any regulations made under it, and enforcement can include infringement notices under the linked Conservation, Forests and Lands Act 1987 (endnote).

The Act therefore reallocates management authority, revenue control and operational decision rights from the Council to the Trust, embeds ministerial approval and oversight, preserves many legacy contractual relationships while limiting the Trust’s exposure for prior events, and configures car parking and leasing to interact with park conservation objectives and ministerial regulation. The statutory design directly affects who pays, who decides and who bears the operational and environmental risks.

This section maps statutory duties, decision rights, and the constraints placed on those duties and rights as found in the Act.

Trust duties and rights. The chief statutory duty is that the Trust, as committee of management, must prepare a management and improvement plan for Yarra Park Reserve each year and submit it to each specified Minister for approval by the date determined under s 25(3) of the Melbourne Cricket Ground Act 2009 (s 8(1)-(2)). The Trust must consult the Melbourne and Olympic Parks Trust on car parking provision for major events before submitting the plan (s 8(3)). The plan must contain specified content including statement of intent, strategies to support major events, strategies for community access consistent with the reservation of Yarra Park Reserve, strategies for long term health and tree sustainability, amenity maintenance and any other matter a specified Minister directs consistent with permitted land uses (s 8(4)). The Trust must consider ministerial comments within two months and, where required, consult in good faith and make reasonable changes agreed with the Minister; the settled plan is then delivered for approval (s 8(5)-(7)). Publication of the plan is prohibited without the prior approval of each specified Minister (s 8(8)). The Trust is empowered to grant leases over the Schedule land (s 3(1)), but leases must meet constraints: they must be for a term not exceeding 21 years, be subject to covenanting as the statute describes, include the no-compensation clause for Punt Road widening, and be subject to Governor in Council approval (s 3(2)(a)-(d)). The Trust may provide car parking in the reserve only for purposes listed in s 9(1) and must have regard to the enumerated environmental, safety and asset-preservation factors in s 9(2). The Trust must not provide car parking other than for those purposes (s 9(5)). The Trust must apply rents and money received in relation to the reserve only to operation, management, maintenance and improvement of the reserve and must account for these sums separately in its financial statements (s 10(1)-(2)). The Trust is also taken to be appointed committee of management under section 14(2) of the Crown Land (Reserves) Act 1978 (s 7), which may carry additional statutory obligations under that Act.

Governor in Council approval. Lease-making power is subject to approval by the Governor in Council (s 3(2)(d)). The addition of land to or excision from the reserve, and transfers to VicTrack or declaration of Brunton Avenue as a road, are also effected by Governor in Council Orders on the Minister’s recommendation supported by Surveyor-General-signed plans (ss 14(1)-(3), 15(1)-(4), 16(1)-(4)). Those provisions give the executive control over key land status changes and provide a formal approval gate.

Ministerial comment and approval. A specified Minister has layered powers: to require the Trust to follow the approved form of plan and to direct additional matters consistent with permitted land uses (s 8(2), (4)(f)); to comment on plans and require reasonable changes (s 8(5)-(6)); to approve plans (s 8(7)); and to control publication of plans (s 8(8)). The Minister also has regulation-making powers under s 18 to prohibit or regulate traffic, advertising, soliciting and commercial activities in the reserve, and to prescribe penalties.

Advisory committee duties and rights. The Yarra Park Advisory Committee is an advisory body with the express function to advise the Trust on operation, management and improvement of Yarra Park Reserve (s 12). It can regulate its own procedures subject to the Act (s 13). The Minister administering the Sport and Recreation Act 1972 appoints up to seven members, including a member of the Trust and a Melbourne Cricket Club representative; the Trust member is chair (s 11(1)-(4)).

Covenanting and lease obligations. Leases are explicitly to be subject to such covenants, conditions, exceptions and reservations as "the corporation" thinks fit (s 3(2)(a)), but the Act also requires Governor in Council approval for each lease and sets a maximum term of 21 years (s 3(2)(c)-(d)). Crucially, each lease must contain a clause that in the event of the historical Order in Council and Crown Grant being revoked for widening Punt Road, no compensation is payable to the lessee (s 3(2)(b)). The Crown will not be liable to pay compensation in respect of acts done under or arising out of Part 2 (s 4). Those clauses reallocate compulsory acquisition and revocation risk to lessees.

Financial duties. The Trust must spend money received in relation to Yarra Park Reserve only for operation, management, maintenance and improvement of the reserve and must account for those funds separately in its financial statements (s 10(1)-(2)). For rent specifically, s 3(3) requires that rent under leases be applied towards maintenance and improvement of the whole or any parts of the land reserved or other purposes the Minister approves. The practical effect is financial ring-fencing of revenues associated with the reserve.

Regulatory constraints and penalties. The Minister may make regulations under s 18 that may prohibit or regulate parking, advertising, soliciting and commercial activity, and may prescribe penalties not exceeding 20 penalty units for breaches (s 18(1)-(2)). Section 18(5) provides that if a person contravenes regulations made under s 13 of the Crown Land (Reserves) Act 1978 that apply to Yarra Park Reserve, the person is liable either to the penalty stated in those regulations or, if none, a penalty not exceeding 20 penalty units.

Transitional obligations. The Act preserves vendor licences, the Punt Road Oval lease and specified management contracts in force immediately before the commencement of the 2009 amendments and gives those instruments effect as if the Trust were the counterparty from commencement, but without transferring pre-existing rights or liabilities arising from events before the commencement (ss 19-21). The Act also clarifies that the Trust is not made a party to, and does not acquire duties arising from, the Punt Road Oval Funding Agreement (s 22).

Statutory duties are therefore concentrated on the Trust to prepare and implement an approved plan, to manage leasing and parking under strict constraints, and to ring-fence finances. The Governor in Council and specified Ministers retain approval rights that constrain the Trust’s leeway. Private parties entering leases accept specific risks, including non-compensation for certain Crown revocations.

The Act allocates enforcement tools and penalty caps primarily through regulation-making powers and by cross-reference to enforcement mechanisms in related statutes. The Act itself does not create many stand-alone criminal offences; instead it authorises regulations that may create offences and penalties, and it incorporates enforcement by reference to the Conservation, Forests and Lands Act 1987.

Regulations and penalty units. Section 18(1) empowers the Minister to make regulations for or with respect to traffic and car parking subject to s 9, prohibiting or regulating advertising or soliciting in the reserve, prohibiting or regulating commercial activities in the reserve, and any other matter necessary to give effect to the Act (s 18(1)(a)-(d)). Section 18(2)(a) permits regulations made under the Act to prescribe a penalty not exceeding 20 penalty units for contravention. Regulations may be geographically targeted to the whole reserve or specified parts, and may be time-limited (s 18(2)(b)-(d)). Regulations and revocations must be published in the Government Gazette and come into operation on publication (s 18(3)-(4)).

Interaction with Crown Land (Reserves) Act and penalties. As amended by the Crown Land Legislation Amendment Act 2016, s 18(5) provides that, despite s 34 of the Crown Land (Reserves) Act 1978, a person who contravenes regulations made under s 13 of that Act that apply to Yarra Park Reserve is liable to either the penalty imposed in those regulations for that contravention, or, if no penalty is imposed there, a penalty not exceeding 20 penalty units (s 18(5)). The endnote to s 18 additionally notes that regulations made under this Act and regulations made under the Crown Land (Reserves) Act 1978 are "relevant laws" under s 91 of the Conservation, Forests and Lands Act 1987, and that an offence under a relevant law may be enforced by way of infringement notice. That links contraventions to a civil enforcement regime of infringement notices as an alternative to prosecution.

No compensation and liability constraints. Enforcement in a property acquisition sense is modified by s 3(2)(b) and s 4. Leases must provide that in the event the Order in Council and Crown Grant are revoked for Punt Road widening, no compensation is payable to the lessee (s 3(2)(b)). Section 4 declares that no compensation shall be payable by the Crown in respect of any act done under or arising out of Part 2. Those provisions limit compensation liability for certain government acts and so affect the remedies available to private parties in those scenarios.

Practical enforcement pathways. The Act contemplates three enforcement pathways. First, the Trust enforces lease covenants and licence terms as lessor or licensor; particulars of remedies are to be found in the leases or licences themselves and in general property law. Second, the Ministerially-made regulations can create specific offences enforceable by infringement notices under the Conservation, Forests and Lands Act 1987, or prosecuted with penalties up to the statutory cap in s 18. Third, where the Crown makes Orders under ss 14-16 to add or excise land, the legal effect is effected administratively and recorded by the Registrar of Titles, who is directed to make necessary entries (s 17). Those Order-driven changes can have legal consequences for private rights in land, but the Act itself does not create punitive penalties for compliance failures in that process; rather it prescribes administrative steps.

Limits on monetary penalties. The statutory penalty cap of 20 penalty units for regulations applies across regulations made under the Act (s 18(2)(a)) and fills gaps where the Crown Land (Reserves) Act regulations were silent (s 18(5)). The Act does not itself create monetary fines for contravening the management plan or failing to attend to specified plan contents; the management plan process is overseen by specified Ministers who approve plans and may require changes (s 8(5)-(7)).

Reporting and accounting enforcement. Section 10 requires separate accounting of money received and spent in relation to Yarra Park Reserve and constrains expenditure to operation, management, maintenance and improvement of the reserve (s 10(1)-(2)). Those financial duties create a compliance obligation on the Trust subject to the usual public sector audit and reporting mechanisms applicable to statutory bodies. The Act does not specify a bespoke enforcement penalty for a breach of financial ring-fencing beyond the administrative and public accountability frameworks applicable to the Trust.

Transitional and contractual disputes. The Act preserves existing licences, leases and management contracts and provides that they operate as if the Trust were the party from commencement (ss 19-21). However, it expressly states that nothing in those sections transfers pre-existing rights, liabilities or obligations to the Trust to the extent they existed or arose before commencement (ss 19(3), 20(3), 21(3)). That creates a possible locus for disputes between contracting parties as to which liabilities are pre-commencement and which are post-commencement, but the Act does not set out a penalty or enforcement mechanism for those disputes; contractual remedies and litigation would be the likely avenues.

In summary, enforcement is channelled through delegated regulations, the infringement notice regime in the Conservation, Forests and Lands Act 1987, lease and licence enforcement mechanisms, and standard public sector audit and contractual remedies. The Act caps regulatory penalties at 20 penalty units, limits Crown liability for compensation in specified circumstances, and preserves pre-existing contracts while disclaiming transfer of pre-commencement liabilities to the Trust.

The Act is tightly connected to several other statutory regimes and refers to them directly in ways that allocate roles and impose cross-cutting duties. The interactions are explicit in the text, and any operator must treat this Act as a subject-specific overlay on Crown land and event management statutes.

Crown Land (Reserves) Act 1978. Sections 7 and 14-16 explicitly engage the Crown Land (Reserves) Act 1978. Section 7 takes the Trust to be appointed under s 14(2) of that Act as the committee of management for Yarra Park Reserve, which means the Trust is to exercise the powers and duties of committees of management under that Act insofar as applicable. Sections 14 and 15 and 16 create processes for adding unused road land to the reserve, or excising parts of the reserve to be declared roads or granted to VicTrack, by way of Ministerial recommendation and Governor in Council order; upon publication, the land is taken to be permanently reserved under s 4(1) of the Crown Land (Reserves) Act 1978 in the case of additions (s 14(4)(a)) or to be freed from trusts and encumbrances in the case of excisions (s 14(5), s 15(5), s 16(5)). Section 18(5) expressly provides that contraventions of regulations made under s 13 of the Crown Land (Reserves) Act 1978 that apply to Yarra Park Reserve are enforceable with the penalty stated in those regulations or a penalty not exceeding 20 penalty units if none is stated.

Melbourne Cricket Ground Act 2009. The Act imports the Trust established by the Melbourne Cricket Ground Act 2009 and ties the timing for the Trust’s submission of the annual management and improvement plan to dates determined under s 25(3) of the MCG Act 2009 (s 8(2)). The definitions in s 2 use the MCG Act 2009 to define Melbourne Cricket Club and Melbourne Cricket Ground and to align the Trust’s institutional identity. The Trust’s obligations under this Act therefore sit alongside the governance and reporting framework in the MCG Act 2009.

Melbourne and Olympic Parks Act 1985. Section 8(3) requires that the Trust consult with the Melbourne and Olympic Parks Trust in relation to the provision of car parking in Yarra Park Reserve for the purpose of major events. Section 2 defines Melbourne Park and Olympic Park with reference to the Melbourne and Olympic Parks Act 1985, creating operational connectivity for events that span multiple facilities and for parking planning.

Rail Corporations Act 1996. Section 16(3)-(4) contemplates excising certain railway land from the reserve and granting it to VicTrack under s 13E of the Rail Corporations Act 1996. The Governor in Council order operates to cause the land to be granted to VicTrack under that section, and the Act instructs the release of trusts and encumbrances applying to that land upon publication (s 16(5)).

Road Management Act 2004. Section 15(3) declares that land excised to create Brunton Avenue is to be declared a road under s 11 of the Road Management Act 2004 and declared an arterial road under s 14 of the same Act. That importation alters responsibility for the road and aligns the excision process with road management law.

Conservation, Forests and Lands Act 1987. The endnote to s 18 states that regulations made under this Act and regulations under the Crown Land (Reserves) Act 1978 are "relevant laws" under s 91 of the Conservation, Forests and Lands Act 1987, and that offences under relevant laws may be enforced by way of infringement notice. That cross-reference imports a civil enforcement mechanism and implies that contraventions of regulations made under this Act may be enforced by infringement notice procedures established by the Conservation, Forests and Lands Act 1987.

City of Melbourne Act 2001. The Act defines "City of Melbourne" with the same meaning as in the City of Melbourne Act 2001, and includes roles for the Council by way of advisory committee nominations and as a party previously appointed as committee of management (s 2, s 11(2)(c)-(d), s 6). The repeal and replacement of the Council as committee of management moves operational authority from the municipal governance regime into the Trust’s remit, but the Council retains consultative and representational roles in the advisory arrangements.

Interpretation and commencement cross-links. The Act includes numerous amendments made by the Melbourne Cricket Ground and Yarra Park Amendment Act 2009 and the Crown Land Legislation Amendment Act 2016; those amending Acts and their commencement provisions are relevant to interpretation and operation (Endnotes 2 and 3). The Act itself relies on other statutes for definitions, institutional identities and timing of submissions.

Contract and property law. The Act’s lease-making powers, covenants, the requirement for leases to be subject to governor-in-council approval and the no-compensation clause in s 3(2)(b) mean that conventional property law remedies, as well as statutory limits, will apply to disputes arising under leases. The Act preserves certain contracts and licences but disclaims transferring pre-existing liabilities to the Trust for pre-commencement matters (Pt 4, ss 19-21). Hence, contractual rights and liabilities largely remain governed by general contract and property law, modulated by the statutory preservation language.

In practice, an operator must read the Act alongside the Crown Land (Reserves) Act 1978 for committee-of-management duties and regulation provisions, the MCG Act 2009 for Trust governance and timing triggers, the Rail Corporations Act 1996 and Road Management Act 2004 for any excisions or grants envisaged, and the Conservation, Forests and Lands Act 1987 for enforcement by infringement. The Act is designed as a targeted overlay that leverages and constrains existing statutory regimes rather than replacing them.

The version provided incorporates amendments up to 19 October 2016. The Act’s amendment timeline recorded in the Endnotes and the in-text marginal notes is the authoritative source for how the Act changed over time. The table of amendments in the Endnotes lists three significant amendment sources and their effects.

Conservation, Forests and Lands Act 1987 (No. 41/1987). This amending Act made changes recorded in s 103(Sch. 4 item 45.1) which commenced on 1 July 1987 and appear in the consolidated text. The Endnotes identify the 1987 Act as an incorporated amendment; however the consolidated text does not identify specific substantive provisions revising individual sections in a narrative form. Practitioners should consult the 1987 amending Act and legislative history where precise original text comparisons are necessary.

Melbourne Cricket Ground and Yarra Park Amendment Act 2009 (No. 89/2009). This Act contains the primary set of amendments that reoriented the trust and management structure. Its assent date was 15 December 2009 and its significant operative provisions commenced 15 March 2010 for ss 3-8. The 2009 Act inserted the Part 2 heading, reworked s 3 to empower the Trust to grant leases (s 3(1) as amended), inserted the definitions in s 2 that bring in the Trust, Melbourne Cricket Ground and related entities, inserted Part 3 (ss 5-18) with provisions revoking the Crown grant and Council appointment (ss 5-6), appointing the Trust as committee of management (s 7), and creating the management plan, car parking rules, advisory committee and power to add or excise land (ss 8-18). The amendments also added transitional Part 4 provisions (ss 19-24) preserving existing vendor licences, the Punt Road Oval lease and management contracts while clarifying the Trust’s non-liability under the Punt Road Oval Agreement. The 2009 Act is the instrument that effectually transferred operational control from the Council to the Trust and created the contemporary regulatory architecture for Yarra Park Reserve.

Crown Land Legislation Amendment Act 2016 (No. 51/2016). This Act assented on 18 October 2016 and s 15 commenced 19 October 2016. It amended s 18(5) to clarify the penalty exposure for contraventions of regulations made under s 13 of the Crown Land (Reserves) Act 1978 that apply to Yarra Park Reserve, specifying that contravention attracts either the penalty stated in those regulations or, if no penalty is stated, a penalty not exceeding 20 penalty units. Section 18(6) of earlier text was repealed by the same amending Act. These amendments codified penalty exposure and enforcement clarity.

Other editorial and interpretive notes. The consolidated text includes style changes and interpretive aids under the Interpretation of Legislation Act 1984 noted in the endnotes. The version notes in the head of the Act indicate that pt 1 heading and various s 2 definitions were inserted by the 2009 Act (e.g. pt 1 heading inserted by No. 89/2009 s 3; s 2 definitions inserted by No. 89/2009 s 4(2)), and that s 3(3) was amended by earlier instruments including the 1987 and 2009 Acts. The schedule and preamble references to historic Orders in Council and Crown grants are preserved and the Act explicitly revokes Crown grant Volume 600 Folio 119902 (s 5).

Commencement timings. The Act originally commenced on assent on 20 May 1980 (Endnote 1). The 2009 amendments had staggered commencements: the Endnotes show that ss 3-8 commenced on 15 March 2010 by virtue of the 2009 Act s 2(2). The Crown Land Legislation Amendment Act 2016 s 15 commenced on 19 October 2016 for the amendment to s 18(5).

Practical implications of amendment history. The 2009 Act is the pivotal reform that reallocated management to the MCG Trust, created the management planning and parking regimes, and preserved a number of legacy contracts and licences under transitional provisions. The 2016 amendment clarified enforcement and penalty exposure for contraventions of Crown Land regulations as they apply to Yarra Park Reserve. Where any historical rights, covenants or leases are relevant to a matter, the legal text and the amending Acts should be read in combination; the Endnotes provide the statutory genealogy necessary for precise legal advice.

For precise drafting history or to contest or interpret pre-amendment rights, practitioners must consult the amending instruments and the historical versions in the Victorian legislation database as indicated in the Endnotes and Table of Amendments in the consolidated text.

The consolidated Act as provided does not list any cases, judicial decisions or litigation history in the text, the schedule or the endnotes. The Endnotes include references to the legislative instruments that amended the Act and administrative details about commencement and interpretation but do not record case law or decided controversies. The Act contains no in-text citations to judicial decisions, and the schedule and endnotes do not purport to catalogue litigation.

Accordingly, there is no litigation history recorded in this source material to summarise or to cite as precedent. That absence means two practical points for practitioners. First, statutory interpretation questions arising under the Act,such as the meaning and effect of the requirement that leases be "subject to such covenants conditions exceptions and reservations as the corporation thinks fit" (s 3(2)(a)) where the definition of "corporation" has been repealed in a previous amending step,are not resolved by case law within this text. Second, disputes over transitional preservation of contracts, the application of the no-compensation clauses in leases (s 3(2)(b), s 4), or the scope of ministerial approval powers over management plans and publication (s 8) would need to be researched in external case law databases beyond the Act, because the Act itself contains no adjudicative history.

If litigation arises, likely legal vectors would include contract claims under the preserved licences and leases, judicial review of executive decisions made under the Act (for example Governor in Council approvals or ministerial directions affecting plan approval), property law disputes regarding the effect of Orders in Council adding or excising land under ss 14-16, and enforcement actions under regulations made pursuant to s 18. The Act’s express allocation of rights and duties, and the preservation and non-assignment language in Part 4, will be focal points in any litigation. For authoritative coverage of litigation that interprets or applies this Act, practitioners must consult Victorian court and tribunal databases, because none of that material is contained in this Act text.

Several provisions present drafting quirks, implementation frictions and risk allocations that require attention. The following items are concrete legal and operational "gotchas" grounded in the statutory text.

1. "Corporation" reference in s 3(2)(a). Section 3(2)(a) provides that a lease "shall be subject to such covenants conditions exceptions and reservations as the corporation thinks fit". The consolidated definitions note that the s 2 definition of "corporation" was repealed by No. 89/2009 s 4(1). The 2009 amendments otherwise replace managerial authority with the Trust (ss 6-7). The text therefore contains an apparent drafting anomaly: the lease-making clause refers to "the corporation" but the Act elsewhere revokes the Council's appointment and takes the Trust as committee of management. This creates uncertainty over who is the intended decision-maker for covenant content unless and until a practical interpretive position is adopted by the Trust, ministers or the courts. Practitioners should flag this as a statutory drafting risk and seek clarifying instructions or formal guidance.

2. Governor in Council approval required for leases, slowing commercial deals. Every lease under s 3 is "subject to approval by the Governor in Council" (s 3(2)(d)). That approval step is an extra layer beyond usual statutory committee-of-management competence, and will typically introduce delay and uncertainty into lease negotiations and financing arrangements. A prospective lessee or investor must budget for the time and the risk that Governor in Council approval may impose additional conditions or be withheld.

3. No compensation clause and Crown non-liability. Leases must provide that if the historic Order in Council and Crown grant are revoked for widening Punt Road, no compensation is payable to the lessee, and s 4 declares no compensation shall be payable by the Crown in respect of any act done or arising out of Part 2 (s 3(2)(b), s 4). This transfers compulsory acquisition and revocation risk to lessees. Lenders and investors will regard this as a material title and compensation risk and may impose higher financing costs or refuse to fund development that is affected by Punt Road widening risk.

4. Financial ring-fencing and approval of other purposes. Section 3(3) permits rents to be applied for maintenance and improvement or "for such other purposes as the Minister in any particular case approves", while s 10(1) states money received in relation to Yarra Park Reserve must not be spent for any purpose other than operation, management, maintenance and improvement of the Reserve. Those provisions are largely consistent but create a ministerial approval gateway for use of funds beyond maintenance and improvement. The Trust must ensure its accounting and expenditure policies track both s 3(3) and s 10(1) and secure ministerial approval where necessary; failure to do so risks audit findings.

5. Confidentiality of the management plan. Section 8(8) prohibits publishing or making available the whole or part of the plan except for the purposes of s 8 without the prior approval of each specified Minister. That limits public transparency and may frustrate community stakeholders seeking access to strategic documents. The Trust must manage stakeholder expectations and legal obligations under freedom of information regimes; the statutory confidentiality constraint should be examined alongside general FOI obligations and any protocol the specified Ministers require.

6. Ministerial control and approval process. The specified Ministers have the right to direct additional matters to be included in the plan and to require reasonable changes; the Trust must consult in good faith and make changes agreed or reasonably required in writing (s 8(4)(f), s 8(6)). That confers significant ministerial control over content and delivery of the Trust’s plan, introducing potential adjustments to operational priorities and timelines.

7. Car parking restrictions and environmental obligations. Section 9 contains a long list of factors the Trust must have regard to when providing car parking for major events, including surface condition, sub-surface water content, tree health, rotation of parking locations and pedestrian safety (s 9(2)). Section 9(3) restricts non-major event parking to paved areas near the MCG and s 9(4) limits Punt Road Oval parking. Those constraints can limit revenue-generating potential from parking and require investment in durable infrastructure to avoid environmental damage. The Trust must design parking operations consistent with those factors or risk regulatory intervention.

8. Transitional non-assignment but continuation. The transitional provisions preserve vendor licences, the Punt Road Oval lease and management contracts and cause them to operate as if between the Trust and the existing parties from commencement (ss 19-21). Simultaneously, the Act explicitly states nothing in those sections transfers pre-existing rights, liabilities or obligations to the Trust for pre-commencement events. That preserves continuity while creating potential ambiguity as to which party bears liabilities arising just before commencement. Contracting parties should document novation terms or transitional indemnities to avoid disputes.

9. Revocations and the Schedule. Section 5 revokes Crown grant Volume 600 Folio 119902. The Schedule delineates the land that may be leased. Practitioners must reconcile historical title instruments with the Act’s revocation and Order in Council processes for additions and excisions. The Registrar of Titles is authorised to make necessary entries (s 17), but accurate cadastral and title records should be confirmed before any transactional commitments.

10. Enforcement and penalty structure. Regulations may prescribe penalties up to 20 penalty units (s 18(2)(a)). Section 18(5), as amended, draws a specific rule for Crown Land (Reserves) Act regulations applying to the reserve. Practitioners should not assume small regulatory fines are the only enforcement risk; contract remedies and public accountability mechanisms, and potential enforcement by infringement notices under the Conservation, Forests and Lands Act 1987, also apply (endnote to s 18). Verify current penalty unit values and enforcement protocols.

These "gotchas" are concrete statutory features that will affect deal structuring, risk allocation with lenders and investors, operational choices on parking and events, stakeholder transparency and the potential for disputes over responsibility for legacy liabilities. Where uncertainty exists, seek clarifying ministerial guidance or legal advice before committing capital or entering into long term obligations.

Compliance under the Act is largely operational: the Trust must comply with plan preparation and approval procedures, manage leases and car parking within statutory constraints, ring-fence and account for revenue, and follow procedural steps for additions or excisions of land. The following is a compliance checklist tied to the statutory provisions.

1. Governance and appointment recordkeeping. Maintain documentary evidence of the Trust’s appointment as committee of management under s 7, including any notices or documentation that the Minister or Governor in Council issues. Ensure the Trust’s corporate governance, delegations and meeting minutes reflect the committee of management role under the Crown Land (Reserves) Act 1978.

2. Annual management and improvement plan process. Prepare the management and improvement plan annually in the form approved by each specified Minister (s 8(1), (4)). The plan must include:

   • a statement of intent with objectives, main undertakings, activities, performance measures and targets (s 8(4)(a));
   • strategies to support major events (s 8(4)(b));
   • strategies to support community access consistent with the reservation purposes (s 8(4)(c));
   • strategies to improve long term health and sustainability of the reserve and its trees (s 8(4)(d));
   • strategies to maintain and enhance amenity (s 8(4)(e));
   • any other matter directed by a specified Minister provided it is consistent with permitted uses (s 8(4)(f)).

Submit the plan to each specified Minister by the date determined under s 25(3) of the MCG Act 2009, allowing adequate lead time for ministerial comment and any required changes (s 8(2), (5)-(7)). When a specified Minister makes written comments, consult in good faith, make reasonable changes that are required in writing, and deliver a settled plan to the ministers for approval. Do not publish the plan or make it available without prior approval of each specified Minister (s 8(8)).

3. Car parking compliance. Any decision to provide car parking for major events must document consideration of the prescribed factors in s 9(2): expected demand, prior use patterns, surface condition, soil and sub-surface water content, effect on trees, rotation needs, protection of private and public property, and safety of pedestrians and parking attendants. For non-major event parking at the MCG, restrict parking to paved areas in the immediate vicinity of the MCG (s 9(3)). For Punt Road Oval uses, restrict parking to the Oval and its immediate vicinity (s 9(4)). Do not provide car parking in the reserve for purposes outside s 9(1) (s 9(5)). Keep operational records and any environmental assessments used to justify parking decisions.

4. Leasing process, documentation and approvals. When the Trust intends to grant a lease over the Schedule land under s 3:

   • draft leases for a maximum term of 21 years (s 3(2)(c));
   • ensure leases include the statutory clause that no compensation is payable to lessees if the Crown revokes the Order in Council of 9 June 1873 and Crown Grant volume 600 folio 119902 for Punt Road widening (s 3(2)(b));
   • include covenants, conditions, exceptions and reservations as required; note the textual reference to "the corporation" in s 3(2)(a) and seek legal advice about whether to treat that term as vestigial or to obtain ministerial clarification about which body sets covenant content in practice;
   • obtain approval by the Governor in Council before the lease takes effect (s 3(2)(d));
   • ensure that rent collected is accounted for separately and applied only to permitted purposes (s 3(3), s 10(1)-(2)).

5. Financial accounting and ring-fencing. Implement separate accounting lines in the Trust’s financial statements for all money received and spent in relation to Yarra Park Reserve, and restrict expenditure to operation, management, maintenance and improvement of the reserve (s 10). Where rent is to be applied to other purposes, secure ministerial approval in writing as contemplated in s 3(3). Maintain audit-ready records demonstrating compliance with s 10(2).

6. Advisory committee appointments and procedures. Ensure the Yarra Park Advisory Committee is constituted in accordance with s 11. The Minister administering the Sport and Recreation Act 1972 appoints members; the Trust should coordinate with the Minister and the Council in the nomination and appointment process, and provide administrative support for the committee’s advisory function. Note the chairperson is the Trust member (s 11(3)). Keep minutes and records of advice provided by the committee to evidence consultation.

7. Regulations and compliance with prohibited activities. Monitor regulations made under s 18 for prohibitions or restrictions on traffic, car parking, advertising, soliciting and commercial activities. Incorporate compliance checks into operational plans and event licences. Note that regulations may prescribe penalties of up to 20 penalty units and that contraventions of relevant Crown Land (Reserves) Act regulations that apply to the reserve may be subject to penalties under s 18(5). Ensure staff and contractors understand any time or location-based restrictions on activities.

8. Handling additions and excisions of land. For proposals to add unused road to the reserve or to excise land for Brunton Avenue or to grant land to VicTrack, follow the statutory steps: obtain Surveyor-General-signed plans, submit a recommendation through the Minister administering the Crown Land (Reserves) Act 1978 to the Governor in Council, and await the Order in Council and notice in the Government Gazette (ss 14(1)-(3), 15(1)-(4), 16(1)-(4)). Upon publication, ensure Registrar of Titles entries are made as authorised in s 17.

9. Transitional contract and licence management. For existing vendor licences, the Punt Road Oval lease and specified management contracts preserved under Pt 4 (ss 19-21), treat those instruments as effective between the Trust and the counterparty from commencement, but be careful with pre-commencement obligations that the Act says are not transferred. Identify any pre-commencement liabilities and allocate responsibility contractually where possible, seek indemnities from prior parties if the Trust accepts ongoing performance obligations, and record any formal novation or assignment instruments that the parties agree.

10. Enforcement readiness and record keeping. Keep records to demonstrate compliance with s 9 assessments for parking, s 8 plan consultation and ministerial comments, s 10 accounting and s 3 lease terms. Implement internal monitoring for potential contraventions of regulations made under s 18 and prepare to respond to infringement notices under the Conservation, Forests and Lands Act 1987 where applicable.

11. Seek clarifications on drafting anomalies. Where text is ambiguous or appears anomalous,particularly the "corporation" reference in s 3(2)(a),seek ministerial or solicitor-general advice or formal clarification before entering binding agreements that depend on the meaning of the term. For high-value transactions, seek Governor in Council pre-clearance on any material covenants likely to be contentious.

12. Liaise with specified Ministers early. Given the plan approval and publication constraints in s 8, engage with the specified Ministers early in the planning cycle, secure agreement on form and content, and document consultations and any agreed changes to avoid later disallowance or required revisions.

Compliance under the Act is procedural and documentation-heavy. The Trust must combine statutory observance of the plan and parking rules with prudent lease drafting and rigorous financial controls. Private parties transacting with the Trust should treat the Act’s compulsory governmental approval gates and non-compensation clauses as material features that must be addressed in financing, security and indemnity arrangements.
