Melbourne Cricket Ground Act 2009

The Act structures five core legal concepts that determine how the Ground is governed and used.

1. Statutory Trust and Crown grant continuity. The Trust is formally established and is “deemed to be the grantee” of the Crown grant for the Ground (s 4; s 5(1)-(3)). The Act preserves the reservation purpose: maintenance and use as a place for playing cricket and connected conveniences, and otherwise uses not inconsistent with that purpose (s 5(3)). This fixes the legal title and the permitted land-use envelope.

2. Broad managerial and commercial powers with Ministerial/Treasurer oversight. The Trust has wide powers to manage, control and improve the Ground and may invest, form entities, acquire securities, enter profit-sharing arrangements and otherwise do “all things necessary” to carry out its functions (s 6(2)-(3)). However, several of those powers require Treasurer or Ministerial approval (investment under s 6(3)(a), delegation and leases subject to Ministerial approval at s 16, borrowing subject to Treasurer approval at s 23). The Act thus combines operational discretion for the Trust with executive oversight of key financial and property decisions.

3. Relationship with the Melbourne Cricket Club (MCC). The Act preserves the MCC’s historical occupation rights so long as prescribed conditions are met (s 17). The Trust may appoint the MCC as Ground manager for the whole or part of the Ground without calling tenders (s 19(2)), and when the MCC is Ground manager of the whole Ground it is entitled to receive and retain entrance fees and revenue arising from management (s 20), subject to the management agreement terms. Delegations to and by the MCC are expressly contemplated, but delegations must be consistent with the Trust’s policies and any management or lease agreements (ss 21-22).

4. Property duration and contractual arrangements. The Trust, with Ministerial approval, may grant leases up to 99 years and licences up to 50 years for the Ground (s 16). The Trust may also borrow and enter financial arrangements with Treasurer-approved guarantees available (ss 23-24). Guarantees can be conditional and the Treasurer must cap total liabilities for guarantees to the MCC by determination (s 24(3)-(6)).

5. Planning and operational carve-outs for stadium infrastructure. Spectator stands and works associated with floodlight towers are excluded from usual planning scheme controls (ss 28-29(1)). For floodlights, the Act creates a Ministerial determination power to set days, times and conditions for their operation, and requires approvals for associated buildings and works by relevant Ministers (ss 29(2); 30-31). The Act also limits equitable relief for floodlight works and operations undertaken “in accordance with this Act” (s 32).

Supplementary concepts include the statutory duty to produce an annual business plan and annual reports to specified Ministers (ss 25-26), regulation-making power for the Trust to control public admission and behaviour (s 33), integration with the Filming Approval Act 2014 for film permits and film friendly principles (s 3A; s 33(2A)), and transitional savings that transfer existing rights, obligations and delegations to the new Trust (s 34).

Each concept sets up a division of decision rights and obligations: the Trust carries primary operational responsibility, Ministers and Treasurer retain oversight and approval rights on certain financial and planning matters, and the MCC remains a privileged occupant and potential manager with specific exemptions (tendering, revenue retention) when appointed. These mechanics create lines of accountability (reporting and ministerial direction), but also channels for private contracting (long leases, licences, management agreements) and for public financial support (Treasurer guarantees) that the practitioner must navigate.

The statutory design allocates costs, rights and decision-making across a discrete set of public and private actors. The principal parties affected, and the concrete mechanics that change their legal positions, are:

• The Melbourne Cricket Ground Trust (the Trust). The Trust is created as the corporation responsible for managing and improving the Ground, and as committee of management for Yarra Park Reserve (s 4; s 6(1), (1)(ab)). It holds title as the deemed grantee (s 5) and bears operational duties (management, investment, delegation, business-plan production, reporting) and statutory obligations to comply with Ministerial directions (s 14) and to allow Ministerial review of its plans (s 25).

• The Melbourne Cricket Club (MCC). The Act preserves longstanding occupancy rights so long as the MCC maintains its constitution, complies with Trust regulations and agreements, and honours debts used for Ground improvements (s 17). The Trust may appoint the MCC as Ground manager without calling tenders; while MCC is manager of the whole Ground it is entitled to retain revenues from management (ss 18-20). The MCC may receive delegations of Trust functions with Ministerial approval (s 21) and may re-delegate subject to Trust approval (s 22).

• Ministers and the Treasurer. Specified Ministers (the Minister, the Minister administering the Sport and Recreation Act 1972, or the Treasurer) receive the Trust’s business plan and annual report and have approval rights over the plan form and content (s 25(3)-(4)). The Minister can give written directions to the Trust (s 14) and must approve certain delegations and leases (s 16; s 21). The Treasurer’s approval is required for investments and for the Trust to obtain financial accommodation and enter financial arrangements, and the Treasurer may give guarantees for the Trust’s or the MCC’s borrowing subject to conditions and caps (ss 6(3)(a); 23-24).

• Event operators, tenants, lessees, licensees and contractors. Those who contract with the Trust or the MCC will be affected by the long-term lease and licence framework (s 16), the tendering rules (s 18), and any management agreements (ss 19-22). Contractual rights can be created or restricted by the Trust’s power to grant delegations and by Ministerial approval requirements. The Act also preserves the continuation of existing delegations, leases and guarantees (s 34).

• Lenders and financial counterparties. The Trust and the MCC may obtain financial accommodation; the Treasurer may provide guarantees which place obligations on both the Treasurer (payment out of Consolidated Fund when called) and on the Trust or MCC (reimbursement and provision of securities) (ss 23-24). Guarantees can carry conditions requiring lenders to exhaust securities before calling on the Treasurer (s 24(3)(b)) and the Treasurer must limit total principal exposure for guarantees to the MCC (s 24(6)).

• The public and attendees. The Trust may regulate admission, fees and behaviour (s 33(2)(a)-(c)) and must publish regulations in the Gazette and post them at the Ground (s 33(3)). The public’s use of Yarra Park Reserve and access for vehicle movements on floodlight days can be controlled through Ministerial determinations under s 30.

• Filmmakers and the film industry. The Act declares itself filming approval legislation and ties Trust regulations about film permits to the film friendly principles in the Filming Approval Act 2014; regulations for film permits must not be inconsistent with those principles (s 3A; s 33(2A)).

• Persons seeking to use the name “Melbourne Cricket Ground” or “MCG”. The Act creates a specific offence for assigning those names to a place that is not the Ground, with a top penalty of 100 penalty units for an individual and 600 penalty units for a body corporate (s 27).

• Local planning authorities and stakeholders. The Act removes planning-scheme controls for spectator stands and floodlight towers on the Ground (s 28; s 29(1)), but it requires Ministerial approval of associated buildings and works in accordance with plans and specifications approved by the relevant Ministers (s 29(2)). This shifts planning decision-making from local schemes to the Minister/Trust axis.

Concrete shifts in behaviour and decision rights follow directly: the Trust must produce and deliver business plans and annual reports to Ministers (ss 25-26); the MCC may continue to occupy and manage the Ground under preserved rights but must observe Trust regulations and contractual arrangements (s 17; s 19); Ministers and the Treasurer retain veto and guarantee powers over high-value financial and planning actions (ss 14; 23-24; 29(2)). Lenders face the practical requirement that Treasurer guarantees may be conditional and capped (s 24). Entities dealing with the Ground must account for delegated policies required to be implemented by delegates under ss 21-22. The Act therefore affects operational actors (Trust staff, MCC management, contractors), financial actors (Treasury, lenders), regulatory actors (Ministers, planning authorities), and end-users (public, film industry).

The Act allocates express duties to public actors and confers rights and privileges on private actors. Below are the principal duties and rights, referenced to the statutory provisions that impose or enable them.

Duties imposed on the Trust

• Manage, control and improve the Ground and act as committee of management for Yarra Park Reserve (s 6(1), (1)(ab)). This is a broad functional duty rather than a prescriptive list of tasks.
• Prepare an annual business plan and consider Ministers’ comments, consult in good faith and make agreed changes (s 25(1), (5)-(6)). The Trust must provide the plan to each specified Minister in a form approved by them (s 25(3)-(4)).
• Submit an annual report within three months after its financial year end, including operations, financial statements and performance against specific measures (s 26(1)-(2)).
• Comply with written directions from the Minister after consultation with the Treasurer, and provide information to enable the Minister to verify compliance (s 14(1)-(3)). This creates a mandatory compliance duty.
• Make and publish regulations for admission, fees and preservation of order on the Ground, and post them conspicuously (s 33(1)-(3)). Persons must comply with those regulations; failure carries penalty units (s 33(4)).

Rights and powers conferred on the Trust

• Broad operational powers to do all things necessary to carry out functions, including investing funds with Treasurer approval, forming or participating in corporate structures and entering profit-sharing arrangements (s 6(2)-(3)).
• Power to grant long leases (up to 99 years) and licences (up to 50 years) with Ministerial approval, notwithstanding other Acts (s 16).
• Power to delegate functions to members or to the Melbourne Cricket Club with Ministerial approval, subject to constraints (ss 15, 21).
• Power to obtain financial accommodation with Treasurer approval and to have the Treasurer execute guarantees in respect of that borrowing (s 23).

Duties and entitlements of the Melbourne Cricket Club (MCC)

• The MCC is entitled to occupy the Ground to the extent and manner enjoyed at commencement of the 1933 Act, subject to conditions: no alteration of MCC constitution without Trust consent; no wilful or persistent breach of Trust regulations or agreements; and debts applied to improve the Ground remain owed to lenders (s 17(1)(a)-(d)).
• If appointed as Ground manager for the whole Ground, the MCC is entitled to receive and retain all entrance fees and revenue arising in its management of the Ground, subject to the management agreement (s 20(1)-(2)).
• The MCC may be appointed Ground manager without a tender process when it is lessee of the whole Ground, and while it is manager of the whole Ground the Trust must not contract another to manage any part (s 19(1)-(3)).

Ministerial and Treasurer powers and duties

• The Minister may give written directions to the Trust after consulting the Treasurer; the Trust must comply (s 14).
• The Minister may make determinations about floodlight operations specifying days, times, purposes and vehicle movement controls; determinations must be published in the Gazette (s 30(1)-(3)). The Minister may delegate the power to make such determinations to the Department Secretary or certain executive officers (s 30A).
• The Treasurer must approve investments and borrowing; the Treasurer may execute guarantees for the Trust’s or the MCC’s borrowing subject to terms the Treasurer fixes and subject to a cap on total principal sums guaranteed in relation to the MCC (ss 6(3)(a); 23(2)-(4); 24(1)-(6)). Payment under guarantees is from the Consolidated Fund, and recoveries are to be paid into that Fund (ss 23(4)-(5); 24(4)-(5)).

Statutory constraints and procedural duties

• Members must declare pecuniary or conflicting interests at meetings and, unless the Trust directs otherwise, refrain from participation and voting on the matter; minutes must record declarations (s 11(1)-(3)).
• Meetings must be quorate (majority of members), follow voting rules with a chairperson’s casting vote, and may include electronic participation (s 12).
• Business plans and certain parts thereof must not be published without Ministers’ prior approval (s 25(7)), creating confidentiality and information-control duties.

Offences and penalties

• Commercial assignment of the name “Melbourne Cricket Ground” or “MCG” to a place that is not the Ground, without Trust authorisation, is prohibited and attracts a penalty of 100 penalty units for natural persons and 600 penalty units for bodies corporate (s 27).
• Failure to comply with regulations made by the Trust (e.g., admission, fee, behaviour rules) attracts a penalty of 10 penalty units (s 33(4)).

Rights limiting judicial intervention

• Section 32 bars actions seeking injunctions or other relief “merely because” specified persons replace, refurbish, upgrade or operate floodlight towers or floodlights in accordance with the Act. The specified parties include the Trust, members, the MCC, administrators of the Act, event conductors and employees (s 32(1)-(2)). This limits the availability of equitable remedies in defined circumstances.

Transitional duties/continuity

• Existing delegations, leases, guarantees, indemnities, business plans and appointments made under repealed Acts continue and are taken to have effect under the corresponding provisions of this Act (s 34(4)-(13)). The Trust is substituted as a party to proceedings that involved the pre-dating Trust (s 34(3)(c)).

In summary, the Act gives the Trust broad managerial discretion and property and financial powers, while imposing reporting, consultation and compliance duties. It gives privileged operational and financial roles to the MCC when appointed manager, subject to contractual and regulatory constraints. Ministerial and Treasury oversight is concentrated around directions, approvals, guarantees and floodlight operation determinations. The statutory scheme therefore distributes rights and duties between operational managers (Trust and MCC), political/financial overseers (Minister and Treasurer), and the public and commercial counterparties who deal with the Ground.

The Act sets a compact enforcement framework that mixes statutory fines, compliance duties, administrative oversight, and limits on equitable relief. The core enforcement mechanisms and penalties are:

Monetary penalties

• Commercial exploitation of the name “Melbourne Cricket Ground” or the initials “MCG” is a specific offence with graduated penalties: 100 penalty units for a natural person and 600 penalty units for a body corporate (s 27). The Act does not specify a monetary conversion for a penalty unit; the relevant conversion is governed by the Penalty Units Act at the time of enforcement, not the MCG Act itself.
• Regulations made by the Trust under s 33 carry a penalty of 10 penalty units where the regulations require compliance and the contravention is specified by the regulation (s 33(4)). The Act requires regulations to be published in the Government Gazette and posted in conspicuous places at the Ground (s 33(3)); failure to comply with posted regulations is an offence against s 33(4).

Administrative enforcement and oversight

• Ministerial directions are binding: the Minister may give written directions to the Trust after consultation with the Treasurer and the Trust must comply (s 14(1)-(2)). The Trust must also give the Minister any information required to determine compliance with a direction (s 14(3)). Non-compliance with a binding direction may attract administrative consequences, political accountability and potential statutory remedies, although the Act does not specify a distinct penalty for failure to comply other than the Minister’s oversight and potential reputational or governance responses.
• Business plan and reporting framework: the Trust must deliver annual business plans and reports to specified Ministers and must consider and, where agreed, implement Ministers’ comments on the plan (s 25(3)-(6); s 26). Failure to submit or to cooperate would be a breach of statutory duties, and the Act grants Ministers monitoring and comment rights rather than criminal sanctions.

Financial enforcement mechanisms

• Guarantees executed by the Treasurer on behalf of the Trust or the MCC under ss 23-24 create contingent payment obligations of the Consolidated Fund. If the Treasurer pays under such a guarantee, recovery actions lie against the Trust or MCC as the Act requires the Treasurer to seek repayment from the borrower and to pay recovered sums into the Consolidated Fund (ss 23(4)-(5); 24(4)-(5)). The Treasurer may set conditions requiring lenders to hold securities and to have exercised those securities before calling the guarantee (s 24(3)). The Treasurer must cap total principal exposure when guaranteeing MCC borrowings (s 24(6)), which is an internal fiscal control but not an enforcement sanction per se.

Limits on judicial remedies

• Section 32 restricts equitable remedies by providing that actions seeking injunctions or other relief do not lie against specified persons merely because they replace, remove, refurbish or upgrade floodlight towers or operate floodlights in accordance with the Act. The specified persons include the Trust, members, the MCC, persons administering the Act, event conductors, and employees (s 32(1)-(2)). This provision narrows the scope of judicial intervention for actions that are undertaken pursuant to the Act; it does not remove causes of action for unrelated legal wrongs, but it does curtail injunctive relief in the specific context described.

Publication and notice obligations as enforcement tools

• Ministerial determinations under s 30 relating to floodlight operation must be published in the Government Gazette (s 30(3)). Regulations made by the Trust must be published in the Gazette and posted conspicuously in each part of the Ground (s 33(3)(a)-(b)). Publication and conspicuous posting create constructive notice which facilitates enforcement against patrons and operators for non-compliance with Trust regulations or floodlight determinations.

Procedural controls and internal sanctions

• Member conduct and conflicts of interest are policed internally: members must declare pecuniary or conflicting interests at meetings, declarations must be recorded in minutes, and absent direction from the Trust the member must not participate or vote on the matter and a vote made in contravention must be disallowed (s 11(1)-(3)). Removal of a member is available to the Governor in Council for incapacity, negligence, improper conduct, failure to disclose conflicts, insolvency or conviction of a Corporations Act offence (s 9(2)(a)-(f)). The Act thus contains governance enforcement via removal powers and minute records.

Practical enforcement consequences

• Commercial actors dealing with the Ground need to observe the Trust’s regulations and the terms of leases, licences and management agreements, because statutory penalties and administrative oversight attach to non-compliance. Lenders and financial counterparties must treat Treasurer guarantees as contingent public fiscal instruments subject to conditions, securities, and possibly pre-condition exhaustion requirements (s 24(3)(b)). Event operators and persons involved in floodlight operations must ensure their works and operations are in accordance with the Act and any Ministerial determinations to avoid the bar on injunctive relief creating only limited exposure to equitable challenges (ss 29-32).

The enforcement design therefore mixes monetary sanctions for discrete regulatory breaches, administrative and political oversight instruments for governance and planning decisions, and legal limits on judicial remedies in relation to floodlight operations. Practitioners should note that several enforcement levers operate outside of criminal penalties: Ministerial directions, Treasurer guarantees and the requirement to publish plans and determinations are enforcement-related mechanisms that shape compliance without necessarily invoking criminal sanctions.

The Act is drafted to sit within a web of Crown-land, planning, public administration, film approvals and financial legislation; it expressly displaces, incorporates or requires coordination with other statutes. The key statutory interactions are:

Crown Land and reserve law

• The Act deems the Ground to remain permanently reserved under section 4(1) of the Crown Land (Reserves) Act 1978 for the purposes described (s 5(3)). The Trust is thereby operating within the statutory framework for reserved Crown land, but the Act grants the Trust powers that override certain constraints in other Acts, subject to Ministerial approval where specified (s 16: “despite anything to the contrary in the Crown Land (Reserves) Act 1978 or any other Act…”).

Planning and Environment law

• The Planning and Environment Act 1987 and planning schemes are expressly excluded from applying to the development or use of any spectator stand on the Ground (s 28). For floodlight towers, the Trust may replace, remove, refurbish or upgrade towers and operate attached floodlights despite planning scheme provisions (s 29(1)). However, s 29(2) requires that any building or works associated with a floodlight tower must be undertaken in accordance with plans and specifications approved by the Minister administering the Crown Land (Reserves) Act and the Minister administering the Planning and Environment Act 1987. Thus, the Act removes local planning-process controls for certain stadium infrastructure but transfers approval and specification responsibility to relevant Ministers, creating a centralised approval overlay.

Filming Approval Act 2014

• The Act is declared to be filming approval legislation within the meaning of the Filming Approval Act 2014 (s 3A). Regulations under the MCG Act that relate to issuing film permits must not be inconsistent with the film friendly principles defined in the Filming Approval Act (s 33(2A)). This locks the Trust’s regulatory approach to film activity into the policy framework of the Filming Approval Act and constrains the content of regulations dealing with film permits.

Borrowing and investment law

• The Act imports definitions and links to the Borrowing and Investment Powers Act 1987 by reference for “financial accommodation” (s 3). The Trust’s ability to invest is subject to Treasurer approval (s 6(3)(a)), and its ability to obtain financial accommodation and enter financial arrangements requires Treasurer approval, with the Treasurer authorised to execute guarantees (s 23). Guarantees for the MCC’s borrowing also rest with the Treasurer (s 24). That cross-reference embeds the Trust in the state’s statutory fiscal control regime and subjects borrowing and financial transactions to Treasurer oversight and public-fund guarantees.

Public Administration Act 2004 and Interpretation

• The Minister may delegate the power to make floodlight determinations under s 30 to the Secretary of the Department or to certain executives employed under Part 3 of the Public Administration Act 2004 (s 30A). The Act also includes notes referencing sections 42 and 42A of the Interpretation of Legislation Act 1984, and its endnotes rely on the ILA’s provisions about headings, notes and punctuation.

Melbourne (Yarra Park) Land Act 1980

• The Act specifically makes the Trust the committee of management for Yarra Park Reserve (s 6(1)(ab)) and requires the business plan to include performance measures and targets included in the statement of intent in the management and improvement plan under s 8(7) of the Melbourne (Yarra Park) Land Act 1980 (s 25(4A); s 26(2)(c)). This enmeshes the Trust’s business planning and performance reporting with the statutory management framework for Yarra Park.

Melbourne Cricket Club Act 1974

• The MCC is defined per the Melbourne Cricket Club Act 1974 and the Act preserves the MCC’s occupation rights under the historical Crown grants and prior Acts (s 17). Delegation arrangements from the Trust to the MCC and re-delegation back to third parties are permitted (ss 21-22), but any policy from the Trust must be implemented by delegates where the delegation concerns Ground management (s 21(2); s 22(2)).

Pre-existing MCG Acts and transitional continuity

• The Melbourne Cricket Ground Act 1933 and other historical statutes are repealed by s 35, but transitional provisions in s 34 preserve existing grants, delegations, leases, guarantees, business plans, and the continuity of the pre-dating Trust. Existing delegations and leases are taken to continue under corresponding new provisions (s 34(4)-(11)). Section 34A (inserted by the 2024 amendment) preserves existing members and decisions through constitutional changes.

Limits on judicial remedies

• Section 32 interacts with general civil remedies by restricting injunctions or other relief in relation to floodlight works undertaken “in accordance with this Act”. That provision therefore interacts with common law equitable jurisdiction and with procedural avenues in other statutes by circumscribing certain equitable interventions.

Practical implications of interaction

• The Act displaces local planning processes for specified stadium infrastructure in favour of centralised Ministerial approvals and Trust control, but keeps some procedural constraints (Ministerial-plan approval and Gazette publication).
• Finance and investment activity is constrained by the Treasurer’s approval and guarantee regime, connecting Trust and MCC borrowing outcomes to the state’s fiscal management apparatus.
• Film production at the Ground is governed by both the MCG Act’s regulatory regime and the Film Approval Act framework; Trust regulations must be compatible with film friendly principles, reducing the Trust’s scope to impose restrictive film policies.
• Commercial use of the MCG name is directly regulated by s 27, which creates an overlay distinct from trade mark law and interacts practically with intellectual property and consumer protection regimes.

Practitioners advising on leases, finance, planning or film at the Ground must therefore align contractual terms with Ministerial approvals, Treasurer conditions and the Act’s specific constraints and publication requirements.

The Act’s text as current incorporates a discrete set of statutory amendments that materially changed governance, financial and film-related provisions. The consolidation in the table of amendments shows the following legislative events that practitioners must note:

Original enactment

• Melbourne Cricket Ground Act 2009 No. 15 of 2009, assented 7 April 2009, came into operation on 8 April 2009 (s 2). The 2009 Act re-enacted and consolidated earlier MCG statutes and made consequential amendments to other Acts (s 1).

Melbourne Cricket Ground and Yarra Park Amendment Act 2009 (No. 89/2009)

• Assent: 15 December 2009. Commencement: sections 9-15 began 15 March 2010 (table of amendments). The 2009 amendment introduced functions such as committee of management for Yarra Park Reserve (s 6(1)(ab) inserted by No. 89/2009 s 10) and made other governance changes referenced by amendment notations in the body (for example, changes to s 21(1) and s 22(1) and s 25(4A) inserted by No. 89/2009 s 11-13). The 2009 amendment package reworked the Trust’s role in relation to Yarra Park and made detailed procedural and delegation adjustments.

Statute Law Revision Act 2013 (No. 70/2013)

• Assent: 19 November 2013. Commencement: s 3(Sch. 1 item 33) on 1 December 2013 (table of amendments). The Statute Law Revision Act is a technical clean-up instrument; the table notes that it amended some provisions of the MCG Act but the endnotes do not record substantive policy changes in the version text beyond minor revisions.

Filming Approval Act 2014 (No. 51/2014)

• Assent: 12 August 2014. Commencement: s 9(Sch. 2 item 10) on 1 March 2015 (table of amendments). This amendment introduced s 3A, declaring the MCG Act to be filming approval legislation and adding definitions for film-friendly principles and film permits (s 3; s 3A), and inserted s 33(2A) requiring that any regulations under the MCG Act relating to film permits must not be inconsistent with the film friendly principles. The practical effect is to bind the Trust’s film regulation-making to the policy framework of the Filming Approval Act.

State Sporting Legislation Amendment Act 2024 (No. 28/2024)

• Assent: 20 August 2024. Commencement: sections 25-31 on 21 August 2024 (table of amendments). The 2024 amendments restructured the Trust’s constitution and appointment rules in several sections: s 7(b) was amended (constitution of Trust, member numbers), s 9 and related subsections were amended concerning resignation, removal and vacancies, and new sections 9A and 9B were inserted providing statutory power to appoint acting chairperson and acting members respectively. Section 11 (pecuniary interests) and s 12(2) (chairperson absence procedure) were amended, and s 30A was inserted allowing delegation of floodlight-determination power to departmental officers. Section 34A was also inserted preserving members and decisions following constitutional changes. These changes modernise governance mechanisms (acting appointments, clearer conflict-of-interest rules) and provide administrative delegation for floodlight determinations.

Notes on amendment mechanics and transitional preservation

• The Act’s s 34 preserves delegations, leases, guarantees and other arrangements made under the repealed Acts by treating them as continuing under the corresponding new sections (s 34(4)-(13)). Practitioners must therefore recognise that many pre-existing instruments remained effective after repeal and are treated as instruments made under the new Act for legal continuity. Section 34A confirms continuity of membership and decisions following the 2024 constitutional change.

Endnote confirmations

• The Act’s endnotes reproduce the table of amendments and indicate which amendment instrument altered which sections. The Explanatory details area contains no entries as printed, but the list in the table clarifies that the major substantive amendment themes are Yarra Park management (2009), film approvals (2014), and governance/administrative delegation (2024).

Practical consequences for advisors

• Lease and licence terms, delegations and guarantees executed prior to repeal were preserved and must be treated as continuing under the Act; check s 34 for substitution rules.
• Film-related planning and permit rules must be reconciled with the Film Approval Act’s film-friendly principles post-2015 (s 3A; s 33(2A)).
• Governance changes introduced in 2024 have operational consequences for appointment timing, acting appointments and conflict-of-interest processes; the Trust’s internal procedures and instruments should be updated to reflect the new statutory mechanisms (ss 9A-9B; s 11; s 12(2)).

In sum, the amendment history shows targeted amendments rather than wholesale policy reversals: consolidation and continuity in 2009; alignment with film policy in 2014; governance and delegation modernisation in 2024. The Act’s transitional provisions preserve existing legal relationships so that prior instruments remain operative.

The Act itself does not record a body of reported litigation; the statute text contains no case law citations and the Endnotes do not list judicial determinations interpreting the Act. The Act does, however, create statutory mechanisms that will shape any litigation that arises and affects procedural rights of parties in legal proceedings. The provisions with potential litigation significance are:

• Preservation and substitution of parties. Section 34(3)(c) deems the Trust to be substituted as a party to any proceedings pending immediately before repeal to which the pre-dating Trust was a party. That provision removes standing ambiguity that might otherwise arise when the earlier statutory trust was replaced by the Trust under this Act. Litigation referencing pre-existing rights or obligations should treat the Trust as the continuing party by statutory substitution (s 34(3)(c)). Section 34(3)(a)-(b) also preserves rights, property and liabilities as belonging to the new Trust.

• Limits on injunctive relief for floodlights. Section 32 provides that actions seeking relief by injunction or “any other form of relief” do not lie against specified persons merely because they replace, remove, refurbish, upgrade or operate floodlight towers or floodlights in accordance with the Act (s 32(1)-(2)). That provision will be a central procedural bar in any litigation seeking equitable relief directed at floodlight works or operations authorised under the Act. Practitioners should note the qualifier “merely because”: section 32 does not immunise conduct from legal action for issues unrelated to the statutory authorisation or for non-compliance with statutory requirements, but it narrows the circumstances in which equitable relief will be available where the actor has acted within the statutory framework.

• Administrative directions compliance and review. The Minister has power to give written directions to the Trust (s 14). Litigation could follow where a party alleges the Trust has not complied with an imperative direction, or where administrative decisions under delegated authority are challenged for jurisdictional error or failure to observe procedural fairness. The Act does not immunise such decisions from judicial review in general, but s 32’s bar on certain equitable remedies is a specific limitation only in the floodlights context.

• Contractual and guarantee disputes. The Treasurer’s guarantees under ss 23-24 and the contractual arrangements between the Trust, the MCC and third-party contractors may generate disputes involving repayment obligations, securities enforcement, or the conditions attached to guarantees (s 24(3)). Section 24(3)(b) allows the Treasurer to require that the guarantor are exhausted rights under securities be exercised before invoking the guarantee, which could influence litigation strategy by lenders. Section 23(2) and s 24(1)-(3) set out both the Treasurer’s discretion and the form-conditions of guarantees which could be the subject of contractual or judicial scrutiny.

• Delegations and policy implementation. The Trust’s power to delegate functions to the MCC and the MCC’s power to delegate with Trust approval (ss 21-22) create layered administrative arrangements. Litigation over the validity of delegations, whether a delegate implemented Trust policies properly, or whether a delegation is inconsistent with the management agreement could arise, and s 34(4)-(6) preserves delegations made under the repealed Acts as continuing instruments.

Absence of case list in the Act

• The Act’s endnotes and text do not supply any case citations or judicial history. As a result, practitioners must rely on litigation records, court databases and tribunal decisions outside the Act for precedent. The Act’s internal provisions that affect litigation (substitution, injunction bar, guarantee conditions) are statutory and will be operative in any relevant disputes.

Practical advice for litigation risk assessment

• When advising clients contemplating legal action connected to floodlights, confirm whether the challenged conduct was “in accordance with this Act” (s 32) before seeking injunctions; if so, equitable relief will be constrained.
• Where proceedings relate to instruments made under repealed Acts, check s 34 to determine whether the Trust is the substituted party and whether the instrument continues in force under this Act.
• In disputes involving Treasurer guarantees, scrutinise guarantee forms and any statutory conditions, together with Treasury policies and the requirement that the Treasurer may determine securities and exercise thresholds (s 24(3)-(6)).

In short, the Act shapes litigation pathways by substituting parties, conditioning public guarantees, and narrowing equitable remedies for specified operational activities. The text does not provide a catalogue of judicial interpretations; practitioners must therefore identify relevant cases in external databases and then map them to the statutory mechanics outlined above.

The Act contains several provisions that create traps for the unwary. These “gotchas” are concrete statutory features that produce non-obvious legal or commercial consequences.

1. Ministerial direction is mandatory and informationally invasive (s 14)

• The Minister may give a written direction to the Trust “on the performance, discharge or exercise by it of any of its functions, duties or powers” after consulting the Treasurer, and the Trust must comply (s 14(1)-(2)). The Trust must give the Minister any information required to determine compliance (s 14(3)). Practical consequence: operational autonomy is subordinate to Ministerial instruction and Ministers can require documentary evidence of compliance. Treat Ministerial directions as binding statutory instruments, not mere policy statements.

2. Business plan confidentiality and Ministerial approval (s 25(7))

• The Trust must not publish a business plan (or part of it) except for the purposes of the section without the prior approval of each specified Minister (s 25(7)). This restricts transparency by statute and may affect stakeholders seeking public disclosure of business and financial commitments. Practitioners advising journalists, researchers or industry must be aware that the statutory default is confidentiality unless Ministers agree to disclosure.

3. Tendering exemptions for MCC appointments (ss 18-19)

• The Trust may call tenders for management (s 18), but when appointing the MCC as Ground manager while the MCC is lessee of the whole Ground, the Trust is not required to call tenders (s 19(2)). While the Trust may call tenders in other circumstances, this specific exemption allows the MCC to be appointed without competitive procurement. Additionally, while the MCC manages the whole Ground the Trust must not engage another manager for any part (s 19(3)). This creates a lock-in effect and could limit competition for management services.

4. Revenue retention by the MCC while Ground manager (s 20)

• When the MCC is Ground manager of the whole Ground, it is entitled to receive and retain all entrance fees and revenue arising in the course of its management, subject to the management agreement (s 20). The practical effect is that revenue allocation is determined primarily by contractual agreement rather than by a statutory revenue-sharing default; advisers must scrutinise management agreements for allocation terms.

5. Long leases and licences bypass local planning but require Ministerial approval (s 16; ss 28-29)

• The Trust may grant long leases up to 99 years and licences up to 50 years “despite anything to the contrary in the Crown Land (Reserves) Act 1978 or any other Act” (s 16). Spectator stands and floodlight towers are taken out of planning scheme coverage (ss 28-29(1)), but any building or works associated with a floodlight tower must adhere to Minister-approved plans and specifications (s 29(2)). The result is that large-scale property rights can be created under the Act with limited local planning recourse, but subject to Ministerial technical approvals.

6. No injunctions for floodlights done “in accordance with this Act” (s 32)

• Section 32 prevents injunctions or other relief against a specified list of persons merely because they replace or operate floodlights in accordance with the Act (s 32(1)-(2)). Practically, parties who might otherwise seek urgent equitable relief should check whether the actor is authorised and whether the activity complies precisely with statutory requirements; if it does, injunctive remedies will be limited.

7. Treasurer’s discretion and guarantee conditions (ss 23-24)

• The Treasurer’s guarantees to the Trust and to the MCC are in form and subject to terms and conditions determined by the Treasurer (s 23(3); s 24(2)). The guarantee may require the holder to hold securities and to exhaust remedies under those securities before enforcing against the Treasurer (s 24(3)(a)-(b)). Importantly, the Treasurer must not execute a guarantee if it would cause the total guaranteed principal sums in relation to the MCC to exceed a sum determined by the Treasurer (s 24(6)). Lenders must therefore assess pre-conditions and caps; the guarantee is not a simple unconditional public backstop.

8. Delegation constraints and policy implementation (ss 15, 21-22)

• Delegations from the Trust to members, to the MCC, and re-delegations by the MCC are permitted, but the Trust must approve delegations to the MCC (s 21(1)) and delegates must implement Trust policies where functionally applicable (s 21(2); s 22(2)). Delegation instruments remain subject to statutory constraints: the power to delegate is itself non-delegable (s 15). Practically, delegation must be carefully documented and aligned with Trust policies to avoid ultra vires delegations.

9. Film permit regulatory constraint (s 33(2A); s 3A)

• Any regulations made by the Trust about film permits must not be inconsistent with film friendly principles under the Filming Approval Act (s 33(2A)). If the Trust attempts to impose film rules inconsistent with those principles, they may be vulnerable to legal challenge. Practitioners dealing with film shoots must coordinate permits with both Trust regulations and the film-friendly policy framework.

10. Continuity of pre-existing instruments and substituted parties (s 34)

• The repeal and re-enactment regime preserves prior delegations, leases, guarantees and appointments, and substitutes the new Trust as party to existing proceedings (s 34(2)-(11) and s 34(3)(c)). Advisers must therefore trace historical instruments to ensure they remain in effect and identify whether obligations and rights under older instruments continue unchanged under the Act.

Each of these items is grounded in the Act. Taken together, they create a regulatory environment in which substantial operational authority is concentrated in the Trust and the MCC, constrained by Ministerial and Treasurer oversight, while certain planning and equitable recourses are curtailed or channelled into prescribed administrative avenues. Practitioners should map contractual, planning and financing instruments against these statutory features to avoid unintended consequences.

Compliance under the Act requires attention to statutory duties, publication and record-keeping, approval processes and procedural safeguards. The following practical checklist gives actionable steps for the Trust, the Melbourne Cricket Club, contractors, lenders and Ministers.

For the Trust

• Prepare, approve and submit business plans annually by the date the Minister determines, in the form approved by the specified Ministers; include corporate intent, financial statements and any matters the specified Ministers require (s 25(1), (3)-(4)). If the MCC is Ground manager, ensure the Club prepares the plan on the Trust’s behalf and submit it for approval (s 25(2)).
• Consider Ministers’ comments on the business plan within two months, consult in good faith, and implement agreed changes before delivering the settled plan (s 25(5)-(6)). Avoid unilateral publication of the plan; obtain Ministers’ prior approval for any public release beyond the section’s purposes (s 25(7)).
• Produce and submit annual reports within three months of year-end to each specified Minister, ensuring financial statements and performance measures linked to Yarra Park management plans are included (s 26(1)-(2); s 25(4A)).
• If making regulations under s 33, ensure they are published in the Government Gazette and posted conspicuously across the Ground and, where film permits are concerned, check consistency with film friendly principles (s 33(1)-(3); s 33(2A)).
• Use formal meeting minutes to record declarations of interest by members; ensure members declare conflicts at the meeting as soon as practicable and that minutes record the declaration; exclude conflicted members from deliberations and votes unless the Trust directs otherwise (s 11(1)-(3)).
• If seeking to grant long leases or licences, obtain Ministerial approval, ensure the terms are consistent with the reservation purpose in s 5(3), and document approvals carefully (s 16).
• If the Trust delegates functions to the MCC or others, make a formal instrument under the Trust’s common seal and ensure delegations do not include the power of delegation itself (s 15; s 21(1)).

For the Melbourne Cricket Club (MCC) when acting as Ground manager

• If appointed Ground manager of the whole Ground, ensure the management agreement explicitly sets out revenue allocation and obligations because the MCC is entitled to receive and retain entrance fees and revenue arising from management subject to the agreement (s 20(1)-(2)).
• Abide by the conditions that preserve occupation: do not alter the MCC constitution without the Trust’s consent, avoid wilful and persistent breaches of Trust regulations or written agreements, and ensure that borrowed money used for Ground improvements remains debt of the MCC as contemplated by s 17(1)(a)-(d).
• If receiving delegated powers from the Trust, implement any policies the Trust makes in relation to the delegated functions and do not re-delegate unless permitted and approved (ss 21(2); s 22(1)-(2)).

For contractors, lessees and licensees

• Review the Trust’s regulations and any management or lease agreement carefully for post-2009 transitional instruments that remain operative under s 34. Ensure contractual obligations align with Trust policies and Ministerial approvals where required.
• If lending to the Trust or MCC, confirm the form and conditions of any Treasurer guarantee; check whether the guarantee requires securities to be held and exhausted before the Treasurer is exposed and whether there is a Treasurer-determined cap on aggregate guarantees for MCC borrowing (s 24(3)-(6)).
• If operating events that will use floodlights, verify the relevant Ministerial determination under s 30, ensure operations comply with any specified days, times, vehicle movement and parking rules, and confirm publication in the Gazette.

For Ministers and the Treasurer

• When issuing directions under s 14, document the consultation with the Treasurer (where required), issue the direction in writing, and be prepared to request information from the Trust to verify compliance (s 14(1)-(3)).
• When approving investments, borrowings or guarantees, set clear terms and conditions and document any securities requirements and exhaustions conditions; observe the statutory limit on total principal sums guaranteed in relation to the MCC (s 24(2)-(6)).
• For floodlights, follow s 29(2) and s 30 procedural requirements: approve plans and specifications for associated works, make a determination on operating days and conditions under s 30(1)-(2) and publish the determination in the Government Gazette (s 30(3)), or delegate the determination consistent with s 30A.

For film permit applicants and the film industry

• Ensure any proposed film activity is consistent with film friendly principles as required by s 3A and that any conditions in Trust regulations are consistent with those principles (s 33(2A)). Get the film permit from the Trust and check that regulations do not impose conditions inconsistent with the Filming Approval Act.

For legal compliance and risk management

• Maintain a compliance register for Ministerial directions, business-plan deadlines, annual-report submissions, delegated instruments, leases and guarantee documentation.
• Keep thorough minutes of Trust meetings to record conflict-of-interest declarations and decisions, and maintain a public posting system for regulations as required by s 33(3).
• Before seeking judicial remedies in respect of floodlights, verify whether the contested works or operations are “in accordance with this Act,” because s 32 limits injunctive relief in that context.
• Review historic instruments preserved under s 34 to ensure continued obligations and rights remain properly recorded and understood by counsel, parties and counterparties.

In short, compliance under the Act is a mix of administrative discipline (plans, reports, minutes, publication), contract diligence (management agreements, leases, delegations), fiscal vetting (Treasurer guarantees and securities), and procedural prudence when operating infrastructure that sits outside standard planning controls (spectator stands and floodlights). Legal advisers should integrate this statutory checklist into project timelines, contract templates and due diligence workflows.
