Maritime Legislation Amendment Act 2007

The Schedule structure: The Act operates mainly through two Schedules with distinct legal effects. Schedule 1 effects the institutional integration of the College into the University, and Schedule 2 changes information‑sharing powers of the Australian Maritime Safety Authority (the Authority). Section 3 confirms that each Act listed in a Schedule is amended or repealed as described.

Automatic statutory vesting: Items 3 and 4 implement the core mechanism: the College’s assets and liabilities immediately before integration cease to be College assets/liabilities and become University assets/liabilities without conveyance, transfer or assignment. The Act declares the University the successor in law to those assets and liabilities (items 3(2), 4(2)). The Act defines asset broadly to include legal or equitable estates and interests, both actual and prospective, and rights, powers, privileges or immunities (definitions, Schedule 1, Part 1). “Land” is similarly defined as any legal or equitable estate or interest in real property.

Certificates and registration: The Act provides a practical registration mechanism. Where land or other assets vest in the University under the Schedule, a Minister‑signed certificate identifying the asset and stating that it has vested may be lodged with the relevant land registration official or other assets official. Those officials are empowered to deal with and give effect to such certificates and make necessary entries in registers (items 5-6). Item 13 creates a rebuttable presumption that such a certificate is authentic and properly given.

Substitution in proceedings and continuity of instruments: Pending court or tribunal proceedings to which the College was a party are continued with the University substituted as party from the integration time (item 7). Pre‑integration instruments (contracts, notices, instruments made under statute and regulations) that reference the College, the College’s staff or students are taken to reference the University (item 9(1)-(3)), subject to Ministerial written determinations and regulations that can provide otherwise (items 9(4)-(5)). The Act explicitly states that such determinations are not legislative instruments (item 9(6)). In a related operation, things done by or in relation to the College before integration are taken as done by or in relation to the University for purposes of Commonwealth law (item 10(1)), again subject to ministerial written determination (item 10(2)-(5)).

Records and retention: Item 8 requires transfer of custody of records and documents to the Commonwealth, with Commonwealth retention of accounting records kept by the College under s 20(1) of the Commonwealth Authorities and Companies Act 1997 for at least seven years after completion of the transactions they relate to (item 8(3)). Item 8(4) preserves application of s 27L of the Commonwealth Authorities and Companies Act 1997 to the College’s books as if the reference to a Commonwealth authority were a reference to the Commonwealth.

Transitional protections and performance regime: The Act sets an “initial post‑integration period” of three months and defines “post‑integration year” as the integration year or any of the next four (definitions). During transition the Act requires the University funding agreement to specify a portion of University funding that is AMC institute funding (item 15). For the initial post‑integration period and for each post‑integration year up to five years, the Minister must assess a prescribed set of conditions and, if satisfied, issue a certificate to the Education Minister; if not satisfied the Minister must state reasons in writing and deliver them (items 16(2) and 17(2)). The conditions enumerate establishment of the institute in accordance with a Heads of Agreement, board composition and functions, student and staff continuity, priority asset access, reporting and performance indicators, consultation on disposals and notice of significant reductions in operations (tables in items 16 and 17).

Information sharing by AMSA: Schedule 2 inserts new s 11 into the Australian Maritime Safety Authority Act 1990. The Authority may disclose information obtained at any time (including personal information) to any person, subject to terms and conditions set by the Authority, for purposes limited to maritime domain awareness (including maritime security), maritime safety, protection of the marine environment and efficiency of maritime transportation (new s 11(1)-(2)).

Regulations, exemptions and ministerial powers: The Governor‑General may make regulations to carry out the Schedule (item 14). Item 12 provides that no stamp duty or other State or Territory tax is payable by the Commonwealth in respect of transfers under this Part. The Minister may delegate functions under Part 4 to the Secretary or specified SES employees, and delegates must comply with written Ministerial directions (item 19).

Consequential amendments: Part 5 lists specific textual changes to other statutes, for example repealing the Higher Education Support Act 2003 table item dealing with the Australian Maritime College (item 20) and repealing or amending items in the Legislative Instruments Act 2003, Public Works Committee Act 1969 and Remuneration Tribunal Act 1973 (items 21-26).

Definitions as operational levers: The Act’s defined terms (for example “asset”, “liability”, “AMC institute funding”, “post‑integration year”, “integration time”, “initial post‑integration period”) determine trigger points, funding arrangements and obligations; the Act cross‑references the Higher Education Support Act 2003 for funding and repayment consequences (item 15 and notes to items 16 and 17).

Institutions

• The Australian Maritime College (the College): its statutory existence is ended by repeal of the Maritime College Act 1978 (item 2). Immediately before integration, all of the College’s assets, liabilities and ongoing legal rights and obligations transfer to the University (items 3-4).
• The University of Tasmania (the University): becomes the legal owner and successor in law to the College’s assets and liabilities (items 3-4), is required to include an AMC institute within its structure (item 16 table item 1.1) and to have a University funding agreement that specifies the portion of Commonwealth Grant Scheme funding to be AMC institute funding (item 15). The University must provide certain reports and accommodate the Board (items 16-17, item 11).

Commonwealth bodies and Minister

• The Minister with administrative responsibility for the Schedule has certification and review responsibilities: during the initial post‑integration period and annually for up to five years the Minister must assess and certify (or not) a set of conditions relating to AMC institute establishment, governance and operation, and must cause an independent review at 4.5-5 years (items 16-18). The Minister may delegate functions under Part 4 to departmental senior officials (item 19), and such delegates must follow written Ministerial directions (item 19(2)).

• The Commonwealth: becomes custodian of College records (item 8), is exempt from State/Territory stamp duty or taxes in relation to transfers effected under the Schedule (item 12).

Students and staff

• Students who were enrolled at the College immediately prior to integration and who, absent integration, would have been students at the integration time, become students of the University (item 16 table item 2.1). During the initial post‑integration period the Act grants former College students the same rights and privileges as University students or former students (item 16 table item 2.2).

• Staff of the College who would have continued employment at integration become University staff on terms not less favourable than those applying immediately prior to integration (item 16 table item 3.1).

Regulators, registrars and assets officials

• Land registration officials and other assets officials: given certificates by the Minister (items 5-6) they are expressly authorised to register, give effect to and make necessary entries arising from the vesting. The Act presumes authenticity of such certificates unless the contrary is established (item 13).

• The Education Minister: notified of ministerial certification or non‑certification; if the Minister does not certify conditions are met, the Education Minister may require repayment of AMC institute funding under the Higher Education Support Act 2003 (items 16(2) note; item 17(2) note).

Private parties contracting with the College or University

• Instruments in force immediately before integration that reference the College, College staff or students are taken to reference the University (item 9(1)-(3)), unless the Minister determines otherwise in writing. The regulations may provide alternate arrangements for specified instruments (item 9(5)). Pending litigation is continued with substitution of the University (item 7). These changes affect counterparties to contracts, creditors, licensors, tenants, and other third parties with legal relationships to the College.

Australian Maritime Safety Authority (AMSA) and recipients of its information

• AMSA: gains an express statutory power to disclose information it has obtained, including personal information (Schedule 2, new s 11(1)-(2)). The Authority can determine terms and conditions for disclosure. Potential recipients include any person , government agencies, private industry participants, or other bodies , provided disclosure is for one of the enumerated purposes (maritime domain awareness and security; maritime safety; marine environment protection; maritime transport efficiency) and subject to Authority‑specified terms.

State and Territory governments

• States/Territories are affected through the requirement that land registration officials and similar state officials must act on Ministerial certificates (items 5-6). The Act also exempts the Commonwealth from stamp duty and other state/territory taxes for transfers under this Schedule (item 12), which removes a potential revenue source for those governments in relation to these transfers.

Other Commonwealth statutes and agencies

• The Act amends a number of Commonwealth Acts (Part 5 items 20-26), for example removing the Australian Maritime College item from the table in s 16‑15(1) of the Higher Education Support Act 2003 (item 20). Agencies that interact with those Acts will need to adjust administrative records and processes accordingly.

Who decides

• The Minister makes key determinations and certificates required by the funding and review regime (items 16-18). The Minister may delegate to the Secretary or SES employees (item 19). The University Council appoints the Board members for the AMC institute (item 17 table item 2.1-2.2).

Who pays

• The Commonwealth continues to fund the University under the Higher Education Support Act 2003; the University funding agreement must specify the portion of funding to be treated as AMC institute funding (item 15). If the Minister fails to certify conditions are met in the applicable review windows, the Education Minister may require repayment of AMC institute funding under existing provisions of the Higher Education Support Act 2003 (notes to items 16 and 17).

Automatic vesting duties and rights

• University: at integration the University acquires rights to the College’s assets and assumes its liabilities without conveyance or transfer (items 3(2), 4(2)). Rights include fees payable to the College immediately before integration (definitions). The University, as successor in law, has the right to be registered as owner of land and to have registration officials act on Ministerial certificates (items 3-6).

• Land registration and assets officials: permitted to register and give effect to Ministerial certificates that identify vested land or other assets (items 5-6). They may treat a Minister’s certificate as an appropriate instrument for registration; item 6(2)(a) allows an assets official to “deal with, and give effect to, the certificate as if it were a proper and appropriate instrument for transactions in relation to assets of that kind”.

Continuity obligations and substitution

• The University is substituted for the College in pending litigation from the integration time (item 7). Instruments in force immediately before integration that reference the College, College staff or students operate as if they reference the University (item 9(1)-(3)), unless the Minister, by writing, determines they do not (item 9(4)). Regulations may re‑cast specified references to other persons or bodies (item 9(5)). The Minister’s written determinations are explicitly excluded from being legislative instruments (item 9(6)).

Reporting and accountability obligations

• Board and University reporting: item 11 imposes a duty on the Board to provide reports that a law required the College to provide for a period that ends after the integration time, and to provide outstanding reports for periods ending before integration if those reports were not provided (item 11(1)-(2)). Item 11(3) clarifies the law applies to the Board as it applied to the College.

• Specific AMC institute reports and performance framework: items 16 and 17 require the Board to prepare an annual report in an agreed format, containing specified performance indicators and analyses (item 17 table items 3.1-3.3). The Minister must be given a copy and must be satisfied with the report as part of the certification process (item 17 table item 3.3).

Protections for staff and students

• Staff: persons who immediately prior to the integration time were staff and who would otherwise have remained staff become University staff on terms and conditions that do not provide a less favourable outcome than applied immediately before integration (item 16 table item 3.1).

• Students: persons who were students immediately before integration and who would have been students at integration become University students (item 16 table item 2.1). During the initial post‑integration period those persons and other former College students have the same rights and privileges as current students or former students of the University (item 16 table item 2.2).

Financial and asset management duties

• University: during the initial post‑integration period financial assets equivalent to the College’s financial assets transferred to the University are to be set apart for purposes of the AMC institute (item 16 table item 4.1). The AMC institute is to have priority access to transferred land and other College assets not disposed of during the initial post‑integration period (item 16 table item 5.1) and continuing priority access is required throughout later post‑integration years unless the Board and Minister are satisfied otherwise (item 17 table item 4.1).

Ministerial duties and certification rights

• The Minister must consider specified conditions and certify (or not) in the initial and annual certification windows (items 16(2), 17(2)). The Minister must cause a formal review between 4.5 and 5 years after integration and table the review report in both Houses of Parliament (item 18(1), (4)-(5)). The Minister may make written determinations under items 9 and 10 that alter the default operation for references and things done by the College, and those determinations are not legislative instruments (items 9(4)-(6), 10(2), 10(5)).

AMSA disclosure rights and conditions

• AMSA: under new s 11 it may disclose information obtained at any time, including personal information (new s 11(1)), to any person for the specified purposes and subject to terms and conditions the Authority specifies (new s 11(2)). The section therefore creates a statutory discretion for AMSA administration to determine disclosure recipients and conditions.

Exemptions and procedural duties

• Commonwealth: exempted from State and Territory stamp duties and taxes in connection with the transfers effected by the Schedule (item 12). Item 5 requires lodging a Minister’s certificate with a land registration official to trigger registration powers; item 6 sets an analogous practical requirement for non‑land assets. Item 13 treats documents that appear to be certificates under the Part as authentic unless the contrary is established.

Delegation and direction

• The Minister may delegate functions or powers under Part 4 to the Secretary or SES employees and such delegates must comply with written directions of the Minister (item 19).

Direct penalties

• The text of the Schedule provides for none of its own criminal penalties. The Schedule amends and reconfigures institutional arrangements, confers powers, prescribes duties and creates certification processes, but it does not create new criminal offences, pecuniary penalties or administrative fines within the Schedule text itself.

Enforcement mechanisms implicit in funding and administrative regimes

• Funding repayment mechanism: the Act ties ongoing receipt of AMC institute funding to the Minister’s certification. The Schedule notes that if the Minister gives a certificate to the Education Minister stating that the conditions are not met, the Education Minister may require the University to repay AMC institute funding for a post‑integration year under Part 2‑5 of the Higher Education Support Act 2003 (notes to items 16 and 17). Those repayment powers (and any sanctions or recovery mechanisms they contain) are located in the Higher Education Support Act 2003; the Schedule links to that enforcement regime rather than creating a separate one.

• Ministerial certification and review consequences: certification is a precondition to treatment of funds as AMC institute funding. A negative certification triggers further administrative action by the Education Minister under the Higher Education Support Act 2003 (items 16(1) and 17(1) and accompanying notes). The Schedule therefore enforces compliance with its conditions primarily through conditioning Commonwealth funding and requiring written reasons and reporting.

Administrative presumptions and evidentiary effects

• Certificates under items 5 or 6 are presumed authentic and properly given unless the contrary is established (item 13). This provision shifts the evidentiary burden in disputes about title or vesting to the party challenging a Minister’s certificate. The Act does not specify procedural mechanisms for challenging a certificate; it only prescribes the statutory presumption.

Judicial substitution and continuity

• The automatic substitution of the University in proceedings (item 7) is an enforcement‑adjacent mechanism ensuring continuity of legal rights and obligations. The Schedule does not provide a penalty for failing to substitute; rather, substitution occurs by operation of law at integration time.

Delegation and compliance directions

• Delegates acting under item 19 must comply with written directions of the Minister. Non‑compliance could give rise to administrative consequences under public service or departmental governance regimes, but the Schedule itself does not set out disciplinary penalties.

Other Acts’ enforcement regimes remain in force

• Where the Schedule modifies or repeals provisions of other Acts (Part 5), the enforcement and penalty structures in those Acts will apply to the amended arrangements. For example, the Higher Education Support Act 2003’s repayment powers and compliance mechanisms are the enforcement channel for the funding conditions in items 16 and 17.

Information disclosure oversight

• Schedule 2 authorises AMSA to disclose personal information. Oversight for any privacy or misuse risks will derive from the Privacy Act 1988 and relevant administrative law, not from the Schedule itself. The Schedule does not limit privacy obligations, but it does expressly allow the Authority to disclose personal information for listed purposes (new s 11(1)-(2)).

Practical enforcement consequences

• The Schedule’s practical enforcement to ensure compliance is therefore largely administrative: ministerial certification (or refusal) triggers funding consequences under the Higher Education Support Act 2003; certificates from the Minister create evidentiary presumptions; and statutory substitution ensures continuity in litigation. There are no novel criminal sanctions or pecuniary penalty provisions created in the Schedule text.

Higher Education Support Act 2003

• The Schedule cross‑references and interacts substantively with the Higher Education Support Act 2003. Item 15 requires the University funding agreement for a post‑integration year to specify, or provide a method for calculating, the portion of University funding that is AMC institute funding. Items 16 and 17 make the University’s receipt of AMC institute funding conditional on the Minister’s non‑issuance of an adverse certificate to the Education Minister during specified windows, and the notes to these items explicitly refer to Part 2‑5 of the Higher Education Support Act 2003 as the mechanism by which the Education Minister may require repayment (items 16(1) note; 17(1) note). Item 20 in Part 5 repeals the table item in subsection 16‑15(1) of the Higher Education Support Act 2003 that previously dealt with the Australian Maritime College.

Commonwealth Authorities and Companies Act 1997

• Item 8(3) requires retention by the Commonwealth of accounting records transferred from the College under subitem (2) for at least seven years after completion of the transactions to which the accounting records relate; it references subsection 20(1) of the Commonwealth Authorities and Companies Act 1997 as the source of those accounting records. Item 8(4) preserves continued application of s 27L of that Act to the College’s books as if a reference to a Commonwealth authority were a reference to the Commonwealth, maintaining certain record‑keeping and custody arrangements (item 8(4)).

Navigation Act and marine competency assessments

• The conditions for AMC institute establishment and operation in items 16 and 17 include conducting examinations and assessments for marine competency under the Navigation Act 1912 (item 16 table item 1.1(b)(ii)) and, in later references, for the purposes of the Navigation Act 2012 (item 17 table item 1.1(b)(ii)). Those references tie the institute’s functions to Commonwealth maritime regulatory frameworks.

State and Territory land registration and taxation

• Items 5 and 6 require engagement with State and Territory land registration officials and other assets officials to give effect to statutory vestings. Item 12 expressly provides that no stamp duty or other State or Territory tax is payable by the Commonwealth under state or territory law in relation to the transfers or to the operation of this Part in any other respect, removing state taxation implications associated with those transfers.

Legislative Instruments Act 2003 and Executive regulatory architecture

• Part 5 repeals items in subsections 44(2) and 54(2) of the Legislative Instruments Act 2003 (items 21-22). Items 9(4)-(6) and 10(2),(5) of the Schedule provide that ministerial determinations altering the default effect of instrument references and the operation of laws are not legislative instruments, meaning those determinations sit outside the formal Commonwealth legislative instrument framework. The Schedule also gives power to the Governor‑General to make regulations (item 14) to carry out or give effect to the Part, including transitional and saving provisions.

Privacy Act 1988 and information law

• Schedule 2 enables AMSA to disclose information including personal information. The inserted section 11(1) expressly states that the section applies to personal information within the meaning of the Privacy Act 1988. The Schedule does not state that the Privacy Act is displaced; it simply authorises disclosure for specific purposes. Compliance with privacy obligations, and potential interaction with the Privacy Act’s permitted disclosure mechanisms and oversight, will be relevant in practice.

Public Works Committee Act 1969 and Remuneration Tribunal Act 1973

• Part 5 makes textual amendments to the Public Works Committee Act 1969 and the Remuneration Tribunal Act 1973 (items 23-26). These are narrow textual changes that affect how those Acts refer to the Australian Maritime College or related offices. Agencies and tribunals referenced in those Acts should update administrative records accordingly.

Administrative law and judicial review

• The Schedule creates ministerial discretions (for example, in certification, determinations under items 9 and 10, and in the conduct and tabling of the review under item 18). Those exercises of executive power will remain subject to administrative law principles. The Schedule itself does not prescribe judicial review exclusions or privative clauses.

Continuity of contract law and property law

• The statutory substitutions in items 9 and 10 (treating references as references to the University and things done by the College as done by the University) operate within, and interact with, existing Commonwealth and state property, contract and statutory regimes. Land and asset registrars are authorised to act on Ministerial certificates to reflect vesting (items 5-6), but the underlying property and contract law applies to the assets and liabilities that have vested by operation of Schedule 1.

Original enactment and commencement

• Short title: The Act is the Maritime Legislation Amendment Act 2007 (s 1). The commencement table in s 2 sets out a staged commencement: sections 1-3 and any other provision not covered by the table commence on Royal Assent, which the table records as 24 September 2007 (s 2 table row 1). Schedule 2 similarly commences on Royal Assent (s 2 table row 3). Schedule 1’s commencement (s 2 table row 2) was to be a single day fixed by proclamation, with the additional instruction that if the provisions did not commence on or before 1 January 2009 they would not commence at all. The published commencement table includes a reference to 1 January 2008 (column 3 entry) and F2007L04141, which is recorded as additional publication information and not part of the Act (s 2(2)).

Amendments made by this Act

• Repeal: Schedule 1 Part 2 repeals the Maritime College Act 1978 (item 2).

• Inserts and transitional provisions: Schedule 1 Part 3 and Part 4 set out transitional arrangements (items 3-19) for vesting assets and liabilities, substitution in proceedings, transfer of records, continuing application of reporting obligations, exemptions from stamp duty (item 12), certificates presumed authentic (item 13), regulations (item 14), and the funding, reporting and review arrangements for the AMC institute (items 15-19).

• Consequential amendments: Part 5 makes textual amendments and repeals in other Commonwealth Acts (items 20-26). Notable changes include repealing the Australian Maritime College entry from the Higher Education Support Act 2003 (item 20), and repealing or substituting entries and definitions in the Legislative Instruments Act 2003 and Remuneration Tribunal Act 1973 (items 21-22, 25-26). Item 23 and 24 modify and repeal parts of the Public Works Committee Act 1969.

Schedule 2 changes

• Schedule 2 inserts a new section 11 into the Australian Maritime Safety Authority Act 1990 that authorises disclosure of information (including personal information) obtained by the Authority for specified maritime purposes (new s 11(1)-(2)). Schedule 2 commenced on Royal Assent (s 2 table).

No subsequent amendments recorded in this text

• The text supplied is the Act as originally passed and assented to. The Act itself notes that the commencement table relates only to the provisions as originally passed and assented to and will not be expanded to deal with provisions inserted after assent (s 2 note). The Schedule contains internal cross‑references to other statutes (for example the Higher Education Support Act 2003 and the Navigation Act references) but does not itself report later legislative amendments.

Practical sequencing and deadline

• The Act imposes a practical sequencing requirement: Schedule 1 had to be proclaimed and commenced by a date not later than 1 January 2009, otherwise it would not commence. That provision places a statutory time limit on the window for the integration to be brought into effect.

Record of amendments to other Acts

• The Act’s Part 5 lists specific amendments to other Acts (items 20-26); those are changes effected by this Act at the time of its passage. For a current statutory position, one must consult updated consolidations of the affected Acts, as this source does not record later amending instruments.

No cases or judicial determinations are named or recorded in the text supplied. The Act as presented is the instrument as originally passed; it does not include a schedule of litigation or case law.

Potential litigation or dispute areas identified by the text

Although the Act contains no litigation history in the supplied text, the Schedule creates several legal positions where disputes or judicial review claims might arise, based on the statutory rules it sets.

• Challenge to Ministerial certificates and presumptions (item 13): Item 13 provides that documents appearing to be certificates made under the Part are taken to be such certificates and properly given, “unless the contrary is established”. A party affected by a vesting might litigate the authenticity, sufficiency of identification, or procedural integrity of a Minister’s certificate. The statutory presumption shifts evidential burden, but the Schedule leaves open judicial determination if the contrary is established.

• Disputes about substitution in proceedings (item 7): Substitution by operation of law could prompt contested applications in courts or tribunals by parties that seek directions on the effect of substitution, the handling of costs, or the University’s standing to continue or defend historical claims. The Schedule makes substitution automatic, but practical litigation over procedural consequences could arise.

• Property registration questions (items 5-6): Although land registration officials are empowered to register the vesting upon lodgement of a Minister’s certificate, state practice and registrar requirements vary. Disputes could arise if a registrar refuses to act, if there are competing claims to land, or if the certificate’s description is inadequate. The Act empowers the registrar to “register the matter … in a way that is the same as, or similar to, the way in which dealings in land of that kind are registered” (item 5(2)(a)), but implementation detail could be litigated.

• Funding and repayment disputes (items 15-17): The University’s receipt of AMC institute funding is conditioned on the Minister’s certificate and on compliance with the Higher Education Support Act 2003. If the Education Minister requires repayment under Part 2‑5 of that Act after an adverse ministerial certificate, the University may challenge jurisdictional or procedural aspects, or contest the factual bases for the Minister’s adverse certification. Any such dispute would involve issues under the Higher Education Support Act 2003 as well as the Schedule’s certification process.

• Privacy and information sharing (Schedule 2, new s 11): The Authority’s newly conferred discretion to disclose personal information could generate litigation alleging privacy breaches or misuse of personal information. Although the Schedule authorises disclosure for specified purposes, affected individuals might seek remedies under the Privacy Act 1988, or seek judicial review of AMSA’s exercise of the disclosure power where, for example, a disclosure is alleged to have been outside the statutory purposes, not subject to proper terms and conditions, or otherwise unlawful.

• Administrative law challenges: The Schedule creates a host of ministerial discretions and procedural obligations (certification, determinations, delegations, conduct of a review). Those decisions and processes will remain amenable to judicial review where they reach the threshold of being reviewable executve action. Potential grounds include failure to consider relevant criteria, taking into account irrelevant matters, procedural unfairness, or exceeding jurisdiction.

Absence of recorded litigation in the source

• The supplied Act text contains no case citations, judicial annotations or notes showing subsequent litigation. For an authoritative litigation history, a practitioner must consult case law databases and consolidated legislative histories beyond this original text.

Ministerial certificates presumed authentic (item 13)

• Item 13 gives a strong evidentiary presumption: a document that appears to be a certificate under the Part is taken to be such a certificate and to have been properly given, unless the contrary is established. That shifts the evidential burden in disputes over vesting and registration to the challenger. Practically, parties should ensure they obtain and preserve contemporaneous documentary evidence challenging a certificate if they intend to dispute vesting.

Ministerial determinations are not legislative instruments (items 9(6), 10(5))

• The Act explicitly provides that determinations made by the Minister under items 9(4) and 10(2) are not legislative instruments. This changes their procedural character: they are executive written determinations and are not within the formal framework of disallowable instruments under the Legislative Instruments Act 2003. Practitioners should note the limits on parliamentary oversight and the different administrative law treatment such determinations may attract.

Regulations may displace default statutory continuity (items 9(5), 10(3), 14)

• The default rule is that instruments in force immediately before integration that reference the College, its staff or students operate as if they reference the University (items 9(1)-(3)). However, the Minister may determine otherwise in writing (item 9(4)) and the regulations may provide that such an instrument has effect as if the reference were to a specified person or body other than the University (item 9(5)). This layered mechanism means a reference that appears straightforward in an instrument may in fact be recast by determination or regulation. Counterparties should not assume continuity without checking whether any Ministerial determination or regulation has been made.

Certificates for vesting must be lodged to trigger registration powers (items 5-6)

• The power of land registrars and assets officials to record the vesting depends on lodgement of a Minister’s certificate that identifies the land or asset and states that it has become vested under the Division (items 5(1)(b); 6(1)(b)). If the certificate is not promptly lodged, or if the identification is insufficient for a registrar’s practical requirements, registration may be delayed. Practitioners should verify the form and content requirements and ensure timely lodgement.

Exemption from State/Territory taxes applies to the Commonwealth (item 12)

• Item 12 states that no stamp duty or other State or Territory tax is payable by the Commonwealth under a law of a State or Territory in respect of transfers of assets or liabilities under this Part. The exemption applies to the Commonwealth; it does not in the text expressly address whether, for example, a non‑Commonwealth party involved in associated transactions (a purchaser of disposed assets) may face stamp duty consequences. The provision removes a potential impediment to transfer but does not substitute state mechanisms for other third‑party transactions.

Funding certification timing and repayment risk (items 16-17 and notes)

• The University’s entitlement to AMC institute funding is conditional on the Minister’s failure to give an adverse certificate during prescribed windows (28 days after the initial post‑integration period for initial certification, and 60 days after each post‑integration year for annual review) (items 16(1) and 17(1)). If the Minister issues an adverse certificate and the Education Minister requires repayment under the Higher Education Support Act 2003, the University could face repayment obligations. Timing is therefore critical: the University must ensure it satisfies the conditions and provides required reports within the timeframes.

Asset priority and disposal consultation (items 16 table item 5.1; 17 table item 4.1 and 5.1)

• The AMC institute is given priority access to transferred land and assets not disposed of during the initial post‑integration period (item 16 table item 5.1), and similar priority is required in subsequent years (item 17 table item 4.1). If the University disposes of such assets during a year it must consult with the Board and comply with any agreements binding the University and the Commonwealth relating to disposal (item 17 table item 5.1). Failure to consult or to comply with agreements could affect certification and funding.

Records transferred to the Commonwealth (item 8)

• Custody of College records is to be transferred into the custody of the Commonwealth (item 8(2)), and accounting records transferred under item 8(3) must be kept for at least seven years after completion of the associated transactions. The Commonwealth must manage those records, and particular rules (s 27L of the Commonwealth Authorities and Companies Act 1997) continue to apply in relation to the books. Practitioners should account for the transfer of documentary evidence and the consequent change in access, FOI and archival arrangements.

Delegation subject to written directions (item 19)

• The Minister may delegate functions under Part 4 to the Secretary or SES employees (item 19(1)), but delegates must comply with any written directions of the Minister (item 19(2)). Delegation does not remove Ministerial control; operational decisions may be subject to Ministerial direction, which has implications for accountability and administrative practice.

AMSA disclosure power is broad but purpose‑limited (Schedule 2, new s 11)

• New s 11 allows AMSA to disclose information, including personal information, to any person subject to terms and conditions specified by the Authority, for specified maritime purposes. The provision is broad in recipients but limited in statutory purposes. Parties expecting to receive or exchange AMSA information should ensure any disclosures are documented with terms and conditions that reflect both statutory purposes and privacy obligations.

No new criminal sanctions in the Schedule

• The Schedule creates many operational mechanisms and funding contingencies, but it does not create new offences or express pecuniary penalties within this text. Remedies and enforcement mechanisms are mostly administrative (funding repayment under existing Higher Education Support Act 2003 provisions) or civil, and subject to existing statutory frameworks.

Checklist for the University

1. Integration mechanics and registration

   • Ensure the University is prepared to accept statutory vesting of the College’s assets and liabilities at the proclaimed integration time (items 3-4).
   • Coordinate with the Minister to obtain and lodge Ministerial certificates for any land or other asset vestings with the relevant land registration official or assets official (items 5-6). Confirm the content required to properly identify land or other assets.

2. Funding agreement and accounting

   • Negotiate and finalise the University funding agreement for each post‑integration year to specify or provide a method for calculating the portion of University funding that is AMC institute funding (item 15).
   • Set apart financial assets equivalent to the College’s financial assets for the AMC institute in the initial post‑integration period (item 16 table item 4.1). Keep distinct accounting records to show which funds are allocated to the AMC institute.

3. Governance arrangements

   • Establish the AMC institute within the University consistent with the Heads of Agreement during the initial post‑integration period (item 16 table item 1.1).
   • Ensure Council appointments to the AMC institute Board meet the composition requirements (item 17 table items 2.1-2.2): Principal, persons with shipping/seafarer expertise and certification expertise, and members with governance, business, finance, law and higher education skills. Document delegation of authority from Council to the Board in order to satisfy the autonomy requirement (item 16 table item 1.1(d)(iii)).

4. Staff and student transitions

   • Offer University employment to College staff who fall within item 16 table item 3.1 on terms offering outcomes no less favourable than their pre‑integration terms and conditions. Document employment terms to evidence compliance.
   • Confirm enrolment and rights for students who become University students by operation of item 16 table item 2.1 and ensure student support, records and privileges are extended during the initial post‑integration period (item 16 table item 2.2).

5. Reporting and performance measures

   • Agree performance indicators and report format with the Minister within six months beginning at the integration time (item 17 table item 3.1 and 3.2). Prepare and deliver the required report to the Minister before the end of each post‑integration year (item 17 table item 3.1).
   • Maintain records and data to enable performance evaluation against agreed indicators, future strategic directions and risk analysis (item 17 table item 3.2).

6. Asset management and disposals

   • Provide the AMC institute with priority access to land and other transferred assets not disposed of during the initial post‑integration period or post‑integration years (items 16 table item 5.1; 17 table item 4.1).
   • If disposing of transferred land or assets, consult with the AMC institute Board and comply with any agreements between the University and the Commonwealth concerning disposal (item 17 table item 5.1). Maintain records of consultations to show compliance.

7. Communication and legal continuity

   • Inventory all instruments, contracts and licences that reference the College, staff or students and identify which may be affected by the statutory references in item 9. Prepare plans for novation or administrative adjustments if necessary. Check whether the Minister has made any determinations altering the default reference rules (items 9(4)-(6), 10(2)-(5)).
   • Review pending litigation files to ensure the University’s legal representatives are substituted into active proceedings (item 7) and update internal legal registers.

8. Records transfer and retention

   • Liaise with the Commonwealth agency taking custody of the College’s records (item 8(2)). Identify accounting records required to be retained for seven years (item 8(3)) and ensure transfer includes metadata to allow retrieval. Understand that s 27L of the Commonwealth Authorities and Companies Act 1997 continues to apply to transferred books (item 8(4)).

Checklist for the Minister and departmental delegates

1. Certification timelines

   • For the initial post‑integration period, consider and certify whether the listed conditions are met and give the certificate (or adverse certificate with reasons) to the Education Minister within 28 days after the initial post‑integration period (item 16(2)).
   • For each post‑integration year, consider and certify whether the conditions are met within 60 days after the year (item 17(2)). Ensure written reasons are prepared where the Minister is not satisfied.

2. Performance indicator negotiations

   • Consult with the University and the Board to agree performance indicators and the report format within six months of integration (item 17 table item 3.1). Ensure the agreed format supports the Minister’s ability to assess performance and to satisfy the condition that the Minister be satisfied with the report (item 17 table item 3.3).

3. Delegation and directions

   • If delegating functions under Part 4, provide written directions and ensure delegates understand they must comply with those directions (item 19(1)-(2)). Maintain a clear record of delegations.

4. Review commissioning and tabling

   • Commission the review of integration and the AMC institute to be undertaken between 4.5 and 5 years after integration (item 18(1)-(3)). Ensure the review report is provided in writing and caused to be tabled in each House of Parliament within 15 sitting days after receipt (item 18(4)-(5)).

Checklist for AMSA

1. Policy for disclosures

   • Develop and document an internal policy, consistent with new s 11, specifying the circumstances and terms and conditions under which AMSA will disclose information (including personal information) for the statutory purposes (Schedule 2 new s 11(1)-(2)). Ensure the policy aligns with the Privacy Act 1988 and any other applicable information governance frameworks.

2. Record‑keeping

   • Record and retain logs of disclosures, recipients, purposes and terms and conditions attached to each disclosure, to support internal governance and to provide an evidentiary trail should a disclosure be challenged.

Checklist for land registrars and assets officials

1. Procedures for Ministerial certificates

   • Put in place administrative procedures to receive and register Ministerial certificates evidencing vesting (items 5-6). Where the certificate “identifies the land … and states that the land has become vested in the University under this Division”, registrars may register the matter in a way analogous to normal dealings in land of that kind (item 5(2)(a)).

2. Dealing with non‑land assets

   • For non‑land assets, confirm the appropriate internal registers and the form of entries that will be made on the strength of an assets official’s acceptance of a Minister’s certificate (item 6(2)(b)).

Practical steps for third parties and counterparties

1. Contract counterparties should review instruments in force immediately before the integration time that reference the College, staff or students to determine whether the statutory substitution in item 9(1)-(3) or any Ministerial determinations alter their rights or obligations. If necessary, seek formal novation or amendments to clarify parties’ positions.

2. Parties dealing with disposed assets should check whether the University has complied with consultation obligations with the AMC institute Board and with any agreements with the Commonwealth (item 17 table item 5.1).

3. Those receiving or relying on AMSA information should ensure terms and conditions attached to disclosures are recorded and understood, particularly where personal information is involved (Schedule 2 new s 11).

Record‑keeping and audit readiness

• Maintain contemporaneous records of ministerial certificates, performance indicator agreements, Board reports, financial allocations for AMC institute funding, consultations on disposals, staff transfer documentation and student enrolment continuity measures. These records will be central to demonstrating compliance in any funding certification process and in the Minister’s review.

Administrative and legal liaison

• Expect to liaise with the Education Minister’s office on funding matters, with the Minister responsible for this Schedule on certification and review, with Commonwealth records management entities on custody of former College records, and with State/Territory registration authorities for land and asset entries.

This compliance guidance follows directly from the Schedule provisions (items 3-19; Schedule 2 new s 11) and from the cross‑references to the Higher Education Support Act 2003 found in items 15-17.
