Marcus Oldham College Act 1995

The central concept is the transition from an unincorporated College (defined in s 3 as Marcus Oldham Farm Management College as it existed immediately before Part 2 commenced, including all land, property, money and securities held by the trustees under the trust) to a company limited by guarantee (Marcus Oldham College A.C.N. 071 444 409, incorporated under the Corporations Law of Victoria). This is not a merger or a winding up; it is a statutory substitution of legal personality. The trust created by the will of Marcus William Oldham, deceased, as varied by a Supreme Court order of 20 July 1979 (s 3 definition of trust) is the foundational legal structure. The trust established an agricultural training school in perpetuity. The trustees are the legal owners of the property, and the Council is the governing body appointed by the trustees (s 3 definition of Council). The Act cancels the trust and abolishes the Council (s 6(1)). The concept of successor in law (s 4(d)) means the incorporated college steps into the shoes of both the trustees and the Council for all legal purposes. Vesting is automatic by force of the Act; no separate conveyance or assignment is needed, but the Act does direct the land titles authorities to amend the Register (s 10). The definition of property is broad: any legal or equitable estate or interest, present or future, vested or contingent, in real or personal property of any description (s 3). Liabilities include all duties and obligations, actual, contingent or prospective (s 3). Rights include all powers, privileges and immunities (s 3). The definition of instrument includes documents and oral agreements (s 3), ensuring that even informal arrangements are caught by the statutory novation. The concept of corresponding or similar purpose in s 7 is important: gifts and trusts that specify purposes of the unincorporated college do not fail but apply to the incorporated college for a purpose that corresponds with or is similar to the original purposes. This preserves the charitable intent while allowing the incorporated college flexibility in how it fulfils it. The Act also creates a deemed reference mechanism: after commencement, references in other Acts, subordinate instruments, judgments and documents to the trustees, unincorporated College or Council are deemed to refer to Marcus Oldham College unless the contrary intention appears (s 4(j)). This avoids the need for hundreds of individual amendments to other instruments.

The primary entity affected is Marcus Oldham College A.C.N. 071 444 409, the incorporated company that becomes the holder of all assets and the bearer of all liabilities. The former trustees of the old trust are directly affected: they are discharged from all joint and several liability (s 4(c)) and go out of office (s 6(1)(a)). However, they gain a statutory right to be indemnified by the incorporated college for any personal liability arising from good-faith execution of their duties, to the same extent and in the same circumstances as they were entitled to be indemnified by the unincorporated college before commencement (s 6(2)). The members of the Council are similarly abolished and go out of office (s 6(1)(b)) and receive the same indemnity right. Staff of the unincorporated college become staff of the incorporated college (s 8(1)). They are entitled to remuneration no less than before and terms and conditions no less favourable, and their accrued entitlements including prior service recognition are preserved (s 8(2)). Staff who were officers under the State Superannuation Act 1988 continue as such officers while they remain staff of the incorporated college (s 8(3)). Students enrolled at the unincorporated college become students of the incorporated college (s 9(1)). Those entitled but not yet enrolled may apply for enrolment in the same or substantially the same course (s 9(2)). Beneficiaries of existing scholarships, prizes and bursaries of a continuing nature are affected: those administered by the trustees, the unincorporated college or the Council are transferred to the incorporated college and must be administered according to their original terms (s 4(e)). Gifts, dispositions and trusts of property made before or after commencement that refer to the unincorporated college take effect in favour of the incorporated college (s 7). This affects donors and their estates. All counterparties to contracts, deeds, bonds, agreements, guarantees and other instruments (except staff contracts) are affected: those instruments have effect as if made with the incorporated college (s 4(f)). This includes creditors, suppliers, lessors, and others with contractual relationships. Pending and existing legal proceedings by or against the trustees, the unincorporated college or the Council are substituted with the incorporated college (s 4(g)). The Registrar of Titles and the Registrar General must make necessary amendments to the land register and enrolment records (s 10). The State Revenue Office is affected by the exemption from stamp duty and other taxes (s 11).

The Act imposes relatively few ongoing duties on the incorporated college, but they are significant. Marcus Oldham College must administer any scholarship, prize or bursary of a continuing nature that was administered by the trustees, the unincorporated college or the Council in accordance with the terms and conditions to which it was subject immediately before commencement (s 4(e)). This duty is enforceable by the scholarship holders or the Attorney General as a charitable trust, though the original trust is cancelled. The incorporated college must also apply gifts, dispositions and trust funds that refer to the unincorporated college for a purpose that corresponds with or is similar to the original purposes (s 7(c), (d)). This duty constrains how the college can use such property; it cannot divert it to unrelated purposes. Staff have a statutory right to remuneration no less than before and terms and conditions no less favourable (s 8(2)). This is a continuing guarantee; the Act does not freeze terms indefinitely, but any reduction would likely breach the Act. Staff also retain the benefit of accrued entitlements including prior service recognition (s 8(2)(b)). Students have a right to apply for enrolment in the same or substantially the same course (s 9(2)); this is a once-off entitlement at the time of transfer. The Registrar of Titles has a duty to amend the Register when requested and on delivery of relevant certificates or instruments (s 10(1)). The Registrar General must make entries on the records of enrolment of any Crown grant and on any memorial relating to land (s 10(2)). Former trustees and Council members have a right to be indemnified by the incorporated college for personal liability arising from good-faith execution of their duties, to the same extent and in the same circumstances as they were entitled to be indemnified by the unincorporated college before commencement (s 6(2)). This indemnity is personal to them and does not extend to indemnification of the incorporated college itself. The trustees also have the benefit of being discharged from joint or several liability (s 4(c)), which extinguishes their obligations to third parties. Counterparties to contracts have the right to enforce those contracts against the incorporated college as if it were the original party (s 4(f)). This is a unilateral substitution; they did not consent, but the Act binds them. Similarly, parties to pending proceedings have their actions continued against or by the incorporated college (s 4(g)). The Act overrides any contrary terms in the trust, any Act, instrument or rule of law (s 12), which means the incorporated college has a right to rely on the Act's provisions even if the trust or other legal rules would otherwise prevent the transfer.

The Marcus Oldham College Act 1995 contains no penalty provisions, no offence-creating clauses, and no specific enforcement mechanisms. It is purely an enabling and restructuring statute. Non-compliance with the duties it imposes would be enforceable through general law rather than through the Act itself. For example, if the incorporated college fails to administer a transferred scholarship in accordance with its original terms (s 4(e)), a beneficiary or the Attorney General could potentially bring an action for breach of trust or seek an order for specific performance, relying on the Act as creating a statutory duty. Similarly, if the college uses property from a gift under s 7 for purposes that do not correspond or are not similar to the original purposes, a donor's estate or the Attorney General could enforce the restriction under charitable trust principles or through the Supreme Court's supervisory jurisdiction. Staff who receive less than the remuneration they were receiving before transfer could bring an action for breach of statutory duty under s 8(2). However, the Act does not specify a penalty or a right to damages; the court would have inherent jurisdiction to make declarations and orders. The requirement for the Registrar of Titles to amend the Register (s 10) is directory; if the Registrar refuses, the incorporated college could seek mandamus or an order under the Transfer of Land Act. The exemption from taxes (s 11) is self-executing; if a taxing authority attempts to charge stamp duty or other tax on a transaction covered by the Act, the taxpayer could rely on s 11 as a defence. The general precedence clause (s 12) would be invoked in any legal dispute where another law or instrument conflicts with the Act's provisions. The absence of penalties means compliance relies on the incorporated college's own legal obligations and the risk of civil proceedings. There is no regulator specifically tasked with overseeing this Act. The only consequential enforcement mechanism is the Supreme Court's power to enforce trusts and statutory duties.

Section 12 gives the Act a sweeping override: its provisions have effect despite anything to the contrary in the terms of the trust or in any Act, instrument or rule of law. This means that even if the original trust deed (or the Supreme Court's 1979 variation order) would have prohibited the transfer of property or the cancellation of the trust, the Act overrides those terms. It also overrides any other Act that might prevent the vesting of assets without formal conveyancing or the substitution of a company in legal proceedings. The Act does not, however, purport to override the Corporations Law under which Marcus Oldham College is incorporated; that law continues to govern the company's internal governance, directors' duties, and reporting obligations. Section 11 exempts anything effected or done under the Act from stamp duty or other tax under any Act. This overrides the Duties Act and any other state taxing statute for transactions that are connected with or necessary to be done by reason of this Act. The exemption is not limited to transfers of property; it covers any act or transaction, including the making or lodging of instruments. Section 8(3) expressly preserves the application of the State Superannuation Act 1988 for transferred staff who were officers under that Act; they continue to be officers while employed by the incorporated college. The definition of subordinate instrument in s 4(j) references the Interpretation of Legislation Act 1984, ensuring that deemed references operate in statutory rules and regulations as well. The Act effectively overrides the law of trusts to the extent that it cancels the trust and abolishes the trustees' fiduciary obligations. The trust property is no longer subject to the trust, even though s 7 preserves the charitable purpose for gifts and trusts. The Act does not interact with the Corporations Law beyond the definition of Marcus Oldham College. There is no provision dealing with the interaction with the Australian Charities and Not-for-profits Commission Act (which did not exist at the time) or the Income Tax Assessment Act. The tax exemption in s 11 only covers state taxes; Commonwealth taxes such as capital gains tax or GST are not addressed. The Act does not affect the college's obligations under employment law, workplace health and safety, or anti-discrimination laws, which continue to apply. The land vesting provisions (s 5) interact with the Transfer of Land Act; the Registrar of Titles must amend the Register, implying that the land is under the Torrens system. Section 4(j) deems references in any Act or document to the unincorporated college as references to the incorporated college, which avoids the need for consequential amendments in other legislation.

According to the Table of Amendments in the endnotes, no amendments have been made to the Marcus Oldham College Act 1995 by Acts or subordinate instruments. The version in force as at 14 September 1999 is Version No. 001, the original as enacted. This is consistent with the Act being a single-purpose, one-time restructuring statute. After the vesting and cancellation of the trust occurred on 1 February 1996 (the date Part 2 commenced, per Government Gazette 21 December 1995 page 3571), the Act became largely spent. There is no ongoing operational content that would require amendment. The only ongoing provisions are the continuing duties regarding scholarships and gifts, the transfer of staff and student rights, and the property references. Those are not subject to periodic amendment. The absence of amendments suggests that the Act operated as intended without any defects or policy changes requiring legislative correction. The Act has been a static piece of legislation for over two decades. Future amendment would only be needed if the incorporated college changed its name, or if a court determined that some provision was unclear and needed clarification. Given that the trust is cancelled, the original will-based structure is gone, and the college operates as a normal company limited by guarantee, the likelihood of future amendment is low. The Act remains on the statute books as a vestigial record of the transition.

The source contains no references to any litigation arising from the Marcus Oldham College Act 1995. The explanatory details in the endnotes state "No entries at date of publication." The absence of reported cases is not surprising for a private Act that effected a consented restructure. The preamble notes that the trustees and the Council wished for provision to be made for vesting in the incorporated company. The Act was therefore the result of an agreed process, not a contested one. There is no indication that any party challenged the trust's cancellation, the vesting of assets, or the staff transfers. The lack of litigation suggests that the transition was smooth and that the indemnities, preservation of staff conditions, and scholarship protections were satisfactory. If there had been disputes over the valuation of assets, the adequacy of the indemnity, or the interpretation of "corresponding or similar purpose" in s 7, those would likely appear in case law. Their absence indicates either that the parties resolved any issues privately or that no issues arose. Potential litigation could have been brought by a student denied enrolment in a substantially similar course (s 9(2)), a staff member offered less favourable terms (s 8(2)), or a donor's estate arguing that a gift was not used for corresponding purposes (s 7). None of these scenarios have resulted in published judgments. It is also possible that the Act was never tested in court because the incorporated college continues to operate as an agricultural education provider, and the transition was administratively straightforward.

Several provisions carry traps for the unwary. The staff protection in s 8(2) says a transferred staff member becomes a member of staff "with remuneration no less than the person was receiving or was entitled to receive" immediately before commencement. This is a snapshot guarantee. It does not prevent later changes to remuneration or conditions as long as the college does not reduce them below that snapshot level. However, if the college restructures roles or introduces performance-based pay, it could still be argued that the guarantee is ongoing. The phrase "terms and conditions no less favourable" is ambiguous: does it apply to the whole package or to each individual term? If the college imposes a new location or hours requirement that is less favourable, that could breach the provision, even if base salary stays the same. The indemnity for former trustees and Council members (s 6(2)) is limited to personal liability arising from execution in good faith of their duties, and it is only "to the same extent and in the same circumstances as he or she was entitled to be indemnified by the unincorporated College before that commencement." If the unincorporated college had limited indemnity provisions, the statutory indemnity is equally limited. Moreover, the indemnity does not cover liability that arose from bad faith or breach of trust. The deemed reference provision in s 4(j) applies "unless the contrary intention appears." This creates interpretive uncertainty: a court might find that a particular Act or document intended to refer specifically to the unincorporated body and not its corporate successor. For example, if an old Act gave a power to the "unincorporated College" in a context that assumed it was not a company, the contrary intention might be found. The Act does not list which Acts are deemed to refer to the incorporated college. The operation of s 7 on gifts and trusts is conditional on the gift or trust taking effect on or after commencement. Gifts that vested before commencement are not caught by s 7 and remain subject to the now-cancelled trust, creating a potential gap. The tax exemption in s 11 is limited to "anything effected by or done under this Act" or "connected with or necessary to be done by reason of this Act." Transactions that are not directly part of the transition, such as subsequent financing arrangements or asset sales, are not exempt. The Act does not address the change of name from "Marcus Oldham Farm Management College" to "Marcus Oldham College" for the company, though the definitions handle it. The cancellation of the trust means that the college is no longer legally bound by the will's purpose of "pastoral farming or agricultural pursuits or other related pursuits" in a strict trust sense. The only constraint is the "corresponding or similar purpose" test for gifts and trusts under s 7, which is vague and could be disputed. Finally, s 12's override of "any Act, instrument or rule of law" is extremely broad and could potentially conflict with other regulatory requirements, though in practice it likely only applies to trust law and land transfer formalities.

For Marcus Oldham College as the successor entity, compliance requires several practical steps. The board and management should first secure a complete inventory of all assets and liabilities that vested on commencement under s 4, including land, buildings, equipment, cash, contracts, and litigation. They should update their internal registers and financial records to reflect the statutory transfer. The land vesting under s 5 requires a formal request to the Registrar of Titles, accompanied by the relevant certificate of title, to amend the Register. The college should engage a conveyancer or solicitor to ensure this is done promptly and that the correct folio and plan references are used. For assets not covered by s 5, such as personal property and contractual rights, the college should notify all counterparties of the statutory substitution (s 4(f)) and provide a copy of the Act if requested. Contracts with suppliers, lessors, and funding bodies should be reviewed to confirm they are now held by the college. The college must identify all existing scholarships, prizes and bursaries that were administered by the trustees or the Council and ensure they are administered under the same terms and conditions (s 4(e)). This may require maintaining separate accounts or making payments to the same beneficiaries. For gifts, dispositions or trust funds received after commencement that refer to the unincorporated college, the college must apply them for purposes that correspond with or are similar to the original purposes (s 7). This requires documenting the original purpose and making a board determination that the use is within the permissible range. Staff transferred under s 8 must receive employment contracts that match or exceed their previous remuneration and terms. The college should provide each employee with a written notice confirming the transfer and the preservation of entitlements. Superannuation arrangements for officers under the State Superannuation Act 1988 must be maintained (s 8(3)). Student records must be updated to reflect the corporate name and entity, and students entitled to enrol must be given the opportunity to apply (s 9(2)). The college should also maintain a register of all permits, licences and authorities that were issued to the trustees or Council, and confirm that they continue to operate in favour of the college (s 4(h)). No stamp duty or other tax is payable on any instrument connected with the transition, but the college should still lodge the necessary forms and rely on s 11 as an exemption, providing a copy of the Act. Former trustees and Council members should be provided with a formal deed of indemnity reflecting s 6(2) for their protection, though the Act itself creates a statutory right. The college should also consider updating its own constitution and governance documents to align with the change from a trust-governed entity to a company limited by guarantee, though this is not mandated by the Act. Finally, records and documents of the trustees, Council and unincorporated college should be transferred to the college and stored appropriately (s 4(i)).
