Loy Yang B Act 1992

The Act operates through a small set of legal mechanisms that convert a negotiated contract into a partially self‑executing statutory framework.

1. Statutory authorisation and ratification: Section 5 authorises the Minister to enter the Agreement in Schedule 1; section 6 ratifies and approves that Agreement once entered by the parties. This makes the contractual instruments the object of legislative authorisation and retrospective legislative approval.

2. Implementation obligation: Section 7(1) authorises implementation; section 7(2) requires the Government, Ministers, State instrumentalities and bodies established by statute, including municipal councils, to “do all things necessary or expedient” to carry out the Agreement. That language is broad and creates a statutory duty on public bodies to assist implementation.

3. Prohibition on interference: Section 7(3) creates a statutory proscription against any person doing anything that interferes with the operation or implementation of the State Agreement or the ability of parties to exercise rights or discharge duties under it. The Act does not attach express criminal penalties to that subsection; its enforcement follows from civil remedies and the other enforcement machinery in the Act and Agreement.

4. Pre‑eminence over inconsistent Victorian law: Section 8 is a priority‑of‑law mechanism. If a provision of the State Agreement is inconsistent with Victorian law, the State Agreement prevails and Victorian law is modified to the extent of the inconsistency. The statutory scope of that modification is limited to law of Victoria; nothing in section 8 purports to displace Commonwealth law.

5. Controlled variation process: Section 9 enables the parties to vary the State Agreement by written agreement, but requires a copy of any variation to be laid before each House of Parliament within six sitting days (s 9(2)). Either House may revoke the variation by resolution within the sitting‑day window (s 9(3)). Absent revocation, the variation comes into force after that period (s 9(4)). This creates a parliamentary oversight window without a direct veto power beyond the resolution mechanism.

6. Enforcement and remedies: Section 10 limits standing to enforce the State Agreement to or on behalf of the State, another party to the Agreement, or a successor/assign. Section 11 declares that specific performance may be granted and enforced against the Crown with respect to State obligations, by cross‑reference to s 23(1) of the Crown Proceedings Act 1958.

7. Confidentiality and FOI carve‑outs: Section 34 excludes specified classes of project‑related documents from operation of the Freedom of Information Act 1982 (s 34(1)), deems participants to be “business, commercial or financial undertakings” for the purpose of FOI (s 34(4)(a)) and requires agencies to treat participant‑supplied documents as if supplied by a business undertaking (s 34(4)(b)). The Schedule’s confidentiality obligation among participants (s 34(2)) makes a participant’s decision not to disclose subject to FOI review (s 34(3)).

8. Contractual content given statutory support: Schedule 1 contains the commercial architecture, definitions, conditions precedent, procurement and permit obligations, coal supply and power supply frameworks, assignment requirements, non‑discrimination principles, and procedural constraints such as reasonableness obligations for Ministerial approvals (clause 12). Many of the Agreement’s operational commitments are not contained in the short Act text but are incorporated by reference in Schedule 1.

9. Limited third‑party rights and public law interaction: The Act binds the Crown (s 4), but constrains third parties’ capacity to enforce. It imposes duties on public bodies to facilitate the Agreement, and simultaneously provides statutory protection for the participants’ commercial confidentiality. The State Agreement, made statutory, may modify Victorian statutory duties and requirements where inconsistent (s 8), subject to the limits described above.

10. Implementation‑specific exceptions: The Act contains implementation‑specific provisions such as the Building Act interaction (s 22, allowing the Victorian Building Authority to declare certain buildings unclassifiable or exempt on Loy Yang land), and the Planning and Environment Act interaction (s 26, excluding ss 30 and 38 of that Act in relation to a specified planning scheme amendment). These are discrete carve‑outs tailored to facilitating project delivery.

Taken together, these concepts show a legislative design that embeds a negotiated commercial structure in statute, compels public agencies to facilitate it, protects commercial confidentiality for project participants, and provides a mixture of contractual and statutory remedies, including specific performance against the Crown.

The Act and the State Agreement identify and affect a circumscribed list of public and private actors; the legal and practical consequences for these actors are set out in the Act and the Schedule.

Direct parties and private participants

• The State (the Crown in right of Victoria) is a primary party, represented by the Minister (see Schedule 1 definitions and the preamble). The State is required to perform obligations set out in Schedule 1 and section 7(2) requires State instrumentalities to assist implementation.
• The State Electricity Commission of Victoria (SECV), defined in s 3 as “Commission”, is a party and a central operational counterparty. SECV’s roles are specified in Schedule 1 (for example, as coal supplier under the Coal Supply Agreement and as independent contractor under the Completion of Construction Agreement).
• The named private participants in Schedule 1 (Loy Yang B Power Station Pty Ltd, Victorian Power Station Investments Pty Ltd, and Mission Energy Australia Pty Ltd for and on behalf of Latrobe Power Partnership) are defined as “Participants” and are given rights and obligations under the State Agreement (Schedule 1 cl 1.1). The Schedule shows these participants will form an unincorporated joint venture to acquire, operate and maintain the Power Station.
• The Operator (the entity appointed under the Operating and Maintenance Agreement) is authorised to act as representative for certain purposes (Schedule 1 cl 1.3) and binds the Participants for those purposes.

Public authorities and statutory bodies

• Ministers, government instrumentalities and bodies created by or under an Act for a public purpose are required to “do all things necessary or expedient” to implement the State Agreement (s 7(2)). Municipal councils are named examples. This imposes an administrative expectation on these bodies.
• The Victorian Building Authority is affected by s 22, which allows it, by notice in the Government Gazette, to determine that a building on the Loy Yang land is unclassifiable or exempt from the Building Act 1993 and its regulations, subject to conditions. That power alters the VBA's usual regulatory role with respect to buildings on Loy Yang land.
• Planning authorities are affected by s 26, which excludes application of sections 30 and 38 of the Planning and Environment Act 1987 in relation to the specific Traralgon Planning Scheme Amendment L40. This narrows certain statutory planning review or approval pathways for that amendment.

Other affected parties

• Mortgagees, chargees, assignees and prospective financiers are affected by the assignment and security provisions in Schedule 1 cl 6, which make unauthorised assignments void (cl 6.1(b)), permit certain secured dealings only with Ministerial consent or subject to a deed of covenant binding the mortgagee/chargee to comply with clause 6, and allow certain mortgages in favour of Project counterparties (cl 6.3-6.5).
• Unions and employees: clause 2.2(b) makes performance of the Agreement conditional on the Participants or Operator entering an agreement with the unions whose members will be employed at the Power Station. This places labour relations outcomes as a condition precedent to full effect of the commercial package.
• Third parties and the public: section 10 narrows who can enforce the State Agreement to the State or parties (or successors/assigns). The public generally lacks standing to enforce the State Agreement directly. The FOI carve‑outs in s 34(1) limit public access to specified project documents.
• Commonwealth and Commonwealth agencies: while the Act anticipates representations to the Commonwealth (Schedule 1 cl 4.4), the Act’s pre‑eminence mechanism in s 8 is expressly limited to Victorian law. Any interaction with Commonwealth law remains subject to the constitutional division of powers; the Schedule contemplates State representations but does not alter Commonwealth law.

Who bears costs or restrictions

• Participants bear commercial obligations under the Project Agreements (see Schedule 1 definitions and clauses). They also bear the risk of assignment restrictions and the obligation to procure agreements with unions and financiers.
• Government bodies and councils may bear administrative cost and political cost of complying with section 7(2)’s requirement to act to give full effect to the Agreement, and bear the responsibility of making representations, issuing permits or granting Crown land interests in accordance with Schedule 1 clauses 4.1-4.4.
• Members of the public and journalists face reduced access to specified project documents by operation of section 34’s FOI carve‑outs.

In short, the Act principally affects the State, the SECV, the named private participants and their financiers, the operator, specified regulators (building and planning), and to a lesser extent unions and other government agencies involved in permits, land grants and procurement. The Act structures who can enforce the Agreement and who can access project documents, and imposes duties on public bodies to facilitate the project.

The Act and the State Agreement create a mixture of statutory duties, contractual rights and obligations, and procedural constraints. Below are the principal duties and rights as expressed in the Act and Schedule 1.

Statutory duties and public obligations

• Implementation duty: Section 7(2) requires the Government, Ministers, instrumentalities and bodies created by or under an Act for a public purpose (including municipal councils) to “do all things necessary or expedient” to carry out and give full effect to the State Agreement. This is a broad administrative duty placed on public entities.
• Non‑interference obligation: Section 7(3) imposes a statutory prohibition on any person from doing anything that interferes with the operation or implementation of the State Agreement or the ability of parties to exercise rights or discharge obligations under it.
• Crown bound: Section 4 states the Act binds the Crown in right of Victoria and, so far as legislative competence permits, the Crown in other capacities. This clarifies that the State accepts statutory obligations.

Rights, assurances and procurement assistance in the State Agreement (Schedule 1 clauses)

• Procurement assistance: Clause 4.1 requires the State, if requested by SECV, the Participants or the Operator, to make representations to relevant State agents, instrumentalities or councils for supply of goods or services needed for the Project and to “endeavour to procure” timely supply on terms no less favourable than generally applied at the time. The State has no obligation to subsidise.
• Grant of Crown land interests: Clause 4.2 obliges the State to grant or cause to be granted such interests in Crown land as the Minister determines necessary for the Project and not required by the State, on reasonable terms and conditions.
• Permit assistance: Clause 4.3 requires the State, where reasonable and consistent with generally applicable requirements, to promptly grant, reissue, renew or extend a State permit required for the Project when requested; and to make representations to Commonwealth or other agencies in relation to non‑State permits.
• Representations to Commonwealth: Clause 4.4 obliges the State to make representations to the Commonwealth where requested by SECV, Participants or the Operator, in relation to Commonwealth policies that adversely affect project construction, operation, legal rights or joint venture formation.
• Non‑discrimination: Clause 4.5 creates a covenant that the State will not take or permit actions that are materially discriminatory between the Power Station and other power stations in respect of income, assets, products, or electricity generation/disposal. Clause 4.6 lists specific types of State actions that this clause does not prevent, and clause 4.7 defines “power station” and “contract” for these purposes.
• Assignment and security constraints: Clause 6 restricts assignment and charging of rights under the Agreement absent Ministerial consent, makes unauthorised dealings void (cl 6.1(b)), permits certain security arrangements subject to deeds of covenant in a form reasonably required by the Minister, and sets mechanics for release of a Participant to the extent of assigned interests (cl 6.6).
• Conditions precedent: Clause 2 sets conditions for the Agreement’s operation, including execution of Project Agreements in form acceptable to the Minister (cl 2.2(a)), execution of agreements with unions (cl 2.2(b)), and confirmation that participants’ financial accommodation and equity will not be included in the State’s global limit allocations by the Australian Loan Council (cl 2.2(c)). The Minister may waive the Loan Council condition (cl 2.6).
• Termination rights: Clause 7 gives the State rights to terminate its obligations if a Participant goes into liquidation and fails to cure specified financial defaults (cl 7.1) or if the Power Supply Agreement is terminated or discharged (cl 7.2).
• Ministerial reasonableness obligation: Clause 12 requires the Minister and each party to act reasonably when making decisions or giving or withholding approvals and consents under the Agreement.
• Remedies and enforcement: Clause 13 confirms remedies in the Agreement are cumulative and not exclusive. Clause 15 submits disputes to the exclusive jurisdiction of Victorian courts. Section 10 of the Act restricts who may enforce the State Agreement to the State, another party or a successor/assign; section 11 confirms specific performance against the Crown is authorised.

Rights limiting public access

• FOI exemptions and confidentiality: Section 34(1) excludes specified classes of document from the Freedom of Information Act 1982, including financial models provided by participants (s 34(1)(a)), documents recording disposition by a participant of an interest in the project (s 34(1)(b)), penalty/compensation payments under a project agreement (s 34(1)(c)), option pricing determinations (s 34(1)(d)), and management reports about operation and financial performance prepared by or for a participant (s 34(1)(e)). Section 34(2) requires participants not to disclose commercially confidential information under the FOI Act except with agreement of all other participants. Section 34(3) provides that a participant’s decision not to disclose under s 34(2) is taken to be a decision that is subject to review under the FOI Act.

Limitations and procedural duties

• Variation and parliamentary oversight: Section 9 requires that any written variation of the State Agreement be laid before each House of Parliament within six sitting days (s 9(2)), and it allows either House to revoke the variation within that period (s 9(3)). This is a procedural check on variations.
• Enforcement standing: Section 10 limits enforcement standing, which affects the ability of third parties (including private litigants or public interest litigants) to seek to enforce the State Agreement.

These duties and rights create a framework where the State is contractually and statutorily obliged to assist project completion, regulators have constrained roles for specified tasks (permits, land grants, building classification), participants have protections and limits regarding assignment and confidentiality, and enforcement rests primarily with the State and the parties themselves.

The Act does not create a fresh penal code specific to Loy Yang B, and it contains no express criminal penalties attached to breaches of the State Agreement. Enforcement and remedial mechanisms under the Act and the State Agreement are primarily civil, contractual and equitable.

Enforcement standing and scope

• Section 10 confines enforcement of the State Agreement to the State itself, another party to the Agreement, or a successor or assign of another party. This restricts third‑party litigation and means the State and private parties are the principal enforcers of the Agreement’s terms.
• Section 11 declares that section 23(1) of the Crown Proceedings Act 1958 authorises the granting and enforcement of a decree of specific performance against the Crown in respect of the obligations of the State under the State Agreement. In practice this means that, where the State fails to perform a contractual obligation under the State Agreement, an aggrieved party (which has standing under s 10) may seek specific performance in Victorian courts and the Crown may be subject to that equitable remedy.

Prohibitions and implied remedies

• Section 7(3) states: “A person must not do anything that interferes with the operation or implementation of the State Agreement or the ability of the parties to the State Agreement to exercise rights, or discharge duties or obligations, under the State Agreement.” The Act does not attach an express penalty or specify a statutory fine for contravention. Enforcement against interference therefore rests on civil remedies available at law and equity, such as injunctions, declaratory relief, damages, and remedies authorised by the Agreement itself.
• The State Agreement (Schedule 1) includes termination rights (clause 7) that the State may exercise where a Participant becomes insolvent and fails to cure financial obligations, and allows the State to terminate if the Power Supply Agreement is terminated (clause 7.2). Those are contractual enforcement mechanisms against participants.

Contractual protective mechanisms

• Assignment provisions (Schedule 1 clause 6) make unauthorised assignments void (clause 6.1(b)), and require deeds of covenant from mortgagees, chargees or assignees in favour of the Minister to secure compliance (clauses 6.3-6.5). These clauses are self‑enforcing in that unauthorized dispositions are void and a mortgagee who exercises powers of enforcement is contractually bound by the deed covenant requirement.
• Clause 13 of Schedule 1 provides that rights, powers and remedies in the Agreement are cumulative, not exclusive. That preserves a right to pursue multiple remedies.
• Clause 12 obliges the Minister and parties to act reasonably when making approvals or consents, which provides an enforceable standard of administrative law behaviour if a party alleges unreasonableness.

FOI and confidentiality enforcement

• Section 34(2) makes a participant’s non‑disclosure of commercially confidential information under the FOI Act subject to review under that Act (s 34(3)). That places the decision within the FOI statutory review architecture rather than creating a private right of action for disclosure; enforcement of confidentiality obligations between participants is contractual and subject to the Agreement’s dispute and remedies provisions.

Judicial forum and service

• Schedule 1 clause 15 submits disputes to the exclusive jurisdiction of the courts of Victoria and courts of appeal from them, and addresses service of process. This channelises litigation into Victorian courts for both public and private enforcement claims by parties with standing.

Limits on public enforcement and oversight

• Because the Act limits enforcement standing (s 10) and excludes specified documents from FOI (s 34(1)), public interest litigation or FOI‑driven oversight is constrained with respect to the specific matters listed. Parliament retains a short oversight mechanism for variations of the State Agreement under section 9, but that is a parliamentary control rather than a judicial enforcement mechanism.

In practice, enforcement will be exercised through:

• contractual remedies available to parties under Project Agreements and the State Agreement (including termination, damages and release clauses);
• equitable relief in Victorian courts, including specific performance against the Crown pursuant to section 11;
• administrative law remedies where the Minister or other public officers fail to act reasonably under clause 12 (judicial review avenues remain available); and
• FOI review proceedings for refusals that are made under the structure in section 34, noting s 34(3) subjects participant decisions not to disclose to FOI review.

Overall, the Act structures enforcement around party rights, the State’s obligations, and equitable remedies rather than statutory fines or criminal sanctions.

The Act expressly and implicitly interacts with several Victorian statutes and with administrative processes. The Act and Schedule 1 create carve‑outs, modifications and procedural interactions with existing law; these are the principal interactions apparent in the text.

Victoria versus State Agreement

• Section 8 is the central interaction clause: if a provision of the State Agreement is inconsistent with a provision of the law of Victoria, the State Agreement prevails and the Victorian law is modified to the extent of the inconsistency. This creates a statutory hierarchy in favour of the State Agreement as applied to Victorian law. The clause does not purport to alter or displace Commonwealth law, and its language confines the modification to “the law of Victoria.”

Freedom of Information Act 1982

• Section 34 operates as an express interaction with the Freedom of Information Act 1982. It exempts certain classes of project documents from FOI (s 34(1)), deems participants to be “business, commercial or financial undertakings” for FOI purposes (s 34(4)(a)), and requires agencies to treat documents supplied by participants as subject to the obligations of s 34 of the FOI Act (s 34(4)(b)). Section 34(2) creates a participant confidentiality duty in relation to FOI disclosure; section 34(3) makes a participant’s decision not to disclose subject to review in accordance with the FOI Act. These provisions change how FOI applies to project materials and channel some decisions through the FOI review process.

Building Act 1993 and Building regulation

• Section 22 interacts with the Building Act 1993 by giving the Victorian Building Authority under that Act the power, by notice in the Government Gazette, to determine that a building on Loy Yang land is unclassifiable or exempt from specified provisions of the Building Act and its regulations, subject to conditions (s 22). This gives the VBA a tailoring power specific to Loy Yang land and modifies typical building classification and compliance pathways for that land area.

Planning and Environment Act 1987

• Section 26 disapplies sections 30 and 38 of the Planning and Environment Act 1987 “in relation to the Traralgon (Shire) Planning Scheme Amendment L40” as specified. The effect is to narrow the application of those particular Planning Act sections for that planning scheme amendment, altering the usual statutory planning procedures or review rights that would otherwise apply.

Crown Proceedings Act 1958

• Section 11 expressly cross‑references section 23(1) of the Crown Proceedings Act 1958 to declare that specific performance against the Crown in respect of State obligations under the State Agreement is authorised. This aligns equitable remedies under general Crown proceedings law with the enforcement architecture the Act contemplates.

State Electricity Commission Act and residual provisions

• The Schedule and the Act reference the State Electricity Commission Act 1958 and the Former SEC (Residual Provisions) Act 1958 in notes. Section 3A (inserted by later amendment) provides a construction rule about references to SECV after the commencement of section 8 of the State Electricity Commission Amendment Act 2024, tying interpretive references to the Commission as it existed immediately before that amendment, “unless the context otherwise requires” (s 3A).

Parliamentary oversight and legislation

• Section 9 requires copies of any variation of the State Agreement to be laid before each House of Parliament within six sitting days (s 9(2)), and allows either House to revoke the variation within that period (s 9(3)). This establishes a legislative check on contractual variations in the form of a short parliamentary oversight period.

Limitations and boundaries

• The Act’s supremacy clause applies only to Victorian law (s 8). It does not attempt to displace Commonwealth law. Clause 4.4 of Schedule 1 contemplates the State making representations to the Commonwealth where Commonwealth policies adversely affect the project, but does not change Commonwealth law or preclude Commonwealth regulatory action.

Practical interaction effects

• Where Project Agreements or Schedule terms conflict with Victorian statutory duties (for example, planning or environmental approvals), section 8 may modify Victorian law “to the extent of the inconsistency,” limiting the effect of inconsistent statutory provisions on the project. The Building Act exemption power (s 22) and the Planning Act carve‑out (s 26) are concrete examples where the Act alters the operation of other statutes in relation to Loy Yang B.

In sum, the Act leverages statutory priority and specific carve‑outs to align Victorian statutory architecture with the contractual commitments made in the State Agreement, while leaving Commonwealth law and the overarching Crown Proceedings framework intact.

The Act text includes an endnotes table that records the legislative amendments and the instruments that have modified the Loy Yang B Act since 1992. Those recorded amendments and notable insertions or substitutions are:

• Loy Yang B (Amendment) Act 1993 (No. 66/1993), assent 21 September 1993; commencement dates provided in the table of amendments. This Act inserted and amended provisions in the early life of the Loy Yang B Act and is recorded in the published consolidated version.

• Building Act 1993 amendments (No. 126/1993), assent 14 December 1993: section 22(b) was amended by s 264 (Schedule 5 item 14(b)), commencement 1 July 1994. The Building Act changes interact with s 22 of the Loy Yang B Act regarding the Victorian Building Authority’s power to classify or exempt buildings on Loy Yang land.

• Electricity Industry Act 1993 (No. 130/1993), assent 14 December 1993: section 121 amended provisions of the Loy Yang B Act on 14 December 1993.

• Trade Measurement (Administration) Act 1995 (No. 60/1995), Extractive Industries Development Act 1995 (No. 67/1995), and subsequent electricity and gas industry amendment Acts in the mid‑1990s (including Electricity Industry (Loy Yang B) Act 1997 No. 14/1997, Gas Industry (Amendment) Act 1997 No. 36/1997, and Electricity Industry (Further Miscellaneous Amendment) Act 1997 No. 55/1997) effected repeals and amendments to various sections of Part 3 and Part 5 as recorded in the text (many sections repealed by No. 55/1997 s 22(a) and related provisions).

• Corporations (Consequential Amendments) Act 2001 (No. 44/2001) substituted the definition of “subsidiary” in section 3 (Sch. item 76), with commencement 15 July 2001.

• Building (Amendment) Act 2001 (No. 68/2001) made further edits with a commencement of 1 July 2002 for the relevant item.

• Building and Planning Legislation Amendment (Governance and Other Matters) Act 2013 (No. 34/2013) included an amendment affecting the Loy Yang B Act (s 35, Sch. 2 item 6), with commencement 1 July 2013.

• State Electricity Commission Amendment Act 2024 (No. 11/2024), assent 26 March 2024, inserted section 3A and came into force for that provision on 1 July 2024 (s 97). Section 3A constructs references to the State Electricity Commission of Victoria in light of the commencement of section 8 of that amending Act and directs that references to SECV in this Act are to the Commission “in existence immediately before the commencement of that section,” unless context otherwise requires.

Notable structural repeal activity recorded in the endnotes:

• Several operative sections of Part 3 and Part 5 were repealed over time (for example, ss 12-21 and other sections were repealed by No. 55/1997 and other Acts as indicated in the text). The consolidated text supplied reflects these repeals and the retention of the core State Agreement in Schedule 1.

Practical effects of amendments

• The recorded amendments include changes to definitions, alterations to implementation provisions and repeals of particular sections (notably in 1997), and interpretive insertions relating to the identity of SECV following 2024 amendment. Where the consolidation records a substitution or insertion (for example s 3A or the substitution of the definition of “subsidiary”), those changes adjust interpretive and definitional points rather than the core mechanism that authorised and ratified the State Agreement.

Sources and verification

• The Act’s endnotes refer readers to the Victorian legislation website for bills, Acts and current versions; they list assent dates and commencement dates for the amending Acts affecting the Loy Yang B Act.

In short, the Act’s amendment history shows iterative statutory housekeeping and targeted amendments to definitions, the Building Act interaction and the Commission reference in 2024, and the repeal of several transitional or now‑spent provisions. The Schedule 1 State Agreement remains the central operative instrument ratified by the original Act and modified as provided for under the Act’s variation procedures.

The printed Act text supplied contains no reported case citations, judicial decisions, or litigation history concerning the Loy Yang B Act or the State Agreement. The Act itself references judicial mechanisms (for example, the Victorian courts as the forum for disputes in Schedule 1 clause 15, and specific performance against the Crown via section 11’s cross‑reference to the Crown Proceedings Act 1958 s 23(1)), but the consolidated legislative text does not list any legal proceedings, authorities, or examples of litigation.

What the text does provide:

• A clear submission to the Victorian courts for disputes under the State Agreement (Schedule 1 clause 15.1), which indicates the parties’ intended adjudicative forum.
• An express statement that specific performance may be ordered against the Crown in respect of State obligations under the State Agreement (s 11), which signals the legal availability of equitable relief but does not itself record a case applying that remedy.
• The Act’s section 9 variation and parliamentary oversight mechanism supplies a non‑judicial form of accountability for changes to the State Agreement; the Act does not provide a judicial record.

Absence of litigation references in the source

• The endnotes, explanatory details and schedule do not give any litigation examples, nor do they summarise cases. The Act text contains only cross‑references to the Crown Proceedings Act and to the State Electricity Commission Act and similar statutes; it does not cite judicial determinations.

Implication for research

• Anyone seeking an authoritative litigation history must consult external legal databases, court records and case law repositories beyond the text of the Loy Yang B Act itself. The consolidated Act as provided does not allow drawing conclusions about whether the Act or the State Agreement has been the subject of judicial interpretation, whether specific performance has been sought or granted in practice, or whether the FOI carve‑outs have been litigated.

In short, the supplied legislative text contains no litigation history. It prescribes judicial avenues and remedies but does not report any judicial engagement with those provisions.

The Act and Schedule 1 contain several features that can produce practical surprises for lawyers, compliance officers, financiers and regulators. The following are source‑grounded “gotchas” to watch for.

Statutory priority over Victorian law is not unlimited

• Section 8 provides that the State Agreement prevails over inconsistent Victorian law “to the extent of the inconsistency.” That is powerful within the ambit of Victorian law, but the provision does not displace Commonwealth law. Practitioners should not assume the State Agreement can override federal statutory obligations or the Commonwealth constitutionally‑protected regulatory regime.

Narrow enforcement standing

• Section 10 confines enforcement of the State Agreement to the State, another party to it, or a successor/assign. This prevents third parties from suing to enforce the terms directly, so public interest litigants, neighbours or NGOs lack statutory standing under the Act itself. Any third‑party concern about compliance must rely on other statutory regimes (for example, environmental or planning law unless those are modified) or seek to influence the State or a party to take action.

FOI exemptions are specific and not absolute

• Section 34(1) lists specific categories of documents that are not subject to the Freedom of Information Act 1982, such as financial models, disposition of interests, penalty/compensation payments, option pricing determinations, and management reports. However, section 34(3) makes a participant’s decision not to disclose under s 34(2) subject to FOI review; section 34(4) deems participants to be business undertakings for FOI purposes. Practitioners should thus treat FOI protection as modified rather than absolute. The participant confidentiality obligation in s 34(2) also requires unanimous agreement for disclosure “except with the agreement of all other participants,” which can make cooperative disclosure difficult.

Ministerial consent and assignment mechanics

• Schedule 1 clause 6 makes unauthorised assignments void (clause 6.1(b)) and requires deeds of covenant from mortgagees and assignees in forms the Minister reasonably requires (clause 6.5). Financiers must be able to accept those covenant terms; if a potential mortgagee is unwilling to covenant to be bound by clause 6, security may be difficult to provide. Practitioners should budget for negotiation of Ministerially required deeds and the administrative burden of obtaining Ministerial consent for assignment or mortgage arrangements.

Parliamentary oversight window for variations is short

• Section 9 requires that a copy of any variation be laid before each House of Parliament within six sitting days, and either House may revoke the variation within that period (s 9(2)-(3)). Parties must be attentive to the timing and parliamentary calendar: a variation can be subject to revocation by way of parliamentary resolution during that narrow window.

Conditions precedent tied to external financial architecture

• Schedule 1 clause 2.2(c) conditions the Agreement on confirmation to the Minister’s satisfaction that financial accommodation to be obtained by the Participants (in certain cases) will not be included in the State’s global limit allocations by the Australian Loan Council. That is an externally facing condition that may require coordination with loan council procedures and may be waived only by the Minister (clause 2.6). Because that condition can be waived by the Minister but is not automatically satisfied, finance arrangements must be structured with that constraint in mind.

Non‑discrimination clause complexity

• Clause 4.5 prohibits State actions that are “discriminatory to a material extent” between the Power Station and other power stations. But clause 4.6 lists exceptions (for example, sales, leases or disposals on terms different to contract terms, or supply on contract‑different terms). Clause 4.5(b) requires consideration of purpose and effect, and clause 4.5(c) provides an explicit acknowledgement that exercise of a contractual right under the Agreement does not contravene the non‑discrimination covenant. The practical assessment of what constitutes prohibited discrimination requires nuanced factual and legal analysis and may be a source of dispute.

Ministerial “reasonableness” constraint

• Clause 12 requires the Minister and each party to act reasonably in making decisions or giving approvals under the Agreement. The “reasonableness” standard can be judicially reviewed, exposing some Ministerial decisions to administrative law scrutiny despite the Agreement’s contractual nature.

Building and planning carve‑outs are narrow and specific

• Section 22 empowers the Victorian Building Authority to classify or exempt buildings on Loy Yang land under the Building Act 1993, but only by notice and subject to conditions. Section 26 disapplies ss 30 and 38 of the Planning and Environment Act 1987 only for the specified Traralgon planning scheme amendment L40. These are narrow exceptions and do not abolish broader building or planning controls.

No express statutory penalties for interference

• Section 7(3) proscribes interference but contains no express penalty provision. Enforcement therefore depends on civil remedies, injunctions and contractual enforcement, rather than a straightforward statutory offence with a specified fine.

Specific performance against the Crown is authorised, but procedural hurdles remain

• Section 11 declares that s 23(1) of the Crown Proceedings Act 1958 authorises specific performance against the Crown. That is a useful enforcement mechanism for parties with standing, but seeking specific performance against the Crown involves equitable discretion and the usual procedural prerequisites for such relief.

In short, the “gotchas” are procedural and institutional: limited enforcement standing, detailed assignment and covenant requirements, FOI nuances, a narrow parliamentary oversight window for variations, specific conditions precedent linked to loan council procedures, and a mix of statutory and contractual enforcement tools requiring active management.

Compliance with the Act and the State Agreement requires both procedural discipline and operational controls for public bodies, participants, financiers and advisers. The following tasks and checklists are grounded in the Act text and Schedule 1 clauses.

For Participants and the Operator

• Satisfy conditions precedent: Ensure all Project Agreements are executed in forms acceptable to the Minister (Schedule 1 cl 2.2(a)), secure labour agreements with relevant unions (cl 2.2(b)), and obtain either confirmation that financial accommodation will not be included in the State’s Australian Loan Council global limit allocations or secure a Ministerial waiver where appropriate (cl 2.2(c); cl 2.6). If deadlines are missed, note that any party may terminate after the relevant date by giving 30 days’ written notice (cl 2.4-2.5).
• Provide prompt documentary copies to the Minister: After executing any Project Agreement, promptly provide an accurate copy to the Minister (cl 3.1), and do the same for any variation, modification or replacement (cl 3.2).
• Respect assignment and security procedures: Obtain prior written Ministerial consent before assigning or charging rights under the Agreement unless a specific permitted exception applies (cl 6.1-6.2). If a mortgage or charge in favour of a financier is needed, procure that mortgagee or chargee executes a deed of covenant in a form reasonably required by the Minister (cl 6.3-6.5). Ensure documentation contemplates release of the assigning party to the extent of the interest assigned (cl 6.6).
• Maintain confidentiality in FOI context: Do not disclose commercially confidential information under the Freedom of Information Act 1982 except with the agreement of all other participants (s 34(2)). Treat decisions not to disclose as subject to FOI review (s 34(3)). Prepare a register of documents that fall within s 34(1) categories (financial models, dispositions, penalty/compensation payment records, option pricing determinations, management reports) and ensure secure handling and appropriate FOI response procedures.
• Operate with awareness of non‑discrimination protections: When negotiating with the State on procurement or access to services, be mindful of clause 4.5’s non‑discrimination covenant and the exceptions in clause 4.6. If an action by the State or a statutory body could be said to be discriminatory, prepare factual evidence showing the purpose and effect for the clause 4.5(b) assessment.

For the State, Ministers and instrumentalities

• Implement duties to assist: Where requested by SECV, Participants or the Operator, make representations and endeavour to procure timely supply of goods and services on terms no less favourable than generally available (Schedule 1 cl 4.1). Document those representations and decisions to show compliance with the “endeavour to procure” standard.
• Grant Crown land interests where necessary: Evaluate requests for Crown land interests against the test in cl 4.2 (necessary for the Project and not required or reasonably likely to be required by the State), and ensure terms and conditions are “reasonable in all the circumstances.” Maintain records of Ministerial determinations to justify grants.
• Process permits promptly: If a State permit is required and reasonable to do so and consistent with generally applicable permit requirements, consider prompt grant, reissue, renewal or extension (cl 4.3(a)). For Commonwealth or other agency permits, document representations made (cl 4.3(b)).
• Maintain records for parliamentary oversight: For any variation of the State Agreement under s 9 and Schedule 1 clause 9, ensure the Minister causes a copy of the variation to be laid before each House of Parliament within six sitting days (s 9(2)). Anticipate and manage the possibility of revocation within that period (s 9(3)) by communicating with parliamentary officers and preparing briefing materials.
• Observe reasonableness duties: In exercising approvals or consents under the Agreement, act reasonably (Schedule 1 cl 12). Ensure procedural fairness and record decision‑making steps to withstand possible judicial review or contractual challenge.

For financiers, mortgagees and assignees

• Expect deed of covenant requirements: Before agreeing to take security over rights under the Agreement, be prepared to enter into a deed of covenant binding the mortgagee/chargee to comply with clause 6 in a form the Minister reasonably requires (cl 6.3-6.5). Allow for negotiation time and legal due diligence on documentary form.
• Acquire Ministerial consent where required: If contemplating assignment or enforcement of rights under the Agreement, secure prior written Ministerial consent where the Agreement so requires (cl 6.2). An unauthorised assignment is void (cl 6.1(b)).

For regulators and local councils

• Track implementation requests: Record any requests made by SECV, Participants or the Operator under cl 4.1-4.3 and ensure prompt, reasoned responses. Maintain logs of representations and decisions, and ensure alignment with general statutory duties.
• Building and planning actions for Loy Yang land: The Victorian Building Authority may determine buildings on Loy Yang land are unclassifiable or exempt under the Building Act 1993 by Gazette notice (s 22). Ensure any such notices specify conditions and are issued correctly. For planning, note that ss 30 and 38 of the Planning and Environment Act 1987 do not apply to the Traralgon Planning Scheme Amendment L40 (s 26), so follow the specific statutory carveouts when processing that amendment.

Operational compliance and record keeping

• Document everything: Maintain comprehensive files of all Project Agreements, variations, notices to and from the Minister, Crown land grants, permit applications and outcomes, representations to Commonwealth agencies, and Ministerial consents. These records are critical for compliance, enforcement and any parliamentary or judicial review.
• Monitor parliamentary timelines: For any variation under s 9, ensure timely lodging for parliamentary consideration and prepare remediation and communication strategies in case either House seeks to revoke the variation.
• Plan for dispute resolution in Victoria: The Agreement submits disputes to the Victorian courts (Schedule 1 cl 15). Prepare dispute resolution strategies and legal budgets accordingly.
• Ensure employment agreements: Secure the required union agreements as part of the conditions precedent (cl 2.2(b)); failure to do so can permit termination under cl 2.4-2.5.

In summary, compliance requires a mix of contractual diligence, administrative record keeping, Ministerial engagement, and proactive management of FOI and assignment mechanics. Parties should assign responsibility internally for each of the procedural obligations (for example, a Ministerial liaison officer, a contracts manager to oversee Ministerial consents and deed covenants, an FOI coordinator to manage exempt materials, and a parliamentary liaison for variations).
