Local Government (Whittlesea City Council) Act 2020

The central concept is the Order in Council. Section 4 defines it as the first Order in Council made under section 6 and any further Order in Council made under that section. This Order is the legal instrument that appoints the administrator or panel, sets conditions of appointment, and takes effect on the date specified in the Order (section 8). The Order expires when the first council meeting after the 2024 election begins (section 10(3)). The Governor in Council (effectively the Governor acting on the advice of the Premier and Cabinet) makes the Order on the recommendation of the Minister. The Minister's recommendation is a precondition; the Act does not specify any criteria the Minister must consider.

Administrator (or panel of administrators) is the person or persons who replace the elected councillors. Section 7(a) states that the administrator or panel constitutes the council and must perform all its functions, powers and duties. Those acts are treated as if performed by the elected council. The same substitution applies to the role of councillor (section 7(b)) and mayor (section 7(c)). Where a panel is appointed, one administrator is designated Chairperson (section 6(b)) and performs the mayor's duties. The administrator is not a councillor but exercises all the powers of the council as a body. The Act makes the administrator subject to any conditions of appointment imposed by the Order in Council or by the Minister in fixing remuneration and allowances (section 7(e)). The administrator's office becomes vacant on bankruptcy, death, removal, resignation, conviction of an indictable offence, or incapacity (section 7(g)). The Minister's role in setting conditions and the Governor in Council's power to remove (implied from "removed" in section 7(g)(iii)) gives the executive substantial control over the administrator's tenure.

Construction is addressed in section 3: the Act "must be read and construed as if it was part of the Local Government Act 1989 and the Local Government Act 2020." This means that the provisions of those two general local government statutes apply to the Whittlesea City Council except where this Act expressly overrides them. The override is explicit for election timing (section 10(1) displaces section 31(1) of the 1989 Act and section 257(1) of the 2020 Act). It is also implicit in the dismissal itself, since the general law provisions about councillor tenure and removal are superseded by the Act's automatic dismissal.

The general election is fixed for the fourth Saturday in October 2024. Section 10(1) uses the mandatory phrase "is to be held". The Act does not provide for postponement, cancellation, or alteration of this date. The Chief Executive Officer's duty to summon a meeting within 14 days after the public declaration of the result (section 10(2)) ensures a transition back to elected governance. The expiry of the Order in Council is tied to the start of that meeting, not to the election date itself, so there is a short gap between election declaration and the resumption of elected control.

The most directly affected group is the elected councillors of the Whittlesea City Council as at 21 March 2020. Section 5(2) removes them from office immediately. They lose their positions, any statutory allowances or benefits attached to the office, and their ability to participate in council decisions. The Act does not provide for compensation, transitional payments, or a right of review. Their dismissal is final and does not depend on any finding of fault.

The administrator or panel of administrators appointed under section 6 become the decision-makers for the council. They are subject to conditions set by the Minister and the Order in Council. Their remuneration is fixed by the Minister, paid by the council (section 7(e)), and they are restricted from outside paid employment without the Minister's consent (section 7(f)(i)). The administrator bears the full range of statutory duties that previously fell on the councillors and mayor, including financial management, strategic planning, service delivery, and compliance with local government law. A panel of administrators shares these duties; the chairperson took the mayor's role (section 7(c)). Vacancies may be filled by the Governor in Council (section 6(c)), and temporary administrators may be appointed to cover absence or incapacity (section 6(d)).

The Whittlesea City Council as an organisation is affected structurally. The council continues in existence as a legal entity (section 5(3)), but its governing body is no longer elected. The council's staff, including the Chief Executive Officer, now report to the administrator rather than to a mayor and councillors. The CEO has a specific duty under section 10(2) to summon the first meeting after the 2024 election. The council must pay the administrator's remuneration and allowances (section 7(e)), which is a direct cost to the council's budget and ultimately to ratepayers.

Ratepayers and residents of the City of Whittlesea lose democratic representation for approximately four and a half years. They cannot vote for councillors during that period, and decisions on rates, local laws, planning permits, and services are made by an appointee of the Minister, not by locally elected representatives. The administrator is not accountable to residents through elections, only to the Minister. Residents may still participate in council processes (e.g., submissions on planning or budget), but the ultimate decision-maker is the administrator. The fixed election date of October 2024 gives residents a definite timeline for the restoration of democratic governance.

Other bodies are affected through section 9. Where any Act, regulation, rule, by-law, local law, instrument or document provides for the mayor or a councillor to be a member of, or represented on, a board, council, committee, commission or other body, that provision is read as if it provides for an administrator or someone appointed by the administrator to fill that role. This means that the administrator steps into the shoes of the councillors on external bodies such as regional boards, municipal associations, or joint committees. The administrator may delegate that representation to another person. This provision ensures continuity of external governance but removes the elected representative's voice.

The Act imposes several duties on the administrator. First, the administrator must perform all the functions, powers and duties of the Whittlesea City Council (section 7(a)). This is a comprehensive duty: the administrator steps fully into the role of the council as a body corporate. Second, the administrator must perform all the functions, powers and duties of a councillor (section 7(b)) and, where a panel is appointed, the chairperson must perform all the functions, powers and duties of the Mayor (section 7(c)). The administrator cannot pick and choose; all statutory duties under the Local Government Acts and other laws apply.

Third, the administrator is subject to a restriction on outside paid employment: section 7(f)(i) provides that an administrator "must not, without the Minister's consent, directly or indirectly engage in any paid employment outside the duties of the office of administrator." This is a strict prohibition. It applies to any paid work, not just work that conflicts with council duties. The administrator must obtain prior written consent from the Minister. Breach of this condition could lead to removal (section 7(g)(iii) refers to "removed", though the Act does not specify a procedure for removal on this ground). The restriction reflects the expectation that the administrator will devote full time and attention to the council.

Fourth, the administrator has a right to resign by written notice addressed to the Governor in Council (section 7(f)(ii)). Resignation takes effect when accepted or on a date specified? The Act does not specify a date, but presumably the Governor in Council may accept or refuse? The provision only states that the administrator "may resign", implying the resignation is effective upon notice, but the vacancy then arises (section 7(g)(iii)) and the Governor in Council may fill it (section 6(c)).

Fifth, the administrator has a right to remuneration and allowances as fixed by the Minister (section 7(e)). These are payable by the council. The Minister has discretion to set the level. The Act does not specify any minimum or maximum, nor any indexation. The administrator cannot negotiate directly with the council; the terms are imposed by the Minister.

The council (as an organisation) has a duty to pay the administrator's remuneration and allowances (section 7(e)). This is a financial obligation that the council must meet from its budget. The Chief Executive Officer has a duty under section 10(2) to summon a meeting within 14 days after the public declaration of the election result. This is a specific, one-time duty to facilitate the transition back to elected governance.

The dismissed councillors have no rights under this Act. They cease to hold office (section 5(2)). They are not entitled to any notice, hearing, or compensation. The Act does not provide for any appeal or review of the dismissal. Their rights to hold office are extinguished by the statute.

The Act itself creates no criminal offences, civil penalties, or infringement notices. There are no monetary penalties, no imprisonment provisions, and no regulatory enforcement mechanisms. The only consequence for non-compliance arises indirectly through the status provisions.

For an administrator, the most significant consequence is vacancy of office under section 7(g). The office becomes vacant if the administrator: becomes bankrupt; dies; is removed or resigns; is convicted of an indictable offence (or an offence that would be indictable in Victoria); or becomes incapable of performing the duties. Conviction of an indictable offence triggers automatic vacancy. The Act does not specify a procedure for removal; it simply states that removal is a ground for vacancy. Removal likely occurs by the Governor in Council on the Minister's recommendation, given the appointing power under section 6. The ground of "incapable of performing the duties" is vague and could encompass physical or mental incapacity, but it is not defined.

The restriction on outside paid employment in section 7(f)(i) does not have a stated penalty. However, engaging in outside employment without the Minister's consent would likely be treated as a breach of the conditions of appointment, giving the Minister grounds to recommend removal to the Governor in Council. The administrator could also be removed for breach of the statutory condition, even if no criminal offence is committed. This is an enforcement mechanism through removal rather than through a court process.

The council's obligation to pay remuneration (section 7(e)) is not subject to a penalty. If the council fails to pay, the administrator could potentially seek payment through civil proceedings, but the Act does not provide a specific enforcement mechanism. The Minister could also use the power to recommend removal of the administrator? No, that is not relevant. The council is a legal entity and can be sued for debt. But the Act does not address non-payment.

The Chief Executive Officer's duty to summon the post-election meeting (section 10(2)) is not backed by a penalty. Failure to summon the meeting could potentially be addressed through the general law of local government or employment law, but the Act itself is silent.

The dismissed councillors face no penalty; they simply lose office. They cannot be penalised for continuing to act as councillors because they cease to hold office. If they purported to act after dismissal, they could potentially face charges of impersonating a public officer or similar offences under general criminal law, but not under this Act.

The Act relies on the Minister and Governor in Council for enforcement. The Minister's recommendation is the trigger for appointment and likely for removal. The executive branch controls the administrator's tenure. There is no independent watchdog or tribunal role in this Act. The only external check is the fixed election date, which forces the restoration of elected governance. Ratepayers cannot directly enforce the Act; they must rely on the Minister's oversight.

Section 3 is explicit: "This Act must be read and construed as if it was part of the Local Government Act 1989 and the Local Government Act 2020." This means that the Act operates as an integral part of the two general local government statutes. It does not repeal or amend them except to the extent necessary to give effect to its provisions. The Local Government Acts continue to apply to the Whittlesea City Council, but with the modifications made by this Act.

The most prominent interaction is the override of election timing. Section 10(1) provides that despite section 31(1) of the 1989 Act and section 257(1) of the 2020 Act (which set general election dates), a general election for Whittlesea is to be held on the fourth Saturday in October 2024. This displaces the normal cycle for that specific council. The 2020 Act (the general one) would have required an election in October 2020; this Act postpones it by four years. The 2024 date is fixed and does not depend on any subsequent regulation or decision. It is a one-off legislative override.

The dismissal of the council (section 5) overrides any provisions in the Local Government Acts about removal of councillors. The general Acts contain processes for suspension or dismissal of councils (e.g., Part 4 of the Local Government Act 2020 provides for the appointment of a municipal monitor or administrator after certain findings). This Act bypasses those processes entirely. It does not require a commission of inquiry, a report from the Auditor-General, or any finding of serious failure. The Parliament itself dismisses the council directly.

Section 9 interacts with a wide range of other laws and documents. Where any Act, regulation, rule, by-law, local law, instrument or document provides for the mayor or a councillor to be a member of or represented on a board, council, committee, commission or other body, that provision is read as providing for an administrator or an appointee of the administrator. This is a deeming provision that automatically substitutes the administrator for councillors on external bodies without requiring amendments to each constituent document. It applies while the Order in Council is in force. This can affect state and federal bodies where a local government representative is required, as well as regional organisations and community boards.

The Interpretation of Legislation Act 1984 applies to the construction of this Act. The endnotes confirm that standard ILA provisions about headings, examples, notes, and punctuation apply. The Act itself does not contain any notes or examples. The endnotes are not part of the Act (section 36(3) of the ILA, as noted).

There is no interaction with criminal law, tort law, or contract law that is specifically addressed. The Act does not create any causes of action. Contracts entered into by the council before or after dismissal continue to bind the council, but the administrator now exercises the council's powers in relation to those contracts. The continuity of the council as a legal entity (section 5(3)) ensures that contractual obligations are unaffected by the change in governance.

The Act has no amendment history. The endnote "Table of Amendments" states: "There are no amendments made to the Local Government (Whittlesea City Council) Act 2020 by Acts and subordinate instruments." This is consistent with the Act's nature as a single-purpose, time-limited statute. It was enacted on 20 March 2020, came into operation on 21 March 2020, and has never been altered. The version in force (Version 001) is the original version. There are no amendments not yet in operation.

The absence of amendments is notable. It suggests that the Act achieved its intended purpose without need for legislative correction or refinement. The administrator regime operated under the original terms for the entire period until the 2024 election. No transitional issues arose that required legislative intervention. It also means that any potential ambiguities or gaps in the Act were either resolved by the Minister or administrator, or were tolerated by the affected parties.

The Act's short duration (approximately four and a half years) reduced the window for amendments. Moreover, the Act directly governs only the Whittlesea City Council; it does not create a precedent for other councils. Each dismissal of a council in Victoria has historically been done by a separate Act, and those Acts are typically not amended. The 2020 Act follows that pattern.

For practitioners, the lack of amendments means that the version as at 21 March 2020 is the only relevant version. There are no consolidation issues. However, the Act is now spent: the Order in Council expired when the post-election meeting started in 2024 (section 10(3)). The Act still exists on the statute book but has no ongoing effect. It may be repealed as a matter of legislative housekeeping, but it currently remains in force (though inoperative).

The Act's commencement date is 21 March 2020, the day after Royal Assent. The Royal Assent was on 20 March 2020, which was a Friday; the Act came into operation on Saturday 21 March. This rapid commencement suggests urgency. The second reading speeches (Legislative Assembly 17 March, Legislative Council 18 March) show that the Bill was passed in two days and assented to two days later. The Act was clearly intended to take effect immediately.

The Act's text records no litigation history. The endnotes do not mention any court cases. As a single-purpose, time-limited statute, the Act has not been subject to judicial interpretation. There are no reported decisions in Victoria that construe any of its provisions. This is unsurprising given the Act's narrow scope and the lack of any provision creating a right to challenge the dismissal or the administrator's actions.

Several factors make litigation unlikely. First, the dismissal of a council by an Act of Parliament is a legislative act, not an executive act. The principle of parliamentary sovereignty means that a court would not review the validity of the Act itself unless it conflicts with a higher law (e.g., the Constitution). The Act does not engage any Commonwealth constitutional issue, as it is a state law dealing with a state municipal council. No plaintiff could challenge the dismissal on the grounds of procedural unfairness because the Parliament is not subject to the rules of natural justice when enacting laws.

Second, the Act does not provide for any right of review or appeal. Section 5(1) is a simple statement: "The Whittlesea City Council is dismissed." There is no mechanism for the dismissed councillors to challenge their removal. The administrator's actions are, by section 7(a), treated as actions of the council itself. If a person were aggrieved by an administrator's decision (e.g., on a planning permit or rate increase), they would have the same rights of review as they would against a decision of an elected council. Those rights arise under the general law, not under this Act.

Third, the Act's short duration and specific application reduce the incentive to litigate. The dismissed councillors lost office but had no entitlement to return; the election in 2024 restored the democratic process. The administrator's term ended automatically. Any challenge would have had to be brought quickly and would have been moot once the Act expired.

Fourth, the savings clause in section 7(d) ("an administrator's appointment and anything done by an administrator is not invalid only by reason of a defect in relation to the appointment") would defeat any challenge based on technical defects in the appointment process. This clause is broad and covers any defect, whether procedural or jurisdictional. It insulates the administrator's actions from invalidity.

For these reasons, the Act has generated no litigation. The lack of case law means that its provisions have not been interpreted by a court. Any ambiguities remain unresolved. Practitioners must rely on the ordinary meaning of the text and the canons of construction, especially the obligation to read the Act as part of the Local Government Acts (section 3).

Appointment defect savings clause (section 7(d)). This provision states that an administrator's appointment and anything done by an administrator "is not invalid only by reason of a defect in relation to the appointment." The word "defect" is broad and could cover any failure to follow the appointment process set out in section 6, such as the Order in Council not being published in the Government Gazette, or the Minister not making a formal recommendation. The phrase "only by reason of" indicates that the defect alone does not invalidate; but if there are other grounds for invalidity (e.g., the administrator lacks a necessary qualification, or the Act itself is unconstitutional), that is not saved. However, given that the Act is a state law, constitutional challenges are near impossible. The practical effect is that any technical error in the appointment is immunised. Ratepayers or residents who might wish to argue that an administrator was not validly appointed cannot use that argument to set aside decisions.

Administrator's outside employment restriction (section 7(f)(i)). The prohibition on "directly or indirectly" engaging in paid employment without the Minister's consent is absolute. It applies even to employment that does not conflict with council duties. The administrator is effectively required to be full-time and must seek Ministerial consent for any paid work, including perhaps directorships, consulting, or teaching. The consent power rests solely with the Minister, with no criteria specified. An administrator could be denied consent for any reason, or for no reason. This creates a dependency on the Minister that may affect the administrator's independence. The term "indirectly" could also cover employment through a family trust or company, potentially catching legitimate passive investments. The provision does not define "paid employment", so honorary positions are likely not caught.

Vacancy for "becomes incapable of performing the duties" (section 7(g)(v)). This ground is vague. It does not require a medical certificate, a tribunal finding, or any formal assessment. The Governor in Council could determine incapacity without procedural safeguards. Combined with the appointment defect savings clause, a decision to remove an administrator on this ground would be difficult to challenge. The administrator has no statutory right to a hearing or to reasons. This concentration of power in the executive is a notable feature.

Fixed election date (section 10(1)). The Act mandates an election on the fourth Saturday in October 2024. It does not provide for any postponement, even for emergencies such as a natural disaster or a pandemic. The phrase "is to be held" is mandatory. If the election cannot be held on that day, there is no fallback date. The Act does not incorporate the ordinary provisions for postponement in the general Local Government Acts (e.g., due to war or emergency). A court would likely imply a power to postpone if compliance is impossible, but that would create uncertainty. The Chief Executive Officer's duty to summon a meeting within 14 days after the declaration of the result (section 10(2)) also has no flexibility.

No provision for compensation. The dismissed councillors receive no compensation for loss of office. The Act does not entitle them to a severance payment, superannuation continuation, or any transitional support. While this may be lawful under the principle that Parliament can abolish offices without compensation, it is a harsh outcome for individuals who were elected and may have given up other employment to serve.

Interaction with the two Local Government Acts (section 3). The Act must be read as part of both the 1989 Act and the 2020 Act. The 2020 Act replaced the 1989 Act, but the 1989 Act was still in force in part when this Act was passed. Section 3 requires the construction of this Act as if it were part of both, potentially creating interpretive conflicts. For example, section 10(1) overrides both section 31(1) of the 1989 Act and section 257(1) of the 2020 Act. But what about other provisions? The administrator's duties could be measured against standards in either Act. The better view is that the Act is to be read consistently with both, but where they conflict, the later in time (2020 Act) would prevail under general principles. However, section 3 is a deeming provision, not an amendment clause. It may cause confusion for readers unfamiliar with the transition.

Compliance with this Act is largely automatic for most parties. The dismissed councillors have no choice: they cease to hold office on commencement (section 5(2)). They must not hold themselves out as councillors after that date. They should return any council property (e.g., laptops, phones, keys) and cease to exercise any powers or duties. They have no further obligations under the Act.

The administrator (or panel) must comply with the conditions of appointment set out in the Order in Council and any conditions imposed by the Minister under section 7(e). The administrator must perform all functions, powers and duties of the council, councillors and mayor (section 7(a)-(c)). In practice, this means the administrator must take over the council's decision-making processes, attend to statutory obligations (e.g., setting the budget, adopting the annual report, making planning decisions), and manage the council's staff. The administrator should ensure that any actions taken are documented as decisions of the council, and should maintain the same records as the elected council would have done.

The administrator must comply with the restriction on outside paid employment in section 7(f)(i). If the administrator wishes to accept any paid work (including a directorship, consultancy, or part-time job), prior written consent from the Minister is required. The administrator should seek consent in writing, specifying the nature of the employment and how it would not interfere with council duties. The administrator should not engage in any paid work until consent is received. If consent is denied, the administrator must decline the employment.

The administrator must also comply with the conditions in the Order in Council, which may include reporting requirements, performance indicators, or restrictions on borrowing or contracts. The Act does not list these conditions; the administrator must read the specific Order in Council (which is published in the Government Gazette). The administrator should retain a copy and ensure all staff are aware of any limitations.

The council (through its staff, particularly the Chief Executive Officer) must pay the administrator's remuneration and allowances as fixed by the Minister (section 7(e)). This is a budgeted expense. The CEO should ensure that payment is made in accordance with the Minister's determination. If the administrator is a panel, each administrator must be paid according to their individual determination, and the chairperson may have additional allowances.

The Chief Executive Officer has a specific duty under section 10(2) to summon a meeting of the council within 14 days after the public declaration of the election result in October 2024. The CEO must ensure that the meeting is properly convened, with notice given to all newly elected councillors. The meeting must start the transition to elected governance. The CEO should coordinate with the returning officer to know the exact date of declaration.

The council staff generally must treat the administrator as they would the elected council. They should follow lawful directions and support the administrator in performing the council's functions. They should be aware that the administrator is the sole decision-maker; there is no role for councillors during the period the Order in Council is in force.

Ratepayers and residents do not have active compliance duties, but they should understand that their council is under appointed administration. They should direct any correspondence, complaints, or requests to the administrator. They should also be aware that they will have the opportunity to vote in the October 2024 general election. They cannot petition for the removal of the administrator; that is a matter for the Minister.

The Minister must make recommendations to the Governor in Council for the initial appointment and any subsequent appointments or removals. The Minister should keep records of all recommendations and consents to outside employment. The Minister should also monitor the administrator's performance to determine whether removal is warranted under section 7(g). The Minister's role is not defined in detail but is integral to the operation of the Act.
