Law Reform Commission Act 1972

The Act revolves around a small set of structural and functional concepts. These are: the Commission as a statutory agency (defined in s 3 and established by s 4); membership classification (full‑time versus part‑time, s 3 and s 4(1a)); statutory qualifications and composition requirements (s 6); tenure, reappointment and limits on consecutive service (s 7); removal and resignation processes (s 8); remuneration and employment relationship rules, including interactions with the Public Sector Management Act 1994 and superannuation arrangements (s 9); the Attorney General’s role in making references and setting priorities (s 11); the Commission’s investigatory and reporting functions (s 11(3)-(6)); administrative powers like meetings and delegation (s 12); binding application of whole statutes for financial administration and audit (s 13); staffing sourced under the Public Sector Management Act (s 14); and the financial architecture for funding and expenditure (s 15).

Several cross‑references shape how those concepts operate. The Commission’s staff are to be appointed under Part 3 of the Public Sector Management Act 1994 (s 14(1)), meaning that staffing and appointment practices are governed by that primary public sector statute. Similarly, remuneration and allowances for part‑time members who are caught by Part 3 of the Public Sector Management Act 1994 require prior written approval of the Public Sector Commissioner (s 9(2)). Financial administration, audit and reporting obligations that apply to statutory authorities under the Financial Management Act 2006 and Auditor General Act 2006 are made to apply to the Commission (s 13), and the Commission’s funds are to be credited to an agency special purpose account established under s 16 of the Financial Management Act 2006 (s 15(2)). The Act also preserves certain employment and superannuation rights for full‑time members who previously occupied public service offices (s 9(5)-(6)), and refers to older superannuation legislation in the notes (Superannuation and Family Benefits Act 1938) to explain transitional arrangements.

Functionally, the Commission’s main procedural duty is to prepare and submit proposals for law review to the Attorney General (s 11(1)), and to act on references made by the Attorney General (s 11(2)-(3)). Its investigatory scope includes discretion to hold inquiries and to obtain comparative information from other jurisdictions (s 11(6)). The Commission must present its proposals and reports to Parliament via the Attorney General (s 11(7)). Important governance constraints are the Attorney General’s control over the Commission’s work programme via references and priority approval (s 11(2), (5)), the Governor’s appointment and removal powers (ss 4, 8), and the Attorney General’s power to appoint acting members (s 10).

The Act therefore combines a technically independent body for law reform with a clear channel of executive control over what the Commission will examine and when. Financial oversight by the state’s financial and audit framework is explicit, and employment links to the public service are preserved for certain members. These structural choices determine the Commission’s operational boundaries and its interactions with executive, parliamentary and administrative institutions.

The Act directly affects a defined set of actors and indirectly affects several other groups.

Directly affected actors:

• Members of the Commission: both full‑time and part‑time members. Their appointment, qualifications, terms and reappointment limits are specified in ss 4-7 and s 9. Part‑time members have prescribed qualifications (s 6(1) sets out three specific part‑time roles) and a cap on consecutive service (s 7(3)(a)). Full‑time members have separate tenure rules and reappointment caps (s 7(2) and (3)(b)).
• The Attorney General: empowered to receive proposals (s 11(1)), to refer matters to the Commission (s 11(2)), and to determine priority of references (s 11(5)), and to whom the Commission must submit its work and reports (s 11(7)). The Attorney General also has the power to appoint acting members under s 10.
• The Governor: responsible for formal appointments and removals of members (s 4, s 8).
• The Public Sector Commissioner: has an approval role over remuneration determined for part‑time members who are subject to Part 3 of the Public Sector Management Act 1994 (s 9(2)).
• State Solicitor’s Office: one of the statutory part‑time member slots is to be filled by a legal practitioner who is an officer of the State Solicitor’s Office (s 6(1)(c)), so the Office is structurally implicated.
• The Minister and the public service: the Minister has procurement/contracting power to engage contractors at the Commission’s request (s 14(2)). Staff are appointed under the Public Sector Management Act (s 14(1)), linking the Commission to public service employment processes.
• Parliament and its Audit machinery: the Commission’s proposals and reports are to be presented to each House of Parliament via the Attorney General (s 11(7)), and the Commission is subject to the Financial Management Act 2006 and Auditor General Act 2006 (s 13).

Indirectly affected actors:

• Legal profession, universities, and academic community: s 6(1)(b) requires one part‑time member to be engaged in teaching law at a university, which creates a role for tertiary institutions in nominations or potential appointments.
• Taxpayers and Parliament: funding is through parliamentary appropriation (s 15(1)(a)), so budget decisions by the executive and Parliament affect the Commission’s capacity.
• Third parties who might make proposals to the Commission: the Commission is permitted to consider proposals for law reform made by any person (s 11(1)), so individuals, interest groups, business associations and practitioners who want law reform examined are potential users of the process.
• Other jurisdictions and agencies: the Commission may obtain information about the law and administration of justice in other countries as it thinks fit (s 11(6)), and may enter into arrangements with Commonwealth or State departments, universities, or other bodies (s 14(2)(a)-(c)). Those entities are therefore potential contractors or collaborators.

Who pays: the public purse via parliamentary appropriation (s 15(1)(a)), supplemented by any other moneys made available (s 15(1)(b)), and held in a specified agency special purpose account (s 15(2)). Who decides: appointments and removals are by Governor (ss 4, 8), the Attorney General decides references and priority (s 11(2), (5)), the Commission elects its Chairman annually from its members (s 5), and the Minister contracts services on request (s 14(2)).

Behavioural effects: the Commission will generally act only when appropriately resourced and when the Attorney General makes a reference or accepts a proposal (s 11). Members may remain in other positions subject to compatibility with Part 3 rules (s 9(4)). Full‑time members who leave the Commission retain rights to return to public service posts of no lower status (s 9(5)), reducing disincentives to accept appointment as a full‑time member.

The Act establishes specific duties incumbent on the Commission, and rights and entitlements for members and related officers. These are primarily statutory obligations to investigate, report, and to operate within public sector financial and staffing rules.

Duties of the Commission:

• Prepare and submit proposals for law review to the Attorney General from time to time (s 11(1)). The Commission may accept proposals from any person for reform and use them as the basis for its own proposals (s 11(1)).
• On reference by the Attorney General, the Commission must critically examine the law in respect of the referenced matter and report to the Attorney General on its findings and any reform recommendations (s 11(2)-(3)).
• Examine whether the law is obsolete, anomalous, incomplete, or ought to be simplified, consolidated, codified, repealed or revised, and whether administrative methods should be developed (s 11(4)).
• Deal with references according to the order of priority, if any, approved by the Attorney General (s 11(5)).
• Hold and conduct inquiries and otherwise inform itself in any manner it thinks fit, including obtaining comparative law information from other countries (s 11(6)).
• The Attorney General must cause the Commission’s proposals and reports to be presented to each House of Parliament as soon as practicable after submission (s 11(7)); operationally this imposes a reporting duty on the Commission to prepare documents suitable for parliamentary presentation.

Rights and entitlements of members:

• Election of the Chairman from among members, for a term not exceeding one year; the outgoing Chairman may be re‑elected (s 5(1)-(3)). If the Chairman is absent, the Commission elects another member to act temporarily as Chairman (s 5(4)).
• Members receive remuneration and allowances determined by the Governor (s 9(1)). There is a specific constraint that the Governor must obtain prior written approval from the Public Sector Commissioner before determining remuneration for a part‑time member who is subject to Part 3 of the Public Sector Management Act 1994 (s 9(2)).
• Members’ terms of office are defined (part‑time up to 3 years, full‑time up to 5 years) and they are eligible for reappointment subject to cumulative limits on consecutive service (s 7(1)-(3)).
• A member whose appointment criteria cease, vacates office by operation of s 8(1); members may resign by written notice to the Attorney General (s 8(2)).
• For full‑time members who immediately prior to appointment held an office under Part 3 of the Public Sector Management Act 1994, s 9(5) secures a right upon resignation or expiry of term to be appointed back to an office not lower in status than the one they held prior to appointment. It also preserves existing and accruing superannuation rights under the Superannuation and Family Benefits Act 1938 as if service as a full‑time member were service as a public service officer (s 9(5)(b)). For full‑time members to whom s 9(5) does not apply, the Commission is deemed to be a department and the member an employee for the purposes of the Superannuation and Family Benefits Act 1938, but they are not compelled to be contributors (s 9(6)).

Administrative powers and obligations:

• The Commission must meet as the Chairman directs, keep minutes of proceedings and may regulate its own proceedings (s 12(1)-(2)).
• The Commission may delegate most powers to any member except the power of delegation itself; delegations are revocable (s 12(3)-(4)).
• The Attorney General may appoint acting members on terms and conditions he thinks fit, but acting appointees must have the like qualification as the absent member (s 10(1)-(2)).

Financial and staffing rights and obligations:

• The Commission’s financial administration and audit are subject to the Financial Management Act 2006 and the Auditor General Act 2006 (s 13).
• Staff appointments are to be made under Part 3 of the Public Sector Management Act 1994 and the Commission may request the Minister engage contractors and enter arrangements with other public bodies or tertiary institutions (s 14).

In short, the Act creates a statutory duty to conduct law reform work largely on referral from the Attorney General, a right to be remunerated and to rely on public sector staffing and superannuation arrangements, and administrative powers to run inquiries and manage staff. The Attorney General’s control over referrals and priority-setting (s 11(2) and (5)) is a central operational constraint on the Commission’s activities.

The Act does not create express criminal offences or pecuniary sanctions. Enforcement and compliance mechanisms are administrative and investigatory rather than penal. Key enforcement and oversight features are as follows.

Removal and discipline:

• Removal power: the Governor may remove a member if the member becomes incapable of performing duties, is guilty of misconduct, is convicted of an indictable offence, or fails to comply with the conditions of appointment (s 8(3)(a)-(d)). The Act does not prescribe a detailed procedure for removal beyond the Governor’s power; it does however provide that loss of the qualifying condition automatically vacates office (s 8(1)). Resignation is effected by written notice to the Attorney General (s 8(2)).
• Qualification cessation: s 8(1) operates as an automatic removal trigger if a member ceases to have the qualifications under which they were appointed, providing an internally enforceable disqualification mechanism.

Financial and audit oversight:

• The Financial Management Act 2006 and the Auditor General Act 2006 apply to the Commission (s 13). Those statutes provide statutory regimes for financial administration, internal controls, reporting and audit applicable to statutory authorities; the Act makes those regimes applicable rather than creating bespoke financial penalties. Enforcement under those statutes can include audit findings, recommendations and parliamentary scrutiny. The specific enforcement powers and sanctions, such as directions, Ministerial oversight or compulsory reporting, are contained in the Financial Management Act and Auditor General Act themselves and are applied to the Commission by operation of s 13.
• Funds held in an agency special purpose account under the Financial Management Act 2006 (s 15(2)) means that expenditure must comply with FMA rules; misuse or irregularity would therefore be subject to whatever remedies and reporting mechanisms the FMA and the Auditor General Act prescribe.

Parliamentary disclosure and scrutiny:

• The Attorney General is required to present the Commission’s proposals and reports to each House of Parliament as soon as practicable after submission (s 11(7)). This creates a transparency channel to Parliament, enabling parliamentary oversight, debate and potential referral for action. Presentation to Parliament does not itself create an enforcement mechanism, but it subjects the Commission’s recommendations to public and parliamentary scrutiny.

Administrative controls:

• The Governor and Attorney General exercise appointment, priority and acting appointment powers (ss 4, 8, 10, 11(5)). These powers are enforcement levers in organisational terms: removal, non‑reappointment or control over references can limit or discipline the Commission’s activity.
• The Public Sector Commissioner has an approval role for setting remuneration for certain part‑time members (s 9(2)). This is a procedural control affecting member remuneration and therefore a compliance point for the executive.

Practical observation: because the Act does not create offences or monetary fines specifically tied to Commission conduct, enforcement will principally operate through administrative measures: removal of members, audit reports and parliamentary scrutiny. Any penalties or sanctions for financial mismanagement would arise under the Financial Management Act 2006 or Auditor General Act 2006 as applied by s 13, not under the Law Reform Commission Act itself.

The Act embeds a number of interconnections with other Western Australian statutes and, through its functional design, with parliamentary and executive processes.

Principal statutory interactions:

• Financial Management Act 2006 and Auditor General Act 2006 (s 13): The Act expressly applies the provisions of these Acts that regulate financial administration, audit and reporting of statutory authorities to the Commission. Practically, this means the Commission must align its budgeting, internal controls, financial reporting and audit processes with the FMA and the Auditor General Act. The Commission’s funds are credited to an agency special purpose account established under s 16 of the FMA (s 15(2)) and all expenditure is charged to that account (s 15(3)). The FMA and Auditor General Act will therefore determine requirements for appropriation, asset management, procurement and audit responses.
• Public Sector Management Act 1994 (s 9(2), s 14(1), s 9(4)-(5)): Staff for the Commission are appointed under Part 3 of the Public Sector Management Act 1994 (s 14(1)). The Act also carves out treatment for members who are public service officers: acceptance or acting in the office of member does not of itself render Part 3 applicable (s 9(4)(a)), although existing application of Part 3 to a part‑time member is preserved (s 9(4)(b)). Remuneration for a part‑time member who is subject to Part 3 cannot be determined by the Governor without the prior written approval of the Public Sector Commissioner (s 9(2)). For full‑time members who previously occupied an office under Part 3 immediately prior to appointment, s 9(5) secures reappointment rights and continuance of superannuation entitlements under older legislation.
• Superannuation and Family Benefits Act 1938 and transitional provisions (s 9(5)-(6) and notes): The Act preserves certain superannuation rights under that older Act for full‑time members who were public service officers immediately prior to appointment (s 9(5)(b)). The notes explain that the Superannuation and Family Benefits Act 1938 was repealed by the State Superannuation Act 2000 and that transitional provisions continue to apply to certain schemes. The Act therefore ties member entitlements to the historical superannuation regime through transitional arrangements.
• Legal Profession Act 2008 (compilation table): The compilation table records amendments made by the Legal Profession Act 2008 (s 672), and later by the Legal Profession Uniform Law Application Act 2022. These amendments relate to qualifications and perhaps administrative detail; precise amendments are annotated next to the relevant sections in the Act’s text (for example, s 6 was amended multiple times as noted).
• Other amendment Acts: The compilation table lists numerous amendment Acts that have altered the operation of this Act over time, such as the Acts Amendment (Financial Administration and Audit) Act 1985, Acts Amendment and Repeal (Courts and Legal Practice) Act 2003, and Public Sector Reform Act 2010. Those Acts changed parts of the governance and personnel arrangements and reflect the Act’s ongoing interaction with broader public administration law.

Functional interactions with executive and parliamentary processes:

• Attorney General referrals and parliamentary presentation: The Attorney General decides which matters are to be referred to the Commission (s 11(2)), and the Commission’s output is channelled to Parliament via the Attorney General (s 11(7)). That creates an operational dependency and aligns the Commission’s work programme with executive priorities and parliamentary processes.
• Ministerial contracting: Section 14(2) authorises the Minister, on the Commission’s request, to engage contractors and to enter into arrangements with other government bodies and tertiary institutions. That creates procurement and contracting interactions with procurement law and policy that govern Ministerial engagement of external providers.

Consequences of these interactions:

• Financial compliance: the Commission must adhere to FMA rules on appropriation, expenditure, reporting and audit. Non‑compliance would be addressed under the FMA or Auditor General Act frameworks.
• Staffing and remuneration control: appointment of staff and remuneration of particular categories of members are bounded by the Public Sector Management Act 1994 and oversight by the Public Sector Commissioner, constraining executive flexibility and introducing bureaucratic procedures.
• Executive agenda control: by making the reference process and priority approval the Attorney General’s power, the Act ties the Commission’s activity into existing mechanisms of executive control. The Commission’s statutory independence is thus functionally constrained by these reference and priority provisions (s 11(2) and (5)).

In short, the Act is not a stand‑alone statute; it integrates the Commission into the financial, staffing and executive frameworks that regulate Western Australian statutory authorities, with specific cross‑statutory linkages set out in ss 9, 13, 14 and 15, and with an amendment history connected to several other statutes as recorded in the compilation table.

The Act records a sequence of legislative amendments and reprints, which reflect adjustments to membership qualifications, administrative arrangements, and financial governance. The compilation table in the Act sets out the chronological amendments and commencement dates. Key items from the table and the text are:

• Original enactment: Law Reform Commission Act 1972 (No. 59 of 1972), assented 31 October 1972, commenced 19 January 1973 (see s 2 and Gazette reference). The Act’s initial purpose and machinery date from that instrument.
• Law Reform Commission Act Amendment Act 1976 (No. 50 of 1976), assented 10 September 1976, commenced 10 September 1976. The table records the 1976 amendment but does not specify which sections were altered in the compilation table; the Act’s text includes notes at specific sections indicating later amendments.
• Law Reform Commission Act Amendment Act 1978 (No. 91 of 1978): amended multiple sections including s 3 and s 4 (referenced in the marginal notes in the text: “Section 3 amended: No. 91 of 1978 s. 3”, “Section 4 amended: No. 91 of 1978 s. 4”). Commenced 1 October 1979 per the compilation table.
• Acts Amendment (Financial Administration and Audit) Act 1985 (No. 98 of 1985): inserted s 13 to bring the Commission within the financial administration and audit regime (see s 13 inserted note), commenced 1 July 1986.
• Acts Amendment (Ministry of Justice) Act 1993 (Pt. 13): the table records amendment by No. 31 of 1993, with effect from 1 July 1993. The footnote indicates Pt. 19 is a savings and transitional provision no longer of effect.
• Acts Amendment (Public Sector Management) Act 1994 (s 19): affected the Commission’s staff and interaction with the Public Sector Management Act 1994, with commencement 1 October 1994.
• Financial Legislation Amendment Act 1996 (s 64): effected on 25 October 1996.
• Equal Opportunity Amendment Act (No. 3) 1997 (s 8): commenced 6 January 1998; the Act’s notes record this amendment though the precise internal effect is reflected by marginal notes at the amended sections.
• Reprint as at 26 October 2001: consolidates amendments up to that date.
• Acts Amendment and Repeal (Courts and Legal Practice) Act 2003 (ss 45 and 94): assented 4 December 2003, commenced 1 January 2004. The marginal notes show s 6 was amended in 2003 (see “Section 6 inserted: No. 91 of 1978 s. 6; amended: ... No. 65 of 2003 s. 45 and 94 ...”).
• Financial Legislation Amendment and Repeal Act 2006 (Sch. 1 cl. 95): inserted and amended references to the Financial Management Act 2006 and Auditor General Act 2006 (s 13 inserted note and s 15 amended note), commenced 1 February 2007.
• Legal Profession Act 2008 (s 672): recorded in the compilation table and the marginal notes as amending s 6; commencement occurred 1 March 2009 for relevant provisions.
• Public Sector Reform Act 2010 (s 89): impacted s 9 and related public sector provisions; commenced 1 December 2010.
• Reprint 2: consolidated to 7 September 2012.
• Legal Profession Uniform Law Application Act 2022 (Pt. 17 Div. 12): No. 9 of 2022 amending the Act, commenced 1 July 2022 as per compilation table.

The marginal amendment notes adjacent to sections in the text identify section‑level amendment sources. For example:

• Section 3: “Section 3 amended: No. 91 of 1978 s. 3.”
• Section 4: “Section 4 amended: No. 91 of 1978 s. 4.”
• Section 6: annotated as inserted in 1978 and amended in 1993, 2003, 2008 and 2022 (“Section 6 inserted: No. 91 of 1978 s. 6; amended: No. 31 of 1993 s. 51; No. 65 of 2003 s. 45 and 94; No. 21 of 2008 s. 672; No. 9 of 2022 s. 369.”)
• Section 9: notes indicate amendments in 1978, 1994, 1997 and 2010 (“Section 9 amended: No. 91 of 1978 s. 8; No. 32 of 1994 s. 19; No. 42 of 1997 s. 8; No. 39 of 2010 s. 89.”)
• Sections 13 and 15: both indicate insertion/amendment by No. 98 of 1985 and later amendment by No. 77 of 2006 Sch. 1 cl. 95.

The compilation table also records commencement dates for amendments, which is relevant when assessing historical operation and any transitional arrangements. The Act’s own notes draw attention to a number of consequential and transitional pieces of legislation, such as the State Superannuation Act 2000 and the State Superannuation (Transitional and Consequential Provisions) Act 2000, which affect superannuation treatment in s 9(5) notes.

The amendment record is therefore substantial and illustrates that the Act has been adapted multiple times to align governance, financial and professional qualification arrangements with evolving public administration frameworks. The Act itself preserves historical links (for example, to the Superannuation and Family Benefits Act 1938 in the notes), but the compilation table should be consulted to confirm the timing and source of particular changes when preparing historical or transitional analyses.

The Act’s text and its notes do not record any litigation history. The statutory compilation, marginal amendment notes and the uncommenced provisions table focus on legislative amendments and commencement dates; there are no case citations, reported judicial decisions or legal challenges mentioned in the Act or its explanatory compilation materials provided.

Because the Act establishes the Law Reform Commission and regulates appointments, procedures and organisational matters rather than creating private rights or civil offences that are commonly litigated, litigation directly about the Act’s substantive normative content is not recorded in the legislation. The Act does include mechanisms , removal by the Governor (s 8), Attorney General referrals and priority setting (s 11), and application of financial and audit statutes (s 13) , which could, in theory, generate legal disputes (for example, about procedural fairness in removal or about the proper application of FMA obligations). However, no such cases are cited in the material provided.

For users requiring a comprehensive litigation history, the Act itself does not supply case law references. Practitioners should therefore consult case law databases and West Australian judicial records if they need to identify any judicial interpretation or disputes involving the Act’s provisions, such as challenges to appointment or removal decisions, disputes about whether the Commission complied with procedural obligations, or litigation arising from the Commission’s reports. The absence of cases in the Act’s text means that any litigation history must be assembled from external legal research sources rather than from this statute compilation.

The Act contains several provisions and cross‑statutory linkages that raise implementation risks, compliance traps and interpretative ambiguities that practitioners, administrators and prospective members should note.

1. Attorney General control of the work programme (s 11(2), (5))

• The Commission may prepare proposals of its own (s 11(1)), but inquiries on specific matters proceed only on reference by the Attorney General (s 11(2)). The Attorney General also approves the order of priority for dealing with references (s 11(5)). Practical consequence: the Commission’s formal ability to act is heavily contingent on executive referral and priority approval. This is a governing constraint rather than a procedural technicality.

2. Membership composition and mandatory slots (s 6(1))

• The Act mandates specific profiles for the three part‑time members: (a) a legal practitioner of at least 8 years’ standing; (b) a university law teacher with status not less than senior lecturer; and (c) a legal practitioner who is an officer of the State Solicitor’s Office with at least 8 years’ standing (s 6(1)). Consequence: the Governor’s pool of eligible candidates for part‑time positions is structurally constrained; vacancies in those specific categories may require careful recruitment planning.

3. Automatic vacancy on loss of qualification (s 8(1))

• If a member ceases to have the qualifications under which they were appointed, their office becomes vacant (s 8(1)). Ambiguity: the Act does not define the process for determining that cessation or provide a remedial notice period. Example: if a part‑time member temporarily takes on a role that disqualifies them, their office may be vacated automatically unless the Governor uses removal powers more flexibly.

4. Governor’s and Attorney General’s broad discretions (ss 4, 8, 10, 11)

• The Governor appoints and removes members (ss 4, 8), and the Attorney General may appoint acting members on terms the Attorney General thinks fit (s 10(1)). The statutory language confers wide executive discretion with limited procedural constraints specified in the Act. Practical effect: appointments, acting appointments and removals could be politically or administratively sensitive and may give rise to disputes absent clear internal policies.

5. Remuneration approval requirement for some part‑time members (s 9(2))

• The Governor cannot determine remuneration and allowances for a part‑time member who is subject to Part 3 of the Public Sector Management Act 1994 without the Public Sector Commissioner’s prior written approval (s 9(2)). This creates an additional procedural step and potential delay when appointing or varying remuneration for members with concurrent public service status.

6. Reappointment caps and “special circumstances” carve‑out (s 7(3))

• Part‑time members are capped at 6 consecutive years and full‑time members at 8 consecutive years unless the Governor considers there are “special circumstances” (s 7(3)). The Act does not define “special circumstances”, leaving scope for executive discretion and potential uncertainty for planning succession and retention.

7. Interaction with Public Sector employment and superannuation (s 9(4)-(6))

• Acceptance or acting in the office of member does not automatically make Part 3 of the Public Sector Management Act applicable (s 9(4)(a)), but s 9(5) protects certain re‑entry and superannuation rights for full‑time members who previously held public service offices. Practically, this requires careful HR handling to preserve entitlements for returning public servants and to ensure superannuation compliance given transitional arrangements noted in the Act.

8. Financial and audit obligations (s 13, s 15)

• Application of the Financial Management Act 2006 and Auditor General Act 2006 imposes detailed financial reporting, audit, and internal control obligations on the Commission (s 13). The Commission’s funds are to be placed in a special purpose account under the FMA (s 15(2)). Administrative risk: failure to comply with FMA requirements can trigger audit findings, remedial directions and reputational consequences.

9. Delegation mechanics (s 12(3))

• The Commission may delegate powers to any member except the power of delegation itself (s 12(3)), and delegations are revocable (s 12(4)). Operationally, decision‑making can be dispersed, but the Act does not specify limits on which functions may be delegated (other than the power of delegation). This can complicate audit trails and accountability unless the Commission formalises delegation registers and limits.

10. Funding dependence and appropriation timing (s 15(1)(a))

• The Commission’s funds are primarily appropriated by Parliament (s 15(1)(a)). This subjects the Commission to normal public budgeting cycles and the risk of funding constraints. The Act does permit other moneys to be made available (s 15(1)(b)), but those sources are not elaborated, so reliance on appropriation remains primary.

11. Acting members must have “like qualification” (s 10(2))

• The Attorney General may appoint an acting member only if the person has the like qualification as the absent member (s 10(2)). This can limit rapid fill‑in options where the absent member has a very specific qualification, for example the State Solicitor’s Office slot.

12. No statutory right to initiate conduct beyond proposals and references (s 11)

• While the Commission may prepare proposals and consider public submissions (s 11(1)), its primary investigatory mandate as created by the statute is activated by references from the Attorney General (s 11(2)). The Commission’s ability to act autonomously may therefore be constrained in practice.

These “gotchas” are not legal defects but practical points where administrative design, discretion and cross‑statutory processes can create friction, delay or uncertainty. Effective implementation requires internal protocols for recruitment, delegation, financial compliance, and coordination with the Attorney General’s office and the Public Sector Commissioner.

This section provides practical, source‑grounded steps and checklists for adherence to the Act’s statutory requirements and the cross‑statutory obligations it imports. The emphasis is on operational compliance for administrators, prospective members, the Attorney General’s office, and those responsible for financial and HR controls.

1. Appointment, qualification and instrument drafting

• Ensure instruments of appointment state the term of office explicitly and do not exceed statutory maxima: part‑time up to 3 years (s 7(1)), full‑time up to 5 years (s 7(2)). Record in the instrument whether the member is part‑time or full‑time as required by s 4(1a).
• Verify qualifications before appointment: for part‑time members, confirm the specific statutory profiles in s 6(1)(a)-(c). For full‑time appointments, confirm either 8 years’ legal standing or that the Governor considers the candidate suitable on other legal qualifications and experience (s 6(2)).
• For acting appointments under s 10, ensure the appointee has the like qualification as the absent member (s 10(2)) and that the terms and conditions are recorded.

2. Remuneration and Public Sector Commissioner approval

• If a part‑time member is subject to Part 3 of the Public Sector Management Act 1994, secure prior written approval from the Public Sector Commissioner before the Governor determines remuneration or allowances (s 9(2)). Create a formal approval checklist and retention of written approval in personnel files.

3. Tenure and reappointment rules

• Monitor cumulative service to ensure compliance with reappointment caps: part‑time members must not exceed 6 consecutive years and full‑time members must not exceed 8 consecutive years unless the Governor determines special circumstances (s 7(3)). Implement an alerts system for reappointment deadlines and documentation of any Governor opinion on “special circumstances”.

4. Resignation and vacancy management

• Accept resignations in writing addressed to the Attorney General as required (s 8(2)). For situations where a member may cease to have qualifying characteristics (s 8(1)), establish a protocol for early identification and notification to avoid inadvertent automatic vacancies.

5. Delegation and minutes

• Maintain a delegation register that records any delegations made under s 12(3), including scope, effective dates and revocation. Keep detailed minutes of all Commission meetings as required by s 12(2) and ensure minutes are archived for audit and parliamentary scrutiny.

6. Work programme and references

• For the Attorney General’s office: maintain a formal references log and priority approval process to meet s 11(2) and s 11(5) obligations. Ensure timely presentation to Parliament of the Commission’s proposals and reports as required by s 11(7).
• For the Commission: prepare proposals for law reform proactively under s 11(1), but also maintain readiness to act on Attorney General references. Track reference priorities and publish or internally record the order of work to prevent expectation gaps.

7. Financial management and audit compliance

• Treat the Commission as subject to the Financial Management Act 2006 and Auditor General Act 2006 (s 13). Ensure accounting systems allocate moneys to the Law Reform Commission Account established under s 16 of the FMA (s 15(2)), and that all expenditure is charged appropriately (s 15(3)).
• Prepare internal control frameworks, procurement records, and financial reporting templates consistent with FMA requirements. Arrange for timely responses to Auditor General audits and implement audit recommendations promptly.

8. Staffing and contracting

• Appoint officers and temporary employees under Part 3 of the Public Sector Management Act 1994 (s 14(1)). Ensure HR compliance for recruitment, classification, performance management, and termination.
• When contracting professional or research assistance under s 14(2), follow Ministerial contracting rules and public procurement policy. Document the Commission’s request and the Minister’s engagement decisions and contracts, and ensure contractors’ deliverables align with the reference and FMA procurement requirements.

9. Superannuation and return rights

• For full‑time members who previously held public service offices, document the pre‑appointment status so that s 9(5) rights to be appointed to a post not lower in status on exit are preserved. Coordinate with payroll and superannuation administrators to ensure continuity of relevant entitlements (s 9(5)(b) and s 9(6)). Retain records reflecting the member’s pre‑appointment office.

10. Transparency and Parliamentary interaction

• Ensure that reports and proposals are prepared in a manner suitable for presentation to Parliament by the Attorney General (s 11(7)). Maintain a public record of Commission activity to support parliamentary scrutiny and stakeholder engagement.

11. Risk management and planning

• Implement a risk register that addresses the “gotchas” identified earlier: potential vacancies triggering automatic loss of office (s 8(1)), acting appointment constraints (s 10(2)), dependence on Attorney General references (s 11(2)), and funding volatility due to appropriation cycles (s 15(1)(a)). Include contingencies for continuity of operation with a minimum of three members to avoid invalidation of acts (s 4(2)).

Compliance checklist (practical items to document and maintain):

• Instruments of appointment with term and classification (s 7).
• Public Sector Commissioner approvals for remuneration where applicable (s 9(2)).
• Qualification evidence file for each member (s 6).
• Resignation letters filed with Attorney General (s 8(2)).
• Delegation register and minutes archive (s 12).
• Financial statements, audit working papers, and proof of FMA account allocations (ss 13, 15).
• Contracts and procurement files for any external engagements under s 14(2).
• Superannuation and reappointment documentation for full‑time members with prior public service roles (s 9(5)).

Following these steps ensures statutory conformity across appointment, staffing, financial and reporting obligations. Because many of the obligations are implemented through other statutes (notably the Financial Management Act 2006 and the Public Sector Management Act 1994), compliance also requires familiarity with and adherence to those instruments’ processes and timetables.
