Land (St. Kilda Sea Baths) Act 2000

The Act is short and focused. Its principal legal concepts are defined and interact in a small, discrete statutory architecture. The definitions and operative provisions frame the following key concepts and legal mechanisms.

Car park land and lodged plan (s 3)

• "Car park land" is the specific area shown hatched on the lodged plan number LEGL./00-21 lodged in the Central Plan Office in the Department of Natural Resources and Environment (s 3). The Act’s rights and powers are geographically confined to that hatched area. Practically, parties will need to identify the lodged plan and the hatched area precisely to determine whether the Act applies.

Committee of management (s 3)

• The Act uses the term "committee of management" as the committee appointed under the Crown Land (Reserves) Act 1978 in respect of any part of the car park land. The committee is a central decision-maker: it may grant leases (s 5(1)), determine covenants, exceptions, reservations and conditions to be attached to leases (s 5(4)(c)), and provide the written consent required for entry and use under s 6(2)(a).

Ministerial oversight and written approvals (s 5(2), s 5(4)(c), s 6(2)(b))

• The Minister administering the Crown Land (Reserves) Act plays a gating role: no lease may be granted by the committee without the Minister’s written approval (s 5(2)), any covenants and conditions attached to a lease require written Ministerial approval (s 5(4)(c)), and the written consent for entry or use may be given by the Minister where no committee exists (s 6(2)(b)). Where no committee exists, the Act vests the power to grant leases in the Minister (s 5(5)).

Temporal limits and holdover (s 5(3)-(4)(a)-(b))

• The Act sets a strict maximum aggregate lease term of 45 years. While extensions may be provided for in the lease, the cumulative total of initial term and extensions cannot exceed 45 years (s 5(4)(a)). Leases may provide for a lessee to remain in occupation for up to 3 months following expiry, on the same terms, at the lessor’s discretion (s 5(4)(b)).

Entry, use and works despite reservation (s 6)

• Section 6 permits the lessee and its agents to enter and use the land for development, construction, maintenance, removal and operation of the car park and ancillary works, provided the lessee has a lease and written consent from the committee or Minister (s 6(1)-(2)). Section 6(3) makes clear the section applies "despite anything to the contrary" in the Orders in Council in the Schedule and any other Order in Council under the Crown Land (Reserves) Act reserving any part of the car park land, thereby neutralising the legal effect of those reservations to the extent necessary to allow the authorised activities.

Registration and title effects (s 7)

• The Registrar of Titles is required to make any recordings or amendments in the Register under the Transfer of Land Act 1958 necessary due to the operation of any provision of this Act (s 7). That is the statutory mechanism for giving the leases and associated arrangements legal effect on the Torrens title register.

Notwithstanding clause (s 4)

• Section 4 is an express "despite" provision. It states the Act "has effect despite anything to the contrary" in the Crown Land (Reserves) Act 1978, its regulations, the Land Act 1958 or "any other Act or law". The clause is broad: it is designed to ensure that statutory or regulatory restrictions elsewhere do not prevent the Act’s leasing and entry/use regime operating over the identified car park land.

Schedule: historical reservations and stated purpose

• The Schedule records the instruments of reservation (Orders in Council of 1906 and 1999), the Government Gazette references, areas of land, and the common stated purpose: recreation, convenience and amusement of the people. Section 6(3) specifies that s 6 applies despite those Orders in Council.

Taken together, these concepts create a capped, ministerially-supervised leasing regime for a specified parcel of Crown land, authorising private lessee development and operation of a car park while requiring written approvals and registration steps to give legal effect to the arrangements.

The Act concentrates legal power, decision-making responsibilities, and practical obligations in a relatively small group of actors while producing effects on property users and the public domain. The principal affected parties under the Act are:

Committee of management (s 3; s 5)

• Where a committee of management exists for any part of the hatched car park land, the committee gains the statutory power to grant leases for car park development, maintenance and operation (s 5(1)). The committee decides the covenants, exceptions, reservations and conditions to be attached to leases (s 5(4)(c)). It must obtain the Minister’s written approval before granting a lease (s 5(2)). The committee therefore bears the administrative responsibility for initiating leasing arrangements, drafting lease terms consistent with the Act, and seeking necessary Ministerial approvals.

Minister administering the Crown Land (Reserves) Act 1978 (s 5(2), s 5(4)(c), s 5(5), s 6(2)(b))

• The Minister has an approval and fallback role. The committee cannot grant a lease without the Minister’s written approval (s 5(2)). Covenants and conditions set by the committee require the Minister’s written approval (s 5(4)(c)). If no committee of management exists for the land, the Minister may exercise the power to grant a lease directly (s 5(5)). The Minister can provide the written consent required for entry and use where there is no committee (s 6(2)(b)). The Minister therefore decides the ultimate allocation of lease rights when committees are absent and supervises lease content where committees act.

Prospective lessees, developers and operators (s 5(1), s 6(1))

• Private parties intending to develop, maintain or operate a car park on the car park land must obtain a lease granted under the Act. Lessees receive the statutory right to enter and use the land for development, construction, maintenance, removal and operation only in accordance with the lease and once written consent to entry/use is obtained from the committee or Minister (s 6(1)-(2)). Lessees will be the parties primarily bearing capital expenditure, operational costs, and (where the lease provides) rent, and they will be subject to any covenants and conditions determined and approved pursuant to s 5(4)(c).

Registrar of Titles (s 7)

• The Registrar has a statutory duty to make any recordings or amendments to the Register under the Transfer of Land Act 1958 necessary because of the operation of any provision of the Act (s 7). The Registrar is therefore the administrative actor who will effect recorded title changes that reflect leases and other registered instruments.

Members of the public and users of the Sea Baths Complex (Schedule; s 6(3))

• The Schedule records the reservation purposes as "Site for the Recreation, Convenience and Amusement of the People". The Act authorises leasing and car park development "despite" those reservations (s 6(3)), potentially changing the use and physical character of land historically reserved for public recreation. The public as users of the reserve may experience altered access, carriageways and parking facilities as a result of the permitted developments.

Other statutory bodies and local government

• The Act does not name local government bodies, planning authorities or environmental regulators, but their practical involvement is likely where other approvals or administrative interactions are necessary to implement development. The Act’s s 4 notwithstanding clause is broad; however, the Act still requires written approvals and registration steps which may involve interaction with administrative officers and registries.

Who pays and who decides

• Prospective lessees will generally pay for development and operational costs and will likely pay rent or fees under any lease terms (the Act does not articulate rent provisions but permits leases with covenants and conditions (s 5(4)(c))). The committee and Minister decide whether leases may be granted and determine the content of covenants and conditions, producing concentrated decision-making authority in public officials and appointed committees.

Administrative burdens and transaction parties

• Committees must prepare lease instruments, secure written Ministerial approvals (s 5(2) and s 5(4)(c)), and coordinate Registrar recordings (s 7). Lessees must ensure they obtain the required written consent to enter and use (s 6(2)), and they must accept lease terms including maximum aggregate term limits and possible holdover terms (s 5(3)-(4)(a)-(b)). The lodged plan requirement (s 3) imposes a technical antecedent: parties must confirm the exact hatched area on plan LEGL./00-21.

The Act centralises leasing power while distributing the costs of development and operation to private lessees; administrative discretion and approval functions sit with public committees and the Minister, and register-level effects are administered by the Registrar of Titles.

The Act is structured around a set of discrete statutory duties and rights that regulate the grant, content and operation of leases over the specified car park land. The following are the principal duties, discretely tied to the relevant provisions.

Duties of the committee of management

• Power to grant leases: The committee "may grant a lease" of the car park land or part of it for development, maintenance and operation of a car park (s 5(1)). This is a discretionary power, not an obligation to lease.
• Ministerial approval precondition: The committee must not grant a lease unless the Minister administering the Crown Land (Reserves) Act 1978 has approved the grant in writing (s 5(2)). That places a mandatory administrative precondition on exercise of the committee’s power.
• Determination of lease covenants and conditions: The committee determines covenants, exceptions, reservations and conditions to be attached to a lease, but such determinations require the Minister's written approval (s 5(4)(c)). The combination of determinations by the committee and ministerial approval is a two-stage decision-making duty: the committee formulates terms; the Minister validates them in writing.
• Consent for entry/use: The written consent required under s 6(2)(a) to permit entry and use for development and operation is a function of the committee where it exists. The committee therefore controls the timing and terms of permitting on-the-ground works.

Duties of the Minister

• Approval gatekeeper: The Minister must provide written approval before the committee may grant a lease (s 5(2)). The Minister must also approve, in writing, covenants and conditions determined by the committee to attach to a lease (s 5(4)(c)).
• Power to act where no committee exists: If no committee of management exists, the Minister may grant a lease under the section, subject to covenants, exceptions, reservations and conditions that the Minister determines (s 5(5)). The Minister can also give written consent permitting entry/use where no committee exists (s 6(2)(b)). Thus the Minister has both supervisory and direct grant powers.
• The Act does not specify times for the Minister to decide or any statutory criteria to be applied in giving approval. The duty is to provide written approval or to exercise the Minister’s power, but the Act does not prescribe procedural timelines or detailed decision criteria.

Rights and limits attaching to leases

• Purpose-limited lease right: A lease may be granted only for purposes of development, maintenance and operation of a car park (s 5(1)). The lease does not, on its face, authorise unrelated uses outside that scope.
• Maximum term and extensions: A lease may be for a term not exceeding 45 years (s 5(3)). Leases may include provisions for one or more extensions, but the total of the initial term plus extensions must not exceed 45 years (s 5(4)(a)). That creates a firm statutory cap on the aggregate tenure.
• Holdover: The lease may contain a provision permitting the lessee to remain in occupation under the same terms and conditions as the lease, at the discretion of the lessor, for up to three months after expiry of the lease (s 5(4)(b)). This is a permissible, optional clause for short-term occupation continuity.
• Covenants and encumbrances: Leases are subject to covenants, exceptions, reservations and conditions determined by the committee and approved by the Minister (s 5(4)(c)). The parties must accept those encumbrances and obligations as part of the lease.

Entry, use and operational rights (s 6)

• Conditional right to enter and use: Where a lease is granted under the Act, the lessee, its servants or agents "may enter and use the car park land" for development, ancillary works, alteration, repair, maintenance, removal and operation of the car park, but only "in accordance with that lease" (s 6(1)). Entry and use are therefore strictly tethered to the lease’s terms.
• Written consent prerequisite: Subsection 6(1) "does not apply unless" written consent to the entry or use has been obtained from the committee of management, or if there is no committee, from the Minister (s 6(2)). Thus, having a lease alone is insufficient to authorise physical on-ground works; an additional written consent is required.

Registrar’s duty (s 7)

• The Registrar of Titles must make any recordings or amendments to the Register under the Transfer of Land Act 1958 that are necessary because of the operation of any provision of this Act. That is a statutory duty to effect registration changes that reflect the leases and associated instruments.

Notwithstanding operation (s 4; s 6(3))

• Section 4 gives the Act effect despite anything to the contrary in specified Acts or "any other Act or law". Section 6(3) makes the entry/use provision operate despite Orders in Council reserving parts of the car park land. These are rights-in-override: they displace contrary statutory or reservation-based prohibitions so far as necessary to permit the Act’s authorised leasing and use.

Observable absences and limits

• The Act does not contain express duties to consult the public, to assess environmental impacts, to pay compensation, or to obtain planning permits. The Act is silent on enforcement penalties for non-compliance. It also does not prescribe detailed content for covenants, approvals or leases, leaving those matters to committee and Ministerial decision.

In sum, the Act creates a two-tier administrative duty structure (committee proposes and grants; Minister approves and can act where the committee is absent), confers conditional rights on lessees to occupy and operate for specified car park purposes within tightly capped temporal limits, and requires registration of resulting instruments on the title register.

The Act itself contains no express criminal penalties, monetary fines or civil penalty regime for non-compliance. It is a short statute focused on enabling a particular leasing and registration pathway; enforcement, to the extent the Act contemplates it, is achieved by allocating and conditioning statutory powers and approvals. The enforcement-related features and practical compliance implications are as follows.

No statutory sanctions in the Act

• There are no sections in the Act that prescribe penalties, forfeiture, remediation obligations, or infringement notices for breach of the Act’s provisions. The Act places preconditions and formal requirements (for example, written Ministerial approval and written consent to entry/use), but it does not create offences for non-compliance.

Administrative checks and effective controls

• The primary enforcement/control mechanism is administrative: the committee cannot grant a lease without the Minister’s written approval (s 5(2)). Where no committee exists, only the Minister may grant the lease (s 5(5)). This allocation of power prevents unauthorised leasing by placing the final authorising power in an official with a statutory duty to act in writing.
• Entry and use powers for development, works and operation are conditioned not only on the existence of a lease but also on the written consent of the committee or the Minister (s 6(1)-(2)). This two-step requirement functions as a control to prevent physical works or occupation in the absence of authorised written approvals.

Title-recording as legal effect and a practical enforcement lever (s 7)

• Section 7 requires the Registrar of Titles to make any recordings or amendments to the Register under the Transfer of Land Act 1958 necessary because of the operation of any provision of the Act. Registration on the Torrens register creates legal notice and proprietary effect; conversely, the absence of appropriate registration may limit the rights that a lessee can assert against third parties or incoming interests. Registration acts as a practical enforcement and compliance checkpoint: leases and associated instruments must be recorded to ensure their full operation in the land title system.

Interaction with reservations and Orders in Council (s 6(3))

• Section 6(3) specifies that s 6 applies "despite anything to the contrary" in the Orders in Council specified in the Schedule and "any other Order in Council under the Crown Land (Reserves) Act 1978" reserving any part of the car park land. This provision neutralises the legal effect of those reservations to the extent necessary to permit the authorised activities. The effect for enforcement is that previously reserved purposes will not, in themselves, prevent leases and entry/use authorised by the Act.

Consequences of non-compliance , implied pathways

• Because the Act does not prescribe penalties, consequences of non-compliance would arise through other legal mechanisms outside the Act, depending on the nature of the non-compliance. For example, unauthorised occupation, works or dealings with land may give rise to civil remedies under property law, tort, or statute in particular circumstances; registration irregularities would be addressed through processes under the Transfer of Land Act 1958; and administrative review of a Ministerial or committee decision might be available under public law principles. The Act itself does not specify these consequences; practitioners must therefore look to general administrative law, property law and other statutes for remedies and enforcement mechanisms.

Practical enforcement risks and rights

• The Act’s design places emphasis on obtaining the correct written approvals and following the registration process. The principal enforcement risk for prospective lessees is proceeding with development or occupation without the required written consents (s 6(2)), which would mean the entry/use permission in s 6(1) does not apply. For committees and Ministers, the risk is legal challenge to their exercise of statutory powers where procedural or legal requirements are not followed, but the Act does not specify internal sanctions.

In short, enforcement is administrative and registration-based rather than penal. Legal consequences for breaches must therefore be sourced in the broader legal system rather than in express statutory sanctions in this Act.

The Act contains explicit provisions governing its interaction with other statutes, instruments and the land title system. Its principal interaction mechanisms and legal consequences are set out below, grounded in the text.

Express "despite" provision (s 4)

• Section 4 provides that "This Act has effect despite anything to the contrary in the Crown Land (Reserves) Act 1978, any regulations made under the Crown Land (Reserves) Act 1978, the Land Act 1958 or any other Act or law." That is a broad notwithstanding clause. Its operation is to ensure that, where there is inconsistency, the provisions of this Act prevail in relation to the car park land. Practically, this displaces conflicting provisions in the named statutes and potentially in other statutes, to the extent necessary to allow leasing and use under this Act.

Interaction with the Crown Land (Reserves) Act 1978 (s 3; s 5; s 6(3))

• The Act defines "committee of management" with reference to the Crown Land (Reserves) Act 1978 (s 3), and it requires the Minister administering that Act to give written approval for leases and covenants (s 5(2), s 5(4)(c)). Section 6(3) explicitly states the entry/use authorisation applies despite specific Orders in Council and "any other Order in Council under the Crown Land (Reserves) Act 1978" reserving any part of the car park land. Thus, the Act both depends on and overrides aspects of the Crown Land (Reserves) Act: it inherits the institutional structure of committees of management while asserting superiority over reservation-based prohibitions.

Interaction with the Land Act 1958 and "any other Act or law" (s 4)

• By putting the Act "despite" the Land Act 1958 and "any other Act or law", the statute purports to remove the operation of conflicting provisions elsewhere. The breadth of "any other Act or law" suggests the legislature intended this Act to be operative even where other general statutes might otherwise prevent or restrict leasing, entry, works or registration for this specific land.

Transfer of Land Act 1958 and registration (s 7)

• Section 7 requires the Registrar of Titles to make any necessary recordings or amendments to the Register under the Transfer of Land Act 1958 because of the operation of the Act. That links the Act directly to the Torrens title system and ensures that leases and related instruments are recorded on title. The Act does not specify the mechanics under the Transfer of Land Act for any particular instrument, but it mandates registration activity as necessary to give effect to the Act’s provisions.

Orders in Council and historical reservation instruments (Schedule; s 6(3))

• The Schedule records two Orders in Council from 1906 and 1999 reserving various parts of the Sea Baths Complex land for recreation, convenience and amusement. Section 6(3) ensures the entry/use powers of s 6 apply despite those Orders. The practical interaction is that the Act removes reservation-based prohibitions that would otherwise impede development and operation of a car park on the specified land.

Limits of the notwithstanding clause

• Although s 4 is broad, the Act still requires committee and Minister approvals (s 5(2) and s 5(4)(c)) and written consent to entry/use (s 6(2)). The "despite" clause does not remove those express procedural requirements in this Act. The Act does not explicitly address other regulatory regimes (for example, planning, environmental protection, heritage or local government regulatory approvals) other than the general "any other Act or law" formulation in s 4. That formulation suggests the Act was intended to operate notwithstanding other statutory restrictions, but the practical application and scope of that displacement for detailed regulatory regimes might require careful legal analysis in a particular instance.

Practical consequence for approvals and permits

• The Act creates a statutory channel for leases and authorises entry/use irrespective of the historical reservation, but it places explicit written-approval thresholds administered by the committee and Minister. It also requires registration updates under the Transfer of Land Act 1958. Practitioners should note that while s 4 appears to assert precedence over other statutory bars, operationalising works on the land will still typically require that those undertaking the works obtain the written consents mandated by the Act and comply with registered lease conditions.

In short, the Act both draws on the institutional infrastructure of Crown land reservation law and displaces reservation-based and other statutory prohibitions in order to permit leasing and associated development, while insisting on written committee or Ministerial approvals and registration steps to give legal effect.

The Act’s own endnotes provide a concise legislative history limited to enactment and amendment status up to the version date. The relevant points recorded in the text are:

• The Act received Royal Assent on 8 November 2000 and, under section 2, commenced the day after assent. The endnotes specify that the Act therefore came into operation on 9 November 2000 (Endnotes, "Minister's second reading speech" and subsequent commentary).
• The printed version is Version No. 001 as at 31 March 2023. The Table of Amendments in the endnotes states explicitly that "There are no amendments made to the Land (St. Kilda Sea Baths) Act 2000 by Acts and subordinate instruments." That indicates the Act has not been amended since its enactment, at least up to the version date stated.
• The endnotes record the second reading speech dates: Legislative Assembly, 31 August 2000; Legislative Council, 24 October 2000. The long title for the Bill was "to provide for power to lease land for the purposes of a car park at St. Kilda and for other purposes."
• The endnotes include standard references to the Interpretation of Legislation Act 1984 (ILA) concerning style changes and interpretive matters (headings, examples, punctuation, provision numbers). Those notes are generic and do not indicate substantive amendment to the Act itself.
• The Explanatory details section of the endnotes is blank, recorded as "No entries at date of publication."

Because the Act has not been amended in the Table of Amendments attached to this version, the operative text provided in the main body (ss 1-7 and the Schedule) represents the full statutory content as at Version No. 001. Practitioners needing a complete amendment history should consult the official statutory revision records and the consolidated legislation database referenced in the endnotes (www.legislation.vic.gov.au) for any changes after 31 March 2023. The Act’s brevity and lack of amendment history make its statutory mechanics stable and straightforward to trace in the printed version.

The Act itself does not contain a litigation history section and the endnotes do not list any cases or judicial proceedings that interpret or apply the Act. The printed materials in the statute (including the Table of Provisions, sections and the Schedule) contain no references to judicial decisions. The endnotes record parliamentary materials (second reading speech dates) but do not record any litigation.

What the Act’s text discloses about possible disputes

• The Act establishes legal relationships and administrative decision points that could, in practice, spawn litigation or administrative review. The parts of the Act most likely to generate legal disagreement, by reference to the statutory text, include:
  • The scope and identification of the "car park land" defined by the lodged plan LEGL./00-21 (s 3). Disputes could arise over plan interpretation, boundaries, or the hatched area’s extent.
  • The scope and meaning of the Minister’s obligations when asked to approve leases and covenants (s 5(2); s 5(4)(c)). Challenges could concern administrative law grounds if a Ministerial decision is alleged to be legally flawed.
  • The interplay between a lease granted under s 5 and the written consent required for entry/use under s 6(2). Disputes may arise about whether a particular occupation or works fall within the authorised entry/use.
  • The effect and extent of the s 4 "despite" clause and s 6(3)'s application "despite" Orders in Council. Litigation could address whether other statutory regimes have in practice been displaced and to what extent.
  • The Registrar’s performance of duties under s 7, including any necessary recordings or amendments under the Transfer of Land Act 1958.
  • Interpretation of time limits: the aggregate 45-year cap on term plus extensions (s 5(3)-(4)(a)) and the three-month holdover limit (s 5(4)(b)) could be litigation points if lease instruments are ambiguous.

What the Act does not state about litigation

• The Act does not prescribe any tribunal or process for resolving disputes under it nor any statutory appeal mechanism specific to decisions made under the Act. It likewise does not provide statutory penalties that might give rise to specialised infringement proceedings.

Practical research step for litigators and counsel

• Because the Act's text and endnotes do not list any cases, counsel seeking to identify litigation should conduct an independent case-law search in Victorian and federal databases for decisions citing the Land (St. Kilda Sea Baths) Act 2000, and for decisions involving leases, title amendments, or ministerial approvals that concern or reference the LEGL./00-21 lodged plan or the Sea Baths Complex land. Administrative law challenges to Ministerial approvals or committee decisions under the Crown Land (Reserves) Act 1978 could be relevant even where the legal foundation is the Act’s provisions. The Act itself provides no direct litigation guidance or reported case list.

In summary, the statute is silent on its litigation history in its own published materials. The legal issues most likely to generate dispute are plan interpretation, ministerial approval exercise, the effect of the notwithstanding clauses, the registration mechanics under s 7, and the relation of leases and written consents to actual on-ground works.

The Act is compact but contains several practical pitfalls and legal complexities that practitioners must identify and manage. Each "gotcha" below is grounded in the statutory text and its operational interaction with administrative practice.

1. "Lease" is necessary but not sufficient for physical works (s 5(1); s 6(1)-(2))

• A lease granted under s 5 does not by itself authorise the lessee to enter and use the land. Section 6(1) allows entry and use only "in accordance with that lease" and then s 6(2) states subsection (1) "does not apply unless written consent to the entry or use has been obtained" from the committee or Minister. Practically, parties must secure two things: a valid lease and a separate written consent to enter and use. Failing to obtain the written consent means the statutory entry/use permission in s 6 is not available even if a lease exists.

2. Strict aggregate term cap and extension mechanics (s 5(3)-(4)(a))

• The Act allows extensions, but the aggregate of initial term and any extensions must not exceed 45 years. Drafting must be precise to ensure that the initial term plus all extension options cannot be lawfully exercised beyond the statutory cap. Relying on creative structuring (for example, rolling short-term extensions) risks exceeding the cap in aggregate and creating legal uncertainty.

3. Mandatory Ministerial written approval for leases and covenants (s 5(2); s 5(4)(c))

• The committee may not grant a lease without the Minister’s written approval. Similarly, covenants determined by the committee require written Ministerial approval. There is no statutory timetable or prescribed form in the Act for these approvals. Delay or refusal by the Minister could stall projects; there is no statutory process in the Act for compelled approvals or timelines.

4. Where there is no committee, the Minister steps in (s 5(5); s 6(2)(b))

• If a committee does not exist, the Minister may grant the lease and provide the written consent for entry/use. On the other hand, the absence of a committee concentrates decision-making in the Minister’s hands. Parties should confirm the existence or non-existence of a committee before negotiating.

5. The lodged plan is the operative geographical definition (s 3)

• "Car park land" is defined by reference to plan LEGL./00-21 lodged in the Central Plan Office. Any uncertainty as to the hatched area’s boundaries may be a source of dispute. Practitioners must inspect and rely on that lodged plan; mistakes in identifying the parcel can be critical.

6. "Despite" clause is broad but does not eliminate express procedural requirements (s 4; s 6(3))

• Although s 4 says the Act operates despite "any other Act or law," that does not relieve parties of the Act’s own approval and consent preconditions. Moreover, the practical scope of displacing other regulatory regimes may be contentious in areas such as planning, environmental approvals and heritage regulation. The Act does not expressly address those discrete regulatory overlays, aside from the broad "despite" formulation.

7. Registration mechanics and timing (s 7)

• The Registrar must make necessary recordings and amendments under the Transfer of Land Act 1958, but the Act does not spell out the timing, form or particular instruments. Delays or technical registration issues could affect the lessee’s ability to rely on the lease against third parties. Parties should anticipate the need to coordinate registration steps with the Registrar.

8. No statutory penalties but potential civil exposures

• The Act lacks penalty provisions. However, unauthorised occupation or works (for example, acting without the written consent required by s 6(2)) may expose parties to civil claims, injunctions or regulatory action under other statutes or common law. The Act’s silence on penalties does not immunise parties from other legal consequences.

9. Historical reservations remain on the record (Schedule) though s 6(3) operates "despite" them

• The Schedule records historical Orders in Council reserving the land for public recreation. Section 6(3) enables the Act’s entry/use powers to operate despite those Orders, but the presence of the reservations on the record may raise public perception, stakeholder and political considerations which are outside the Act’s legal authorisation.

10. Holdover period is short and discretionary (s 5(4)(b))

• The permitted post-expiry occupation is up to three months "at the discretion of the lessor" and on the same terms and conditions as the expired lease. Lessees seeking longer transitional occupation should not rely on this provision; it is both discretionary and temporally limited.

11. Absence of public consultation or environmental procedure in the Act

• The Act does not require public consultation or specify environmental assessment processes. While s 4 is broad, practical compliance with environmental or planning regimes (if held to apply) will require attention outside the Act. The Act’s silence is a "gotcha" only insofar as parties assume the Act removes other procedural obligations.

12. Potential ambiguity in the phrase "any other Act or law" (s 4)

• The breadth of s 4 may create uncertainty and be a locus for litigation: what statutory or regulatory instruments are effectively displaced, and to what extent? Careful legal analysis is required when contemplating whether other statutory obligations remain enforceable.

Practitioners should therefore treat the Act as enabling but highly procedural: secure the exact lodged plan, confirm committee existence, obtain the Minister’s written approvals where required, obtain the separate written consent to enter/use, ensure leases comply with the 45-year aggregate cap and holdover rules, and coordinate registration under the Transfer of Land Act 1958 to create enforceable title effects.

Compliance under this Act is principally documentary, procedural and administrative. The following step-by-step checklist translates the statutory requirements into practical actions, citing the relevant sections.

1. Confirm the precise land and plan (s 3)

• Obtain and inspect the lodged plan LEGL./00-21 in the Central Plan Office (Department of Natural Resources and Environment) and identify the hatched area designated as "car park land" (s 3). Confirm the legal description and any authorised excisions referenced in the Schedule.

2. Ascertain who is the committee of management (s 3)

• Determine whether a committee of management is currently appointed under the Crown Land (Reserves) Act 1978 for the relevant part of the car park land. That determines whether the committee or the Minister will have the primary power to grant a lease (s 5(1) and s 5(5)) and to give written consent for entry/use (s 6(2)(a)-(b)).

3. Prepare lease terms consistent with statutory caps (s 5(3)-(4)(a)-(b))

• Draft the lease so that the initial term and any extension options together cannot exceed 45 years in aggregate (s 5(3), s 5(4)(a)). If a holdover provision is desired, limit it to a maximum of three months post-expiry and frame it as discretionary for the lessor and on the same terms as the expired lease (s 5(4)(b)). Clearly state the permitted purposes: development, maintenance and operation of a car park (s 5(1)).

4. Draft and propose covenants, exceptions, reservations and conditions (s 5(4)(c))

• The committee determines these terms, but they require written approval from the Minister (s 5(4)(c)). Prepare the proposed covenants and conditions for the committee’s consideration and anticipate the need to send them to the Minister for written approval.

5. Obtain the Minister’s written approval before grant (s 5(2))

• If a committee exists, secure the Minister’s written approval to the grant of the lease before executing it. If no committee exists, apply to the Minister for the grant, as the Minister has the statutory power to grant leases in the absence of a committee (s 5(5)). Do not proceed to grant or deliver a lease without the Minister’s written approval where a committee exists.

6. Obtain the separate written consent to enter and use (s 6(1)-(2))

• Even after a lease is granted, obtain written consent to the proposed entry or use for development, construction, maintenance, removal or operation from the committee of management or, where no committee exists, from the Minister (s 6(2)). Ensure the written consent expressly authorises the specified activities and ties them to the lease as required by s 6(1).

7. Coordinate registration with the Registrar of Titles (s 7)

• Once the lease and any relevant instruments are finalised, liaise with the Registrar of Titles to have the necessary recordings or amendments made to the Register under the Transfer of Land Act 1958 as required under s 7. Ensure all instruments are in the form acceptable to the Registrar and comply with any statutory requirements for lodgement and registration.

8. Record and keep written approvals and consents on file

• The Act emphasises written approvals: Minister’s written approval to grant the lease, Minister’s written approval for covenants and conditions, and written consent to entry/use. Maintain contemporaneous copies and proof of service/delivery of those written instruments.

9. Consider other regulatory or administrative requirements

• Although s 4 is broadly framed, practical implementation often requires consideration of other statutory or administrative regimes (planning, environmental, heritage, building approvals). Until there is a clear legal determination that s 4 displaces particular requirements, prudent practice is to identify and, where appropriate, secure any other permits, approvals or clearances that could be required in practice.

10. Monitor and manage lease milestones

• Track lease term, extension option exercise deadlines, and the three-month holdover limit. If the lessee intends to continue occupation beyond the statute’s permitted aggregate term, plan alternative arrangements before expiry. Ensure the lessor’s discretion over holdover is evidenced in writing at the relevant time.

11. Confirm committee and Ministerial roles before commencement of works

• Before any physical works commence, confirm that both the contractual lease and the required written consents under s 6(2) are in place, and ensure any conditions within those consents are complied with.

12. Seek legal advice for ambiguous or contested matters

• Where there is doubt about the extent to which the Act displaces particular statutory obligations or where plan boundaries are contested, obtain legal advice and consider early engagement with the Minister’s office and the Registrar to prevent administrative delay or legal risk.

Compliance is therefore a sequence of precise steps: identify the land on the lodged plan, confirm committee status, obtain the Minister’s written approval where required, ensure covenants are approved, secure the separate written consent to enter/use, and ensure registration under the Transfer of Land Act 1958 is effected. The Act’s procedural emphasis on written instruments and registration makes documentary control the principal compliance mechanism.
