Land (Revocation of Reservations) (Convention Centre Land) Act 2008

The central concept is revocation of reservation. Under the Crown Land (Reserves) Act 1978, the Governor in Council may by Order in Council reserve Crown land for specified public purposes. Once reserved, the land is dedicated to that purpose and cannot be dealt with inconsistently without further executive or legislative action. The Act provides a legislative mechanism to undo those reservations. Section 4 revokes the Yarra River Wharf reservation; section 5 revokes the Polly Woodside reservation. The land affected is described in Schedules 1, 2 and 3. Schedule 1 identifies the two parcels by reference to the original Orders in Council and Government Gazette notices. The Yarra River Wharf land comprises Crown Allotments 77H and 77R, reserved for "Site for public purposes (wharf and associated tourist facilities)" on 2 July 1996. The Polly Woodside land is part of Crown Allotment 77B, reserved for "Site for conservation of an area of historic interest" on 13 June 1984. The Act does not revoke the entire reservation; only the land shown hatched on the plans is freed. That means parts of the original reservations may remain in force for the unhatched areas.

Another key concept is unalienated land of the Crown. Section 6(a) provides that upon revocation, the land is deemed to be unalienated land of the Crown, freed and discharged from all trusts, limitations, reservations, restrictions, encumbrances, estates and interests. This is a complete extinguishment of all rights and interests that attached to the land under the reservation. A committee of management (if any) is revoked, any trustee is revoked, and any regulations under the Crown Land (Reserves) Act 1978 that applied to the land are revoked. The land reverts to a clean slate in the Crown's hands, subject only to the Torrens system registration obligations.

The concept of project agreement is defined exhaustively in section 3. The definition lists events (a) through (n), each being a specific agreement identified by title, date and parties. They include the main Project Agreement with Plenary Conventions Pty Ltd, a Construction Direct Agreement with Multiplex Constructions, a Financier Direct Deed with Permanent Custodians Limited, a Commercial Development Agreement for the NW Precinct, a Hotel development agreement, a Development Interface Agreement, a Works Agreement with the National Trust of Australia (Victoria) regarding Polly Woodside, and others. Paragraph (o) extends the definition to "any agreement that arises from, out of, or is in relation to or connected with" any of the listed agreements. This is a broad catch-all that captures amendments, variations, novations and ancillary documents. The Act preserves the status and continuity of these agreements (section 8) and validates them retroactively (section 9).

The concept of validation is critical. Section 9 operates "Despite anything to the contrary in the Crown Land (Reserves) Act 1978". It deems that each project agreement entered into before the commencement of sections 4 and 5 was always validly entered into to the extent it was entered into inconsistently with that Act. It further deems that the person entering into the agreement on behalf of the State always had the power to do so to the extent they did not have power under that Act. This retroactive validation removes any basis for challenging the agreements on the ground that the State lacked capacity or that the agreements contravened the Crown Land (Reserves) Act 1978. It also eliminates any argument that the agreements were void or voidable for ultra vires.

The Act directly affects the State of Victoria and the Crown as the owner of the land. The Secretary to the Department of Infrastructure (as defined under the Project Development and Construction Management Act 1994) is the person who entered into many of the project agreements on behalf of the State. Section 9 retroactively confirms that the Secretary had the power to do so. The Registrar of Titles has a statutory duty under section 7 to make any recordings or amendments to the Register under the Transfer of Land Act 1958 that are necessary because of the operation of the Act. This imposes a compliance obligation that is mandatory but carries no stated penalty for failure.

The parties to the project agreements are the primary private beneficiaries. These include Plenary Conventions Pty Ltd (ACN 113 442 569), Multiplex Constructions Pty Ltd, Multiplex Facilities Management Pty Ltd, Plenary Conventions Services Pty Ltd, Permanent Custodians Limited, Philip Chun & Associates Pty Ltd, Austexx Plenary Melbourne Pty Ltd (later South Wharf Retail Pty Ltd), Plenary Conventions Hotel Pty Ltd, Austexx Plenary Tower Pty Ltd, Plenary Group Pty Ltd, the National Trust of Australia (Victoria), and any other parties to agreements caught by the broad definition. These entities and their financiers, insurers and subcontractors can now rely on the preserved and validated agreements without fear of challenge based on the Crown Land (Reserves) Act 1978. The validation gives them contractual certainty that the State cannot later repudiate the agreements on the ground of ultra vires.

The National Trust of Australia (Victoria) is specifically affected: the Works Agreement (paragraph (l)) and the Melbourne Convention Centre Development National Trust - Scope of Works (paragraph (n)) relate to works at or around the Polly Woodside site. The Polly Woodside land was originally reserved for conservation of historic interest. The National Trust was likely the committee of management or had an interest in the land. Section 6(b) expressly revokes the appointment of any committee of management; section 6(c) revokes any trustee. The National Trust loses any formal stewardship role over the Polly Woodside land that is hatched in Schedule 3. The Act does not provide for compensation for the loss of that role or for any economic or heritage value.

The public is indirectly affected. The Yarra River Wharf land had been reserved for public purposes (wharf and tourist facilities). That reservation is revoked, meaning the public no longer has the benefit of that dedicated public purpose over the hatched portion. The Polly Woodside land was reserved for conservation of historic interest; that conservation purpose is extinguished over the hatched part. The Act does not provide for alternative public land or compensation for the loss of public amenity.

Anyone with an interest in the land prior to revocation is also affected. Section 6(a) discharges the land from all trusts, limitations, reservations, restrictions, encumbrances, estates and interests. This extinguishes any third party rights that may have existed, such as easements, profits a prendre, or licences that were inconsistent with the land becoming unalienated Crown land. However, the Act does not list any existing third party interests beyond the project agreements.

The Act creates one explicit duty: the Registrar of Titles must make any recordings in or amendments to the Register kept under the Transfer of Land Act 1958 that are necessary because of the operation of any provision of this Act (section 7). This is a mandatory obligation, though the Act provides no penalty for non compliance. The duty is triggered automatically once the revocation takes effect (27 August 2008, being the day after royal assent). The Registrar must ensure that the Register reflects the new status of the land as unalienated Crown land freed from prior encumbrances and interests.

The Act grants several rights. The rights of the parties to project agreements are preserved under section 8. The status and continuity of a project agreement in force immediately before the revocation is not to be taken to be affected by the revocation. This means the contractual obligations and entitlements under those agreements continue as if the revocation had not happened. The agreements remain binding on the State and the private counterparties.

The Act grants a right to rely on retroactive validity under section 9. The project agreements are deemed always to have been validly entered into, even if they were inconsistent with the Crown Land (Reserves) Act 1978. The person who entered into the agreement on behalf of the State is deemed always to have had the power to do so. This gives the private parties a statutory confirmation that the agreements cannot be voided for ultra vires or lack of capacity. It also provides a defence against any claim that the State lacked authority. The validation is retrospective and operates "despite anything to the contrary in the Crown Land (Reserves) Act 1978". This means it overrides any provision of that Act that might have rendered the agreements invalid or unenforceable.

The Crown gains the right to treat the land as unalienated Crown land, freed from the previous reservations and all attendant restrictions. The land can then be dealt with under the Crown Land (Reserves) Act 1978 or other legislation without the constraints of the previous public purpose. The Act does not itself dedicate the land to a new purpose; it simply returns the land to the Crown's pool of unalienated land, which can then be used for the convention centre development.

The Act does not create any private right of action for breach of its provisions. It is a land status and contract validation statute, not a regulatory regime. No section imposes obligations on private parties other than the Registrar.

The Land (Revocation of Reservations) (Convention Centre Land) Act 2008 contains no offence provisions and no penalty clauses. It does not impose fines, imprisonment or any other sanction for non compliance. The only mandatory duty is on the Registrar of Titles under section 7, but the Act does not state what happens if the Registrar fails to make the necessary recordings or amendments. In practice, a failure by the Registrar to update the Register could expose the Registrar to judicial review (mandamus) but the Act itself provides no enforcement mechanism.

Because the Act is a simple revocation and validation statute, enforcement is primarily a matter of contract law. If a party to a project agreement breaches its terms, the ordinary remedies for breach of contract apply. The Act does not confer any additional enforcement powers on the State or on private parties. The preservation and validation provisions operate automatically and do not require any further administrative steps.

The Act does not create any monitoring or oversight body. There is no power to inspect the land, no requirement for reporting, and no power to issue notices. The Act is a one time legislative event: the revocation takes effect immediately on commencement (27 August 2008), and the validation is retroactive. After that, the Act has no ongoing operational content. Any enforcement of the project agreements would proceed under the agreements themselves and the general law.

The lack of penalties is consistent with the Act's character. It is a facilitative statute designed to remove legal obstacles to a specific development. It does not regulate ongoing conduct. However, the absence of any enforcement mechanism for the validation provisions could be significant. If a third party challenges the validity of a project agreement despite section 9, the Act provides a statutory defence but does not provide a cause of action for damages or an injunction to stop the challenge. The parties would need to rely on the ordinary courts to enforce the deemed validity.

The Act interacts directly with the Crown Land (Reserves) Act 1978. The two land parcels were originally reserved under that Act by Orders in Council. Sections 4 and 5 revoke those Orders in Council. Section 6(d) revokes any regulations under section 13 of that Act that applied to the land. More importantly, section 9 operates "Despite anything to the contrary in the Crown Land (Reserves) Act 1978". This is a partial override: the project agreements are deemed valid even if they were inconsistent with the Crown Land (Reserves) Act. The validation extends to the person's power to enter into the agreement under that Act. So the Crown Land (Reserves) Act cannot be used to challenge the project agreements on the ground that the land was reserved or that the State lacked authority.

The Act interacts with the Transfer of Land Act 1958. Section 7 requires the Registrar of Titles to amend the Register. The land, once declared unalienated Crown land under section 6(a), may become subject to the Torrens system (if it was not already). The amendment must reflect the removal of the reservation and any encumbrances.

The Act interacts with the Project Development and Construction Management Act 1994. All the project agreements listed in the definition of "project agreement" were entered into under section 14 of that Act. The Act does not amend or repeal that Act, but it validates and preserves the agreements made under it. The Secretary to the Department of Infrastructure is defined by reference to that Act.

The Act may interact with heritage legislation indirectly. The Polly Woodside land was reserved for conservation of an area of historic interest. The revocation does not necessarily extinguish any heritage listing under the Heritage Act 1995 (Vic) or the Planning and Environment Act 1987, because the reservation was a separate Crown land regime. However, by removing the reservation, the land loses that particular layer of statutory protection. The Act does not mention any other heritage laws. The Works Agreement with the National Trust (paragraph (l)) suggests that some conservation works may still be required as part of the project, but that is contractual, not statutory.

The Act does not interact with the National Trust Act or any trust law. The trusts referred to in section 6(a) are trusts attaching to the reservation, not charitable trusts. The revocation frees the land from all trusts, which could include any public trust that had been established over the land. The effect on any trust of which the National Trust was a trustee is unclear from the Act.

The Act does not mention the Planning and Environment Act 1987. The revocation does not change the zoning or overlays applying to the land. Planning permits would still be required for any development. The Act only removes the Crown land reservation.

The Land (Revocation of Reservations) (Convention Centre Land) Act 2008 has not been amended. The Endnotes to the Act include a Table of Amendments which states: "There are no amendments made to the Land (Revocation of Reservations) (Convention Centre Land) Act 2008 by Acts and subordinate instruments." The Act received royal assent on 26 August 2008 and came into operation on 27 August 2008 (the day after assent) by virtue of section 2. The version provided is Version No. 001, which is the original version. No subsequent amending Acts or statutory rules have altered its text. This is consistent with the Act's nature as a one off transactional statute. Once the land reservations are revoked and the project agreements are validated, there is no ongoing need for amendment. The Act is effectively spent in terms of its operative provisions, though the validation and preservation provisions remain legally operative for any future dispute.

The Act's source text provides no information about any litigation history. The Endnotes contain no entries in the Explanatory Details section. There is no reference to any court case, tribunal decision or judicial consideration of the Act. Given that the Act was enacted in 2008 and is a narrow, site specific statute, it is plausible that no reported litigation has arisen from its provisions. The Act's validation provision (section 9) is a strong retroactive cure, which may have deterred challenges. However, the absence of recorded litigation in the source does not guarantee that no disputes occurred. Unreported proceedings or cases under other Acts (e.g., contract disputes under the project agreements) may have tangentially involved the Act. But the source provides no case names or citations, and as an analyst I cannot invent them. The Act's provisions are sufficiently clear that litigation over the revocation itself is unlikely; the main risk would be a challenge to the validation provision by a third party claiming that the Crown Land (Reserves) Act 1978 was overridden improperly. No such challenge is recorded in the source. The Act remains judicially untested on the face of the material provided.

The Act contains several potential traps for the unwary. The most significant is the retroactive validation in section 9. It deems the project agreements always valid and the State's representative always empowered. This retroactivity may affect third party rights that vested before the Act's commencement. For example, if a third party had acquired an interest in the Polly Woodside land based on the conservation reservation, that interest is extinguished by section 6(a) without compensation. The validation also eliminates any argument that the State acted ultra vires, which might otherwise have given a third party a basis to challenge the development. The broad wording "despite anything to the contrary in the Crown Land (Reserves) Act 1978" means that even if the agreements were in clear breach of that Act, they are now deemed valid. This could expose the State to claims for breach of contract if the private parties rely on the validation, but it also protects the private parties from the State arguing the agreement was void.

A second gotcha is the broad definition of project agreement in section 3. Paragraph (o) includes "any agreement that arises from, out of, or is in relation to or connected with" any of the listed agreements. This is an open ended catch all. It means that any variation, supplement, side letter or ancillary document that is connected to the main agreements is also preserved and validated. Parties may not realise that a seemingly minor letter agreement about a car park or signage is captured by the Act and now retroactively validated. Conversely, any agreement that is not covered by the definition may not benefit from the validation and could remain vulnerable. The definition is specific to the Melbourne Convention Centre Development; it does not apply to other projects.

A third gotcha is the extinguishment of all trusts, limitations, reservations, restrictions, encumbrances, estates and interests in section 6(a). This is a complete wipe. Any private rights that were not recorded in the Torrens register or that were based on the reservation itself are lost. For example, if a member of the public had a customary right to use the Yarra River Wharf for recreation, that right is now extinguished. No compensation is provided. The Act does not require any notice to be given to persons who may have held such rights.

A fourth gotcha is the absence of transitional provisions for the Polly Woodside land. The reservation was for conservation of historic interest. The Act does not impose any ongoing heritage obligations on the land once it becomes unalienated Crown land. The Works Agreement with the National Trust may provide some contractual protections, but those are not statutory. If the agreement is not performed, the Polly Woodside land could be developed without a conservation overlay.

A fifth gotcha is the Registrar of Titles duty in section 7. While the Registrar must make amendments, the Act does not specify a timeline. Delayed registration could create uncertainty about the land's status. A purchaser or financier relying on the Register before the amendment might not see the revocation reflected.

Finally, the Act is spent in the sense that the revocation has already happened. However, the validation and preservation provisions remain live. Anyone dealing with the convention centre development should confirm that their agreement is captured by the definition and ensure they do not rely on any invalidity argument that is now statutorily cured.

Compliance with the Land (Revocation of Reservations) (Convention Centre Land) Act 2008 is straightforward because it imposes few ongoing obligations. For the Registrar of Titles, compliance means making the necessary recordings and amendments to the Register under the Transfer of Land Act 1958 as soon as practicable after the Act's commencement (27 August 2008). The Registrar should identify the parcels of land described in Schedules 2 and 3 (the hatched areas) and update the titles to reflect that the reservations are revoked and the land is now unalienated Crown land freed from the former encumbrances. Any prior caveats, easements or interests that were created under the Crown Land (Reserves) Act 1978 and are inconsistent with the new status should be removed or noted as extinguished. The Registrar should also ensure that any entries relating to committees of management or trustees are cancelled as provided in section 6(b) and (c).

For the Secretary to the Department of Infrastructure, compliance is less procedural. The Secretary should ensure that the project agreements are physically preserved and that there is no attempt to treat them as affected by the revocation. The validation provision in section 9 is automatic, but the Secretary should notify all counterparties that the agreements are deemed valid retroactively. This will avoid any confusion in future disputes. The Secretary should also coordinate with the Registrar to ensure the land registrations are updated.

For private parties to the project agreements, compliance is passive. They can rely on sections 8 and 9 to defend the validity and continuity of their agreements. They should, however, review their agreements to confirm they fall within the definition in section 3. If an agreement is not listed in the events (a) through (n) but arguably arises from a listed agreement under paragraph (o), parties should document their reasoning. They should also be aware that the Act does not override any other laws, such as planning or environment laws. They must still obtain any required planning permits, building approvals and environmental clearances for the convention centre development. The Act only removes the reservoir of Crown land reservation; it does not grant development consent.

For the National Trust of Australia (Victoria), compliance involves understanding that its role as committee of management or trustee over the Polly Woodside land is revoked. The Trust should relinquish any formal control and focus on its contractual rights under the Works Agreement. It should also ensure that any contractual obligations it has to the State or Plenary Group are performed, as the Act preserves those agreements.

For any third party who previously had an interest in the land (e.g., a licence or easement), the Act extinguishes those interests. They have no compliance obligations but should be aware that their rights are lost. They may wish to seek legal advice about any contractual or other remedies against the State, though the Act does not provide for compensation.

No reporting, record keeping or auditing is required by the Act. It is a one off legislative transaction. Once the land status is updated and the agreements are validated, the Act's compliance burden is exhausted. The main practical step is ensuring the Register is updated, as failure to do so could cause title confusion for any subsequent dealings with the land.
