Land (Goonawarra Golf Course) Act 1988

Several principal legal concepts structure the Act and its Schedule. First, statutory authorisation of sale and of purchase: s 4 separately authorises Homes Victoria to sell and the Municipality to acquire the Goonawarra Golf Course, and prescribes the permissible terms depending on timing. That means the sale does not require fresh authorising instruments beyond those prescribed by the Act; the statutory text itself defines permissible commercial parameters for the transaction (s 4(1)-(3)).

Second, statutory restriction and positive covenant on land use. Section 5 places use restrictions on any purchaser while named as purchaser in contract and on any registered proprietor under the Transfer of Land Act 1958: the land must be used only as a golf course and members of the public who are not club members must be given reasonable access to play. These are statutory obligations which create offences and monetary penalties for non‑compliance (s 5(2)-(3)).

Third, statutory transformation (not simply recognition) of private instruments. Section 6 gives the 1981 sub‑lease continued effect as if the 1978 lease had continued in force and, on sale, treats the sub‑lease as having effect as a lease between Municipality and the Club, but with the Schedule substituting for “other provisions” of the sub‑lease (s 6(1), (3)). Practically, this is a legislative restatement and reallocation of rights and duties that displaces private contractual terms to the extent of inconsistency (s 6(4)).

Fourth, allocation of maintenance and operational costs. The Schedule allocates primary responsibility for course maintenance, plant, equipment and staffing to the Shire (clause 4(1), clause 5(1)-(2), clause 7, clause 8). The Club is primarily responsible for maintenance of club buildings (clause 6(1)), payment/reimbursement of outgoings (clause 10(1)), insurance contributions (clause 10(3)-(5)), and rent under the formula in Schedule 2.

Fifth, executive discretion in operational matters. The Minister has specified roles: to determine the weekend green fee used in the rental formula (Schedule 2), to determine club exclusive hours if the parties cannot agree (Schedule 7 and clause 16(1)(b)), and to determine membership numbers for rental calculation if the parties cannot agree, exercising what the Schedule calls “absolute discretion” after enquiries (Schedule 2). The Valuer‑General also has a statutory role in pricing where the sale occurs after the three‑month window (s 4(3)(b)(i)).

Sixth, legal immunity for certain consequences of the Act. Section 7 broadly bars claims for compensation or damages against the Crown, Homes Victoria, the Municipality or any other person in respect of anything done under or arising from the Schedule or the Act, except where the Schedule itself provides otherwise or for a contravention of the Schedule (s 7(1)). The provision defines breach of contract to include the 1978 and 1981 agreements (s 7(2)). That immunity reduces the suite of remedies available to parties whose rights are varied by the Act.

Seventh, statutory penalties and ongoing daily penalties. Non‑compliance with s 5(3) attracts a penalty of 10 penalty units; a person convicted is liable to up to 10 penalty units for each day the offence continues after conviction (s 5(3)-(4)). The Act therefore couples criminal or regulatory enforcement with continuing monetary consequences.

Eighth, detailed prescriptive administrative schedules. The Schedule is not merely illustrative; it contains operationally detailed mandatory obligations: specific irrigation and plant lists (Schedule 3), a prescriptive annual maintenance programme with timing and frequencies for greens, fairways, tees, bunkers and so on (Schedule 4), and a detailed list of plant and machinery (Schedule 5). These express the standard to which the Shire must maintain the course (clause 4(1)).

Together these concepts convert historic administrative arrangements into a durable statutory regime: a sale subject to a statutory lease with detailed operational duties, ministerial decision points on access and calculation disputes, and limits on compensation. The Act thus intertwines land transfer, statutory contract substitution and ongoing regulatory obligations.

The Act names and affects a constrained group of primary stakeholders and a broader set of secondary stakeholders.

Primary stakeholders

• Homes Victoria (successor to the Housing Commission of Victoria): authorised to sell the land (s 4(1)). Homes Victoria will receive the sale consideration and its timing and amount are governed by s 4(3).
• The Municipality of the Shire of Bulla (the Municipality): authorised to purchase (s 4(2)), becomes the registered proprietor and is allocated a range of ongoing obligations if it purchases (s 5(2); Schedule clauses 4-9, 16). The Municipality (Shire) is the named lessor under the Schedule once the sub‑lease is converted to a lease (s 6(3)).
• Goonawarra Golf Club Limited (the Club): protected by the statutory conversion of the sub‑lease into a lease with an exclusive licence to use the golf course during certain hours and other rights and obligations set out in the Schedule (s 6(3); Schedule clause 16 and Schedule 7).
• Members of the public who wish to play golf who are not club members: given a statutory entitlement to reasonable access to play the course and to access public facilities, albeit subject to club exclusive hours and payment of fair and reasonable green fees (s 5(2)-(3); Schedule clause 16(2); Schedule 7).

Secondary stakeholders

• Ratepayers and residents of the Shire: the Schedule allocates significant maintenance and staffing costs to the Shire (clause 4(1), clause 5), meaning fiscal impacts are borne by the Municipality and thus ultimately by ratepayers through budgets and rates.
• Minister administering the Act: has direct decision‑making power to determine club exclusive hours where the parties cannot agree, to approve the weekend green fee used in the rental formula, and to determine membership numbers in disputes (Schedule 7; Schedule 2). The Minister thereby affects the balance between club exclusivity and public access.
• Valuer‑General: determines market value for a sale occurring after the three‑month window (s 4(3)(b)(i)).
• Insurers and utilities: the Schedule contains obligations about insurance, and the Shire and Club share insurances and reimbursements (clause 10). Public utilities supply services for which the Club pays.
• Contractors and maintenance staff: the Shire must appoint a curator and provide staff and plant (clauses 4(1), 7, 8; Schedule 5), creating operational roles for external service providers.
• Users of the course beyond golfers: e.g., nearby residents affected by maintenance works, water usage, lights, etc., because Schedule 3 and Schedule 4 set out irrigation and lighting equipment and an expectation the course be maintained to a “high standard”.

How the Act alters these stakeholders’ positions

• The Municipality acquires asset ownership powers and obligations; the purchase transfers long‑term maintenance liability from the Housing Commission/Homes Victoria to the Municipality and obliges the Municipality to secure public access and to run the course as a golf course (s 4; s 5; Schedule clauses 4-5).
• The Club’s pre‑existing sub‑lease rights are preserved in substance and converted to a lease; the Club retains an exclusive licence during specified hours and the right to renew options up to a capped total period (clause 18, Schedule). The Club is constrained by covenants (e.g., not to use the premises except as a golf club) and by operational conditions (e.g., records for membership counts in Schedule 2).
• Members of the public are granted statutory protection to reasonable access, but that right is qualified by club exclusive hours and the discretion given to the Minister to determine the balance of hours in light of demand (s 5(2); Schedule 7). The right is not a free, absolute right to use at any time.
• The Act limits the capacity of affected parties to claim compensation against the Crown, Homes Victoria, the Municipality or others for changes the Act effects unless the Schedule provides otherwise or there is contravention of the Schedule (s 7(1)). This affects the Club, other commercial actors and potentially private parties whose rights are varied by the legislative operation.

In short, the Act fixes the positions and roles of incumbent institutional actors (Homes Victoria, the Shire, the Club, the Minister and Valuer‑General) and reallocates financial and operational responsibilities principally to the Municipality, while preserving the Club’s use rights within ministerially defined limits and imposing public access obligations.

The Act and the Schedule create a network of enforceable duties and rights affecting the Municipality (Shire), the Club, Homes Victoria, the Minister and the public. Below are the principal duties and rights, cited to the statutory provisions.

Municipality / registered proprietor duties and rights

• Duty to ensure use only as a golf course: Section 5(2)(a) requires the Municipality, while holder of an interest as purchaser and while registered proprietor, to ensure the Goonawarra Golf Course is used only as a golf course. Section 5(3)(a) extends this duty to any registered proprietor under the Transfer of Land Act 1958.
• Duty to provide public access: Section 5(2)(b) obliges the Municipality to ensure reasonable access to members of the public who wish to play and are not club members. Section 5(3)(b) repeats this for registered proprietors.
• Maintenance obligations: Clause 4(1) of the Schedule places on the Shire the obligation to “well and substantially repair and maintain as a golf course in good and substantial condition the Golf Course and all improvements and installed equipment” and to adhere to the Annual Maintenance Programme in Schedule 4. Clause 5(1) requires provision of plant and equipment listed in Schedule 5 and clause 5(2) requires maintenance and replacement as necessary.
• Staffing obligations: Clause 7 obliges the Shire to appoint an experienced curator and such assistants at no cost to the Club. Clause 8 requires appointment of an experienced golf professional and sets out responsibilities (Schedule 6).
• Insurance obligations: Clause 10(3) requires the Shire to effect and maintain public risk insurance and property insurance; the Club reimburses premiums relating solely to the club premises and a fair proportion of public risk premiums (clause 10(3)-(5)).
• Right to receive rent: Under Schedule 2, the Shire is entitled to rent calculated by the formula 30 × NM × GF, collected quarterly, and to require production of membership records for verification (Schedule 2).
• Right to enforce covenants: The Shire may re‑enter and repossess in cases of default as set out in clause 11.

Club duties and rights

• Right to exclusive licence: Clause 16(1) grants the Club and its members an exclusive licence to use the Golf Course during hours determined by agreement between the parties or, failing agreement, determined by the Minister in accordance with Schedule 7. Clause 16(1) makes that licence irrevocable by the Shire except on proper termination under clause 11.
• Right to renewal options: Clause 18 grants the Club options to extend the lease and exclusive licence for successive five‑year periods up to an aggregate limit not exceeding 70 years. Exercise must be by written notice not less than 60 days before lease expiry (clause 18).
• Duty on use: Clause 3(1) requires the Club to use the course and premises only as a golf course and private golf club with related ancillary services.
• Financial obligations: Clause 2 and Schedule 2 set out rent payable; clause 10(1) obliges the Club to pay or reimburse rates, taxes, utility charges and outgoings for the club premises; clause 10(3) requires reimbursement of certain insurance premiums.
• Maintenance obligations for clubhouse: Clause 6(1) requires the Club to well and substantially repair and maintain any buildings on the club premises at its own cost.
• Restrictions on disposal: Clause 9 bars assignment, transfer, subleasing or parting with possession without Shire approval (which may be conditioned).
• Compliance with laws: Clause 12 requires compliance with statutes and regulations affecting Club use.

Public rights

• Reasonable access to play: Statutory duty on Municipality/registered proprietors to give reasonable access to members of the public who wish to play and who are not club members (s 5(2)(b), s 5(3)(b); Schedule clause 16(2) and Schedule 7 ensure availability except during club exclusive hours).
• Payment of fair and reasonable green fees: The Schedule contemplates non‑club players paying “fair and reasonable” green fees and complying with reasonable directions (Schedule clause 16(2)).

Ministerial and third‑party roles and discretions

• Minister to determine hours: Schedule 7 and clause 16(1)(b) empower the Minister to determine the Club’s exclusive hours where the parties cannot agree, with instructions to have regard to membership numbers and to ensure reasonable hours for non‑club golfers.
• Ministerial role in rent disputes: Schedule 2 provides that if Shire and Club cannot agree the number of members for rental calculation, the Minister may specify the number after enquiries “as are in his/her absolute discretion reasonable,” thereby giving the Minister decisive authority in rent disputes.
• Valuer‑General role for market valuation: s 4(3)(b)(i) requires that where sale occurs after three months the Valuer‑General determine consideration with regard to market value.

Enforcement and penalty rights

• Offence and penalty: s 5(3) creates an offence for failure to ensure statutory use/access obligations, carrying a penalty of 10 penalty units, and s 5(4) provides a continuing penalty up to 10 penalty units per day after conviction for each day the offence continues.
• Re‑entry and remedies: Clause 11 gives the Shire rights to re‑enter and terminate the lease after prescribed defaults and notice periods while preserving action for breaches.

Immunity limits

• No compensation: s 7(1) restricts claims for compensation or damages against the Crown, Homes Victoria, the Municipality or any other person in respect of actions under the Schedule or other provisions of the Act, except where the Schedule otherwise expressly provides or for contravention of the Schedule (s 7(1)(a)(i)-(ii), (b), (c), (d)).

Taken together, the Act creates statutory obligations enforceable by penalty and contractual‑style enforcement under the converted lease, embeds ministerial decision points for access and rent disputes, allocates core operational costs to the Municipality, and protects the Club’s exclusive licence subject to those statutory constraints.

The Act specifies a narrow statutory penalty regime and leaves broader enforcement mechanisms to the ordinary courts and the re‑entry and contractual remedies embedded in the Schedule.

Statutory criminal/regulatory penalties

• Use/access offence: Section 5(3) creates an offence for a person (other than the Municipality) who is for the time being registered as proprietor under the Transfer of Land Act 1958 if they fail to ensure the land is used only as a golf course and that members of the public who do not have a right to play as club members are given reasonable access. The penalty for that offence is 10 penalty units (s 5(3)). As at the date of the Act, penalty units are a statutory measure; current unit values must be sourced separately for precise dollar amounts.
• Continuing daily penalty: Section 5(4) provides an additional penalty of not more than 10 penalty units for each day the offence continues after conviction. This attaches a continuing daily financial exposure for ongoing non‑compliance.

Contractual and re‑entry remedies in the Schedule

• Re‑entry on defaults: Clause 11 sets out default scenarios (non‑payment of rent or other sums beyond 30 days; failure to remedy breaches within 30 days of written notice) that permit the Shire to give a further 30 days’ notice of intention to re‑enter and repossess the club premises. The clause preserves the Shire’s right to pursue actions for breach even after re‑entry.
• Notices and remediation periods: Clause 11 allows the Shire to grant additional time up to 60 days, in its discretion, where the Club shows it is exercising utmost diligence to remedy the breach. The Shire’s procedural obligations in taking action are thus defined by clause 11.

Enforcement actors and procedures

• Prosecutorial authority: The Act does not specify a particular enforcement agency for offences under s 5; therefore prosecution for the statutory offence would proceed through the usual criminal/regulatory apparatus (police, authorised officers, or prosecuting authorities) unless specific local arrangements exist. The Act’s text does not detail enforcement processes or delegated enforcement powers.
• Civil enforcement: Many obligations are couched as covenants in the Schedule. Compliance disputes (e.g., failures to maintain the course to the standard in Schedule 4, disputes about rent calculation under Schedule 2 or entitlement to re‑enter under clause 11) would be litigable as contractual or property disputes in the civil courts, subject to s 7’s limits on compensation for things done under the Schedule unless the Schedule provides otherwise or there is a contravention.
• Ministerial determinations: Several potential disputes are channelled to administrative decision‑makers (Minister to determine hours under Schedule 7; Minister to determine membership numbers if parties do not agree in Schedule 2; Valuer‑General to value the land under s 4). These determinations may be subject to administrative law review (judicial review) on conventional public law grounds, though the Act supplies discrete statutory grants of power, some couched in strong discretionary terms (“absolute discretion” in Schedule 2).

Limits on remedies: s 7 immunity

• Bar on compensation: Section 7(1) substantially limits claims for compensation or damages against the Crown, Homes Victoria, the Municipality or any other person “in respect of anything done under or arising out of the provisions of the Schedule” and “in respect of anything done under or arising out of any other provision of this Act,” save for where the Schedule expressly provides otherwise or for contraventions of the Schedule (s 7(1)(a)-(b)). This constrains the availability of monetary remedies for parties whose rights are varied by operation of the Act.
• Definition of breach of contract: Section 7(2) clarifies that “breach of contract” in s 7 includes breach of the 1978 and 1981 agreements. The statutory effect is to limit contractual remedies for variations or losses arising from the Act that would otherwise generate breach claims.

Practical enforcement risks and considerations

• Enforcement against the Municipality: Section 5(3) expressly exempts the Municipality from that particular offence provision, but when the Municipality is registered proprietor the duties in s 5(2) apply to the Municipality and s 5(3) to registered proprietors other than the Municipality. That means municipal obligations are statutory duties while the criminal offence targets non‑Municipal proprietors. Breaches by the Municipality would be actionable through civil and public law channels and through the Schedule’s covenants where the Club or the public can establish breach; however s 7 narrows compensation remedies.
• Continuing penalty exposure: Where a non‑Municipality registered proprietor breaches s 5(3) the daily continuing penalty can generate substantial cumulative exposure post‑conviction, which creates an economic pressure to remedy promptly or negotiate access.
• Administrative discreteness: The strong discretionary language for Ministerial determinations (e.g., “absolute discretion” around membership determinations in Schedule 2) means that, while Ministerial decisions could be challenged on grounds of Wednesbury or proportionality, in practice the Minister’s determinations will be decisive for operational issues. That concentrates effective operational enforcement and dispute resolution in the executive.

In short, enforcement under the Act is a combination of statutory criminal penalties for certain use breaches, civil remedies under the converted lease for maintenance and contractual defaults, re‑entry rights for the Shire on landlord defaults, and significant immunities limiting compensation claims against public actors. Several operational disputes are deliberately drawn to Ministerial and Valuer‑General decision points rather than to private litigation, foregrounding administrative resolution in many contested areas.

The Act situates itself within a statutory framework and expressly cross‑refers to several pieces of legislation and legal regimes; the interactions are both direct and operational.

Transfer of Land Act 1958

• Registered proprietor obligations: Section 5(3) expressly links the Act’s use and access obligations to registered proprietors under the Transfer of Land Act 1958. That means the statutory duties follow title and can be enforced against whoever appears on title as registered proprietor (s 5(3)). The Act thus imposes a statutory covenant that sits alongside registered interests and may be noticed on title by necessary registration instruments governed by the Transfer of Land Act procedures.

Housing Act 1983 and Homes Victoria

• Definition of Homes Victoria: Section 4(1) defines Homes Victoria by reference to s 4(1) of the Housing Act 1983. The amendment history notes s 4(1) was amended (No. 40/2022 s 56), reflecting the administrative successor arrangement. This links the sale authority to the statutory entity created under the Housing Act and thereby governs who may lawfully convey Crown/Commission land.

Property and statutory contract interplay

• Statutory conversion of private instruments: Section 6 provides that the 1981 sub‑lease is to be treated as a lease and that, on sale, the Schedule supersedes other provisions of the sub‑lease. This alters the common law contractual entitlement of the parties by legislative substitution. Where private agreements conflict with the Schedule, the Schedule’s terms prevail by express statutory language (s 6(4)). That may affect rights and liabilities that would otherwise be determined under general contract law.

Administrative law and ministerial decisions

• Ministerial determinations: The Minister’s functions under the Schedule (determining exclusive hours, approving the weekend green fee used in the rental formula, resolving membership number disputes under Schedule 2) are statutory administrative functions. Those decisions are subject to administrative law constraints , for example judicial review for jurisdictional error, unreasonableness or failure to take into account relevant considerations , but the Act’s text gives the Minister broad discretion, including an “absolute discretion” formulation in Schedule 2 for membership enquiries. The Schedule’s wording may therefore temper oversight remedies in practice, though not negate them.

Valuer‑General and valuation law

• Market valuation: Section 4(3)(b)(i) requires the Valuer‑General to determine consideration if the sale occurs after three months. That embeds a public valuation process and interacts with statutory valuation methodologies and the Valuer‑General’s procedural rules, rather than allowing a purely market negotiation between private parties.

Insurance, rates and local government law

• Local government obligations and local law: The Shire’s obligations (maintain course, appoint staff, effect insurance, reimburse premiums) will interact with local government budgeting, procurement rules and rate‑setting practices under the Local Government Act and related instruments. The allocation of liabilities to the Shire in the Schedule will need to be reflected in municipal budgets and administered under local government financial controls.

Interpretation of legislation and statutory formatting

• Interpretation of legislative materials: The Endnotes include references to the Interpretation of Legislation Act 1984 (ILA) and note changes about headings, examples, punctuation and provision numbering forming part of the Act. These interpretation notes do not change substantive duties but affect statutory construction practices (Endnotes 1 and 3).

Constraints on remedies and constitutional property law

• Bar on compensation: Section 7’s prohibition of compensation for anything done under or arising from the Schedule or the Act has constitutional and private law consequences. While the Act limits statutory and contractual compensation remedies, constitutional challenges (e.g., acquisition of property on unjust terms) are not addressed in the text. The Act frames the legal position by removing ordinary routes for compensation in many circumstances, but how that interacts with constitutional guarantees would be litigable outside the Act’s text, and the Act itself does not purport to displace constitutional guarantees.

Other general laws and common law rights

• Common law and statutory obligations: The Schedule’s covenants and the statutory duties in s 5 operate subject to other applicable laws (e.g., environmental protection, occupational health and safety, planning laws, nuisance). Clause 12 requires Club compliance with statutes and regulations. The Act does not operate to exempt contraventions of other statutory frameworks; obligations such as environmental approvals or planning consents remain in place unless specifically displaced.

In sum, the Act interfaces with property registration and transfer law (Transfer of Land Act 1958), housing administration (Housing Act 1983/Homes Victoria), local government financial and administrative regimes, administrative law oversight of Ministerial decisions, the Valuer‑General’s statutory role, and the general corpus of statutes and common law obligations that govern land, contracts and municipal operations. It legislatively reconfigures existing private instruments by substitution to create an integrated statutory arrangement.

The legislative record in the Act’s endnotes identifies discrete amendments and incorporates them into the current consolidated text. The Act has been amended or otherwise affected by statute law revision and broader regulatory reform measures. The operative amendment record in the published version is:

• Statute Law Revision Act 2000 (No. 74/2000): The endnotes record that s 7(1)(c) was amended by the Statute Law Revision Act 2000 (Schedule 1 item 67) with assent 21 November 2000, commencing 22 November 2000. The endnotes identify this entry specifically in the table of amendments. The 2000 Act’s amendments are typically stylistic or tidying in nature; in this Act the amendment adjusted paragraph numbering and updated phrasing in s 7(1)(c), though the consolidated text now records the amended paragraph.
• Residential Tenancies, Housing and Social Services Regulation Amendment (Administration and Other Matters) Act 2022 (No. 40/2022): The endnotes state s 4(1) was amended by No. 40/2022 s 56, with assent 6 September 2022 and commencement 7 September 2022. The consolidated text now refers to “Homes Victoria (within the meaning of section 4(1) of the Housing Act 1983), as successor of the Housing Commission of Victoria” in s 4(1), reflecting administrative successor arrangements that the 2022 amendment effected.
• Regulatory Legislation Amendment (Reform) Act 2024 (No. 6/2024): The endnotes record s 7(1) was amended by No. 6/2024 s 107, assented 5 March 2024 and commenced 6 March 2024. The consolidated text shows s 7(1) with its current structure and paragraphs, including the enumerated exceptions to the compensation bar; this 2024 amendment updated or clarified aspects of s 7(1).

How these amendments change legal positions

• Terminology and administrative updates: The 2022 amendment updates the identity of the selling authority to reflect Homes Victoria as successor to the Housing Commission of Victoria. That is an administrative modernisation rather than a change to the substantive sale mechanics in s 4, but it changes which statutory body is empowered to transact under s 4(1).
• Compensation bar clarification: The 2024 amendment to s 7(1) reshaped the drafting and may have clarified the exceptions to the bar on compensation. The consolidated text reflects that the bar applies “in respect of anything done under or arising out of the provisions of the Schedule” except where the Schedule otherwise expressly provides or for contraventions of the Schedule (s 7(1)(a)-(b)). The earlier drafting may have been reorganised to clarify scope, but the Act now clearly sets out the ban and its exceptions.
• Statute law revision: The 2000 change adjusted paragraph numbering or phraseology in s 7(1)(c), as part of broader statute law revision housekeeping. These changes are typically not substantive.

What the legislative notes reveal about intent and maintenance

• The endnotes include the Minister’s second reading speeches (Legislative Assembly 10 March 1988; Legislative Council 13 April 1988) and the long title recorded in the parliamentary history, which situate the Act’s purpose in enabling the sale and clarifying the legal effect of certain documents. The endnotes show the Act has been maintained through small, targeted amendments that update administrative references and refine drafting rather than overhaul substantive policy.
• The Interpretation of Legislation Act 1984 (ILA) references in the endnotes indicate that formatting, headings and interpretative conventions apply to this Act as consolidated, affecting how courts and administrators read the Act (Endnotes, Interpretation).

Practical considerations for users of the Act

• If timing of sale matters for pricing (s 4(3)), practitioners must check whether the three‑month window remains available. Any delay after commencement will invoke a Valuer‑General valuation rather than the capped $800,000 interest‑free option. The consolidated text retains both paths and the 2022/2024 amendments did not alter that structure materially.
• Changes to administrative agencies (2011-2024 era renames and restructures across housing authorities) are reflected in the text, so transactional documents and settlement processes should align with the current statutory name (Homes Victoria) and its statutory powers.
• The 2024 amendment to s 7 reinforces that compensation claims are limited; practitioners should review the precise current language in s 7(1) to advise clients about available remedies.

Overall, the Act’s amendment history shows targeted modernisation and drafting refinement rather than substantive re‑direction of the original legislative architecture.

The Act’s endnotes and consolidated text do not record any reported judicial decisions interpreting or applying the Land (Goonawarra Golf Course) Act 1988. The endnotes list parliamentary materials and amendment instruments but do not catalogue case law. Consequently, there is no recorded litigation history included in the source material to cite.

Where disputes under the Act would be likely to arise and hence litigated

• Interpretation of “reasonable access”: The Act requires the Municipality and registered proprietors to ensure “members of the public who wish to play golf ... are given reasonable access to, and use of, the Course” (s 5(2)(b), s 5(3)(b)). Litigation could arise over the meaning of “reasonable access” in circumstances of competing demands, scheduling of exclusive club hours, green fee levels, booking practices, or operational closures. The Act channels some disputes to the Minister (Schedule 7), but whether administrative determinations fully displace judicial review or civil claims would be a litigation question.
• Ministerial discretion and administrative law challenges: Schedule 2 grants the Minister broad discretion to determine membership numbers where Shire and Club cannot agree, after enquiries “as are in his/her absolute discretion reasonable.” Schedule 7 likewise gives the Minister a determinative role on exclusive hours if parties cannot agree. These functions may be subject to judicial review for jurisdictional error, but litigation could test the scope of the Minister’s discretion and the standard of review applicable to “absolute” discretion language.
• Enforcement of Schedule maintenance standards: Clause 4(1) requires adherence to the Annual Maintenance Programme in Schedule 4 and to a high standard of equipment and staffing. Civil proceedings could arise where one party alleges failure to honour these maintenance obligations, particularly where the Club claims the Shire’s failures impair its exclusive licence or the course’s competitiveness.
• Valuation and sale disputes: If a sale occurs after three months, the Valuer‑General determines consideration (s 4(3)(b)(i)). Disputes could arise about valuation methodology, procedural fairness in valuation inquiries, or application of valuation factors, giving rise to administrative or valuation law proceedings.
• Scope of the compensation bar: Section 7(1) broadly bars compensation claims “in respect of anything done under or arising out of the provisions of the Schedule” except in limited circumstances. Litigation could seek to test the boundaries of that prohibition: for instance, whether a particular act constitutes a contravention of the Schedule (which remains actionable), whether a loss arises from an “anything done” under the Schedule or from unrelated legislation, and whether constitutional remedies might circumvent the statutory bar.

Observations on the absence of recorded litigation in the source

• The consolidation and endnotes do not list cases; absence in the Act’s printed endnotes is not dispositive of whether the Act has been subject to litigation. A comprehensive search of case law databases and local court records would be required to establish whether disputes have been litigated. The consolidated Act as provided does not supply a litigation history.
• The statutory design, which channels significant operational disputes to the Minister and the Valuer‑General and includes a compensation bar, suggests the legislature anticipated resolving many conflicts administratively rather than through lengthy litigation. That design may reduce the volume of reported litigation but raises questions about administrative review and the practical enforcement of private rights.

For practitioners, the likely litigation areas are set by the statutory allocations of decision‑making and obligations: access standards, Ministerial discretion, valuation on sale, maintenance obligations, and the scope of s 7’s immunity. Where these areas intersect with other statutory regimes (e.g., local government law, Transfer of Land obligations, contractual default remedies), litigationable questions will follow conventional lines of property, contract and administrative law. The Act itself does not provide an internal litigious record.

Several specific drafting features and operational traps are embedded in the Act and Schedule. These are points where a party might assume a default that the Act does not support or overlook a collateral effect.

Timing of the sale and price consequences (s 4(3))

• The favourable capped price and interest‑free payments (not more than $800,000 payable in equal annual instalments over 25 years, interest free) are available only if the sale occurs not later than three months after commencement (s 4(3)(a)(i)). If the sale occurs after three months, the Valuer‑General must determine market value (s 4(3)(b)(i)). Practically this means the Municipality and Homes Victoria face a choice: transact quickly to secure the capped price or accept an open market valuation. Delays may materially change the financial outcome, and the Act does not provide for partial caps or transitional pricing.

Ministerial “absolute discretion” over membership number (Schedule 2)

• Schedule 2 gives the Minister power to determine the number of members for rent calculation “after the Minister has made such enquiries as are in his/her absolute discretion reasonable.” The “absolute discretion” language displaces ordinary negotiation leverage: if the Club and Shire cannot agree, the Minister’s determination is final for rent purposes. That delegates a commercially sensitive calculation to the Minister and reduces foreseeability and bargaining power for both parties.

Undefined “reasonable access” and “fair and reasonable” green fees (s 5; Schedule clause 16(2))

• The Act requires the Municipality and registered proprietors to give members of the public “reasonable access” (s 5(2)-(3)), and Schedule clause 16(2) contemplates “fair and reasonable” green fees. Neither term is defined in the Act. These vagaries are a source of legal uncertainty and potential dispute, particularly where club exclusive hours (Schedule 7) or booking practices limit practical public access.

Conversion of sub‑lease to lease and displacement of original contractual terms (s 6(3)-(4))

• Section 6(3) instructs that, on sale, the sub‑lease takes effect as a lease and that “instead of the other provisions contained in the sub‑lease, the sub‑lease contained the provisions of the Schedule.” That means pre‑existing contractual terms which are inconsistent with the Schedule are replaced by the Schedule. Parties relying on bespoke provisions in the 1981 agreement may find those provisions have been statutorily displaced.

No compensation bar (s 7)

• Section 7 broadly bars compensation or damages for “anything done under or arising out of the provisions of the Schedule” and “any other provision of this Act,” except where the Schedule expressly provides or for contraventions of the Schedule (s 7(1)). Practitioners should note the statue’s constriction of ordinary damages remedies and not assume standard contractual or statutory compensation claims will be available for losses flowing from the Act’s operation. However, the bar does not apply to contraventions of the Schedule, which remains enforceable.

Who is exempt from the criminal offence (s 5)

• Section 5(3) frames the criminal penalty for failing to ensure statutory use/access obligations as applying to “a person (other than the Municipality) who is for the time being registered as proprietor.” That means the Municipality’s breaches are not charged under s 5(3) as an offence against that subsection; instead the Act imposes duties on the Municipality under s 5(2) but criminal liability under s 5(3) targets non‑Municipal proprietors. This drafting nuance affects enforcement strategy and remedies.

Continuing daily penalty risk (s 5(4))

• Where a person (other than the Municipality) is convicted of the s 5(3) offence, s 5(4) makes them liable to up to 10 penalty units per day for each day the offence continues after conviction. That exposure compounds quickly and could make prolonged non‑compliance costly post‑conviction.

Operational obligations with budgetary consequences (Schedule clauses 4-8)

• The Schedule places heavy ongoing maintenance, plant, and staffing obligations on the Shire, including adherence to a detailed Annual Maintenance Programme (Schedule 4) and provision and maintenance of specific irrigation and machinery items (Schedules 3, 5). These obligations create long‑term fiscal liabilities that must be budgeted for by the Municipality. Failure to account for these costs can lead to underfunding and subsequent disputes or deterioration of the course.

Extensions and renewal cap (clause 18)

• The Schedule provides renewal options for successive five‑year terms but caps the aggregate right to renew so that the Club’s right to renew does not exceed 70 years in total (clause 18). Practitioners must note the cap when negotiating long‑term planning or when projecting asset life or club membership benefits.

Insurance selection and reimbursement obligations (clause 10)

• The Shire selects the insurer, subject to Club and Minister approval not to be unreasonably withheld (clause 10(4)), but the Club must reimburse premiums relating solely to the club premises and a fair proportion of public risk premiums (clause 10(3)). Budgeting errors here can lead to disputes on apportionment and increases in insurance premiums.

Assignment and sub‑letting restrictions (clause 9)

• The Club may not assign, transfer, sublet or part with possession except with Shire approval, which may impose conditions “reasonably necessary” to maintain a private golf club. That restricts the Club’s ability to monetise its interest or use it as collateral without municipal consent.

Minister’s role in determining exclusive hours (Schedule 7)

• The Minister is instructed to determine hours giving regard to Club membership numbers while ensuring hours available to non‑members are “reasonable given the demand.” This balancing test imposes heavy administrative discretion; disagreements may lead to political and administrative contestation rather than pure contractual negotiation.

Records for membership verification (Schedule 2)

• The Club must present membership records for inspection before the end of the first month of the lease and prior to 1 January each year, and failure to agree on member numbers allows the Minister to determine the figure used for rent. Failure to keep or present records will disadvantage the Club for rent calculation.

These “gotchas” are concrete drafting traps: timing determines price, Ministerial absolute discretion affects key numeric inputs, undefined reasonableness standards invite dispute, the compensation bar restricts remedies, and detailed operational covenants create budget and compliance risk for the Municipality. Parties should not assume ordinary commercial rights or remedies remain intact without scrutiny of s 6, s 7 and the Schedule.

This section offers a practical compliance checklist tailored to the main actors: Homes Victoria (vendor), the Municipality (purchaser/lessor), the Club (lessee), and the Minister/administrative officers who will exercise statutory functions. Each item cites the relevant provision and practical steps to manage legal and operational risk.

Homes Victoria (vendor)

• Timing decision: Decide whether the sale will complete within three months of the Act’s commencement to capture the capped $800,000 interest‑free payment option under s 4(3)(a). If timeline cannot be met, prepare for Valuer‑General valuation under s 4(3)(b).
• Conveyancing: Ensure sale instruments record the Municipality’s purchase in terms authorised by s 4 and that the registered title reflects any statutory covenants pursuant to s 5.
• Disclose legals: Provide the Municipality and Club with copies of the Schedule and ensure the conversion of the 1981 sub‑lease to the Schedule terms is understood and reflected in settlement documentation (s 6(3)).

Municipality / Shire (purchaser / lessor / registered proprietor)

Pre‑purchase due diligence

• Financial modelling: Model long‑term maintenance obligations in Schedule 4 and plant/equipment obligations in Schedules 3 and 5 to ensure budget capability. Clause 4(1) commits the Shire to “well and substantially repair and maintain” the course at its own cost.
• Asset inspection: Verify the presence and condition of listed installed equipment in Schedule 3 and Schedule 5 and document shortfalls; negotiate these into the sale contract and require warranties or adjustments where appropriate.
• Legal title and restrictions: Ensure Transfer of Land registration will record any necessary instruments reflecting the statutory use obligation (s 5) and lease on the club premises (s 6(3)). Seek practical guidance on how the statutory obligations will be marked on title.

Operational compliance after purchase

• Use covenant: As registered proprietor, ensure the course is used only as a golf course (s 5(2)(a)). Adopt a use policy and ensure any Council decisions on land use explicitly reflect the statutory covenant.
• Public access policy: Develop written rules for public access, green fee structures and booking systems to give effect to “reasonable access” and “fair and reasonable” green fee obligations (s 5(2)(b); Schedule clause 16(2)). Keep records to demonstrate reasonableness (e.g., hours available, booking quotas).
• Appoint staff and plant: Appoint an experienced curator and assistants and a golf professional as required in clauses 7-8. Maintain staffing logs, maintenance schedules and training records to evidence compliance with Schedule 4.
• Maintenance programme: Adopt the Annual Maintenance Programme in Schedule 4, record compliance with cut, scarify, fertilise and other tasks on scheduled dates and store records. Keep spare parts and replacement plans for irrigation (Schedule 3).
• Insurance: Effect public risk and property insurance as required in clause 10(3), ensure policies are in the joint names of Shire and Club where required, and produce policies and receipts to the Club on request (clause 10(5)). Maintain records of apportionments for reimbursement by the Club.
• Rental administration: Implement the Schedule 2 rent calculation process: require the Club to provide membership records by the dates set, record GF (weekend 18‑hole green fee) as approved by Minister on the relevant date, calculate rent quarterly and produce statements.
• Ministerial interactions: Where parties cannot agree on membership numbers or exclusive hours, proactively engage the Minister’s office with evidence of demand, membership statistics, and proposed hours. Provide full documentation to assist ministerial determination.
• Compliance monitoring: Establish internal compliance checks and audits for maintenance workload, insurance renewals, membership records, and adherence to Schedule 4. File minutes of Council decisions relating to the course and any approvals for the Club’s alterations (clause 6(4)).

Goonawarra Golf Club Limited (lessee / club)

Pre‑transaction preparation

• Record keeping: Maintain up‑to‑date, verifiable membership lists and documentation ahead of the dates in Schedule 2 to support rent calculations and to avoid adverse ministerial determinations.
• Insurance and outgoings: Prepare for reimbursement obligations under clause 10(1) and (3). Budget for all rates, taxes, utilities and insurance reimbursements.

Operational compliance

• Use and maintenance of clubhouse: Ensure the clubhouse is maintained in good condition as required by clause 6(1) and keep maintenance logs and receipts.
• Restrictions on dealing with the interest: Obtain Shire approval before assignment, subletting or parting with possession as required by clause 9.
• Renewal option exercise: To exercise renewal options under clause 18, give written notice not less than 60 days prior to lease expiry and ensure records are in order if the Shire requests proof of ongoing operation.
• Cooperation with Shire staff and golf professional: Liaise with the curator and golf professional in operational matters and keep written records of agreements on hours where practicable.
• Compliance with laws: Observe clause 12: comply with all applicable statutes, regulations and by‑laws, particularly in areas of public safety, liquor licensing if applicable, environmental controls and occupational health and safety.
• Budget for fees: Anticipate potential increases in green fees or ministerial determinations affecting rent; maintain a contingency for rent and insurance reimbursements.

Minister and valuation administrators

• Procedural fairness: When exercising powers under Schedule 2 (membership determination), Schedule 7 (hours determination) or s 4(3)(b) (Valuer‑General valuation), ensure that procedural steps and enquiries are documented, consistent with administrative law standards, and that reasons are provided where appropriate to withstand review.
• Publication and guidance: Consider issuing administrative guidance on how “reasonable access” and “fair and reasonable” green fees are assessed to reduce future disputes and to give parties certainty.

General compliance and risk management

• Document everything: Maintain contemporaneous records of maintenance activity, staffing, green fee schedules, booking records, membership lists, insurance policies and payments, and all communications between Shire, Club and Minister. These documents are central in disputes and ministerial or valuation enquiries.
• Budget and contingency planning: For the Municipality, embed long‑term maintenance and plant replacement costs into multi‑year budgets given the detailed requirements in Schedules 3-5 and the “well and substantially repair and maintain” obligation (clause 4(1)).
• Legal review: Before sale completion, obtain legal advice on the conversion of the sub‑lease into a statutory lease and on the operation of s 7’s compensation bar to advise stakeholders on available remedies and risks.
• Public engagement and transparency: Publish a clear schedule of hours available to the public, green fees and booking arrangements to demonstrate compliance with “reasonable access” and to reduce disputes.
• Contingency for contraventions: Because s 7’s immunity does not apply to contraventions of the Schedule, ensure compliance systems are robust to avoid contraventions that would preserve common law and statutory remedies for aggrieved parties.

This compliance checklist focuses on records, budgeting, ministerial engagement, insurance, maintenance discipline and legal advice. The Act places precise operational obligations in the Schedule; compliance requires municipal capacity and disciplined governance to meet ongoing standards.
