Land Agents Regulations 2025

The Regulations are organised around a small set of interlocking regulatory concepts: registration and supervised practice, trust money custody and records, audit and verification, exemptions and indemnity fund administration. Each concept is defined or operationalised in the Regulations.

Property manager and supervised practice

• The Regulations prescribe that the function of conducting property inspections for residential tenancy agreements falls within the statutory definition of a property manager (r 5). That ties routine inspection activity to the licensing/registration regime under the Act.
• Supervision rules set objective minimums. A sales representative is only properly supervised if under the direct supervision of a registered agent, or a registered sales representative with two years’ relevant experience, or a person with a Commissioner‑published combination of experience (r 6). Similar rules apply to property managers, with specified pathways via registered property managers or registered sales representatives who have been additionally registered as property managers, again with 2 years’ experience or the Commissioner’s combination (r 7).
• The Regulations require formal nomination and Commissioner approval for the individual charged with managing and supervising a place of business; that individual must be a registered sales representative and approved by the Commissioner (r 11).

Trust accounts, receipts and payments

• Part 3 Division 2 sets detailed technical obligations for the custody and movement of trust money. Receipts must be sequentially pre‑numbered duplicate forms marked "Trust Account" or produced by compliant computer software that auto‑generates required fields (r 17). Agents must not make payments of trust money in cash (r 18(1)) and additional prescriptive requirements apply to cheque marking, voucher retention and electronic transfer records (r 18).
• Ledger and cash book rules require separate ledgers for each client and, where relevant, for each transaction, with specified fields to be recorded and timeframes for record entry (r 20-r 21). Trust ledger software must prevent certain actions (e.g. recording a transaction that would create a debit trust balance without a contemporaneous separate record) and must ensure deletions and changes are constrained (r 21(7)).
• Reconciliations are monthly and agents must keep a statement reconciling cash books (or equivalent computer records) to the trust account balance and a ledger reconciliation (r 22). Agents need not disclose client names in the reconciliation statement (r 22(2)).

Electronic records and data resilience

• Agents using computer programs must create electronic copies of records within 24 hours of any alteration, make monthly offsite electronic copies, produce hard copies before deleting computer records, and keep an up‑to‑date electronic copy of the program off premises (which may be cloud storage) (r 15). This prescribes both backup frequency and exportability for digital records.

Audit, auditor qualifications and reporting

• The Regulations prescribe the auditor’s qualification: a degree in commerce, accounting, business studies or related field from an approved university; membership of Chartered Accountants Australia and New Zealand or CPA Australia; meeting those bodies’ practice requirements; and at least 3 years’ continuous engagement as a practising public accountant in South Australia (r 13).
• The audit period is defined relative to previous audit periods and registration dates, ending generally two months before the annual return is due (r 24(1)). Auditors must perform checks sufficient to opine on compliance with the Act and Regulations and must report, promptly, certain discoveries to the Commissioner (r 24(2), (6)). The Regulations also exclude certain persons from auditing an agent (employees, recent employees, agents themselves, or employees of other agents) to preserve auditor independence (r 28).

Exemptions and scope limitations

• Exemptions are narrowly drawn: delivery of a crossed cheque payable to a third party; receipt of Residential Tenancies Act rent into trust accounts; transactions for affiliated entities or entities owning large property portfolios or floor area; and employment arrangements where the agent is a registered community housing provider and the property manager is an employee (r 14). Definitions incorporate Commonwealth Corporations Act meanings for control and related entities (r 14(4)).

Indemnity fund governance and use

• The indemnity fund may be invested as the Minister authorises and may be applied, with Ministerial approval, towards specific educational and advisory programs run by named organisations for agents and the public (r 29). The Commissioner must issue written claim notices with particulars and a unique reference and must provide regular progress reports to claimants (r 30). The Regulations fix the interest rate on compensation awards at 5% per annum (r 31).

Administrative discretion and procedural detail

• The Commissioner is equipped with several discretionary tools: waiving fees (r 4), approving nominees (r 11(c)), publishing experience combinations to satisfy supervision requirements (r 6(c), r 7(d)), fixing alternative audit lodgement dates (r 24(1)(d)), and receiving auditors’ reports and exercising powers under the Act in response. Many procedural details require actions "as soon as practicable" or within fixed short windows (14 days, 2 working days, monthly), creating a predictable enforcement perimeter.

Together these concepts form a compliance architecture that ties everyday operational choices (how receipts are issued, how software is configured, who supervises) directly to the statutory licensing framework and to audit verification processes.

Primary regulated persons

• Registered agents: the Regulations place the bulk of ongoing administrative obligations on registered agents. Duties include notification obligations when addresses or trading names change (r 9), maintaining and providing trust account records (r 17-r 23), arranging audits and lodging audit statements (r 24-r 26), certifying agent statements before audits (r 25), and ensuring proper supervision and management of each place of business (r 11-r 12). Agents carry the risk of penalties for many failures, typically a maximum $2,500 (see r 9, r 10, r 15, r 17, r 18, r 21(7), r 24(6), r 26(1)).
• Registered sales representatives and registered property managers: both cohorts are subject to supervision rules. A sales representative or property manager must be under the direct supervision of specified categories of registered persons (r 6, r 7). They must notify residential addresses and contact details changes within 14 days (r 9(2)).

Other affected parties

• Auditors and accountancy professionals: the Regulations limit who may audit an agent’s accounts (r 28) and prescribe minimum qualifications and experience (r 13). Auditors must perform specified audit procedures (r 24) and report particular findings to the Commissioner (r 24(6)). These requirements shape the supply side of audit services: an auditor must be a CAANZ or CPA Australia member, hold a relevant degree, and have spent at least 3 continuous years in public practice in this State (r 13).
• Authorised deposit taking institutions (ADIs): ADIs are required to pay interest that they are liable to pay in respect of trust money to the Commissioner on specified quarterly dates (or monthly if chosen) (r 16). The Regulations also reference BSB numbers for account identification (definition of BSB).
• Claimants to the indemnity fund and the indemnity fund administrators: claimants have procedural protections, such as written notice of claims with a unique reference and regular six‑monthly progress reports (r 30). The Minister and Commissioner have roles in approving expenditure and investment of indemnity fund monies (r 29).

Entities and activities with exemptions or different treatment

• Community housing providers registered under the Community Housing Providers National Law have tailored exemptions for their employees who act as property managers (r 14(5)-(6)). This exempts certain property management employees from section 6AB(1) and 6AB(3) of the Act provided specified conditions are met.
• Transactions for affiliated entities or for entities owning property portfolios above thresholds are exempt from certain trust requirements (r 14(3)). The thresholds are expressed as either an aggregate market value of $10 million or aggregate gross floor area of 10,000 square metres (r 14(3)(b)(i)-(ii)), and the terms affiliated entity and related entity adopt the Corporations Act definitions (r 14(4)).

Who pays

• Registered persons pay annual fees and must lodge returns within prescribed timeframes (r 8). Agents bear compliance costs of recordkeeping systems, audits and backups, staff training and the operational burden of monthly reconciliations and electronic/hard copy retention. ADIs remit interest on trust money to the Commissioner on prescribed dates (r 16). The indemnity fund, funded under the Act (not repeated here), may be applied to certain public education programmes (r 29), with Ministerial control over such applications.

Who decides

• The Commissioner makes numerous administrative decisions: fee waivers (r 4), approval of nominated supervisors (r 11), publication of required experience combinations to meet supervision tests (r 6(c), r 7(d)), and time extensions for audit lodgements (r 24(1)(d)). The Tribunal may also issue directions related to surrender, suspension or cancellation of registration certificates or cards, in which case return of those certificates is required (r 10(1)).

In short: the Regulations mainly affect registered agents and their employees (sales representatives, property managers), the auditors who examine their accounts, ADIs that hold trust funds, claimants to the indemnity fund, and certain public housing providers in defined circumstances. The Regulations allocate compliance costs and procedural duties primarily to the agent community and constrain auditor supply through qualification and independence rules.

Duties imposed on agents and registrants

• Notification duties: Registered agents must notify the Commissioner in writing within 14 days of specified changes including residential address, postal/email address, business/trading name, business address, and corporate office address; registered sales representatives and property managers must notify changes to residential and postal/email addresses within 14 days (r 9(1)-(2)). Agents must also notify the Commissioner within 14 days of ceasing business and of partnership changes (r 9(3)-(4)). Failure attracts a maximum penalty of $2,500 and, in many cases, an expiation fee of $160 (r 9).
• Return or surrender of registration documents: Persons whose registration is surrendered, suspended or cancelled must return certificates and registration cards on direction of the Tribunal or the Commissioner (r 10(1)). Certificates issued where the fee was unpaid must be returned on direction (r 10(2)). The Commissioner may issue replacement certificates where originals are lost or incorrect (r 10(3)-(4)).
• Supervision and management obligations: Agents must ensure that each place of business is properly managed and supervised; a nominated supervisor must be a registered sales representative, nominated on a Commissioner‑approved form and approved by the Commissioner (r 11). Agents must produce written procedures for employees who handle trust money and ensure supervision oversight, including monthly inspections by a registered agent where a non‑agent individual manages the place of business (r 12).
• Trust account custody and transaction duties: Agents must issue receipts that meet prescribed content and sequential numbering if not using approved software, issue receipts immediately for cash/cheques or upon confirmation for electronic transfers, and keep records of all payments and disbursements with specified fields (r 17-r 21). Agents must not make payments of trust money in cash (r 18(1)). Cheques drawn must be marked with the agent’s name and "Trust Account" and crossed and endorsed "Not negotiable", and cheque stubs, vouchers and electronic transfer records must be kept (r 18).
• Recordkeeping and electronic systems duties: If an agent uses electronic systems, they must make an electronic copy of records within 24 hours of any alteration, make offsite monthly copies, keep hard copies before deleting, and keep an up‑to‑date copy of the program off premises, which may be cloud storage (r 15). Computerised cash books and ledger systems must require data entry in all specified fields and be capable of producing reports and hard copy outputs; entries must be made within 2 working days (r 20, r 21).
• Reconciliation and transfer duties: Agents must prepare monthly reconciliation statements reconciling cash book balances and ledger balances with bank balances (r 22). Agents who become entitled to trust money as commission must transfer that money to an office account within 3 months (r 23).
• Audit and disclosure duties: Agents must have accounts audited for the audit period defined in r 24(1), lodge an audit statement within 2 months after the audit period ends (subject to Commissioner extension) (r 24(8)), certify particulars of trust balances before an audit (r 25), and, where ceasing business, effect an audit up to winding up and lodge the auditor’s statement within 4 months (r 26).

Auditor duties and limitations

• Qualification and independence: Auditors must satisfy degree and membership requirements and 3 years’ continuous relevant practice in South Australia (r 13). Certain persons are disqualified from auditing (employees or partners of the agent within 2 years, employees of another agent, agents themselves) (r 28).
• Reporting obligations: Auditors must make checks to determine compliance with the Act and Regulations, perform test examinations, compare client liabilities to trust account balances on at least two dates, and ask for explanations as needed (r 24(2)). If the auditor discovers irregularities, dishonesty, loss or failures to account for trust money, the auditor must immediately report to the Commissioner and the agent (r 24(6)).

Commissioner powers and registrant rights

• Fee waiver and refund: The Commissioner may waive, reduce or refund prescribed fees when satisfied it is appropriate (r 4).
• Administrative approvals and notices: The Commissioner determines acceptable combinations of experience for supervision by website notice (r 6(c), r 7(d)) and approves nominations for place supervisors (r 11(c)). The Commissioner also receives auditor statements and enforces compliance timelines, and must issue claim notices and regular progress reports in indemnity fund matters (r 30).
• Replacement certificates: The Commissioner may issue replacement registration certificates or cards if originals are lost, destroyed or incorrect (r 10(3)).

Rights and procedural protections for claimants

• Claimants to the indemnity fund receive written notice of the Commissioner’s receipt of their claim with a unique reference number and advised of rights to make submissions and seek review under the Act (r 30(1)). The Commissioner must provide progress reports every six months until determination (r 30(2)).

Monetary and timing specifics

• Annual returns: Registered persons must pay the fee and lodge the return on or before the last day of the month nominated to them by the Commissioner or, if none nominated, the month matching the month of registration (r 8).
• Interest on compensation: The Regulations fix the interest rate on a claimant’s compensation entitlement at 5% per annum (r 31).
• ADI interest payments: ADIs must pay interest attributable to trust money to the Commissioner on fixed quarterly dates or monthly (r 16).

These duties translate into concrete operational controls: internal procedures, monthly reconciliations, strict record retention and backup, selection of qualified auditors who are independent, and compliance with Commissioner directions. Rights are primarily procedural (e.g. fee waiver, replacement certificate) and reviewable determinations under the Act.

Pattern of penalties

• A recurring maximum penalty of $2,500 is specified for multiple contraventions across the Regulations. Examples include failure to notify changes (r 9), failure to return a certificate or card when directed (r 10), breaches of electronic record obligations (r 15), failure to issue receipts or to comply with receipt rules (r 17), breach of the prohibition on cash payments or cheque requirements (r 18), non‑compliance with ledger and computer program safeguards (r 21(7)), auditor reporting failures and regulator reporting triggers (r 24(6)), and failure to comply with requirements on winding up or ceasing to carry on business (r 26(1)). Several of these provisions also explicitly assert the maximum penalty without a separate expiation fee (although some notification provisions include an expiation fee, r 9).

• Expiation fees are specified for certain notification offences (r 9) at $160. The Regulations thus create both formal maximum criminal penalties (likely indictable/fine regimes under the Act framework) and administrative expiation options for specified breaches.

Enforcement actors and mechanisms

• Commissioner: The Commissioner is the primary enforcement and administrative actor under these Regulations. The Commissioner can direct the return of registration certificates (r 10), approve nominated supervisors (r 11), issue notices about the combination of experience for supervision (r 6(c), r 7(d)), fix audit lodgement dates (r 24(1)(d)), and receive auditors’ and agents’ statements and reports that may trigger further action. The Commissioner also manages claim notices and progress reporting for the indemnity fund (r 30).

• Tribunal: The Tribunal may order surrender, suspension or cancellation of registration; in such cases, the Regulations require return of certificates and cards upon direction (r 10(1)). The Tribunal therefore participates in enforcement at the registration/disciplinary level under the Act.

• Auditors: Auditors have a mandatory reporting obligation to the Commissioner if they discover records that cannot be properly audited or matters that appear to involve dishonesty or breaches of law, including loss or deficiency of trust money (r 24(6)). This creates a statutory reporting pipeline from auditors to the regulator and reduces detection costs for the Commissioner.

• ADIs: The requirement that ADIs pay interest they are liable to pay on trust money to the Commissioner on specified dates (r 16) establishes a direct flow of funds that can be tracked administratively; failure to comply would be actionable under the Act’s enforcement framework or through ADI contractual arrangements.

Scope of auditor independence and competence

• The Regulations exclude persons from auditing an agent if they are or were recently an employee or partner, are an employee of another agent, or are themselves an agent (r 28). Auditors must meet specified academic, professional and experience thresholds (r 13). These constraints are designed to limit conflicts of interest and to ensure competence, creating a legally enforceable boundary on who can provide audit assurance.

Administrative discretion and compliance risk

• Several compliance obligations give the Commissioner latitude (fee waivers r 4; publication of experience combinations r 6(c), r 7(d); approval of nominated supervisors r 11). While this enables tailored administrative responses, it also places costs on regulated parties to monitor Commissioner notices and to seek approvals or clarifications when necessary. Non‑compliance with Commissioner directions (e.g. to return a registration card) attracts penalties (r 10).

Remedies and indemnity fund interactions

• The indemnity fund is subject to Ministerial control regarding investment and approved disbursements (r 29), and the Commissioner must process claims in prescribed ways including giving notice to parties and periodic progress reports (r 30). A claimant’s award attracts interest set at 5% per annum (r 31). The regulatory architecture sets out both punitive measures for procedural breaches and corrective/compensatory mechanisms (indemnity fund) for losses tied to agent misconduct or failure.

In summary, enforcement is a mixed model combining: (1) prescriptive administrative duties with fixed financial penalties and expiation options; (2) mandatory auditor reporting to the Commissioner; (3) Commissioner and Tribunal regulatory powers; and (4) indemnity fund procedures for compensating claimants. The Regulations place detection duties on auditors and operational duties on agents, creating multiple checks and balances within the statutory supervision regime.

Direct cross‑references to the parent Act

• The Regulations operate under and implement the Land Agents Act 1994. Multiple provisions explicitly state they are "for the purposes of" particular sections of the Act: registration supervision requirements reference s 8B(4) and s 8BB(4) of the Act (r 6, r 7); management of places of business references s 11 and s 11A (r 11, r 12); trust account obligations reference Part 3 Division 2 of the Act and specified Act sections (r 13, r 15-r 26); indemnity fund provisions reference ss 29, 32 and 37 of the Act (r 29-r 31). The Regulations therefore translate statutory duties in the Act into operational rules and procedures.

Interaction with Commonwealth Corporations Act definitions

• For the narrow exemption in r 14(3) concerning transactions for affiliated entities, the Regulations adopt the Corporations Act 2001 definitions: "controlled" has the meaning in s 50AA of the Corporations Act and "related entity" uses s 9 of the same Commonwealth Act (r 14(4)). That imports Commonwealth corporate law control and related entity tests into the scope of the exemption, meaning corporate structures and control tests under the Corporations Act are determinative when assessing exemption eligibility.

Relationship to Residential Tenancies Act 1995

• The Regulations provide an exemption for agents in relation to receipt of rent paid under the Residential Tenancies Act 1995: an agent may be exempt from section 21(2) of the Act in respect of payment of rent into the agent’s trust account (r 14(2)). The Regulations therefore carve out a defined overlap area with South Australian residential tenancy law.

Interaction with Community Housing Providers National Law

• There are targeted exemptions for community housing providers registered under the Community Housing Providers National Law (r 14(5)-(6)). Where a registered community housing provider employs a person under a contract of service to act as a property manager for land it owns or land held on behalf of the Crown or a council, that person and the engagement are exempt from some statutory property manager registration requirements under the Act. This creates a sectoral exception that recognises alternative governance frameworks for community housing providers.

Impact on banking and ADI relations

• The Regulations prescribe that ADIs must pay interest on trust money to the Commissioner on particular dates (r 16). The definition of BSB number is imported for bank account identification (r 3). These provisions create a direct operational interface with financial institutions that hold agents’ trust money, making ADIs a regulated node in the trust money reporting and remittance chain.

Continuity with prior subordinate legislation

• The Regulations repeal the previous Land Agents Regulations 2010 (Schedule 1). Practitioners and regulated entities must therefore check for substantive changes between the repealed instrument and the 2025 Regulations. The legislative history indicates the instrument was published in the Gazette on 7 August 2025 and commenced the same day (Legislative history).

Administrative law and review avenues

• Where the Commissioner makes determinations under the Act and these Regulations (e.g. approvals, waivers, claim determinations), the Act contains review avenues (for example, s 35, referenced in r 30). The Regulations reiterate procedural protections such as the Commissioner informing claimants of rights to make submissions and rights of review under s 35 (r 30(1)(b)(ii)). Those review rights are grounded in the Act and administrative law principles, though the Regulations themselves do not expand on remedies beyond requiring procedural notices and timelines.

In short, the Regulations do not operate in isolation. They import definitions and tests from Commonwealth corporate law, create targeted interactions with South Australian tenancy law and community housing law, directly involve ADIs for interest remittances, and implement audit and indemnity processes that must be read alongside the supervisory and review architecture of the Land Agents Act 1994.

The instrument contains a short legislative history and a single principal commencement event:

• The Regulations are the Land Agents Regulations 2025 and were made as legislative instrument number 84 in 2025, published in the South Australian Government Gazette on 7 August 2025 and commenced on the same date (Legislative history; r 2; Schedule 1). The Regulations repeal the Land Agents Regulations 2010 (Schedule 1).

No earlier amendments or prior versions are recorded in this text beyond the repeal of the 2010 instrument. The Regulations include specific transitional or operational references by linking audit periods to "the end of the agent's last audit period (whether under the Act or the repealed Land Agents, Brokers and Valuers Act 1973)" (r 24(1)(a)), which signals continuity with audits performed under earlier statutory regimes.

Administrative amendment mechanisms

• The Regulations permit the Commissioner to publish notices (for example, the combination of experience required to satisfy supervision requirements under r 6(c) and r 7(d)), and to fix other dates at the request of an agent (r 24(1)(d)). Those Commissioner notices are administrative instruments rather than amendments to the Regulations themselves; they will change operational detail (acceptable experience combinations, approval forms, nominated months for annual returns) without formal legislative amendment. Practitioners should monitor the Commissioner’s website for such notices because they have regulatory effect by reference in the Regulations.

No recorded historic case law or amendment chronology is included in the text. The "Legislative history" block merely cites the Gazette reference and commencement date. Users seeking prior instruments or more detailed amendment tracking will need to consult the South Australian legislation index or archived versions for comparative analysis between the 2010 and 2025 Regulations.

The Regulations do not contain or reference any judicial decisions, and the instrument itself does not record litigation history. The source text names no cases. Therefore, there is no litigation history recorded within this instrument to ground any proposition about judicial interpretation or challenge.

Practitioners should note:

• The Regulations are prescriptive and create a number of specific operational requirements and mandatory reporting duties that could give rise to disciplinary proceedings under the Land Agents Act 1994, or statutory appeals and reviews against administrative decisions referenced (for example, claim determinations under the indemnity fund and Commissioner decisions). Those processes, and any future litigation interpreting the Regulations or the Act, are matters external to this instrument and not recorded here.
• The Regulations require auditors to report suspected dishonesty or deficiencies to the Commissioner (r 24(6)), which creates an administrative trail likely to generate disciplinary or civil enforcement matters if non‑compliance is discovered. However, any such litigation or Tribunal decisions would need to be sourced from case law databases or Tribunal records; they are not contained in the Regulations.

Given the absence of cases or precedent in the text, readers seeking authoritative judicial interpretation of these specific provisions must look beyond the Regulations to subsequent Tribunal or court decisions, or to administrative determinations made under the Act.

Timing traps and short windows

• Numerous duties require rapid action: 14 days for notification of many changes (r 9), 2 working days for making records of receipts and payments (r 20(4)-(5), r 21(5)-(6)), monthly reconciliation statements (r 22(1)), and transfer of entitled trust money to an office account within 3 months (r 23). These short windows impose ongoing operational discipline and can be a source of breach if internal workflows are not aligned.

Electronic system constraints and deletion rules

• Computerised record systems are permitted but constrained. Agents must make an electronic copy of all records within 24 hours of any alteration and make an offsite electronic copy at least monthly (r 15(a)-(b)). Before deleting information from computer records, a hard copy must be made and retained (r 15(c)). Trust ledger software must be incapable of recording a transaction that would produce a debit balance unless a separate contemporaneous record is made, and must prevent deletion unless the account balance is zero and a hard copy has been produced (r 21(7)(a)(i), (ii)). These technical constraints create specific software configuration and backup obligations that can surprise agencies using generic accounting systems unless systems are validated against the Regulations.

Software reportability and hard copy requirements

• Where software is used to issue receipts or keep cash books, the program must automatically generate consecutively numbered receipts marked "Trust Account", and require input in each data field so every receipt contains required information (r 17(3)). Computerised cash books and ledgers must be capable of producing ordered reports and monthly hard copy extracts that are then filed (r 20(2)-(3)). Failure to produce hard copies on demand within 2 working days can attract penalties (r 21(8)). Agents must ensure that software vendors can produce these outputs promptly.

Audit period endpoints and annual return timing

• The audit period ends either two months before the date the agent must lodge an annual return (r 24(1)(c)), or another date fixed by the Commissioner at the agent’s request (r 24(1)(d)). That timing may create the appearance of "stale" audit windows if the annual return month is not aligned with business cycles. Agents must plan audits and payments so that audit periods and return lodgement dates do not conflict.

Auditor supply constraints

• Audit qualification rules (degree, CAANZ or CPA membership, and at least 3 years continuous public practice in South Australia) and independence exclusions (r 13, r 28) narrow the pool of eligible auditors. In smaller regional markets or for unusual firm structures, it may be difficult to secure an auditor who satisfies both competence and independence requirements, particularly where recent staff or partners have been auditors.

Cheque and cash prohibitions

• The outright prohibition on paying trust money in cash (r 18(1)) imposes strict controls on how trust money can leave the trust account. Cheques must be specially marked and endorsed, and cheque payments require supporting stubs or recipient receipts with prescribed fields (r 18(2)-(4)). Agents must therefore adapt cheque workflows and donor/recipient processes. The Regulations also permit electronic transfers but require contemporaneous documentation and receipt confirmation to be saved (r 18(5)).

Indemnity fund use limits

• The Regulations identify specific permitted applications of indemnity fund monies: certain educational programs and advisory services run by named organisations (r 29(2)). That confines Ministerially approved expenditures to a narrow set of public interest activities rather than more general industry remediation or administrative cost recovery measures. This may be unexpected where industry stakeholders hope the indemnity fund can be broadly applied.

Commissioner discretion and dependence on notices

• Several material rules defer to Commissioner notices published on a website (r 6(c), r 7(d)) or Commissioner directions (r 10). Regulated parties must actively monitor Commissioner communications to know what combinations of experience satisfy supervision requirements and to obtain approved forms. Administrative discretion can therefore create compliance costs and operational uncertainty if notices are updated or require specific action.

Documentation required on business cessation or winding up

• When an agent ceases business, audits covering period to winding up and subsequent lodgement within four months are required (r 26(1)). Agents (or their personal representatives) must continue to comply with the Act and these Regulations until trust money and records are finally wound up (r 26(3)). Failure to maintain and produce records during winding up can create exposure for successors or personal representatives.

Exemptions are tightly drawn and conditional

• Exemptions for affiliated entities or large property owners exclude residential or rural land (r 14(3)). Community housing provider exemptions require specific registration under the Community Housing Providers National Law and that the person be an employee under a contract of service and act in relation to land owned by the agent or held for Crown or council purposes (r 14(5)-(6)). Assuming an exemption without documentary evidence or failing to maintain evidence of control/ownership thresholds can lead to non‑compliance.

Interest on compensation fixed rate

• The Regulations fix the rate of interest applied to compensation from the indemnity fund at 5% per annum (r 31). That is a fixed statutory mechanism; claimants or agents cannot negotiate a different statutory rate in respect of indemnity fund awards.

In short, the practical "gotchas" are operational: short filing times, strict software and hard copy export rules, constraints on auditors and payment modalities, narrow exemptions, Commissioner‑driven administrative detail, and prescribed uses of the indemnity fund. Each creates discrete compliance tasks that agents and their advisers must operationalise and document.

A practical compliance checklist follows, grounded in the Regulations’ text. Each item maps to specific regulatory provisions.

Governance and people

• Nominate a person to manage and supervise each place of business and seek Commissioner approval where required. Ensure nominated persons are registered sales representatives and that nomination is in a Commissioner‑approved form (r 11). Maintain written procedures readily available to all employees who handle trust money, describing correct handling (r 12(1)(a)).
• Implement supervisory oversight where non‑agent individuals manage premises: a registered agent must be responsible for trust accounts, staff must receive instruction on obligations under the Act and Regulations, and a registered agent must inspect the place of business and prescribed documents at least once per month (r 12(1)(b)(i)-(iii)).

Registration and notification

• Track registration anniversaries and the month nominated by the Commissioner for the annual fee and return; lodge returns and pay fees on or before the nominated month’s last day, or the registration month if no nomination exists (r 8).
• Maintain address and contact information registers and have an internal 14‑day notification workflow to notify the Commissioner of changes to residential, business, postal or email addresses, trading names, business cessation, partnership changes or director appointments where the agent is a body corporate (r 9(1)-(5)). Keep documentary evidence of notifications and Commissioner confirmations.

Trust account systems, software and backups

• Select or configure accounting/trust ledger software to satisfy the Regulations:
  • Automatically produce sequentially numbered receipts marked "Trust Account" or ensure pre‑numbered duplicate hard copy receipt forms are used if not using compliant software (r 17(1)(a), r 17(3)(a)).
  • Ensure software requires input for each required receipt field and stores contemporaneous records capable of producing hard copies on demand (r 17(3)(c)).
  • Ensure computer programs are configured so they cannot record a transaction producing a debit balance in trust ledger accounts without a separate contemporaneous record, prevent deletion of ledger information unless balance is zero and a hard copy produced, and do not permit non‑audit‑trace changes to transactions (r 21(7)(a)(i)-(iii)).
  • Organise monthly offsite electronic copies and immediate electronic copy creation within 24 hours of alterations; retain an up‑to‑date electronic copy of the program off premises (r 15(a)-(d)).
  • Produce and retain hard copies of monthly reports and ensure monthly hard copy production of receipts and cash books as required (r 20(3)).

Receipt, payment and cheque handling

• Stop payments of trust money in cash (r 18(1)). When making payment by cheque, mark the cheque with the agent’s name and "Trust Account", cross it and endorse "Not negotiable" or obtain a compliant receipt from payee (r 18(2)). Keep cheque stubs or vouchers with the date, reference number, payee name, client reference, purpose and amount (r 18(3)).
• For electronic transfers, record the date, reference, payee, client reference, ADI account details (name, number, receiving ADI and branch identifiers), amount and retain confirmation upon receipt (r 18(5)).

Ledger maintenance and reconciliations

• Keep separate trust ledger accounts for each client and for each separate transaction where relevant, and record required details for each receipt or disbursement (r 21(1)-(2)). Make entries in chronological order within 2 working days (r 20(4), r 21(5)).
• Prepare monthly reconciliation statements reconciling cash book/computer records to trust bank balances and ledger totals, and retain those statements as part of records (r 22(1)). Be aware the reconciliation need not list client names (r 22(2)).

Commission and entitlement transfers

• Where entitled to commission or fees from trust money, transfer funds to the office account as soon as practicable and in any event within 3 months (r 23). Maintain records showing entitlement dates and transfer justification.

Audit readiness and auditor selection

• Plan audit periods in advance: the audit period runs from the end of the last audit period (or date of registration for newly registered agents) until two months before the lodgement date for the annual return, unless the Commissioner fixes another date (r 24(1)). Book an auditor who meets the qualifications in r 13 (degree, CAANZ/CPA membership, requirements to practice, and 3 continuous years in practice in this State) and who does not fall within prohibited categories in r 28.
• Provide the auditor with the agent’s statement (r 25) before audit completion that sets out client balances, negotiable/bearer securities and trust account balances (r 25(1)(d)-(f)). Ensure the auditor has access to required records and hard copy reports within 2 working days of request (r 21(8)).

Ceasing business, partnerships and directors

• If ceasing business, arrange an audit from the end of the prior audit up to winding up, lodge the auditor’s statement within 4 months (r 26(1)). If entering or ceasing a partnership, notify the Commissioner within 14 days (r 9(4)) and maintain required partnership records and notifications.
• Where a director is appointed in a corporate agent, notify the Commissioner within 14 days and supply any information required for determination under s 8(2) of the Act (r 9(5)).

Indemnity fund and claims

• If a claim is lodged against an agent, the Commissioner must provide written notice with a unique reference to the claimant and agent and explain rights to make submissions and rights of review (r 30(1)). Agents should ensure they maintain claims files and be prepared to participate in the submissions and review process. Claimants should expect six‑monthly progress reports from the Commissioner until determination (r 30(2)). Be aware that compensation interest is fixed at 5% per annum (r 31).

Monitoring Commissioner notices and seeking approvals

• Monitor the Commissioner’s website for published combinations of experience that satisfy supervision requirements (r 6(c), r 7(d)), and use Commissioner‑approved forms for nominations to manage and supervise a place of business (r 11). Consider seeking written Commissioner approval or guidance where there is ambiguity about supervision arrangements or audit date adjustments (r 24(1)(d)).

Record retention and demonstrable compliance

• Keep records (hard copy and electronic backups) that demonstrably satisfy the Regulation’s fields and timeframes. Ensure retention arrangements permit production of hard copy documents within 2 working days of a Commissioner or auditor request (r 21(8)). Keep logs of monthly reconciliations, notifications to Commissioner, and copies of responses and approvals.

Training and internal controls

• Train staff and nominated supervisors on the written procedures for handling trust money, reporting lines, and the importance of timely record entry and backup (r 12). Implement inspection routines where a registered agent inspects a place of business at least once per month and inspects previously uninspected prescribed business documents (r 12(1)(b)(iii)).

Legal and accounting advice

• Before relying on exemptions (r 14), obtain and document legal and factual analysis showing eligibility (control tests under the Corporations Act for affiliated entities, property value/floor area calculations). Where a property manager function interacts with public housing exemptions, document registration status under the Community Housing Providers National Law and the employment relationship criteria (r 14(5)-(6)).

Contingency and continuity planning

• Maintain a continuity plan for electronic records and for provision of hard copies if systems fail. Ensure offsite electronic copies and an up‑to‑date program copy are available (r 15). Test restoration and hard copy production to ensure compliance with the 24‑hour and monthly backup obligations.
