Kambalda Water and Wastewater Facilities (Transfer to Water Corporation) Act 2004

Key legal concepts used by the Act are transfer of ownership by statute, transfer of receivables, transfer of remedies, non‑transfer of liabilities, statutory treatment of infrastructure as if installed under existing powers, explicit non‑compensation for the transfer, and title notification mechanisms.

• Statutory vesting of ownership: Section 6 effects a statutory vesting of ownership in the Water Corporation on commencement day. That vesting operates to extinguish any claim, right, title or interest of any other person in relation to the transferred facilities as they existed immediately before the commencement day (s 6(b)). The transferred facilities are defined in s 5(2) as the water works and sewerage works within the statutory Kambalda area that were maintained or operated by WMC immediately before commencement.

• Transfer of receivables and remedies: Section 7 transfers unpaid rights to payment for services provided by WMC in the Kambalda area before commencement to the Water Corporation. Section 7(2) confirms that transfer even where an account had not been issued. Section 8 transfers other remedial rights of WMC against third parties in relation to the transferred facilities, other than receivables dealt with by s 7.

• Non‑transfer of liabilities: The Act defines liability broadly in s 9(1) and then states that nothing in the Act is to be read as having the effect that a liability of WMC as at commencement day becomes a liability of the Water Corporation (s 9(2)). This creates an asymmetry: rights and ownership pass, but historical liabilities do not. Section 14 then allows the Water Corporation to complete things commenced by WMC, subject to s 9.

• Application of existing statutory powers: Section 10 makes section 84(1) of the Water Agencies (Powers) Act 1984 have effect in respect of transferred pipes, works and other things as if those items had been physically put in place by the Water Corporation in exercise of powers under that Act. Section 10(2) then applies ss 84(2) and (3) accordingly. The Act therefore imports the rights, protections and mechanisms contained in that statute to the transferred assets, without requiring fresh placement under that Act’s process.

• Compensation and interaction with Water Agencies (Powers) Act: Section 11(1) declares that no compensation is payable to any person by the Water Corporation or any other person for loss, detriment or cost suffered because of the transfer effected by s 6 or the operation of s 10. Section 11(2) then states that ss 81(1) and (2) of the Water Agencies (Powers) Act 1984 apply to any works or other things that form part of the transferred facilities. The Act therefore both denies general compensation for the statutory transfer while cross‑applying certain provisions of the Water Agencies (Powers) Act to the works.

• Title notifications and practical notice: Part 3 requires the Water Corporation to deposit plans showing the location or approximate location of pipes and works and to lodge notifications on the relevant title or deeds registers that constitute notice to proprietors and persons searching titles that the works may be on, in, over or under the land (ss 16, 18, 19). The Act sets out exceptions for land that is not a lot and where the Water Corporation is registered as freehold owner (ss 16(4), 17). It gives the Water Corporation power to replace or amend deposited plans and notifications (ss 20-21) and requires Ministerial approval before removal of a notification (s 21(1)(b)-(2)).

• Cost allocation for recording: Section 22 makes WMC responsible to pay the Water Corporation on demand for reasonable costs and expenses incurred by the Water Corporation in complying with the plan deposit and notification obligations in s 16(1) and (2). The Water Corporation has a statutory right to recover those amounts as a debt in court (s 22(2)).

• Definitions and spatial delimitation: The Act defines the Kambalda area by Map Grid of Australia 1994 coordinates listed in Schedule 1 (s 4 and Schedule 1 Division 2). It excludes the treated wastewater pipeline from the transferred facilities, and excludes pipes and fixtures downstream of meter assemblies on lots and sewer pipes/fixtures located on private lots from what is transferred (s 5(3)).

These concepts combine to effect a statutory reallocation of ownership, revenue streams and administrative responsibility for local water and sewerage assets from a private operator to the Water Corporation while carefully (and explicitly) avoiding the automatic transfer of historical liabilities, and by embedding a mechanism to notify land titles of the presence of infrastructure.

Primary parties affected

• Water Corporation: The Water Corporation is the statutory transferee. It acquires legal ownership of the Kambalda Water and Wastewater Facilities (s 6). It acquires unpaid receivables arising from water and sewerage services provided by WMC before commencement (s 7) and other remedies against third parties in relation to transferred facilities (s 8). It is responsible for depositing plans and lodging notifications on title (s 16), for applying for any requisite licences the relevant written law requires (s 13(5)), and for exercising powers imported by the Water Agencies (Powers) Act 1984 in relation to the transferred pipes and works as though it had installed them (s 10).

• WMC Resources Ltd: WMC loses ownership of the transferred facilities (s 6) and its rights to payment for pre‑commencement services are transferred to the Water Corporation (s 7). WMC retains historical liabilities; the Act expressly provides that liabilities of WMC as at commencement do not become liabilities of the Water Corporation (s 9). WMC must pay the Water Corporation reasonable costs of complying with the plan deposit and notification obligations (s 22(1)). WMC remains subject to any contractual or other obligations not taken to pass by the Act, although s 24 prevents the mere operation of the Act being characterised as a breach of contract or permitting contractual remedies in specified circumstances.

• Proprietors and occupiers of land in the Kambalda area: Owners and occupiers of lots or parcels in the Kambalda area will be affected by the recording of notifications on their titles or on the deeds register indicating that water or sewerage pipes and works may be on, in, over or under the land (ss 16-19). Those notifications are intended to give constructive notice to proprietors and persons searching titles (s 18(2)(a)-(b)). The notifications may affect conveyancing, lender due diligence and development planning.

• Persons who had contractual or property rights in or over the transferred facilities before commencement: Section 6(b) expressly extinguishes "any claim, right, title or interest of any other person in respect of the transferred facilities" as they existed immediately before commencement. That will affect third parties with pre‑existing interests in those assets. The Act, however, contains a saving provision excluding the operation of the Act from being regarded as a breach of contract or other civil wrong, or as giving rise to remedies or termination of instruments because of the change in ownership (s 24).

Other affected entities and regulators

• Relevant Ministers and licensing authorities: Under s 13, any authority issued to WMC that the Water Corporation is required to hold continues to have effect as if issued to the Water Corporation, until the Water Corporation obtains the authority or an exemption or until the end of the three year period or longer period the relevant Minister determines (s 13(2)-(3)). Relevant Ministers therefore retain discretion to issue, grant or determine extensions, and to decide on exemptions.

• Registrars (Registrar of Titles and Registrar of Deeds and Transfers): The registrars are the "relevant official" for registration of notifications (s 15). They must record notifications when lodged and fees paid (s 19). They must comply with removal or amendment requests when properly made and fees paid (ss 20(3), 21(3)).

• Purchasers, lenders and persons dealing with land in Kambalda: Conveyancing searches will encounter notifications recorded under this Act. The notification wording is prescribed to constitute notice to proprietors and persons searching the title (s 18(2)). Downstream pipes and fixtures on private lots are excluded from the transfer (s 5(3)(b)), which is important for purchasers and lenders assessing maintenance obligations.

Who pays and who decides

• WMC pays for reasonable costs incurred by the Water Corporation in complying with ss 16(1) and (2) (s 22). WMC may remain liable for pre‑commencement liabilities (s 9). The Water Corporation decides how to deposit and update plans, lodge and amend notifications, and seek Ministerial approvals for removal of notifications (ss 16, 20, 21). The relevant Minister decides whether to issue required authorities, to grant exemptions, and may extend the transitional period beyond three years if necessary (s 13(3), (5)).

Secondary effects on markets and private choices

• Local businesses, contractors and service providers who previously contracted with WMC will face a different counterparty for future works and may find that receivables have been transferred to the Water Corporation (s 7). Private owners of servient land may face the Water Corporation as the owner of pipes that lie on, in, over or under their land, and the statutory application of the Water Agencies (Powers) Act 1984 may change inspection, access or use regimes for those owners (s 10). Developers, purchasers and lenders must factor in recorded notifications on title and the exclusion of private downstream fixtures (s 5(3)(b)).

Geographic and asset scope

• The affected geographic area is strictly delimited by coordinates in Schedule 1 and by the definitions in s 4 and s 5. The treated wastewater pipeline identified in Schedule 2 is excluded from the transfer (s 5(3)(a)). The Act therefore does not sweep beyond the specified infrastructure within the mapped Kambalda area.

Duties imposed on the Water Corporation

• To accept ownership: On commencement, ownership vests in the Water Corporation; that is its legal position under s 6. The Act imposes duties that flow from ownership under other laws by importing s 84 of the Water Agencies (Powers) Act 1984 for the transferred pipes and works (s 10), and by requiring the Water Corporation to deposit plans and lodge notifications for lots and parcels in the Kambalda area (s 16).

• To deposit plans and lodge notifications: As soon as practicable after commencement the Water Corporation must deposit with the relevant official one or more plans of the sewerage works and one or more plans of the water works showing the location or approximate location of pipes and works (s 16(1)). After that deposit it must lodge notifications for each lot or parcel, unless an exception applies (s 16(2)-(3)).

• To apply for required written law authorities: The Water Corporation must, as soon as practicable after commencement, make any application under a written law necessary for the purposes of having authorities formally issued to it, where relevant authorities were previously held by WMC (s 13(5)). Subsection 13(3) permits the continuation of the previous WMC authority for up to three years or a longer period determined by the relevant Minister.

• To request amendments and replacements: The Water Corporation may replace deposited plans (s 20), lodge replacement notifications, and request amendment or removal of notifications, with removal requiring Ministerial approval and the Minister being satisfied it is no longer necessary to provide notice (s 21).

Rights conferred on the Water Corporation

• Reception of revenue rights: The Water Corporation acquires WMC’s unpaid rights to be paid for services provided prior to commencement (s 7). Those sums may be recovered by actions the Water Corporation considers necessary or expedient (s 12(1)) and may be recovered as statutory charges under the Country Areas Water Supply Act 1947 and the Country Towns Sewerage Act 1948 (s 12(2)).

• Remedies and redress: Section 8 transfers to the Water Corporation WMC’s claims to remedy or redress other than receivables captured by s 7. That gives the Water Corporation standing to pursue claims in relation to the transferred facilities.

Duties imposed on WMC

• Payment of costs for plan deposit/notification: WMC must pay to the Water Corporation on demand the amount of any cost or expense reasonably incurred by the Water Corporation in complying with the plan deposit and notification obligations in s 16(1) and (2) and in doing anything required to enable compliance (s 22(1)). The Water Corporation may recover these amounts as a debt (s 22(2)).

• Provision of cooperation implied: The Act contemplates that WMC may agree on incidental matters with the Water Corporation (s 23). While there is no express duty to cooperate, the practical effect of s 22 plus the transitional provisions in s 13 and s 14 mean administrative cooperation will be necessary.

Limitations on rights and duties

• No liability transfer: WMC’s historical liabilities are not transferred to the Water Corporation (s 9). That means claimants seeking redress for pre‑commencement obligations remain, in principle, claimants against WMC rather than the Water Corporation.

• No compensation for transfer: Section 11(1) denies entitlement to receive any amount by way of compensation, reimbursement or otherwise from the Water Corporation or another person for loss, detriment or cost suffered because of the transfer effected by s 6 or because of the operation of s 10. However, s 11(2) says ss 81(1) and (2) of the Water Agencies (Powers) Act 1984 apply to works that form part of the transferred facilities. The Act therefore both denies general compensation and applies specific provisions of another statute; practitioners should read those cross‑referenced provisions to determine any residual entitlement.

Notification and title duties

• Wording and recording duties: Notifications must be worded to constitute notice to the proprietor and to a person searching the title that pipes and works that immediately before commencement were part of the sewerage or water works may be on, in, over or under the land and must refer to the relevant deposited plan (s 18(2)(a)-(b)). The relevant official records the notification on the certificate of title or in the register of deeds upon satisfaction of the required fee (s 19).

Decision points and delegations

• Ministerial discretion: The relevant Minister has discretion under s 13(3) to determine a longer period than three years for the transitional operation of WMC’s authorities to continue in force. The Minister must approve removal of notifications under s 21(1)(b) and may only do so if satisfied notice is no longer necessary (s 21(2)).

• Registrar action conditioned on fee payment: Registrar recording, removal and amendment are conditioned on payment of the required fee (ss 19, 20(3), 21(3)). The Act leaves procedural details to the registrars and approved forms determined by relevant officials.

Practical consequences for duties and rights

• Revenue collection shifts: Receivables created by WMC pre‑commencement now belong to the Water Corporation and the Corporation may use statutory charge collection regimes to recover them (s 12). That changes the collection counterparty and the enforcement route available to recover pre‑commencement amounts.

• Title notice changes: Proprietors and persons doing title searches will see notifications indicating possible presence of Water Corporation infrastructure, which can affect acquisitions, encumbrance searches, and development risk assessment (ss 16-19).

The Act contains no express criminal offences or administrative penalty provisions in the text provided. Enforcement and remedies under the Act are primarily civil and administrative, as described below.

Recovery and enforcement mechanisms

• Debt recovery in court: The Water Corporation may recover from WMC as a debt any amount payable by WMC to the Water Corporation for the costs of depositing plans and lodging notifications under s 16(1) and (2) (s 22(2)). That is a standard civil debt recovery route.

• Statutory recovery of service charges: Section 12(2) provides express statutory recovery mechanisms for amounts required by s 7 to be paid to the Water Corporation for pre‑commencement services. For water supply services, recovery may be under Part VII of the Country Areas Water Supply Act 1947 as if it were a water supply charge. For sewerage services, recovery may be under Part VII of the Country Towns Sewerage Act 1948 as if it were a sewerage charge. Those Acts implement established statutory charge and recovery processes; practitioners must consult those Acts for the precise enforcement steps, interest, priority and collection mechanisms.

• Registrar enforcement via recording rules: The registrars are required to record notifications once lodged and fees paid (s 19). The registrar will also comply with removal and amendment requests when properly made and fees paid (ss 20(3), 21(3)). The registrars’ compliance is conditioned on payment of required fees and the use of approved forms, which places an administrative burden on the Water Corporation and, indirectly, on WMC by s 22.

Limits on compensation and potential claims

• No compensation payable for transfer or s 10 operation: Section 11(1) states that a person is not entitled to receive from the Water Corporation or another person any amount by way of compensation, reimbursement or otherwise for any loss, detriment or cost that the person suffers or incurs because of the transfer effected by s 6 or the operation of s 10. That denies a direct compensation remedy against the Water Corporation arising from the statutory vesting or the adopted application of s 84 of the Water Agencies (Powers) Act 1984.

• Cross‑application of s 81(1) and (2) of WAPA: Section 11(2) preserves the application of ss 81(1) and (2) of the Water Agencies (Powers) Act 1984 to works forming part of the transferred facilities. The content of those provisions may create particular rights or obligations, and practitioners must inspect s 81 of that Act to understand any exception to the general no‑compensation rule in s 11(1).

Interaction with other enforcement regimes

• Other written laws and licences: Section 13 provides that any authority in force immediately before commencement and issued to WMC that the Water Corporation is required to hold continues to have effect for up to three years or a longer Minister‑determined period, unless a new authority is issued or an exemption granted earlier (s 13(2)-(3)). Enforcement of compliance with those authorities remains subject to the written laws that regulate them; the Water Corporation must apply as soon as practicable for necessary authorities (s 13(5)). Non‑compliance after transition may therefore trigger enforcement under the written law regime, not under this Act directly.

• Contractual and common law remedies: The Act contains a saving provision stating that its operation is not to be regarded as a breach of contract or confidence or otherwise a civil wrong and is not to be regarded as giving rise to remedy or termination of instruments because of a change in beneficial or legal ownership (s 24). That limits the availability of contractual remedies flowing from the transfer itself. However, contractual and statutory remedies for other causes of action remain available in the usual way.

Practical enforcement risks and burdens

• Administrative compliance risk: The Water Corporation must manage deposit of plans, lodging notifications, applying for authorities and, if necessary, replacing or amending plans and notifications (ss 16, 20, 21). Those processes create timing and formality risks; failure to comply could affect notice to third parties and regulatory compliance under other written laws.

• Litigation risk for WMC liabilities: Because liabilities of WMC do not transfer (s 9), claimants for pre‑commencement liabilities remain claimants against WMC. That may generate litigation between customers or contractors and WMC, and possibly inter‑party disputes about who must indemnify whom. The Act does not itself create an enforcement mechanism to shift those liabilities to the Water Corporation.

• Registrar fee and form dependencies: Recording, amendment and removal of notifications is subject to payment of required fees and use of approved forms (ss 19, 20(3), 21(3)). Administrative delays or errors in these steps can raise practical enforcement and risk allocation issues for prospective purchasers and lenders.

In short, enforcement under the Act is implemented by civil debt recovery, use of statutory charge collection regimes under other Acts, and registrar recording procedures. The Act expressly limits compensation claims arising from the statutory transfer while importing selected provisions of the Water Agencies (Powers) Act 1984 that may create specific rights or obligations. Practitioners must therefore consult those cross‑referenced statutes to map the full enforcement landscape.

The Act is explicitly designed to operate in concert with several existing statutes. It imports, cross‑applies and refers to provisions of other Acts, and it prescribes procedural interactions with land registration statutes. The following interactions are explicit in the Act text and require attention.

Water Agencies (Powers) Act 1984

• Section 10 applies s 84(1) of the Water Agencies (Powers) Act 1984 to pipes and other things that form part of the transferred facilities as if those items had been placed by the Water Corporation under that Act. Section 10(2) applies ss 84(2) and (3) of that Act accordingly. Those provisions in the Water Agencies (Powers) Act 1984 concern the legal character of works and powers conferred on an agency in relation to land, and by statutory deeming the transferred pipes and works are treated as if installed by the Water Corporation under that Act. Section 11(2) also applies s 81(1) and (2) of the Water Agencies (Powers) Act 1984 to any works forming part of the transferred facilities. Practitioners must read those referenced provisions to determine the exact rights, liabilities and compensation regimes that remain applicable despite s 11(1)’s general bar on compensation for the transfer.

Water Corporations Act 1995

• The definition of Water Corporation in s 3 refers to the corporation established under the Water Corporations Act 1995 s 4(1). The Water Corporation’s powers, corporate status and regulatory obligations under that Act will shape how it exercises new ownership and enforcement rights after the transfer.

Country Areas Water Supply Act 1947 and Country Towns Sewerage Act 1948

• Section 12(2) provides that amounts required by s 7 to be paid to the Water Corporation may be recovered as if they were a water supply charge under Part VII of the Country Areas Water Supply Act 1947 or a sewerage charge under Part VII of the Country Towns Sewerage Act 1948. The Act therefore places recovery of transferred receivables into the statutory recovery framework of those Acts. Practitioners must consult those Acts to determine the procedures, priority, interest and collection powers applicable to those charges.

Transfer of Land Act 1893 and Registration of Deeds Act 1856

• Part 3 interacts directly with land registration regimes. The "relevant official" for lodgement of plans and notifications is either the Registrar of Titles under the Transfer of Land Act 1893 or the Registrar of Deeds and Transfers under the Registration of Deeds Act 1856, depending on which register applies to a lot or parcel (s 15). Notifications, once lodged and fee paid, are to be recorded on certificates of title or in the register of deeds (s 19). The wording of the notifications must give notice to proprietors and persons searching the title (s 18). Replacement and amendment of plans and notifications follow registrar processes and fee requirements (ss 20-21). The Act therefore overlays an administrative regime on top of existing land title instruments.

Corporations Act 2001 (indirect reference)

• WMC Resources Ltd is identified by reference to its incorporation under the Corporations Act 2001 (s 3). That situates WMC's corporate status and points to insolvency or corporate process consequences that could arise under other statutes if WMC is subject to claims or liabilities that do not transfer.

Interaction effects and potential frictions

• Rights and liabilities split: The Act creates a legal split between ownership/receivables/remedies and pre‑existing liabilities. That split interacts with contractual assignment and security regimes under the Corporations Act, property law and insolvency law. Section 24 seeks to preclude the operation of the Act from being treated as breach, assignment or termination under instruments, which interacts with private contract law and limits contractually triggered consequences. Practitioners must evaluate how existing contracts, securities and guarantees will operate where the Act has removed or altered the counterparty or asset base.

• Cross‑statute enforcement pathways: Because recovery of transferred receivables is placed into recovery mechanisms in the Country Areas Water Supply Act 1947 and Country Towns Sewerage Act 1948, the administrative and priority treatment of those receivables will follow those Acts rather than ordinary contract enforcement only. That affects the practical value of transferred receivables and the likely recovery strategy for the Water Corporation.

• Regulatory licences and transitional operation: Section 13 provides a transitional continuity for licences and other authorities issued to WMC but that the Water Corporation must hold. Those authorities continue to have effect in favour of the Water Corporation until the Water Corporation is issued with its own authority or an exemption or until expiry of the three year period or longer period determined by the relevant Minister (s 13(2)-(3)). This interaction poses a regulatory compliance window during which the Water Corporation must secure formal authorisations, otherwise it risks non‑compliance with the statutory regimes that actually regulate the activities of water supply and sewerage operation.

• Title recording and conveyancing: Part 3 requires notifications recorded on title matching registered plans. That interaction creates an additional layer for conveyancers and lenders to examine when conducting searches under the Transfer of Land Act 1893 or the Registration of Deeds Act 1856. The Act’s requirement that notification wording constitutes notice to proprietors and searchers (s 18) intentionally intersects with the doctrine of notice in property dealings.

References and cross‑statute practical implications

• To determine exactly what statutory powers, protections, compensation or access rights now apply to the transferred infrastructure, practitioners must read the Water Agencies (Powers) Act 1984 (in particular ss 81 and 84 as referenced), the Country Areas Water Supply Act 1947 and the Country Towns Sewerage Act 1948. The Act refers to those Acts for enforcement and statutory authority but does not reproduce their provisions. The Water Corporation’s rights and obligations will therefore be a product of this Act’s transfers plus the applicable provisions of the other statutes imported by reference.

The Act’s compilation table in the text identifies two subsequent amendments. The Act as enacted was No. 64 of 2004, assented to 30 November 2004 and commenced 11 June 2005 (s 2 and Gazette note). The compilation table lists later amending Acts as follows.

• Statutes (Repeals and Minor Amendments) Act 2011, No. 47 of 2011, s 16: Assent 25 October 2011, commencement 26 October 2011. The presence of this amending Act in the compilation table indicates that a minor amendment was made to the Kambalda Act by s 16 of that Statutes Act. The specific textual change is not reproduced in the Act text provided beyond the compilation note, so practitioners should consult the 2011 Act and the consolidated text for the precise amendment. The Act’s notes mark s 15 as amended by No. 47 of 2011 s 16, indicating likely change to definitions or Part 3 (s 15 was amended , see note stating s 15 amended: No. 47 of 2011 s. 16).

• Water Services Legislation Amendment and Repeal Act 2012, No. 25 of 2012, s 219: Assent 3 September 2012, commencement 18 November 2013. The compilation table records that s 3 was amended by s 219 of the 2012 Act. The Act text contains a bracketed editorial note stating s 3 amended: No. 25 of 2012 s. 219, which suggests defined term amendments were made. Again, the specific amendment is not reproduced beyond that editorial notation.

Other publication details

• The compilation includes a note that the Act was compiled with amendments made by the above Acts and indicates the commencement date of the original Act. The Schedule and defined terms list remain as provided in the consolidated text.

What this means for practitioners

• Consult consolidated and current legislation: The compilation table identifies amendments. Users must consult the official consolidated statute (Legislation Register or Westlaw/Lexis) to be certain of the current text and to see the enacted amendments in context. The Act as provided includes editorial notes marking which sections were amended, but does not reproduce the amending text within the body.

• Track regulation and subordinate instruments: Part 3 refers to approved forms and fees to be paid to registrars, and Ministerial determinations under s 13(3). Amendments and subordinate instruments can alter administrative detail. Practitioners should obtain current approved forms and fee schedules from Landgate or the Department responsible for registration, and check for any Ministerial determinations affecting transitional timeframes or exemptions.

• Review historical documents: If advising on a transaction involving the assets or receivables, locate contemporaneous records of the commencement proclamation, deposited plans, and notifications recorded under the Act to determine precisely what was transferred and what notices were placed on title.

The Act text and the compilation notes provided do not record any litigation. There are no cases named in the Act, and the provided document does not include any judicial interpretation or reported disputes arising under the Kambalda Water and Wastewater Facilities (Transfer to Water Corporation) Act 2004.

What practitioners should do on litigation search

• Search authorised databases: Given the Act’s age and the potential for disputes about transfer, rights, liabilities and title notifications, practitioners seeking litigation history should search public legal databases, court lists, and Westlaw/Lexis for proceedings naming the Water Corporation, WMC Resources Ltd and references to this Act or disputes over Kambalda infrastructure.

• Anticipate likely dispute themes: Even where no litigation is recorded in the text, typical dispute lines that could arise and ought to be investigated include: claims by third parties that their pre‑existing interests were extinguished under s 6 and therefore seek compensation or restoration (noting s 11(1) denies compensation, but s 24 restricts treating the transfer as a contractual breach), creditor or contractor claims against WMC for liabilities retained by WMC under s 9, disputes about whether specific pipes or fittings were excluded as private downstream fixtures (s 5(3)(b)), and disputes about adequacy of title notifications and plan deposit accuracy.

• Check registries and notice records: Part 3 procedures mean that registrars will hold deposited plans and recorded notifications. Litigation about constructive notice or title misdescription may involve those registry records. Practitioners should obtain copies of the deposited plans and notifications from the relevant official to support litigation searches and due diligence.

• Consider cross‑statute litigation exposures: Since the Act imports provisions of the Water Agencies (Powers) Act 1984 and places recovery under the Country Areas Water Supply Act 1947 and Country Towns Sewerage Act 1948, litigation could involve those statutes rather than the transfer Act itself. Searches should include proceedings under those Acts relating to the Kambalda area.

Absent recorded litigation, practitioners must nonetheless treat the Act’s unique split of rights and liabilities as a potential source of disputes and perform thorough document and registry searches before advising on transactions or disputes.

This Act contains several features that can cause drafting, transactional or operational surprises if not specifically considered. Below are concrete "gotchas" with section references and practical implications.

1. Ownership transfer with extinguishment of third‑party interests (s 6)

• Surprise mechanism: Section 6 transfers ownership to the Water Corporation and extinguishes "any claim, right, title or interest of any other person" in relation to the transferred facilities as they existed immediately before commencement (s 6(b)). That can extinguish proprietary or contractual interests in the transferred assets that third parties believed they held.

• Practical consequence: Parties who have security, licences or easements over the transferred infrastructure must check whether their instrument is affected. Relying on contractual termination or assignment clauses triggered by change of ownership may be ineffective because s 24 says the Act is not to be regarded as a breach or as giving rise to remedies for change of ownership (s 24(a)-(d)). Evaluate existing instruments and consider indemnities or novations to preserve rights.

2. Liabilities do not transfer (s 9)

• Surprise mechanism: The Act expressly provides that liabilities of WMC do not become liabilities of the Water Corporation (s 9). That leaves historical liabilities with WMC.

• Practical consequence: Contractors, suppliers and customers who expect their claims to sit with the new owner will instead have to pursue WMC. If WMC lacks assets or is insolvent, those claimants may be disadvantaged. Practitioners should consider the creditworthiness of WMC, security arrangements, and whether indemnities exist or should have been negotiated at the time of transfer.

3. No compensation for transfer but selected cross‑application of other provisions (s 11)

• Surprise mechanism: Section 11(1) denies any entitlement to compensation for loss or cost caused by the transfer or operation of s 10. Section 11(2) still applies ss 81(1) and (2) of the Water Agencies (Powers) Act 1984 to the works.

• Practical consequence: You cannot assume an automatic compensation remedy exists because the Act denies it, but there may be specific rights under the cross‑applied provisions of the Water Agencies (Powers) Act 1984. Identify and read those cross‑referenced provisions to determine exceptions to the no‑compensation rule.

4. Receivables transfer even without an account issued (s 7(2))

• Surprise mechanism: Rights to payment for services provided before commencement transfer to the Water Corporation even if no account had been issued (s 7(2)). The Water Corporation therefore acquires dormant receivables.

• Practical consequence: Customers may be surprised by being pursued for historical sums by a new statutory agency. The Water Corporation may recover amounts under specific statutory charge regimes (s 12(2)). Advisers should review billing records and the statute of limitations considerations for pre‑commencement debts.

5. Plan deposit and notification obligations produce administrative and fee burdens (s 16, s 22)

• Surprise mechanism: The Water Corporation must deposit plans and lodge notifications for each lot or parcel; WMC must pay reasonable costs and expenses incurred by the Water Corporation in doing so (s 16(1)-(2), s 22(1)). The registrar will only record notifications on payment of required fees (s 19).

• Practical consequence: Expect work and costs for land registry interactions, approved forms and fees. WMC is contractually obliged by statute to pay reasonable costs, recoverable as a debt. Parties should obtain the deposit plans and check whether notifications were correctly lodged and recorded.

6. Exclusion of private downstream fittings and treated wastewater pipeline (s 5(3))

• Surprise mechanism: The transferred facilities explicitly exclude the treated wastewater pipeline (Schedule 2; s 5(3)(a)) and exclude water pipes or fixtures downstream of the meter assembly on a lot or sewer fixtures on a lot that service only that lot (s 5(3)(b)).

• Practical consequence: Owners of private lots retain ownership and maintenance responsibilities for fixtures on their lots; purchasers and lenders must note that those are not transferred. Confusion can arise in distinguishing between reticulation owned by the Water Corporation and service pipes retained by lot owners. Check the deposited plans and on‑site meters to resolve boundaries.

7. Transitional licence regime and ministerial discretion (s 13)

• Surprise mechanism: Where WMC held authorities that the Water Corporation is required to hold, those authorities continue in favour of the Water Corporation until a replacement authority is issued or a three year period expires, unless the Minister sets a longer period (s 13(2)-(3)). The Water Corporation must make applications as soon as practicable (s 13(5)).

• Practical consequence: The Water Corporation may operate under the old WMC authorities for up to three years. Regulators and operators must track licence renewal processes and any Ministerial determinations. Failure to secure necessary authorities after the transitional period may create compliance risk.

8. Notifications only required for lots, not all land (s 17)

• Surprise mechanism: The Water Corporation is not required to comply with s 16(2) for land that is not a lot and is not required to create a lot to enable compliance (s 17).

• Practical consequence: Some types of land (for example unregistered parcels or Crown land not converted into lots) may not have title notifications. Parties must inspect deposit plans and on‑site circumstances rather than relying solely on title searches.

9. Minister approval required for removal of notifications (s 21)

• Surprise mechanism: Removal of notifications requires Ministerial approval and the Minister must be satisfied notice is no longer necessary (s 21(1)(b)-(2)).

• Practical consequence: Removing a notification is not a mere administrative step and may be delayed if the Minister is not satisfied. This affects transactions where buyers anticipate cleared titles.

10. The Act’s saving provision limits contractual remedies (s 24)

• Surprise mechanism: Section 24 prevents the operation of the Act from being regarded as a breach of contract or giving rise to remedies for change of ownership, assignment or disclosure.

• Practical consequence: Contractual clauses that purport to allow termination or adjustment because of assignment or transfer of the assets may not be enforceable merely because the statutory transfer occurred. Parties should review existing contracts for clauses that might be triggered by other events or for expressed exceptions.

Each of these points is grounded in the Act text. Practitioners should not assume a default contractual or common law remedy without examining the Act’s specific clauses, cross‑referenced statutes, and the deposited plans and notifications.

This section sets out practical steps and checklists for the Water Corporation, WMC Resources Ltd, proprietors and third parties to meet the Act’s requirements and to manage the operational consequences of the transfer. Each item cites the relevant statutory provision.

For the Water Corporation (statutory transferee)

1. Accept and record ownership and transferred rights

• Confirm the commencement day and record statutory vesting of the transferred facilities under s 6.
• Create an internal asset register reflecting assets transferred under s 5(2). Exclude the treated wastewater pipeline and private downstream fixtures identified in s 5(3).

2. Deposit plans and lodge notifications (s 16)

• As soon as practicable after commencement, deposit with the relevant official one or more plans of the sewerage works and one or more plans of the water works showing the location or approximate location of pipes, works and other things that were part of those works immediately before commencement (s 16(1)).
• Prepare and lodge the required notifications for each lot or parcel in the Kambalda area (s 16(2)), using approved forms and formats as required by the relevant official (s 15 definition of "approved").
• Apply exceptions: do not lodge notifications for lots where the Water Corporation is the registered freehold owner (s 16(4)), and omit lodging if you have satisfied yourself there were no such pipes or works on or under a given lot immediately before commencement (s 16(3)(b)).

3. Ensure correct wording (s 18)

• Use the approved wording required by s 18 so the notification constitutes notice to the proprietor and to persons searching the title that the relevant water or sewerage works may be on, in, over or under the land and refer to the deposited plan.

4. Liaise with the relevant official and pay/collect fees (s 19, s 22)

• Work with the Registrar of Titles or Registrar of Deeds and Transfers to ensure notifications are correctly recorded (s 19).
• Secure payment from WMC for reasonable costs incurred in complying with s 16 per s 22(1). Issue demand for payment and, if necessary, commence debt recovery proceedings (s 22(2)).

5. Apply for licences and authorities (s 13)

• Identify any authorities held by WMC that the Water Corporation is required to hold. As soon as practicable apply under the relevant written laws to have those authorities issued to the Water Corporation or secure necessary exemptions (s 13(5)).
• Track any Ministerial determinations that extend the transitional operation beyond three years (s 13(3)).

6. Manage plan updates, amendments and removals (ss 20-21)

• If better plans are necessary, deposit replacement plans and lodge replacement notifications in the approved form (s 20).
• For removal or amendment of notifications, use approved forms and, where removal is requested, obtain Ministerial approval explaining why the notification is no longer necessary (s 21(1)-(2)). Ensure fees are paid (s 21(3)).

7. Recovery of receivables (s 12)

• Review WMC’s records of unpaid receivables for water and sewerage services provided before commencement. Send notices to customers where appropriate and pursue statutory recovery mechanisms under the Country Areas Water Supply Act 1947 and Country Towns Sewerage Act 1948 for water and sewerage charges respectively (s 12(2)).

8. Operational integration and asset maintenance

• Integrate transferred assets into maintenance and operations schedules and apply the Water Agencies (Powers) Act 1984 provisions as they now operate in respect of these assets by route of s 10 and s 11(2). Assess how s 84 of the Water Agencies (Powers) Act 1984 changes access, alteration and compensation regimes.

For WMC Resources Ltd (statutory transferor)

1. Pay plan and notification costs (s 22)

• Be prepared to reimburse the Water Corporation for reasonable costs and expenses incurred by the Water Corporation in complying with ss 16(1) and (2) and for anything required to enable compliance. Expect to receive a demand under s 22(1) and note that the Water Corporation may recover unpaid sums as a debt in court (s 22(2)).

2. Identify retained liabilities (s 9)

• Catalogue pre‑commencement liabilities and prepare for claims to be made against WMC, since liabilities do not pass to the Water Corporation (s 9). Assess insolvency risk and ability to meet claims. Consider seeking contractual arrangements with the Water Corporation (s 23) to allocate residual liabilities if practicable and lawful.

3. Provide reasonable assistance

• Although not explicitly mandated, cooperate with the Water Corporation to deliver deposited plans, data and historical maintenance and billing records necessary for plan deposits, notification accuracy and recovery of receivables (ss 16, 22, 12).

4. Deal with contractual arrangements and indemnities

• Where possible, enter into agreements under s 23 to determine incidental matters between WMC and the Water Corporation, provided they are not inconsistent with the Act. Use those agreements to manage residual liabilities and operational handover.

For proprietors, purchasers, lenders and developers in the Kambalda area

1. Search titles and registers (ss 16-19)

• When acquiring or lending against property in the Kambalda area, obtain current title searches and copies of any notifications recorded under this Act. Confirm the notification wording references the deposited plan, and review the plan to understand location or approximate location of pipes and works (s 18).

2. Distinguish transferred infrastructure from private fixtures (s 5(3)(b))

• Check meter assemblies and physical site configurations to determine whether a given pipe or fitting is excluded from the transfer because it services only the lot. Pipes or fittings downstream of the meter assembly on a lot are excluded from the transfer; they remain private assets (s 5(3)(b)).

3. Assess development and access implications (s 10)

• If works are on, in, over or under a lot, confirm whether s 84 of the Water Agencies (Powers) Act 1984 has been applied under s 10. That may affect rights of access and obligations to the Water Corporation.

4. Consider removal of notifications (s 21)

• If a purchaser or owner believes a notification is no longer necessary, advise them that the Water Corporation may request removal, but Ministerial approval will be required and the Minister must be satisfied that notice is no longer required (s 21(1)(b)-(2)).

For regulators and Ministers

1. Process transitional authority matters (s 13)

• Where WMC held authorities the Water Corporation must have, the relevant Minister should determine whether to issue a replacement authority, grant an exemption, or extend the transitional period beyond three years. The Water Corporation has a statutory duty to apply as soon as practicable (s 13(5)) and the Minister must balance regulatory safeguards against transitional practicality.

General compliance checklist

• Confirm commencement date and legal vesting (s 6).
• Identify exact assets transferred using s 5 and the schedules.
• Obtain and review deposited plans and title notifications (ss 16-20).
• Ensure WMC pays reasonable costs of plan deposit and notifications and prepare for potential court recovery by Water Corporation (s 22).
• Apply statutory recovery routes for transferred receivables under s 12(2).
• Secure required regulatory authorities or exemptions under s 13(5).
• Consider and negotiate agreements on incidental matters under s 23.
• Advise purchasers and lenders to inspect titles for notifications and physical meter boundaries to establish private fixture ownership per s 5(3)(b).

Documentary evidence to obtain

• Official deposited plans lodged with the relevant official (s 16(1)).
• Copies of notifications recorded on the certificate of title or in the register of deeds (s 19).
• Demand and receipt documentation for WMC’s payment of plan/notification costs (s 22).
• Records of licence or authority applications made by the Water Corporation under s 13(5) and any Ministerial determinations extending transitional periods (s 13(3)).

Following these steps and obtaining the documents listed will materially reduce the legal and commercial risks the Act presents to each class of affected party.
