Julia Farr Services (Trusts) Act 2007

Designated entity is defined in section 3 as the Home for Incurables Incorporated (or Home for Incurables), Julia Farr Centre Inc. (or Julia Farr Centre), Julia Farr Services, or Julia Farr. This is the class of former beneficiaries whose interests are redirected to JFA. The definition is inclusive: the four terms cover the successive names under which the same institutional care provider operated before its restructuring. The Act does not define “Home for Incurables Incorporated” or “Julia Farr Centre Inc.” by reference to incorporation dates or registration numbers; it relies on the common usage of those names.

JFA is the Julia Farr Association Incorporated, a body corporate under the Associations Incorporation Act 1985. The Act does not prescribe JFA’s objects or constitution; it simply makes JFA the statutory successor in trust for all property that would otherwise have been held by or for a designated entity. JFA is the sole beneficiary of the vesting rule, but it is also subject to the restrictions in sections 7 and 8.

Designated date is 1 July 2009 (section 3). This is the date on which two important provisions expired: section 4(3) (which exempted affected trusts from section 69B of the Trustee Act 1936) and section 6 (the variation mechanism). After that date, the Act’s only operative provisions are sections 5, 7, 8, and 9, plus the interpretive framework.

Property is defined broadly: real and personal property, any estate or interest, any debt, any thing in action, and any right or interest whether in possession or not (section 3). This ensures the vesting rule captures all forms of assets that might be the subject of a testamentary disposition, trust, or gift.

Testamentary disposition includes a surrender or release effected by a testamentary disposition (section 5(7)). This broadens the scope to cover not only bequests and devises but also any release or surrender of rights or property made by will.

Spirit of the trust is a concept used in two places. Section 5(2) requires JFA, when nominating beneficiaries under section 5(1)(c) (trusts for residents or patients), to make a nomination that accords, as far as reasonably practicable, with the spirit of the original testamentary disposition, trust, or fund. Section 6(5)(a) (now expired) similarly required that a variation accord with the spirit of the trust. The Act does not define “spirit”, leaving it to be determined by the context, the donor’s known intentions, and the charitable purpose.

Fullarton campus is defined in section 9(3) as the property that, until 30 June 2007, constituted the main facility for the designated entities at the corner of Highgate Street and Fisher Street, Fullarton. This fixed geographical reference point anchors the reporting obligation to a specific group of residents as at a specific date. The reporting obligation tracks the fate of those individuals after the closure of the Fullarton facility.

JFA is the primary affected entity. It receives all property formerly destined for the designated entities, but it also bears duties under sections 5(2), 7, and 8. JFA must manage the trusts it acquires in accordance with their original spirit, cannot apply the property outside its own objects, and cannot change its winding‑up rules without the Attorney‑General’s approval. These constraints reduce JFA’s operational flexibility compared to an ordinary incorporated association holding charitable funds.

Original testators and donors are affected indirectly. A person who made a will before or after 4 October 2007 naming a designated entity will have their disposition automatically redirected to JFA. The donor’s specific intention to benefit the Home for Incurables, for example, is overridden unless the disposition includes an express clause stating that the gift should lapse if the named beneficiary ceases to exist (section 5(5)). The Act thus substitutes JFA’s discretion for the donor’s original choice of beneficiary, subject only to the spirit requirement.

Residents and patients who were beneficiaries of the designated entities are affected because the trusts that were for their benefit now vest in JFA, which may nominate different recipients under section 5(1)(c). The Act does not guarantee that any particular resident will continue to receive the same level or type of service. Instead, JFA has a duty to nominate recipients in a manner that accords as far as reasonably practicable with the spirit of the original trust - a standard that is inherently flexible and may allow JFA to redirect resources.

The Attorney‑General (SA) has ongoing oversight functions. Under section 8, the Attorney‑General must approve any alteration to JFA’s winding‑up rules. Under section 4(5), the original purposes of a trust for the purposes of section 69B of the Trustee Act 1936 are to be construed after taking into account the operation of section 5 - effectively, the Attorney‑General or the Supreme Court on a cy‑pres application must first apply the statutory vesting. The Attorney‑General also formerly handled variation applications under section 6, which has expired.

The administrative unit responsible for disability services (currently the Department of Human Services or its successor) has a recurring reporting burden under section 9. It must each year prepare a statement about the Fullarton campus residents as at 30 June 2007, including numbers, types of accommodation, and relocation processes. This obligation is permanent and independent of whether any residents remain. The report must be included in the unit’s annual report, meaning the obligation attaches to the entity’s statutory reporting cycle.

Trustees and executors dealing with estates that include gifts to a designated entity must now pay or transfer those gifts to JFA, not to the named entity. Section 5(3) provides that any reference in an instrument to a designated entity as trustee is taken to be a reference to JFA. This can affect the administration of existing trusts where a designated entity was appointed trustee. However, if a new trustee was appointed before the Act’s commencement, that appointment is preserved (section 5(4)).

JFA’s duty to nominate in accord with spirit. Under section 5(2), when exercising its power under section 5(1)(c) to nominate residents, patients, or other recipients of services for trusts that were for the benefit of such persons, JFA must make a nomination that accords, as far as reasonably practicable, with the spirit of the original testamentary disposition, trust, or fund. This imposes a non‑delegable duty of loyalty to the donor’s presumed intention. It does not require perfect conformity, only what is “reasonably practicable”, which gives JFA some discretion but also creates a standard against which its decisions could be challenged.

JFA’s duty to maintain purposes. Section 7 prohibits JFA from applying any trust or gift for a purpose outside the ambit of an object of JFA existing at the time of the Act’s commencement (4 October 2007) or at the time JFA becomes trustee or receives the gift, whichever is later. This means that if JFA later amends its objects to be narrower or broader, it cannot apply earlier trusts to new objects if those objects were not within its objects at the relevant time. The duty is absolute: “cannot apply” is not qualified by any practicability test.

JFA’s right to receive property. Section 5 gives JFA a statutory right to take property that would otherwise have gone to a designated entity. This right overrides inconsistent provisions in wills, trust deeds, or gifts. JFA can enforce this right against executors, trustees, or donors, but the Act provides no specific enforcement mechanism; presumably JFA would rely on the general law, possibly with the Attorney‑General’s assistance.

JFA’s right to apply for variation (expired). Section 6 (expired 1 July 2009) gave JFA the right to apply to the Attorney‑General for variation of the terms of a trust. That right is gone. For ongoing variations, JFA must use the cy‑pres jurisdiction under the Trustee Act 1936, but with the original purposes treated as modified by section 5.

Attorney‑General’s rights and powers. The Attorney‑General has the power to approve or reject rule changes under section 8. Under the expired section 6, he had the power to approve variations and fix costs. Under section 4(5), his opinion (or a court’s) on original purposes for cy‑pres purposes must account for section 5. He also has the right to refer an application to the Supreme Court under the former section 6(4).

Public right to inspect register (expired). Section 6(8) required the Attorney‑General to keep a register of approvals available for public inspection. That obligation ceased with the section’s expiry, so no current public register exists.

Administrative unit’s duty to report. Section 9 imposes a mandatory reporting obligation. The unit must “include in its annual report” the specified information. There is no discretion to omit if, for example, the number of residents is zero. The unit must also ensure the report does not identify any particular person.

The Act contains no express penalty provisions such as fines, imprisonment, or infringement notices. Enforcement relies on general legal mechanisms. If JFA fails to comply with its duty under section 5(2) to nominate in accord with the spirit of the trust, affected beneficiaries or the Attorney‑General could potentially bring an action for breach of trust or seek judicial review. A court could order JFA to reconsider its nomination or direct a different nomination. Similarly, a breach of section 7 (applying trust property outside JFA’s objects) would be a breach of trust, exposing JFA to liability for repayment or equitable compensation. The Attorney‑General, as protector of charities, would have standing.

The section 8 restriction on altering winding‑up rules is enforceable by the Attorney‑General refusing to register any unauthorised alteration under the Associations Incorporation Act 1985, and potentially by an injunction. If JFA purports to alter rules without approval, the alteration would likely be void as ultra vires the Act.

The section 9 reporting obligation on the administrative unit is not backed by a specific penalty. A failure to include the required statement in the annual report could be a breach of statutory duty, but the Act does not provide for fines or personal liability on officers. The remedy would be political or through the relevant Minister; the report is tabled in Parliament, so public scrutiny is the main enforcement mechanism.

The Act’s interaction with the Trustee Act 1936 means that general trust enforcement provisions apply. For example, the Supreme Court has jurisdiction to supervise charitable trusts, remove trustees, and order accounts. The Act does not create any new enforcement body or tribunal. The Attorney‑General retains his traditional role as parens patriae for charities.

There is no right of private action for individuals affected by the redirection of a gift. A disappointed heir or beneficiary who would have taken under a lapse provision preserved by section 5(5) can enforce that provision. But a donor who simply named a designated entity without a lapse clause has no remedy: the Act gives JFA the property.

The Act is explicitly “in addition to, and does not derogate from, the Trustee Act 1936” (section 4(2)), with one exception that has now expired. Section 4(3) originally excluded section 69B of the Trustee Act (cy‑pres jurisdiction) from applying to trusts covered by this Act, but that exclusion expired on 1 July 2009. For any cy‑pres application after that date, section 4(5) modifies how section 69B operates: the references to the “original purposes” of the trust must be construed after taking into account the operation of section 5. In practical terms, this means that when a court or the Attorney‑General considers a cy‑pres scheme for a trust that was originally for a designated entity, the “original purposes” are treated as having been already altered by the statutory vesting. The property is now held by JFA, so the court must ask whether the purposes of JFA as holder are still capable of being carried out.

Section 8(2) states that section 8 operates “in addition to the requirements of the Associations Incorporation Act 1985”. So any alteration to JFA’s rules about winding‑up or distribution of property on winding‑up must comply both with the Associations Incorporation Act’s procedures (e.g., special resolutions, lodgement with the regulator) and with the separate requirement of the Attorney‑General’s approval. The Attorney‑General’s approval does not replace the normal process; it is an additional hurdle.

The Act overrides other Acts and laws through the “Despite a provision of another Act or law” language in section 5(1). This means that if, for example, a later Act purports to direct charitable property away from JFA, this Act would prevail unless the later Act expressly repeals or amends it. The Act does not, however, purport to override fundamental constitutional principles or the common law of trusts beyond what is necessary for its operation.

The Act does not interact directly with Commonwealth legislation such as the Charities Act 2013 (Cth) or tax laws. However, the redirection of gifts may affect deductible gift recipient (DGR) status or fringe benefits tax treatment, as the named beneficiary changes. JFA itself would need to ensure it meets the relevant Commonwealth requirements separately.

The expired provisions (sections 4(3) and 6) no longer interact with current law. It is worth noting that section 6(9)(b) provides that references to original purposes in section 6 are to be construed after taking into account variations under “any other Act or law, including by or under the terms of any declaration made by a court”. This preserved the possibility of overlapping variations, but as the section has expired, the point is moot.

The Act was assented to on 20 September 2007 and commenced on 4 October 2007 by proclamation published in the South Australian Government Gazette on 4 October 2007 (p. 3887). The legislative history table in the Act records only two changes, both of which are expiries rather than amendments by subsequent legislation. Section 4(3) expired on 1 July 2009 by operation of section 4(4). Section 6 expired on 1 July 2009 by operation of section 6(10). The expiry of these provisions is automatic and does not require repealing legislation. After 1 July 2009, the Act therefore consists of sections 1-5, 7-9, and the interpretive provisions.

The expiry of section 4(3) means that section 69B of the Trustee Act 1936 (cy‑pres) now applies to the trusts covered by the Act, subject to the modified construction of original purposes under section 4(5). The expiry of section 6 means that the bespoke variation mechanism is no longer available; any variation must now proceed under the general cy‑pres jurisdiction.

No subsequent amendment Acts or regulations have amended the Julia Farr Services (Trusts) Act 2007. It remains in force as a largely static piece of legislation, save for the two expired provisions. The notes to the legislative history confirm that section 4(3) and section 6 have expired, and the printed version of the Act includes editorial notes to that effect.

The Act’s longevity despite the expiry of key provisions indicates that its primary purpose - the vesting of property in JFA - is considered achieved and self‑executing. The remaining ongoing obligations (sections 7, 8, 9) are limited in scope and have not required legislative attention.

The Act and its legislative history do not refer to any court cases. No cases are cited in the text or the notes. As a specialised South Australian statute dealing with a narrow set of charitable trusts, it has not generated reported litigation in the Supreme Court of South Australia or the High Court of Australia, at least as reflected in publicly available databases. The Act’s drafting suggests an attempt to minimise litigation by creating clear mechanical rules: a testamentary disposition in favour of a designated entity “will be taken to be” a disposition in favour of JFA. This leaves little room for interpretative dispute over the vesting itself.

However, potential for litigation exists in several areas. Section 5(5) preserves lapse provisions, so a dispute could arise over whether a particular will or trust deed contains an express intention that the gift should lapse if the beneficiary ceases to exist. The Act does not define “express” - it says “provisions or terms … that provide that, should the beneficiary cease to exist, the testamentary disposition, trust or gift was to lapse”. A clause that merely states “to the Home for Incurables if it then exists” might be argued to be a condition rather than a lapse provision. Similarly, a clause referring to “the Home for Incurables or its successor” might be read as implicitly designating JFA as successor, which would not trigger the escape.

Section 5(2)’s requirement to act “as far as reasonably practicable” in accord with the spirit of the original trust could give rise to challenges if affected beneficiaries believe JFA has not exercised its nomination power properly. The standard is inherently fact‑sensitive and would require evidence of the donor’s intentions and the practical constraints.

Section 7’s prohibition on applying trust property outside JFA’s objects could lead to litigation if JFA changes its objects after receiving a gift and then attempts to apply that gift to the new objects. The section creates a temporal lock: the object at the time of receipt governs. A beneficiary might seek an injunction or removal of JFA as trustee.

Section 8’s requirement for Attorney‑General approval of rule changes could be the subject of judicial review if the Attorney‑General refuses or delays approval unreasonably. The Act does not set a timeframe or criteria for the Attorney‑General’s decision. No reported cases exist on this point.

The lack of litigation to date may reflect that the Act’s main provisions are self‑executing and that JFA and the relevant state agencies have operated in a cooperative manner.

The “spirit” duty is limited but real. Section 5(2) requires JFA to nominate recipients under section 5(1)(c) in accord with the spirit of the original trust only “as far as reasonably practicable”. This is a practical standard, not a rigid rule. JFA could argue that cost, administrative difficulty, or changed circumstances make strict compliance impracticable. However, the duty is enforceable, and a court might find that JFA had not made reasonable efforts. Practitioners advising JFA should document the reasons for any nomination and show how the spirit test was considered.

The lapse saving clause has a trap. Section 5(5) saves only lapse provisions that are “reflected by the provisions or terms” of the disposition. A simple statement “to the Home for Incurables” does not constitute a lapse provision. Even a statement “to the Home for Incurables if it is still operating” might be interpreted as a condition precedent; if the Home ceases to exist before the testator’s death, the gift fails, but that is different from an express direction that the gift should lapse if the named beneficiary ceases to exist after the will is made but before distribution. The safest drafting for a testator who wants to avoid JFA is an express gift over to another charity with a clear lapse clause for the event that the preferred entity no longer exists.

Section 7 freezes JFA’s objects. If JFA’s objects at the time it receives a gift are narrow, it may be permanently locked into applying that gift only to those narrow purposes. A donor might inadvertently limit JFA’s flexibility by making a gift before JFA expands its objects. Conversely, if JFA expands its objects after receiving gifts, it cannot apply those older gifts to the new objects. This creates a compliance burden in tracking which funds are tied to which version of JFA’s objects.

Winding‑up rule changes are doubly controlled. Section 8 requires Attorney‑General approval for any alteration to rules about winding‑up or distribution of property on winding‑up. This is on top of the usual requirements under the Associations Incorporation Act 1985. Even if the association’s members vote unanimously to change the rules, the change has no legal effect until the Attorney‑General approves. The Act does not say the Attorney‑General must approve if satisfied of certain criteria; it simply says the rule “may not be altered except with the approval”. The Attorney‑General has unfettered discretion.

The annual reporting obligation is permanent and may be overlooked. Section 9 applies to the administrative unit responsible for disability services. The unit must report on persons who were residents of the Fullarton campus on 30 June 2007. As time passes, that cohort will age and may die. The obligation continues regardless. The unit must still report the number of persons resident, even if zero, and “a broad description of the nature of their accommodation” for those living elsewhere. This is a fixed‑date census: the obligation does not extend to new residents. Non‑compliance might go unnoticed, but the Act is still law.

The cy‑pres regime after 1 July 2009 is modified. Because section 4(3) expired, the normal cy‑pres jurisdiction under section 69B of the Trustee Act now applies to these trusts. But section 4(5) directs that references to “original purposes” in that section are to be construed after taking into account section 5. This means that the “original purposes” for cy‑pres purposes are not the donor’s original intent for the designated entity, but rather the purposes as they stand after the statutory vesting in JFA. This could produce unusual results, potentially making it harder to argue that the trust has failed, because JFA might still be able to carry out the trust in a modified form.

No transitional provisions for section 6 expiry. The variation mechanism under section 6 expired automatically on 1 July 2009. If JFA had begun an application before that date but it had not been decided, the application would presumably lapse. The Act contains no saving or transitional provision for pending applications. Any variation after 1 July 2009 must be under the Trustee Act cy‑pres regime, which may involve more procedural steps and court involvement.

For JFA’s board and management. The primary compliance obligation is to ensure that when JFA receives property under section 5, it properly identifies the original trust or gift and determines whether section 5(5) applies (i.e., whether there was an express lapse provision). JFA should maintain a register of all such properties, noting the original testator or donor, the amount, any conditions, and the “spirit” of the original trust. When JFA nominates beneficiaries under section 5(1)(c), it should document how the nomination accords with the spirit of the original trust as far as reasonably practicable, and retain that documentation for potential review by the Attorney‑General or a court.

JFA must monitor its own objects. Section 7 requires that trust property not be applied outside the objects existing at the later of commencement (4 October 2007) or receipt. If JFA changes its objects (which it can do under the Associations Incorporation Act, subject to section 8), it must be able to segregate funds received before the change from funds received after, and apply each pool only within the objects that applied when it received them. This may require separate trust accounts and administrative procedures.

For any proposed alteration to JFA’s winding‑up rules or distribution rules upon winding‑up, JFA must obtain the Attorney‑General’s approval in writing before the alteration takes effect. The alteration must also comply with the Associations Incorporation Act 1985. JFA should seek the Attorney‑General’s approval well in advance of any proposed meeting or resolution to change the rules, as there is no time limit for the Attorney‑General’s decision.

For executors, trustees, and legal practitioners administering estates. When a will contains a gift (including a residuary gift) to a designated entity, the executor must pay that gift to JFA unless the will contains an express provision that the gift should lapse if the named beneficiary ceases to exist, or that it should go to someone else in that event. The executor should not pay it to any entity that claims to be the successor of the Home for Incurables; the Act vests the gift in JFA by force of law. Similarly, if a trust instrument names a designated entity as trustee, the trustee must transfer the trust property to JFA as trustee, unless a new trustee was validly appointed before 4 October 2007. The executor or trustee should obtain a receipt from JFA and file it with the estate accounts.

For the administrative unit responsible for disability services. The unit must include in its annual report for each financial year a statement as at 30 March of that year setting out: the number of persons resident at the Fullarton campus (as defined); for those resident elsewhere, a broad description of the nature of their accommodation; and, for the preceding 12 months, the processes used to plan and implement relocation of any person, the number who returned to the Fullarton campus, and the circumstances of their return. The statement must not identify any particular person. The unit should establish a procedure to track the cohort of 30 June 2007 residents each year, even as numbers decrease. The obligation is ongoing and does not terminate when no residents remain; the report should state that there are zero residents.

For donors and testators. Anyone who wishes to benefit the work that used to be done by the Home for Incurables or similar entities but who wants to retain control over the ultimate recipient should name JFA directly in the will or gift instrument. If the donor wants to prevent the gift from going to JFA in the event the named designated entity no longer exists, the instrument must include an express provision that the gift should lapse or go to a specified alternative beneficiary. Generic expressions such as “to the Home for Incurables if it is still operating” may be interpreted as a condition, not a lapse provision, and may still result in the gift vesting in JFA. Legal advice should be obtained.

For the Attorney‑General’s office. Compliance with section 8 requires maintaining a process for receiving and deciding applications for approval of rule changes. Although not mandated by the Act, the office should keep a record of approvals and refusals. The office should also be aware of its residual role under section 4(5) in relation to cy‑pres applications under the Trustee Act: when the original purposes of a trust are considered, the office must factor in the section 5 vesting.
