What it does
This Act resolves a legal doubt and re-allocates a discrete trust estate created by the Will of Sir John Storey. The statutory mechanism is simple and narrowly framed. It (1) authorises and requires the trustees named in the Act to pay and transfer all moneys and investments they hold on account of the John Storey Memorial Fund to a company to be formed and called The Federal Council of the Australian Institute of Management, and (2) authorises and requires that the receiving company hold those monies and investments in a fund called The John Storey Memorial Fund and apply them, at the company’s discretion, to the advancement of public education in the field of management training and efficiency (see the Preamble, s 2 and s 3).
The Preamble records the background facts that the Will of Sir John Storey (dated 9 May 1955) bequeathed the sum of £100,000 out of shares in National Securities Pty Ltd to the Federal Council of the Australian Institute of Management for establishment of the John Storey Memorial Fund for advancement of public education in management training and efficiency; that the Federal Council was then an unincorporated body formed by several Divisions; that the executors paid the sum into a deed of trust dated 25 August 1958 under which named individuals held the money as trustees; and that the Divisions agreed to reconstitute the Federal Council as a company under the Companies Act 1958 (Preamble). The Act cures doubts about the trustees’ power to transfer by imposing a statutory duty to make the transfer “as soon as practicable after its incorporation” (s 2), and by making clear the receiving company must hold and apply the fund as described (s 3).
Mechanically the Act does not create ongoing statutory regulation of the company’s expenditure beyond the purpose in the Will, it does not impose reporting obligations, and it does not specify penalties for non‑compliance. It is a targeted legislative instrument to effect the transfer and to preserve the trust’s purpose within a corporate vehicle. The Statute Law Revision Act 1961 amended parts of the Act as recorded in the endnotes (Table of Amendments).
