Jennacubbine Sports Council (Incorporated) Act 1965

Automatic vesting on incorporation: The Act makes vesting automatic and statutory rather than dependent on private instruments. Section 2(b) effects a statutory transfer of the Club’s real and personal property to the Council “by force of and subject to this Act, without any conveyance, transfer or assignment”. Legally, the transfer is triggered by the corporate event of issuance of the Council’s certificate of incorporation under the Associations Incorporation Act 1895 (s 2 opening words and s 2(a)). The Act therefore substitutes a statutory device for ordinary conveyancing formalities.

Continuity and assumption of obligations: Section 2(c) preserves “all other rights, liabilities and obligations of the Club subsisting at that date” and requires the Council to carry those on “completely and without any abatement or cessation in any respect whatever”. The Act thus bundles the Club’s assets and its legal liabilities into the new entity; creditors and trust beneficiaries retain the substantive rights against the successor body, according to the text.

Registration mechanics: The statutory vesting is followed by an administrative registration step. Section 3 obliges the Registrar of Titles to register the Council as the registered proprietor of the land described in Certificate of Title Volume 1025 Folium 743, upon application by the Council, production of that certificate and payment of the appropriate fee. The Act identifies the Registrar as “appointed under the Transfer of Land Act 1893”, tying the registration step to that statutory office (s 3).

Fiscal treatment: Section 4 brings the Stamp Act 1921 into play. Stamp duty is payable in respect of the application to register the land and, for stamp duty purposes, the application is to be treated as though it were a conveyance or transfer of property with consideration of one thousand three hundred and ten pounds. The provision prescribes a notional consideration for duty assessment rather than linking duty to market value, and it connects duty liability to the registration/application act.

Restrictive use covenant with change control: The Act confines the use of the specific parcel to sport and incidental purposes (s 5(1)). A change to non-sport use requires two steps: (a) a resolution by the Council at a general meeting “duly convened” specifying the new purpose (s 5(2)(a)); and (b) an Order in Council by the Governor permitting use for that specified purpose (s 5(2)(b)). The mechanism therefore places both a corporate decision-making threshold and an executive (Governor-in-Council) approval gate on repurposing.

Specificity of assets: The Act names a particular Certificate of Title Volume and Folium and a particular Avon Location containing sixty‑five acres two roods. The transfer is to that specific parcel; other Club assets are transferred generally under s 2(b) as real and personal property.

Temporal trigger and conditionality: The Club is not dissolved until the Council’s certificate of incorporation is “duly granted” under the Associations Incorporation Act 1895 (s 2 opening words and s 2(a)). If the Council never receives incorporation, the statutory dissolution and vesting do not occur.

Interaction with other statutes: The Act explicitly invokes three other Acts as operational reference points: Associations Incorporation Act 1895 (incorporation trigger), Transfer of Land Act 1893 (Registrar of Titles), and Stamp Act 1921 (duty). The Act is therefore small but deeply interdependent on administrative and fiscal provisions outside its text.

Owners and successor entity: The immediate beneficiaries in terms of possession and title are the Jennacubbine Sports Council once it obtains a certificate of incorporation. Section 2(b) transfers the Club’s property to “the Council” and s 3 requires the Council to make application to have the land registered in its name. The Club itself is affected because it is dissolved upon incorporation of the Council (s 2(a)).

Creditors, trust beneficiaries and obligors: All existing trusts, debts and liabilities affecting the Club’s property are explicitly preserved and remain attached to the assets after vesting (s 2(b)). Separately, “all other rights, liabilities and obligations of the Club subsisting at that date shall be preserved, vested in, carried on, continued and assumed” by the Council (s 2(c)). That language identifies creditors, contractual counterparties and any beneficiaries of equitable trusts as parties who can continue to assert claims against the successor Council.

Members and former members: The Act’s preamble records that the Club’s membership had been dormant (Preamble (c)). The Act dissolves the Club entity on vesting (s 2(a)), extinguishing the incorporated body that provided membership structure. The text preserves corporate rights and liabilities but does not create express continuance of individual membership entitlements (there is no provision that converts a Club membership into membership of the Council). Therefore members’ rights that depended on the Club as a corporate vehicle will be affected to the extent those rights are party to the Club’s assets or obligations transferred by the operation of s 2.

Local residents and users of the land: The Act conditions the land’s permitted use to sporting activities (s 5(1)), so local sporting clubs, players and organisers are beneficiaries of that restriction while the Council holds the land. Community groups seeking to use the land for non-sport purposes are affected because any repurposing requires a Council resolution and the Governor’s Order in Council (s 5(2)).

Registrar and government agencies: The Registrar of Titles is directed to register title to the named land on application and production of the specified Certificate of Title and payment of the fee (s 3). The Governor (acting by Order in Council) has the discretion to permit non‑sport uses of the land if the Council resolves to seek such a change (s 5(2)(b)). The Stamp Act administration is invoked for duty assessment on the registration application (s 4).

Potential purchasers, mortgagees and encumbrancers: Anyone examining the title or contemplating dealings with the land after vesting must note the statutory use restriction (s 5) and the statement that the land vests subject to any trusts, debts and liabilities affecting it (s 2(b)). Those parties are affected because encumbrances surviving the transfer remain in place and because future changes of use require additional approvals.

Tax and regulatory authorities: The Act makes the registration application chargeable to stamp duty under the Stamp Act 1921 and sets a notional consideration for that purpose (s 4). Accordingly, the taxing authority administering stamp duty will be involved in assessing and collecting duty.

Statutory duties on the Council

• Apply for registration: The Council must make an application to the Registrar of Titles after the date of incorporation if it wishes to be registered as proprietor of the named land (s 3). The application must be accompanied by the production of Certificate of Title Volume 1025 Folium 743 and payment of the appropriate fee (s 3).

• Pay stamp duty: Stamp duty is payable in respect of that registration application and the application is to be treated, for duty purposes, as if it were a conveyance or transfer with consideration of £1,310 (s 4). The duty is therefore linked to the application and not to a separate conveyance document.

• Observe land-use restriction: The Council must use the specified land for sporting purposes and incidental purposes unless it follows the two-step change process (s 5(1)). That creates a continuing duty to use the land for the statutory purposes or to comply with the restrictions on changing use.

• Corporate governance steps for change of use: To seek a non-sporting use, the Council must resolve at a duly convened general meeting specifying the purpose (s 5(2)(a)). This is a governance duty before any application to the Governor-in-Council for permission.

Rights conferred on the Council

• Ownership and possession: On the triggering event (certificate of incorporation), “all the real and personal property of the Club” and rights therein vest in the Council (s 2(b)). The Council becomes the legal owner subject to outstanding trusts and liabilities.

• Continuation of obligations and rights: The Council acquires the Club’s ongoing contractual rights and obligations, preserving continuity of legal relationships (s 2(c)).

Duties and rights preserved for third parties

• Preservation of creditors’ interests: Trusts, debts and liabilities affecting the property remain operative after vesting (s 2(b)). Creditors or trust beneficiaries retain whatever enforcement remedies they had against the Club’s property, now enforceable against the Council as owner of that property.

• Enforcement against the successor: Because the Council “shall be preserved, vested in, carried on, continued and assumed” the Club’s other rights and liabilities (s 2(c)), parties with claims against the Club may treat the Council as the responsible entity.

Administrative duties on the Registrar and executive

• Registrar’s procedural duty: The Registrar of Titles is required to register the Council as registered proprietor upon application with the specified certificate and payment of fee (s 3). The Registrar’s duty is triggered by compliance with the statutory prerequisites.

• Governor’s discretion: The Governor may permit a change of use by Order in Council, but only after the Council resolves to seek such a change (s 5(2)). The Governor therefore has a deciding role in any change-of-use process.

Absence of other statutory powers or penalties

• The Act sets these duties and creates the property transfer mechanism, but it does not itself create criminal offences, specific enforcement mechanisms beyond registration and fiscal treatment, or express sanctions for breach of the use restriction. Enforcement of stamp duty and registration obligations is to be pursued under the Stamp Act 1921 and the Transfer of Land Act 1893 respectively (s 3 and s 4).

No criminal penalties or fines within the Act: This Act contains no express penal provisions, infringement offences, or monetary penalties for non-compliance with its terms. It prescribes mechanisms (vesting, registration, stamp duty treatment, and use restrictions) but does not create standalone criminal sanctions or administrative fines within its text.

Enforcement via external statutes and property law mechanisms: Where the Act imposes obligations that are naturally enforced under other statutes or through civil processes, enforcement will proceed under those existing regimes. Two explicit cross-references point to external enforcement regimes:

• Registrar’s registration duty under Transfer of Land Act 1893: Section 3 makes the Registrar’s action subject to production of the named Certificate of Title and payment of the appropriate fee. Compliance failures (for example, failure to produce the certificate or pay the fee) will prevent the registration. Any statutory or administrative sanctions for false or defective documents, or behaviour contravening the Transfer of Land Act 1893, would be enforced under that Act’s provisions, not under this Act.

• Stamp duty under Stamp Act 1921: Section 4 declares that stamp duty is payable and that the application is to be treated as a conveyance with a fixed consideration. Non-payment or underpayment of stamp duty attracts the enforcement mechanisms (assessments, interest, penalties) established under the Stamp Act 1921. Those enforcement processes are external to this Act.

Civil remedies for preserved liabilities: Because the Act expressly preserves debts, trusts and liabilities affecting Club property (s 2(b)) and requires the Council to assume other rights and liabilities (s 2(c)), existing creditors and beneficiaries retain their civil remedies. They can pursue remedies such as debt recovery, enforcement of liens or equitable remedies against the assets now vested in the Council. The Act’s preservation language anticipates continuity of such rights rather than their extinguishment.

Administrative control over land use: The Act limits use of the land to sporting purposes (s 5(1)) and requires a Council resolution and Governor in Council approval to change that use (s 5(2)). The enforcement mechanism implied here is administrative: the Governor refuses or approves an Order in Council. There is no express administrative penalty in the Act for unauthorised use. Enforcement against unauthorised use would therefore depend on broader property, planning or local government powers to restrain or penalise misuse, none of which are created or modified by this Act.

Potential practical enforcement consequences: In practice, failure to observe the transfer and registration steps will leave legal title unrefreshed and may hamper the Council’s ability to deal with the land, but the Act does not itself create a revocation or penalty regime for a missing registration. Conversely, creditors can assert pre-existing claims against the asset in the hands of the Council, and stamp duty authorities can assess and enforce duty under the Stamp Act 1921.

Associations Incorporation Act 1895: The Act’s central trigger is the grant of a certificate of incorporation to the Jennacubbine Sports Council under the Associations Incorporation Act 1895. The Act does not reproduce rules about incorporation, membership, meeting procedures or corporate powers; it relies on incorporation under the older Associations statute to produce the dissolution and vesting effects in s 2. The Council’s internal governance obligations for convening the general meeting required to authorise a change of land use are stated as “a general meeting of the members of the Council duly convened” (s 5(2)(a)), which implicitly calls for compliance with whatever meeting rules apply under the Associations Incorporation Act 1895, although this Act does not spell those requirements out.

Transfer of Land Act 1893: The Act refers to the Registrar of Titles as appointed under the Transfer of Land Act 1893 and directs that Registrar to register the Council as proprietor of the named parcel on application, production of Certificate of Title Volume 1025 Folium 743 and payment of the appropriate fee (s 3). The Act thus interfaces with the statutory land‑registration scheme administered under the Transfer of Land Act 1893 for the formal updating of title records following the statutory vesting effected by s 2.

Stamp Act 1921: Section 4 makes the applicant liable for stamp duty “in respect of the application referred to in section three” and treats the application as a conveyance or transfer with a notional consideration of £1,310. That cross-reference channels the fiscal obligation into the Stamp Act’s assessment and collection framework. The Act therefore changes the tax character of the registration application by prescribing the fiction of consideration and designating the application as the duty-triggering instrument.

Orders in Council and executive power: Section 5(2)(b) requires the Governor, acting by Order in Council, to permit any non-sport use specified by the Council’s general meeting. That provision links the land-use regime in this Act to executive decision-making (Governor in Council), thereby creating an interaction with the constitutional-administrative process by which Orders in Council are made. The Act does not detail the criteria the Governor will apply; it simply requires that permission be granted by that executive mechanism.

Conveyancing and property law: The Act effects vesting “without any conveyance, transfer or assignment” (s 2(b)), but still contemplates an application to the Registrar for registration (s 3). The statutory vesting and the registrar’s administrative registration operate together: legal ownership is transferred by statute, while public title records require an administrative registration step tied to the Transfer of Land Act 1893. Any broader consequences under property law, such as the survival of interests, priority of registered and unregistered interests, or the effect of statutory vesting on equitable interests, are governed by the property statutes and common law rules to which this Act points, though the Act itself specifies that property vests subject to existing trusts, debts and liabilities (s 2(b)).

Local planning, zoning and other regulatory regimes: The Act restricts land use to sporting activities, but it does not displace other applicable planning, environmental or local government controls. Any development or change of use will still engage the relevant municipal, planning and environmental approval regimes, even where the Act permits a change in principle via Order in Council and Council resolution. Those overlapping approvals are outside this Act, which only creates the statutory ownership and a separate statutory constraint and pathway for altering the permitted use.

Single original enactment, no amendments in compilation table: The compilation table included in the source lists only the Jennacubbine Sports Council (Incorporated) Act 1965 (53 of 1965), assented to and commenced on 9 November 1965. There are no entries in the compilation table for subsequent amending Acts. Therefore, according to the provided source, this Act stands in its original form from 9 November 1965 and there are no recorded amendments included in the compilation note.

Practical implications of no recorded amendments in the source: Because the Act remains as originally enacted in the source materials provided, its operative clauses are those printed in the 1965 text with their original language, for example, the references to the Associations Incorporation Act 1895, Transfer of Land Act 1893 and the Stamp Act 1921. Any later changes to those external Acts, or later consolidation of association law, land law or stamp duty law, are not reflected in this Act’s text in the supplied source. Users must therefore be aware that while the local statutory mechanisms in this Act have not (in the provided compilation) been amended, their practical operation will be affected by subsequently amended external statutes if and when those apply, but such external amendments are not recorded in the compilation table included with the Act text provided.

No schedules or saving provisions added: The Act as printed contains no schedules, transitional or saving provisions beyond s 2(c) preserving existing rights and liabilities at the date of vesting. There is no recorded later amendment that alters the specific parcel description, the stamp duty consideration, or the land-use conditions, in the compilation table supplied.

Recommendations for confirming current status: Given the absence of amendment listings in the supplied compilation table, practitioners should treat the Act as unamended per that source but should verify the statute book or an official parliamentary compilation for any later amendments not captured in the provided document. That verification step is standard practice where an old local Act imports or interacts with statutes that have since been reformed.

No reported litigation included in the source: The supplied Act text and compilation notes do not include any cases, authorities, or litigation history connected to the Jennacubbine Sports Council (Incorporated) Act 1965. The Act itself does not name any judicial decisions, and the compilation table includes only the Act’s enactment details.

Implications for practitioners: Because the source contains no litigation history, there is no precedent recorded in the document as to how courts have interpreted (a) the statutory vesting language in s 2, (b) the Registrar’s obligations under s 3, (c) the stamp duty fiction in s 4, or (d) the use restriction and Governor-in-Council approval pathway in s 5. Absent authority cited in the text, parties seeking to rely on or challenge the Act’s operation would need to research case law and administrative decisions external to the supplied source to determine how courts and administrators have treated similar vesting Acts, statutory transfers without conveyance, and statutory land-use restrictions requiring executive approval.

Areas likely to attract litigation in other contexts: Although there is no litigation recorded here, practitioners may be alert to the sorts of disputes that commonly arise around statutory vesting and successor liability in general: claims about whether particular rights or liabilities were properly preserved; disputes over the interpretation of “subject to any trusts, debts and liabilities affecting such property”; questions about the priority of interests where registration lags statutory vesting; and challenges to executive decisions to permit or deny change of use. None of those issues are the subject of reported decisions in the supplied text.

Advice on searching for litigation: To establish any relevant judicial treatment, a practitioner should conduct a jurisdictional search of court and tribunal decisions referencing this Act, the specific Certificate of Title Volume 1025 Folium 743 or Avon Location 20480, and disputes involving statutory vesting under similar local Acts. The supplied Act text contains no pointers to litigation on those matters.

Automatic vesting does not eliminate liabilities: Section 2(b) vests property “subject to any trusts, debts and liabilities affecting such property”. The Council therefore takes title burdened by pre-existing encumbrances. Practitioners should not assume a clean title simply because the Act creates automatic statutory transfer. Creditors, mortgagees or equitable interests that existed immediately before the vesting remain attached to the assets after vesting, and the Council succeeds to obligations under s 2(c). The Act preserves rights and liabilities rather than extinguishing them.

No conveyance required, but registration step still necessary: The Act expressly achieves transfer “without any conveyance, transfer or assignment” (s 2(b)), removing the need for a private transfer instrument. However, s 3 requires the Council to apply to the Registrar of Titles and produce the named Certificate of Title and pay the appropriate fee in order to register as proprietor. If the original Certificate of Title is lost or defective, the registration step may be delayed or require additional remedial action under the Transfer of Land Act 1893,this Act assumes production of the certificate and payment of the fee as prerequisites.

Stamp duty assessed on a notional consideration: Section 4 treats the application “as though it were a conveyance or transfer or sale of property under that Act and the consideration therefor were one thousand three hundred and ten pounds.” That suspect notional valuation may differ materially from market value. The Act fixes a notional consideration for the specific application; the practical consequence is that the Council’s duty liability is determined by that fiction. Parties should note that dispute or adjustment of stamp duty liability will be handled under the Stamp Act 1921, not this Act.

Dissolution contingent on incorporation: The Club is dissolved only when the Council’s certificate of incorporation is “duly granted” (s 2(a)). If the proposed Council never secures incorporation, the Club continues to exist. Practitioners should not assume the Club’s corporate existence ends on passage of this Act; the event is conditional.

Use restriction and the two-step change control: The land is to be used for sport and incidental purposes (s 5(1)). Any alternative use requires both a duly convened general meeting resolution specifying the purpose and a Governor’s Order in Council permitting that purpose (s 5(2)). That creates two potential choke points: the Council’s internal governance (properly convened meeting) and executive permission. Failing either step prevents lawful repurposing.

Ambiguity about membership continuity: The Act preserves corporate rights and liabilities (s 2(c)) but does not expressly convert membership rights in the Club into membership rights in the Council. If members expect automatic membership conversion or continuity of member privileges, that expectation is not guaranteed by the text. The Act’s focus is on property and corporate obligations rather than on member entitlements.

Narrow asset description: The land transferred is identified precisely by Certificate of Title Volume 1025 Folium 743 and Avon Location 20480 (s 3 and s 5(1)). The Act does not provide latitude to vary the parcel. Any discrepancy between on‑the‑ground boundaries and the title description may require separate legal resolution.

No express enforcement machinery for use restriction: The Act does not specify penalties for breach of the permitted-use requirement. Enforcement of any unauthorised use will therefore depend on other statutory powers or civil remedies, not on provisions within this Act.

Potential coordination problems with planning law: The Act prescribes a statutory permitted use and an Order in Council mechanism for a change, but it does not purport to override planning, environmental or local authority approval processes that may be independently required for development or change of use. Practitioners should not treat gubernatorial permission under s 5(2)(b) as a substitute for any separate statutory approvals.

Step 1 , Incorporation: Ensure the Jennacubbine Sports Council is duly incorporated under the Associations Incorporation Act 1895. The statutory dissolution and vesting in s 2 are triggered only “when a certificate of incorporation is duly granted” for the Council. Confirm receipt of the certificate of incorporation before treating the Club as dissolved.

Step 2 , Record and investigate pre-existing encumbrances: Before relying on the transferred assets as free, procure a full review of the Club’s titles, existing trusts, debts, charges, leases and other encumbrances. Section 2(b) vests property subject to “any trusts, debts and liabilities affecting such property”. Identify creditors, mortgagees, restrictive covenants and equitable interests and plan for their continuing enforcement or discharge where necessary.

Step 3 , Secure original Certificate of Title and search title records: Section 3 requires production of Certificate of Title Volume 1025 Folium 743 when applying to the Registrar of Titles. Locate and verify that Certificate and obtain up-to-date title searches to confirm current encumbrances and to ensure the Certificate corresponds to Avon Location 20480 containing sixty‑five acres two roods as described in s 5(1).

Step 4 , Prepare Registrar application and pay required fee: Lodge the application required by s 3 with the Registrar of Titles. The Council must provide the specified Certificate of Title and pay the appropriate fee. Ensure compliance with any procedural formalities under the Transfer of Land Act 1893 in effect at the time of application.

Step 5 , Pay stamp duty as prescribed: Section 4 makes stamp duty payable in respect of the registration application and treats the application as if the consideration were £1,310 for duty purposes. Calculate and pay the stamp duty as required under the Stamp Act 1921 based on that notional consideration and obtain a receipt or relevant certification. Confirm whether the Stamp Act administration requires additional forms or declarations in connection with this fiction.

Step 6 , Maintain records of trust and liability preservation: Keep detailed minutes and legal records documenting which assets and liabilities transferred, and preserve any trust documentation. The Act preserves trusts and liabilities (s 2(b)) and requires the Council to assume the Club’s other rights and obligations (s 2(c)), so robust records are necessary for transparency and future disputes.

Step 7 , Manage governance for permissible uses: If the Council intends to use the land for sporting purposes, ensure that its use and activities are documented and congruent with s 5(1). If the Council wishes to use the land for a non-sport purpose, convene a general meeting properly and pass a resolution specifying the intended purpose (s 5(2)(a)), then apply to the Governor for an Order in Council permitting that use (s 5(2)(b)). Ensure the general meeting is “duly convened” in accordance with the Council’s rules and any applicable provisions of the Associations Incorporation Act 1895.

Step 8 , Consider third-party approvals where necessary: Recognise that gubernatorial permission under s 5(2)(b) does not obviate the need for planning, environmental, or local government approvals. For intended developments or changes that require consent under other regimes, prepare and lodge the necessary separate applications.

Step 9 , Notify interested parties: Consider notifying known creditors, lessees, licensees and other stakeholders about the vesting and the Council’s assumption of obligations, so that counterparties are aware of the successor entity. That may reduce friction in enforcement or collection matters post‑vesting.

Step 10 , Seek legal and tax advice: Given the statutory fiction for stamp duty (s 4) and the potential for surviving equitable interests (s 2(b)), obtain specialist legal and tax advice to confirm duty obligations, to advise on any necessary clearances or indemnities from creditors, and to structure any future dealings in the land in compliance with s 5.

Documentary checklist

• Certificate of incorporation for the Jennacubbine Sports Council (Associations Incorporation Act 1895)
• Certificate of Title Volume 1025 Folium 743 (produce on application) (s 3)
• Up-to-date title search and encumbrance schedule (to identify trusts, debts and liabilities preserved by s 2(b))
• Council meeting minutes and resolution for any proposed non‑sporting use (duly convened general meeting) (s 5(2)(a))
• Application documents for the Registrar and payment of the appropriate fee (s 3)
• Stamp duty computation and payment documentation based on the notional £1,310 consideration (s 4)
• Any application to the Governor for an Order in Council for change of use, plus supporting materials (s 5(2)(b))

Who pays

• Registration fee: The Council’s application under s 3 is to be accompanied by payment of the appropriate fee; the Act therefore contemplates the Council bearing that administrative cost.

• Stamp duty: Section 4 makes stamp duty payable “in respect of the application referred to in section three” and sets the notional consideration. The Council, as applicant, should therefore expect to be liable for stamp duty under the Stamp Act 1921 in respect of the registration application.

Timing considerations

• Do not assume immediate registration: Although s 2 effects vesting upon incorporation, s 3 requires an application to the Registrar and production of the Certificate of Title. Practitioners should coordinate incorporation, title production and payment so that registration can proceed without delay once the certificate of incorporation is obtained.

• Maintain continuity of obligations during transition: Because s 2(c) requires the Council to assume the Club’s liabilities, ensure that obligations (for example, insurance, maintenance contracts, utility accounts) are transitioned or continued to avoid breach during administrative steps.

This compliance roadmap tracks the statutory steps set out in ss 2-5 and aims to reduce practical friction in effecting the statutory vesting, registration and use obligations contained in the Act.
