James Brown Memorial Trust Incorporation Act 1990

Public charitable institution. The Trust is declared to be a public charitable institution (Schedule cl 1(1)), a classification that determines its entitlement to concessions under tax and charities law and subjects its assets to the equitable jurisdiction of the Supreme Court regarding charitable trusts. The class of beneficiaries is broadly defined: aged or infirm persons, those lacking sufficient means, and any other persons in need of charitable assistance. This is not a closed class; the Trust may limit its purposes by deed (Schedule cl 1(2)).

Legal capacity of a natural person. Under s 4(1)(b), the Trust has all the legal capacity of a natural person. This is a standard provision for statutory bodies and goes beyond the usual powers of a private charitable trust. It means the Trust can enter into any contract, partnership, joint venture, or arrangement, and can sue and be sued in its own name, without needing a separate trustee to hold title.

Perpetual succession. The Trust continues in existence indefinitely. It does not suffer the rule against perpetuities; its corporate form means the Trust survives changes in trustee membership. This gives it a stability that unincorporated charitable trusts lack, and makes it a more reliable counterparty for lenders, landlords, and joint venturers.

Declaration of Trust. This is the governing document set out in the Schedule. It supersedes all prior trusts and the will of Jessie Brown (s 7). Its terms can be amended by the Trust with Attorney-General approval (s 10). The Declaration contains the Trust’s objects, powers, governance rules, indemnity provisions, and definitions.

Special resolution. A key governance concept. Defined in Schedule cl 14: at least seven days written notice with terms of the proposed resolution, and support at a duly convened meeting by an absolute majority of trustees (i.e., majority of all trustees, not just those present). Special resolutions are required to fill vacancies, add trustees, remove a trustee (Schedule cl 4(2) and (3)). They are also needed for amendments to the Declaration via s 10.

Trust property. Defined in s 3 as property vested in the Trust from time to time. It is held on trust and may be applied by the Trust for any of its purposes (Schedule cl 2). The Trust has broad power to acquire, hold, deal with, and dispose of property, including real and personal property, and to use it for securing borrowings.

Power to charge fees. Unusually for a charitable trust, the Trust may charge fees and recover out-of-pocket expenses (Schedule cl 3(1)(l)). This permits a commercial pricing model for its accommodation and health services, subject only to the charitable purposes constraint. The effect is that the Trust can cross-subsidise care for impecunious beneficiaries from fee-paying residents, or it can operate entirely on a fee-for-service basis as long as some benefit flows to the defined charitable class.

No personal liability. Schedule cl 9(1) shields trustees from personal liability for acts or omissions done in good faith in the exercise of the Trust’s powers, functions, or duties. Any liability that would lie against a trustee instead lies against the Trust (cl 9(2)). Additionally, cl 10 provides that a trustee is not liable for the debts and liabilities of the Trust generally. This is a significant protection that reduces the personal risk for trustees and likely makes it easier to attract and retain them, but it also shifts risk to the Trust’s creditors, who cannot pursue trustees personally unless bad faith can be proved.

The Trust itself is the primary actor. It gains the legal capacity, powers, and governance structures set out in the Act. Its board of trustees (minimum seven) are the decision-makers. The Trust’s institutional form means it can hold property, borrow, and contract in its own name, which reduces transaction costs compared to a bare trust.

Trustees are directly affected by the Act. They inherit the duties and powers under the Declaration and the Act. They can be removed by special resolution of their fellow trustees (Schedule cl 4(3)), which concentrates considerable power in the majority. They are protected from personal liability for good faith acts, but that protection does not extend to bad faith or wilful default. The Act also allows trustees to delegate most of their powers (except the power to appoint or remove trustees) to individual trustees, committees, the Secretary, or any other person (Schedule cl 7). This permits operational management by non-trustees, but the trustees remain accountable for the delegations.

Beneficiaries (aged, infirm, lacking means, or in need of charitable assistance) are the intended recipients of the Trust’s services. However, the Act does not confer on any individual a private right to demand services. The charitable purpose is enforced through the equitable jurisdiction of the Supreme Court (typically at the suit of the Attorney-General) rather than by individual beneficiaries. This means beneficiaries are dependent on the Trust’s discretion and the willingness of the Attorney-General or two trustees to seek court direction under s 5. The Act does not create any statutory entitlement to care.

Institutions owned or operated by the Trust (such as nursing homes, hostels, or hospitals) are affected by s 8: any instrument that gives property for the benefit of such an institution is deemed to be a gift for the benefit of the Trust itself. This prevents donors from separately endowing an institution that the Trust might later close or sell. It also centralises control of donated assets. The effect is to reduce donor choice and may discourage gifts intended for a specific local facility rather than the central Trust.

The Attorney-General of South Australia has a gatekeeper role under s 10: no amendment to the Declaration of Trust can take effect without his or her approval. This gives the state a veto over changes to the Trust’s objects, powers, and governance. The Attorney-General may also be a party to any Supreme Court proceedings concerning the Trust, as a protector of charitable interests, though the Act does not expressly say so.

The Supreme Court of South Australia has jurisdiction to give advice or direction on any matter connected with management or administration of Trust property or construction of documents relating to the Trust (s 5). This is narrower than the general equitable jurisdiction over charitable trusts. The Court’s role is reactive; it can only act if the Trust or two trustees apply. The Court also interprets the Declaration and may order the construction of instruments under s 8.

Creditors and counterparties of the Trust deal with a body corporate with perpetual succession and no personal liability on trustees for its debts. Their recourse is against the Trust’s assets only. The Trust can borrow and give security (Schedule cl 3(1)(f)-(g)), so lenders can take charges over Trust property. However, the charitable purpose may limit the Trust’s ability to alienate capital assets if that would defeat its objects.

Competitors in the aged care and health services market are indirectly affected. The Trust, as a perpetual statutory corporation with the capacity to charge fees and operate commercially, can compete with private and other non-profit providers. It carries no shareholder dividend expectation, and its tax-exempt status likely gives it a cost advantage. This may crowd out private entry in local markets where the Trust operates.

Duties of trustees. The Act imposes no explicit statutory duties of care or loyalty beyond the general law of charitable trusts. However, the Declaration requires trustees to act in good faith (as a condition of the personal liability indemnity in cl 9(1)). Trustees must hold property on trust and apply it for the purposes of the Trust (Schedule cl 2). They must cause an accurate record of their proceedings to be kept (Schedule cl 8(13)). They must give at least seven days written notice for meetings called by two trustees except in emergencies (Schedule cl 8(7)). For special resolutions, at least seven days written notice of the terms of the proposed resolution must be given (Schedule cl 14(a)). If the Trust amends the Declaration, the trustees must as soon as practicable cause notice of the amendment to be published in the Gazette (s 10(3)). This publication duty is the only public accountability measure in the Act.

Rights of trustees. Trustees have the right to one vote each at meetings, with the chair having a casting vote except where a special resolution is required (Schedule cl 8(10)). They may call a meeting in any case where two trustees act (Schedule cl 8(6)(b)). They may delegate any of the Trust’s powers or functions except the power under cl 4 (appointment and removal of trustees) (Schedule cl 7). They may establish committees (Schedule cl 5). They may appoint a Secretary and other officers (Schedule cl 6). They may apply to the Supreme Court for advice or direction individually or collectively (s 5). They may amend the Declaration with Attorney-General approval (s 10).

Rights of the Trust. The Trust itself has the right to sue and be sued (s 4(1)(c)), to acquire, hold, deal with and dispose of property, to borrow, to charge fees, to enter into contracts, joint ventures, and partnerships, to invest funds, to make donations, and to exercise any other powers necessary or expedient for its purposes (Schedule cl 3). The Trust may also make, alter, or repeal rules for managing its business and affairs (Schedule cl 12).

Rights of beneficiaries. The Act does not confer enforceable rights on individual beneficiaries. They cannot compel the Trust to provide services. The only avenue to enforce the charitable purpose is through the Supreme Court, and the Act gives standing to the Trust or any two trustees, not to beneficiaries. In practice, the Attorney-General may intervene, but that is outside the Act.

Duties of the Attorney-General. The Act imposes no positive duty on the Attorney-General to monitor the Trust. The only duty is to approve or reject proposed amendments under s 10. The Attorney-General’s role is passive unless an application is made.

Right to indemnify. The Trust must pay for insurance for trustees against risks associated with performance of their functions (Schedule cl 11). This is a right for trustees but a duty on the Trust to expend funds.

Right to limit purposes. The Trust may, by deed, limit any purpose or power conferred by the Declaration (Schedule cl 1(2)). This right permits the trustees to narrow the field of beneficiaries or restrict the Trust’s activities, which could be used to manage risk or focus resources. The limitation can be permanent, for a period, or revocable. This gives significant flexibility, but any such limitation must be consistent with the charitable nature.

The Act contains no criminal penalties, civil fines, or automatic sanctions for non-compliance. Enforcement relies on equitable remedies through the Supreme Court and internal trustee governance.

Supreme Court advice and direction. Under s 5, the Trust or any two trustees may apply to the Supreme Court for advice or direction on management, administration, or construction of documents. The Court can give binding directions, and trustees who follow them are protected from breach of trust claims. This is the primary enforcement mechanism for internal governance disputes. A trustee who feels the majority is acting improperly can apply, as can the Trust itself if deadlocked.

Trustee removal. Under Schedule cl 4(3), trustees may be removed by a special resolution passed by an absolute majority of all trustees. This is an internal disciplinary mechanism. A removed trustee has no statutory right to challenge the removal under the Act, although general law principles of natural justice may apply. The removal power could be used to oust trustees who dissent from the majority’s strategy, which concentrates power.

Defect protection. Section 6 provides that an act or proceeding of the Trust or a committee is not invalid merely because of a vacancy or defect in appointment. This protects the Trust’s decisions from being challenged on technical grounds. However, it also means that a trustee whose appointment was invalid may still have participated in valid decisions, which could prejudice other stakeholders.

Void or voidable acts. If the Trust acts outside its charitable purposes (e.g., providing services to persons not within the defined class), such acts may be ultra vires and could be challenged in the Supreme Court by the Attorney-General or a trustee. The Act does not expand the Court’s equitable jurisdiction; it merely provides a specific application route under s 5.

No statutory penalty for breach of duty. The Act does not create criminal liability for trustees who breach their duties. The general law of breach of trust applies, but with the modification that trustees are not personally liable for good faith acts (Schedule cl 9). So only bad faith or wilful default exposes trustees to personal liability. Enforcement would require a court action for equitable compensation or an account of profits.

Publication requirement. The only enforceable external obligation is the duty to publish amendments to the Declaration in the Gazette (s 10(3)). Failure to do so does not attract a penalty but may mean the amendment is not effective against third parties or the public. The Gazette notice is a condition of the amendment taking effect, so non-publication could also render the amendment void.

Limited creditor protection. Creditors cannot pursue trustees personally for Trust debts (Schedule cl 10). If the Trust becomes insolvent, creditors’ only recourse is to the Trust’s assets, which are held for charitable purposes. The trust property may be subject to equitable charges if the Trust borrowed against it, but unsecured creditors face risk that the charitable purpose might limit distribution on winding-up. The Act does not provide for winding-up or insolvency, so the general law of corporations and charities would apply, but the Trust is not under the Corporations Act.

Repealed legislation. The Act repeals the James Brown Memorial Trust Incorporation Act 1894 (SA). All trusts under the old Act are superseded (s 7). Any act or omission before commencement that was invalid under the old Act but valid under the new Act is retrospectively validated (s 9), except for proceedings already commenced (s 9(2)). This could interact with limitation periods or pending litigation.

Charities law. The Trust is a public charitable institution. It is subject to the equitable jurisdiction of the Supreme Court over charitable trusts, including the cy-près doctrine. The Act does not displace that jurisdiction; it adds a specific application route for advice. The Trustee Act 1936 (SA) may also apply to the Trust, but the Declaration’s powers are broader than those of a private trustee, and the Act gives the Trust the capacity of a natural person, which may override default trustee powers. However, s 3(1)(e) of the Schedule restricts investments to those in which trust money may be invested by Act of Parliament, which may refer to the Trustee Act’s authorised investments list, potentially limiting the Trust’s investment freedom despite its general capacity.

Corporations law. The Trust is a body corporate but is not registered under the Corporations Act 2001 (Cth) and is not a company. It is not subject to directors’ duties, continuous disclosure, annual reporting to ASIC, or insolvent trading provisions. This is a significant regulatory gap. Creditors and beneficiaries rely solely on the Act and the Declaration. The state’s general law governing incorporated charitable trusts may impose some duties, but the Act is silent on financial reporting or audit.

Property law. The Trust can hold real property in its own name, dealing as a natural person. Section 8 deems gifts to its institutions as gifts to the Trust, which overrides the usual rules of construction of wills and deeds. This may interact with the Rules against perpetuities or the rule against remoteness of vesting, but the Trust’s perpetual succession sidesteps those rules.

Administrative law. The Attorney-General’s approval under s 10 is a statutory power that may be subject to judicial review. If the Attorney-General refuses to approve an amendment, the Trust could potentially seek reasons and challenge the decision in the Supreme Court. The Act does not provide criteria for approval or refusal.

Freedom of information. The Act does not require the Trust to comply with the Freedom of Information Act 1991 (SA). The Trust is not a government agency, so its internal documents (minutes, financial records, policies) are not accessible to the public, except the Gazette notice of amendments. This limits transparency and accountability.

Competition and consumer law. The Trust’s fee-charging activities (Schedule cl 3(1)(l)) bring it within the ambit of the Competition and Consumer Act 2010 (Cth) if it engages in trade or commerce. Its charitable status does not automatically exempt it from Australian Consumer Law provisions on misleading conduct or unfair terms. The Trust must ensure its contracts with residents, patients, and suppliers comply.

Employment law. The Trust may enter into contracts of employment (Schedule cl 3(1)(h)), bringing it under the Fair Work Act 2009 (Cth) and state industrial relations laws. Trustee decisions on staffing are subject to those laws, not the Act.

Tax law. As a public charitable institution, the Trust is likely eligible for income tax exemption under the Income Tax Assessment Act 1997 (Cth) and for FBT concessions, GST concessions, and state payroll tax exemptions, subject to endorsement by the ACNC. The Act does not grant any tax concessions itself; they arise from general law.

The James Brown Memorial Trust Incorporation Act 1990 (Act No 26 of 1990) received Royal Assent on 26 April 1990 and commenced on the same day. It repealed the James Brown Memorial Trust Incorporation Act 1894. The principal Act has seen only minor formal amendments. The long title was amended under the Legislation Revision and Publication Act 2002 (SA) as part of a general statute law revision. Section 2 (which likely contained definitions or a commencement provision) was omitted under that same revision Act. No substantive amendments to the core provisions (ss 4-10) or the Schedule have been made. The Act has not been amended to introduce modern governance requirements such as mandatory reporting, conflicts of interest management, or financial audit. The power to amend the Declaration of Trust (s 10) has been available since 1990, but the legislative history does not record how many times, if any, it has been exercised. The Attorney-General’s approval process has remained unchanged. The absence of amendment history suggests that the Act has been stable and uncontroversial, but it also means that the governance framework has not been updated to reflect modern standards for charitable bodies, such as the Australian Charities and Not-for-profits Commission’s governance standards. The repeal of the 1894 Act and the enactment of this Act represented a comprehensive restatement, but the lack of subsequent amendments means the Trust operates under a 1990-era regime. The Legislation Revision and Publication Act 2002 changes were procedural only and did not alter any substantive rights or duties.

The Act and its predecessor have generated very little reported litigation. The source text itself does not refer to any cases. This is typical for a small charitable trust statute that provides internal governance and Supreme Court advisory jurisdiction rather than a regulatory scheme. The s 5 application route is designed to avoid adversarial litigation by allowing trustees to seek directions in a non-contentious manner. The Supreme Court of South Australia may have heard applications under s 5, but no reported decisions are evident from the Act’s text. Potential sources of litigation include disputes over the validity of trustee appointments or removals, challenges to the Trust’s acts as ultra vires, and questions about the construction of instruments under s 8. The retrospective validation provision in s 9 could also be tested if a prior act caused loss to a third party who then argues that the validation is unconstitutional or violates accrued rights. However, no such case is cited. The absence of litigation history suggests the Trust has operated without major dispute, but it also means there is little judicial guidance on the Act’s provisions. Practitioners advising the Trust must rely on the plain text and general charitable trust principles. The lack of precedent increases uncertainty for trustees considering novel actions, such as a major asset sale or a joint venture with a for-profit entity. Any s 5 application would become a matter of record and could set precedent, but no such published applications exist in the Act’s legislative history.

Retrospective validation of unauthorised acts. Section 9 validates any past act or omission that was not authorised under the 1894 Act but would be authorised under the 1990 Act. This sweeps away potential ultra vires claims, but it may also affect the rights of third parties who had a claim against the Trust for acting beyond its powers. If the Trust previously entered a contract that was void for lack of capacity, that contract is now deemed valid. Counterparties who thought they had no enforceable agreement may now find they do. Equally, parties who believed they had a claim for breach of trust against the trustees for exceeding powers may find the claim extinguished.

Deemed gifts to the Trust. Section 8 provides that a gift to an institution owned or operated by the Trust is taken to be a gift for the benefit of the Trust. This applies to instruments executed before or after the Act, as long as the gift takes effect at or after the time the institution is owned or operated by the Trust. A donor who wants to benefit a specific local nursing home operated by the Trust cannot prevent the Trust from redirecting the funds elsewhere. The Trust could close that nursing home and use the gift for another of its purposes. Donors should be aware that a gift to ‘X Nursing Home’ is effectively a gift to the Trust. To restrict the use, they would need to impose a special direction under Schedule cl 3(1)(j), but even that is subject to the Trust’s ability to use the gift subject to the direction only ‘in furtherance of the purposes of the Trust’. There is no guarantee the direction will be enforced by the Trust.

Amendment power with Attorney-General approval. The Trust can amend the Declaration of Trust by a resolution supported by an absolute majority of trustees and with the Attorney-General’s approval (s 10). This is a powerful tool but comes with a political risk. The Attorney-General may impose conditions or refuse approval. The Act does not prescribe criteria, so the decision is at the Attorney-General’s discretion and may be influenced by government policy. The amendment can be retrospective, meaning the Trust could change the rules for past transactions. This creates uncertainty for donors and creditors who relied on the terms of the Declaration at the time they dealt with the Trust.

Trustee removal by special resolution. A trustee can be removed by a special resolution of an absolute majority of all trustees (Schedule cl 4(3)). There is no requirement for cause or due process. A trustee who dissents from the majority’s business strategy could be removed with seven days notice. This concentrates power in the majority and may discourage robust debate. The removed trustee has no statutory right to reasons or to a hearing, though natural justice may require some process. The only constraint is that the removal must be by special resolution, so the minority retains some blocking power if they are more than a quarter of the total trustees.

Decisions by written concurrence. Schedule cl 8(12) allows decisions to be made by written communication without a meeting, if all trustees concur in writing. This is efficient but can reduce deliberation and record-keeping. A trustee could be pressured to sign a concurrence without full discussion. The clause requires ‘all of the trustees’ to signify concurrence, so a single dissenter can force a meeting.

No personal liability for debts. Trustees are not liable for the debts and liabilities of the Trust (Schedule cl 10). This is standard for incorporated bodies, but creditors may not appreciate that they are dealing with an entity whose trustees have no personal exposure. The Trust’s assets are limited and are held for charitable purposes, which may restrict their availability on insolvency. Creditors should obtain appropriate security; the Trust can give it under Schedule cl 3(1)(g).

Committee composition. Committees established by the trustees need not include any trustees (Schedule cl 5(2)). This means non-trustees can exercise significant powers delegated by the trustees. The trustees remain accountable, but there is a risk that delegation to outsiders could lead to decisions inconsistent with the Trust’s charitable purposes.

No statutory reporting requirement. The Act does not require the Trust to prepare financial statements, conduct an audit, or file annual reports with any government body. This is a significant gap in accountability. The only public document required is notice of amendments to the Declaration published in the Gazette. Beneficiaries, donors, and the public have no right to see the Trust’s accounts or minutes.

Compliance with the James Brown Memorial Trust Incorporation Act 1990 is largely a matter of adhering to the Declaration of Trust and ensuring that the Trust’s actions are within its charitable purposes and powers. There is no external regulator for day-to-day operations, but trustees should follow a systematic approach.

1. Governance procedures. The trustees must ensure meetings are properly called and minuted. For ordinary meetings, the chair (elected before 30 June each year) or other trustee can call a meeting. If two trustees call a meeting, they must give at least seven days written notice stating date, time, place, and general nature of business (Schedule cl 8(7)-(8)). Quorum is four trustees. Decisions are by majority vote, with the chair having a casting vote except for special resolutions. Special resolutions require an absolute majority of all trustees, not just those present, after seven days written notice of the terms. Written concurrence decisions require all trustees to signify agreement. Accurate records must be kept (Schedule cl 8(13)). The Trust must have at least seven trustees at all times; vacancies are filled by special resolution.

2. Amendment of the Declaration. Any amendment requires a special resolution passed by an absolute majority of trustees, then approval from the Attorney-General. The amendment can be retrospective. Once approved, the trustees must publish notice in the Gazette as soon as practicable (s 10(3)). Failure to publish may make the amendment ineffective. The trustees should keep a copy of the Gazette notice with the Trust’s records.

3. Property and financial management. The Trust must hold property on trust for its charitable purposes (Schedule cl 2). It can invest only in securities in which trust money may be invested by Act of Parliament (Schedule cl 3(1)(e)). This likely limits investments to those authorised by the Trustee Act 1936 (SA) unless the Trust obtains a court order varying this restriction. The Trust can borrow and give security, but borrowing must be for Trust purposes. The Trust can charge fees, but those fees must be consistent with its charitable objects; charging excessive fees that exclude the defined class could be challenged as a breach of trust.

4. Delegation. Trustees may delegate any power except the power to appoint or remove trustees (Schedule cl 7). Delegations must be documented, and the trustees retain the ability to act despite the delegation. They should regularly review delegated authority. Delegation to non-trustees is permitted, but the trustees should ensure the delegate understands the Trust’s charitable purpose.

5. Trustee protection. Trustees must act in good faith to enjoy the personal liability exemption (Schedule cl 9). They should avoid conflicts of interest and ensure decisions are made in what they honestly believe is the Trust’s best interest. The Trust must pay for insurance for trustees (Schedule cl 11). Trustees should ensure such insurance is in place and covers the scope of their activities.

6. Interaction with donors. When the Trust receives a gift with a special direction or limitation, it must use the property subject to that direction in furtherance of the Trust’s purposes (Schedule cl 3(1)(j)). The trustees should record the direction and ensure compliance. If the gift is to an institution owned or operated by the Trust, the Trust may treat it as a gift to itself (s 8), but should be cautious if the donor’s intent was clearly for a specific facility.

7. Seeking advice. If any doubt arises about management, administration, or construction of documents, the Trust or any two trustees should apply to the Supreme Court for advice or direction under s 5. This is a protective measure: trustees who act in accordance with the Court’s direction are shielded from liability. The cost of such applications is a legitimate expense of the Trust.

8. No external reporting. There is no statutory requirement to file accounts or reports. However, the Trust should prepare annual financial statements for its own governance and for potential scrutiny by the Attorney-General or courts. The trust should also maintain insurance, minutes, and a register of trustees and delegations. Given the absence of external oversight, the Trust’s board should voluntarily adopt best-practice governance standards, such as those of the Australian Charities and Not-for-profits Commission, even though not required. This reduces the risk of internal dispute and protects the Trust’s reputation and charitable status.
