Iron Ore Agreements Legislation (Amendment, Termination and Repeals) Act 2011

The core legal concepts and mechanisms used by the termination agreement and its statutory ratification are statutory ratification, contractual termination, statutory override, transfer and surrender of mining tenements, Ministerial powers and concurrence, environmental obligation transfer, indemnity allocation and tenure instruments under port and land statutes.

Statutory ratification: The Act ratifies a private agreement by placing that agreement into the statute book (s 22(2) and Schedule 1). The termination agreement itself envisaged legislative ratification (Schedule 1, cl 3(1)-(4)). Once ratified, the negotiated terms acquire the force that the statute confers: s 22(3) expressly states the termination agreement “is to operate and take effect despite any other Act or law” although the Government Agreements Act 1979 is not to be limited in its application by that statement.

Contractual termination with survivals: The termination agreement provides for the Beneficiation Agreement to be terminated on the Operative Date but preserves liabilities that accrued before termination (Schedule 1, cl 4(1)-(2)). This is a common structure: terminate future obligations and privileges while leaving antecedent liability and indemnities intact.

Transfer and surrender of tenements: The principal land/tenure mechanism is transfer of the listed Boodarie general purpose leases (GPLs) from the Company to the Joint Venturers by application under the Mining Act and registration (Schedule 1, cl 4(3)(c)). The Company must surrender its Surrender GPLs and both the Company and Joint Venturers must surrender specified portions of Boodarie GPLs (cl 4(3)(c)(ii)(A)-(B) and Schedules B-C). The agreement requires an endorsement in the Mining Act register that the provisions apply to Boodarie GPLs (cl 4(3)(f)).

Ministerial discretion and concurrence: Multiple ministerial roles are built in. The “Minister for Mines” may make, vary or cancel conditions on the Boodarie GPLs, acting with the concurrence of the Mount Goldsworthy Agreement Minister (cl 4(3)(d)). The Minister responsible for the Port Authorities Act must approve terms of leases and easements from the Port Authority, with concurrence from the Mount Goldsworthy Agreement Minister (cl 4(3)(e)(v), cl 4(4)(c)). The Minister for Environment’s prior approval and nomination under s 38(7) of the EP Act for passing responsibility under the Ministerial Statement is recorded in cl 4(3)(b).

Environmental transfer and Ministerial Statement: The transfer of responsibility for the Ministerial Statement (the “Hot Briquetted Iron Project, Port Hedland” Ministerial Statement number 393) to the Joint Venturers is documented (cl 4(3)(b)). The Joint Venturers must perform decommissioning, removal and rehabilitation in accordance with the EP Act and the Ministerial Statement (cl 4(5)). Clause 2(3) emphasises the agreement does not exempt the Company from compliance with environmental protection requirements.

Indemnities and risk allocation: The Joint Venturers agree to indemnify the State for third‑party claims both relating to historic works carried out by the Company and for works the Joint Venturers carry out post‑Operative Date, with the indemnities persisting for up to 20 years after a completion date (cl 4(7)(a)-(c)). The agreement also expressly retains the Company’s exposure for antecedent breaches and indemnities under the Beneficiation Agreement (cl 4(2)).

Interaction with other statutory registers and fees: The agreement contemplates transfers registered under the Mining Act, surrenders and endorsements under s 103F (cl 4(3)(f)), leases and easements registered under the Transfer of Land Act 1893 (cl 4(3)(e)(vi) and cl 4(4)(c)), and actions “notwithstanding section 276 of the Duties Act 2008” (cl 4(3)(c)). Those cross‑references indicate the implementation steps to be taken in multiple statutory systems.

Statutory override and preservation of certain legal obligations: While s 22(3) and Schedule 1, cl 3(4) direct operation “despite any other Act or law,” the agreement limits that effect in places , for example, clause 2(2) preserves compliance with native title laws and clause 2(3) preserves environmental obligations. The negotiation therefore combines an expansive priority for the termination agreement with explicit preservation of some statutory regimes.

Process and conditionality: The termination agreement originally required the State to introduce a Bill and set a deadline; if not passed by 30 June 2012, the agreement would lapse (Schedule 1, cl 3(1)-(3)). The Act itself performs the ratification function, and the compilation records commencement dates consistent with that process (s 2 and compilation table).

The document identifies and expressly binds a set of named parties and classes of third parties. Primary named contracting parties are the State of Western Australia, BHP Billiton Direct Reduced Iron Pty. Ltd. (the Company), BHP Billiton Minerals Pty. Ltd., Mitsui Iron Ore Corporation Pty. Ltd., and Itochu Minerals & Energy of Australia Pty. Ltd. (the Joint Venturers) (Schedule 1, introduction). The instruments and clauses affect - and create duties or rights relevant to - a broader range of entities, statutory offices and private third parties.

Principal affected private parties

• the Company: it loses the future benefits and privileges conferred by the Beneficiation Agreement on the Operative Date, must apply to transfer its Boodarie GPLs, must surrender Surrender GPLs (Schedule 1, cl 4(3)(a), (c)), and remains liable for antecedent breaches and indemnities under the Beneficiation Agreement (cl 4(2)); it must also cooperate where required with grants of leases, easements and licences and facilitate third‑party access where reasonably required (cl 4(3)(e)(ii) and (iii));
• the Joint Venturers: upon registration of transfers the Joint Venturers will hold the Boodarie GPLs pursuant to the Mount Goldsworthy Agreement (cl 4(3)(c)(i)), must undertake decommissioning, removal and rehabilitation under the EP Act and the Ministerial Statement (cl 4(5)), must surrender portions of Boodarie GPLs listed in Schedule C (cl 4(3)(c)(ii)(B)), must facilitate land tenure for third‑party plant and infrastructure (cl 4(3)(e)(ii)-(v)), and will give indemnities to the State for third‑party claims for a period ending up to 20 years after completion of specified obligations (cl 4(7));

Statutory and public entities

• the State of Western Australia: the State acts as a contracting party, undertakes to introduce the ratifying Bill (in the agreement text) and, once the Act is in force, to cause transfers and leases to be effected “notwithstanding section 276 of the Duties Act 2008” (cl 4(3)(c)), and to cause endorsements in the mining register (cl 4(3)(f)); the State also agrees to cause the Port Authority to grant leases or easements on terms approved by the relevant Minister (cl 4(3)(e)(v));
• Minister for Mines and Mount Goldsworthy Agreement Minister: empowered to make, vary or cancel conditions on Boodarie GPLs, with a concurrence requirement in cl 4(3)(d). The Mount Goldsworthy Agreement Minister participates in concurrence and approval steps relating to port and land tenure matters (cl 4(3)(e)(v));
• Minister for Environment: recorded as having given the requisite approval under condition 3‑1 of the Ministerial Statement and made the nomination under s 38(7) of the EP Act for passing responsibility for the proposal to the Joint Venturers (cl 4(3)(b));
• Port Hedland Port Authority (Port Authority): to grant leases and easements under the Port Authorities Act with terms approved by the Minister responsible for that Act, at commercial rental for easements and leases contemplated by the agreement (cl 4(3)(e)(v) and cl 4(4)(c));
• Mining Registrar and registries under Transfer of Land Act: responsible for registering transfers, surrenders, easements and leases, and for the endorsement in the mining register under section 103F of the Mining Act (cl 4(3)(c)(i) and cl 4(3)(f)).

Third parties and infrastructure proponents

• PEP Joint Venturers and other parties who constructed and operate plant and facilities on Boodarie land under PEP Agreement proposals are acknowledged in the agreement and will continue to operate such facilities; the Joint Venturers and Company must facilitate leases and licences for those third parties (cl 4(3)(e)(i)-(ii));
• future infrastructure proponents: the agreement contemplates that the State or third parties may seek to construct infrastructure across Boodarie land and requires the Joint Venturers to give consents or allow access on reasonable terms so long as the Joint Venturers are not unduly prejudiced (cl 4(3)(e)(iv)).

Affected legal regimes and private rights

• holders of Boodarie GPLs and Surrender GPLs: rights and privileges previously conferred under the Beneficiation Agreement cease to be available on and from the Operative Date (cl 4(3)(a)(i));
• holders of the Utah Jild lease: the agreement contemplates continuance and transfer of rights and potential grant of a lease under the Port Authorities Act to the Joint Venturers subject to registration and surrender steps (cl 4(3)(4)(a)-(c));
• parties to the Water Agreement: the agreement expressly provides that termination of the Beneficiation Agreement does not affect operation of the Water Agreement (cl 4(6)).

Who ultimately pays and who is protected

• financial flows are not comprehensively re‑allocating existing contractual obligations. The Joint Venturers accept ongoing indemnity exposure to the State for third‑party claims post‑transfer (cl 4(7)(b)). The Company remains liable for antecedent breaches (cl 4(2)). The Port Authority’s easements and leases are to be at commercial rental (cl 4(3)(e)(v)), producing revenue for the Port Authority or State instrumentality. The State undertakes to cause transfers and make certain tenure arrangements, which may entail administrative costs and potential liabilities if obligations are not discharged.

In short, the Act and the termination agreement reconfigure legal title, operational responsibility for environmental rehabilitation and decommissioning, and indemnity exposure across corporate parties, while creating statutory obligations on Ministers, registries and port authorities to implement those changes.

The termination agreement, as ratified by s 22 and Schedule 1, creates a set of interlocking duties and rights for the named parties and public agencies. Key duties and rights are set out below with clause references.

Obligations of the Company

• Termination consequences and tenement transfers: The Company ceases to hold the benefit of the Beneficiation Agreement from the Operative Date (cl 4(1), cl 4(3)(a)(i)) and must make application under the Mining Act to transfer the Boodarie GPLs to the Joint Venturers (cl 4(3)(c)). The Company must unconditionally surrender the Surrender GPLs once transfers are registered (cl 4(3)(c)(ii)(A)).
• Consent and facilitation duties: The Company must, where necessary and reasonably required, facilitate grants of leases, easements or licences for third‑party plant and facilities on Boodarie land, and allow access on reasonable terms (cl 4(3)(e)(ii)(A)(II), cl 4(3)(e)(ii)(B)).
• Liability preserved: The Company remains liable for any antecedent breach or default under the Beneficiation Agreement and any indemnity given under it (cl 4(2)). The Utah Jild lease and related arrangements require the Company to surrender that lease if a new lease is to be granted to the Joint Venturers (cl 4(4)(c)).

Obligations of the Joint Venturers

• Acceptance of transferred tenements: Upon registration, the Boodarie GPLs shall be held by the Joint Venturers pursuant to the Mount Goldsworthy Agreement (cl 4(3)(c)(i)). They must surrender listed portions of Boodarie GPLs as specified and unconditionally surrender particular Boodarie GPL portions where required (cl 4(3)(c)(ii)(B) and Schedule C).
• Environmental duties: The Joint Venturers must decommission and remove plant and facilities established by the Company on Boodarie GPLs and the Utah Jild lease and rehabilitate affected land “in accordance with and to the extent contemplated by” the decommissioning and rehabilitation plans prepared under clause 8 of the Ministerial Statement and as required by the EP Act (cl 4(5)(a)-(b)).
• Facilitation and consent for infrastructure: The Joint Venturers must use “best and continuing endeavours” to identify and agree the optimal corridor area for an industrial estate infrastructure corridor and facilitate its establishment; they must give consent or otherwise facilitate grants of tenure or rights for construction and operation of infrastructure within that corridor, surrendering GPLs where necessary (cl 4(3)(e)(iii)-(iv)).
• Indemnities: The Joint Venturers indemnify and keep indemnified the State and its employees, agents and contractors against third‑party claims arising out of the Company’s works and out of the Joint Venturers’ post‑Operative Date works, with indemnities that remain in force until 20 years after an agreed or State‑determined completion date for their obligations (cl 4(7)(a)-(c)).

Duties and discretions of the State and Ministers

• Parliamentary enactment and operation: The State is required by the agreement to introduce and sponsor the ratifying Bill; once the Bill has passed and commenced, the agreement’s provisions operate despite other law (Schedule 1, cl 3(1)-(4)). Section 22 now ratifies the termination agreement and provides that it “is to operate and take effect despite any other Act or law” (s 22(2)-(3)).
• Transfers and duties notwithstanding other statutes: The State shall cause the Boodarie GPLs to be transferred to the Joint Venturers notwithstanding section 276 of the Duties Act 2008 (cl 4(3)(c)). The State must also cause an endorsement in the Mining Act register that the provisions apply to Boodarie GPLs (cl 4(3)(f)).
• Port and land tenure facilitation: The State agrees to cause the Port Authority to grant easements and leases to the Joint Venturers at commercial rental and on such other terms as approved by the relevant Minister with the concurrence of the Mount Goldsworthy Agreement Minister (cl 4(3)(e)(v)). The State will grant appropriate tenure after surrenders to facilitate the Joint Venturers’ continued operations (cl 4(3)(e)(iii)(B)).
• Ministerial condition‑making: The Minister for Mines, acting with the concurrence of the Mount Goldsworthy Agreement Minister, may make, vary or cancel reasonable conditions on the Boodarie GPLs from the Operative Date (cl 4(3)(d)).

Protections and survivals

• Water Agreement preserved: Clause 4(6) expressly states termination of the Beneficiation Agreement does not affect the operation of the Water Supply Agreement dated 8 February 2000.
• Native title and environmental law preserved: Clause 2(2) preserves compliance with laws relating to native title and clause 2(3) preserves compliance with the EP Act; the agreement does not require the State or Company to do anything contrary to native title laws and the provisions will not operate so as to require grants or variations of tenure until native title processes complete.
• Ministerial Statement responsibilities acknowledged and transferred: Clause 4(3)(b) notes the Minister for Environment has given the requisite approval for the purposes of condition 3‑1 of the Ministerial Statement and has nominated the Joint Venturers under s 38(7) of the EP Act for passing responsibility.

Procedural steps as duties

• registration preconditions: The effectiveness of several obligations is expressly tied to the registration of transfers and the prior surrender of certain leases (cl 4(3)(c)(i)-(ii), cl 4(4)(c)). Many duties therefore hinge on administrative steps being completed under the Mining Act, Port Authorities Act and Transfer of Land Act.

Rights created or recognised

• Joint Venturers’ right to hold Boodarie GPLs under Mount Goldsworthy Agreement: upon registration, the Boodarie GPLs are to be held by the Joint Venturers pursuant to the Mount Goldsworthy Agreement for the purposes of that agreement (cl 4(3)(c)(i));
• Port Authority easements and leases on commercial terms: the Joint Venturers have a contractual expectation that the Port Authority will grant easements at commercial rental and other tenure as approved by the relevant Minister (cl 4(3)(e)(v));
• ability of the State to make changes to GPL conditions: Ministerial power to make, vary or cancel conditions on Boodarie GPLs provides the State with a continuing lever to regulate tenement terms post‑transfer (cl 4(3)(d)).

Taken together, these duties and rights reassign title, regulatory responsibilities and indemnity exposure in a way that preserves certain legacy liabilities while establishing joint‑venturer responsibility for future environmental remediation and the facilitation of port and industrial infrastructure.

The Act and the termination agreement do not create new statutory criminal offences or specify monetary fines in the instrument as enacted; enforcement primarily relies on contract remedies, tenure law mechanisms, statutory administrative powers, indemnity enforcement and existing environmental and mining statutory regimes. The principal enforcement and penalty pathways in the document are set out below, with clause and section references.

Contractual enforcement

• contractual obligations and indemnities are enforceable by standard civil remedies: the termination agreement imposes indemnities on the Joint Venturers (Schedule 1, cl 4(7)) and preserves the Company’s antecedent liabilities under the Beneficiation Agreement (cl 4(2)). Enforcement of these indemnities and antecedent liabilities will be by contractual claim and usual civil remedies (damages, specific performance where appropriate), subject to the contractual drafting and any statutory constraints that apply outside the instrument.

Tenure‑based enforcement under mining and land law

• registration, conditions and surrenders enforced by mining registries and the Minister for Mines: The agreement requires registration under the Mining Act to give effect to transfers (cl 4(3)(c)(i)). The Minister for Mines may, acting with concurrence of the Mount Goldsworthy Agreement Minister, make, vary or cancel reasonable conditions on Boodarie GPLs (cl 4(3)(d)). Such conditions, when made under the Mining Act, are enforceable under the Mining Act’s compliance and penalty provisions. The agreement also requires an endorsement in the register maintained under s 103F of the Mining Act that the agreement provisions apply to the Boodarie GPLs (cl 4(3)(f)), which is an administrative record with legal consequences for tenement dealings.

Environmental enforcement

• EP Act obligations remain enforceable: Clause 2(3) provides that nothing in the agreement exempts the Company from compliance with environmental requirements arising from its activities; clause 4(5) commits the Joint Venturers to carry out decommissioning and rehabilitation in accordance with the EP Act and the Ministerial Statement. Enforcement of environmental duties, breaches, and any orders or sanctions will proceed under the EP Act’s administrative and civil enforcement mechanisms. Clause 4(3)(b) records that the Minister for Environment has nominated passing of responsibility under s 38(7) of the EP Act, which is the mechanism under the EP Act to nominate responsibility for implementation of a Ministerial Statement , the nominated party is subject to the EP Act’s compliance regime.

Port and transfer instruments

• Transfer of Land Act and Port Authorities Act enforcement: The agreement contemplates registration of easements and leases under the Transfer of Land Act and grants under the Port Authorities Act (cl 4(3)(e)(v), cl 4(4)(c)). Such registered instruments carry the enforceability and remedies permitted by those Acts and by property law (for example, rent recovery, forfeiture where applicable).

Civil liability and duration limits

• time‑limited indemnities: the Joint Venturers’ indemnities to the State are time‑bound: they remain in force until a date 20 years after the date agreed between the State and the Joint Venturers, or if no agreement, a date determined by the State (cl 4(7)(c)). This creates a predictable outer limit for the period during which third parties may rely on, or the State may bring, indemnity claims against the Joint Venturers under the agreement.

No express criminal penalties or administrative fines in the termination agreement

• the termination agreement does not itself prescribe criminal penalties, civil penalty schedules or administrative fines for breach of the agreement’s covenants; enforcement therefore depends on other statutory regimes (Mining Act, EP Act, Port Authorities Act, Transfer of Land Act) and on common law contract remedies.

Practical enforcement levers

• the State’s obligation to cause transfers and endorsement gives the State administrative levers to shape implementation; conversely, the State’s ability to cause transfers “notwithstanding” certain Duties Act provisions (cl 4(3)(c)) may reduce hurdles that could otherwise delay enforcement of the agreement’s transfer provisions.
• Ministerial condition‑making (cl 4(3)(d)) means the State has ongoing regulatory levers over tenements that can influence compliance behaviour; conditions imposed under the Mining Act are enforceable under mining legislation.

Risk of third‑party claims and legacy liabilities

• since the Company retains liability for antecedent breaches (cl 4(2)), third parties who suffered loss prior to the Operative Date will retain contractual and tort pathways to pursue the Company. Post‑Operative Date third‑party claims related to the Company’s works are covered by the Joint Venturers’ indemnity to the State (cl 4(7)(a)) and are therefore likely to be enforced against the Joint Venturers indirectly via the State’s indemnity remedy, or directly against the Joint Venturers where they are the responsible party for ongoing works.

In sum, the ratified agreement sets up a network of enforceable obligations to be implemented through existing administrative, property and environmental regimes and via contract remedies. There are no new statutory penalty provisions embedded in the Schedule itself; enforcement will use the existing statutory and common law toolkit and the express indemnities and tenement endorsement mechanisms the Schedule requires.

The termination agreement and the Act explicitly cross‑reference and interact with multiple Western Australian statutes and with Commonwealth native title law. The Schedule recognises that the termination must operate within, and sometimes despite, existing statutory frameworks, and it carves out particular preservations and procedural requirements. The key statutory interaction points are set out below with clause/section citations.

Priority and statutory override

• despite any other Act or law: Schedule 1, cl 3(4) stipulates that on the Operative Date “all the provisions of this Agreement will operate and take effect despite any enactment or other law.” Section 22(3) of the Act reiterates the same clause for the ratified agreement, while expressly preserving the application of the Government Agreements Act 1979 (“Without limiting or otherwise affecting the application of the Government Agreements Act 1979, the termination agreement is to operate and take effect despite any other Act or law.”). The language gives the agreement statutory primacy where there is inconsistency, subject to the continued operation of the Government Agreements Act.
• limits to override: clause 2(2) and clause 2(3) of Schedule 1 qualify the agreement’s ability to operate contrary to native title and environmental law; the agreement will not exempt parties from compliance with laws relating to native title or environmental protection.

Mining Act and tenement law

• transfers and surrenders are to be implemented under the Mining Act: the Company must apply to transfer the Boodarie GPLs to the Joint Venturers under the Mining Act and transfers must be registered to give effect to certain provisions (cl 4(3)(c)(i)-(ii)). Clause 4(3)(f) requires the State to cause an endorsement to the Mining Act register under s 103F that the provisions of the subclause apply.
• Ministerial powers under the Mining Act: the Minister for Mines, together with the Mount Goldsworthy Agreement Minister, may make, vary or cancel conditions on the Boodarie GPLs (cl 4(3)(d)). Any conditions made under the Mining Act would be enforced under the Act’s compliance regime.

Environmental Protection Act 1986 and Ministerial Statement

• EP Act obligations remain: clause 2(3) confirms nothing in the agreement exempts the State or Company from compliance with environmental protection requirements under the EP Act. Clause 4(3)(b) notes the Minister for Environment has given approval for the passing of responsibility under condition 3‑1 of the Ministerial Statement and has made the requisite nomination under s 38(7) of the EP Act with respect to the Joint Venturers.
• Ministerial Statement responsibilities: the agreement makes the Joint Venturers responsible for decommissioning and rehabilitation in accordance with the decommissioning and rehabilitation plans prepared under clause 8 of the Ministerial Statement (cl 4(5)). Passing responsibility for the Ministerial Statement under s 38(7) means the nominated party is accountable under the EP Act’s framework for implementing Ministerial Statement conditions.

Port Authorities Act and Transfer of Land Act

• leases and easements: the State agrees to cause the Port Authority to grant easements and leases under the Port Authorities Act to the Joint Venturers at commercial rental and upon such other terms as approved by the Minister responsible for the Port Authorities Act (cl 4(3)(e)(v) and cl 4(4)(c)). The agreement contemplates registration of those easements under the Transfer of Land Act (cl 4(3)(e)(vi)).
• Utah Jild lease arrangements: the agreement contemplates surrender of the Utah Jild lease by the Company and the grant of a Port Authorities Act lease to the Joint Venturers, with registration under the Transfer of Land Act required to make the new lease effective (cl 4(4)(b)-(c)).

Land Administration Act

• facilitating leases for third‑party plant and infrastructure: the Company and Joint Venturers must facilitate grants of leases under the Land Administration Act that are reasonably necessary for plant, facilities and other works identified in the Schedules (cl 4(3)(e)(ii)(A)) and facilitate grants of licences and easements (cl 4(3)(e)(ii)(B)).

Duties Act 2008

• transfers “notwithstanding section 276”: clause 4(3)(c) requires the State to cause the Boodarie GPLs to be transferred to the Joint Venturers “notwithstanding section 276 of the Duties Act 2008 (WA) and without otherwise affecting the application of that Act.” The clause both contemplates and anticipates stamp duty or other duty consequences and communicates the State’s undertaking to cause transfers despite the Duties Act provision cited; the exact fiscal mechanism (for example, whether the State pays or obtains an exemption) is not detailed in the Schedule itself.

Native title law

• preservation of native title processes: clause 2(2) provides that nothing in the agreement shall be construed to exempt the State or the Company from compliance with or require them to do anything contrary to any law relating to native title. The provision explicitly states tenure grants or variations will not be caused until all processes necessary under native title law are complete.

Government Agreements Act 1979

• preservation of application of the Government Agreements Act: s 22(3) says the termination agreement operates despite other laws “without limiting or otherwise affecting the application of the Government Agreements Act 1979.” That special saving means that the Government Agreements Act retains its role and potentially provides a statutory framework through which ratified agreements interact with other administrative or statutory obligations.

Water Agreement

• express survival: clause 4(6) provides that termination of the Beneficiation Agreement will not affect the operation of the Water Supply Agreement dated 8 February 2000, preserving contractual water supply arrangements independent of the termination.

Other interlocking agreements

• Mount Goldsworthy Agreement and PEP Agreement: the termination agreement folds certain lands and responsibilities under the Mount Goldsworthy Agreement and contemplates existing works constructed by PEP Joint Venturers and others, requiring facilitation for leases and licences to enable ongoing operations (Schedule 1, cl 4(3)(e)(i)-(iii)). Clause 5 confirms the Joint Venturers enter into the agreement in their capacity as the Joint Venturers defined under the Mount Goldsworthy Agreement (and in part the Goldsworthy‑Nimingarra Agreement).

Net effect

• the ratified agreement integrates the private contractual reallocation of tenure and responsibility into the statutory architecture of mining, environmental, port and land administration law. It asserts statutory primacy for the agreement where inconsistency arises while expressly preserving native title and EP Act obligations and retaining certain statutory instruments as the mechanism for implementation (transfers, surrenders, registered easements and leases). The result is a hybrid instrument that relies on administrative action under multiple statutes to effect the commercial reshaping of land and operational responsibilities.

The compilation information included in the source is limited and records the Act’s immediate commencement history. The key points from the source are:

• Assent and commencement: The Act received Royal Assent on 14 December 2011 (compilation table). Part 1 (preliminary provisions) commenced on assent day (14 December 2011) as provided by s 2(a). Part 7 Division 1 (the ratification provision and Schedule 1) commenced the day after assent day (15 December 2011) under s 2(b) and as recorded in the compilation table.
• Scope of commenced provisions: The compilation table and the text provided show that the parts of the Act that were commenced and compiled are Part 1 and Part 7 Division 1. The long title lists numerous Acts to be amended and repealed, but the text supplied (and the compilation table) indicates that the operative, commenced provision incorporated the Schedule 1 termination agreement via s 22 and the preliminaries. The Act’s compilation entry identifies Pt. 1 and Pt. 7 Div. 1 as the enacted and commenced components (compilation table).
• No further amendments recorded in the provided material: The materials supplied do not include any amending Acts, schedules of subsequent amendments, or later commencement notices. There is no schedule in the supplied text that records later amendments to ss or new insertions into the Act after 2011. The compilation table supplied is limited to the initial assent and commencement details for the parts that were enacted and commenced.

What the source does not show (cautionary note)

• the long title expresses a broader legislative purpose , to amend several iron ore agreement Acts and to repeal the Iron Ore Beneficiation (BHP) Agreement Act 1996 and other listed Acts , but the text provided to you includes only Part 1 and Part 7 Division 1 (the ratification of the termination agreement). The compilation table confirms those were the parts commenced. No textual amendments to any of the other named Acts or a formal repeal provision, beyond what is embedded in the long title, are displayed in the supplied text. Do not assume other Parts were enacted or commenced unless you consult the full Act as published in the Western Australian Government Gazette or the consolidated statutes for any subsequent Parts or amendment instruments.

Administrative follow‑up likely required

• implementation steps under other statutes: post‑commencement, the practical effect required registries and Ministers to take administrative actions (for example, transferring tenements, causing endorsements, granting port leases and easements). Those administrative acts produce further entries in government systems (mining register, Transfer of Land register) that complete the real‑world amendment of tenure and rights. The Act’s compiled text records the statutory ratification but administrative actions effect the transfers in operational registries.

If you require a comprehensive legislative history (subsequent amendments, repeals, or consolidated versions of the Act), you should consult the official Western Australian legislation repository or the annotated consolidated statutes for any amending Acts or proclamation instruments subsequent to the 2011 commencement recorded here. The source provided does not record later amendment instruments.

The supplied text contains no references to litigation, cases, judgments or disputes arising out of the Act or the termination agreement. It names no court decisions and cites no litigation‑related provisions. As a result, from the document alone:

• there is no litigation history recorded in the Act or Schedule 1 text provided;
• no case law is cited, and no judicial interpretations of the ratification, its effect or the termination agreement’s clauses are included in the materials supplied;
• the agreement does not itself record or reference any existing judicial decisions.

Practical implication

• absent external research beyond the provided source, practitioners should assume that any disputes arising under the termination agreement, the underlying Beneficiation Agreement, or the associated tenure or environmental obligations would be litigated through the ordinary civil courts or adjudicative processes and resolved under the applicable statutes (Mining Act, EP Act, Transfer of Land Act, relevant contract law). The termination agreement contemplates indemnities, preserved antecedent liabilities and ministerial decisions, all of which are potential sources of dispute; however the text presents no record of judicial determinations concerning such disputes.

Recommended next steps to establish litigation context

• if you need an authoritative litigation history (for example to advise on precedent, risk of judicial intervention, or to identify disputes about the transfer process, surrenders, indemnities or environmental obligations), you will need to run searches in Western Australian court databases, the Federal Court (if native title issues or Commonwealth legislation were engaged), and the Western Australian Industrial Magistrates or administrative tribunals as appropriate. The statutory registers and ministerial decisions (for example, the Minister for Environment’s nominations under s 38(7) of the EP Act and any compliance notices) should also be searched for enforcement actions that could have led to litigation. None of that material is present in the provided source.

In short, the Act and Schedule 1 themselves contain no litigation history in the supplied text; independent research is necessary to determine whether any disputes arose following the statutory ratification and transfers.

The termination agreement contains multiple implementation, timing and interpretation traps that create operational risk or legal uncertainty if not attended to. These are concrete points to watch (each cited to the Schedule where relevant).

Operative Date dependency and registration sequencing (Schedule 1, cl 3 and cl 4(3)(c))

• many obligations are expressly conditioned on registration under the Mining Act. For example, the Company’s surrender of the Surrender GPLs and the Joint Venturers’ holding of the Boodarie GPLs pursuant to the Mount Goldsworthy Agreement take effect only “upon and from the date such transfers are registered under the Mining Act” (cl 4(3)(c)(i)-(ii)). Failure to complete registration in the intended sequence can leave a gap where rights, responsibilities and liabilities are unclear. Ensure transfer applications are lodged and tracked closely.

Antedating of liabilities vs immediate termination of rights (cl 4(1)-(2), cl 4(3)(a))

• the Beneficiation Agreement is terminated “with effect on and from the Operative Date” but the Company remains liable for antecedent breaches and indemnities (cl 4(1)-(2)). That leaves the Company free of future benefits yet exposed to historical liability; parallelly, third parties may seek to enforce legacy claims against the Company post‑termination. Assess contingent liabilities carefully and clarify insurance and indemnity coverage.

“Despite any other Act or law” clause and preservation carve‑outs (Schedule 1, cl 3(4); Act s 22(3))

• the agreement and the Act assert operation “despite any other Act or law,” which implies statutory primacy if inconsistency arises. However, clause 2(2) preserves compliance with laws relating to native title, and clause 2(3) preserves compliance with the EP Act. That means the agreement cannot be used to require parties to act contrary to native title or EP Act obligations. Practically, implementation steps such as transfers, surrenders and leases must still comply with native title processes and environmental approvals, potentially delaying transfer steps.

Ambiguity over Duties Act and fiscal consequences (cl 4(3)(c))

• the agreement requires the State to cause transfers “notwithstanding section 276 of the Duties Act 2008 (WA) and without otherwise affecting the application of that Act.” This wording anticipates duty issues but does not spell out whether duty is waived, paid by the State or otherwise handled. Practitioners should clarify the fiscal treatment and ensure the transfer is not frustrated by unexpected duty liabilities.

Vague standards: “reasonable,” “commercial rental,” “unduly prejudice,” “best and continuing endeavours” (multiple clauses)

• the agreement uses standards that can be contested: Minister for Mines may make “reasonable” conditions (cl 4(3)(d)); easements are to be “at commercial rental” (cl 4(3)(e)(v)); third‑party grants must not “unduly prejudice or interfere” with Joint Venturers’ operations (cl 4(3)(e)(iv)); and the Joint Venturers must use “best and continuing endeavours” to identify corridor areas (cl 4(3)(e)(iii)). Such standards raise the prospect of disagreement over interpretation and negotiation of specific terms, requiring active ministerial decisions or further contractual detail.

Ministerial concurrence and procedural gridlocks (cl 4(3)(d), cl 4(3)(e)(v))

• multiple clauses require concurrence between the Minister for Mines, the Mount Goldsworthy Agreement Minister and the Minister responsible for the Port Authorities Act. These concurrence requirements create potential for administrative delay or inter‑ministerial disagreement that can stall transfers, grant of easements or the imposition of conditions.

Environmental obligations tied to the Ministerial Statement decommissioning plan (cl 4(5))

• the Joint Venturers must decommission and rehabilitate “in accordance with and to the extent contemplated by the decommissioning plan prepared in accordance with clause 8 of the Ministerial Statement.” If the decommissioning and rehabilitation plans lack specificity, disagreement about scope, timing and acceptable standards could arise; the EP Act’s regulatory process may supply the required detail but could also be a source of compliance dispute.

Indemnity duration and calculation (cl 4(7)(c))

• the indemnities persist for “a period ending on the date which is 20 years after: (i) the date agreed between the State and the Joint Venturers; or (ii) if the parties fail to agree a date under paragraph (i), the date determined by the State.” This unilateral fallback to a State determination in the absence of agreement could be a point of leverage or contention; clarify the process, criteria and dispute resolution for setting that date.

Port tenure and easements at “commercial rental” (cl 4(3)(e)(v))

• the agreement requires easements to be at commercial rental, but does not define market rent benchmarks or mechanisms to determine rent. Disputes over what is “commercial” could affect ongoing costs and valuations of the Joint Venturers’ operations.

Effect on third‑party operators (cl 4(3)(e)(i))

• works constructed by PEP Joint Venturers and others are acknowledged and will continue to operate; however, new tenement holdings, surrenders and corridor agreements can impact third‑party access rights. Ensure contractually that third‑party operators have effective tenure or licence protections to avoid operational disruption.

Record‑keeping and registration obligations (cl 4(3)(f))

• the requirement for an endorsement in the mining register under s 103F of the Mining Act makes the registry a critical compliance node. Failure to obtain correct endorsements could expose parties to disputes over title and rights. Confirm the exact register entries required and monitor registration.

In short, the “gotchas” that practitioners must watch are timing and registration sequencing, fiscal and duty ambiguity, subjective standards that invite disagreement, ministerial concurrence bottlenecks, environmental plan detail and indemnity period setting. Each of these points is grounded in particular clauses of Schedule 1 and could delay or complicate the practical transfer and reallocation of rights.

Compliance under the ratified termination agreement requires coordinated legal, administrative and project actions across mining tenement processes, environmental approvals, port tenure instruments and inter‑party documentation. Below is a practical compliance checklist for each principal actor, grounded in the Schedule clauses.

For the Company (BHP Billiton Direct Reduced Iron Pty. Ltd.)

1. Lodge transfer applications for the Boodarie GPLs under the Mining Act promptly after the Operative Date, and track registration status (Schedule 1, cl 4(3)(c)(i)). Transfers must be registered to trigger several downstream obligations.
2. Prepare to unconditionally surrender the Surrender GPLs once transfers are registered (cl 4(3)(c)(ii)(A)). Ensure surrenders are properly documented and lodged with the mining registry.
3. Facilitate grants of leases and licences under the Land Administration Act for third‑party plant and facilities identified in the schedules, including surrendering portions of Boodarie GPLs where required to enable these leases (cl 4(3)(e)(ii)(A)(I)-(II)).
4. Coordinate with the Port Authority regarding the Utah Jild lease and any transitional arrangements; prepare for surrender of the Utah Jild lease and transitions to a Port Authorities Act lease in the Joint Venturers’ name (cl 4(4)(b)-(c)).
5. Preserve evidence and records of historical operations, environmental plans, monitoring data and indemnities to address any antecedent breach claims preserved by cl 4(2).
6. Keep an inventory of the Surrender GPLs and ensure all requisite registration, stamping and duty steps are completed in cooperation with the State (note the “notwithstanding s 276 Duties Act” phrasing in cl 4(3)(c) , clarify fiscal arrangements with the State).

For the Joint Venturers (BHP Billiton Minerals Pty. Ltd., Mitsui, Itochu)

1. After submission and registration of transfers under the Mining Act, accept Boodarie GPLs and ensure the Boodarie GPLs are held and used pursuant to the Mount Goldsworthy Agreement (cl 4(3)(c)(i)).
2. Prepare and implement decommissioning and rehabilitation plans in accordance with the EP Act and the Ministerial Statement, and be ready to perform decommissioning and removal of Company plant and facilities as required (cl 4(5)). Coordinate closely with the Department of Environment and relevant Minister to secure the s 38(7) nomination or its practical consequences.
3. Unconditionally surrender portions of the Boodarie GPLs listed in Schedule C and any further areas specified under Schedule D where necessary (cl 4(3)(c)(ii)(B), Schedule C and D).
4. Provide the indemnities to the State described in cl 4(7) and establish reserves or insurance arrangements covering third‑party claims and the indemnity exposure for up to 20 years after the agreed completion date (cl 4(7)(a)-(c)).
5. Use “best and continuing endeavours” to identify and agree the Boodarie Industrial Estate Corridor Area and facilitate establishing the corridor, surrender GPLs where appropriate, and facilitate future infrastructure access on reasonable terms and conditions (cl 4(3)(e)(iii)-(iv)). Document negotiation positions, consents and any commercial terms agreed.
6. Apply for and obtain easements or leases from the Port Authority in accordance with cl 4(3)(e)(v) and 4(4)(c); plan for commercial rental payments and budget accordingly.

For the State and Ministers

1. Cause the necessary Bill to be introduced and secure its passage, noting the timeframes originally contemplated in the Schedule (cl 3(1)-(3)) , the Act provides ratification via s 22, and the compilation table records commencement.
2. Cause the Boodarie GPLs to be transferred to the Joint Venturers and registered under the Mining Act, “notwithstanding section 276 of the Duties Act 2008” (cl 4(3)(c)). Clarify the administrative or fiscal treatment with Treasury and the Office of State Revenue to avoid unanticipated duty issues.
3. Make the register endorsement under s 103F of the Mining Act that the provisions of the subclause apply to the Boodarie GPLs (cl 4(3)(f)). Coordinate registries to ensure the endorsement appears and is consistent with transfer records.
4. Cause the Port Authority to grant leases and easements under the Port Authorities Act in accordance with the agreement and ministerial approvals (cl 4(3)(e)(v) and cl 4(4)(c)). Ensure Ministerial concurrence is obtained where specified.
5. Manage ministerial concurrence and condition‑making processes under the Mining Act where the Minister for Mines may make or vary conditions with the concurrence of the Mount Goldsworthy Agreement Minister (cl 4(3)(d)). Document the record of concurrence decisions to underpin any subsequent administrative actions.
6. Where the agreement anticipates State facilitation (for example, granting tenure or providing tenure to Joint Venturers after surrender), plan and execute the necessary administrative transactions to avoid gaps in tenure that could interrupt operations (cl 4(3)(e)(iii)(B)).

For regulators and registries (Mining Registrar, Port Authority, Lands Department)

1. Process transfer applications and register tenement transfers and surrenders promptly in accordance with Mining Act procedures, noting the linkage between registration and contractual effects in the Schedule (cl 4(3)(c)).
2. Enter the endorsement in the mining register under s 103F that the subclause provisions apply to the Boodarie GPLs (cl 4(3)(f)).
3. Process leases and easements under the Port Authorities Act and register instruments under the Transfer of Land Act as required, ensuring instruments reflect “commercial rental” and other ministerially approved terms (cl 4(3)(e)(v)).
4. Liaise with the Department responsible for environment approvals to record nominations under s 38(7) of the EP Act and to ensure compliance frameworks for decommissioning and rehabilitation plans are clear and enforceable (cl 4(3)(b), cl 4(5)).

Documentary checklist and risk items to satisfy before operational change

• obtain certified copies of Mining Act transfer and surrender registrations and the s 103F endorsement (cl 4(3)(c)(i), cl 4(3)(f));
• ensure records of the Minister for Environment’s s 38(7) nomination for the Ministerial Statement are on file and that responsibility transfer documentation is complete (cl 4(3)(b));
• ensure the Utah Jild lease surrender and Port Authority lease grant are executed and registered under the Transfer of Land Act with terms approved by the Minister responsible for the Port Authorities Act (cl 4(4)(b)-(c));
• confirm fiscal treatment of transfers under the Duties Act with state revenue authorities (cl 4(3)(c));
• secure insurance and financial provisioning for the Joint Venturers’ indemnity exposure and environmental rehabilitation obligations (cl 4(7), cl 4(5));
• prepare and lodge decommissioning and rehabilitation plans consistent with the Ministerial Statement’s clause 8 requirements and with the EP Act’s regulatory expectations.

Record timing and authority points

• Operative Date is the day after the ratifying Bill commences operation (Schedule 1, cl 3(4)); the Act’s commencement provisions (s 2(b)) and the compilation table show Part 7 Division 1 commenced 15 December 2011 in the promulgation as provided.
• Any discretionary ministerial approvals, conditions and concurrence steps must be documented and the decisions recorded in ministerial files to produce an auditable implementation trail required by the agreement (cl 4(3)(d), cl 4(3)(e)(v)).

In all compliance steps, align contractual performance with the statutory and registry requirements specified in the Schedule: many of the Schedule’s obligations are conditional on registration events, Ministerial approvals or surrender steps. Document each step, confirm registrations, and secure ministerial decisions in writing to avoid downstream disputes.
