International Interests in Mobile Equipment (Cape Town Convention) Rules 2014

The International Interests in Mobile Equipment (Cape Town Convention) Rules 2014 (the Rules) establish the administrative machinery for creditors to enforce aircraft repossession and export rights under the Cape Town Convention and its Aircraft Protocol, as implemented in Australia by the International Interests in Mobile Equipment (Cape Town Convention) Act 2013. The Rules are a delegation of the Minister’s rule-making power under section 10 of that Act. They do not create new substantive rights; they operationalise the Convention’s Article XIII mechanism that allows a registered owner of an aircraft (the debtor) to grant an irrevocable de-registration and export request authorisation (IDERA) to a creditor. Once an IDERA is recorded on the Australian Civil Aircraft Register, the creditor or its certified designee can demand that the Civil Aviation Safety Authority (CASA) de-register the aircraft and co-operate in its export, without the owner’s further consent. The Rules also permit the creditor to nominate a certified designee confirmation letter (CDCL), which delegates the de-registration and export authority to a third party (normally a repossession agent or servicer). Critically, the Rules impose a gatekeeping condition: a de-registration request must be accompanied by a written certification that either no registered interest ranks in priority to the creditor’s international interest, or if a higher-ranking interest exists, its holder has consented to de-registration and export. This places the onus on the creditor to verify priority before CASA acts. The Rules also fix modest fees for each step: $137 for recording an IDERA, $112 for a CDCL, $112 for removing an IDERA, $100 for removing a CDCL, and $73 for processing a de-registration request. These fees are payable in advance; CASA must not act until the fee is tendered. The Rules therefore convert an abstract international treaty right into a cheap, fast, administrative procedure that bypasses Australian court proceedings for repossession of large commercial aircraft - but only for creditors who comply strictly with the paper and certification requirements.

IDERA (Irrevocable De-registration and Export Request Authorisation) is a standard-form document, set out in Schedule 1, signed by the registration holder (the debtor) in favour of a named creditor. The IDERA states that the creditor (or its designee) is the sole person entitled to procure de-registration of the aircraft from the Australian register and to procure its export and physical transfer from Australia. It is irrevocable without the creditor’s written consent. The IDERA itself is a private instrument, but it has no effect on CASA unless and until it is recorded on the register under rule 4.

CDCL (Certified Designee Confirmation Letter) is a document, set out in Schedule 2, by which the authorised party (the creditor) appoints a certified designee to exercise the IDERA rights. The CDCL is recorded on the register and, once recorded, the designee (not the creditor) becomes the person who can make de-registration and export requests to CASA. This allows creditors to delegate enforcement to specialist repossession firms or lessor agents without having to amend the IDERA itself.

Protocol object means any airframe or helicopter that is registered on the Australian Civil Aircraft Register under Part 47 of the Civil Aviation Safety Regulations 1998. The accompanying notes clarify that the Protocol only applies to airframes type-certificated to transport at least 8 persons (including crew) or goods over 2,750 kilograms, and helicopters certified for at least 5 persons or goods over 450 kilograms. Smaller aircraft are not covered. Aircraft used in military, customs or police services are excluded from the Protocol, but the Rules add a nuance: the exclusion applies only where the registration holder itself uses the aircraft in those services - so a privately owned aircraft leased to a military operator may still fall within the Rules.

Registration holder is the person in whose name the aircraft is registered on the Australian Civil Aircraft Register. Only that person can sign an IDERA. The registration holder is typically the debtor/lessee/owner, but the trigger for de-registration rights is the recording of the IDERA, not the underlying security interest.

Authorised party is the creditor named in the IDERA. That creditor can then record a CDCL to appoint a designee.

Certified designee is the person named in a recorded CDCL who alone can exercise the de-registration and export request rights under rule 8.

The Rules directly affect three categories of parties: aircraft financiers and lessors (creditors), airline operators and aircraft owners (debtors/registration holders), and CASA as the implementing agency. They also indirectly affect any other party with a registered interest in a Protocol object, such as prior-ranking mortgagees, lessors, or security trustees.

For creditors, the Rules offer a low-cost and rapid enforcement mechanism. Instead of seeking a court order for possession and de-registration - which could take weeks or months - a creditor with a recorded IDERA can trigger de-registration within five working days of making a proper request, provided the priority certification is accurate. This dramatically reduces the cost and delay of repossessing an aircraft in Australia, making Australian-registered aircraft more attractive as collateral in international financing transactions. The downside is that creditors must carefully manage the IDERA recording process before any default: they need the registration holder’s voluntary signature, and they must ensure no other IDERA is recorded for the same aircraft (rule 4(2)(b)). If a debtor refuses to sign an IDERA, the creditor cannot force it; the IDERA is a voluntary grant.

For debtors (registration holders), signing an IDERA is a significant concession. Once recorded, the IDERA is irrevocable - the debtor cannot unilaterally withdraw it (rule 6 confirms removal only at the request of the authorised party, or with consent of the CDCL holder). This means the debtor effectively pre-approves the creditor’s right to deregister and export the aircraft on default, without any further court involvement. The debtor’s only protection lies in controlling the initial decision to sign, and in the certification condition: if the creditor certifies falsely about priority, the debtor may have remedies for misrepresentation or breach of contract.

For CASA, the Rules impose mandatory, time-bound administrative duties. Rule 4(2) says CASA “must” record the IDERA if the conditions are met; rule 5(2) says CASA “must” record the CDCL; rule 8(3) says CASA “must” de-register within 5 working days. This is a sharp departure from usual administrative discretion. CASA cannot refuse a compliant request, and must act quickly. The only ground for refusal is failure to meet the preconditions: a missing signature, a conflicting IDERA, lack of certification, or unpaid fee. The Rules also require CASA to approve forms under rule 9(1) and to countersign and return original copies of IDERAs and CDCLs within 5 working days of recording. This gives CASA a non-discretionary, clerical role.

CASA’s duties are the core of the Rules. Under rule 4(2), on receiving a compliant request from the registration holder, CASA must record the IDERA on the Australian Civil Aircraft Register “as soon as reasonably practicable” and return a countersigned original copy within 5 working days. Under rule 5(2), CASA must similarly record a CDCL on request of the authorised party, subject to the same time frame. Under rule 6(2), on request of the authorised party (with appropriate consents if a CDCL exists), CASA must remove the IDERA recordation. Under rule 7(2), on request of the certified designee, CASA must remove the CDCL. Under rule 8(3), when a compliant de-registration request is received within the IDERA regime, CASA must de-register the aircraft within 5 working days (a tighter time frame than the general “as soon as practicable” for recording) and must “expeditiously co-operate with and assist” in export, subject to aviation safety laws. These are duties, not discretions. CASA cannot impose additional conditions beyond those in the Rules. However, rule 10(2) gives CASA a right to refuse to act if the fee has not been tendered - that is a permissive non-absolute precondition: it says “must not act … unless the fee … has been tendered”.

Rights of the registration holder: The registration holder has the right under rule 4(1) to request recording of an IDERA. This is a right, not a duty - the holder may choose whether or not to sign and submit the IDERA. Once it is recorded, the holder loses the right to revoke it unilaterally. The holder also has no right under the Rules to request removal of the IDERA; only the authorised party (creditor) can request removal, and only if no CDCL is recorded or if the CDCL holder consents (rule 6(1)). This asymmetry is deliberate.

Rights of the authorised party (creditor): The creditor has the right to record a CDCL under rule 5(1), to remove the IDERA under rule 6(1) (subject to CDCL holder consent if one exists), and to request de-registration and export under rule 8(1). But rule 8(1) states that if a CDCL has been recorded, the request must be made by the certified designee, not the creditor. So the creditor’s de-registration right is contingent on no CDCL being in place, or on the designee acting on the creditor’s behalf.

Rights of the certified designee: The designee has the right to request removal of the CDCL under rule 7(1). The designee also has the exclusive right (once CDCL recorded) to request de-registration under rule 8(1). The designee must make the same priority certification under rule 8(2) as the creditor would have to.

The Rules themselves do not create any criminal offences or civil penalties for non-compliance. Enforcement of the Rules is primarily through CASA’s administrative duties: if CASA fails to record an IDERA or to de-register within the time frames, the aggrieved party could seek judicial review (e.g., mandamus to compel performance) or potentially claim damages under the Act or general law for breach of statutory duty. The Rules give CASA no discretion; failure to act on a compliant request is likely a breach of a statutory obligation, though the Rules themselves are subordinate legislation made under the Act.

False certification under rule 8(2) carries no specific penalty in the Rules. However, making a false statement to a Commonwealth official could attract criminal liability under the Criminal Code (s 137.1 - false or misleading information). If the certification is made in an approved form that is a Commonwealth document, the signatory may be liable for an offence punishable by up to 12 months imprisonment. Additionally, misrepresentation may give rise to civil claims by the affected prior-ranking interest holder (e.g., for damages, conversion, or breach of contract). The Rules also do not provide for CASA to investigate the truth of the certification; CASA acts on the face of the request.

Removal of recordings is left to the voluntary request of the right-holder. There is no mechanism in the Rules for a debtor or third party to petition CASA to remove an IDERA that was improperly recorded. If an IDERA was recorded without a valid signature (e.g., forged), the debtor would need to seek a court order and then presumably request CASA to remove it. The Rules do not give CASA any power to cancel a recording on its own motion.

Failure to pay fees results in CASA’s refusal to act, but no penalty beyond that. The fee schedule is fixed; there is no late payment penalty or interest.

Export co-operation by CASA is qualified: it must act consistently with civil aviation safety laws. If CASA determines that assisting export would breach safety regulations (e.g., the aircraft is unsafe to fly, or export requires a permit it cannot issue), it may limit co-operation. The Rules do not create an enforceable right to export if safety laws forbid it; the creditor or designee may need to seek alternative remedies.

International enforcement: The underlying Convention and Protocol provide for specific performance and speedy relief in contracting states. If Australia (through CASA) fails to honour its obligations under the Protocol, the creditor could invoke state-to-state dispute resolution under the Convention, but that is beyond the scope of the Rules.

The Rules sit within a larger legislative framework. They are made under the International Interests in Mobile Equipment (Cape Town Convention) Act 2013 (the Act), which gives domestic legal force to the Convention and Protocol. The Rules themselves do not reproduce the substantive rights of the Convention; they only deal with the Australian administrative procedure for IDERAs and CDCLs. A person seeking to enforce an international interest must also rely on the Act and the Convention’s provisions on default remedies, priorities, and relief pending final determination.

The Rules explicitly interact with civil aviation safety legislation: the Civil Aviation Act 1988 (CAA), the Civil Aviation Regulations 1988 (CAR), and the Civil Aviation Safety Regulations 1998 (CASR). The definition of “Protocol object” is tied to Part 47 of CASR, which governs aircraft registration. The Rules’ de-registration mechanism is exercised through CASA’s power to cancel registration under Part 47 (note to rule 3(2)(c)). This means that de-registration under the Rules must still comply with Part 47 procedural requirements, but the Rules set a separate triggering condition (the IDERA request) that overrides the usual cancellation process. There is a potential conflict: if Part 47 requires notice to the registration holder before cancellation, the Rules may be read as providing an exception; the note clarifies that the power to de-register may be “discharged” by cancellation under Part 47, suggesting the two regimes align.

The Rules also refer to the Privacy Act 1988. Rule 9(3) permits CASA to use and disclose personal information in an IDERA or CDCL for recording and for making the register publicly accessible. This overrides the general Privacy Act prohibition on disclosure without consent, but only for those specific purposes. CASA must still comply with the Privacy Act in handling the information outside that scope.

The Rules interact with the Personal Property Securities Act 2009 (PPSA) indirectly. The Convention and Protocol create an independent international interests regime that operates alongside domestic personal property securities law. In Australia, the Act declares that the Convention has the force of law, and international interests registered under the Convention are recognised. However, the Rules do not address priorities between PPSA security interests and Convention international interests; that is left to the Act and the Convention. The certification under rule 8(2) requires the creditor to account for “registered interests” that rank in priority to the international interest - this would include both Convention-registered interests and potentially PPSA-registered interests if they relate to the aircraft. The Rules do not define “registered interest” in that context, creating uncertainty about whether a PPSA registration (which covers many types of collateral) counts as a registered interest for priority purposes. Prudent creditors would obtain PPSA search results and, if necessary, the consent of any prior PPSA secured party.

The source text provided is the original Rules as made by the Minister for Infrastructure and Regional Development on 25 November 2014, commencing on the commencement of section 3 of the Act. No amending instruments are included in the source. The Rules do not contain any amendment history notes. The fee schedule in Schedule 3 reflects 2014 dollar amounts; it is plausible that fees have been indexed or adjusted by later amending rules, but the source does not disclose that. Users should verify the current fee schedule on the Federal Register of Legislation. Similarly, the forms in Schedules 1 and 2 may have been updated by CASA under rule 9(1), which permits CASA to approve forms; such approvals are disallowable legislative instruments or administrative decisions, but they would not necessarily amend the Rules themselves. The substantive provisions - rules 1 through 10 - appear unchanged on their face. However, without consulting current consolidated text, one cannot rule out later amendments to definitions (e.g., cross-references to CASR Part 47 may have been updated if Part 47 was renumbered). The note about “airframe” and “helicopter” referencing Article 1 of the Protocol suggests that any amendment to the Protocol could affect the definition of Protocol object, but the Rules incorporate the Protocol “as amended and in force for Australia from time to time” (rule 3(1)), so changes to the Protocol automatically flow through without amending the Rules.

The commencement provision (rule 2) ties the Rules to the commencement of section 3 of the Act. That section presumably commenced on a date proclaimed or on a fixed date; the Rules have no independent commencement date. The Rules also rely on the Act and the Convention being in force for Australia; any amendment to the Act or termination of the Convention would affect the Rules’ operation.

The Rules themselves are not a source of primary rights; they are procedural. As such, there is little reported litigation directly on the Rules. The source text does not mention any judicial decisions. More broadly, the Convention and Protocol have generated some case law internationally, particularly regarding the interpretation of “irrevocable” and the interaction with domestic insolvency law. In Australia, the Act and Rules are relatively recent and have not been heavily litigated. Creditors have an incentive to use the IDERA procedure because it avoids court, so disputes are likely to arise only when CASA refuses to act, when a debtor challenges the validity of an IDERA recording, or when a prior-ranking interest holder alleges false certification.

Potential grounds for litigation under the Rules include:

• Whether a certification under rule 8(2) was false, and what remedies the injured party has.
• Whether CASA’s refusal to record an IDERA (e.g., claiming the signature was not authentic) was lawful.
• Whether CASA’s export co-operation duty is broader than it claims, or whether safety laws genuinely prevent cooperation.
• Whether a particular aircraft is a “Protocol object” (e.g., interpretation of “type certificated to transport at least 8 persons”).
• Whether the exclusion for military/customs/police use applies where the registration holder is not the user.
• Whether the “no other IDERA” rule prevents a creditor from recording a second IDERA after the first has been removed or expired.

Because the Rules impose strict time frames (5 working days for de-registration), any litigation would need to be expedited. The Convention itself encourages courts to provide speedy relief. In practice, most enforcement occurs without litigation, as debtors rarely oppose a properly documented IDERA demand. The low fees also reduce the incentive for CASA to resist. The absence of reported litigation may indicate the regime is functioning without conflict, but it also means there is little judicial guidance on ambiguities such as the meaning of “registered interest” in rule 8(2) or the extent of CASA’s safety override.

1. The IDERA must be recorded before it is effective. An IDERA signed by the debtor but not recorded on the Australian Civil Aircraft Register gives the creditor no right to demand CASA action. Recording requires a request from the registration holder (the debtor), not the creditor. The creditor cannot record the IDERA itself; it must rely on the debtor to submit it. This is a critical catch: if the debtor refuses to submit after signing, the IDERA is a dead letter. Prudent creditors should insist that the debtor submit the IDERA to CASA immediately upon signing, or include a power of attorney allowing the creditor to submit it. The Rules do not require the request to come from the debtor personally; they say “the registration holder may request”. The creditor could hold a signed IDERA as agent for the holder, but that agency may be contested.

2. Only one IDERA per aircraft. If a debtor grants IDERAs to two different creditors, the second one cannot be recorded (rule 4(2)(b)). This creates a first-in-time race. Creditors should record as soon as possible. In syndicated deals, only one creditor can be the authorised party; the others must rely on contractual rights against the authorised party. The IDERA form in Schedule 1 requires the name of a single authorised party.

3. The certification under rule 8(2) is mandatory and must be in an approved form. The wording is strict: “the authorised party or the certified designee … must certify in writing, in the approved form”. The form may require additional statements not in the Rules. If the creditor cannot truthfully make the certification (e.g., because there is a prior-ranking interest that has not consented), the de-registration request cannot be made. Creditors must conduct a priority search before triggering de-registration. This means the IDERA shortcut is not available if the aircraft is encumbered by a prior interest that does not consent.

4. The CDCL, once recorded, extinguishes the authorised party’s right to request de-registration directly. Rule 8(1) says the request must be made by the certified designee if a CDCL has been recorded. This can cause delays if the designee is not contactable or has ceased to act. The authorised party cannot simply bypass the designee; it must first remove the CDCL (with the designee’s consent? Rule 6(1)(b) requires consent for removal of the IDERA if a CDCL exists, but removal of the CDCL itself is at the designee’s request only (rule 7(1)). So the creditor could be stuck if the designee refuses to act or to consent to removal. To avoid this risk, creditors should carefully choose designees and have fallback contractual arrangements.

For a creditor seeking to use the IDERA regime:

Step 1 - Obtain a signed IDERA from the registration holder. The IDERA must be in the form set out in Schedule 1 (or an approved form that is substantially similar). The registration holder must sign it. The IDERA names the authorised party (the creditor). Ensure the aircraft is correctly identified by manufacturer, model, serial number, and registration mark.

Step 2 - Submit a request to CASA to record the IDERA. The request must be in the approved form (CASA will have approved a form under rule 9(1)). Attach the signed IDERA and pay the $137 fee (Schedule 3, item 1). The request must be made by the registration holder, but the creditor can facilitate. Before submitting, check that no other IDERA is recorded for that aircraft; if one exists, this IDERA cannot be recorded. CASA must record “as soon as reasonably practicable” and return a countersigned original within 5 working days.

Step 3 - If desired, record a CDCL. The authorised party (now the creditor) submits a request in approved form, attaching a signed CDCL (Schedule 2 form) appointing a certified designee. Pay $112 fee (item 2). Ensure no other CDCL exists for that IDERA. CASA records and returns countersigned copy within 5 working days.

Step 4 - On default, prepare to exercise de-registration rights. First, determine whether a CDCL is recorded. If yes, the certified designee must make the request; the creditor cannot. If no CDCL, the authorised party (creditor) can make the request.

Step 5 - Conduct a priority search. Before making the de-registration request, the requesting party must be able to certify under rule 8(2) that either (a) no registered interest ranks in priority to the creditor’s international interest, or (b) any such higher-ranking interest holder has consented. “Registered interest” is not defined in the Rules but likely includes interests registered under the Convention (international interests, registered assignments, subordinations) and possibly under the PPSA or under the Aircraft Act. Obtain a search of the Australian Civil Aircraft Register for recorded interests, and a PPSR search. If any prior interest appears, obtain written consent from that holder to the de-registration and export. Document the consent.

Step 6 - Submit the de-registration request. Use the approved form under rule 8(1). Attach the written certification under rule 8(2). Pay the $73 fee (item 5). CASA must de-register within 5 working days. CASA will also co-operate in export, but the requesting party should separately coordinate export logistics, customs, and airworthiness requirements.
