Industry Research and Development Regulations 2022

The regulations rely on and operationalise several recurring concepts from the Act and related tax legislation; the instrument itself defines or refers to these concepts and sets out how they are to be evidenced.

Research field: The regulations fix the meaning of “research field” in subsection 4(1) of the Act by specifying fields as those in the Australian and New Zealand Standard Research Classification (ANZSRC) 2020 as it existed when the instrument commenced (1.06). Practically, that ties eligibility and scope questions to the ANZSRC taxonomy rather than to free-text descriptions.

R&D entity, core R&D activities and supporting R&D activities: The instrument presumes the Act’s definitions of these terms (1.05 note). The forms and certificates repeatedly require applicants to state whether an activity is, in their opinion, a core or supporting R&D activity and to identify which core activities a supporting activity relates to (4.03(4), 4.04(b)-(c), 4.05(a)-(b)). These labels determine which tests under ITAA 1997 (for example s 355‑25 for core activities and s 355‑30 for supporting activities) the entity must address in its application material (4.04(b)(ii), 4.05(a)(ii)).

Board findings and certificates: The Board makes findings under the Act (advance findings, findings about overseas activities, and findings about technology). The regulations specify the content of the certificates that record those findings (Part 2, sections 2.01-2.04). For advance findings the certificate must include the income years for which the finding binds the Commissioner under s 355‑705 of the ITAA 1997 (2.02(f)), explicitly linking Board findings to the tax treatment of R&D expenditure.

Research service provider and research service provider (levy collecting): The instrument defines “research service provider (levy collecting)” for providers that collect levies to fund services under agreement with government (1.05). It sets a differentiated set of criteria and obligations for ordinary providers (3.01(2)-(5)), publicly controlled providers (3.01(6)), and levy-collecting providers (3.01(7)-(8)). The levy-collecting variant triggers reporting and transparency obligations to contributors and to the Board (3.01(7); 3.02(3)).

Fees and commercial terms: For entities that charge fees the regulations require fees to be on “ordinary commercial terms”, or if not, to be neither subsidised by government nor inflated to exploit the tax incentive (3.01(3)). That wording sets behavioural constraints on pricing and creates an evidentiary standard that the Board must be satisfied about for registration.

Employment and facilities threshold: As a general rule, non-publicly‑controlled, non-levy-collecting research service providers must have access to appropriate facilities in Australia and must employ at least one full‑time Australian-qualified researcher and four additional full‑time or FTE researchers who each meet qualification or research-experience thresholds (3.01(4)-(5)). There is an allowance for entities to meet that employment requirement “in the near future”, with an example provided (3.01(4) and the accompanying example).

Subcontracting constraints and control: Entities that will subcontract must be able to manage subcontracting and to explain subcontractor results to R&D entities (3.01(2)(b)). Registration conditions restrict subcontracting so that the research service provider only subcontracts if it is providing part of the services and cannot provide the remainder itself (3.02(2)(i)). The provider must ensure each R&D entity owns or has a right to use all results, including subcontractor results (3.02(2)(f)).

Records, reports and confidentiality: The regulations require separate financial records for each R&D activity (3.02(2)(e)), record retention and availability on request to the Board (3.02(2)(g)), an annual report in a form approved by the Board (3.02(2)(h)), and contractually framed confidentiality and information security obligations (3.02(2)(c)). Levy-collecting providers have additional reporting obligations to contributors and to the Board about levy utilisation and apportionment between core and supporting R&D (3.01(7)-(8); 3.02(3)).

Forms, evidentiary thresholds and reasonableness: The instrument prescribes the contents of approved forms and limits the Board’s ability to request information by requiring that forms for further information only require information that is reasonable or necessary for the Board’s decision (4.06). The forms require identification, aggregated turnover, declarations about tax status, expenditure estimates and, for overseas activities, explanation supported by evidence or independent opinion of why the overseas activity cannot be done solely in Australia (4.02-4.05).

Interaction with tax law and the Commissioner: The regulations repeatedly reference ITAA 1997 provisions (for example, the definitions in Division 355 and that advance findings bind the Commissioner under s 355‑705) and require forms and certificates to contain material relevant to the Commissioner’s treatment of R&D tax offsets (2.02(f); notes in 3.02(2)(j)). Thus the regulations function as a bridge between the Board’s administrative findings and the tax administration of R&D incentives.

The instrument creates or clarifies duties and evidentiary burdens for a defined set of actors. Those actors are identifiable from the text and the cross-references to the Act and ITAA 1997.

R&D entities: Any R&D entity seeking registration under the Act, whether a head company or a subsidiary member of a consolidated or MEC group, is directly affected. Forms for registration must include specific information: ABN/ACN/ARBN, aggregated turnover, declaration about R&D entity status under ITAA s 355‑35, expenditure by income year and, where relevant, subsidiary details (4.02(2)-(4); 4.03). R&D entities are the subjects of Board findings and certificates (Part 2), and must maintain records to substantiate conducting of activities and to make declarations in registration applications (4.03(1)(d)).

Head companies and subsidiaries: Where a head company of a consolidated group or MEC group did not itself conduct an activity, the forms must identify the subsidiary that conducted the activity or had services provided in relation to the activity (4.02(3)-(4); 2.01(c)). The instrument therefore places an identification and disclosure burden on head companies when they seek registration for activities conducted by subsidiaries.

Research service providers: Entities seeking registration as research service providers are materially affected by the criteria (3.01) and registration conditions (3.02). This includes private contract research organisations, tertiary institution-controlled entities, and government research organisations. The instrument imposes personnel, facilities and fee-related requirements, management and reporting obligations, confidentiality duties, record keeping and restrictions on subcontracting (3.01-3.02).

Levy-collecting providers and contributors: Entities that collect levies from R&D contributors under government agreements to fund R&D services are captured by the “research service provider (levy collecting)” category (1.05; 3.01(7)). Levy-collecting providers must make results available to contributors and report on the use of levies and their apportionment between core and supporting activities (3.01(7)-(8); 3.02(3)). Contributors (R&D entities within that industry) will be affected insofar as they receive disclosure and apportionment ratios and may rely on those ratios when registering activities (4.03(2)-(3)).

Cooperative research centres and their partners: The regulations allow these entities, and partners of cooperative research centres, to make applications for advance findings on behalf of R&D entities (4.01), and specific form requirements capture cooperative research centre involvement (4.03(1)(c)).

Government research organisations and tertiary institutions: The regulations treat entities owned and controlled by Australian tertiary institutions or government research organisations differently. Such controlling institutions must themselves be research service providers and must make their personnel and facilities available to the controlled entity for registration eligibility (3.01(6)). The instrument expressly lists three government research organisations in 3.01(9): Australian Institute of Marine Science; Australian Nuclear Science and Technology Organisation; Commonwealth Scientific and Industrial Research Organisation. Those organisations are examples for the definition of “government research organisation” and therefore fall within the special regime.

The Board and the Commissioner: The Board is the decision-maker for registration and findings and the recipient of reports and certificates (numerous provisions in Parts 2-4; 3.02(2)(h)). The regulations make clear that certain Board findings bind the Commissioner for tax purposes (2.02(f) referencing s 355‑705 of the ITAA 1997), linking the Board’s administrative actions to tax outcomes.

Subcontractors and service suppliers: Entities that are subcontracted by research service providers are indirectly affected because the provider must be able to manage subcontracting, explain subcontractor outputs to R&D entities, and ensure R&D entities own or have rights to results including subcontractor results (3.01(2)(b); 3.02(2)(f), (i)).

Practitioners and advisors: Lawyers, accountants, tax advisers and compliance officers advising R&D entities and research service providers will be affected in practice because the regulations set the detail of the documentation, declarations and records necessary both to obtain Board findings and to support tax claims under Division 355 of the ITAA 1997 (4.02-4.05; references to ITAA provisions). The forms' prescribed content will guide due-diligence and compliance programs.

Members of consolidated groups and MEC groups: The regulations impose identification obligations where applications involve head companies and subsidiaries (4.02(3)-(4), 2.01(c)). This affects group internal reporting and allocation of expenditure.

In short, the regulations affect those seeking to participate in the R&D incentives framework,R&D entities, various kinds of research service providers (including levy-collecting bodies), cooperative research centre actors, and the Board and Commissioner as administrative actors. They also shape the obligations of subcontractors and influence the document flows to advisers who prepare applications and supporting materials.

The regulations articulate precise documentary duties and operational conditions for research service providers, application form content and Board certificates. They do not create new tax entitlements; rather they require particular kinds of evidence, disclosures and institutional arrangements.

Duties of research service providers (registration criteria and conditions)

• Capability and scope: Entities must be able to provide services in the research fields for which they apply (3.01(2)(a)). They must show intention to provide services to unrelated third parties (3.01(2)(c)). These are pre-registration screening criteria.
• Subcontracting management: If subcontracting will occur, the entity must be able to manage the subcontract and to understand and explain subcontractor outputs to R&D entities (3.01(2)(b)). Post-registration, subcontracting is constrained so the provider may subcontract only if it is providing part of the services and cannot provide the remainder (3.02(2)(i)).
• Fees and pricing: If the entity charges fees, those fees must be based on ordinary commercial terms, or alternatively must neither be subsidised by government nor inflated to exploit the tax incentive for R&D activities (3.01(3)). Registration assessment will involve demonstrating compliance with this standard.
• Facilities and employment: Unless publicly controlled or levy-collecting, an applicant must have access to appropriate Australian facilities suitable for researchers and must meet a personnel threshold: at least one full‑time researcher with an Australian-equivalent science or technology degree plus at least four full‑time (or FTE) researchers each with an Australian-equivalent degree or five years’ relevant research experience (3.01(4)-(5)). The regulation allows near‑future compliance in limited circumstances (3.01(4) example).
• For publicly controlled entities, the controlling tertiary institution or government research organisation must be a research service provider and must make research facilities and personnel available (3.01(6)).
• For levy-collecting providers: arrangements must be in place to make results available to contributors, and to report on levy usage and an apportionment ratio between core and supporting R&D activities (3.01(7)-(8)).

Operational conditions while registered (3.02)

• Best interests and control: Providers must act in the best interests of each R&D entity in contracted services and ensure that the services are controlled by the R&D entity or entities (3.02(2)(a)-(b)).
• Records and confidentiality: Maintain confidentiality and security of information to the extent required under contracts, keep separate financial records for services supplied in relation to each R&D activity, maintain records of services and contracts, and make those records available on request by the Board (3.02(2)(c), (e)-(g)).
• Results ownership: Ensure each R&D entity owns, or has a right to use, all results of services (including subcontractor results) (3.02(2)(f)).
• Management structure: Maintain an appropriate day‑to‑day management structure (3.02(2)(d)).
• Annual reporting: Provide an annual report in a form approved by the Board detailing services provided in the period (3.02(2)(h)).
• Notification of overseas services: If services are provided outside Australia, notify the R&D entity and the Board before the end of the income year (3.02(2)(j)). The regulations note that overseas activity expenditure can only be claimed under Division 355 if covered by a finding under paragraph 28C(1)(a) of the Act (3.02(2) note).

Duties linked to forms and applications

• R&D entity applications and advance findings must include identity information and declarations about eligibility under Division 355 (4.02(2)). They must include aggregated turnover for the relevant income year and a declaration that the information is true and correct (4.02(2)(c)-(d)).
• When a head company applies and did not conduct the activity, the application must identify the subsidiary that conducted the activity, including its ABN/ACN/ARBN, and state head company status (4.02(3)-(4)).
• Registration applications for activities must identify references to advance findings or overseas findings, list services provided by research service providers or CRCs, declare maintenance of substantiating records, state total expenditure, and provide expenditure apportionment and brief descriptions of activities and intended new knowledge (4.03(1), (4)).
• Advance finding applications require detailed descriptions of activities, the anticipated expenditure, and evidence that an activity expected to be carried out will in fact be carried out in the stated income year or the next two income years (4.04(d)-(e)).

Rights and limitations

• Right to request only reasonable or necessary information: Forms used for Board requests for further information can only require information that is reasonable or necessary for the Board’s decision (4.06). This places a limit on the Board’s documentary reach as implemented through forms.
• Binding effect on Commissioner of advance findings: The regulations require that advance finding certificates record the income years for which the finding binds the Commissioner under s 355‑705 of the ITAA 1997 (2.02(f)); this is effectively a recognition that Board findings may have binding effect on the Commissioner’s treatment of tax offset claims for those years.
• Right of the Board to require records and to revoke registration: The Board may request records and revoke registration if conditions are breached, as anticipated by 3.02(1) (note referencing subsection 29H(1) of the Act). The regulations themselves do not prescribe fines, but provide conditions whose breach triggers statutory powers in the Act.

Other practical duties

• Levy-collecting providers must report to contributors an apportionment ratio and details of levy use (3.01(7)(a)-(b); 3.02(3)(a)-(b)). For R&D entities that paid levies, the registration form must require information on how much of the levies paid was used for services and an apportionment between core and supporting R&D activities using the ratio provided by the provider (4.03(2)-(3)).

These duties translate into specific internal compliance tasks for providers and R&D entities: maintain personnel and facilities, design contract clauses ensuring results ownership and confidentiality, keep separate financial records by activity, prepare annual reports in Board-approved formats, assemble evidentiary material for forms (including independent opinions for overseas justification), and implement systems for apportioning levy-funded expenditure between core and supporting R&D.

The regulations are primarily administrative and set conditions and information requirements; they reference and trigger enforcement powers found in the Act rather than creating new statutory penalties. The enforcement mechanisms and practical compliance consequences in the instrument are as follows.

Revocation of registration

• The instrument makes explicit that registration as a research service provider is subject to specified conditions and notes that a breach of a condition may result in the Board revoking registration under subsection 29H(1) of the Act (3.02(1) note). The text does not itself specify fines or criminal penalties for breaches; revocation is the principal administrative sanction contemplated in the regulations.

Information and record production

• Research service providers must maintain records of services provided for each R&D entity, including fees charged and contracts, and make those records available on request by the Board (3.02(2)(g)). Failure to produce records may trigger compliance action by the Board under the Act’s powers, including possible revocation of registration. The regulations also require annual reports in a Board-approved form (3.02(2)(h)) and additional reporting for levy-collecting providers, with specified timeframes (3.02(3)(c)).

Conditions attaching to registration

• The conditions under 3.02(2), which require acting in the best interests of each R&D entity, control by the R&D entity over services, confidentiality, separate financial records, ownership or use rights of results, subcontracting limits, and notification about services outside Australia, are enforceable through the Board’s registration oversight. Non-compliance is likely to be treated as a breach of conditions enabling revocation.

Tax consequences linked to findings

• The regulations tie the Board’s findings to tax administration: an advance finding certificate must set out the income years for which the finding binds the Commissioner under s 355‑705 of the ITAA 1997 (2.02(f)). This means that Board findings (if properly made) affect the Commissioner’s treatment of R&D tax offset claims. Conversely, a lack of appropriate findings (for example for overseas activities) could remove the ability to claim R&D tax offsets for expenditure on such activities. The instrument explicitly notes that expenditure on an activity conducted outside Australia is only claimable as a tax offset under Division 355 of the ITAA 1997 if the activity is covered by a finding under paragraph 28C(1)(a) of the Act (3.02(2) note).

Form-based limits on information requests

• The regulations limit the Board’s ability to use forms for information-gathering by requiring that forms for further information only request information that is reasonable or necessary for the Board’s decision (4.06). This imposes an administrative constraint that could be invoked in disputes over overbroad requests for information.

Interaction with the Act’s review and appeal provisions

• The instrument prescribes the content of forms for review applications under section 30C of the Act (4.07(1)(f)). If a reviewable decision is made under the Act (for example, a decision to refuse registration or to revoke registration), affected parties may have remedies under the Act’s review provisions; the regulation’s form-prescription ensures that review applications carry the required identifying information.

Indirect compliance consequences

• The regulations’ requirements that fees not be subsidised by government or inflated to exploit tax incentives (3.01(3)(b)), and that levy-collecting providers report apportionments and make results available to contributors (3.01(7)), create transparency obligations that could lead to reputational, contractual or administrative consequences if violated.

What the regulations do not do in terms of enforcement

• They do not themselves create monetary penalties, civil pecuniary penalties or criminal offences. Any sanctions beyond the Act’s registration revocation power must be sought in the Act or in other applicable law. The primary enforcement tool embedded in these regulations is conditioning registration and attaching reporting/record-keeping obligations to that registration so that the Board can exercise its statutory powers (for example revocation under s 29H).

Practitioner implication

• Practical enforcement risk therefore centres on the Board’s oversight and the linkage of findings to tax outcomes administered by the Commissioner. Non-compliance with documentary and operational conditions may prevent registration, enable revocation, or undermine the evidentiary basis for claiming R&D tax offsets (particularly for overseas activities where a Board finding is required to permit claims under Division 355). The regulations give the Board visibility into operations via records and annual reports and give rise to administrative consequences where the Board is not satisfied that conditions are met.

The regulations are designed to operate within, and to support administration of, several existing statutory regimes. The instrument repeatedly cross-references the Industry Research and Development Act 1986 and the Income Tax Assessment Act 1997, and also imports definitions from the A New Tax System (Australian Business Number) Act 1999 and the Corporations Act 2001.

Interaction with the Industry Research and Development Act 1986

• The regulations are explicitly made under the Act (1.03) and implement the Act’s procedural hooks. They specify criteria for registration under subsection 29A(2) and conditions under subsection 29A(3) of the Act (3.01; 3.02). The instrument prescribes the content of certificates that the Board must give when making findings under various Act provisions (Part 2). The Act’s mechanisms, registration of R&D entities, Board findings, and revocation powers under s 29H,are the core statutory backbone, with the regulations setting the documentary and operational detail.

Interaction with the Income Tax Assessment Act 1997 (Division 355 and related sections)

• The regulations repeatedly link Board procedures and certificates to Division 355 of the ITAA 1997. Advance findings are to include the income years for which the finding binds the Commissioner under section 355‑705 of the ITAA 1997 (2.02(f)). Forms must require applicants to state which requirement under section 355‑35 of the ITAA 1997 they meet to be an R&D entity (4.02(2)(b)), and to explain why activities meet the core or supporting definitions in sections 355‑25 and 355‑30 respectively (4.04(b)(ii); 4.05(a)(ii)). The regulations therefore set evidentiary prerequisites for obtaining Board findings that have direct tax consequences. The instrument also explicitly notes that only activities covered by a finding under paragraph 28C(1)(a) of the Act can be claimed as tax offsets under Division 355 when the activity is conducted outside Australia (3.02(2) note). This is a direct procedural gate to Division 355 claims for overseas work.

Interaction with Corporations Act 2001 and ABN legislation

• Definitions of ACN and ARBN are adopted from the Corporations Act 2001 (1.05). The requirement to show intention to provide services to unrelated bodies corporate uses “related bodies corporate” within the meaning of section 50 of the Corporations Act (3.01(2)(c)). Identification and form fields require ABN/ACN/ARBN as identifiers (4.02(2)(a); 4.07). These link registration and application processes to corporate and tax identifiers administered under other Commonwealth Acts.

Interaction with contractual and intellectual property frameworks

• The regulations require that research service providers ensure that R&D entities own, or have a right to use, all results of the services provided, including subcontractor results (3.02(2)(f)). That interacts with private contract law, IP assignment and licensing practices. Providers and R&D entities must structure contracts to ensure ownership/use rights, and those contract terms have to be consistent with the registration condition.

Interaction with other administrative regimes and program definitions

• The instrument references the CRC program definition contained in the ITAA 1997 (1.05) and treats cooperative research centres as actors who may apply for advance findings on behalf of R&D entities (4.01; 4.03(1)(c)). It also defines “government research organisation” and lists specific Commonwealth research agencies (3.01(9)). This situates the regulations within the broader research funding and program landscape, intersecting with other Commonwealth programs and agreements.

Interaction with privacy and confidentiality obligations

• While the regulations impose confidentiality and security obligations on research service providers (3.02(2)(c)), they do not displace statutory privacy regimes such as the Privacy Act 1988. Providers must therefore operate in compliance with both the confidentiality requirements in their contracts and applicable privacy law. The Board’s access to records and reports will need to be managed against any privacy or secrecy protections that apply to particular information.

Interaction with State and Territory arrangements

• Levy-collecting providers operating under Commonwealth, State or Territory contracts or MOUs are brought into the regime (3.01(7)). The instrument therefore anticipates interactions between Commonwealth regulatory requirements and agreements with sub‑national governments, particularly around how levies are reported and how levy-funded services are made available to contributors.

Overall, the instrument serves as an operational bridge tying Board administrative findings to the tax treatment of R&D under Division 355, aligning corporate and tax identifiers and creating contract-sensitive requirements (ownership/use of results). It does not displace the ITAA 1997 or the Corporations Act; rather it creates documentary and procedural conditions necessary to participate in and benefit from the R&D incentives framework under the Act and the ITAA.

The Industry Research and Development Regulations 2022 are a replacing instrument that repeals the previous Industry Research and Development Regulations 2011 and establishes the procedural architecture going forward. The instrument itself contains the following amendment and commencement history details.

Commencement and making

• The instrument is dated 17 March 2022 (header). Regulation 1.02 contains a commencement table that states “the whole of this instrument” commences the day after registration, recorded as 22 March 2022 (1.02(1) and the commencement table). The instrument is made under the Industry Research and Development Act 1986 (1.03).

Repeal of the prior instrument

• Schedule 1 effects the repeal of the whole of the Industry Research and Development Regulations 2011 (Schedule 1, item 1). The instrument therefore replaced the 2011 regulations in their entirety on commencement, subject to transitional provisions.

Transitional provisions and continuity

• Despite the repeal, the instrument preserves certain operative effects of the 2011 regulations for registrations and applications covering financial years ending on or before 30 June 2022. Specifically:
  • For the definition of research field, regulation 1.04 of the repealed 2011 instrument continues to apply for registration of research service providers for financial years ending on or before 30 June 2022, as if the repeal had not happened (5.01).
  • Regulation 3.01 of the 2011 instrument continues to apply, for the purposes of applications for registration as a research service provider for financial years ending on or before 30 June 2022 (5.02).
  • Section 3.02 of the 2022 instrument applies to entities registered as research service providers under section 29A of the Act before or after commencement (5.03).

Content changes compared with prior regulation

• The instrument itself does not contain a summary of the differences between the 2011 and 2022 instruments. The draft provisions show new or continued emphases on ANZSRC 2020 as the research field taxonomy (1.06) and provide detailed content requirements for certificates and forms (Parts 2 and 4), but any authoritative account of the differences must be drawn from a line‑by‑line comparison of the two texts. The instrument’s Schedule 1 effect is simply to repeal the 2011 instrument subject to the transitional continuations indicated in Part 5.

No subsequent amending provisions appear in the instrument text

• The text shows no amending or saving provisions beyond those in Part 5 associated with the repeal and transition. Any later amendments to the 2022 instrument would appear in subsequent legislative instruments or amending regulations and are not contained in the supplied text.

Administrative continuity

• The transitional clauses ensure that applicants and research service providers dealing with registration matters for financial years up to 30 June 2022 could rely on the pre-existing 2011 regulation provisions for certain aspects, preventing a gap or retroactive change for activities already in train at the time of repeal.

Practical note for practitioners

• Practitioners advising clients on registration for financial years straddling the commencement date must account for which regulatory provisions apply to particular applications and financial years. The transitional provisions (5.01-5.03) explicitly preserve some 2011 rules for that limited period; after that period the 2022 regulations apply in full.

The instrument as provided contains no litigation history. It does not cite, refer to, or reproduce any judicial decisions. There are no cases named in the regulations text, and the instrument does not record prior judicial interpretation or disputes. Consequently, from the instrument alone there is no reported litigation concerning the 2022 regulations.

What to infer from the absence of litigation in the instrument

• Regulations as made commonly do not include litigation histories. The absence of cases in the instrument means that users must consult other sources, reported decisions, tribunal records, or administrative determinations,to determine whether questions of interpretation or application have been litigated since commencement. The instrument itself gives the operative text and does not indicate how courts or tribunals have approached the provisions.

Practical implication for advice

• Because the Board’s findings and the forms’ documentary requirements are tied to tax outcomes (for example the binding of the Commissioner under s 355‑705 of the ITAA 1997), litigation and tribunal challenges may arise in disputes about whether an activity qualifies as core or supporting R&D, whether overseas activities satisfy the “significant scientific link” tests, whether fees are “inflated to exploit” tax incentives, or whether a research service provider meets or has breached the conditions of registration. Practitioners should therefore monitor administrative case law and AAT or Federal Court decisions for emerging interpretations on these points. Such monitoring is external to the instrument and not contained in the text provided.

The regulations create several traps-for-the-unwary and friction points that practitioners should surface for clients because they are documentary, evidentiary, timing and contractual in nature. The following are discrete items drawn directly from, and grounded in, the text.

Forms and declarations are prescriptive and signed declarations are required

• Approved forms must include a declaration by an individual acting with the express or implied authorisation of the R&D entity that the information in the application is true and correct at the time of making the application (4.02(2)(d)). False or careless declarations risk administrative rejection, revocation, or degraded evidentiary support for tax claims.

Head company applications must identify subsidiary actors

• If a head company applies but did not itself conduct the activity, the form must identify the subsidiary member that did conduct or will conduct the activity and give that subsidiary’s ABN/ACN/ARBN and state head company status (4.02(3)-(4); 2.01(c)). Omitting or misidentifying subsidiaries can lead to invalid applications or post-registration disputes about who conducted the R&D. Practitioners must ensure group-level sign-offs and accurate subsidiary identification.

Levy-collecting provider reporting and apportionment details

• Levy-collecting research service providers must provide contributors with results of levy-funded services and report to contributors how levies were used and the apportionment ratio between core and supporting R&D activities (3.01(7)). R&D entities that paid levies must provide the Board in their registration forms with information on how much of their levies went to services and an apportionment using the provider’s ratio (4.03(2)-(3)). Discrepancies between the provider’s reported ratio and the entity’s registration claim can trigger Board scrutiny.

Fees test: “ordinary commercial terms” or not subsidised / not inflated

• If an entity charges fees, the fees must either be based on ordinary commercial terms or must not be subsidised by government resources and not inflated to exploit tax incentives (3.01(3)). This two-limb formulation requires documentation: pricing policies, benchmarking or cost allocation demonstrating commercial basis, and evidence that fees were not artificially set to extract tax-subsidised funding through R&D tax offsets.

Employment and facilities thresholds with limited “near future” allowance

• Non-publicly controlled providers must have access to Australian facilities appropriate to the research fields and employ at least the specified number and type of researchers (3.01(4)-(5)). There is an allowance to be able to meet the requirement in the near future, but the standard for “near future” is examples-based and limited. Applicants relying on imminent hires must document the recruitment process and timelines.

Subcontracting constraints and result ownership

• Providers must be able to manage subcontracting and must ensure each R&D entity owns or has a right to use all results, including subcontractor results (3.01(2)(b); 3.02(2)(f)). Contractual arrangements must therefore provide clear IP assignment or licence terms and specify subcontractor obligations. Ambiguity in subcontractor contracts can undermine registration conditions and may impede an R&D entity’s ability to claim tax offsets if result ownership is contested.

Overseas activities: evidence threshold and link to Australian core activities

• Applications for a finding about activities to be conducted outside Australia must include an explanation with supporting evidence or an independent opinion of why the overseas activity cannot be conducted solely in Australia (4.05(c)). The Board must separately find on the conditions in subsections 28D(2), (4) and (5) of the Act and give reasons in the certificate (2.03(b)). Practitioners should not treat overseas components as routine; the evidentiary bar (including independent opinions) is explicit and tied to whether the overseas activity has a “significant scientific link” to Australian core activities (2.03(c); 4.05(d)-(e)).

Recordkeeping, separate financial records and making records available

• Registered research service providers must keep separate financial records for services provided in relation to each R&D activity, and must keep records of any fees paid and a copy of the contract and make them available on request by the Board (3.02(2)(e)-(g)). Poor cost accounting or co-mingling of finances across activities will complicate Board scrutiny and could lead to revocation if the Board concludes that conditions are breached.

Annual report timing for levy-collecting providers

• Research service providers (levy collecting) must give the Board details and a written report about levy usage within 10 months after the end of the financial year, or a further period allowed by the Board (3.02(3)(c)). Missing this window without Board permission is a compliance risk.

Forms cannot demand irrelevant information, but “reasonableness” is not precisely defined

• Section 4.06 limits forms for requests for further information to information that is reasonable or necessary for the Board’s decision. That protects respondents against overbroad demands, but “reasonable or necessary” is a legal standard that may itself be litigated or disputed in specific cases.

Advance findings must describe anticipated expenditure and timelines

• Advance finding forms require detailed descriptions of activities, the new knowledge intended to be generated, and total actual and reasonably anticipated expenditure, including for unregistered core activities connected to supporting activities (4.04(d)-(e), (f)). Poor forecasting or soggy budgets will weaken the basis for an advance finding.

Certificates bind the Commissioner for specified years

• Advance finding certificates must specify the income years for which the finding binds the Commissioner under s 355‑705 of the ITAA 1997 (2.02(f)). Applicants should ensure the advance finding precisely captures the years they intend to claim, because the certificate is the instrument that provides binding effect in the tax context.

Management and governance structures required

• Providers must maintain a management structure appropriate to manage day-to-day provision of services (3.02(2)(d)). This is a non-trivial governance expectation; small providers without such structures may fail to meet the registration condition.

Taken together, these “gotchas” mean that successful registration and use of Board findings rely on accurate entity identification, robust contracts (IP, subcontracting, confidentiality), transparent and separate accounting by activity, careful justification for overseas activity, and timely reporting. Practitioners should structure pre-application audits focused on these points.

This section sets out a practical compliance checklist and suggested operational steps that follow directly from the regulatory text. The aim is to translate the regulations’ documentary, personnel and contractual requirements into implementation actions for R&D entities and research service providers.

1. Pre-application checklist (for R&D entities seeking registration and for providers seeking registration)

• Identity and statutory declarations: Ensure the applying entity’s name and relevant identification (ABN, ACN or ARBN) will be included in forms (4.02(2)(a)). Prepare a signed declaration that the information is true and correct (4.02(2)(d)).
• Aggregated turnover and tax status: Prepare evidence of aggregated turnover for the relevant income year and a statement of which requirement under s 355‑35 of the ITAA 1997 is met, including a statement the entity is not an exempt entity (4.02(2)(b)-(c)).
• Head company/subsidiary mapping: If the head company applies but did not conduct the activity, prepare subsidiary identification (name and ABN/ACN/ARBN) and a statement of head company status for forms (4.02(3)-(4); 2.01(c)).
• Activity classification and descriptions: For each activity, prepare a clear statement whether it is a core or supporting R&D activity; if supporting, identify the related core activities and the income years those core activities are registered or proposed to be registered (4.03(4)(a)-(b); 4.04(b)-(c)). Draft brief (for registration) and detailed (for advance finding) descriptions of the activity and the new knowledge intended to be generated (4.03(1)(d); 4.04(d)).
• Expenditure schedules: Compile actual and reasonably anticipated expenditure for each activity, and a decomposition between core and supporting activities per the R&D entity’s opinion (4.03(1)(e); 4.04(e)-(f)).
• For overseas activities: prepare an explanation with supporting evidence or an independent expert opinion explaining why the overseas activity cannot be conducted solely in Australia, and linkages to Australian core activities (4.05(c)-(e)).

2. Research service provider operational compliance

• Personnel and facilities: If not publicly controlled or levy-collecting, ensure access to Australian facilities appropriate to the research fields and staff the minimum personnel required (one full-time Australian-equivalent degree researcher plus four FTE researchers meeting degree or experience thresholds) or document recruitment plans showing near-future compliance (3.01(4)-(5)).
• Fees and pricing policy: Document fee-setting methodology demonstrating ordinary commercial terms or, if not, demonstrate clearly that fees are not subsidised by government resources and are not inflated to exploit tax incentives (3.01(3)). Keep contemporaneous benchmarking or cost accounting evidence.
• Subcontracting controls: Put in place subcontractor management processes, ensure subcontractor agreements allow the research service provider to explain results to R&D entities, and ensure contracts grant the R&D entity ownership or use-rights in results (3.01(2)(b); 3.02(2)(i), (f)).
• Recordkeeping and accounting: Implement activity-level accounting with separate financial records for each R&D activity (3.02(2)(e)). Retain copies of contracts and records of fees paid/charged and be prepared to produce these to the Board on request (3.02(2)(g)).
• Confidentiality and security: Ensure contractual terms and internal information-security measures meet the confidentiality and security requirements in 3.02(2)(c).

3. Levy-collecting provider specific steps

• Contributor transparency: Establish procedures to make results available to contributors funded by levies and to report separately how levies were used and how they are apportioned between core and supporting R&D activities (3.01(7); 3.02(3)). Maintain a defensible apportionment methodology and document the reasonable estimates supporting it (3.01(8)).
• Annual reporting timelines: Prepare to deliver the Board an annual report in the Board’s approved form within 10 months after the end of the financial year, unless the Board grants an extension (3.02(3)(c)).

4. Contractual and IP steps

• Results ownership and licensing: Draft contracts (or amend existing contracts) to ensure that each R&D entity owns, or has a right to use, the results of services, including deliverables from subcontractors (3.02(2)(f)). Include IP assignment or licence terms, confidentiality clauses, and warranties about freedom to use results.
• Subcontractor terms: Insert provisions ensuring subcontractor outputs can be controlled and explained to R&D entities and that IP rights are transferred as required.

5. Application process and evidence

• For advance findings: assemble detailed descriptions of each activity, new knowledge objectives, envisaged timelines and expenditures, and where an activity is supporting, provide expenditure on related unregistered core activities (4.04(d)-(f)).
• For overseas findings: secure independent opinions or evidence to justify why the overseas activity is necessary and compile the expenditure and linkage schedules (4.05(c)-(g)).
• For registration of activities: collate references to any advance findings, externally provided services, and the total expenditure in the income year (4.03(1)(a)-(e)).

6. Governance and management

• Management structure: Establish an appropriate management structure for day-to-day provision of services (3.02(2)(d)). This can be a committee, named managers, or documented management processes.
• Notification processes: Implement an internal trigger to notify the Board and the R&D entity before the end of the income year about any services provided outside Australia (3.02(2)(j)).

7. Responding to Board information requests

• Reasonableness challenge: If a form requests information that is broader than reasonable or necessary, the entity can object on the basis of 4.06; however, maintain a cooperative stance and be prepared to provide compelling argument and targeted information rather than blanket refusal.

8. Audit and internal controls

• Pre-application audit: Conduct an internal compliance audit against the registration criteria and conditions to identify any gaps in personnel, facilities, contracts, financial records, IP arrangements and reporting capacity.
• Record retention schedule: Adopt a record retention policy aligned with the Board’s access to records and the R&D tax timeframe, ensuring audit trails for expenditure and for apportionments for levy-funded services.

9. Legal review and advice

• Engage legal and tax counsel to review application materials, contracts with research service providers and subcontractors, and any fee-setting or levy apportionment mechanisms to ensure they meet the requirements of 3.01 and 3.02 and the evidentiary requirements in Part 4.

10. Practical timelines and coordination

• Build timelines into project plans for preparing advance findings if overseas activities are involved, recognising that the Board’s findings are tied to tax treatment under Division 355 (2.02(f); 3.02(2) note).
• Coordinate group-level reporting for consolidated groups or MEC groups to ensure subsidiary-level activity is correctly identified on head company applications (4.02(3)-(4)).

Following this checklist will align an applicant’s documentation and internal systems to the specific requirements of the 2022 regulations: identity and turnover declarations, activity classification, expenditure schedules, records and reporting, personnel and facilities evidence, contracts ensuring results ownership, and transparency for levy-funded services.

Practitioners should treat the regulations as creating documentary and governance preconditions to effective participation in the R&D incentives framework and not simply as ad hoc information requests.
