Industry Research and Development Decision-making Principles 2022

Several recurring legal and administrative concepts structure the instrument. Each of these is defined or applied directly in the text and shapes decision‑making behaviour.

• Interested person: Defined in section 1.5 as (a) an applicant in relation to a matter under Part III; (b) an R&D entity; (c) an entity acting on behalf of an R&D entity under s 28B of the Act; or (d) a research service provider. The Board’s duties to provide opportunity to present a case and to consider evidence apply to these persons (2.2).
• Proper decision‑making process: Part 2 sets out procedural norms. The Board must allow an interested person to present their case “in a manner approved by the Board” (2.2(1)), must consider evidence and explanations, take relevant considerations into account including past or present behaviour, exclude irrelevant considerations, and consider relevant precedents (2.2(2)(a)-(d)). It must act in good faith and without bias (2.2(3)). This establishes both procedural fairness obligations and confers discretion to the Board over the format of presentations.
• Merits and tested evidence: Decisions must be based on “the merits of the particular case, the tested evidence, and all relevant considerations” (2.3). The text demands evidence‑based adjudication rather than solely formulaic compliance checks.
• Extensions of time: Part 3 defines when and how deadlines in Part III may be extended. An early, applicant‑explained, short extension of up to 14 days is mandatory if requested before the due date and the applicant explains why the thing cannot be given and can be given within 14 days (3.2(1)). Broader discretion applies if the reason is not Board fault: the Board may allow further periods only if the cause was not the applicant’s fault and not within their control (3.2(2)). A cap of 92 days on cumulative further periods applies, subject to a specific exception where the extension corresponds to the subject of an unresolved decision (3.2(3)-(4)). The Board must distinguish whether the need arose from its own act/omission (entitling the applicant to be put in the same position as if no act/omission had occurred; 3.4) or some other cause (requiring proportionality and evidence; 3.5).
• Findings and refusal grounds: Part 4 sets thresholds for justifying refusal to make findings. Enumerated grounds include lack of standing, duplicate or substantially similar pending matters, previous refusals where the applicant cannot rebut the previous basis, subsidiary/head company group issues, insufficient information on forms, failure to provide requested further information under ss 27H/28H, and missing fees where required (4.2(1)(a)-(g)). The Board may also rely on public advisory material or a general determination on its website and refer applicants to it where it is reasonable to do so (4.2(2)). Specific, additional tests apply to advance findings (such as evidence of state‑of‑the‑art investigation and timing within two income years) and to findings about activities to be conducted outside Australia (requiring independent evidence and reasonable expenditure estimates) (4.3-4.4). The Board must seek quick rectification before refusing in some circumstances (4.5).
• Variation of registration: Part 5 controls when an R&D entity’s registration can be varied under s 27A. The Board may vary within 10 months after the income year (5.2(1)). After that period, variations are confined to a narrow set: removing activity, changing timing that reduces the duration, reclassifying core/supporting, or making minor corrections (5.3). Variations ordinarily must not occur while review rights are open or being exercised (5.2(3)). The Board may defer variation applications if it has started an examination under s 27J and considers making that finding first is appropriate (5.4).

These concepts interplay: e.g., an applicant’s ability to obtain an extension (Part 3) may affect the Board’s ability to make findings within statutory timeframes (3.6 references Income Tax Assessment Act 1997 ss 355‑705(1) and 355‑710(1)). The instrument therefore links procedural timing to statutory finding obligations in tax law.

The primary decision actors and affected parties are identified concretely in the instrument.

• The Board: The instrument imposes binding principles on the Board for specified decisions under Part III of the Act. The Board must follow the procedures and tests set out in Parts 2-5 when making those decisions (see 2.1, 3.1, 4.1(1), 5.1(1)). The Board decides whether to accept extensions, make or refuse findings, and to vary registrations, subject to the instrument’s constraints.
• Interested persons: Defined in 1.5. This includes applicants, R&D entities, entities acting on behalf of R&D entities under s 28B, and research service providers. These persons gain enforceable process rights under the instrument, for example, the right to be given an opportunity to present a case and to receive consideration (2.2). They also bear substantive information and evidentiary obligations: application forms must contain required information (4.2(1)(e)), further information requested under ss 27H/28H must be provided to avoid refusal (4.2(1)(f)), and fees where required must accompany applications (4.2(1)(g)).
• Administrators and advisers: Tax advisers, lawyers, research service providers and accountants who prepare applications and evidence will be materially affected because the Board can refuse to make findings where evidence is deficient, where state‑of‑the‑art investigation is lacking for advance findings (4.3(4)), or where independent opinions are absent for overseas activity findings (4.4(1)(a)). These parties must adjust documentation practices to meet the instrument’s thresholds.
• Head companies and subsidiaries of consolidated or MEC groups: Part 4 contains a specific ground for refusal where the activity is conducted while the applicant is a subsidiary member of a consolidated or MEC group and the head company is also an R&D entity (4.2(1)(d)). That means corporate group structure affects eligibility for findings and creates a coordination requirement among related entities.
• Applicants seeking timing relief: Entities requesting extensions of time are directly affected by Part 3. There is a short, relatively automatic route for up to 14 days if requested before due date (3.2(1)), and a capped cumulative extension regime (3.2(3)). Entities must justify extensions, provide evidence, and may need to prove the delay was not their fault (3.2(2), 3.5).
• The wider tax administration: Part 3(6) requires the Board to consider whether allowing an extension would prevent it from making statutory findings required for tax law (3.6). This ties Board process to statutory time limits under the Income Tax Assessment Act 1997 and therefore can affect timing of tax assessments and compliance activity by the ATO and entities.

Who pays and bears compliance costs:

• Applicants and their advisers bear costs of meeting the instrument’s evidentiary standards: completing mandated forms correctly (4.2(1)(e)), providing requested further information (4.2(1)(f)), paying application fees where required (4.2(1)(g)), supplying independent opinions for offshore work (4.4(1)(a)), and conducting state‑of‑the‑art investigations for advance findings (4.3(4)).
• The Board (and thus public administration) bears administrative costs of assessing applications, considering extensions, managing website advisory material that can be relied upon (4.2(2)), and applying the proportionality and reasonableness tests in Parts 3-5. Where delays stem from the Board, it must remedy the position (3.4), which may impose processing obligations.

Geographic and temporal scope:

• The instrument applies to discrete decision types under Part III of the Act, and to decisions about activities both in Australia and outside Australia where the Act requires findings about conduct overseas (4.4). It also establishes time windows for variations tied to the income year and review windows (5.2).

Overall, the instrument affects any person engaging with the Board on registration, variation, findings, or reviewable decisions under the enumerated sections, and it shifts everyday compliance work , by applicants and their advisers , toward satisfying process, formality and evidentiary thresholds.

The instrument creates reciprocal duties for the Board and rights and obligations for interested persons. The text sets clear procedural duties for the Board and prescriptive evidentiary, timing and form obligations for applicants.

Duties of the Board

• Opportunity to present a case: The Board must give an interested person an opportunity to present the person’s case “in a manner approved by the Board” (2.2(1)). This is both a duty to hear and a conferral of discretion over the format of presentation.
• Proper consideration: The Board must consider evidence and any explanations, take all relevant considerations into account (explicitly including the interested person’s past or present behaviour), exclude irrelevant considerations, and consider relevant precedents from similar cases (2.2(2)(a)-(d)). The duty to consider precedents creates a practice of consistency while leaving room for case‑by‑case assessment.
• Good faith and unbiased decision‑making: The Board must consider the case in good faith and in an unbiased manner (2.2(3)). That imposes a fairness standard on the Board’s process.
• Merit and evidence basis for decisions: Decisions must be based on the merits of the particular case, the tested evidence, and all relevant considerations (2.3). This requires evidence evaluation and fact specific analysis.
• Extension handling obligations: Where an interested person explains before the due time why an item cannot be given and that it can be given within 14 days, the Board must allow that further period up to 14 days (3.2(1)). Where the Board’s act or omission caused the need for the extension, the Board must allow a further period that enables the applicant to be put in the same position as if the act or omission had not occurred and the period must be reasonable (3.4(1)-(2)). The Board must consider whether an extension would impede making time‑sensitive tax findings (3.6).
• Referral to advisory material: The Board may refuse to make a finding and refer to publicly available advisory material or a general determination if that material could reasonably be relied upon by the applicant (4.2(2)). This creates a duty to maintain or produce guidance that could be relied upon and to identify when it applies.

Rights and obligations of interested persons (applicants, R&D entities, etc.)

• Right to be heard: Interested persons are entitled to an opportunity to present their case (2.2(1)). The form of presentation is subject to the Board’s approval, so practical access depends on compliance with Board directions.
• Evidence and form obligations: Applications must include all information required by the relevant form; omission is a ground for justified refusal (4.2(1)(e)). If the Board requests further information under ss 27H or 28H of the Act, the applicant must provide it to avoid refusal (4.2(1)(f)). Where fees are required (ss 27G/28G), the absence of a fee is a ground for refusal (4.2(1)(g)).
• Extension requests: Applicants can obtain a mandatory short extension of up to 14 days if they explain before the due date why they cannot give the thing and that they can do so within 14 days (3.2(1)). For longer extensions, applicants must show the delay was not their fault and was not within their control (3.2(2)) and may need to provide increasing levels of evidence the longer the extension sought (3.5(3)). Applicants must also avoid, where possible, delay in requesting extensions; the Board must take into account any delay by the applicant and the reasons for it (3.5(1)(a)).
• Particular evidentiary burdens for certain findings: Applicants requesting advance findings must satisfy additional tests: evidence that an activity is or will be core, that it will be carried out by the entity, that it will take place within the current or next two income years, and that the applicant has investigated the state of the art in the field (4.3). For overseas activity findings, applicants must provide evidence or an independent opinion that the activity cannot be conducted solely in Australia and that expenditure estimates are reasonable (4.4).
• Obligation to attempt quick remediation: If refusal would otherwise be justified but the applicant may quickly resolve the problem, the Board must ask whether the person can resolve it quickly (4.5(1)). If the applicant quickly resolves the problem to the Board’s satisfaction, then refusal is not justified (4.5(2)).
• Constraints while review rights are live: The Board must not make certain variations while review rights are available or being exercised (5.2(3)). This creates a right for applicants to have variation decisions deferred during review windows.

Operational consequences of these duties and rights

• The Board’s power to approve the manner of presentation (2.2(1)) and to rely on website advisory material (4.2(2)) makes procedural compliance and prior checking of published guidance a practical obligation for applicants.
• The explicit linkage to statutory tax finding timeframes (3.6 referencing ITAA ss 355‑705(1) and 355‑710(1)) ensures the Board must weigh extension requests against downstream tax administration consequences.
• The caps and tests for extensions (3.2(3), 3.5) set both timing incentives and evidentiary burdens for applicants who face tight statutory deadlines.

This instrument itself is a set of decision‑making principles; it does not prescribe monetary penalties, criminal sanctions or civil liabilities. Instead, it operationalises administrative outcomes by constraining when the Board must or may make procedural concessions and by listing grounds for justified refusal or delay. Enforcement and effects therefore arise through administrative decisions, review rights and the statutory framework in which the Board operates.

How enforcement operates in practice from the instrument

• Administrative outcomes: The main “sanctions” are administrative: the Board may refuse to make a finding (Part 4) or decline to vary a registration (Part 5) where the instrument’s criteria are met. Refusals and non‑variations feed into the statutory scheme of Part III of the Act and thereby affect entities’ ability to register activities, claim R&D tax offsets, or obtain advance certainty.
• Fee and form consequences: Where an application lacks required information or a required fee (4.2(1)(e), (g)), refusal to make a finding is justified. This is an enforcement mechanism that incentivises correct form completion and fee payment; it is not a penalty imposed by the instrument but a precondition for substantive relief.
• Procedural enforcement through review: The instrument constrains Board actions during review windows (5.2(3)). Conversely, the Board can defer considering variations where an examination has commenced (5.4), which can indirectly affect an applicant’s right to obtain variation promptly. Enforcement of the instrument’s duties ultimately will be tested through the Act’s internal and external review mechanisms (not set out in the instrument but referenced, e.g. 5.2(3) citing ss 30C(3), 30D, 30E).
• Discretion and reasonableness standards: Many duties are framed with reasonableness and proportionality standards (3.4(2), 3.5(2)). Enforcement therefore will often turn on whether the Board’s exercise of discretion was within the bounds of those standards. Administrative law remedies (judicial review) are the likely external enforcement path where a party alleges non‑compliance with these principles.
• Implicit tightening of evidentiary rules: By enumerating grounds for justified refusal , including lack of independent opinion for overseas work (4.4(1)(a)) and insufficient state‑of‑the‑art investigation for advance findings (4.3(4)) , the instrument makes evidentiary insufficiency a predictable enforcement trigger.

Risks of administrative non‑compliance and consequential costs

• For applicants, the cost of enforcement is the cost of responding to refusals and pursuing reviews. The instrument narrows the situations where the Board must make exceptions (e.g. strict cap on cumulative extensions, evidentiary burdens for advance or overseas findings), so applicants failing to meet requirements will face refusal and consequent need to seek internal or external review or to resubmit applications.
• For the Board, failing to comply with its duties (for example, failing to give opportunity to present a case or failing to consider relevant precedents) could expose the Board’s decisions to administrative law challenges. The instrument’s good‑faith and unbiased decision‑making duty (2.2(3)) is a standard that an applicant could allege the Board breached.

What the instrument does not do in the enforcement domain

• It does not create new fines, offences or civil penalties.
• It does not alter substantive tax entitlements directly; it only affects the administrative pathway to findings, registrations and timing relief.

In short, enforcement under this instrument is administrative and procedural: compliance is enforced by the Board’s application of the principles to accept, refuse or vary applications, and by the existing statutory review channels that apply to Part III decisions of the Act.

The instrument is expressly made under the Industry Research and Development Act 1986 (1.3), and its application is tightly linked to specific provisions of that Act. The instrument also cross‑references and aligns Board timing with provisions in the Income Tax Assessment Act 1997 and refers to statutory review provisions.

Direct interactions identified in the instrument

• Industry Research and Development Act 1986: The instrument governs how the Board must decide certain matters under Part III of the Act. It repeatedly cites specific Act provisions as the loci of its application:
  • Part 2 applies to decisions of the kind mentioned in paragraphs 32A(a)-(c) of the Act (2.1).
  • Part 3 applies to extension decisions under subparagraph 27D(c)(ii), paras 27E(2)(b), 27H(2)(b), 28H(2)(b), 29C(5)(b), 29E(2)(b), 30C(3)(b) and subsections 27M(3) and 29F(3) of the Act (3.1).
  • Part 4 applies to decisions under paragraphs 27F(4)(b), 28A(1)(d), 28C(1)(c) and 28E(1)(c) (4.1(1)).
  • Part 5 applies to decision‑making under paragraph 27M(1)(c) (5.1(1)). These cross‑references mean the instrument modifies the Board’s procedural obligations whenever it exercises those statutory powers.
• Income Tax Assessment Act 1997: Part 3 requires the Board to consider whether granting an extension would prevent it from making certain findings within times specified in ss 355‑705(1) or 355‑710(1) of the ITAA 1997 (3.6). That links extensions directly to tax law time limits, making the Board responsible for ensuring procedural choices do not impede the tax statute’s operational deadlines.
• Provisions within the Act relating to forms, fees and information: The instrument references Act provisions requiring application forms (e.g. 4.2(1)(e)) and the Board’s power to request further information under ss 27H/28H (4.2(1)(f)), and fees under ss 27G/28G (4.2(1)(g)). Applicants must therefore comply with these statutory requirements as a condition of avoiding refusal under the Principles.
• Administrative review mechanisms: The instrument recognises and interacts with the Act’s internal and external review procedures. Part 5 prohibits making a variation while an application for review may be made under s 30C(3) or while internal review under s 30D or external review under s 30E is in progress (5.2(3)). It also makes an exception to refusing variation in certain circumstances (5.4(2)). This preserves statutory review pathways and prevents circumvention by the Board via late variations.

Practical implications of these interactions

• Timing alignment: The Board must balance the procedural relief it gives under the Principles (e.g. extensions) with statutory time limits in tax law (3.6), as failures could frustrate the ITAA timeframes for making tax‑relevant findings.
• Evidentiary harmonisation: Requirements for state‑of‑the‑art investigations or independent opinions for offshore activities (4.3(4), 4.4(1)(a)) reflect evidentiary standards that intersect with tax law questions about eligibility for R&D tax offsets. Applicants must coordinate submissions to satisfy both the Board’s procedural thresholds and the substantive tax law tests.
• Review and litigation sequencing: The instrument deliberately restricts variations while review processes are pending (5.2(3)). That reduces the Board’s ability to change registrations in a way that would pre‑empt review, and ensures contentious matters remain within the established review channels of the Act.

Limits on implied interaction with external law

• The instrument does not purport to change substantive tax law, intellectual property law, employment law, company law or international law: it is procedural in scope and operates only to prescribe how the Board exercises designated powers under the Act.
• Where it mentions evidence or independent opinions (for overseas activities), it does not define evidentiary standards outside what it states; therefore, the content and weight of such evidence will be matters for the Board to determine in each case, subject to administrative law principles.

Overall, the instrument is integrated into the statutory architecture of the R&D regime. It is a procedural instrument that ensures the Board’s exercise of specified parts of its statutory powers follows prescribed fairness, timing and evidentiary rules and that those exercises are compatible with tax law deadlines and with the Act’s review pathways.

The instrument contains explicit commencement and repeal material and provides its own history in‑text.

• Date and maker: The Decision‑making Principles 2022 were made by the Minister for Industry, Energy and Emissions Reduction, Angus Taylor, and dated 30 March 2022 (face of instrument).
• Commencement: The whole instrument commenced the day after its registration (1.2(1) table). The instrument notes the commencement table relates only to the original making and will not be updated for later amendments (1.2 note).
• Authority: The instrument is made under the Industry Research and Development Act 1986 (1.3).
• Repeal of earlier instrument: Schedule 1 expressly repeals the Industry Research and Development Decision‑making Principles 2011 in full (Schedule 1,Repeals, item 1). The mechanism is that “Each instrument that is specified in a Schedule to this instrument is amended or repealed as set out in the applicable items in the Schedule concerned” (1.4) and Schedule 1 lists the 2011 instrument for repeal.

What the instrument does not record about amendment history

• There is no in‑instrument record of prior amendments between 2011 and 2022; the instrument simply repeals the 2011 principles and replaces them. The text makes no claim about the content differences between 2011 and 2022 versions aside from replacement.
• The instrument’s commencement table contains only the single line that the whole instrument commences the day after registration; there are no staged commencements or provisions taken to have commenced earlier or later.

Implications for practitioners and administrators

• Replacement effect: The 2022 instrument superseded the 2011 Decision‑making Principles. Therefore, since commencement, decisions to which these principles apply must be made in accordance with the 2022 text rather than with the 2011 instrument. Practitioners handling transitional cases should check dates of applications and decisions to determine which set of principles applied at the time a decision was made.
• Stability and predictability: The instrument’s single effective commencement date and full repeal of the prior instrument provides legal clarity as of that date. Any reviewable decisions made after commencement are subject to these principles.
• Amendment route: Any future changes to these principles would require the legislative instrument process and authorising power under s 32A of the Act, consistent with the instrument being a delegated legislative instrument.

For compliance records, the instrument includes a standard clause that information in column 3 of the commencement table is not part of the instrument and may be edited in published versions (1.2(2)). Practitioners relying on online versions should therefore rely on the statutory text rather than ancillary commencement commentary.

The instrument itself does not cite or create any case law. The text includes no references to judicial decisions. The instrument establishes decision‑making principles that will be relevant to administrative decisions and therefore could be relied upon in internal or external review proceedings or judicial review applications challenging the Board’s compliance with the principles. However, the instrument does not record any litigation, nor does it identify precedents.

How litigation might engage with the instrument (procedural pathways)

• Judicial review claims: Because the instrument sets out duties of the Board (for example, to act without bias and in good faith (2.2(3)), to consider evidence and relevant precedents (2.2(2)(a)-(d)), and to allow certain extensions (3.2(1))), applicants who allege the Board failed to comply could seek judicial review on administrative law grounds (e.g. procedural fairness failure, failure to take into account a mandatory consideration, irrelevant consideration, or denial of natural justice). The instrument itself makes these duties explicit, which provides a textual basis for review.
• Review under the Act’s review mechanisms: The instrument references the Act’s internal and external review procedures (5.2(3) cites ss 30C(3), 30D and 30E). Where the Board refuses applications or makes decisions under these Principles, those decisions may be reviewable as “reviewable decisions” under Part III of the Act, and applicants can utilise internal or external review procedures set by the Act.
• Evidentiary deference: The instrument’s repeated reliance on Board discretion (for example, approving the manner in which a person presents a case (2.2(1)), judging whether published advisory material “could reasonably be relied upon” (4.2(2)), and determining whether requested extensions are “reasonable” or “proportionate” (3.4(2), 3.5(2))) suggests that courts reviewing Board decisions may apply standard administrative law deference to Board assessments of technical or evidentiary matters, while scrutinising legal errors or failures of process. The instrument’s textual clarity on the Board’s obligations may, however, limit the Board’s room for arguable error on procedural questions.
• No named cases in the instrument: The instrument does not name any cases as guidance. Practitioners must therefore rely on broader administrative law doctrine and the Act’s review pathways when litigating any alleged breaches.

Consequences for practice

• Expect litigation or review to focus on whether the Board adhered to the explicit principles (e.g. whether the Board gave an opportunity to present the case, whether it allowed a 14‑day extension when the applicant met the conditions in 3.2(1), or whether the Board reasonably concluded an applicant had not investigated the state of the art for an advance finding). The instrument provides a detailed map of obligations that will shape legal argument in review or judicial proceedings.
• Because the instrument ties Board decisions to statutory tax timeframes (3.6), litigants might challenge a Board’s refusal to grant an extension where that refusal prevents the Board from making a tax‑relevant finding within the ITAA timeframes, or conversely challenge an extension where it prejudices statutory tax deadlines.

In short, while the instrument itself presents no litigation history, it creates a predictable set of procedural obligations that will be central to any litigation or review challenging the Board’s exercise of the enumerated powers under the Act.

This instrument contains several technical provisions that can produce practical pitfalls if not attended to. The following are concrete “gotchas” drawn directly from the instrument’s text that practitioners and compliance officers should note.

1. The Board approves the manner of presentation (2.2(1))

   • Gotcha: Although the Board must give an interested person an opportunity to present their case, that opportunity must be “in a manner approved by the Board.” Applicants cannot insist on a particular format; they must comply with the Board’s directions about how evidence or submissions are presented. Failure to follow the Board’s chosen manner could undermine the right to be heard.

2. Automatic, short extension only if requested before the due date (3.2(1))

   • Gotcha: The mandatory up to 14‑day extension applies only if the interested person explains before the thing is due why it cannot be given and that it can be given within 14 days. Post‑due requests for similar short extensions will not attract the mandatory rule and will be judged under other provisions (3.2(2) and 3.5).

3. Longer extensions require showing delay was not the applicant’s fault and not within control (3.2(2))

   • Gotcha: For extensions beyond the initial 14 days, applicants must demonstrate the cause was neither their fault nor within their control. Ordinary operational delays, oversights, or late planning are unlikely to meet that threshold.

4. Aggregate cap of 92 days on further periods (3.2(3))

   • Gotcha: The total of further periods allowed for a particular thing must not exceed 92 days, subject to a specific exception (3.2(4)). Applicants seeking serial extensions must be aware of the cap; multiple short extensions can rapidly exhaust the 92‑day ceiling.

5. Narrow exception to the 92‑day cap (3.2(4))

   • Gotcha: The 92‑day cap does not apply if the thing to be given deals with a matter that corresponds to the subject of a decision relating to the interested person that has not been finalised but is not the subject of that decision. The example given illustrates registration repeat applications: this exception can apply, but its scope is narrow and fact‑intensive.

6. Board acts or omissions require remedial periods to put the applicant back in the same position (3.4(1))

   • Gotcha: If the Board caused the delay, the Board must allow a further period sufficient to put the applicant in the position they would have been in but for the act/omission. The Board controls the length of that period as long as it is “reasonable” (3.4(2)). Applicants relying on Board error must document causation and the remedial time required.

7. Referral to website advisory material can preclude a finding (4.2(2))

   • Gotcha: The Board can refuse to make a finding and instead refer an applicant to public advisory material or a general determination if that material could reasonably be relied upon. Applicants cannot assume that submission will force an adjudication; they must first check published guidance.

8. Strict form, information and fee preconditions (4.2(1)(e)-(g))

   • Gotcha: Missing information on the application form, failure to respond to requests for further information under ss 27H/28H, or failure to include an applicable fee are enumerated grounds for justified refusal. These are relatively low‑cost administrative compliance items but have high consequence if overlooked.

9. Advance findings require state‑of‑the‑art investigation and timing certainty (4.3)

   • Gotcha: For advance findings, the Board must be satisfied the applicant has investigated the state of the art and that the activity will occur within the current or next two income years, among other things. Failure on either point can justify refusal.

10. Overseas activities require independent evidence or opinion and reasonable expenditure estimates (4.4)

    • Gotcha: Applications on the basis that an activity cannot be conducted solely in Australia must supply evidence or an independent opinion. The Board will also scrutinise the reasonableness of the applicant’s expenditure estimate. Generically phrased or unsupported assertions about overseas necessity are likely to fail.

11. Variations limited by time and by review windows (5.2)

    • Gotcha: The Board may vary registration within 10 months after the income year. After that, variations are permitted only in narrow circumstances (5.3). Moreover, the Board must not vary registrations while review rights are available or being exercised (5.2(3)), which can delay correction of genuine errors unless they are “minor amendments” (5.3(d)).

12. Board may defer variation applications if an examination has commenced (5.4)

    • Gotcha: If the Board has commenced an examination intending to make a finding under s 27J, it may decide not to make a variation and instead make the finding first (5.4(1)). This may delay the applicant’s ability to effect changes to registration.

13. The instrument is procedural not substantive

    • Gotcha: The Principles do not alter substantive definitions (e.g. what is a core R&D activity); they shape the administrative path to findings and registrations. Applicants seeking change to substantive tests must look to amendments to the Act or tax law itself.

These are practical traps that arise directly from the instrument’s wording. For practitioners, the remedy is procedural: ensure timely requests, complete and accurate forms, appropriate fees, robust evidence (including independent opinions if overseas activity is claimed), and awareness of review windows and extension caps.

Compliance with the Principles requires both front‑end process design by applicants and ongoing attention to timing, evidentiary standards, and Board directions. The instrument sets concrete steps and thresholds; below is a practical compliance checklist aligned to the instrument’s provisions.

1. Understand whether the Principles apply to your matter

   • Check whether your application or request falls within the Act provisions enumerated by the instrument:
     • For extensions: confirm the request relates to subparagraphs and subsections listed in 3.1 (for example, ss 27E(2)(b), 27H(2)(b), 28H(2)(b), etc.).
     • For findings: check whether your application is under paragraphs 27F(4)(b), 28A(1)(d), 28C(1)(c) or 28E(1)(c) (4.1(1)).
     • For variation of registration: confirm applicability to paragraph 27M(1)(c) (5.1(1)).
   • If the matter is not listed, the Principles may not bind the Board’s conduct in that instance.

2. Present the case in the Board’s approved manner

   • Prepare to comply with the Board’s procedural directions about format, timing and means of presentation (2.2(1)). Contact the Board early to confirm required formats, file naming, and any electronic submission protocols.

3. Ensure application forms are complete and fees paid

   • Populate application forms fully; omissions are a ground for refusal (4.2(1)(e)). Confirm whether a fee is required under ss 27G/28G and include it to avoid refusal (4.2(1)(g)).

4. Respond promptly to further information requests

   • If the Board requests further information under ss 27H or 28H, respond fully and within any timeframes. Non‑compliance is a statutory ground for refusal (4.2(1)(f)). Maintain a record of requests and responses.

5. For extension requests: act before the due date and provide precise explanations

   • To obtain the mandatory up to 14‑day extension, explain before the due date why the item cannot be given and confirm you can give it within 14 days (3.2(1)). Document the explanation and timing.
   • For longer extensions, gather evidence that the delay was not your fault and not within your control (3.2(2)), and be prepared to show why any delay in requesting the extension itself was reasonable (3.5(1)(a)).

6. Maintain an evidence trail for causation and proportionality

   • If you claim the Board caused the delay, document the Board act/omission and quantify the period needed to place you in the same position as if the act/omission had not occurred (3.4(1)-(2)).
   • If the cause is other than the Board, document the nature of the event, the duration, and why it prevented timely compliance; link the requested extension length to the severity of inability (3.5(2)-(3)).

7. Prepare substantive evidence for advance findings and overseas work

   • Advance findings: compile evidence you will carry out the activity, a state‑of‑the‑art investigation, and timing assurances for occurrence within the current or next two income years (4.3(2)-(3) and 4.3(4)). Include references and records of prior art searches, literature reviews, or expert statements.
   • Overseas activities: obtain an independent opinion or other evidence showing the activity cannot be conducted solely in Australia, and prepare a reasoned estimate of actual and reasonably anticipated expenditure, with supporting calculations and assumptions (4.4(1)(a)-(b)).

8. Check the Board’s website guidance before applying

   • Review public advisory material or any general determinations on the Board’s website. If material exists that is relevant and could reasonably be relied upon, the Board may refer you to it instead of making a finding (4.2(2)). Use published guidance to avoid unnecessary applications.

9. Manage group structure issues

   • If the applicant is a subsidiary in a consolidated group or MEC group and the head company is an R&D entity, check potential refusals under 4.2(1)(d) and coordinate filings across group entities to avoid duplicative or blocked findings.

10. Time variation applications carefully

    • Variations may be made within 10 months after the income year as of right (5.2(1)). After that, only specified categories of variations are justified (5.3). Where an internal or external review window is open or an application for review may be made, expect the Board not to make variations (5.2(3)). If an examination under s 27J has begun, the Board may defer variations (5.4). Plan timing accordingly.

11. Keep documentary proof of “quick resolution” opportunities

    • If your application is deficient in a minor way (for example missing a document), the Board must ask whether you can resolve it quickly (4.5(1)). If you can and do resolve it immediately, the Board cannot rely on the prior deficiency to refuse (4.5(2)). Keep records of communications and corrective submissions.

12. Retain advisers for technical or independent opinions

    • For overseas work or for state‑of‑the‑art queries, consider engaging independent experts whose opinions can be furnished to the Board. Ensure experts identify methodology, materials searched, and conclusions to satisfy the Board’s scrutiny under 4.3-4.4.

13. Document all interactions with the Board

    • Keep copies and timestamps of submissions, Board directions, requests for extensions, evidence of causation where the Board is at fault, and all responses to information requests. These will be critical if review or litigation becomes necessary.

14. Anticipate review pathways

    • Be aware the Act provides internal and external review mechanisms (referenced in 5.2(3)). If adverse decisions under these Principles are made, prepare for review timely and preserve administrative records needed to challenge procedural fairness or factual errors.

Following these steps aligns practical conduct with the instrument’s written tests. The instrument’s emphasis is on timeliness, completeness of forms and fees, robust evidentiary materials for technical findings, and early communication with the Board to obtain short mandatory extensions or to resolve deficiencies quickly.
