This Bill rests on a small number of recurring legal concepts, introduced or clarified in statutory text and in the schedule of definitions. The principal concepts are:

• Boost to buy arrangement and boost to buy scheme. The Bill defines boost to buy arrangement as an arrangement between Queensland Treasury Corporation on behalf of the State and an individual under which the individual participates in the boost to buy scheme (Duties new s 33A(3); First Home Owner Grant new s 8(5); Land Tax new s 13A(3)). The boost to buy scheme is tied to the Rural and Regional Adjustment Regulation 2011, s 2A (Duties new s 33A(3)).

• Help to buy arrangement and Housing Australia. Help to buy arrangement is linked directly to the Commonwealth’s Help to Buy Act 2024 (Cwlth), s 6 (Duties new s 33B(3); First Home Owner Grant new s 8(5); Land Tax new s 13A(3)). Housing Australia is the federal entity continued under the Housing Australia Act 2018 (Cwlth), s 7 and is referenced in the Bill (Duties new s 33B(3); Land Tax new s 13A(3)).

• “Taken not to have an interest” or “taken not to be the owner”. The Bill repeatedly uses statutory fiction language to exclude the public entity’s legal interest from tax incidence:

  • For transfer duty assessment, the State and QTC are taken not to have an interest in land acquired under boost to buy; the Commonwealth and Housing Australia are similarly treated under help to buy (Duties new ss 33A(1), 33B(1)). Each provision separately states transfer duty is not imposed on a transfer from the public entity to the individual party (Duties new ss 33A(2), 33B(2)).
  • For land tax, s 13A(1)-(2) provides a like fiction that the State/QTC or Commonwealth/Housing Australia are not owners for the Act’s purposes.

• Builders’ terms arrangement and eligible building. The Bill defines builders’ terms arrangement for both the Duties Act and the First Home Owner Grant Act (Duties s 86(6); First Home Owner Grant s 6(4)). The test requires (a) a licensed builder to contract with a developer for vacant land, (b) the builder to be permitted to enter and build, and (c) before settlement the building is ready for occupation and a final inspection certificate has been issued (Duties new definition; First Home Owner Grant new definition). Eligible building is defined for the vacant land test (Duties s 86C(3)): it sets out buildings that are not fixed to land or are designed/approved for human habitation by a single family unit, or that fall within specified Building Code of Australia classes.

• Relevant interest and new home. The Bill amends the First Home Owner Grant Act to state that an interest held by the State/QTC in a boost to buy arrangement, or by the Commonwealth/Housing Australia in a help to buy arrangement, is not a relevant interest for assessment of grant eligibility (First Home Owner Grant s 8 amending s 8(2)(c)-(d) and s 8(5) definitions). The Bill also narrows circumstances in which previously sold homes remain ineligible as new homes by allowing an exception where the only prior sale was under a builders’ terms arrangement (First Home Owner Grant new s 6(2A)).

• Residence requirement good reason standard. Section 15 of the First Home Owner Grant Act is amended to require that a “good reason” for non‑compliance with residence requirements must be outside the applicant’s control (new s 15(6)). This adds a threshold about the origin of the impediment to compliance.

• Appeal selection for related tax matters. The Taxation Administration Act amendment establishes that where a taxpayer chooses one judicial forum for an objection about a related tax matter for primary tax (Supreme Court or QCAT) they are prevented from pursuing the other forum for “another related tax matter for the primary tax” (Taxation Administration new s 69(2A)-(2B)). The provision defines related tax matters as the taxpayer’s liability for the primary tax and liability for one or more taxes relating to that primary tax (s 69(2B)).

• Retrospective/transitional application. The Bill contains multiple provisions that give retrospective effect to new rules for set dates, for example duties s 690-691 (dates for s 33A and s 33B), duties s 692-693 and Land Tax s 106 for the respective land tax fiction. Payroll tax grouping amendments are taken to have effect from 31 October 2018 (Payroll Tax Pt 17, s 152).

These concepts are embedded in the statutory text; each alters the starting point for tax or grant assessment by recharacterising ownership or interest for particular, enumerated transactions. The Bill also makes a range of reference and cross‑checking adjustments in Schedule 1 to ensure internal consistency with the new numbering and textual changes.

Identify, decide, and pay: the Bill changes both who is treated as having a taxable interest and who bears compliance and administrative activity.

Primary affected parties and the treatment they receive:

• Individuals participating in boost to buy arrangements and help to buy arrangements. These individuals are the direct beneficiaries of the transfer duty and land tax treatment. For transfer duty, where the State or QTC transfers to an individual under a boost to buy arrangement there is no transfer duty imposed on that particular transfer (Duties new s 33A(2)); the Commonwealth/Housing Australia equivalent is provided under s 33B(2). For land tax the State/QTC and Commonwealth/Housing Australia are taken not to be owners for land tax purposes (Land Tax s 13A(1)-(2)). The First Home Owner Grant amendments also affect individuals seeking grants by excluding the public entity’s interest from the concept of relevant interest (First Home Owner Grant s 8 amendments). In practical terms the Bill changes the tax and grant eligibility profile for participants in those specific schemes.

• Queensland Treasury Corporation and the State. The Bill expressly treats the QTC and State (for boost to buy) and the Commonwealth and Housing Australia (for help to buy) as not having interests or being owners for particular tax and grant rules (Duties new ss 33A(1), 33B(1); Land Tax s 13A(1)-(2); First Home Owner Grant s 8(2)(c)-(d)). This changes how their incidental interests are treated in assessing duties, land tax and grant eligibility, and therefore affects the State’s revenue base for those transactions. The QTC is also inserted into the Duties Act schedule definition (Duties s 12, schedule 6 insert).

• Developers and licensed builders. The Bill creates a construction‑related category, builders’ terms arrangement, that can preserve a residence’s status as a “new home” for duties and First Home Owner Grant purposes where the only prior sale was under such an arrangement (Duties s 86(6); First Home Owner Grant s 6(4)). Builders and developers who structure transactions to meet those criteria will be directly affected; they may need to ensure that final inspection certificates and readiness for occupation are in place pre‑settlement to preserve the tax and grant outcomes.

• Revenue agencies and the commissioner. The amendments require revenue administrators to apply the statutory fictions and to process claims consistent with the transitional, retrospective and definitional changes. The Taxation Administration Act amendments alter appeal pathways and document service processes (amend ss 69, 148, 149), and therefore change administrative decision paths and internal procedures.

• Other taxpayers indirectly affected through revenue foregone. Because the Bill creates express statutory exclusions from duty and land tax for transfers involving public entities in these schemes, the State’s revenue from transfer duty and land tax will be reduced for transactions captured by the rules; those are collective‑incidence effects that are not allocated to specific taxpayers in the Bill but are relevant to the State’s fiscal position.

• Employers and group entities for payroll tax purposes. The amendments to s 74 allow exclusion for a set of persons and change the tests of independence and related bodies corporate in the grouping exclusions (Payroll Tax s 22 as amended). This affects group aggregation for payroll tax liability and is applied retrospectively (Payroll Tax Pt 17, s 152).

• Applicants for first home owner grants who fail residence requirements. The amendment to s 15(6) changes the evidentiary bar for proving a “good reason” by requiring the reason be outside the applicant’s control; applicants who rely on discretionary or controllable reasons may be affected.

• Legal practitioners, conveyancers and accountants who advise on title transfers, land tax, first home owner grants and payroll tax. The Bill changes definitional and procedural treatments requiring adjustments in advice. For example, conveyancers processing a transfer from QTC to an individual under boost to buy must apply Duties new s 33A(2) to avoid charging or calculating transfer duty incorrectly.

Who makes the decision:

• For scheme eligibility, the Bill ties the definitions to external instruments (Rural and Regional Adjustment Regulation 2011 s 2A; Help to Buy Act 2024 (Cwlth) s 6), which means scheme operators, QTC, and relevant Commonwealth bodies determine who is a participant under their statutory schemes. The revenue commissioner and grants administrators decide entitlement and tax liabilities under the amended Acts (see Taxation Administration amendments affecting appeals, s 25 and s 69).

Who pays and bears burden:

• Direct beneficiaries are individuals acquiring under the specified arrangements who will pay less or no transfer duty and not be treated as having a public‑owner interest for land tax. The foregone revenue is borne by the State, reducing duties and land tax receipts for those transactions; payroll tax grouping changes may shift liability among employers. Compliance costs (evidence of participation in the scheme, builders’ terms documentation, final inspection certificates, and proof of good reason) fall to participants and advisers.

Geographic and temporal scope:

• The Bill applies in Queensland. Many of the new tax treatments include specific retrospective commencement dates (Duties ss 690-691; Land Tax s 106; Payroll Tax Pt 17 s 152; First Home Owner Grant Pt 15 ss 89-90), so affected transactions may have occurred before royal assent dates but are brought within the new rules as specified.

This Bill creates and modifies statutory rights and duties principally in three domains: transfer duty, land tax and first home owner grant eligibility, and secondarily in payroll tax grouping and the procedures of tax administration. Below are the concrete statutory duties and rights established or altered.

Transfer duty and ownership treatment

• For the Duties Act 2001 the Bill creates the following legal effects:
  • The State and QTC are "taken not to have an interest" in land purchased under a boost to buy arrangement when assessing transfer duty on a dutiable transaction that is the transfer, or an agreement for the transfer, of that land (new s 33A(1)). This is a statutory recharacterisation for the purposes of transfer duty assessment.
  • The Act also expressly states transfer duty is not imposed when the State or the QTC transfers an interest in land under a boost to buy arrangement to an individual party to the arrangement (new s 33A(2)). Equivalent provisions apply to the Commonwealth and Housing Australia for help to buy arrangements (new s 33B(1)-(2)). Rights: an individual party to such a transfer has a statutory right not to be charged transfer duty in the transfer from the public entity; duty administrators lose the right to treat the public entity’s interest as a dutiable interest in these circumstances.

Land tax owner treatment

• Land Tax Act insertion s 13A creates a parallel right for owners:
  • For land tax, the State and QTC are "taken not to be the owner" of land purchased under a boost to buy arrangement (s 13A(1)), and the Commonwealth and Housing Australia are taken not to be the owner for help to buy land (s 13A(2)). This statutory fiction removes the public owner from the act of ownership for purposes of land tax incidence, creating a right for the individual occupier/participant to avoid land tax consequences that would otherwise follow from an official owner.

First Home Owner Grant rights and exclusions

• Relevant interest: s 8 of the First Home Owner Grant Act is amended to state an interest is not a relevant interest if held by the State or QTC in land purchased under a boost to buy arrangement, or by the Commonwealth or Housing Australia in land under a help to buy arrangement (First Home Owner Grant s 8(2)(c)-(d)). This creates a right for applicants in those arrangements to have their applications assessed without treating those public‑entity interests as relevant interests that could destroy grant eligibility.
• New home definition: the Acts now allow a home previously sold as a place of residence to be treated as a new home where the prior sale was only under a builders’ terms arrangement (Duties s 86(4A); First Home Owner Grant s 6(2A)). The practical result is a right to maintain new home status where the limited prior sale history fits the builders’ terms pattern.
• Residence requirement: s 15(6) imposes a duty on applicants to demonstrate that any reason asserted to excuse non‑compliance with residence obligations is outside the applicant’s control, narrowing the class of acceptable reasons.

Builders’ terms and eligible building duties

• Builders’ terms arrangement and eligible building definitions impose documentary and factual duties: to rely on the builders’ terms exception parties must have satisfied the tripartite factual conditions (licensed builder contract, builder allowed to enter and build, and pre‑settlement readiness and final inspection certificate) as set out in the statutory definition (Duties s 86(6); First Home Owner Grant s 6(4)). For the vacant land test, land with buildings may be treated as vacant land where each building on the land is an eligible building (Duties s 86C(1A)-(3)), and s 87(3) excludes certain eligible buildings from being a residence.

Tax administration and appeal rights

• The Taxation Administration Act amendment modifies procedural rights and choices for taxpayers:
  • Where a taxpayer appeals to the Supreme Court against the commissioner’s decision on an objection about a related tax matter for primary tax, that taxpayer cannot apply to QCAT for review in relation to another related tax matter for the same primary tax; and vice versa (Taxation Administration new s 69(2A)). The taxpayer thus has a duty to elect a single forum for all related tax matters, and loses the right to litigate the other related matter in the alternate forum.
  • The Bill also removes certain methods of giving documents by the commissioner in ss 148 and 149 (amendments renumbering and deleting specified subparagraphs), changing the rights of taxpayers as to how they receive notices.

Payroll tax and grouping rights

• The Payroll Tax Act amendment enlarges the exclusion test to a set of persons and adjusts the related bodies corporate tests used for excluding persons from a group (Payroll Tax amended s 74). Employers and their advisers have new duties to apply the set‑of‑persons tests and determine whether businesses are carried on independently for exclusion from aggregation.

Transitional and retrospective rights/duties

• The Bill creates retrospective effect for several provisions: for example, Duties new s 33A is taken to have had effect from 15 December 2025 and new s 33B from 5 December 2025 (Duties ss 690-691); Land Tax s 13A is treated as having effect from the same dates (Land Tax s 106). Payroll tax s 74 is taken to have had effect from 31 October 2018 (Payroll Tax Pt 17 s 152). These retrospective rules modify prior duties and rights and require revenue administrators to re‑assess past transactions where the statutory text specifies.

Overall, the Bill converts statutory characterisations of legal interest and ownership for enumerated public housing schemes into specific rights (no transfer duty, not owner for land tax, not relevant interest for grant assessment) and imposes documentary and evidentiary duties around builders’ terms arrangements and residence requirement exceptions. It also centralises forum selection for related tax matters in the Taxation Administration Act amendment, limiting parallel multi‑forum litigation in relation to tax objections.

The Bill does not introduce new penalty regimes nor increase monetary penalties in the text provided. Its enforcement effects are primarily indirect and procedural through changed tax incidence, assessment obligations, and appeal rights. The concrete enforcement and compliance implications in the Bill are as follows.

Assessment and collection duties

• The Bill changes the grounds on which the commissioner and revenue agencies assess liability for transfer duty and land tax by statutory recharacterisation of ownership or interest. Enforcement of the new rules will be through the ordinary assessment framework of the Duties Act and the Land Tax Act: the revenue commissioner, or the agency responsible for processing duties and grants, will apply the new statutory fictions and exclude the public interest from dutyable interest and owner constructs where the specific factual conditions are met (Duties new ss 33A-33B; Land Tax s 13A). The Bill does not add a separate enforcement penalty for incorrect application, but incorrect claims will continue to be captured by the Acts’ existing compliance, reassessment and penalty regimes. For example, the Duties Act contains reassessment rules (for example s 245N is amended in the Bill for textual change), and the Taxation Administration Act retains procedural enforcement powers for the commissioner.

Reassessment and recovery risk

• The Bill amends an existing reassessment provision cross‑reference in s 245N (Reassessment, noncompliance with requirements for AFAD concession under s 245G) by changing the term ‘financial year’ to ‘acquisition year’ (amend s 245N(2)(b)(i)). This textual amendment may affect timing for reassessments where concessions are conditional; the existing reassessment power would apply where requirements are not met. The Bill does not repeal reassessment authority; it leaves the commissioner’s ability to reassess intact where statutory conditions are not satisfied.

Appeals and dispute resolution limitations

• The Taxation Administration Act amendment imposes a procedural constraint that reduces multi‑forum enforcement options for taxpayers. Under new s 69(2A) a taxpayer who elects to appeal to the Supreme Court against a commissioner’s decision on an objection concerning a related tax matter cannot apply to QCAT for review of another related tax matter for the same primary tax (and vice versa). Enforcement actions by the commissioner will therefore proceed within the chosen forum; taxpayers lose the ability to pursue the alternative forum for related matters. This is an enforcement‑process constraint designed to reduce duplicate proceedings and may accelerate finality in disputed assessments.

Document service and deadlines

• The Bill removes certain service methods in ss 148 and 149 of the Taxation Administration Act (amendments removing enumerated subparagraphs and renumbering). That change affects how the commissioner must serve documents; failure by the commissioner to comply with the modified service rules could be a procedural defect that affects the enforceability of notices or timelines, but the Bill does not add criminal or civil penalties linked to the specific service routes.

Retrospective operation and recovery

• Because the Bill backdates the operation of several provisions (for example Duties ss 690-691; Land Tax s 106; Payroll Tax Pt 17 s 152), enforcement agencies may be required to revisit and reopen prior assessments. The Bill does not suspend existing recovery or penalty regimes; therefore reassessments under the new legal characterisations could give rise to retrospective liability or refund obligations, governed by the Acts’ existing recovery and refund provisions. The Bill does not modify the general powers for interest or penalty calculation explicitly in the text provided.

No new specific offences or monetary sanctions

• The Bill does not create new criminal offences, civil penalty provisions, or increased pecuniary penalties in the inserted or amended sections. The compliance consequences of any incorrect claim to the benefits established by the Bill (for example wrongly claiming a boost to buy exemption) therefore fall back to the existing enforcement architecture of the Duties Act, Land Tax Act, First Home Owner Grant Act and the Taxation Administration Act, including reassessment powers and existing penalty mechanics.

Operational enforcement implications

• Revenue agencies and program administrators will need to put in place verification and documentary checks to determine whether transactions fall within boost to buy or help to buy arrangements, and whether builders’ terms arrangements and eligible building conditions are met (Duties s 86(6); s 86C(1A)-(3)). Absent clear administrative criteria, disputes about factual qualification may escalate to objections and appeals, but the Bill constrains forum choice where matters are related (Taxation Administration new s 69(2A)-(2B)). Enforcement will therefore be a combination of normal tax assessment techniques, documentary verification, and the existing regime for penalties and reassessments where false or inaccurate claims are discovered.

In sum, the Bill relies on existing enforcement structures rather than creating new penalty types. The key enforcement risks for participants include reassessment where conditions are not met and constrained options for contesting related assessments due to the appeal‑forum election provisions.

The Bill explicitly cross‑references multiple Commonwealth and Queensland statutes and subordinate instruments, and it also amends internal references and numbering across several Acts. The main interaction pathways are set out below, with section citations.

Cross‑jurisdictional interactions

• Help to Buy (Commonwealth). The Bill delegates definitional recognition to Commonwealth legislation: help to buy arrangement is defined by reference to the Help to Buy Act 2024 (Cwlth), s 6, and Housing Australia to the Housing Australia Act 2018 (Cwlth), s 7 (Duties new s 33B(3); First Home Owner Grant s 8(5); Land Tax s 13A(3)). In practice the Commonwealth statute will determine scheme eligibility for Queensland tax and grant treatments: the Queensland Acts will not define the substantive eligibility criteria for help to buy; they accept the Commonwealth’s definition.

• Boost to Buy and the Rural and Regional Adjustment Regulation. The boost to buy scheme is referenced to the Rural and Regional Adjustment Regulation 2011, s 2A (Duties new s 33A(3)). The regulation therefore determines who is a participant for Queensland tax purposes.

• Building and construction regimes and the Building Act. The Bill’s builders’ terms arrangement and eligible building definitions refer to licensing under the Queensland Building and Construction Commission Act 1991 and to final inspection certificates issued under the Building Act 1975, and invoke the Building Code of Australia for eligible building classes (Duties s 86(6); s 86C(3); First Home Owner Grant s 6(4)). These references tie tax and grant outcomes to building regulatory milestones and certifications.

Internal statutory interactions and consequential amendments

• Duties Act, First Home Owner Grant Act and Land Tax Act symmetry. The Bill aligns the treatment of public‑entity interests across the Duties Act (new ss 33A-33B), the First Home Owner Grant Act (amended s 8 and new s 6(2A)), and the Land Tax Act (s 13A). This alignment is deliberate: the same factual category of transaction (boost to buy, help to buy) will be treated consistently for transfer duty, land tax and grant eligibility.

• Definitions and schedule adjustments. The Bill inserts a Queensland Treasury Corporation definition into the Duties Act schedule (Duties s 12) and adjusts other schedule definitions (such as primary producer, special vehicle). Schedule 1 contains a series of technical cross‑reference corrections between sections across the Duties Act, Land Tax Act, Payroll Tax Act and Taxation Administration Act to reflect the new numbering and renumbering (Schedule 1 items).

• Taxation Administration appeal and service scheme. The amendment to s 69 intersects with existing objection, review and appeal pathways. The new limitation that prohibits a taxpayer from pursuing Supreme Court appeal and QCAT review in relation to different related tax matters for the same primary tax modifies how litigation strategies must be coordinated across statutes that feed into tax assessments (Taxation Administration s 69(2A)-(2B)). This will interact with each primary Act’s objection processes and with QCAT’s jurisdictional thresholds.

• Payroll tax grouping interaction. The Payroll Tax Act amendment broadens exclusion tests to a set of persons and adjusts related bodies corporate language (Payroll Tax s 74 amendment and Part 17 transitional s 152). Those changes interact with existing payroll group aggregation rules in the Payroll Tax Act and potentially with the corporate group definitions in corporate law where related bodies corporate status matters.

Temporal and retrospective interactions

• Transitional provisions create retrospective effects which require interaction with earlier versions of statutes. The Bill provides that Duties new s 33A is taken to have had effect from 15 December 2025, Duties new s 33B from 5 December 2025, and Land Tax s 13A likewise (Duties ss 690-691; Land Tax s 106). The First Home Owner Grant amendments apply to eligible transactions with commencement dates on or after 1 December 2020 (First Home Owner Grant Pt 15 s 89). Payroll tax changes are taken to have effect from 31 October 2018 (Payroll Tax Pt 17 s 152). These retrospective statements require administrators to reconcile prior statutory versions with the newly inserted provisions when assessing historical transactions and grants.

Limitations and scope of interaction

• The Bill does not attempt to modify substantive Commonwealth program rules. Instead, it recognises them for Queensland tax/grant purposes through cross‑reference. Hence, the interaction is one of statutory recognition rather than of substantive amendment to Commonwealth policy.

• Existing enforcement regimes remain in place. The Bill does not supplant the taxation administration machinery; it changes substantive assessment rules and appeal forum choices but leaves the commissioner’s enforcement, reassessment and penalty powers intact, subject to the changes in how documents are given (Taxation Administration ss 148-149 amendments).

Practical implication of interactions

• Because the Bill relies on externally defined schemes (Commonwealth Help to Buy and Queensland’s Rural and Regional Adjustment Regulation boost to buy), legal practitioners and administrators will need to coordinate interpretation across instruments. For example, whether a transaction qualifies as a boost to buy arrangement depends on the Rural and Regional Adjustment Regulation’s definition; whether the Commonwealth’s help to buy definitions catch a given transaction depends on the Help to Buy Act (Cwlth) provisions. The Bill thereby creates a compliance and interpretative dependence on multiple instruments.

The Bill itself is the Home Ownership and Other Legislation Amendment Bill 2026 and the operative textual amendments are contained within the Bill. The Bill introduces new provisions and renumberings; where the Bill provides retrospective effect it specifies the effective historical dates. The Bill does not provide a legislative history prior to its own text; however the inserted transitional provisions and retrospective commencement dates are integral to the amendment architecture. The concrete amendment history created by the Bill is as follows.

Insertion and amendment chronology within the Bill

• Duties Act 2001:

  • Inserts new ss 33A and 33B after s 33 (Clause 3). These new sections are declared to be taken to have effect from specified retrospective dates in Part 32 Transitional provisions: s 690 takes s 33A to have had effect from 15 December 2025 and s 691 takes s 33B to have had effect from 5 December 2025 (Duties Part 32 ss 689-691).
  • Amends s 86 to insert s 86(4A) enabling a home previously sold as a place of residence to be a new home where prior sale was only under a builders’ terms arrangement, and adds the builders’ terms arrangement definition (Duties s 4 amending s 86).
  • Inserts s 86C(1A) and defines eligible building in s 86C(3) to modify vacant land tests (Duties s 5).
  • Inserts s 87(2)-(3) to exclude certain eligible buildings from being a residence (Duties s 6).
  • Amends s 125 wording regarding vestings and makes various cross‑reference corrections (Duties s 7; Schedule 1 contains further cross‑reference amendments).
  • Inserts Chapter 17 Part 32 transitional provisions containing definitions and application rules for the new provisions (Duties ss 689-693).

• First Home Owner Grant and Other Home Owner Grants Act 2000:

  • Amends s 6 to insert a builders’ terms arrangement exception to what is a new home (First Home Owner Grant s 14).
  • Amends s 8 to exclude public‑entity interests in boost/help arrangements from being relevant interests and adds definitions for boost/help arrangements and QTC (First Home Owner Grant s 15).
  • Amends s 15 by adding s 15(6) to set the “good reason” threshold (First Home Owner Grant s 16).
  • Inserts Part 15 transitional provisions giving new s 6 retrospective application to eligible transactions with commencement dates on or after 1 December 2020 and takes new s 8(2)(c)-(d) etc. to have earlier retrospective effect in s 90 (First Home Owner Grant ss 17, 88-90).

• Land Tax Act 2010:

  • Inserts s 13A to treat State/QTC and Commonwealth/Housing Australia as not owners for the land tax Act (Land Tax s 19).
  • Adds Division 11 transitional provision s 106 to take s 13A(1) to have had effect from 15 December 2025 and s 13A(2) from 5 December 2025.

• Payroll Tax Act 1971:

  • Amends s 74 to allow exclusion of a set of persons and adjusts tests for independence and related bodies corporate (Payroll Tax s 22).
  • Inserts Part 17 transitional s 152 to take new s 74 and consequential amendments to have had effect from 31 October 2018.

• Taxation Administration Act 2001:

  • Amends s 69 to constrain forum election between Supreme Court appeal and QCAT review for related tax matters (Taxation Administration s 25).
  • Amends ss 148 and 149 to remove certain methods of document giving and renumber remaining methods (Taxation Administration ss 26-27).

• Schedule 1 Other amendments:

  • Contains a series of technical and consequential fixes to cross references and definitions across the Duties Act, Land Tax Act, Payroll Tax Act and Taxation Administration Act (Schedule 1 items 1-3 etc.), and adjustments to the Taxation Administration Regulation 2022 to align with s 148 and s 149 renumbering.

Transitional dating and retroactivity created by the Bill

• The Bill specifically provides retrospective effectiveness for particular provisions rather than leaving commencement solely to the usual commencement date. Notable provisions:
  • Duties new s 33A is taken to have had effect from 15 December 2025 (Duties s 690(1)).
  • Duties new s 33B is taken to have had effect from 5 December 2025 (Duties s 691).
  • Duties new s 86(4A) and (6) are applied to dutiable transactions for which liability for transfer duty arose on or after 1 May 2025 (Duties s 692).
  • Land Tax s 13A(1) is taken to have had effect from 15 December 2025 and s 13A(2) from 5 December 2025 (Land Tax s 106).
  • First Home Owner Grant new s 6 applies to eligible transactions with commencement dates on or after 1 December 2020 (First Home Owner Grant Pt 15 s 89).
  • Payroll tax s 74 and consequential changes are taken to have had effect from 31 October 2018 (Payroll Tax Pt 17 s 152).

The Bill thus creates a compact amendment history limited to the 2026 instrument itself and to the transitional adjustments it establishes. The Bill’s schedule and transitional sections are the authoritative record of the amendment sequence and the dates from which particular changes are to be taken to have operated.

The Bill text supplied does not include any case law, judicial commentary, or litigation history. It names no judicial decisions. The amendments interact with dispute resolution pathways (notably the Taxation Administration Act s 69 amendment which limits forum selection), but there is no recorded litigation in the Bill text to cite.

What the Bill does change that will likely affect litigation dynamics (without presuming past cases) is as follows:

• Forum selection constraint. By disallowing a taxpayer from pursuing a Supreme Court appeal for one related tax matter and a QCAT review for another related tax matter for the same primary tax (Taxation Administration new s 69(2A)-(2B)), the Bill modifies litigation strategy going forward. Disputes that are “related tax matters” must be pursued in a single forum chosen by the taxpayer for those matters, which will reduce opportunities for parallel proceedings across forums and could change where taxpayers commence proceedings. The Bill does not purport to affect proceedings already commenced, unless caught by its transitional provisions; the textual amendment renumbers subsections and inserts the constraint.

• Increased retrospective assessment exposure. Because several substantive changes are applied retrospectively (for example Duties ss 690-691; Land Tax s 106; Payroll Tax Pt 17 s 152), there may be an increase in objections and disputes about assessments that predate royal assent. The Bill does not itself record prior litigation but the changes to retrospective application and reassessment cross‑references (e.g., s 245N amendment in Duties Act) can be expected to generate administrative objections and potential judicial review or appeal from affected taxpayers or revenue.

• Interpretative questions likely to arise. The Bill ties eligibility to external instruments (Help to Buy Act 2024 (Cwlth); Rural and Regional Adjustment Regulation 2011 s 2A), introduces builders’ terms arrangement criteria linked to building certificates, and creates statutory fictions about ownership and interest. These features are likely to prompt factual disputes about whether a transaction fits the statutory definitions and therefore whether the statutory fiction should be applied. Those disputes will be resolved by the commissioner first, then by objection and whatever forum the taxpayer elects, subject to the new single‑forum constraint. The Bill does not provide its own judicial interpretation or precedent.

Because the supplied text contains no judicial decisions, any litigation history or case law would need to be compiled from external sources if required. The Bill’s amendments will, however, shape future litigation exposure by narrowing forum choice and by creating new factual categories that will attract dispute.

This section lists practical pitfalls and points that advisers and administrators will commonly overlook if they rely on high‑level descriptions rather than the statutory text. Each point is grounded in the Bill’s provisions and transitional mechanics.

1. Statutory fiction does not equal freeform entitlement. The Bill’s repeated phrase “taken not to have an interest” or “taken not to be the owner” is narrowly confined to the Acts’ purposes. For transfer duty the fiction applies for assessing liability on a dutiable transaction that is the transfer, or agreement for the transfer, of land purchased under the specified arrangement (Duties new s 33A(1); new s 33B(1)). For land tax the fiction appears in s 13A. The Bill does not dissolve legal title or any other non‑tax legal consequence of the public entity’s interest , it only alters assessment under the specified Acts. Advisers should not assume the Bill absolves all other statutory or contractual consequences of public‑entity ownership.

2. The exemption for a transfer from the public entity is narrowly framed. Duties new s 33A(2) and new s 33B(2) state transfer duty is not imposed on a transfer of an interest in land under a boost to buy or help to buy arrangement from the State/QTC or Commonwealth/Housing Australia to an individual party to the arrangement. The exemption operates for that specific transfer. Downstream transfers or other transfers not of that precise kind may not be covered.

3. Eligibility depends on external statutory schemes. Whether a transaction qualifies as a help to buy arrangement depends on the Commonwealth Help to Buy Act 2024 (Cwlth) s 6; boost to buy depends on the Rural and Regional Adjustment Regulation 2011 s 2A (Duties new ss 33A(3) and 33B(3)). If the external scheme’s eligibility criteria are not met, the Queensland statutory fiction does not apply. That means practitioners must check both the Queensland statutory text and the relevant Commonwealth or subordinate instrument criteria.

4. Builders’ terms arrangement requires final inspection certificate before settlement. The builders’ terms definition requires that before settlement both the building is ready for occupation and a final inspection certificate under the Building Act 1975 has been issued (Duties s 86(6); First Home Owner Grant s 6(4)). Absent that certificate and occupancy readiness before settlement, the exception to “new home” status will not apply, which can trigger unintended loss of concession or grant eligibility.

5. Eligible building carve‑outs can remove residence status. The insertion of s 86C(1A) and s 86C(3) and the amendment to s 87 mean that certain buildings or parts of buildings on acquired land may be treated for vacant land tests yet not be a residence (Duties s 86C(1A) and s 87(3)). This creates a counterintuitive combination: land can pass the vacant land test because buildings are eligible buildings and yet those buildings may be excluded from being a residence for other purposes. Practitioners need to map the definitions across sections for the specific transaction.

6. Transitional and retrospective dates differ across measures. The duties boost to buy provision is taken to have effect from 15 December 2025 (Duties s 690(1)), but the help to buy provision is taken to have effect from 5 December 2025 (Duties s 691). For dutiable transactions where liability arose on or after 1 May 2025 new s 86(4A) applies (Duties s 692). Land tax s 13A has separate retrospective dates in s 106. Practitioners must use the specific dates in the relevant transitional provision; a single presumption of commencement date will be wrong.

7. Forum election limits challenge multi‑issue disputes. The Taxation Administration Act now bars a taxpayer from using both the Supreme Court and QCAT on related tax matters for the same primary tax (Taxation Administration new s 69(2A)). Where a dispute entails multiple related tax issues, taxpayers must elect the forum carefully; splitting challenges between Supreme Court and QCAT will be precluded in relation to related matters. This affects litigation strategy and may require early consolidation of issues.

8. Payroll tax changes are retrospective to 2018. Section 152 takes the new s 74 and consequential amendments to have effect from 31 October 2018 (Payroll Tax Pt 17 s 152). That long backdating may require employers to re‑examine years of payroll tax filings and grouping treatment back to 2018 where the new set‑of‑persons exclusion could alter historical liabilities or entitlements.

9. Document service changes may alter timeframes. The removal and renumbering of certain giving methods in Taxation Administration ss 148 and 149 (amendments in Part 6) change how and when documents are taken to be given. Administrative timelines and statute of limitations considerations may therefore be affected by the way the commissioner now must give notices.

10. Technical cross‑reference changes in Schedule 1. The Bill makes multiple small but operationally important cross‑reference fixes (Schedule 1). Practitioners who rely on pre‑amendment numbering or the previous cross‑references risk applying the wrong provisions; updated consolidated legislation should be used.

In short, the main practical gotchas are that the favourable tax treatments are narrowly worded, depend on external scheme definitions, impose documentary prerequisites (final inspection certificates, etc.), produce different retrospective start dates, and alter procedural rights such as forum selection and document service. Each of these is grounded in the specific statutory text cited above.

This section sets out the practical steps that advisers, conveyancers, builders, developers, revenue officers and participants need to take to apply the amendments consistently with the new statutory text. All references are to the sections inserted or amended in the Bill.

For participants in boost to buy and help to buy arrangements

• Confirm scheme eligibility under the external instruments. Verify that the transaction qualifies as a boost to buy arrangement under the Rural and Regional Adjustment Regulation 2011 s 2A (Duties new s 33A(3)) or as a help to buy arrangement under the Help to Buy Act 2024 (Cwlth) s 6 (Duties new s 33B(3)). Do not rely solely on the Queensland Acts; the Queensland exclusions operate only where the external definition is met.

• Obtain and retain documentary proof of participation. Maintain contractual documentation, scheme enrolment records, and any certificates issued by the relevant scheme operator showing the individual’s participation; these documents will be the primary evidence to support the statutory fiction that the State/QTC or Commonwealth/Housing Australia “does not have an interest” for tax assessment purposes (Duties new ss 33A(1), 33B(1); Land Tax s 13A).

• For the transfer of title from public entity to individual, ensure formal transfer documentation reflects the scheme transaction and that conveyancing instruments and duty forms reference the statutory exemption under s 33A(2) or s 33B(2) as appropriate to avoid miscalculation of transfer duty.

For builders and developers using builders’ terms arrangements

• Satisfy the builders’ terms tests before settlement. The builders’ terms arrangement requires:
  • A licensed builder to have entered a contract with a developer to purchase vacant land (Duties s 86(6); First Home Owner Grant s 6(4)(a));
  • The builder to be allowed under the contract to enter and build (s 86(6)(b); s 6(4)(b)); and
  • Before settlement, the building is ready for occupation and a final inspection certificate under the Building Act 1975 has been issued (s 86(6)(c)(i)-(ii); s 6(4)(c)(i)-(ii)).
• Collect the final inspection certificate and document the readiness for occupation as part of the settlement pack to show the conditions are met if a party wishes to rely on the new‑home exception (Duties s 86(4A); First Home Owner Grant new s 6(2A)).

For First Home Owner Grant applicants

• Check relevant interest exclusions. Where land is acquired under boost to buy or help to buy, ensure the application shows that any interest held by the State/QTC or Commonwealth/Housing Australia is excluded from relevant interest under amended s 8(2)(c)-(d) and the new definitions in s 8(5).

• Prepare evidence for “good reason” claims under s 15(6). If an applicant seeks to rely on a “good reason” to excuse non‑compliance with residence requirements, the evidence must demonstrate the reason was outside the applicant’s control. Prepare contemporaneous evidence showing the external impediment and any attempts to mitigate it.

For payroll tax compliance

• Reassess historical groupings where appropriate. Given the retrospective take‑effect date for s 74 (Payroll Tax Pt 17 s 152), employers should review their group determinations since 31 October 2018 to determine whether a set‑of‑persons exclusion applies and whether amended grouping tests affect past liabilities or entitlements.

• Update payroll tax aggregation and exclusion processes and ensure recordkeeping reflects the new set‑of‑persons structure and the independence/connectedness tests in amended s 74.

For tax administrators and commissioners

• Update assessment systems and training. Revise duty and land tax assessment workflow to apply the statutory fictions in Duties new ss 33A-33B and Land Tax s 13A. Train staff to require proof of scheme participation and building‑regulatory documentation where builders’ terms or eligible building tests are invoked.

• Reconcile retrospective claims. Prepare procedures to handle retrospective liability and refund claims arising under the transitional clauses (for example Duties ss 690-693; Land Tax s 106; First Home Owner Grant Pt 15 ss 89-90; Payroll Tax Pt 17 s 152). This includes determining the scope of reassess
